    Under Article 102 of the Charter of the United Nations every treaty and every internationalagreement entered into by any Member of the United Nations after the coming into force of theCharter shall, as soon as possible, be registered with the Secretariat and published by it. Further-more, no party to a treaty or international agreement subject to registration, which has not beenregistered, may invoke that treaty or agreement before any organ of the United Nations. TheGeneral Assembly by resolution 97 (I) established regulations to give effect to Article 102 of theCharter (see text of the Regulations, Vol. 76, p. XVIII).

    The terms "treaty" and "international agreement" have not been defined either in the Charteror in the Regulations, and the Secretariat follows the principle that it acts in accordance with theposition of the Member State submitting an instrument for registration that so far as that party isconcerned the instrument is a treaty or an international agreement within the meaning of Article102. Registration of an instrument submitted by a Member State, therefore, does not imply ajudgement by the Secretariat on the nature of the instrument, the status of a party, or any similarquestion. It is the understanding of the Secretariat that its action does not confer on the instrumentthe status of a treaty or an international agreement if it does not already have that status, and doesnot confer on a party a status which it would not otherwise have.

    Den danske regering og den islandske regering, der onsker at afslutte enoverenskomst om gensidig fritagelse for skat til stat og kommune af indkomstaf skibs- og luftfartsvirksomhed, er blevet enige om folgende bestemmelser:

    Artikel 1

    Den danske regering fritager islandske foretagender for at svare skat tilstat og kommune af udbytte af skibs- eller luftfartsvirksomhed udovet af saidanneforetagender.

    Artikel 3

    I alle forhold vedrorende denne overenskomst betyder:

    No. 3171. AGREEMENT' BETWEEN DENMARK AND ICE-LAND CONCERNING AVOIDANCE OF DOUBLE TAXA-TION OF INCOME DERIVED FROM SEA AND AIRTRANSPORT. SIGNED AT REYKJAVIK, ON 10 OC-TOBER 1955

    The Government of Denmark and the Government of Iceland, desiring toconclude an agreement providing for reciprocal exemption from State and localgovernment taxation of income derived from the business of sea and air transport,have agreed upon the following provisions :

    Article 1

    The Government of Denmark shall exempt Icelandic enterprises fromState or local government taxes on profits derived from the business of sea orair transport carried on by such enterprises.

    Article 2

    The Government of Iceland shall exempt Danish enterprises from State orlocal government taxes on profits derived from the business of sea or air transportcarried on by such enterprises.

    Article 3

    For the purposes of this Agreement :

    "Icelandic enterprise" means the Government of Iceland, any individualhaving his permanent residence in Iceland and having no permanent residencein Denmark, or any body corporate or partnership constituted under the lawsof Iceland and managed and controlled in Iceland;

    "Danish enterprise" means the Government of Denmark, any individualhaving his permanent residence in Denmark and having no permanent residencein Iceland, or any body corporate or partnership constituted under the laws ofDenmark and managed and controlled in Denmark;

    "The business of sea or air transport" means the business of transportingby sea or by air persons, livestock, goods or mail, carried on by owners orcharterers of ships or aircraft.

    Article 4

    The present Agreement shall enter into force:

    In Denmark, with respect to taxes for the fiscal year beginning on 1 April1955.

    In Iceland, with respect to taxes on income in the year 1954.

    Article 5

    This Agreement may be terminated by either of the High ContractingParties by written notice of termination addressed to the other Party. Suchnotice of termination shall only have effect in respect of incomes arising aftera period of at least six months from the date of the notice.

    IN WITNESS WHEREOF the undersigned, having been duly authorized thereto,have signed this Agreement and have thereto affixed their seals.

    DONE at Reykjavik, in duplicate, in the Danish and Icelandic languages,both texts being equally authentic.

    THAILAND and JAPAN,Desiring equally to establish the foundation for further strengthening the

    traditional friendship and for promoting economic cooperation between the twocountries by settling the " Special Yen Problem " pending between them,

    Have agreed as follows:

    Article I

    1. Japan shall pay to Thailand the amount of pounds sterling equivalentto five billion four hundred million yen in five annual instalments as follows :(1) One billion yen in the Japanese fiscal year to which the date of coming into

    force of this Agreement belongs.(2) One billion one hundred million yen in each Japanese fiscal year during

    four years subsequent to the fiscal year referred to in subparagraph (1)above

    2. The exchange rate to be applied in the payments referred to in paragraph1 above shall be the foreign exchange banks' T.T. selling rate of pound sterlingprevailing in Japan at the time of each of such payments.

    Article I

    Japan agrees to supply to Thailand, as a measure for economic cooperationand subject to such terms, conditions and modality as may be agreed upon,capital goods of Japan and services of Japanese people in the form of investmentsand credits up to the amount of nine billion six hundred million yen.

    Article III

    The Government of Thailand shall, on behalf of the Government andnationals (including juridical persons) of Thailand, waive all and any claimsagainst the Government and nationals (including juridical persons) of Japanconcerning the " Special Yen Problem ", including following claims:

    (1) Claims relating to the Bank of Thailand Special Yen Account establishedunder the Arrangement between the Bank of Japan and the Ministry of Finance

    I Came into force on 5 August 1955, upon exchange of notes indicating approval of the Agree-ment by both countries, in accordance with article V.

    (2) Claims relating to the gold which should have been sold by the Gov-ernment of Japan to the Government of Thailand under the following lettersaddressed to the Minister of Foreign Affairs of Thailand from the JapaneseAmbassador to Thailand and which have not been sold:

    (a) Ambassador Tsubokami's letter addressed to Nai Direk Chayanam, Ministerof Foreign Affairs, No. F86/19, dated April 7, 1944.

    (b) Ambassador Yamamoto's letter addressed to Nai Sisena Sombatsiri, Ministerof Foreign Affairs, No. ED9/45, dated January 18, 1945.

    (c) Ambassador Yamamoto's letter addressed to Nai Sisena Sombatsiri, Ministerof Foreign Affairs, No. ED81/45, dated July 3, 1945.

    (3) Claims relating to the untransferred gold mentioned in the Acknow-ledgement of Delivery of Gold signed by M. R. Thuaithep Devakul, Directorof Department of Economic Affairs, Ministry of Foreign Affairs of Thailand,and Nai Prayad Buranasiri, Head of Central Administration, Bank of Thailand,on January 4, 1950.

    Article IV

    There shall be established in Tokyo a joint committee to be composed ofrepresentatives of the Government of the two countries, which shall be anorgan for consultation, and recommendation to the Governments of the twocountries, for the purpose of securing smooth implementation of this Agreement.

    Article V

    This Agreement shall be approved by each country in accordance with itsconstitutional procedures, and shall enter into force upon the date of exchangeof notes indicating such approval.

    IN WITNESS WHEREOF, the undersigned, being duly authorized by theirrespective Governments, have signed this Agreement.

    Your Excellency,

    With reference to the last paragraph of the Protocol signed at Athens on16 February 1954 by the chairmen of the Greek and Portuguese delegationsto the Joint Governmental Commission provided by article 6 of the CommercialAgreement between our two countries dated 31 December 1949,2 I have thehonour to inform you that the Portuguese Government has approved the saidProtocol.

    I have also the honour to inform you that the Portuguese Government, inresponse to the request of the Greek delegation, agrees to an increase in thequota established in paragraph 2 of the aforesaid Protocol, to 1,000 tons offish meal and 1,000 tons of coffee; it should be noted, however, that part ofthe fish meal quota will be supplied by continental Portugal and part by overseasPortugal, and that in the case of coffee the increase in the quota does not implythat the entire amount must be supplied, as delivery is subject to the pricesoffered.

    I should be grateful if you would confirm the Greek Government's approvalof the Protocol and signify its agreement to the foregoing.

    With reference to the conversations which recently took place at Athensbetween this Legation and the Greek Ministry of Foreign Affairs concerningcommercial exchanges between Denmark and Greece for the period 25 August1955 to 24 August 1956, I have the honour to submit the following proposals :

    1. Commercial exchanges between the two countries shall be effected onthe basis of the export and import liberalization measures taken or to be takenby each of the two countries.

    2. Greek exports of products still subject to quota in Denmark shall takeplace on the basis of the list annexed to the present letter.

    I shall be grateful if you would signify the agreement of the Greek Gov-ernment to the foregoing.

    No. 3176. GUARANTEE AGREEMENT' (KARACHI POWERPROJECT) BETWEEN THE DOMINION OF PAKISTANAND THE INTERNATIONAL BANK FOR RECONSTRUC-TION AND DEVELOPMENT. SIGNED AT WASHING-TON, ON 20 JUNE 1955

    AGREEMENT, dated June 20, 1955, between DOMINION OF PAKISTAN,acting by its Governor-General (hereinafter called the Guarantor) and INTER-NATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT (hereinafter called theBank).

    WHEREAS by an agreement of even date herewith between the Bank andThe Karachi Electric Supply Corporation Limited (hereinafter called theBorrower), which agreement and the schedules therein referred to are hereinaftercalled the Loan Agreement,2 the Bank has agreed to make to the Borrower aloan in various currencies in an aggregate principal amount equivalent to thirteenmillion eight hundred thousand dollars ($13,800,000), on the terms and condi-tions set forth in the Loan Agreement, but only on condition that the Guarantoragree to guarantee the payment of the principal, interest and other charges onsuch loan; and

    WHEREAS the Guarantor, in consideration of the Bank's entering into theLoan Agreement with the Borrower, has agreed to guarantee the payment ofthe principal, interest and other charges on such loan;

    Now THEREFORE the parties hereto hereby agree as follows:

    Article I

    Section 1.01. The parties to this Guarantee Agreement accept all theprovisions of Loan Regulations No. 4 of the Bank dated February 15, 19553,subject, however, to the modifications thereof set forth in Schedule 34 to theLoan Agreement (said Loan Regulations No. 4 as so modified being hereinaftercalled the Loan Regulations), with the same force and effect as if they werefully set forth herein. The terms defined in said Loan Agreement shall havethe same meaning as if such definitions were fully set forth herein.

    Article H

    Section 2.01. Without limitation or restriction upon any of the othercovenants on its part in this Agreement contained, the Guarantor hereby un-conditionally guarantees, as primary obligor and not as surety merely, the dueand punctual payment of the principal of, and the interest and other chargeson, the Loan, the principal of and interest on the Bonds, and the premium, ifany, on the prepayment of the Loan or the redemption of the Bonds all as setforth in the Loan Agreement, the Trust Deed and the Bonds.

    Article III

    Section 3.01. It is the mutual intention of the Guarantor and the Bankthat no other external debt shall enjoy any priority over the Loan by way ofa lien on governmental assets. To that end, the Guarantor undertakes that,except as the Bank shall otherwise agree, if any lien shall be created on anyassets of the Guarantor as security for any external debt, such lien will ipsofacto equally and ratably secure the payment of the principal of, and interest andother charges on, the Loan and the Bonds, and that in the creation of any suchlien express provision will be made to that effect; provided, however, that theforegoing provisions of this Section shall not apply to : (i) any lien created onproperty, at the time of purchase thereof, solely as security for the paymentof the purchase price of such property; (ii) any lien on commercial goods tosecure a debt maturing not more than one year after the date on which it isoriginally incurred and to be paid out of the proceeds of sale of such commercialgoods; or (iii) any lien arising in the ordinary course of banking transactionsand securing a debt maturing not more than one year after its date.

    The term " assets of the Guarantor " as used in this Section includesassets of the Guarantor or of any of its political subdivisions or of any agencyof the Guarantor or of any such political subdivision, including the State Bankof Pakistan.

    Section 3.02. (a) The Guarantor and the Bank shall cooperate fully toassure that the purposes of the Loan will be accomplished. To that end, eachof them shall furnish to the other all such information as it shall reasonablyrequest with regard to the general status of the Loan. On the part of theGuarantor, such information shall include information with respect to financialand economic conditions in the territories of the Guarantor and the internationalbalance of payments position of the Guarantor.

    (b) The Guarantor and the Bank shall from time to time exchange viewsthrough their representatives with regard to matters relating to the purposesof the Loan and the maintenance of the service thereof. The Guarantor shall

    Article III

    Paragraphe 3.01. A ceteffet, h moins que la Banque n'accepte qu'il en soit autrement, toute sfiret6constitute en garantie d'une dette ext~rieure sur l'un quelconque des biens duGarant devra, du fait mme de sa constitution, garantir 6galement et dans lesm~mes proportions le remboursement du principal de l'Emprunt et des Obliga-tions et le paiement des int6r~ts et autres charges y aff~rents, et mention expressedevra en 8tre faite lors de la constitution de cette stiret6; toutefois, les stipulationsci-dessus du pr6sent paragraphe ne s'appliquent pas: i) A la constitution, surles biens achet~s et au moment de leur achat, d'une sfiret6 ayant pour uniqueobjet de garantir le paiement du prix d'achat desdits biens; ii) A la constitution,sur des marchandises proprement dites, d'une sfiret6 ayant pour objet de garantirune dette contract&e pour un an au plus et qui doit &re rembours6e A l'aidedu produit de la vente de ces marchandises, ou iii) h la constitution, dans lecadre normal d'activit6s bancaires, d'une sfiret6 ayant pour objet de garantirune dette contract&e pour un an au plus.

    Aux fins du present paragraphe, l'expression # biens du Garant > comprendles biens du Garant ou de l'une quelconque de ses subdivisions politiques, oude l'une quelconque des agences du Garant ou de l'une quelconque de ces sub-divisions politiques, y compris la Banque d'etat du Pakistan.

    Paragraphe 3.02. a) Le Garant et la Banque coopreront dans la pluslarge mesure possible h la r6alisation des fins de l'Emprunt. A cet effet, chacunedes Parties fournira A l'autre tous les renseignements que celle-ci pourra raison-nablement demander quant la situation g~n6rale de l'Emprunt. Les renseigne-ments que le Garant devra fournir porteront notamment sur la situation finan-cire et 6conomique dans ses territoires et sur sa balance des paiements.

    b) Le Garant et la Banque confreront de temps a autre, par l'interm~diairede leurs repr6sentants, sur les questions relatives aux fins de l'Emprunt et ala r6gularit6 de son service. Le Garant informera la Banque sans retard de toute

    promptly inform the Bank of any condition which interferes with, or threatensto interfere with, the accomplishment of the purposes of the Loan or the main-tenance of the service thereof.

    (c) The Guarantor shall afford all reasonable opportunity for accreditedrepresentatives of the Bank to visit any part of the territories of the Guarantorfor purposes related to the Loan.

    Section 3.03. The principal of, and interest and other charges on, theLoan and the Bonds shall be paid without deduction for, and free from, anytaxes (including duties, fees or impositions) imposed under the laws of theGuarantor or laws in effect in its territories; provided, however, that the provi-sions of this Section shall not apply to taxation of, or duties, fees or impositionslevied upon, payments under any Bond to a holder thereof other than the Bankwhen such Bond is beneficially owned by an individual or corporate residentof the Guarantor.

    Section 3.04. This Agreement, the Loan Agreement, the Trust Deed andthe Bonds shall be free from any taxes (including duties, fees or impositions)that shall be imposed under the laws of the Guarantor or laws in effect in itsterritories on or in connection with the execution, issue, delivery or registrationthereof.

    Section 3.05. The principal of, and interest and other charges on, theLoan and the Bonds shall be paid free from all restrictions imposed under thelaws of the Guarantor or laws in effect in its territories.

    Section 3.06. The Guarantor shall not take any action which wouldprevent or materially interfere with the successful operation of the Project, orwith the carrying on by the Borrower of its operations and enterprise in anefficient and businesslike manner and in accordance with sound engineering,financial and electric utility practices, or with the performance by the Borrowerof any of the covenants, agreements and obligations of the Borrower in theLoan Agreement or the Trust Deed.

    Article IV

    Section 4.01. The Guarantor shall endorse, in accordance with the provi-sions of the Loan Regulations, its guarantee on the Bonds to be executed anddelivered by the Borrower. The Secretary to the Government of Pakistan,Ministry of Finance, and such person or persons as he shall designate in writingare designated as the authorized representatives of the Guarantor for the purposesof Section 6.12 (b) of the Loan Regulations.

    Paragraphe 3.04. Le pr6sent Contrat, le Contrat d'emprunt, l'Acte fidu-ciaire et les Obligations seront francs de tout imp6t (y compris tout droit, taxeou imposition) pergu en vertu de la lgislation du Garant ou des lois en vigueurdans ses territoires, lors ou A l'occasion de leur 6tablissement, de leur 6mission,de leur remise ou de leur enregistrement.

    Paragraphe 3.05. Le remboursement du principal de l'Emprunt et desObligations et le paiement des intr&ts et autres charges y affrents ne serontsoumis h aucune restriction 6tablie en vertu de la lgislation du Garant ou deslois en vigueur dans ses territoires.

    Paragraphe 3.06. Le Garant ne prendra aucune mesure qui soit de natureA emp~cher ou goner la bonne mise en ceuvre du Projet, ou la continuation parl'Emprunteur de ses op6rations et de ses entreprises dans des conditions satis-faisantes et sur une base convenable, suivant les r~gles de l'art et conform6mentaux principes d'une saine gestion financi~re et aux usages des services d'61ec-tricit6, ou l'ex~cution par l'Emprunteur de F'un quelconque des engagements,conventions et obligations que ce dernier a souscrits dans le Contrat d'empruntou l'Acte fiduciaire.

    Article IV

    Paragraphe 4.01. Le Garant rev&tira de sa garantie, conform6ment auxdispositions du R~glement sur les emprunts, les Obligations que l'Emprunteurdoit 6tablir et remettre. Le Secr~taire du Gouvernement du Pakistan au Minist~redes finances et la personne ou les personnes qu'il aura d~sign~es par 6crit serontles repr~sentants autoris6s du Garant aux fins de l'alin6a b du paragraphe 6.12du R~glement sur les emprunts.
