TAKE NOTICE that JCHS has issued an Order dated 28th February, 2018 toKamla Landmarc Properties Private Ltd., Shanti Vimal, Ground Floor, P. M. Road,Vile Parle (East), Mumbai-400 057 (hereinafter referred to as "KLPPL") and to M/s.Kamla Landmarc - Sun Vision (JV), Sheela Niwas, 1st Floor, Opposite ParleshwarPost Office, Paranjape 'A' Scheme, Road No. 1, Near Sun City Cinema, Vile Parle(East), Mumbai-400 057 (hereinafter referred to as "KLSVJV") forTermination/Cancellation with immediate effect of the Development Agreementdated 30th April, 2008 registered with the Sub-Registrar of Assurances at AndheriNo. 1 (Bandra) on 31st May, 2008 at Serial No. BDR-1/4785/2008 between KLPPLand JCHS and the Deed of Modification Cum Supplemental Agreement dated 30thDecember, 2013 registered with the Sub-Registrar of Assurances at Andheri No. 2on 03rd January, 2014 at Serial No. BDR-4/36/2014 between JCHS & KLSVJV andfor permanent Blacklisting/Debarring of KLPPL, Sun Vision Estates, KLSVJV andall their associates from participating in any future Redevelopment Project of JCHSin any manner whatsoever. As a natural corollary to the issuance of the Order notedabove, all other consequential arrangements, documents, agreements, etc. in thisregard, including, but not limited to, Permanent Alternative AccommodationAgreements between KLPPL/KLSVJV and some members of JCHS, Power(s) ofAttorney furnished by JCHS to KLPPL, KLSVJV and/or their personnel, etc. standautomatically cancelled/ terminated forthwith.
TAKE FURTHER NOTICE that the said Order was issued after following the dueprocess of serving a comprehensive "Show Cause Notice" dated 30th January,2018 to KLPPL and KLSVJV which was returnable with their response within thetime period stipulated therein. However, both KLPPL and KLSVJV abjectly failed torespond to the same in any manner whatsoever, thus presenting conclusive evi-dence that they had absolutely nothing to say in their defense regarding the con-tents of the said "Show Cause Notice". It may be noted that the Order as abovewas necessitated due to non-compliance / breach of trust and violation of terms andconditions of the said Agreements by KLPPL and KLSVJV. Although "time" was theessence of all these Agreements, KLPPL and KLSVJV miserably failed to complywith the promised timelines in spite of the fact that several time extensions weregranted to them in good faith by JCHS in this regard. This has resulted in a com-plete loss of faith and trust on the part of JCHS in the ability, competence, capabil-ity and even intention of KLPPL and KLSVJV to ever execute the RedevelopmentProject of JCHS. In the aforesaid circumstances, the decision of JCHS to issue thesaid Order was taken with full responsibility and complete application of mind thusrendering it eminently just and fair and devoid of any arbitrariness whatsoever. Assuch, the question of invoking the provisions of "Arbitration" or creating any "ThirdParty Rights" by KLPPL and/or KLSVJV in this regard does not arise at all.
ALSO TAKE NOTICE that any person/entity dealing with KLPPL, KLSVJV or anyof their associates with regard to the Redevelopment Project of JCHS shall bedoing so entirely at their own risk and cost as to the consequences thereof andJCHS shall not be liable or responsible for the same under any circumstances.
TAKE FINAL NOTICE THAT JCHS is also keeping all the concernedmunicipal/government/statutory authorities informed regarding the issuance of theOrder noted above, as deemed fit and proper by the Managing Committee ofJCHS.
