ABB ENTRELEC END-USER LICENSE AGREEMENT (« EULA »)

IMPORTANT – READ CAREFULLY

THIS EULA IS A LEGAL AGREEMENT BETWEEN YOU (“YOU” OR “LICENSEE”) AND ABBENTRELEC, A FRENCH CORPORATION (“ABB”), FOR ABB’S SOFTWARE PRODUCT, WHICHINCLUDES COMPUTER SOFTWARE AND ASSOCIATED DOCUMENTATION (COLLECTIVELY“LICENSED SOFTWARE”). BY DOWNLOADING, INSTALLING, ACCESSING OR UTILIZING THELICENSED SOFTWARE OR CLICKING THE “I ACCEPT” BUTTON, YOU AGREE TO BE BOUNDBY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE WITH THE TERMS OF THIS EULA,PLEASE DO NOT DOWNLOAD, INSTALL, ACCESS OR UTILIZE THE LICENSED SOFTWARE ORCLICK THE “I ACCEPT” BUTTON.

1 GRANT AND SCOPE OF EULA

1.1 Rights granted to Licensee

1.2 Subject to the terms and conditions of this EULA, ABB hereby grants to Licensee,and Licensee fully accepts upon delivery, for the term set forth in Section 4 anonexclusive, non-transferable and free of charge license to (1) use the Licensed Softwarefor the sole purpose of the reading of eCatalogs published by ABB group and (2) makeone copy of the Licensed Software for backup, provided that all titles, trademark symbols,copyright symbols and legends, and other proprietary markings are reproduced.

1.3 Reservation of rights

1.3.1 Title to and ownership of all intellectual property rights in and to the LicensedSoftware (including but not limited to all sources and object codes, animations, logos,images and text therein) are the exclusive property of ABB. All rights not specificallygranted herein to Licensee are reserved to ABB.

1.4 EULA restrictions

Licensee agrees that it will not:

- sell, lease, license, sublicense, or otherwise transfer any portion of the LicensedSoftware;

- decompile, disassemble, or reverse engineer any portion of the Licensed Software,unless and to the extent required under applicable national law;

- write or develop any derivative software or any other software program based onthe Licensed Software or any intellectual property rights of ABB.

2 EULA EXCLUSION

It is expressly agreed by the parties that the following software components that havebeen included in the Licensed Software are not governed by the terms and conditions ofthis EULA but by the terms set forth in their corresponding license:

- API iText governed by the terms of the Mozilla Public License version 1.1 which canbe found at http://www.mozilla.org/MPL/MPL-1.1.html Please note that the source code version of the iText API is available under theterms of the Mozilla Public License, version 1.1.

- API Jawin governed by the terms of the License CPP-Exception which can be foundat http://jawinproject.sourceforge.net/LICENSE-CPP-Exception.txt and by theApache License, version 2.0 which can be found athttp://www.apache.org/licenses/LICENSE-2.0

- API Xerces governed by the terms of the Apache License, version 2.0

- API Log4j governed by the terms of the Apache License, version 2.0

All these above-mentioned software components licenses are also available in thefollowing file directory “eCatalog\bin\api_licenses” included in the Licensed Software.

3 WARRANTY/LIABILITY

3.1 ABB hereby represents, in good faith, that to its knowledge nothing prevents it togrant the rights mentioned in Section 1 over the Licensed Software.

3.2 You acknowledge that the Licensed Software is supplied "as is" by ABB withoutany other express or tacit warranty, other than that provided for in Article 3.1and, in particular, without any warranty as to its commercial value, its secured,safe, innovative or relevant nature.

3.3 Specifically, ABB does not warrant that the Licensed Software is free from anyerror, that it will operate without interruption, that it will be compatible withYour own equipment and software configuration, nor that it will meet yourrequirements.

3.5 ABB does not either expressly or tacitly give other warranty than those setforth in this section. Therefore, ABB disclaims any and all liability towardsLicensee regarding intellectual property or related matters.

3.6 ABB will not be liable for any special, indirect or consequential damages orlosses of any character, including but not limited to computer malfunction, lossof information, lost profits and business interruption, arising in any way out ofthis EULA or the use of (or inability to use) the Licensed Software howevercaused, even if ABB was advised of the possibility of such damages.

4 TERMINATION

4.1 This EULA is granted for the validity duration of intellectual property rights inand to the Licensed Software, unless earlier terminated.

4.2 You may terminate this EULA at any time by destroying all of Your copies of theLicensed Software.

4.3 This EULA will automatically terminate if You fail to comply with the materialterms of this EULA.

4.4 Your right to use the Licensed Software may also be limited by anotheragreement to which You are subject, and such other agreement may cause anearlier termination of the rights granted under this EULA (for example, in thecase the Licensed Software is provided under a separate agreement on a timelimited or evaluation basis).

4.5 Upon termination, You agree to remove all Licensed Software from Yourcomputers, destroy all copies of the Licensed Software in your possession, and,upon request from ABB, certify in writing Your compliance herewith.

5 MISCELLANEOUS

5.1 Assignement

5.1.1 This EULA shall inure to the benefit of, and is freely assignable to, ABB’ssuccessors and assignees of rights in the Licensed Software belonging to ABB.

5.2 Waiver

The waiver or failure of either party to exercise in any respect any right provided for inthis EULA shall not be deemed a waiver of any further or future right under this EULA.

5.3 Entire Agreement

The parties acknowledge that this EULA expresses their entire understanding andagreement, and that there have been no warranties, representations, covenants orunderstandings made by either party to the other except such as are expressly set forthin this EULA. The parties further acknowledge that this EULA supersedes any and all prior

agreements, written or oral, between the parties with respect to the matters set forthherein.

5.5 Severability

In the event that any provision of this EULA is found invalid or unenforceable pursuant tojudicial decree or decision, the remainder will remain valid and enforceable according toits terms. Without limiting the foregoing, it is expressly understood and agreed that eachand every provision of this EULA that provides for a limitation of liability, disclaimer ofwarranties, or exclusion of damages is intended by the parties to be severable andindependent of any other provision and to be enforced as such. Further, it is expresslyunderstood and agreed that in the event any remedy in this EULA is determined to havefailed of its essential purpose, all other limitations of liability and exclusion of damagesset forth herein will remain in full force and effect.

5.7 Governing Law

This EULA SHALL be governed by the laws of France. The applicability of the United Nations Convention oncontracts for the international sale of goods of 11 April 1980 (“Vienna Sales Conventions”) is expresslyexcluded.

All disputes between the parties related to the formation, performance and/ or the interpretation of the EULAwill be submitted exclusively to the competent Paris Court, notwithstanding the fact that there are severaldefendants or introduction of third-parties. This competence provision will also apply in case of summaryprocedures.

Captions and section headings used in this EULA are for convenience only and will not be used in construing it.
