Gujarat Informatics Limited (hereinafter referred to as GIL), for Various Government Departments / Boards /Corporations/OfficesfortheirrequirementofcomputerhardwareincludingperipheralsintendtoinviteoffersthroughEtenderingrouteforsupply,installationandmaintenanceofComputerhardwareincludingperipheralsacrossthestateofGujarat.(TenderNo.HWT300515282)

EligibilityCriteriaforthebidder:

1. ThebiddershouldhaveatotalsumofturnoverofRs.30Crore(Minimum)inthelastthreefinancialyearsandthe

turnoverofthelastyearshouldbeatleastRs.10crores.ThecopiesofAuditedAnnualAccountsforlastthreeyearsshallbeattachedalongwiththebid.(Formno.E1)

2. (a)Thebiddermusthaveoneoffice inGujarat.Pleaseattach thecopyofany twoofthe following:Property tax

bill/ElectricityBill/TelephoneBill/VAT/CSTRegistration/Leaseagreement. (Formno.E2). In case,bidderdonothaveofficeinGujarat,biddershouldgiveundertakingtoopenofficeinGujaratwithin45daysfromthedateofempanelment.

6. The Manufacturer of the product (OEM) should be ISO 9001:2008 Process Certified for manufacturing. ISO

certificates are required for items like Server, Desktop PC, Ethernet Switches, UTP cable, Jack/Patch Panels,InformationOutlets,Printers&UPS.(FormNo.E7)

7. IfbidderisConsultants/firm,andanyofitsaffiliateshiredtoprovideconsultingservicesforthepreparationor

implementationofaprojectunderthistender,thenbidderwillbedisqualifiedforprovidinggoodsorworksorservicesrelatedtotheinitialassignmentforthesameproject.

4. TheBiddermayquoteonlyoneoption(i.e.onlyoneproductcanbequoted)againsteachitem.Biddersarerequired

tomentionmake&Modeloftheproduct(DonotwriteOEMagainstitemsexcepttheitemsaskedtobeintegratedwithServers/Computersasbiddersareexpectedtogivemake&modeloftheproduct).

5. Thebidderwillhavetosupply, install,maintainandprovideoperationaltrainingofsuppliedhardware,Operating

SoftwareandperipheralsandcarryoutnecessaryintegrationatofficeslocatedallacrossGujaratState.6. IncasethequotedItemisnotavailableinthemarket,thebidderwillhavetosupplyHigherVersion/replacementof

thatIteminthequotedcostinthesametimedurationwithpriorapprovalofGIL.NoEndofLifeproductshouldbequotedtominimizesuchinstancestillthebidvalidity(Make&Modelquotedbythebiddershouldbeavailabletillthebidvalidity,dulysupportedforspares/OEMsupportforwarrantyperiod).

7. TheBiddershallbearallthecostsassociatedwiththepreparationandsubmissionofitsbid,andGILwill innocase

willberesponsibleorliableforthesecosts,regardlessofconductoroutcomeofbiddingprocess.8. Thebidderhas toupload thecompliance letteron its letterheaddulysignedby theauthorizedsignature&other

supporting documents as asked for in the bid in scanned format. Failing to submit the same or noncompliance/deviation fromanybid termsandconditions,eligibilitycriteriaor technicalspecificationsmay result inrejectionofthebid.

9. TheBidderhas to examine all instructions, forms, terms, conditions and specifications in thebiddingdocuments.

Failure to furnish all information required by the bidding documents or submission of a bid not substantiallyresponsivetothebidingdocumentsineveryrespectwillbeattheBiddersriskandmayresultinrejectionofitsbid.

10. AmendmentofBiddingDocuments(Corrigendum)

10.1 At any time prior to the deadline for submission of bids,GILmay, for any reason,whether its owninitiative or in response to the clarification request by a prospective bidder, modify the biddingdocuments.

10.2 Thecorrigendumwillbepublishedonwebsitehttps://gil.nprocure.com.10.3 Inordertoallowprospectivebiddersreasonabletimetotakeintoconsiderationtheamendmentswhile

preparingtheirbidsGIL,atitsdiscretion,mayextendthedeadlineforthesubmissionofbids.

o EMDasmentionedabove,shallbesubmitted intheformofDemandDraftORintheformofanunconditionalBankGuarantee(whichshouldbevaliduptovalidityofRateContract+90days)ofanyNationalizedBank (operating in IndiahavingbranchatAhmedabad/Gandhinagar)in thenameofGujarat InformaticsLtd.payableatGandhinagar(asperprescribedformatgivenatasperprescribed formatgivenatAnnexureA )andmustbe submittedalongwith the coveringletter.Pleaseaffixthestampofyourcompanyontheoverleafofdemanddraft.

13. IncaseofnonreceiptofBidProcessingfees&EMDasmentionedabovewithinprescribedtimethebidwillberejected

byGILasnonresponsive.14. Unsuccessful/DisqualifiedbiddersE.M.D.willbereturnedaspromptlyaspossiblebutnot laterthan15daysafterthe

expiration of the period of bid validity OR upon the successful Bidder signing the Contract, and furnishing thePerformanceBankGuarantee@5%ofthetotalordervalueasprescribedbyGIL,whicheverisearlier.

15. In exceptional circumstances,GILmay solicit the Bidders consent to an extension of the period of validity. The

requestandtheresponsestheretoshallbemade inwriting. ABiddermayrefusetherequestwithoutforfeiting itsE.M.D.ABiddergrantingtherequestwillnotbepermittedtomodifyitsbid.

16. TheSuccessfulbidderhastosubmitcopyofeachpurchaseorder,acceptanceofpurchaseorder&copyofPBG ,

offerofthematerialforinspectionatGILoffice.17. TheSuccessfulbidderhastosubmitPerformanceBankGuarantee@5%oftotalordervaluewithin15daysfromthe

dateofissueofPurchaseorder(forwarrantyperiod+extra3months)fromAllNationalizedBankincludingthepublicsectorbankorPrivateSectorBanksorCommercialBanksorCoOperativeBanks(operatinginIndiahavingbranchatAhmedabad/ Gandhinagar) as per the G.R. no. EMD/10/2013/655/DMO dated 31.03.2014 issued by FinanceDepartment or further instruction issued by Finance department time to time. (The draft of Performance BankGuaranteeisattachedherewith).

18. SuccessfulbidderswillhavetosignthecontractuponreceivingthePurchaseorderwiththepurchaser(s)within15

workingdaysfromthedateofPurchaseorder.(ThedraftoftheContractformisattachedherewith)

19. The successful Bidders E.M.D. will be returned upon the Bidder signing the Contract, andfurnishing the Performance BankGuarantee@ 5% of the total order value, offer of inspection of the orderedmaterialandaftercompletionofbidvaliditywhicheverislater.

20. TheE.M.D.maybeforfeited: (a)ifaBidderwithdrawsitsbidduringtheperiodofbidvalidity (b)IncaseofasuccessfulBidder,iftheBidderfails: (i)TosigntheContractasmentionedaboveor (ii)Tofurnishperformancebankguaranteeasmentionedaboveor (iii)Ifthebidderisfoundtobeinvolvedinfraudulentpractices.

(iv)Ifthebidderfailstosubmitthecopyofpurchaseorder&acceptancethereof.21. TerminationforDefault

21.1 ThePurchasermay,withoutprejudicetoanyotherremedyforbreachofcontract,bywrittennoticeofdefault sent to theBidder (afterprovidingnotice/cureperiodof30days), terminate theContract inwholeorparta) ifthebidderfailstodeliveranyoralloftheGoodswithin45workingdaysfromthedateofpurchase

order,orwithinanyextensionthereofgrantedbythePurchaserorb) iftheBidderfailstoperformanyobligation(s)undertheContract/Purchaseorder.c) If theBidder, in the judgmentof thePurchaserhasengaged incorruptor fraudulentpractices in

competingfororinexecutingtheContract.

Forthepurposeofthisclause:Corruptpracticemeanstheoffering,giving,receivingorsolicitingofanythingofvalueofinfluencetheactionofapublicofficialintheprocurementprocessorincontractexecution.fraudulentpractice :amisrepresentationof facts inorderto influenceaprocurementprocessortheexecutionofacontracttothedetrimentofthepurchaser,andincludescollusivepracticeamongBidders(priortoorafterbidsubmission)designedtoestablishbidpricesatartificialnoncompetitivelevelsandtodeprivethepurchaserofthebenefitsoffreeandopencompetition;

21.2 IntheeventthePurchaserterminatestheContractinwholeorinpart,pursuanttoClause21.1above,thePurchasermayprocure,upon such termsand insuchmanner,as itdeemsappropriate,GoodsorServicessimilartothoseundelivered,andtheBiddershallbeliabletothePurchaserforanyexcesscostsforsuchsimilarGoodsorServices.However,theBiddershallcontinuetheperformanceoftheContracttotheextentnotterminated.

22. Priceshallbeinclusiveofallfreight,forwarding,transitinsuranceandinstallationcharges.23. PricesshallbeinclusiveofExciseDuties.Thepricesshallstrictlybesubmittedinthegivenformat.Quotedpricesshall

bewithoutVAT.The tax (VAT)componentsasapplicableshallbementionedseparately in the respectivecolumns.SuccessfulVendorwillhavetosupply/providegoodswithanInvoicefromaplacelocatedwithinStateofGujarat.

24. LateBidsThebidderwillnotbeabletosubmitthebidafterfinalsubmissiondateandtime.25. ModificationandWithdrawalofBids

25.1 Nobidswillbeallowedtobemodifiedsubsequenttothefinalsubmissionofbids.25.2 Nobidwillallowedtobewithdrawnintheintervalbetweenthedeadlineforsubmissionofbidsandthe

expiryofthebidvalidity.WithdrawalofabidduringthisintervalwillresultintheforfeitureofbiddersE.M.D.

26. Bidswillbeopenedwiththebuyersprivatedigitalkey inthepresenceofBiddersrepresentatives,whochooseto

attend. The Bidders representatives who are present shall sign a register/attendance sheet evidencing theirattendance.Therepresentativewillbeheldresponsibleforallcommitmentsmadeonbehalfofthebidderandthatwillbeconsideredvalid forall furtherdealings related to this tenderprocess. In theabsenceof thebidder(s), thetendercommitteemaychoosetoopenthebidsaspertheprescribedschedule.

27. TheBiddersnames,Bidmodificationsorwithdrawals,discounts and thepresenceor absenceofrelevantE.M.D.and suchotherdetailsasGIL/GOGofficer(s)at theirdiscretion,may considerappropriate,willbeannouncedattheopening.

28. Evaluationof thebids:After theclosing timeof submission,GIL/GOGcommitteewillverify the submissionofBid

ProcessingFees&EMDasperbidtermsandconditions.Theeligibilitycriteriaevaluationwillbecarriedoutoftheresponsivebids.Thetechnicalbidsofthebidderswhoarecomplyingwithalltheeligibilitycriteriawillbeopenedandevaluatednext.Thefinancialbidofthetechnicallyqualifiedbidderswillbeopened.Successfulbidderwillbedecidedbasedontheitemwiselowestquotedrateswithouttaxasmentionedinthefinancialbidsection.Allothertechnicallyqualifiedbidders,whose financialquotearewithinthepricebandof10%of lowest itemwisequotedrateswillbeinvited to match the lowest negotiated rates and if they match the lowest negotiated rates then they will beempanelled&theirrateswillalsobecirculated.Undercircumstances,wherenotmorethanonetechnicallyqualifiedbiddersarewithinthepricebandof10%,GIL/GOGmayinviteothertechnicallyqualifiedbidderstomatchthelowestnegotiatedratesforwiderempanelmentoftechnicallyqualifiedproducts.

29. Inspectionprocess:

29.1 Qualityofgoodsandservices:

Theequipment/productmust confirm to the specifications givenandofdesiredquality.Thebiddershallguaranteethatitemdeliveredtothepurchaserarebrandnewandnotrefurbishedone.

Consistencyinqualityshallbemaintainedfortheentirelotofproductsoffered.Alltherequiredquantityof items in scheduleof requirement shallbeof the samebrandandmodelno.Thebidder shallnot substituteany internal componentsor subsystemsof theproductby similaritemsofdifferentmanufacturers.

Alltheequipmentsshallbesuppliedwiththerelevantinterfacecablesandnecessarystandardaccessories.

Thevendorshallberesponsibleforthequalityofsupply. SuccessfulbidderhastopastnonremovablestickeronallkindofServers,allkindofDesktops,

monitors,allkindofPrinters,allkindofScanners,allkindofNetworkingEquipmentsincludingSwitches,allkindofUPS,VoltageStabilizerandOtherItems(ExternalUSBHDD,ExternalOpticalDrive,Speakers)etc.withdetailsofTenderno.,biddersname,address,contactdetail,servicecentre/helplinenumberandwarrantyexpirydate.

29.2 Factory/Warehouseinspection:

The factory testingwill be done in the factory/warehouse of the vendor. All the necessaryinspection/testing facilitieswouldbeprovidedby selectedbidder asper the requirementofinspection/testing team constitutedbyGILwherein all thenecessary expenditure related toinspectionshallbebornebythebidder.

TheminimumlotsizeforinspectionshallbedecidedbyGIL.Atthetimeofinspection,bidderisrequired to produceOEMs confirmation onOEMs Letter headwith Sr. nos. of Equipment,Software and Batteries supplied for back to back warranty support as per tender terms &conditions.

Thebiddershallmaketheequipmentreadyfortheinspectionwithin30daysfromthedateofplacingtheorderbytheindenters.

Foreverysuchbatch,thebiddershallcommunicateinwritingtoGILaboutthereadinessoftheequipmentfortheinspection.

Themethodofinspectionshallbeonsamplingbasisanditsintensitywillbemin.10%.HoweverGILreservestherighttomakechangeinmethodologyandintensityoftheinspection.

Onthesatisfactionaftertests,thebatchshallbecleared fordispatch.Anydeviationfound inthe specificationof theproducedgoodsordeliveredgoodsafter inspection from the tenderspecificationswillleadtothecancellationoftheorder,forfeitureofEMD/PBGandprohibitionin the participation in the future purchase of Government of Gujarat. GIL/GoG will not beresponsible forany timedelaywhichmayarisedue toanydeviation from thebid technicalspecification found at the time of inspection and the bidder has to deliver and install theorderedgoodswithinprescribedtimelimit.

The indenters right to inspect, test and,wherenecessary, reject theGoodsaftertheGoodsarrivalatCustomerSiteshall innowaybe limitedorwaivedbyreasonoftheGoodshavingpreviouslybeeninspected,testedandpassedbytheinspectionteamofGILpriortotheGoodsshipment.

30. LaboratoryTesting:

ForallkindofDesktopsi.e.PC1,PC2,PC3&PC4:GIL/EQDCwillselectminimum1samplefortestingpurposeforeachmake&modelofPC1,PC2,PC3&PC4quotedbybidder

(Note: During the validity of Rate Contract, ,if bidder will offer OR request GIL to accept higher model forPC1,PC2,PC3&PC4 insteadofquotedmodel,duetotechnicalreasons, i.e.EOLofquotedmodel,thenGILwillalsotakesampleofnewofferedhighermodelofPC)

ForallkindofUPS, i.e.600VALineInteractiveUPS,1KVA,2KVA,5KVA,10KVAOnlineUPS:GIL/EQDCwillselectminimum1samplefortestingpurposeforeachmake&modelof600VALine InteractiveUPS,1KVA ,2KVA,5KVA,10KVAOnlineUPSquotedbybidder.

(Note:DuringthevalidityofRateContract,,ifbidderwillofferORrequestGILtoaccepthighermodelfor600VALineInteractiveUPS,1KVA,2KVA,5KVA,10KVAOnlineUPSinsteadofquotedmodel,duetotechnicalreasons,i.e.EOLofquotedmodel,thenGILwillalsotakesampleofnewofferedhighermodelofUPS)

Allthechargestocarryoutlaboratorytestingshallbebornebythebidder.Selectionofthesampleshallbedonebytheinspectionteamasperthestandardnormsandprocedure.

31. Delivery&installation:Within45workingdaysfromthedateofconfirmedpurchaseorder.32. If the successful bidder of the immediately preceding tender(s) for the Purchase of Computer Hardware & LAN

equipmentsas floatedbyGILhas failed todeliver thependingorderswithin theprescribed time limit, then suchbidderwilldeemedtobeineligibletoparticipateinthistender.Theperiodofsuchdeemedineligibilitywillbeforasixmonthsfromthedateofexpiryof45workingdaysfordeliveryandinstallationforsuchprecedingtender(s)inviewofhispoorperformance.

33. Bidsshallbevalidupto31.12.2015.Abidvalidforashorterperiodshallberejectedasnonresponsive.Ifrequired,

GILmayextendthebidvalidityforfurtherperiodfromthedateofexpiryofbidvalidity inconsultationwiththesuccessfulbidder.

34. PenaltyClause

34.1 Ifthebidderfailstodeliverand installtherequisitehardwareandsoftwarewithin45workingdaysofthe issueof the confirmedpurchaseorder, then a sum equivalent toonepercent (1%)of the totalcontractvalueshallbedeductedfromthepaymentforeachcalendarweekofdelayorpartthereof.

34.2 Theamountofpenalty(liquidateddamages)shallbesubjecttoamaximumlimitof10%ofthetotalcontractvalue.

34.3 Delay inexcessof10weekswillbesufficienttocauseforterminationofthecontract.InthatcasethePerformanceBankGuaranteeofthebidderwillbeforfeited.

34.4 Incase,theselectedbidderdoesnotsupplytheordereditemsforanyreason,thebidderwillbeliabletopay the difference amount to the purchaser, over and above the performance guarantee, whichindenterdepartmenthastopaytothenextorotherselectedbidderforpurposeofthesaiditems.

35. Warranty

35.1 Warranty: Comprehensiveonsitewarranty for5years from thedateof installationofServers& itsoptions,

35.2 Thebiddershallguaranteea95%uptimeofcomputersystems/peripherals.35.3 Ifanycomputer systems/sgivescontinuous trouble, saymore than3 times inonemonthduring the

warrantyperiod,thebiddershallreplacethesystemswithnewsystemwithoutanyadditionalcosttothepurchaser.

35.4 Maintenanceservice:Freemaintenanceservicesshallbeprovidedby theBidderduring theperiodof warranty.

(Note: Working hours will be considered for Resolution/Response time during warrantyperiod/maintenanceservice)

35.5 Duringwarrantyperiod,ifthecomplaintisnotresolvedwithin48hrsthepenaltyofRs.500perdayforServer or NOS and within 72 hrs for nodes and terminals, the penalty of Rs. 300 per day and forPeripheralsornetworking components thepenaltyofRs.200perdaywillbe levied.However, if thecomplaintsnotresolvedwithin7daysthen from8thdayto14thday,penaltywouldbe levied@150%andfrom15thdayonwardspenalty@200%oftheaboverateswouldbelevied.TheamountofpenaltywillberecoveredfromthePerformancebankguaranteeduringwarrantyperiod.

35.6 Itisexpectedtheaveragedowntimeoftheitem(system)willbelessthanhalfthemaximumdowntime.

Incaseanitem isnotusablebeyondthestipulatedmaximumdowntimethebidderwillberequiredtoarrange for an immediate replacement of the same till its is repaired. Failure to arrange for theimmediaterepair/replacementwillbeliableforpenaltyofRS.500perdayforserverandRS.300perdayfornodesandterminalsandRs.200perdayforPeripheralsornetworkingcomponents.TheamountofpenaltywillberecoveredfromthePerformancebankguaranteeduringwarrantyperiod.

35.7 TheBidder/SystemIntegratorwillberequiredtocoordinatewithsoftwarevendorand/ordoliasioning

with other service provider to achieve the endtoend connectivity. This also includes Server OSconfigurationwithrespecttoLAN/WANtechnologiesimplementation.

36. Payment:PaymentforGoodsandServicesshallbemadebytheIndentingDepartmentinIndianRupeesasfollows:

36.1 Noadvancepaymentwillbemade.36.2 90%paymentaftersuccessfulinspectionanddeliveryoftheorderedgoods.Theinspectionwillbe doneasdecidedbyGIL.36.3 Remaining10%paymentwillbemadeafterinstallationoftheorderedgoods.

37. GIL reserves the right to change any bid condition of any item even after inviting the bids, with/without prior

notification.38. GILsRighttoacceptanyBidandtorejectanyorallBidsGILreservetherighttoacceptorrejectanybid,andto

annulthebiddingprocessandrejectallbidsatanytimepriortoawardingtheContracts,withoutthereby incurringanyliabilitytotheaffectedBidderorbiddersoranyobligationtoinformtheaffectedBidderorbiddersofthegroundsforsuchdecision.

39. Asthisisaratecontract,thequantitymentionedinthebidisunit.Duringtheperiodofratecontract,anyGovt.office

cannotplace thepurchaseorderofanyequipment (finalizedunder thisRateContract) formore than1000no.s.Underthecircumstances,ifanyGovt.office,wanttoprocuremorethan1000no.sofequipment,thentheyneedtosendindentformatGIL,GILreservesrighttoeitherfloatclosebidinquiryamongempanelledvendorsunderthisRateContractORfloatseparatetenderinquiry.

Duringtheperiodofratecontract,theempanelledvendorwillhavetoacceptpurchaseordersduringthevalidityofratecontractperiod.Asperbid floatedbyGIL inpast,normally fromtypicalbid510servers,30005000desktops,20003000printers,1050DMPprintersand10002000UPSarebeingprocured(thisisforestimationpurposeonly).Thequantityisonlyindicativeforreferencepurpose&itdoesnotgiveguaranteefororder.

40. Allcorrection/addition/deletionshallrequireauthorizedcountersign.

41. Limitation of Vendors Liability: Notwithstanding anything contained in the Contract, Vendors liability

will be only for actual direct damages and shall be capped and limited todoublethechargesortheamountspaidordueandpayabletoVendor fortheServicesthatarethesubjectoftheclaim.

42. FALLCLAUSE:

ThepriceschargedforthematerialsuppliedundertheRatecontractbythebiddershallinnoeventexceedthelowestprice at which the bidder sells the material or offer to sell material of identical description to anyperson(s)/organization(s)includingthePurchaseroranyDepartmentoftheCentralGovernmentoranyDepartmentofaStateGovernmentoranystatutoryundertakingoftheCentraloraStateGovernment,asthecasemaybe,duringtheperiodtillperformanceofallSupplyOrdersplacedduringthecurrencyofRateContractiscompleted.

Ifatany timeduring thesaidperiod, theBidder reduces theSaleprice,sellsoroffers to sellsuchmaterial toanyperson(s)/organization(s)includingthePurchaseroranyStatutoryundertakingoftheCentraloraStateGovernment,as thecasemaybe,ataprice lower than theprice chargeableunder thisContract,he shall forthwithnotify suchreductionorSaleorofferofSaletoGIL/IndentingDept.andthepricepayableundertheContract forthematerialsuppliedafterthedateofcomingintoforceofsuchreductionorsaleorofferofsalestandcorrespondinglyreduced.Theabovestipulationwill,however,notapplyto: Export/deemedExportbythebidder SaleofGoodsasOriginalEquipmentpriceslowerthanthepricechargedfornormalreplacement. 43. ForceMajeureShallmeanandbelimitedtothefollowing:

a) War/hostilitiesb) RiotorCivilcommotionc) Earthquake,flood,tempest,lighteningorothernaturalphysicaldisaster.d) RestrictionsimposedbytheGovernmentorotherstatutorybodieswhichpreventsordelaysthe executionoftheorderbytheBIDDER.
