)INSTRUCTIONS TO TENDERER(

1. With the purpose for definition of the phrases & words stipulated in these tender

documents, shall have the meanings except where the context otherwise requires.

1.1 . Qatar National Cement Company(Q.P.S.C.)means the Company/QNCC .

1.2 . The tenderer means the legal entity who submitted his tender offer in this tender.

2. The tenderer must adhere to the conditions stated in the tender

documents, and indicate in writing the rate price per one thousand bags

and total prices of complete tender quantities required on the “Tender Form”,

and on the Form of Bill Quantity and the Total Prices duly filled on the

tenderer„s company„s letter head in accordance with the provisions of these

documents. Any tender offer that does not comply with these provisions

shall be considered null and void.

3. Tenderer must return the original tender documents filled in with the

required information without any alterations. Should there be any

comments, qualifications, reservations or amendment, they must be

stated in writing by using the separate formats provided in Tender

Documents page No. (35) and attached to the tender offer and

indicated on the enclosed Tender Offer.

4. Tender offer must be submitted in three (3) separate wax-sealed

envelopes (Tender Bond Envelope, Technical Offer Envelope in

(Original plus two additional duplicated copies) and

Financial/Commercial Envelope (Original plus two additional

duplicated copies) and all to input in an outer Sealed Envelope and

should clearly mentioned in writing on the face of tender offer

envelope , tender number, tender title, closing date and to be addressed

to the Chairman of Tender and Procurement Committee.

5. Tender Offer should includes two separate offers/bids and must be submitted

accompanied with samples for the required two types of bags, Main offer/bid

for the 3 Ply paper bags with specified specifications and dimensions

mentioned in theses tender documents, Alternate offer/bid for the quality of

paper bags with 2Ply with specified specifications and dimensions mentioned in

theses tender documents and each offfers should accompanied with 15 nos. of

empty paper ssacks/bags separately for each offer. Conditional to the samples, the

submitted samples must be anonymous & not indicating any written on them,

either by printing or writing the name and address of the manufacturer or the

name and address of the tenderer/bidder, any tender offer violating to these

provision will be rejected.

6. When submitting his bid, the Tenderer shall as listed and enumerated in the Tender

Offer and comply with the documents without any alterations to technical

specifications and terms and conditions.

7. The Tenderer may submit alternative tender offers in addition to the

required original/Main tender offer & alternate tender offer if the tenderer

deems it to be in the interest for the Contract to be executed or the Items

required financially or technically or with respect to delivery & completion

period or for any other consideration. These Tender offer(s) will be presented in

separate envelopes in the same manner as the original Tender and in the same

number of copies as the original tender documents. Any alternative Tender offer(s)

whic is not priced on the concern specified forms in Tender documents may

be rejected and all alternative technical proposal must be priced and detailed in a

manner that would allow for a comprehensive evaluation of the Tender offer.

8. Tender must include the following: a. Tender Form along with all annexes.

b. Tender Bond. c. Form of Schedule of Quantity and Prices

9. Tender Bond shall be enclosed with the tender offer in the form of bank

guarantee issued by one of the first class reputable bank operating in the

State of Qatar and acceptable to the Company/QNCC. It must be

unconditional and valid for (120) days commencing from the closing date.

The Tender and Procurement Committee reserves the right to exclude any

tender offer which does not include the required tender bond.

10. Each tenderer must demonstrate that he had previously supplied

the offered items together with evidence that these items have been

succesfully used for a period of time.

11. Should there be any erasures or scratching out on the Tender offer, it must

be signed by the tenderer and have the stamp of the

company/establishment.

12. Prices and their particulars must be type written or hand written and

should not be written in pencil. All pages of the tender documents, specially

those containing the total prices and their term must have the stamp of the

tenderer affixed to them.

13. In case of any differences, ambiguity or discrepancy between the original

and other copies of the tender offers, the original documents shall prevail.

Tender General Conditions:

1. Validity of Tender Offer

1.1 Tender offer must remain valid for acceptance for ninety (90) days commences from Tender„s

closing date.

1.2 The prices should submit in Qatari Riyals or in US Dollar and writing in the respective

particular forms such as (Form of bill of Item„s quantities & their individual prices & Tender

Form) plus all other monetary statements in connection with the Tender as described in

these tender documents.

1.3 The tender must include fixed lump sum prices and also must be including all

expenses such as other cost incurred in this respect.

1.4 Unit rate shall be indicated, the total prices quoted in Tender Form attached herein and shall

only be considered, no attention shall be given to any other figures or errors committed by the

Tenderer in calculating his total price. The tenderer shall not be allowed to make any

amendments to his price after submitting his tender. Should the arithmetic error exceed

5% of total price. The tender shall be excluded unless the Company/QNCC decides to

accept it for reasons of it's intreset. Should the amount stated in words differ from the

amount stated in figures, the lesser amount will be endorsed. Without prejudice to the

principle of accepting the lump-sum price, and if it was ascertained after examining the tender

offer that the individual prices & their items did not correspond to the lump-sum price, the

lump-sum price would be endorsed, unless the error therein involved an increase over the

total of the individual prices & their items, in which case the revised would be endorsed.

1.5 The tenderer may not withdraw his tender offer or amend his tender offer after the closing

date of tender and shall be committed to the prices and conditions stated in his tender offer

before the amendment. In the event of withdrawal of the tender offer, he shall be subject to

confiscate the amount of the bank tender bond accompanied with his offer submitted in

this tender.

1.6 The tenderer should undertakes in wrting in case of the tender awarded to him that he

accepts the signing the final contract according to the terms & conditions defined given in the

tender documents of this tender.

1.7 The tenderer undertakes to Supply & delivery of the required total quantities of paper bags

subject to this Tender on a number of shipments in quantities to be delivered from time to

time determined by the Company/QNCC within the effective execution period of the

Contract.

1.8 The tenderer shall execute the Contract himself and he shall not assign it in whole or in part or

sub-let it wholly or partially without the prior written consent of the Company/QNCC. If

permitted by the Company/ QNCC to assign the whole Contract or part thereof, the Supplier

shall guarantee the proper execution of the contractual obligations by the assignee. The

Supplier and the assignee shall be jointly responsible on sub-letting.

1.9 The Tenderer must adhere to the conditions stated in the tender documents & write the prices

and its individuals in details on the form of tender and bill of quantities are attached herein

tender documents. The Company/QNCC may reject any tender offer that does not comply

with this provision.

2. TENDER BOND:

2.1 The tenderer shall presents a Tender Bond/bank letter of guarantee or bank certified cheque

on his account within limited amount of QAR 150,000/=(Riyals Qatari One Hundred Fifty

Thousand only ) or equivalent to US Dollar shall be issued by one of first class reputable bank

operating in the State of Qatar and acceptable to the Company/QNCC, and it must be

unconditional and valid for (120) days commences from the closing date & it must be valid

for the entire performance its value and subject to renewal its validity period at the first

demand of the Company/QNCC without the slightest objection by the tenderer. Any tender

offer not accompianed with the required tender bond will be rejected.

2.2 In the event the tender awarded the successful bidder shall submit before the date of signing

the Contract the final letter of guarantee (Performance Bond) within time specified in the

award letter as per the format provided in this tender document. This guarantee amount

should be equivalent to 10% of tender offer total price submitted in this tender, to be issued

in favor of the Company/QNCC and its validity cover 12 (twelve) months period of supply,

plus a period of sixty (60) days which it should be calculated from the final receipt date the of

Last shipment quantity sequel the Contract's total quantities. In case the Supply period

extended, this guarantee shall cover new extension period, the guarantee should issued

unconditional and payable in full. On first written demand by the Company/QNCC.

3. SUPPLY PROGRAME & DELIVERY:

The tenderer should mentioned in his tender offer that he is committed to the supply and

delivery of the complete quantities subject to this tender, in accordance with the actual

requirements of the Company/QNCC shall be determined it , from time to time throughout

the duration of execution the contract.

4. COMPANY„S RIGHTS:

4.1 To cancel the tender without giving any reason(s) and/or award it on partial basis to

4.4 The Company/QNCC has the right during the Contract Period to increase or decrease the

agreed supply rates not more than 20% of the Contract total quantities according to its

same prices and conditions. جج

5. PAYMENT CONDITIONS

5-1 QNCC shall pay to the supplier within 30 days of receipt of an invoice/statement accompanied by challan / goods receipt note duly accepted by QNCC in their stores @

Umm Bab, state of Qatar.

5-2 The Company/QNCC may suspend payment in case of suspension of the Supplier for the

execution of the Contract or failure to do so, and the Company/QNCC has the right to

deduct any amounts due from the Supplier under the execution of the Contract

6- LANGUAGE OF TENDER:

6.1 The Language of Tender is the Arabic Language, if necessary the English Language will

consider as second language of tender offer and in case of a conflict found between the

Arabic text and English Text, the Arabic text shall prevail.

6.2 In case of any dispute arising between the Company/QNCC and the Supplier, the two

parties shall first make an attempt to settle the same amicably as early as possible within

ninety (90) days. If the dispute cannot be settled within the said period, then it shall be

referred to Qatari Competent Court to adjudicate this dispute.

7. TENDER OFFER SUBMISION:

7.1 The tender offer must contain two separate offers/bids, Main & Alternate offers and each

of which will be presented in 3 separate wax-sealed envelopes (tender bond, technical &

Commercial/Financial envelopes). The first main offer: for the bags 3 Ply type as per requested

specs. with 15 nos. of empty paper bags as samples separately. The second alternate offer: for

the bags 2 Ply type as per requested specs. with 15 nos. of empty paper bags as samples separately.

The samples are considered as an integral part of technical evaluation of the submitted tender offers,

the tenderer/bidder should clearly mention in writing on the faces of his tender offer„s envelopes the

following data:

i. The First Envelope(Tender Bond):

To write with duly filled on its face name, number & closing date of the Tender, and to be addressed

to the Chairman of Tenders & Procurement Committee (T&PC) in original & additional 1 duplicate

copy without prices.

ii. The Second Envelope(Technical Aspects):

To write with duly filled on its face name, number & closing date of the Tender and to be contained

all technical requirements provided in original & additional 2 duplicate copies without prices and to

be accompanied with (15) sample bags per each main & alternate offers separately, to be completely

not stating any data infromations by printing or writing, except writing the sample of main offer and

samples of alternate offer only.

iii. The Third Envelope(Financial/Commercial):

Doha Seaport-State of Qatar, unpaid Costum Duty basis, Contract duration 1 year renewable according to same terms & conditions and prices contracted.

Supply of Empty Paper Sacks/Bags for (OPC Auto Pack), OPC Bags (Manual) and SRC Bags (Manual) as per technical specifications and terms mentioned herein below for packing Bulk Cement delivery on CIF Doha Seaport on Partial Shipments conditional to final receipt in the Stores at Umm-Bab, State of Qatar.

V. Particular Technical Terms:

1) Printing on Paper Bags : To be on the right side (outward side) when the bag is held in the right hand with valve faiung outward (sample is required before final printing).

2) Packing : On wooden pallets (1200x1000x140mm) well wrapped with plastic sheets and kraft paper and steel

stripped land transport worthy. Any other alternative wrapping can be suggested. 3) Delivery Terms :

3.1. The total quantity of the required empty paper sacks/bags subject to the Public Tender referred in above

shall be supplied within twelve (12) months on partial Shipment upon QNCC/the Company’s notice letter will deliver to the Supplier within the effective period of the Contract.

3.2. Delivery to be on C.I.F. Doha seaport, unpaid Costum Duties Basis, conditional to the final receipt in

QNCC/the Company’s Stores at UmmBab, State of Qatar. 4) The Company/QNCC will decide at the time of awarding the tender with the most one of this two offers (Main or Alternate) is

technically and Commercial preferable based on which is benfits of the company’s packing plants proccess.
