2. On behalf of Telecom Regulatory Authority of India (TRAI), sealed limited tendersare invited for organising an Hackathon to find out the possible solutions for TelevisionAudience Measurement and Ratings in India from the firms mentioned in the limited tender.

3. The tender documents should be submitted in a sealed cover envelop duly super-scribed-- Limited Tender for conducting "Hackathon to find out the possible solutionsfor Television Audience Measurement and Ratings in India".

4. Bidders are advised to go through the tender document carefully and understandvarious provisions contained therein along with their implications. The tender document is nottransferable under any circumstances.

5. Bidders shall have to deposit an Earnest Money Deposit (EMD) of Rs. 30,0001-(Rupees Thirty Thousand only) in the form of Demand Draft drawn on any scheduled bank infavour of "TRAI" payable at New Delhi along with the tender documents. The EMD shall berefunded to the applicants after the execution of the work by the successful bidder. No intereston the EMD shall be payable whatsoever.

Section-II

INSTRUCTIONS T9 TENDERERS

1. Preamble

LIOn 3rd December 2018, TRAI issued a Consultation Paper on "Review of TelevisionAudience Measurement and Ratings in India" seeking comments from the stakeholders. Lateron, Open House Discussions (OHDs) on the aforesaid consultation paper were conducted on24th May 2019 at New Delhi and on 3rd July 2019 at Mumbai respectively. Stakeholders intheir written comments and during OHDs, amongst others, highlighted the issues related todevelopment of technological solutions for Television Audience Measurement withoutmanual intervention.

1.2 TRAI intends to engage a reputed agency for the purpose of conducting an"Hackathon to find out the possible solutions for Television Audience Measurement andRatings in India". The terms and conditions are described in "Terms & Conditions of theTender" in Section - Ill.

2. Scope of Work

2.1 The eligible bidders shall conduct the Hackathon on behalf of TRAI, covering all theTechnical, Management, Logistics and Marketing aspects of the Hackathon.

2.2 Hackathon will be conducted in 2 phases, On-line Phase and Off-line Phase. On-linePhase of the Hackathon (a virtual one) will be open for participants across India forsubmitting idea! synopsis based on the TRAI's objective. Candidates shortlisted followingPhase-I will be invited to participate in Phase-II, which will be off-line. In this phase theparticipants will build on their ideas in a Hackathon of 36 hours to be conducted atBengaluru and present their final solutions.

2.3 The role of hired / selected agency in the Hackathon would be as follows:-

~ Organize and execute the Hackathon~ Assisting TRAI in defining problem statement~ Provide platform for Hackathon~ Develop hackathon webpage for registration and submission of ideas~ Arrangements for publicity of Hackathon through different mediums including

social media~ Identification, coordination and inviting participants/teams for Hackathon~ Evaluate the ideas submitted in Phase-I~ Invite and co-ordinate all participants/teams shortlisted in Phase-I for

participating in Phase-Il~ Organize the on-ground logistics for Phase-Il~ Identify jury members from the industry~ Assist TRAI in evaluating and judging the final solutions to the problem

statement in Phase-Il.

2.5 The role ofTRAI in the Hackathon would be as follows:

~ Share knowledge and resource documents~ Identify speaker for the webinars.~ Share technical pre-requisites and dummy data set architecture for the

participants~ Identify a technical representative to answer queries of the participants

at the Hackathon

2.6 The successful bidder shall complete the Hackathon within a period of 45 (forty five)days from the date of award of work.

3. ELIGIBILITY CONDITIONS OF THE BIDDER

3.1 The bidder should have experience of conducting Hackathons in India during the last 5(five) years, out of which at least one hackathon should have been conducted forgovernment/public sector.

4. TENDER DOCUMENT

4.1 The tender document consists of all documents indicated at page No. 2 of thisdocument

4.2 The tender document must be submitted alongwith the documents indicated inAnnexure 11, failing which the tender is liable to be rejected. Incomplete or conditionaltender is also liable to be rejected.

5. SUBMISSION OF TENDER - TIME LIMITIMODE

5.1 The tender documents should be submitted in a sealed cover envelop duly super-scribed-- Limited Tender for conducting "Hackathon to find out the possible solutionsfor Television Audience Measurement and Ratings in India" and addressed to JOINTADVISOR (B&CS), TRAI.

5.2 The duly completed tender documents complete in all respects shall be submittedalong with all the documents indicated in Annexure 11. Incomplete or conditional bids areliable to be rejected.

5.3 The tender documents shall also contain the schedule of rates (SoR) as per AnnexureIII and the same shall be sealed in a separate envelope, duly super scribed as "Financial Bid".Rates shall be quoted only on the proper form i.e. in the SoR.

5.4 The tender document, duly completed as described in paras above, must reach thedesignated address upto 1500 hrs. on 16th August, 2019 positively. Tenders received afterthe scheduled time and date shall not be considered under any circumstances.

5.5 Each folio of tender document and every supporting document attached with it shallbe signed by the intending tenderer or such person on his behalf as is legally authorized tosign for and on his behalf and embossed with official seal at the time of submission.

5.6 The schedule of rates should be filled in carefully after considering all the aspects ofwork as described in the Section-III on "Terms & Conditions of the Tender". No request forchange or variation in rates or terms and conditions of the tender shall be entertained on thegrounds that the tenderer had not understood the work envisaged by this tender document.

5.7 The tenderer will have to submit an analysis of rates if called upon to do so by TRAI.

5.8 TRAI reserves the right to:-

• accept or reject any or all the Bids without assigning any reasons, irrespective of theirbid being the lowest.

• disqualify the tenderers blacklisted by Central/State Government! Public Sector Unitsor whose contracts have been terminated on account of poor performance.

• negotiate the rates with the lowest tenderer. i.e. L-1.

5.9 Tenderer shall not increase his/their quoted rates in case TRAI negotiates for reductionof rates, such negotiation shall not amount to cancellation or withdrawal of the original offerand the rates quoted will be binding on the tenderer.

5.10 Any variation, addition and/or omissions in the items of work to be actually carriedout shall not form a basis of any dispute regarding the rates quoted by the tenderer in thetender. The rate quoted by the tenderer shall be applicable irrespective of the volume of work.

5.11 If more than one or improper rate is tendered, the tender is liable to be rejectedsummarily and will not be considered.

5.12 Tenders containing erasures, omissions or alterations are liable to be rejected. If anycorrections become necessary, these must be made in ink and all such corrections must beattested by full signature of the tenderer.

6. OPENING OF BIDS

6.1 The bids will be opened in the presence of bidders or their authorized representativeswho choose to attend, at 15:30 Hrs. on due date. The bidder's representatives present at thetime of opening of bid shall sign in an attendance register. Authorisation letter to this effectshall be submitted by the bidders before they are allowed to participate in bid opening.

6.2 Only one representative for any bidder shall be authorized and permitted to attend thebid opening.

6.3 The Bidder's names, documents submitted, modifications, bid withdrawals and suchother details as this office, at its discretion, may consider appropriate; will be announced atthe opening.

6.4 The date fixed for opening of bids, if subsequently declared as holiday, the reviseddate of schedule will be notified. However, in absence of such notification, the bids will beopened on the next working day, time and venue remaining unaltered.

7. EVALUATION OF BIDS

7.1 The bids shall be evaluated by a Tender Evaluation Committee on the basis of overallamount quoted in the financial bid and th fulfillment of the terms and conditions specified inthe tender, to decide the lowest bidder i.e. L1.

7.2 Work shall be awarded to the firm recommended by the Tender Evaluation Committeeand approved by the Competent Authority in TRAI.

8. ACCEPTANCE OF TE DER

8.1 Acceptance of tendered rates will be communicated through an offer letter as soon aspossible.

8.2 The successful bidder whose rates are finally accepted must deposit an amount of 10%of the contract value towards Security Deposit for performance guarantee under the contractwithin 03 days after issue of offer letter.

8.3 The security deposit shall be deposited by Pay Order or Demand Draft made out infavour of TRAI payable at Delhi. If the bidder fails to observe or comply with the saidstipulation, the amount of earnest money shall be liable to be forfeited.

8.4 No interest shall be payable on the security deposit and the security deposit will bereturned only after successful completion of the contract period.

9. EXECUTION OF AGREEME T

9.1 The tenderer whose tender is accepted shall be required to appear at the office of theTRAI in person or if the tenderer is a Firm, Company or a Corporation, a duly authorizedrepresentative shall so appear and execute the Agreement within 05 days of the date of issueof communication from TRAI's office and start the work within 07 days from the date ofaward of limited tender. Failure to do so shall constitute a breach of the contract resulting outof the acceptance of the tender.

9.2 The tenderer shall treat the contents of the tender documents as private andconfidential. ~

Section-Ill

TERMS & CONDITIONS OF THE TENDER

1. Quotation received after due date and time or those not received in sealed cover andrates will not be accepted.

2. No request for change in rates quoted / accepted will be entertained for any reason.

3. Rates should be quoted without erasures and overwriting. Any correction in rates isrequired to be signed by the tenderer, failing which the tender shall be summarilyrejected.

4. TRAI reserves the right to reject any or all the rate quotations without assigning anyreason thereof. TRAI also reserves the right to terminate the agreement at any timewithout assigning any reason, after giving due notice, in writing.

5. The bidder shall comply with all statutory requirements and be governed by the laws ofIndia for the time being in force.

6. The authority for acceptance of the tender documents and tendered rates will rest withthe competent authority of TRAI which does not bind itself to accept the lowest or anyother tender, nor does it undertake to assign reasons for its decision in this matter.

7. All the tender documents submitted by a tenderer shall become the property ofTRAI andthe same shall not be returned to the tenderers.

8. Canvassing in connection with tender is strictly prohibited and the tender submitted bythe tenderer who resorts to canvassing will be liable for rejection.

9. If the tenderer deliberately furnishes fraudulent information or conceals anyinformation/facts in his tender, which proves to be favourable for acceptance of histender, then TRAI reserves the right to reject such tender at any stage of executionwithout any financial liability.

10. The rates quoted shall include cost of manpower, infrastructure or any other requirementto complete the task assigned. No extra payment shall be made on this account.

11. PAYMENT CONDITIONS

11.1 50% payment will be made after completion of Phase-I of Hackathon and remaining50 % payment will be made after completion of Phase-Il of Hackathon.

11.2 On completion of each Phase, the agency shall produce bills for release of payment.

11.3 Payment shall be released only after completion of each Phase and its verification andits acceptance by TRAI. The job will be rejected, if the same has not been carried out inaccordance with the requirements of the limited tender.

11.4 GST, TDS and all other applicable taxes will be deducted as per extant rules.

11.5 In case the agency fails to complete the work within stipulated timeframe mentionedin the tender, a penalty of 10% of the total amount of tender liable to be imposed on theagency.

12. FORCE MAJEURE

12.1 If at any time, during the continuance of the agreement the performance in whole or inpart, by the firm, of any obligation specified in the agreement, is prevented, restricted,delayed or interfered, by reason of war or hostility, act of the public enemy, civic commotion,sabotage, act of State or direction from statutory authority, explosion, epidemic, quarantinerestriction, fire, floods, natural calamities or any act of GOD, (hereinafter referred to asevent), provided notice of happenings of any such even is given by the firm to TRAI withinseven calendar days from the date of occurrence thereof, the firm may be excused fromperformance of its obligation. Provided further that the obligations under the Agreement shallbe resumed by the firm, as soon as practicable, after such event comes to an end or ceases toexist. The decision of TRAI as to whether the obligations may be so resumed (and the timeframe within which the obligations may be resumed) or not, shall be final and conclusive.

12.2 However, the Force Majeure events mentioned above will not In any way causeextension of the period of the Agreement.

13. Laws governing Agreement

The Agreement entered into between TRAI and the agency shall be governed by the laws ofIndia for the time being in force.

14. Jurisdiction of Courts

The court of the place where the Agreement is signed shall alone have the jurisdiction todecide any dispute arising out of or in respect of the Agreement.

15. ARBITRATION

13.1 In the event of any dispute ansing between TRAI and the agency in any mattercovered under this Agreement or arising directly or indirectly there from or connected orconcerned with the said Agreement in any manner of its implementation of any terms andconditions of the said Agreement, the matter shall be referred to the Secretary, TRAI whomay himself act as sole arbitrator or may nominate an officer of TRAI as sole arbitrator,notwithstanding the fact that such officer has been directly or indirectly associated with thecontract. The agency will not be entitled to raise any objection for the appointment of suchofficer of TRAI as the sole arbitrator.

13.2 The award of the arbitrator shall be final and binding on both the parties to theagreement subject to provisions of Arbitration and Conciliation Act, 1996 and rules madethere under.

13.3 The parties expressly agree that the arbitration proceedings shall be held in NewDelhi. The language of arbitration shall be in English only.

16. GENERAL

Any clarification regarding the meaning or intent or interpretation of any of the provisions ofthese terms and conditions required at any point shall be sought from Pr. Advisor (B&CS)TRAI (Room No. 310, Tel: 011-23220018, email: pradvbcs@trai.gov.in) whose decision inthe matter shall be final and binding. Any other matter relevant to but not covered in theAgreement shall also be decided by referring to him and his decision shall be final andbinding.

The scope of work and all terms and conditions listed from para I to 16 along with their sub-para have been read carefully, understood and accepted.
