Technomed Europe was founded in 1980 by my father John Paes, who is now the CEO of our company. In 1994 we initiated the development and production of our own line of neurophysiology products. Since 1997 we also develop and produce a wide range of other medical accessories, this in close cooperation with a worldwide network of equipment manufacturers.

By listening to the needs of the global medical markets and working closely together with all our customers, our extended line of neurodiagnostic accessory products is nowadays sold throughout a network of qualified distributors in more than 70 countries!

Disposable Monopolar Needle ElectrodesOur Disposable Monopolar Needle Electrodes have a machine sharpened conical tip and ultra-thin polytetrafluorehylene (PTFE) coating for low friction while inserting the needle.

The hub is a firm-grip design and is color coded for easy identification.

Reusable Cup ElectrodesOur reusable cup electrodes have been designed so they can be used repeatedly by medical technicians.

The precision stamped cups are available in 10 mm size.

They are made out of 99.9% pure silver. The silver cups are silver-chlorided, covered with a heavy gold-plate, or kept silver.

Article 1 Offer and agreement1. These General Terms and Conditions apply to any and

all offers and agreements pursuant to which the supplier supplies goods and/or provides services of any kind whatsoever to the client. Any deviations from these General Terms and Conditions will be valid only if they are expressly agreed upon in writing.

2. All offers will be without obligation, unless the offer expressly states otherwise in writing. Offers will be valid for the quantities offered only.

3. The applicability of any purchase or other conditions of the client are expressly rejected.

Article 2 Price and payment1. All prices will be exclusive of VAT (BTW) and any other

levies imposed by the government.2. Prices will apply ex warehouse of the supplier, unless

expressly agreed otherwise in writing.3. Payment must be made prior to delivery, without any

discount or set-off, unless the invoice states otherwise, in which case the terms of payment stated in the invoice will apply. In the event of continuing deliveries, the client must pay within 30 days of the date of the invoice.

4. In the event that the client fails to pay the amounts due within the term stated in the preceding paragraph, the client will owe interest at a rate of 1% per month on the outstanding amount, without any notice of default being required, and with part of a month being considered a whole month. In the event that the client continues to fail to pay the claim after the client has been declared to be in default, the claim may be placed in the hands of a debt-collection agency, in which case the client - in addition to the total amount owing at that time - will be obliged to pay all of the extra-judicial and judicial costs, including all costs calculated by external experts, plus the costs established at law, related to the collection of this claim or otherwise [to] the exercise of any rights, the amount of which will be set at a minimum of 15% of the total amount.

Article 3 Retention of title and rightsAll goods delivered to the client will remain the supplier’s property until all amounts owed by the client for the goods delivered or to be delivered or the services provided or to be provided pursuant to the agreement, as well as the amounts referred to in Article 2.4, including interest and collection costs, have been paid to the supplier in full.

Article 4 RiskThe risk of any loss of or damage to the goods forming the object of this agreement will pass to the client when the goods leave the supplier’s warehouse

Article 5 Delivery and delivery dates1. Delivery will be effected ex warehouse of the supplier.

In this connection, the goods will be dispatched in conformity with the client’s forwarding instructions.

2. All - delivery - dates stated by the supplier have been set to the best of its knowledge, on the grounds of the data known to the supplier upon entering into the agreement, and they will be observed to the extent possible. The mere failure to meet a stated - delivery - date will not cause the supplier to be in default. The supplier will not be bound by - delivery - dates that can no longer be met due to circumstances beyond its control that arose after the agreement was entered into. In the event that any date threatens not to be met, the supplier and the client shall consult one another as soon as possible.

Article 6 Warranty, complaints and liability1. A warranty will be issued as provided for in the product warranty

conditions.2. In the event that no product warranty conditions apply, the supplier

shall, to the best of its ability, repair any defects in the material and/or any manufacturing defects in the goods, and in the parts supplied by the supplier within the framework of warranty and maintenance, during a period of three months of delivery in the event that such defects have been reported to the supplier in writing in detail within that period.

3. Within 10 days of receipt of the goods, but [within] thirty days of the date of dispatch, at the latest, the client must file a complaint about any and all visible deviations, failing which any and all relevant rights will lapse.

4. The supplier must be informed of the intention to return goods in writing in advance, stating the Return Material Authorization (“RMA”) number issued by the supplier.

5. A warranty will be issued only in the event that the goods are returned to the supplier in their original packaging.

6. The supplier shall assume statutory obligations to pay damages to the extent that such is evident from this Article 6.

7. The supplier’s total liability due to a breach of contract will be limited to direct damages up to the amount of the price (excl. of VAT) stipulated for the agreement in question. In the event that the agreement is mainly a continuing performance agreement with a term of more than one year, the stipulated price will be set at the total of the fees (excl. of VAT) stipulated for one year. However, in no event will the total direct damages exceed EUR 50,000.

8. The supplier’s liability for indirect damages, including consequential damage [gevolgschade], lost profits, lost savings and damage due to business standstills, will be excluded.

9. Apart from the events referred to in Articles 6.7 and 6.8, the supplier will not bear any liability whatsoever for damages, regardless of the grounds on which an action for damages will be based. However, the maximum amounts stated in Articles 6.7 and 6.8 will lapse in the event and to the extent that the damage is due to an intentional act or omission or gross negligence on the part of the supplier.

10.Liabilityonthepartofthesupplieronaccountofabreachofcontractwillarise only if the client promptly and properly declares the supplier to be in default in writing, stating a reasonable term to cure the breach, and the supplier continues to fail to fulfil its obligation after that term as well. The notice of default must contain the most detailed description possible of the breach, so that the supplier will be able to respond satisfactorily.

11. A condition for any right to damages to arise will at all times be that the client reports the damage to the supplier in writing as soon as possible after it has arisen.

12. The client indemnifies the supplier against any and all claims of third parties on account of product liability as a consequence of a defect in a product that was supplied by the client to a third party and that comprised goods or other materials delivered by the supplier, save in the event and to the extent that the client proves that the damage was caused by those goods or other materials.

Article 7 Force majeure1. Neither party will be obliged to fulfil any obligation in the event that it

is unable to do so due to force majeure. “Force majeure” will also be understood to mean a breach of contract which cannot be attributed to the supplier’s suppliers.

2. If the force majeure situation lasts longer than 90 days, the parties will have the right to terminate the agreement by written dissolution. Any performance already provided under the agreement will then be settled on a pro-rata basis, without the parties owing one another anything else.

Article 8 Applicable law and disputes1. The agreements between the supplier and the client will be governed

by Dutch law.2. Any disputes that might arise between the supplier and the client with

reference to an agreement concluded by the supplier with the client or with reference to any further agreements that might have ensued therefrom will be settled by the competent Dutch courts.
