IGCC®/IGMA®ProgramTheIGCC®/IGMA®CertificationProgramistheproductoftheefforttoharmonizethelegacyIGCC®and IGMA® certification programs. After several years of reviewing the two former certificationprocesses,bestpracticeswereidentifiedandonFebruary3rd,2009anagreementwassignedwhereIGCC® shall license the use of the IGMA® certification mark in the administration of a singlecombined program known as IGCC®/IGMA®. The single programwill operate under one set ofrequirementsandguidelinesandallowformerparticipantsineitherIGCC®orIGMA®certificationto label with IGCC®/IGMA® thus enjoying the greater recognition of both marks. IGCC® shalladministerandgoverntheIGCC®/IGMA®programonbehalfofIGMA®andIGCC®inaccordancewiththeprogramrequirementsassetforthintheIGCC®/IGMA®CertifiedProductsDirectoryandProceduralGuide.The IGCC®Board of Governors is responsible, pursuant to the IGCC® Corporate Bylaws, for allcorporate decisions concerning certification of products under the IGCC®/IGMA® CertificationProgram. The IGCC®Boardwill at all times be composed of individuals representing the publicinterestandindividualsrepresentingtheinsulatingglassindustryinequalproportion.IGMA®maymakerecommendationstotheIGCC®BoardregardingtheIGCC®/IGMA®CertificationProgramandmayappealanydecisionoftheIGCC®regardingcertificationortheIGCC®/IGMA®CertificationProgram. IGCC®PROGRAMCONCEPTManufacturersofsealedinsulatingglassunits,consumers,specifiersandotherswhoareresponsiblefor or concernedwith the quality andperformance of products purchased in thepublic interest,recognizinganeedforasoundproducttestingandperformancecertificationprogram,havejointlyestablishedtheInsulatingGlassCertificationCouncil(IGCC®).Foundedin1977,allIGCC®meetingsareopentothepublicandpublicparticipationisencouraged.IGCC®isanon‐profitorganizationwhichsponsorsanddirectsaprogramofperiodicacceleratedlaboratory testing and plant audits to ensure continuing product performance through specifiedstandards. The testing specifications used are outlined in "ASTM Specification E2190 for SealedInsulatingGlass."ItisthepolicyofIGCC®toremainflexibleinreferencingspecificationsandtestmethodsinordertobestreflectchangingtechnologyandnewdevelopments.IGCC®'sresponsibilitiesthroughitsadministratoraretoseethatperiodicauditsandindependentlaboratorytestsareperformedonparticipatingmanufacturers'productsandtovalidatetherightofthat manufacturer to use the IGCC® label on his product or products information claims.Additionally, IGCC® requires licensees to have a working quality assurance program for thefabrication of insulating glass. Adherence is verified during twice per year plant visits. Theserequirementswereadoptedto improvetheoverallqualityof IGunits intheprogram,andalsotosatisfyrequirementsestablishedbytheDepartmentofHousingandUrbanDevelopment,HUD.

Management and control of the program is vested in a Board of Governorsmade up equally ofindustryandpublicinterestmembers.Thepublicinterestrepresentativesareempoweredwith50percentofthevotingpowertoensureagainstundueindustryinfluenceofIGCC®action.Theprogram is under the supervisionof a qualified administratorwho is not affiliatedwith anymanufacturerofinsulatingglass,materialsupplier,orparticipatingtestinglaboratory,andishiredbyandresponsibletotheInsulatingGlassCertificationCouncil.ThemanufacturersoftheproductslistedhereinhavecertifiedthatthelabeledmaterialscomplywiththeperformancecharacteristicsestablishedbyASTME2190.The complianceof themanufacturerswith the requirementsof thatspecificationisvalidatedperiodicallybytheIGCC®administratorthroughauditsandtestingbyanindependenttestinglaboratoryunderhisdirection.Everymanufacturerof insulatingglassiseligibleandencouragedtoapplyfortherighttousetheIGCC®label.However,permissiontousethelabelisnotgranteduntilanindependentlaboratorytestverifiescompliancewiththerequirements. Onceallrequirementshavebeenmet,eachproductisassignedanIGCC®numbertoidentifytheproduct,performanceclass,andthefactoryinwhichitismade. Throughouttheyear, IGCC®requiresthemanufacturertocertifythatthe labelsarebeingusedonlyonunitsthatareproducedinthesamemannerandwiththesamematerialsasthetestedspecimens.Baseduponthesedeclarations,IGCC®authorizescontinueduseoftheIGCC®labelandtheproductlistingpublishedinthisdirectory.TheInsulatingGlassCertificationCouncilwishestorecognizethesubstantialcontributionsmadebythe Safety Glazing Certification Council, the Sealed Insulating Glass Manufacturers Association(SIGMA) (now known as IGMA), American Society for Testing and Materials (ASTM), NationalInstituteofStandards&Technology(NIST),FHA,HUD,Public InterestPersons, the Industry,andparticularlyconsumers.Withoutinputfromsuchabroadcross‐section,thisprogramwouldnotbepossible. IGMA®The Insulating Glass Manufacturers Alliance is a North American association of insulating glassmanufacturers,suppliersofcomponentmaterialsandotherindustryrelatedprofessionalsdedicatedtoupgradingproduct/serviceperformancebypromotingawarenessoftechnologicaldevelopmentsin the industry. IGMA®provides the leadership required to assure the continued growth of theInsulatingGlassIndustry.IGMA®wasformedastheresultofthemergerofIGMAC(InsulatingGlassManufacturersAssociationof Canada) and SIGMA (Sealed Insulating Glass Manufacturers Association) in October 2000 toestablish and advance insulating glass technologies and quality processes in order to create astandardofexcellencethatprovidesvaluetothe insulatingglass industry.Aspartof it'smission,IGMAdevelopedavoluntarycertificationprogramforinsulatingglassunits.The IGMA®CertificationProgramrecognized theneed for regular and impartialproduct testing,maintenance of quality control in themanufacturing process and identification of products thatconformto thesecriteria.Manufacturersof insulatingglassunitswere invitedandencouragedtoparticipateintheIGMA®CertificationProgram.

CERTIFICATIONPROGRAMFORSEALEDINSULATINGGLASS1.0FOREWORD Acceptance of certified sealed insulating glass comes with the conviction that suchcertification assures a high level of quality and the integrity of the identifying mark orcertificationlabelisbeingreliablymaintainedbyacompetentcertifyingagency.The existing ASTM specification(s) for sealed insulating glass provides a sound technicalbasis for the required quality of sealed insulating glass.With the addition of independentadministration plus periodic routine in‐plant visits and product evaluation, a program ofproduct certification is developed in accordancewith accepted standards.The certificationprogram described here is predicated upon the concept of independent and impartialadministrationofthecertificationproceduresintheIGCC®licenseagreement.Toensureadministrationofthecertificationprograminauniformandequitablemanner,thisproceduralguidehasbeenpreparedfortheinformationandguidanceofthelicensees.It should be noted that the "IGCC® License Agreement" is the governing document foroperationof the certificationprogram.Thisprocedural guide,which isnot anextensionofthat document, serves merely to describe the administrative procedures and routineoperationofthecertificationprogram.Thestandardsutilized in the IGCC®/IGMA®programforauthorizingcertification to is theASTME2190‐10(Modified2/03)2.0GENERALINFORMATIONTheCertificationConceptThe IGCC®/IGMA®CertificationProgram is basedupon the conviction thatno standardofqualityisgoodwithoutthecontinuousadherenceofthelicenseestothatstandard.Tobuyers,specifiers, code officials and users, the IGCC®/IGMA® certification label offers themanufacturers assurance that his sealed insulating glass units have been produced inconformancetotheASTMspecification(s).

WhoCanParticipate?Everymanufacturerofsealedinsulatingglassiseligible,onavoluntarybasis,toparticipate.WhoConductstheProgram?The Insulating Glass Certification Council (IGCC®) and the Insulating Glass ManufacturersAlliance(IGMA®),arethesponsorsofthiscertificationprogram.UnderLicensewithIGMA®,IGCC® administers and Governs the certification program under which the Administratorperiodically checks and reports compliance of the manufacturers of products having theIGCC®/IGMA®certificationlabel.AdministrationAdministrative Management Systems, Inc. (AMS) is the independent administrator of thecertification program.AMSmaintains the IGCC®/IGMA®office of certification and handlestheroutineday‐to‐daybusiness.AlltransactionsaredoneinthenameofIGCC®/IGMA®.HowCanYouBecomeaLicensee?The following steps must be accomplished before IGCC®/IGMA® can authorize amanufacturertousetheIGCC®/IGMA®permanentlabel:(Modified8/09)a) The manufacturer must present a passing prototype report from an approved

IGCC®/IGMA® testing laboratory to the office of certification. Fabrication ofprototypetestsamplesshallbewitnessedbytheAdministratorsrepresentativeduringaplantaudit,atwhichtimethemanufacturerscompliancewithIGCC®/IGMA®QualityAssurancerequirementsisvalidated.(Seesection10.0)

b) ThemanufacturersignstwocopiesoftheIGCC®LicenseAgreementandsendsthese

totheofficeofcertification.IGCC®willcountersignbothcopiesandreturnonetothelicensee.

c) Thelicenseesendstheofficeofcertificationthenecessarycertificationfee.d) Afterreceiptbytheofficeofcertificationoftheabove,theadministratorvalidatesthat

particular model and sends to the licensee a "Notice of Authorization to Use theIGCC®/IGMA® Permanent Label." The permanent label must be affixed on eachcertifiedsealedinsulatingglassunit.

e) The certified model will then be listed in the next published Certified Products

Directory.3.0HOWTHECERTIFICATIONPROGRAMWORKSAmerican Society for Testing and Materials has test methods and specifications for sealedinsulating glass. Sealed insulating glass must meet or exceed the applicable specificationbeforeitcanbecertified.Recognized independent testing laboratories conduct all tests. The certification committeeshallapprovealllaboratories,whosetestreportsareutilizedbythiscertificationprogram.

As the sole judge of compliance with the applicable specifications, the administratorauthorizes a product, which has been approved to be listed in the Certified ProductsDirectory.Licensees label sealed insulating glass units in accordance with the labeling requirementsestablishedbytheCertificationCommittee.ApprovedproductsarelistedintheCertifiedProductsDirectory,whichispublishedeverysixmonths. It is sent to door, sash and building manufacturers, glazing contractors,homebuilders,architects,regulatoryagenciesandcode‐makinggroups,etc.Directorylistingscontainthelicensee’sname,plantlocationandproductdescription.The administrator verifiesproductionat the licensee’smanufacturing locationduring twiceperyearaudits.Auditsareperformedbyarepresentativeoftheadministrator.Duringeachofthese audits, the manufacturer’s compliance with IGCC®/IGMA® Quality Assurancerequirements is validated (See section 10.0). The prototype test reportmust be submittedwithinoneyearofthereportdateinorderforthereporttobeconsideredasthetestforthefirst year, two audits will take place at which time the auditor will compare currentproductionwith the product authorized to use the IGCC®/IGMA®permanent label. At thediscretionoftheadministrator,whenalicenseeislocatedoutsideofNorthAmericaandtestsamplefabricationisnotrequired,oneauditinagivenyearmaybeperformedinternallybypersonnelofthelicensee.Inthiscasetherequiredauditinformationwillbetransmittedtothelicensee’sinternalauditoranduponcompletionreviewedbytheadministrator.During the first audit in the second year, specimens will be fabricated for testing.IGCC®/IGMA®willaskthemanufacturertoproduceaminimumofthirteentestspecimens.The fabrication of these test specimens iswitnessed and verifies that they are produced inaccordance with the construction certified. During test specimen fabrication, only theIGCC®/IGMA auditor and employees of the licensee being audited shall be present. Thelicensee is instructed to send these test specimens to an approved IGCC®/IGMA® testinglaboratorywhere theyare tested. Thespecimensmustbeshippedto the laboratorywithinfourweeksoffabrication.Testsaremadeatthelaboratoryrecommendedbythelicenseeandselectedbytheadministratorfromtheapprovedlist.A monthly report listing the status of testing is mailed to the licensee by the office ofcertificationonthe15thofeachmonth.Uponcompletionofthetest,theadministratormailsresultspromptlytothelicensee.Afterinitialcertification(Prototype)testing,ASTME2190testingshalloccurannuallyforthefirst2yearsofcertification.Ifnofailuresoccur,thentestingmayoccuronceevery2years,atthediscretionoftheparticipant.(Modified1/12)4.0COMPLIANCESAFEGUARDSHowisComplianceAssured?Any certified product found in the course of routine audit and evaluation not to be incompliancewiththemodeldescriptionorqualityassurancerequirementsissubjecttohavingauthorization to use the IGCC®/IGMA® permanent label removed. The licensee is sent a

request forclarificationgivingthirtydays inwhichtodemonstrateto thesatisfactionoftheadministratorthathisproductisincompliancewiththemodeldescriptionthatiscertified.Ifhe does not respond, a warning of possible removal of authorization to use theIGCC®/IGMA®permanentlabelissentgivinganadditionalthirtydaystorespond.Ifhedoesnot respond, authorization to use the IGCC®/IGMA® permanent label is automaticallyterminatedattheendofthatthirty‐dayperiod.In the case of a routine test failing to comply with the specifications, the licensee will beofficiallynotifiedthatwithin15dayshemustrespondbystatingthataretestfabricationisrequestedandbypayingalladministrativeandtestfees.Ifthereisnoresponsewithinthe15days,authorizationtousetheIGCC®/IGMA®permanentlabelisautomaticallyterminated.Iftheretestoptionisaccepted,theadministratorwillperformanauditandwitnessfabricationoftheretestspecimenswithin45days.(SeeguidelineG.16)ChallengingaCertifiedProductComplaintsofnon‐compliance fromanycorporationorbusinesssourcewillbe investigatedpromptlyuponreceiptofthecomplaintinwritingalongwithanappropriatesuretydeposit.Aminimumsuretydepositof$1,500willberequiredforeachcomplaintofnon‐compliance.Thesuretydepositwillbeassessedat therateof$300perman‐dayplus thereasonablecostoftravel andother expensesentailed in resolving such incidents.Refundsofpartor all of thesuretydepositwillbemadewhenapplicable.Thesuretydepositwillcoverallcostsinvolved,unlesstheinvestigationprovednon‐compliance, inwhichcaseallcostswillbebornebythelicenseefoundtobeinnon‐compliance.ComplaintsbyConsumersTheadministratorshallreceiveandlogthecomplaint.Itwillbetheconsumer'sresponsibilityto identify the label, information appearing on the spacer of glass and advise theadministratorof thesame.Note: IfnoIGCC®/IGMA®labelexists, theproducthasnotbeencertified by themanufacturer to IGCC®/IGMA® and the administrator and IGCC®/IGMA®havenofurtherresponsibilitiesoroptions.Once the consumer has identified the label, name, etc. and advised the administrator, theadministrator shall respond, advising the consumerof thename, address, primary contact,model description and other pertinent information at hand as it pertains to the subjectlicensee.Note: If thecomplaint isbeingmade for reasonsofproductappearanceor failuresuchasglassquality,fogging,sealfailure,dust,etc.,theconsumershallbeadvisedtocontactthelicenseeformanufacturerdirectly.Somemanufacturersandtheirdealersordistributorsoffer warranties on their products. Normal claims, procedures and legal remedies areavailabletoconsumersonastate‐by‐statebasis.IftheconsumerwishestodeterminewhetherornotalabeledproductisincompliancewiththemodeldescribedthroughaninvestigationbyIGCC®/IGMA®,thecorporationorbusinesschallenge procedure shall be utilized. The surety deposit shall be modified to $400 andchargesperman‐dayandshallbeassessedagainstthesuretydepositintheamountof$300plusreasonabletravelcostsandotherexpenses.

WithdrawalofCertifiedProductAnyproductwhichhasbeenauthorized touse the IGCC®/IGMA®permanent labelmaybevoluntarilywithdrawnfromtheCertificationProgrambythelicenseeatanytime.(Modified8/09)5.0COSTSWhatDoestheProgramCost?The initial administration fee will be based on the date of authorization to use theIGCC®/IGMA®permanent label inamanner thatparticipation in theCertificationProgramwillbeonaFebruary1 to January31basis thereafter. If theauthorizationdate isbetweenAugust1andDecember1,50%oftheadministrationfeeforthefirstyearwillbechargedforparticipationandwill includeoneauditpriortothefollowingFebruary1date.A licensee isinvoiced for each item that is certified and listed separately in the Certified ProductsDirectory.Anadditionalinvoicefortestinglaboratoryfeeswillbeissueduponfabricationoftestunits.Forcurrentfeeschedule,contacttheAdministrativeofficeorvisitwww.igcc.org.Testingoftheseunitswillnotbeginuntilpaymenthasbeenreceived.Shouldfailureoftheseunitsoccurduringcertificationtesting,anyremainingbalancewillberefundedtothelicenseeuponrequest.(Modified8/09)6.0DOCUMENTSANDAGREEMENTS

LicenseAgreementThis agreement, incorporating independent program administration and routine, periodic,independentplantaudits,samplingandevaluation,governstherelationshipbetweenIGGC®andthelicensee.

Future amendments or revisions to the License Agreement will be recommended by theCertificationCommitteeandenactedbytheIGCC®BoardofGovernors.EffectiveDate,Duration,andTerminationTheLicenseAgreementbecomeseffectiveonthedateofitsexecution,hasaninitialdurationof twelve months (adjustable to a February 1 to January 31 basis), and is automaticallyrenewedforsuccessivetwelvemonthperiods,unlesseitherpartygivesnotice,at leastsixtydayspriortodateofexpiration,thatcancellationisrequestedorunlessrevokedbyIGCC®forcausessetforthinthedocument.

f) acts as IGCC® treasurer, invoicing licensees, maintaining a bank account and

dispersingfunds(fiscalreportsaremadetotheBoardofGovernors),

CertificationLabelThe licensee permanently affixes this certification mark to each unit of certified sealedinsulating glass. This certification mark may be reference to the Licenscee’s listing in theCertified Products Directory. 7.0PROGRAMRESPONSIBILITYIGCC®BoardofGovernorsTheIGCC®BoardofGovernorshasoverallresponsibilityforthewell‐beingandacceptanceoftheCertificationProgrambytheindustry,buildingofficialsandthepublic.Italsobearslegalcorporateresponsibility.IGMA®BoardofDirectorsThe IGMA®BoardofDirectorsmaymakerecommendations to the IGCC®Board regardingthe IGCC®/IGMA®CertificationProgramandmayappeal anydecisionof IGCC®regardingcertificationortheIGCC®/IGMA®CertificationProgram.IGCC®CertificationCommitteeThe IGCC® Certification Committee has the responsibility for the general procedure andpolicy pertaining to operation of the Certification Program. The label shall be etched, sandblasted, embossed,printed,Paintedorotherwisepermanentlymarkedonthespaceroratleastonecomponentpaneofthesealedunit.(Seenote#1below)This labelmust be visible after installation in thebuilding.The IGCC®/IGMA®permanentlabelmustbeinblockcapitallettersandhaveaminimumheightof0.050inches(1.27mm).ThelettersIGCC®/IGMA®mustbefollowedbythe®registrationmarkoraclosefacsimile,i.e., IGCC®/IGMA®. 10.0QUALITYASSURANCEPROGRAMIGCC®/IGMA® require licensees to have a working quality assurance program for thefabricationof insulatingglass. Asaminimum, the licensee’squalityassurancesystemmustcomply with the general requirements of IGMA TM 4000 which established 1) generalrequirementsforqualitysystemsand2)providespracticalsolutionsforimplementingsuchasystem.IGCC®/IGMA®requirescompliancetothesegeneralrequirementsofIGMATM4000butdoesnotdefinethespecificsofthequalityassurancesystemwhichshouldbeappropriateforthetype,rangeandvolumeofworkperformed.Adherenceisverifiedduringtwiceperyearplantvisits.Theserequirementswereadoptedtoimprove the overall quality of IG units in the program, and also to satisfy requirementsestablished by the Department of Housing and Urban Development, HUD, the NationalFenestrationRatingCouncil(NFRC)andotherregulatoryandconsumerdrivenorganizations.Alicensee’sQAprogramshallcomplywithIGMATM4000whichestablishesrequirementsforthefollowing:(Modified8/09)

11.0GASCONTENT INITIALANDAFTERWEATHERINGCERTIFICATIONANDTESTING(GCIA)

Alicenseemustcertifytosealdurabilityrequirementstoparticipateinthegascontentprogram. The IGCC®/IGMA®Gas Content program is voluntary if gas content unitswill NOT use IGCC®/IGMA® marked spacer, but is mandatory if IGCC®/IGMA®marked spacer will be used for gas content units. The program is intended todemonstratealicensee’sabilitytoinitiallyfilltoaminimumlevelandtheabilityofthe

constructionoftheIGunittoretainaminimumgascontentlevelafterexposuretotheASTME2190weatheringcycle.

Licensees meeting a tested initial gas content of 90% or greater and a final afterweatheringgascontentof80%orgreatershallbeidentifiedintheCertifiedProductsDirectory (CPD) with the designation “GCIA” for “Gas Content, Initial and AfterWeathering”.Bothinitialandafterweatheringgascontentmustbecompliantinorderto be listed as “GCIA”. The gas content certification process will be as follows:(Modified8/10)

1. Thenormalminimumofthirteen(13)14x20‐inch(355x505mm)testunitsfor

sealdurability,fifteen(15)formultipleairspaceunits,shallbefabricatedunderauditorwitnessduringnormaldurabilitycertificationfabricationaudits.Alltestunitsshallbegasfilledwithargon.Allmultipleairspaceunitsshallhavebothcavitiesfilledandtested.PerguidelineG.19asapplicable,coatedglassshallbeusedandmultipleairspaceunitsshallhavecoatedglassasthecenterliteforatleast ten (10) test units intended for testing in accordancewithASTME2188andhave coatedglassonat leastoneouter lite forat least four (4) testunitsintended for testing in accordance with ASTM E2189. The test lab shallrandomly select ten (10)units for initial gas content testing except that unitscontaining internal components (IC) (i.e. grills or muntins) shall not beconsidered for testing. Units shall be inspected for any damage, and anydamaged units not used. Testing for gas content after weathering shall beperformedonthesix(6)ASTME2190weatheringtestunits.

2. ProductionUnits –As of 6/23/10 selection and testing of productionunits is

notrequired.

3. Unitsshallbetestedforinitialandafterweatheringgascontentpercentbynon‐destructive spark emission spectrography (SES) in accordance with ASTME2649DeterminingArgonConcentrationinSealedInsulatingGlassUnitsUsingSparkEmissionSpectroscopy.Uptotwo(2)testunits(14”x20”)maybeusedtoreplaceanyunitbrokeninshippingorhandling.

4. Laboratoriesshall reportresultsof testingas “percent initialgascontent”and

“percentafterweatheringgascontent”tothenearestwholepercent.5. Thecalculationofpercentinitialgascontentshallbetheaverageofallten(10)

units tested. The calculationof percent afterweathering gas content shall betheaverageofallsix(6)weatheredtestunits.

6. To be listed as complying with gas content certification, initial and after

weathering (GCIA) the average gas content level must be 90% or greaterinitiallyand80%orgreaterafterweathering,andeachofthetestedunitsshallhave a gas concentration of 50% or greater . These levels were selected aslevels that can reasonably be reached by insulating glass fabricators on a

consistentbasis.Ittakesintoconsiderationa)variationsthatmayoccurinthefilling process, and b) variations that may occur in the testing process. If alicenseefeelsthatitsgascontentisconsistentlygreaterthanthesegascontentvalues,thelicenseecanincludethisinformationinthelicensee’sliterature.

7. It is recognized that actual production units may not necessarily be 90% or

greater initial gas content but shall meet the manufacturer’s stated initialcontentvalues.

8. Specialarrangementsneedtobemadeifregulatorycomplianceisrequiredfor

gascontentotherthanargon(seecertificationguidelineA.GC.1).12.0CERTIFICATIONGUIDELINESANDINTERPRETATIONS

Iftheretestoptionisaccepted:

b) IGCC®/IGMA®willperformanauditandwitnessfabricationofretestspecimenswithin45daysofpaymentoffeesin1)above.

c) Licenseemustshipanddeliverretestspecimenstothetestinglaboratorywithin7days of fabrication. (Copy of shipping papers and delivery receipt must bereceivedbyIGCC®/IGMA®within14daysoffabricationofretestspecimens.)

2) There is tobeno change in certification statusduring the retest period. All routineaudits will continue. Sample fabrication for subsequent routine testing of thequestionablemodelwillbesuspendedpendingtheoutcomeoftheretest.

3) Iftheretestunitscomply,theyshallbeconsideredasthenextroutinetest.4) Iftheretestunitsfail,thelicenseeisissuedaceaseanddesistorderonuseofthelabel

G.20 AuthorizationtousetheIGCC®/IGMA®PermanentLabelAuthorization touse the IGCC®/IGMA®permanent labelwillberemoved ifaroutineauditdiscloses thata licensee is labelingunitscontaining thesameunauthorizedconstruction forthethirdtime.G.22 ClarificationofDueProcessAppealProcessClarificationofdueprocessappealprocessunderLicenseAgreement,ParagraphA.11:

August2014INSULATINGGLASSCERTIFICATIONCOUNCIL,INC.(“IGCC”®)CERTIFICATIONPROGRAMFORSEALEDINSULATINGGLASSUNITSSTANDARDLICENSEAGREEMENT(asrevisedeffective3/15/06,andconstitutingthesuccessoreffectiveagreement,pursuanttothetermsherein,forallprecedingfully‐executedIGCC®CertificationProgramstandardlicenseagreements)This Agreement,made this ______________ day of _____________________, 20___, by and between INSULATINGGLASS CERTIFICATION COUNCIL, INC., an Illinois not‐for‐profit tax‐exempt corporation having itsadministrativeofficeatP.O.Box730,SacketsHarbor,NY13685hereinaftercalled“LICENSOR”and_________________________________________________________________havingitsprincipalofficeat________________________________________________________________________________________hereinaftercalled“LICENSEE”,herebyprovidesasfollows:WITNESSETH:1.WHEREAS, Licensor is sponsoring a Certification Program forInsulatingGlassUnits,whichwillprovidefor(1)thevalidationofa manufacturers certification of such products by means ofindependentlaboratorytestingtotherequirementsofapplicableSpecification(s) and applicable Test Method(s) and ASTMStandards; and under the further terms and conditions of theCertification Program set forth in this Agreement and theProgram’s Procedural Guide, and also providing for (2) thestipulation by each such manufacturer that the manufacturermaintains a quality assurance program which covers theproductionofalltheunitstowhichaboveclause(1)refers;and2.WHEREAS, The responsibilities of IGCC®, the IGCC®Administrator and the independent laboratories are limited tothe tasks set forth in this Certification Program; they do notendorse, warrant, or guarantee products validated or certifiedthereunder,and3.WHEREAS, Licensor is willing to accept participation in saidCertification Program by all manufacturers of Insulating GlassUnitsunderthetermssetforthherein;and4. WHEREAS, Licensor is the uncontestable sole owner of themarkandlabel“IGCC”®;theaforesaidmark/label,and/orothermark(s)/label(s) cross‐licensed to Licensor, is/are herebylicensedbyLicensor toLicenseeandsaid label(s)/mark(s) shallbe permitted to appear on Licensee’s registered CertificationProgramlabelswhicharepermittedbyLicensortobeaffixedtothe Insulating Glass Units complying with the pertinentrequirementsoftheCertificationProgram;and5.WHEREAS, the Licensor shall contract for the completeadministration of the Program and the Administrator shallcontract for services with the independent laboratories whichmeettheethical, financial,andbusinessexperiencestandardsofthe American Council of Independent Laboratories or NationalSociety of Professional Engineers for performance of tests andotheradministrativedutiesasarehereinprovided;and6.WHEREAS, the Licensor shall appoint a “CertificationCommittee”comprisedofrepresentativesofIGCC®CertificationProgramParticipantmanufacturerlicensees,includingthePublicInterestmembersoftheIGCC®BoardofGovernors,andParticipantSuppliersandTestLaboratories,andother Participant organizations and persons (including publicinterestrepresentativesofsaidorganizations),actingasaliaisonbetweenLicensor,Licenseesandinterestedparties:meetingsofthis committee shall be called by the Chairman of theCertificationCommitteeatleastonceeachyear;and7. WHEREAS, the procedural guide, to be developed inaccordancewithparagraphB.4 shall be adhered to bothby theLicensorandtheLicensee;and

8.WHEREAS, the Administrator shall conduct all aspects of theprogram in accordance with the highest nationally recognizedstandards for conduct of such a program including HUDstandardsforaccreditationoftheProgramandtheAdministratoras set forth in HUD’s “Use of Materials Bulletin No. 82” (“HUDBuildingProductStandardsandCertificationProgramforSealedInsulatingGlassUnits”),whichrequiresanaccreditedProgramtoincludeaquality assuranceprovision such that all participatingmanufacturers shall have quality assurance programs coveringtheproductionoftheunitstowhichWhereasClauseNo.1aboverefers;and9. WHEREAS, Licensee is willing to participate in and supportsaid Program under the terms and conditions set forth in theAgreement.Therefore,beitRESOLVED,thatitisagreedbyandbetweenthepartiesheretoasfollows:LICENSEE:A.1) Shall sign thisAgreementbyprovidingthesignatureof itscorporate officer or authorized representative, and also itsprimary IGCC® Engineering or Quality Dept. Contact, wherenotedherein.A.2) Shall allow the Administrator’s representative, withoutprior notice, free access at any time during regular businesshours, to Licensee’s place of manufacture of Insulating GlassUnits certified hereunder and to witness the manufacture ofsamples which are to be tested for compliance with therequirements. Licensee’s refusal to permit access for inspectionpurposeshereundermaybedue cause for removal of its entireproduct listing from the Certification Directory and thewithdrawal of its rights to affix Certification Labels thereto.Acceptable reasons for not permitting entrance for inspectionswould include strikes, acts of God, and circumstances beyondimmediate control of themanufacturer. Areas whichmay havebeen set aside for research or prototype development may berestricted. It is understood that the Administrator or hisrepresentativeshallbeallowedtopickupsamplesfromthefieldforinspectionortesting.Itisunderstoodthatperiodictestseachyear will be made on each model to be certified and that saidtestswillbemadeatthelaboratoryselectedbytheAdministratororLicenseefromtheapprovedlist. Resultsofeachtestshallbepromptlymailed to the IGCC®Administrator. IGCC®willnotifythe Licensee of compliance or non‐compliance. It is furtherunderstoodthatroutineexpenseofsamplingandtestingwillbeborne by the Licensee. The Licensor will charge each Licenseeaccordingly and so contract with the Administrator. TheAdministrator will contract for testing with approved testinglaboratories. Expenses for packaging, shipping, and purchasing

ofglassfortestingwillalsobebornebytheLicensee.Thesecostswill be handled directly between the Administrator and eachLicensee.A.3) Shall affix to each of its certified products the permanentCertificationLabel,numberandclassassignedbytheLicensor:a) Onlyatthetimeandplaceofmanufacture;andb) Only to Insulating Glass Units of Licensee’s own

manufacture,whichhavebeensoapprovedbytheLicensor.A.4)Shallnotsell,transferorotherwisedisposeofCertificationLabels in anymanner other than affixing to Licensee’s certifiedproduction.A.5)ShallnotaffixhereaftertheIGCC®orotherregisteredmark,or Participant’s Certification Label registered with Licensor, toany product from which certification has been withdrawn orwhichisproducedwithaprocessbasicallydifferentfromtheoneusedwhencertificationwasobtained.AmodelchangeshallbeasdefinedbytheIGCC®CertificationCommittee.A.6)ShalluponafindingbytheLicensorthatacertifiedproductof Licensee has been changed as defined by the CertificationCommitteehavethirty(30)daysinwhichtosubmitarequestforwaiver of retest or request a new inspection and retest atLicensee’sexpenseifnowaiverisgranted.FailureofLicenseetoactasrequiredimmediatelyaboveshallconstituteduecauseforexclusionofthisproductfromtheprogram.A.7) May withdraw a certified product from the Program bywrittendeclarationandrequestforremovalofsaidproductfromtheLicensor’s listingsignedby theauthorizedrepresentativeoftheLicensee.A.8)ShalluseallpracticalmeansatitscommandcontinuouslytoassurethatitsproductshereundercertifiedfullycomplywiththeSpecification requirements, and are manufactured in the samemannerastestspecimens,andaresubjecttoaqualityassuranceprogrammaintainedbyLicensee,andLicenseeshallsostipulateto theAdministrator’srepresentativesduring theperiodicvisitsofsaidrepresentativestoLicensee’sfacilitiesdescribedaboveinSectionA.2)orwhenotherwiserequestedbytheAdministrator.A.9) Shall refrain from using terms implying or claimingcertification, validation, accreditation, or the like in connectionwith advertising referring to products which have not beenvalidated,orfromwhichvalidationofcertificationclaimhasbeenwithheld or withdrawn or any other statement or term whichmightbeinterpretedascompliancewiththisprogram.A.10)InconnectionwiththeadvertisingofmodelsystemswhichtheLicensorhasapprovedandgrantedacertificationnumberorlabel,theLicenseemustusethefollowingconceptsasguidelines:Licensor (IGCC®) sponsors the Certification Program. Licensee(Manufacturer) certifies that the product is the same as themodel which has been tested. Administrator validates the testresults through Inspections according to the Licensor’sguidelines.A.11) Shall abideby thedecisionof theAdministrator as to thecompliance or non‐compliance of Licensee’s products with therequirementsoftheIGCC®CertificationProgram,determinedinaccordancewith therequirementsof thespecification testingofsuch products. It is understood that the Administrator shall bethe sole judge of compliance or non‐compliance with theSpecifications applicable to the IGCC®@ Certification Program,forpurposesofLicensor’svalidationofLicensee’scertificationofsuch a product under this Program.Where questions involvinginterpretation arise, the matter will be referred to the IGCC®CertificationCommitteeforruling.A.12) Agrees that notice regarding the status of any of itscertifiedproductsshallbecarriedintheCertificationDirectory.A.13) Shall pay the participation fees shown in the Schedule ofFees, which is an APPENDIX hereof, upon signing of this

Agreementandateachannualrenewalthereof.Itisunderstood,thatthisScheduleofFeesmaybechangedfromtimetotimebytheLicensor.A.14) Agrees that the Administratormay, at his discretion, useanyandalldata,exclusiveofLicensee’sCompanyname,address,proprietaryproductdesignationoranyotherinformationwhichmayprovidecluesastothemanufactureoftheproducts,forthepurposeofcomparingtestmethodsandcorrelatingtestmethodswithfieldperformance.A.15) Shall legibly and permanently mark each piece of itscertifiedproductinaccordancewiththemarkingrequirementsofthe applicable standards and, in addition, include a symbolidentifying theplant inwhich theproductwasmade to complywith the standard for the purpose of identification under thisCertificationProgram.A.16) Shall furnish Licensorwith any information regarding itsproduct as may be necessary to properly identify Licensee’sCertifiedProductforlistinginLicensor’sCertificationDirectory.A.17)ShallregularlymailtotheAdministrator,atthesametimeas such material is furnished others, copies of its catalogs andotherliterature,excludingpriceanddiscountinformation,wheresuchmaterialslistLicensee’sproductscertifiedhereunder.A.18)Shallabidebyandcomplywithallproceduraldetailswhichthe Administratormay prescribe for the implementation of theCertificationProgram,providedthatsuchproceduraldetailsarenotinconsistentwiththeprovisionsandpurposesofthisLicenseAgreement.A.19) Shall have the right, at its option, todesignate anomineefrom Licensee’s organization for consideration by the Board ofGovernorsforappointmenttotheCertificationCommittee.LICENSOR:B.1)Shallprepareandpublishatleasttwiceeachyear,withsuchinterim supplements as may be desirable, a CertificationDirectory containing a listing of the Certified Insulating GlassProductswhichhavebeenfoundbytesttobeincompliancewitheach required specification for each Licensee then in goodstandingwithLicensor.ThisdirectoryshallincludetheLicensee’sassigned certification number, name, location and productcertificationstatus.B.2)ShallpromptlymailsubstantialquantitiesofeachDirectoryand supplement to door, sash, and building productsmanufacturers, glazing contractors, home builders, architects,regulatory agencies and code‐making groups, and publicize theDirectorytotradepublications.B.3) Shall provide andmaintain a list of approved laboratoriesqualified to perform tests required hereunder and to authorizetests herewith specified. Said list of approved laboratories is tobedevelopedbytheCertificationCommittee.B.4) Shall prepare and maintain a procedural guide and thestandardformswhichmaybeadoptedforusewiththeLicenseeand theapproved laboratories inconnectionwith theoperationoftheCertificationProgram.B.5) Shall hold all test reports and correspondence withLicenseesandothers, relating toLicensee’sproductsor tests, instrict confidence, except for communication necessary to effectproperlistingintheCertificationDirectory.B.6) Shallnot list inorremove fromtheCertificationDirectoryany product or Licensee except on due notification from theAdministrator to do so, except as provided in Paragraph A.7aboveorbecauseLicenseefailstopayapplicablefeesasprovidedinA.13above.B.7) Shall enter into a contract with an independent agency,wherebythisindependentagencywillactasAdministratoroftheCertification Program for and on behalf of Licensor, to provideandauthorizeall samplingand testing, reviewandapprove test

data,performperiodicevaluationsorotherdutiesandfunctionshereinprovidedfor.B.8) Shall conduct the Program in accordance with HUDstandards or HUD accreditation of the Program as set forth inHUD’s“UseofMaterialsBulletinNo.82”(“HUDBuildingProductStandards andCertificationProgram for Sealed InsulatingGlassUnits”).ITISFURTHERAGREEDTHAT:C.1)Acertificationtesthereunderdenotesandislimitedtoatestin accordance with the requirements of the appropriatespecificationsandrelatedtestmethods.C.2) Each branch or affiliated plant of each Licenseemanufacturer must be registered individually, and productstherefrom tested and certified separately and apart fromproducts manufactured in other plants or branches of anyLicenseemanufacturer.C.3) A procedure exists for handling complaints of non‐compliance which provides for samples of like product to beprovidedbyLicenseeinaspecifiedmannerforrepetitionoftestswithin thirty (30) days, the total cost of which, including testspecimens, is to be borne by the complainant, unless the testprovesnon‐compliance,inwhichcasethecostswillbebornebythe Licensee; tests are to be initiated by the Licensor promptlyuponreceiptofacomplaintinwritingalongwiththeappropriatesuretydeposit.C.4)Thisagreementshallbecomeeffectiveonthedateofsigningandshallextendforaperiodof12monthsandshallberenewedautomatically for successive periods of 12 months each, andremain in effect unless Licensor or Licensee, at least sixty (60)daysprior to thedateof expiration, givesnotice inwriting thatcancellationorterminationisrequested(whichshallbedeemedagreedandeffectiveattheconclusionofsaidnoticeperiod)andunlessrevokedandterminatedbyLicensorforcausessetforthinthis Agreement and in accordancewith procedures set forth intheAgreementandtheIGCC®CertificationProgramProceduralGuidelines.C.5)Ifthisagreementisterminated,thenupontheeffectivedateofsuchtermination,Licenseeshall:a) Not affix the registered quality Certification Labels to any

productwhichLicenseeshallthereaftermanufacture;andb) Make no further reference to, or use of, Licensor’s

Certification Program or registered Certification Labels asusedearlierintheCertificationProgram.

C.6) Licensor, in the event it shall be necessary to excludeLicensee from participation in the Certification Program inaccordance with the provisions hereof, may do so by givingLicenseethirty(30)dayswrittennoticeofLicensor’sterminationoftheLicenseAgreement.C.7)Thetermsof thisAgreementandanydisputesarising fromthisAgreement,andanyarbitrationpursuanttothisAgreement,shall be governed by the laws of the State of Illinois, in whichLicensor is incorporated. The parties agree that all disputesrelating to the interpretation of, or otherwise arising from thetermsof,thisAgreementnotsettledamicablybetweenthemwillbesubmitted(followingamandatory20dayperiodinwhichnoclaim shall be submitted to arbitration and during which thepartieswillseekamutuallyagreeableresolutionofanyclaimordispute) to binding contract arbitration, unless both partiesconsenttomediationorsomeotherformofdisputeresolution.Inthe event of contract arbitration, the arbitration will beconducted by a neutral third party arbitrator accepted by bothparties. In the event that the parties do not agree to theappointmentof anyarbitrator, any controversyor claimarisingoutoforrelatingtothiscontract,orthebreachthereof,shallbe

resolvedunderthemost‐currentCommercialArbitrationRulesoftheAmericanArbitrationAssociation.TheplaceofthearbitrationshallbeinIllinois,orsomeothermutuallyagreeablelocation.Inany arbitration proceeding, reasonable discovery of evidenceshallbeallowed,andstrictconformityto legalrulesofevidenceshall notbenecessary, and thepartiesmayoffer evidence as isrelevantandmaterialtothedispute,whichshallbeconsideredinthe arbitrator’s reasonablediscretion.Thearbitrator, exercisinghisorherdiscretion,shallconducttheproceedingswithaviewtoexpeditingtheresolutionofthedispute. Ifanypartysubmitsanarbitrationclaim toenforceanyof the termsof thisAgreement,the prevailing party shall be entitled to recover reasonableattorneys fees and costs it may incur in connection with thearbitration proceeding. A final award by the arbitrator shall beenforceableinanycourtofcompetentjurisdiction.C.8)IntheeventanypartorpartsofthisAgreementarefoundtobe void, the remaining provisions shall nevertheless be bindingwiththesameeffectasthoughthevoidpartsweredeleted.C.9) The use of any Label governed by this Agreement on anyunqualified product, or the use of any such Label by amanufacturing or assembly or other facility other than thatregisteredwillnotbepermittedby theLicensee, its employees,its representatives, and its agents. If the use of any Label incontravention of this Agreement is discovered, after a dueprocess hearing review by the Certification Committee, theLicensor will have cause to institute or seek all or any of thefollowingactions: a)Revocationof license;b) Impositionof anawardinfavorofLicensorofliquidateddamagesoffivethousanddollars ($5,000); c) Legal action preventing the Licensee fromhaving the applicable Labels printed, attached, or used in anymannerbyLicensee,withtheentirecostofsuchlegalactiontobebornebytheLicensee.C.10)IntheeventLicensorpromptlynotifiedallthosetowhomithassentthethenmostrecentissueoftheCertificationDirectoryor supplement thereto, as well as the National Better BusinessBureau and the trade press, regarding any incorrect listing orreferencetoLicensee’sproduct(s)publishedinanyCertificationDirectory,supplementthereto,orelsewhere,LicenseeagreesnottoholdLicensorliableinanywayforanydamagecausedbysuchincorrectlistingorreference,unlesssuchdamagewastheresultofanintentionaltort,willfulactorgrossnegligencebyLicensor.C.11)Licenseeshall indemnifyandholdLicensorharmlessastoanyexpensewhatsoeverfor,orincurredinconnectionwith,anyclaims, losses, or defense of claims or losses, which may beasserted by a third party against Licensor by reason of thisAgreement and services performed hereunder, and shall namethe Licensor, as its interest may appear, as an additionallyinsured party on any products liability insurance policy ownedby the Licensee which affects those products of the LicenseecertifiedunderthisAgreement;andproofofsuchcoverageshallbe sentby theLicensee to theLicensorwithin fifteen (15)daysfrom the date of Certification or the date such coverage issecured,whicheverfirstoccurs.C.12) Neither party shall make use of the others’ trademarks,trade names or name in anymannerwithout the priorwrittenapprovaloftheotherprovidedeachpartyherebyauthorizestheother, during the term of this Agreement, to state that theLicenseeisaparticipantinthisCertificationProgram.THISLICENSEAGREEMENTmaynotbetransferred,assigned,orotherwise disposed of to any other company, individual, orsuccessorcompanywithouttheexpresspriorwrittenconsentofbothLicenseeandLicensor.BymutualagreementofLicensorandLicensee, THIS AGREEMENT supersedes and replaces thepredecessor IGCC ® Standard License Agreement, in the form

executed between Licensor and Licensee, if Licensor andLicensee have executed any such predecessor IGCC® StandardLicense Agreement. If such a predecessor agreement wasexecuted, that predecessor agreement is hereby cancelled, bymutualagreement,effectiveasofexecutionofTHISAGREEMENT(which is a successor standard agreement to the earlier IGCC®

Standard License Agreement), with the 60 days notice ofcancellation period for the predecessor agreement herebywaivedbyLicensee.
