TERMS & CONDITIONS OF SALE

Prices and Sales Policy-All prices are subject to change without prior notice. Orders will be adjusted to standard package quantities unless an exception is made by prior arrangement. Standard terms are 2% 10 days, net 30 days. Any deviations from this term must be approved, in writing, by the seller prior to order acceptance. Cash discounts are computed as the net value of goods prior to any taxes, transportation charges or other transactional expenses. Unearned cash discounts will be charged back to the buyer’s account, all past due balances are subject to a 2% monthly (24% annual) interest rate on the total past due balance.

Order Acceptance-Orders received by Everflow Supplies Inc. are contingent on the following: no terms, conditions or unit pric-ing contrary to those published and authorized by Everflow Supplies (hereinafter referred to as the seller). All accepted orders will be acknowledged in a written confirmation. No shipment will be made when a conflict exists between the purchase order and the order confirmation until the order confirmation is returned with the acknowledgement of the change signed by an au-thorized person representing the buyer.

Taxes-Buyers are required to furnish seller with a copy of their tax exemption of resale certificate. No sale may be made without this documentation being provided and on file with the seller. All price quotations issued by the seller are exclusive of taxes or other levies by any taxing authority. All sales, use and other taxes are to be paid by the buyer directly to the taxing authority.

Shipment of Materials-Shipments made by common carrier or contract carrier are sold F.O.B. sellers warehouse. Seller will consider delivery of material to a common/contract carrier as the limit of their responsibility; risk of loss passes to the buyer at the moment of delivery to the carrier. Buyer must make any subsequent claims for damage to or loss of material in transit direct with the carrier. In no event shall seller be liable for direct, indirect or consequential damages associated with delayed, damaged, lost or missing material accepted for delivery by the carrier.

Returns and Cancellations-All returns must be authorized by seller as verified through the issuance of a Returned Goods Au-thorization (RGA) before any returned goods are accepted by the seller. All materials returned under the authority of an RGA must be prepaid, collect shipments will be refused. Any return of goods authorized for reasons other than material defect or an error in the seller’s shipment will be subject to collection of outbound freight to the buyer and a restocking charge, usually between 15% and 25%. Cancellation of orders may be made only with the seller’s written consent and shall be subject to cancellation charges. Orders that have been transferred to a carrier are not subject to cancellation.

Governing Law-The interpretation, enforcement, performance and discharge of the terms set forth in this document will be governed in accordance with the laws of the State of New York.

Limited One-Year Warranty-Under normal use, proper maintenance and proper operation, seller warrants the material to be free of defects in material and workmanship for a period of one year from date of shipment to the buyer or his designated agent. Seller maintains the obligation to (1) repair of the material, or (2) replacement of any component or components proven defective in material or workmanship, or (3) refund of the purchase price. Seller shall have no liability for the cost of removal or reinstallation with respect to any replaced or repaired product. The selection of these remedies will be determined solely by the seller and will be considered final disposition. Seller offers no implied warranties and specifically disclaims and excludes any implied warranty of merchantability and fitness for a particular purpose. In no event will seller be liable for consequential or incidental damages.

Claims-Buyer must report, within seven (7) working days of receipt, all claims for damaged or shortages of shipped items. Any claims made beyond this time frame will be considered beyond the seller’s scope or responsibility. However, any defective performance not discoverable within seven working days will be considered waived of seller’s responsibility unless claim is received by seller within ninety (90) days from the shipping date or within ten (10) working days after buyer learns of alleged defect, whichever occurs first. Sellers liability shall not exceed the purchase price of the material for which claim is made, or at the sole discretion of the seller, the repair or replacement of such material. Seller shall not be liable for, and buyer assumes all responsibility for, all personal injury and property damage resulting from handling, possession, use or resale of the material by buyer. In no event shall seller be liable for incidental or consequential damages, whether buyer’s claim is in contract, neg-ligence, or otherwise. If claim is made, buyer shall permit seller at seller’s option to reinspect the material at buyer’s location or if seller so directs, buyer shall return the material to seller’s facility for reinspection. No material may be returned to seller without prior written permission from seller.

Force Majeure-Anything in this agreement to the contrary notwithstanding, it is expressly agreed that seller shall not be liable for any damages resulting from, and buyer shall not have the right to cancel an order because of any delays caused in whole or in part by fires, floods, windstorms, tornadoes, wars, riots, insurrections, strikes, lockouts, sit-downs, slow-downs, or other labor trouble, causing cessation or interruption of operation or by accident, material shortages, labor or fuel shortages, or in-ability to procure labor or materials, either on the part of the seller, or because any plant, plants or any portion thereof belong-ing to or providing materials to seller have been commandeered by the legally constituted public authority, or because of any priorities or preferences established for the manufacture, assembly or allotment of materials by order, decree, or to otherwise of the United States, or by any department, bureau, commission committee, agent or administrator of any legally constituted public authority in any plant of seller, or any of its suppliers, or resulting from any other cause beyond the control of seller.
