    I. OVERVIEW OF FILING

    This Order 676-C Filing transmittal letter is organized as follows:

    • Section II provides a brief background of this Compliance Filing;

    Section III explains the rationale for incorporating by reference WEQ Standard 012 applicable to the transmission services provided by the Filing Parties;

    • Section IV discusses a related ministerial revision to the tariff sheets;

    Sections and V and VI provide a description of the Filing Parties' compliance tariff sheets;

    • Section VII provides the rcquesmd effective date;

    Section VIII describes the entities to whom service of this Compliance Filing is being sent; and

    • Section 1X contains the conclusion.

    II. BACKGROUND

    On January 30, 2009 ("January 30th Filing"), as amended on February 18, 2009, the Filing Parties and certain other New England transmission owners jointly submitted a compliance filing as required by Order No. 676-C. In the April 15 Order, the Commission granted in part, and denied in pert, the January 30th Filing. Specifically, the Commission directed the Filing Parties to file, within 30 days of the date of the April 15 Order, a further compliance filing to either incorporate the WEQ-012 Standard by reference into their respective sections of the ISO Tariff, or to provide timber support for a request for waiver. The Filing Parties hereby file with the Commission their compliance filing in accordance with the April 15 Order, and incorporate the WEQ-012 Standard by reference into their respective sections of the ISO Tariffas fimher explained herein.

    HI. OASIS-RELATED WEQ STANDARDS ADMINISTERED BY THE NEW ENGLAND RTO

    As the New England RTO, ISO-NE plays a primary role in operating and maintaining the OASIS per applicable WEQ Standards. Under the terms of operaling agreements with the PTOs and SSPs, ISO-NE is responsible for operating and maintaining the OASIS for the PTOs and the SSPs. The PTOs and SSPs are responsible for administering the related information for the transmission service they offer on their Transmission Provider Page as required by FERC and in accordance with the ISO-NE OATT.

    Under the TOA, ISO-NE has authority to operate and maintain the OASIS and to direct the PTOs to change their respective Transmission Provider Page to conform to applicable requirements. Pursuant to Section 3.03 (v) of the TOA:

    "The ISO shall operate and maintain the OASIS (or a successor system) as required by FERC, including posting of TTC/ATC for interties on the New England Transmission System; provided, however, that such system shall conform to the requirements for such systems as specified by FERC. The PTOs shall provide updates to PTO-specific Local Service pages on the OASIS site, subject to the ISO's review of such updates. The ISO shall have the authority to direct any changes to such PTO-specific Local Service pages that it deems approl~riate to conform to FERC requirements and the terms and conditions of the ISO OATT. ''°

    The HVDC TOA 6 and the HVDC TSAA, 7 impose similar obligations on ISO-NE to operate and maintain the OASIS for transmission services provided by the SSPs under Schedule 20A, including the posting of TTC on the Schedule 20A Service Provider pages. Thus, the PTOs and the SSPs are similarly situated with respect to their obligations to administer the OASIS.

    Under these agreements, the PTOs and the SSPs, however, share responsibilities over the proper administration of the OASIS. The PTOs and SSPs, for instance, are responsible for administering, including, but not limited to, posting and updating, their OASiS-related information on their transmission provider pages consistent with the Commission's rules and regulations. This may include responsibilities pursuant to WEQ Standard 012.

    Pursuant to the TOA, I-IVDC TSAA and HVDC TOA, ISO-NE administers and determines the architecture of OASiS-related communication systems. It is unknown at this time what aspects of WEQ Standard 012 will actually apply to the Filing Parties, and, therefore, the Filing Parties have made the incorporation by reference of that Standard subject to conditional language contained in the current tariff, which indicates that "to the extent that the requirements therein apply to" the PTOs or SSP's in their respective Schedules, WEQ Standard 012 is incorporated by reference into Schedules 20A and 21.8 Under this construct, the TOA, HVDC TOA and the HVDC TSAA will govern each party's respective obligations under this OASIS- related WEQ Standard.

    IV. MINISTERIAL REVISION TO TARIFF SHEETS

    The Filing Parties also take this opportunity to propose the removal of certain tariff language contained in the January 30 ~ Filing indicating that the Filing Parties had filed for a waiver of certain NAESB Version 001 Standards and that upon issuance of a final Commission order on the request for waiver, the Filing Parties would modify Schedules 20A and 21, and their respective Local Service Schedules, to reflect the Commission's determination. Because in the April 15 Order the Commission accepted all but one of the Filing Parties' requests for waiver, and since the instant Compliance Filing incorporates WEQ-012 into Schedules 20A and 21, there is no longer any outstanding request for waiver, h is, therefore, appropriate to remove the conditional language in Schedules 20A and 21 and the Local Service Schedules for Unitil Energy Systems, Inc., Fitchburg Gas and Electric Light Company and National Grid, to avoid any potential confusion by the Filing Parties' transmission customers. The Filing Parties respect_fully request that the Commission grant waiver of any of the Commission's procedural rules that might otherwise prevent this ministerial revision as part of this Compliance Filing.

    V. ORDER NO. 676-C COMPLIANCE TARIFF SHEETS - SCHEDULE 20A

    In Compliance with the April 15 Order, the SSPs hereby submit proposed amendments to the common provisions of Schedule 20A:

    VII. REQUESTED EFFECTIVE DATE

    The Filing Parties respectfully request that the tariffchanges proposed in this Compliance Filing be made effective as of December I, 2008, to coincide with the effective date of the tariff compliance changes proposed in the Filing Parties' January 30 Filing and granted by the Commission in the April 15 Order. Further, an effective date of December 1, 2008 will coincide with the effective date of ISO-NE's requests for waiver accepted by the Commission as part of ISO-NE's September 30, 2008 Order 676-C compliance filing and ISO-NE's tariffcompliance changes. The Filing Parties request the coinciding effective date for the purpose of consistency between the ISO-NE OATI', Schedule 21 Common, and Schedule 20A Common.

    VlH. SERVICE

    An electronic copy of this compliance filing has been sent to ISO-NE and Participants Committee members and alternates. Additionally, a paper copy of this transmittal letter and the accompanying materials have been sent to the governors and electric utility regulatory agencies for the six New England states that comprise the New England Control Area, and to NECPUC. The names and addresses of these governors and regulatory agencies are shown in Attachment 10 to the Filing Parties' January 30 Filing.

    IX. CONCLUSION

    The Filing Parties request that the Commission accept this Compliance Filing as submitted and without modification or condition, to become effective as of December 1, 2008.

    1 Definitions

    1.0 Annual Transmission Costs: The total annual cost of the Local Network for

    purposes of Local Network Service shall be the amount specified in Attachment H

    until amended by FG&E or modified by the Commission.

    1.1 Curtailment: A reduction in firm or non-firm transmission service in response to

    a transmission capacity shortage as a result of system reliability conditions.

    1.2 Load Ratio Share: Ratio of a Transmission Customer's NOn-PTF Network Load

    to FG&E's total load computed in accordance with Sections ILlO and H.10(a) of

    this Schedule under Sections Supplementing Section 21 of the OATT and

    calculated on a rolling twelve month basis.
