A. The City is the owner of a certain right of way irì the City of Dover, Counfy ofStrafford, Statc ofNew Hampshire (the "City Parccl"), being rnore particularly shown as "FirstStreet" on a certain plan entitled "Easement and License PIan prepared for Firsl Street at
Garrison, f.,l-C, Tax Map 6, LotNo, 3, ¡irst Strect and Chestnut Slreet, City of Dover, County ofSlrafford, State ofNew Hampshire ";dated: January 2, 2014, reviscd through May I,2014;scale: l',=20'; prcpared by: McBneaney survey Associates, Inc. , which Plan is attached hereto as
Schedule A and made a part hereof.

approved a Sile Plan prepared by McEneaney Survey Associates for the developrnent of amixed-use bujlding (the "Projcct") on the Riparìa Parcel. Development shali occur on the Fi¡st
St¡eet Parccl in the future, subject to the Revised and Restated Land Development Agreemont
E, Liccnsces request a license upon, over, and across a portion ofthe southerly and
northerly sides of the City Parcel lor the benefit of the Riparia Parccl and the First Street Parcel,
in ordcr to park motor vehicles and pass and re-pass, and the C¡ty agrees to ìssue such license
pursuant tó the terms and conditions as more fully set forth in this License,

Now therefore, in consideration ofthe mutual covonants herein sct forth and for othcrgood and valuable consideration, the receipt and suffìciency of which are hcreby acknowledged,
the City grants thc following to the L,icensees:
l. Liccnse.
Liccnse Area r(^'. The City hereby grants to Licensees, and Licensees accept from the
City, an exclusive license over the Southerly Side ofthe Ciry Palcel, as depicted on the
PIan, to park motor vehicles over that poúion ofthe City Parcel ("Southerly Parking
,Arca, Aica A") antJ which Area A runs along the Southerty side of'lhe F'irsl Street right
ofway and is more particularly described as follows:

Liccnsc Area "8". The City hereby grants to Licensees, and Licensces acoept
from the City, an exclusive license over the northerly side ofthc City Parcel, as depicted
on the Plan, to park motor vehicles over that portion ofthe City Parccl; said License Area
to be known as the "Northerly Parking Area, Area B" is locatcd on the northerly side ofIìirsf Street, and is rnore particularly describcd as lollows:

The rights grantod with this License permit the use of the Parking Areas for (i)the parking of lawfirlly registered motor vehicles by those using or occupying the Riparia
Parcel and the l'irst Street Parcel, consistent with this License and subject to the
applicable ordinances, regulations and laws governing the parking of motor vehicles on
the City's public ways, including parking of motor vehicles on the surface ofFirst Strect
within the Parking Areas, as well as the related rights to drive, walk' and/or stand upon
and across the Parking Areas, and (ii) to plant vegstation; (iii) introduce and maintain
wiring ancl lighting; (iv) introduce and maintain drainage; (v) introduce and maintain
irrigalion piping, (vi) introduce and maintain heâting matrix and/or mats; and (vii) place
curbing, brick; cobble, asphalt; or other paving surface in and upon the Parking Areas'fhc ri[hts do not extend to the air rights above said Parking Areas wilh the exception ofthose needed lor the parkìng ofnrotor vehicles l'he rights also do not extend to any
[:elow-ground areas, ulilities, wires, pipes, lines or ôther serviccs, but for drainage,
wiring, matling or matrix necessary to keep. the surface liee froln snow and ice, wiring
necesiary for the elect¡ifìcation oflighting, and irrigalion piping necessary to provide
watcr to vegetation beds, The City rnaintains the righl to access said below ground areas
and/or utilitics through the Parking Areas, as necessary. In the evcnt thal the Cityrcquires âccess to those utilities, it shall repair and replace the land surfàce and any
he;ling matrix, mat, irrigation or clcctrical wiring to its prior condition, at its cost, 'l-he
City also retains any and all rights with respect to the use ofthe surface ofFirst Street
within the Parking Areas, provided that in the exercise of such rights, the Cìty does not
materially interlere with the r¡ghts grânted pursuant to this License. The City shall not
further convey any use or rights to the Parking Areas that are materially inoonsistent with
the Licensees' rights in this License Agrcement.

The two parking areas created by this l,icense are referrcd to collectively as the "Parking Areas "Furthermore, the l-ioensees shall be granted a license and be permitted to lay and maintain utilitywires under F irst Strect in between the Parking Areas as is necessary to operate subsurface
heating material in the Parking Areas and lay and maintain wiring under First Street so as to
electrily any lanterns that may bc placcd upon the Northerly side of First Street together withirrigation pìping necessary to ¡rrigale traffic peninsulas and traffic islands located on the
Northerly side ofFirst Street and lay and maintain drainage. The Licensees shall cooperale withthe City regarding scheduling any necessary installation and mainfenance under Fìrst Street and
shall be responsible for repairing and replaoing Irirst Strcot to the condition it cxisted to prior to
said insta Ilation and/or maintenance.
2. Tcrmination. The City rnay terminatc this I-icense, in whole or in part' upon six
(6) months written notice to thc Licensees. Provided thât such termination is not caused by an
uncured mate¡iaì defàult by Licensces oftheir duties and obligalions under this License, the cityshall be requited to provide the Licensees with reasonably comparable fiee motor vehicle
parking lor the equivâlent number ofparking spots lor which the I-icense is terminated, within50 feet from any point on the Parent Parcel. 'Ì-he City acknowledges that to provide reasonably
comparable lree motor vehicle parking may (but not necessarily shall) require the exercise of itsemirìenl domain âuthority, thc cônstruct¡on ofadditional parking fàcilities ôr structures, or other
accômmodations not readily apparent to the parries given the current uses and layout ofpropcrtics around the Parent Parcel. lJpon termination, in whole or in part, ofthe l,icense, the
City shall, at its sole cost and expense, repaìr and restore the Parking Areas and any
improvements related to the Parking Areas on private property, affected by suoh termìnation,
utilizing red Boston paver bricks andlor granite cobble stones or as otherwjse reasonably
determined by Licensees, to create a proper curb line delineating the First Street right of way
from the adjacent private property on the Parent Parcel, To the extent feasible and practical, the
City wìll include parallel parking spaces for use by the Licensecs and the general public within
thc Parking Areas affected by such termination.
3, Mej¡&UalSg. l,icensees shalLmaintain and keep the Parking Areas in a good
statc of repair',ãnd shall repair any damage, which endangers public safety, as a result ofLicensees' exercise of its rights hereunder, 'l'he City shall maìntain and keep First Street in
kceping with the maintenanse plan and policy for all public roadways 'l'he city shall have the
right, but not the obligation, to provìde writlon notice 10 thc Licensees requirìng that it address
any condition which endangers public safety. Licensees shall be responsiblc for all snow and ice
removal/tre atment in the Parking Areas and shall be responsible for the maintenance ofallimprovements in the Parking Areas in a manner consistent with the City's maintenance ofothersim ilârly-situated streets and parking spaces,'l'he City shall be responsible for the clearing ofsnow and ice on First Street up to and along the Parking Areas, but not within the Parking Areas
Snow and ioe from the Parking Areas shall not be stored or p)owed into FiIst Street and snow
and ice from First Street shall not be plowed into the Parking Areas, Should snow and ice from
I'irst street bo accidentally plowcd into oithcr of the Parking Aroas, the snow and/or ice will be
removed from those areas within sixty (60) tninutes from time oftrânsfer. The City shall have
the right, but not the obligation, to repave the Parking Areas and le-stripe the spaces within the
Parking,Areas, consistent w¡th the present parking space lâyout, if and when the adjoining
sections of First Slrect are repaved by the City, in its sole discrction.

4. Indemnification. Licensees shall, jointly and severally, indemnify the Cityagainst claims and demands for damages to person or property, costs, expensos (includìngreasonable attorneys' fces and costs), arising from Licensees' exercise of its rights and the
performance of its duties and oblígations hereunder, except ifcauscd by the negligence or
misconduct ofthe City, ¡ts agents, contractors, subcontractors and/or employees,Notwithstanding any provision contained in this License to the contrary, no member, managcr,
officer, or employee ofthe Lioensees shall have any personal liability hereundcr.
5, Trausferability and Assisnment. The l-icensees shall be permitted to transfer
or assign their rights under this License to their respective members or officers, or to any other
owners, employees, agents, tenants, guests, or invitees who come to own, lease or othc¡wiselegally occupy any portion ofthe First Parcel or the Riparia Parcel, including any subsequent
subdivision or condominiumization ofthe First Sfeet Parcel or the Riparia Parcel.
Nolwilhstanding any assignmenf or transfer, Licensees shall remain joinlJy and severally Iiable
for the perfbrmance of Licensees' obligations and lor notice purposes under this License
6. Notice. Any notice required to be given undcr this Lioense shall be in writing,and shall be deemed properly served ifdelivercd in person, or by overnight mail by a
commercially recognized carrier, or on the third (3'd) day after deposit in the United States rnail,
as cefifiecJ or registered mail, return receipt requested, postage prepaid, and sent as follows:

7. Govglninq Law. 'l'his License sha)l be governcd and construed in aocordance withthc laws of the St¿te of New l-lampshire.
8. Sisn Ilestrictions; Othcr Improvemcnts' The I-icensees shall be able to place signs
in thc Parking Areas to derole its rights and interests in the Parking Areas and/or to prohibit the
parking ofother motor vehicles in the Parking Areas. The City shall have no obligation to
cnforce any parking prohibitions or restrictions. Any and all such signs and sign locations are
subiect to the advance written approval ofthe Cify ofDover through its Cily Manager or

designee. 'fhe Licensees shall refrain from the use ofElectronic Message Centers, electronicreader boards, electronic changeab)e copy signs or similar electronic technology for anylallsignage on City proporty. 'lhe Licensees shall likewise obtain advance written approval from the
City for any other improvements to, in or placed upon the Parking Areas lJpon termination, inwhole or in part, ofthis L,icense, the City shall, at its sole cost and expense, retnove any and allapplicable signage and any other improvements fronr the Parking Areas or portions thcreofsubject t0 termination,
9. Real lìnnertv Taxes. Thc Licensees shaìl pay real and pcrsonal ptoperfy taxes
pu¡suant to RSA 72:23 including assessments on structures and improvements ofthe Licensees.
Iìailurc ofcithc¡ olthe Liccnsees to p¿¡y the duly assessed personal and real estate taxes when
due shall be cause to terminatc this Licensc by the City.
10.Dg&-Ul!. [n the event that the Licensees have defaulted on their duties and
obligations under this l-icense, the City shall provide written notice to the Lioensees by certifìed
mail, return receipt requested, at the time that tho City becomes aware ofan event ofdefàult. Ifthe l.,icensees have not cu¡cd the def'ault within sixty (60) days ofthe datc ofsuch notice, the
City shall issue a second written notice to Licensecs by certified mail, return rcceipt requested.
In the event that Licensees havc still not cured the default within one hundred eighty ( I 80) days
ofthe second notice, the City shalÌ have any and all rights and ¡emedies available under this
License, at law or in equity, including but not lim¡ted to termination ofall or a portion oltheLicensc as well as rcimbursement of any antl all tèes and oosls, inoluding reasonablc attorney's
fèes, for the successfil prôsecution or cnforcement ofany such rights' The Cify may extend the
cure period foÌ such default in the event that the Licensees have underlaken such cure, but
despite rcasonable diligence, have becn unable to collplete the cure

12, Obligations Joint and Several. The Licensees acknowLedge that they are jointly
and severally liable for all duties and obligations imposed under this I-icense
