NOTICE Notice is hereby given that the Thirteenth Annual General Meeting of the members of Sutlej Textiles and Industries Limited (CIN: L17124RJ2005PLCO20927) will be held on Friday, 31 August, 2018 at 3.00 p.m. at the Registered Office of the Company at Pachpahar Road, Bhawanimandi 326502 (Rajasthan). Notice of the meeting setting out the ordinary and special businesses to be transacted thereat and the annual report for the year 2017-18 has been sent electronically to those members whose e-mail addresses are registered with the Company or the Depository Participant(s) and physical copy of the same has been sent to those members who have not registered their e-mail Ids. The Company has completed the dispatch as well as sending of email to members on Tuesday, Or' August, 2018. Members are hereby informed that the Notice of the meeting is available on the Company's website www.sutlejtextiles.com and copies of requisite documents are also available for inspection by members of the Company at the Registered Office of the Company on all working days during business hours, upto the date of the AGM. A member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of himself and a proxy need not be a member of the Company. Proxies, in order to be effective, must be received by the Company, duly filled, stamped and signed, at the registered office of the Company not less than 48 hours before the meeting. In compliance with the provisions of Section 108 of the Companies Act, 2013 and Rule 20 of the Companies (Management and Administration) Rules, 2014 and the provisions of Regulation 44 of SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015, the members are provided with the facility to cast their vote electronically, through the remote e-voting services provided by National Securities Depository Limited (NSDL). The remote e-voting period commences from Monday, 27' August, 2018 at 9.00 a.m. and ends on Thursday, 30" August, 2018 at 5.00 p.m. During this period the eligible shareholders of the Company, holding shares either in physical form or in dematerialized form, may cast their vote electronically. The remote e-voting shall be disabled thereafter. Notices and other documents referred to above, are dispatched to the members of the Company as on the Benpos date of 20' July, 2018. However, any person, whose name is recorded in the register of members or in the register of beneficial owners maintained by the depositories as on the cut-off date i.e., 24th August, 2018 only shall be entitled to avail the facility of remote e-voting as well as voting at the meeting through ballot paper in the AGM. Any person, who becomes member of the Company after the Benpos date (20" July, 2018) and is holding shares as on the cut-off date i.e. 24' August, 2018, may obtain the user ID and password by sending a request at evoting@nsdl.co.in or santosh.jaiswal@linkintime.co.in. The voting rights of members shall be in proportion to their shares of the paid up equity share capital of the Company as on the cut-off date of Friday, 24" August, 2018. The detailed procedure for obtaining the user ID and password is also provided in the notice of the meeting which is available on the Company's and NSDL's website. However, if you are already registered with NSDL for remote e-voting then you can use your existing user ID and password for casting your vote. If you have forgotten your password, you can reset your password by using "Forgot User Details/Password" option available on www.evoting.nsdl.com. A member may participate in the AGM even after exercising his right to vote through remote e-voting but shall not be allowed to vote again at the AGM. The facility for voting, through ballot paper shall be made avai lable only at the venue of the AGM. Mr. Rajendra Chouhan, of R.
