1. Introduction & Background Located in western part of India in the state of Gujarat, Surat is referred as the silk city and the
diamond city. It has the most vibrant present and an equally varied heritage of the past. Surat is
also known as economic capital of Gujarat and is having one of the highest growth rates amongst
Asian cities. As per the Census 2011, it is the eighth largest city in the country with population of
4.48 million population. On the scale of population growth, Surat is the fastest growing city in
Asia and holds 4th rank in the world. On the economic front, Surat holds top most position with
highest per house-hold income in the country.
Surat Municipal Corporation (SMC) has responded to the challenges of fastest population growth
and high speed economic development by adopting the best urban management practices. The
administration of SMC with the help of the people and elected members of the city has
transformed Surat to one of the cleanest cities of India. SMC has taken all necessary steps to
make the city a better place to live with all amenities. SMC has taken up many path breaking
initiatives and these efforts have been acknowledged at national and international level.
Utilization of Information Technology (e-Governance)
Surat Municipal Corporation had harnessed the power of IT before it became ubiquitous and a
necessity for organizations of its nature and size. SMC is one of the few local self-government to
adopt computerization in its early phases and use it for better governance, improving operational
efficiency and increasing ease of interaction with citizens.
SMC has initiated various e-Governance and m-Governance projects. The same have been
recognized at national/international level. Following is the list of awards received in recent past:

Bid for Internet Leased Line (1:1) for various locations of Surat Municipal Corporation (SMC) is invited
online on https://smc.nprocure.com from the bidder meeting the basic eligibility criteria as stated in the bid document.

3. Purpose SMC wishes to have internet bandwidth at its Head Quarter, Smimer College & Hospital and Surat Smart City Office located at Udhna Zone though dedicated Internet Leased Line. For this purpose, the bids are invited from the agencies meeting the basic eligibility criteria.

5. Instructions for the Bidder
5.1. Availing Bid Documents
Blank bid documents can be downloaded from the web site https://smc.nprocure.com up to the
date and time mentioned in the Online Bid Invitation Notice DC-ISD-Network-07-2016.
5.2. Pre-bid Queries
A prospective Bidder requiring any clarification on the RFP Document may submit his queries, via
email, to the following e-mail id on or before 10/11/2016 up to 16:00 hrs.

5.3. Addenda & Corrigenda
If required the Addenda and Corrigenda will be issued pursuant to the pre-bid queries and the same
will form the part of the original bid documents and shall override any contradicting effects in the
original bid document.
5.4. Bid Fee & Earnest Money Deposit (EMD)
The bidder should pay non-refundable Bid Fee of Rs. 2400/- (Two Thousand four hundred
rupees only) and EMD of Rs. 90,000 (Ninety Thousand Rupees Only) by DD or Banker’s Cheque
only of any scheduled/nationalized bank payable at Surat in favor of Surat Municipal
Corporation).
Failure to submit Bid Fee and EMD as required shall lead to the bid being rejected summarily.
5.5. The bid should be filled in legibly, clearly indicating the figures and its value in words too.
5.6. The bidder will be bound by the details furnished to SMC, while submitting the bid or at subsequent
stage. In case, any of such documents furnished by the bidder is found to be false at any stage, it
would be deemed to be a breach of terms of contract making him/her liable to legal action besides
termination of contract.
5.7. Submission of Price Bid and Technical BID
The price bid and the technical bid containing all the relevant supporting documents must be
submitted online only on https://smc.nprocure.com on or before the last date of submission of the
bid. No documents except the Bid Fee and EMD to be accepted in hardcopy. It is advised to keep
the softcopy of the relevant documents ready and upload the same in advance on
https://smc.nprocure.com with respect to this tender to avoid issues if any.
All the relevant softcopy should invariably follow the (n)Code portal's specific requirements
pertaining to file types, file size, file name length, etc.
o File Types: Files with only .pdf, .doc, .txt, .xls, .ppt, .pps, .png, .gif, .jpg, .zip, .rar extension can
be uploaded.

The bid document (duly signed and stamped) in hard copy shall be submitted by the successful
bidder upon intimation from SMC.
5.8. Online Submission of the Technical Bid:
The bidder will be required to upload the scanned copy of below mentioned documents in the same
order of sequence online on smc.nprocure.com during e-tendering process.
All the Documents must be colored scanned to be seen as original. Scanning in black and
white or grey shall not be acceptable.
All the documents must be notarized with clearly displaying stamp, number and name of
the notary.

5.9. Sealing, marking and submission of the bid:
1) Demand Draft for E.M.D. & Tender fee shall be also to be submitted in electronic format
through online (by scanning in colour) while uploading the bid. Accordingly offer of those shall
be opened whose E.M.D. & tender fee is received electronically.
2) However for the purpose of realization of D.D. bidder shall send the D.D. in original through
RPAD/Speed Post so as to reach Account Department (Main Office) as per below mentioned
address within 7 Days from date of uploading.

3) It must be noted that penaltative action for not submitting D.D. in original to Account
Department (Main Office) by bidder shall be initiated and action shall be taken for abeyance of
registration and cancellation of E-tendering code for One year.
4) Any documents in supporting of bid (Bid documents, Annexures, Addenda & Corrigendum if
any, duly filled Technical Bid along with all necessary supporting bid documents including
solvency certificate ) shall be in electronic format only through online (by scanning in colour)
only & hard copy will not be accepted separately.
5) The “Bid Fee and EMD” shall be put in an envelope containing Bid Fee and Earnest Money
Deposit (EMD) and shall be super scribed as “Bid Fee & EMD”

The envelope containing EMD & Bid fee must be sent strictly by Postal Speed Post or Registered
Post AD only so as to reach on or before 24/11/2016 up to 18.00 hrs. Bids received in any other
manner or mode (like courier, in person, etc.) will not be considered. SMC won’t be responsible
for postal delays.
PRICE BID
The price bid must be submitted online on https://smc.nprocure.com. It should not to be sent
physically, if submitted physically the bid shall be rejected.
5.10. Late Bids: EMD & Bid fee not reaching on or before the specified time limit will not be accepted.
5.11. Conditional Bids: All the terms and conditions mentioned herein must be strictly adhered to by all
the bidder. Conditional tenders shall not be accepted on any ground and shall be subject to
rejection without assigning any reason.
5.12. Withdrawal of Bids
Bid once filled in, submitted shall not be allowed to be withdrawn till the validity of the bid remains
in force or else the EMD shall be liable for forfeiture.
5.13. Period of Validity
The offer should be valid for acceptance for a minimum period of 120 days from the date of opening
of the Price Bid. If required, SMC may request the bidder to have it extended for a further period.

The bids prepared by the bidder shall be in the English language. The supporting documents in
language other than English/Hindi/Gujarati must have its English translation (which is to be duly
attested by the bidder), for purposes of interpretation of the bid, the English translation shall
govern.
5.15. Right To Accept Or Reject Any Bid Or All Bids
SMC reserves the right to accept or reject any bid and annul the bidding process and reject all bids
at any time prior to award of contract, without thereby incurring any liability to the affected bidder
or bidders or any obligation to inform the affected bidder or bidders of the ground for SMC’s action.
5.16. Firm Prices & Bid Currency
Prices quoted must be firm and final and shall not be subject to any upward modifications, on any
account whatsoever. Prices shall be expressed in Indian Rupees (INR) only.
5.17. Costs to be Borne by Bidder
All costs and expenses (whether in terms of time or money) incurred by the bidder in any way
associated with the development, preparation and submission of the bid, including but not limited
to attendance at meetings, discussions, demonstrations, etc. and providing any additional
information required by SMC, will be borne entirely and exclusively by the bidder.
5.18. Acceptance of Terms & Conditions
The bidder will, by taking participation in the bidding process and submitting the bid documents,
be deemed to have thoroughly read, studied and understood the bid documents including scope of
work, the terms and conditions, instructions, etc. referred there in and the same are acceptable to
the bidder.
5.19. All entries in the bid form should be legible and filled clearly. If the space for furnishing information
is insufficient, a separate sheet duly signed by the authorized signatory may be attached. However,
the interlineations, erasures or overwriting, if any, in the Technical Bid Application must be attested
by the person authorized to sign the bids.
5.20. It is to be ensured that the complete information as required by this office may be furnished by the
bidders in the prescribed format. Formats submitted with incomplete information and not
conforming to the requirements are liable to be rejected.
5.21. The agency will be bound by the details furnished by him/her to SMC, while submitting the bid or
at subsequent stage. In case, any of such documents furnished by the agency is found to be false at
any stage, it would be deemed to be a breach of terms of contract making him/her liable to legal
action besides termination of contract.
5.22. The participation in the online tendering process implies that the bidder have thoroughly read,
studied and understood the instructions of the Bid documents, Scope of work, formats as well as
the terms and conditions referred there in and the same are acceptable to the bidder.
5.23. Authorized Signatory
For the purpose of submission of the bid, the bidder may be represented by either the Principal
Officer (MD/CEO/Director/Company Secretary) or his duly Authorized Representative, in which
case he/she shall submit a certificate of authority along with the technical bid. All certificates and
documents (including any clarifications sought and any subsequent correspondences) received

hereby, shall, as far as possible, be furnished and signed by the authorized representative or the
principal officer.
5.24. Arithmetical errors will be rectified on the following basis. If there is a discrepancy between the
unit price and the total price that is obtained by multiplying the unit price and quantity, the unit
price shall prevail and the total price shall be corrected. If the supplier does not accept the
correction of the errors, its bid will be rejected. If there is a discrepancy between words and figures,
the amount in words will prevail.
5.25. Disqualifications: A Bidder shall be disqualified and Bids will not be considered if
a) Envelope containing Bid Fee & EMD does not show on it the reference of bid number and
description as denoted in Clause-5.9 above and thus gets opened before due date(s) of opening
specified in Notice Inviting Bids.
b) The Price Bid is submitted physically along with Technical Bid which leads to revelation of prices
before the due date of opening of the Price Bid.
c) The Earnest Money Deposit (EMD) & Bid fee is not deposited in the manner specified above.
d) The Bid documents are not in a language as per Clause 5.14.
e) The Bid documents including Addenda & Corrigendum if any are not signed affixing stamp by
the authorised signatory.
f) The Bid documents submitted are incomplete and/or ambiguous in any respect.
g) Non-compliance of provisions and requirements of the Bid documents.
h) Any or all correction(s) or pasted slip(s) is/are not initialed, authenticated by the Bidder.
i) The Bid documents are not submitted in the manner specified in the bid document.
j) Eligibility criteria are not met with.
k) Any form of canvassing/lobbying/influence/query regarding short listing, status etc. will result
in a disqualification.
6. Eligibility Criteria The bidder must possess the requisite experience, strength and capabilities in providing the services
necessary to meet the broad requirements, as described in the bid document.
The bidder interested in being considered for this bid must meet the following eligibility criteria.
1. The bidder should be a company registered under the Companies Act, 1956 and in operation for at
least 5 years as on 31.03.2016 and should have their registered offices in India.
2. Bidder must be in business of providing Internet Leased Line connectivity for at least 3 years from the
date of release of this tender.
3. The ISP should have a valid Category “A” ISP license or equivalent UASL - Unified Access Service License
from Govt. of India.
4. The bidder ISP must have office in Surat with sufficient technical personnel to provide 24* 7* 365
customer support and must have Network operating Center (NOC) in India. The bidder ISP should
preferably have single Toll Free number for all the call logging and status update.
5. The bidder should have completed/ undertaken the following during last three years (for this purpose
financial years would be 2013-14, 2014-15 and 2015-16):

One single order of “50 Mbps or higher bandwidth”
OR
Two orders of “20 Mbps or higher bandwidth”
OR
Three orders of “10 Mbps or higher bandwidth”
6. The bidder must have an average annual turnover of not less than Rs. 100 crores from the last three
financial years (for this purpose financial years would be 2013-14, 2014-15 and 2015-16).
7. The bidder ISP must have direct peering (connectivity) with Tier 1 carrier.
8. The bidder ISP must have fully resilient and self-healing Network architecture, on fiber medium, for
the domestic backbone up to the international gateway in India.
9. The international connectivity must have at least One of Trans-Atlantic or Trans pacific routes.
10. The bidder should not be black-listed / debarred by any of the Government or Public Sector Units in
India as on the date of the submission of the tender.
11. The bidder should furnish, as part of its bid, an Earnest Money Deposit (EMD) and bid fee.
12. Valid Solvency Certificate amounting 20% of the consideration of the Contract from a
scheduled/nationalized bank.
7. Indicative list of Documents to be submitted Following documents shall be submitted in online to Surat Municipal Corporation by scanning in color and
uploading online at smc.nprocure.com
All necessary documents mentioned in the Technical Bid
Bid Fee and Earnest Money Deposit as mentioned in tender Duly signed Tender Document along with Addendum & Corrigendum if any.
Price Bid and Technical Bid (with all supporting documents) are not to be submitted in Physical Form.
Please note that Non-submission of online Technical Bid as well as Price Bid does not absolve the bidders
from any liability created form the bid condition and bidder process.
The bidder shall submit all the relevant documents so as to ascertain the claims made. Following is the
indicative list of documents that are to be submitted.

4. The bidder ISP must have office in Surat with sufficient technical personnel to provide 24* 7* 365 customer support and must have Network operating Center (NOC) in India. The bidder ISP should have single Toll Free number for all the call logging and status update.

5. The bidder should have completed/ undertaken the following during last three years (for this purpose financial years would be 2013-14, 2014-15 and 2015-16):
One single order of “50 Mbps or higher bandwidth” OR
Two orders of “20 Mbps or higher bandwidth” OR
Three orders of “10 Mbps or higher bandwidth”

6. The bidder must have an average annual turnover of not less than Rs. 100 crores from the last three financial years (for this purpose financial years would be 2013-14, 2014-15 and 2015-16).
Copies of the Annual Audited Account Statement or certificate from Chartered Accountant.
7. The bidder ISP must have Direct peering (connectivity) with Tier 1 carrier.
Self-Certification with detail of Peering on bidder’s letter head to be attached.
8. The bidder ISP must have fully resilient and self-healing Network architecture, on fibre medium, for the domestic backbone up to the international gateway in India.

9. The international connectivity must have at least One of Trans-Atlantic or Trans pacific routes.

TECHNICAL BID
8. Scope of Work 8.1. The bidder shall be required to provide bandwidth mentioned as per section 11 Technical
Specification and which should be fully dedicated (1:1), uncompressed and unshared Internet
Leased Line with required static/Real IPs.
8.2. The bidder shall be required to provide minimum static real IP addresses as mentioned in
section 11 Technical Specification bundled with connectivity. If required the bidder will be
required to configure the reverse lookups at these IP’s. At present IPv4 are required but during
contract period bidder needs to provide equivalent IPv6 on demand by SMC if migration from
IPv4 to IPv6 is required.
8.3. The bidder must provide Ethernet Connectivity over Fiber which must be on the bidder’s
dedicated MUX/Router (in ring topology) at SMC end to provide redundancy.
8.4. The Last mile media offered, should be underground Fiber-optic Line up to the required
locations of SMC. The modems, router, mux and any other equipment required, for providing
the last mile connectivity will have to be supplied, installed and maintained (all throughout the
service period) by the service provider and shall remain their property. The ISP Bidder shall be
responsible for all necessary activities like installation, commissioning and configuring of
hardware, uplink of connectivity, etc. The ISP will maintain the OFC and equipment to provide
Internet Services till SMC server room for efficient running at all times of the contract.
Maintenance of equipment including CPE shall cover repair and replacement of the same so
as to meet the SLA without any cost implication to SMC.
8.5. The bidder is advised to carry out a complete site survey/feasibility before the submission of
the bid to ensure that the connectivity offered is as per the requirement of the SMC. No claim
of any nature on any ground on inadequate site information or knowledge or
misunderstanding or otherwise in such respects will be admissible, later on. For any
information, query or support regarding the site survey/feasibility bidder may contact the
Assistant Engineer (Electronics), Information Systems Department, Muglisara; 0261-2423751-
55 (Ext. 440).
8.6. The contract will be awarded for three years however SMC will have all rights to terminate the
contract without assigning any reason at any time with 15 days prior notice. The termination
could be due to any reason including the nonperformance or inferior service quality.
8.7. The bidder would ensure that the Internet lease line connectivity provisioning does not violate
regulations as laid by Govt. of India/TRAI or any statutory authorities in respect of such links
/networks.
8.8. It is the responsibility of the successful bidder to get the necessary permission from all the
regulatory bodies for laying of underground/overhead cables / erection of RF tower to provide
the ordered bandwidth. Bidder should take necessary safety measures for erection of tower
or any other work carried out at user premises and will be held responsible for any loss or
accident due to any lapse on such ground as may be decided by SMC.
8.9. The successful bidder shall follow all Safety Regulations and practices. Also bidder should be
responsible for safety of the personnel employed for any work under this contract and/or any
labor laws as may be applicable in the region.

8.10. All the equipment’s and cables for providing Internet Leased Line connectivity shall be covered
under comprehensive maintenance (including rodent attack to any cables or parts, breakage/
damage of all cables like Power/ Data cables etc. excluding damage due to fire or intentional
damage) during the contract period. The bidder shall carry out periodic maintenance with a
view to ensure maximum uptime.
8.11. If any equipment or service issue during the contract period is found to be under repeated
failures of same nature due to poor configuration or servicing or replacement of inferior parts
or when troubleshooting is found to have been performed in piecemeal by the bidder the
same will be considered as an inefficient attendance, such instances will be subject to levy of
penalties at double the penalty rate mentioned in SLA.
8.12. In case if breakdown/ maintenance work is required to be carried out during non-working
days/ hours, the bidder shall attend the task(s) during this period at no extra payment.
8.13. At SMC – HQ, two ILLs of 50 Mbps and 20Mbps are to be provisioned under this bid. Two
different service provider will be selected for high availability.
8.13.1. For 50 Mbps ILL, the bidder at L1 position will be selected.
8.13.2. For 25 Mbps ILL the bidder at L1 position will be selected. However, in case this
bidder is same as the bidder at L1 position for 50 Mbps, the bidder at L2, L3…. position
will be approached sequentially to offer the service at the rate of L1 bidder for the 25
Mbps ILL.
8.14. The bidder will be required to ensure that the real IPs provided shall remain fixed for the
contract period. If the change in IPs is unavoidable, the change shall only be initiated after the
approval from Surat Municipal Corporation. However, if the IPs allotted by the service provider
is blocked due to some/other reason, the bidder shall be required to provide the new IPs at
no extra cost.
8.15. Site Location: The connectivity at the following locations is required under this tender.

8.16. It is compulsory to provide the connectivity in physical ring topology as per mentioned in
Section 11: Technical Specification for in and out to the bidder’s Network with dedicated
Mux/Router should be installed at SMC offices to ensure redundancy and maximum up time.
8.17. All the equipments supplied by the bidder should be capable of handling higher bandwidth in
case up gradation is required in the later stage.
8.18. The bidder shall ensure Adherence of Service Level Agreement.
8.19. The bidders shall be required to provide customer support system for 24X7X365 so as to
address the complaints/provide any assistance as well as to provide periodic reports on the
availability of the circuits. The said support system shall be responsible for the following but
not limited to:
Post implementation services
Management of service level commitments
Connectivity monitoring, management and reporting

8.20. The bidder is also required to provide an escalation matrix and shall depute a designated
service account manager for this contract.
8.21. The list of deliverables mentioned in this document is not inclusive and the bidder shall deliver
and perform all the activities that are required to be performed as per the Tender Terms &
Conditions and Scope of Work.
8.22. Delivery Schedule: The awarded Internet Leased Line should be supplied, installed and
commissioned within 30 days of issue of the work order.
Procedure for Fault Booking, its Escalation and Help Desk 8.23. Bidder must set up adequately manned Help Desk to enable SMC for fault booking and any
operational problem pertaining to network. The Help Desk must be available on 24x7x365
basis. The Help Desk must keep a full record of fault / complaint booked and action taken in
respect of each complaint.
8.24. Bidder to provide the prescribed fault booking, escalation chart & operational procedure in
detail to enable S.M.C. and its Users Institutions to book the complaint on a pre-assigned
number.
8.25. A fault docket number shall be provided on booking of complaint, and the same shall be
relayed by electronic mail/SMS etc.
Acceptance test 8.26. After installation, configuration of site, tests shall be conducted for system performance as a
whole. Commissioning shall mean end-to-end commissioning of the entire connectivity.
8.27. The acceptance test shall involve successful commissioning of connectivity. The said
connectivity shall be checked for 48 hrs for the availability and its end to end communication
for the purpose of data transfer and other application as well as meeting the SLA parameters
as specified in the bid.
8.28. On the successful completion of Acceptance Test, the acceptance certificate will be signed by
the authorized representative(s) of SMC and given to the successful bidder. The date on which
such certificate is issued shall be deemed date of the successful commissioning of the sites.
The payment liability of SMC shall start from the date of issue of acceptance certificate.
8.29. Any delay by the successful bidder in the Acceptance Testing shall render the successful bidder
liable to the imposition of appropriate Penalties.
8.30. If the circuit does not meet the criteria laid down in the bid during the testing phase. SMC shall
have the right to reject the circuit and ask for its replacement. If the bidder fails to replace the
system as required, S.M.C. reserves the right to initiate any contingent measures as deemed
necessary in the interest of the project.
8.31. The bidder ISP should have
8.31.1. Centralized trouble ticketing facility for call logging, monitoring and Troubleshooting
purpose.
8.31.2. Single Toll Free number for all the call logging and status update.
8.31.3. Well defined capabilities and procedures to track call resolution progress status and
provide the updates to the customer. In addition, bidder ISP should have well defined
management and technical escalation procedures.

8.31.4. Well-equipped O & M center staffed with experience personnel.
8.32. Following Reports should be provided with quarter bill if as an when required by SMC
8.32.1. Bandwidth Usage Reports for both upload and download.
8.32.2. Network Latency Report.
8.32.3. Login to monitor and generate various usage report.
9. Service Level Agreement
The purpose of this Service Level Agreement (‘SLA’) is to clearly define the levels of service to be provided by the vendor to SMC for the duration of this contract or until this SLA has been amended.
Successful bidder shall be required to ensure the specified uptime and for this shall depute/designate Service Manager to function as a single point of contact. The said manager should be supported by back end team of trained and experienced network engineers to maintain and manage the connectivity.
A. Operation of Network : 24x7x365 B. Link uptime percentage on Quarterly Basis : 99.5% C. Required bandwidth should be unshared, uncompressed Internet bandwidth at all the time on
1:1 basis. D. Packet Losses: Less than 1 % at any given point of time to any part of globe. E. Domestic Latency < 80 Millisecond during peak traffic hours. F. International Latency < 250 Millisecond during peak traffic hours. G. Fault reporting Helpdesk (Toll Free): 24 x 7 x 365
Calculation under SLA:
Link uptime: the guarantee Uptime of 99.5% of each circuit will be calculated separately on quarterly basis
A. The successful bidder shall sign a Service Level Agreement with SMC to ensure an uptime of 99.5% for individual circuit. Total Uptime = {(Total Time – Down Time)/Total Time X 100}. The downtime shall be calculated form the time the fault has been reported till the time it is resolved. Deduction in payment will be made for downtime as per the following table from the quarterly bills raised by the bidder.

Schedule maintenance by vendor with prior information to SMC.
Unavailability of line due to force majeure.
C. Latency, Throughput & Consistency: In case of non-adherence to SLA of any one or more parameter, the link will be considered as down with effect from time to detection till time to SLA limit to restored.
10. Terms and Conditions 10.1. The period of contract will be for three years.
10.2. SMC reserves the right to order all or selected links from one or more vendors without
assigning any reasons thereof.
10.3. SMC reserves the right to discontinue the specific or all services if the same is either not
required or not delivered as per the expectation. In such case the proportionate payment will
be made after deducting applicable penalty if any.
10.4. The Bidder may participate in the bid by quoting for one or more/all links depending on
feasibility to supply and support that range of products.
10.5. The contract shall be governed by the Laws in India and shall be subject to the jurisdiction of
Surat.
10.6. The right to reject accepts any/all bid(s) without assigning any reason thereof is reserved.
10.7. The bidder on its part and through its own resources shall ensure that the goods, materials
and equipments etc. are not damaged in the process of delivering the services and shall be
responsible for acts of commission and omission on the part of its staff and its employee etc.
If SMC suffers any loss or damage on account of negligence, default or theft on the part of the
employee/staff of the agency then the agency shall be liable to reimburse to SMC for the same.
The bidder shall keep SMC fully indemnified against any such loss or damage.
10.8. The bidder’s personnel’s working should be polite, cordial, positive and efficient, while
handling the assigned work. The agency shall be responsible for any act of indiscipline on the
part of persons deployed by him.
10.9. The agency will be bound by the details furnished by him/her to SMC, while submitting the
tender or at subsequent stage. In case, any of such documents furnished by the agency is found
to be false at any stage, it would be deemed to be a breach of terms of contract making
him/her liable to legal action besides termination of contract.
10.10. In case of continued failure or short-falls from the established standard, the contract shall be
terminated and no payments will be made nor will any damages be paid to the agency besides
forfeiting Security Deposit.
10.11. Security Deposit
The successful bidder will be required to place Security Deposit @ 5% of the consideration of
the Contract by Demand Draft or Banker's Cheque Payable at Surat in favor of Surat Municipal
Corporation of any scheduled/nationalized bank within 10 days from the date of notice of
award of contact, failing which a penalty @ 0.065% of the amount of security deposit will be
imposed for delay of each day. The EMD placed may be considered for conversion towards the
security deposit and amount falling short of the required amount shall be payable.
10.12. Agreement, Surety and Undertaking

The Agency shall enter into a written agreement, Surety and Undertaking with SMC for this
work on a stamp paper each of Rs. 100 value of Government of Gujarat at the Bidder's own
cost within 10 (Ten) days period from the date of Notice of Award.
10.13. Solvency Certificate
Along with the technical bid documents, the bidder should submit Valid Solvency Certificate
amounting 20% of the consideration of the Contract from a scheduled/nationalized bank. The
Solvency Certificate should valid and should not be older than one year from the bid start date.
10.14. No interest shall be paid on Earnest Money Deposit and/ or Security Deposit placed.
10.15. Any offer/bid not meeting the terms and conditions mentioned hereinabove will be liable for
rejection without assigning any reason thereof.
10.16. Bid once filled in, submitted shall not be allowed to be withdrawn till the validity of the period
of this bid remains in force or else the EMD shall be liable for forfeiture.
10.17. The right to reject or accept any/all bid(s) without assigning any reason thereof is reserved.
10.18. The liability as to any damages and/or loss otherwise to any movable or immovable properties,
assets during loading, unloading or otherwise during the contract period, whether knowingly
or unknowingly done or occurred shall be made good forthwith to the SMC by the Awardee
agency upon a communication made therefore.
10.19. In case, the awardee i.e. the selected bidder fails to supply specified quantity and quality of
goods/service in time or the performance of such supply/supplies are not found up to the mark
or found of an inferior quality vis-à-vis specifications, the earnest money deposit and/or
security deposit will be forfeited at once.
10.20. All goods/services to be supplied shall be of specified or higher speed/technology/version. The
SMC or its representative shall have the right (if it so desires) to test the goods to ascertain
their conformity to the specifications. The SMC shall notify to the agency for this purpose and
nature of tests that may be conducted (if found necessary) for bench-marking.
10.21. Should the awarded bidder fail to deliver the scope of work in due time, SMC reserves the right
to get the work done from third party at the bidder’s risk and cost including the replacement
of faulty components/equipments.
10.22. The prices/charges quoted should also include:
1) Supply, installation, integration with network and maintenance of network and equipment
including CPE (like convertor, switch, router, etc.) at all locations. Maintenance of
equipment including CPE shall cover repair and replacement of the same.
2) Cost of all power cables, signal cables, connectors, controllers, mounting kit, necessary
device drivers and any other necessary components required to make the link functional.
3) Transit Insurance, Freight and loading, unloading charges up to SMC’s site.
10.23. Terms of Payment
The payment of charges will be on quarterly basis. The agency will be required to raise the
quarterly service charge bill for each completed quarter for the leased line provided and the
payment will be made after deducting the applicable penalty. No advance payment will be
made.
10.24. It should be noted the bids will be evaluated on the basis of price. However, if required SMC
as per its own discretion may also consider other factors like technology, innovative solution,
etc.
10.25. The necessary deduction of income tax at source will be done as per government norms.

10.26. Price Fall
10.26.1. The prices charged for ILL supplied under the Contract by the bidder shall in no event
exceed the lowest price at which the bidder sells the same slabs of local loop and
services or offers to sell identical services in the same or lesser quantity to any
persons/ organizations including the purchaser or any department of the Central or
State Government or any undertaking of the Central or State Govt. as the case may
be during the duration of the Contract. If any time during the contract period the
bidder reduces the sale price, sells or offers to sell local loop and services in the same
or lesser quantity at a price lower than the price chargeable under the Contract, the
agency shall forthwith notify such reduction and reduced prices shall be applicable
to the service contract after mutual discussion at the beginning of the subsequent
quarter.
10.26.2. If there is any reduction in charges or government taxes due to the Government
policy or else, the subsequent price reduction shall be applicable to the service
contract after mutual discussion at the beginning of the subsequent quarter.
10.27. Penalty for delay in Delivery
The successful agency shall supply, install and commission the Internet Leased Line as detailed
in Technical Specifications Section of this bid as per delivery schedule specified from the date
of the Work/Purchase order. A penalty of 0.2% of the consideration of contract for a particular
Internet Leased Line will be charged for delayed supply and installation for delay of each day
thereafter.
10.28. The bidder shall extend all the benefits to the SMC such as any kind of discount, rebate,
commission, incentives normally offered to any other buyer in the form of gift or otherwise as
part of the sales promotion scheme(s). If any sales promotion scheme(s) is/are launched after
submission of bid or after the bidder is awarded with the contract by the SMC, all such benefits
of the said sales promotion scheme(s) during the continuance of said scheme(s) shall have to
be made available during the period of contract.
10.29. The bidder will not be allowed to shift any equipment to any other location for any other
purpose without prior approval from SMC. In case of termination of the contract the same will
be removed by the service provider, at their own cost (including labor charges) within one
month of the termination of the contract. If service provider is unable to remove the
equipment within one month of the termination of the contract, SMC will be not held
responsible for consequential loss or damages.
10.30. The total penalty could be up to 10% of the Consideration of Contract and the decision of the
SMC shall be treated as final in such cases.
10.31. The bidder/ its personnel shall not divulge or disclose to any person, any details of office,
operation process technical know-how, administrative/ organizational matters as all are
confidential/secret in nature.
10.32. Consortium or JV or Sub-contracting
The Bidder is NOT allowed to form Consortium or Joint Venture for any specific service within
the scope of the tender. Sub-contracting is also NOT be permitted.
10.33. Merger/ Acquisition of Bidder

In the event of the bidder’s company or the concerned division of the company being taken
over/bought over by another company, all the obligations under the agreement with SMC
should be passed on for compliance to the new company in the negotiations for their transfer.
10.34. The bidder shall indemnify SMC from and against any costs, loss, damages, expense, claims
including those from third parties or liabilities of any kind howsoever suffered, arising or
incurred inter alia during and after the Contract period out of:
any negligence or wrongful act or omission by the bidder or any third party associated with
bidder in connection with or incidental to this Contract; or
any breach of terms as stated in the bid document, the bidder’s Bid and the Contract with
the bidder
Any infringement of patent, trademark/copyright or industrial design rights arising from
the use of the supplied goods and related services or any part thereof.
10.35. Force Majeure: The bidder shall not be liable for any delay or failure of performance of any of its
obligations under or arising out of this contract, if the failure or delay is the result of an event of
Force Majeure. “Force Majeure” means an event beyond the control of the bidder and not
involving the bidder’s fault or negligence, and not foreseeable. Such events may include, but are
not restricted to, acts of the End customer in its sovereign capacity, wars or revolutions, riot or
commotion, earthquake, fires, earthquake, floods, epidemics, quarantine restrictions. The
bidder shall continue to perform its obligations under the Contract as far as is reasonably
practical and feasible.

We also explicitly understand that all quoted items meet technical specification of the bid & that such technical specification overrides the brochures/standard literature if the same contradicts or is absent in brochures.
