TASK ORDER TERMS AND CONDITIONS

A.3 TASK ORDER STATEMENT OF WORK

BACKGROUND

The Nuclear Regulatory Commission (NRC) office of Inspector General (OIG) has concluded in an audit finding thatstaff personnel did not use licensing "commitments" consistently or appropriately. The staff is in the process ofrevising guidance/policy documents and it is also recommended that training be developed resolve the issues[Attachment 2].

TASK ORDER OBJECTIVE

The primary objective of this Task Order is to create an online version of the previously developed training materialand key information in staff guidance/procedure on regulatory commitments. The resultant deliverable of this taskwould be about a web-based, courseware package no longer than 60 minutes in length, using technology andsoftware packages agreed upon under the existing basic contract [NRC-HQ-12-C-38-0079] as necessary to ensurecomplete compliance with NRC iLearn LMS, IT network infrastructure, and Section 508 requirements.

SCOPE OF WORK

The contractor is required to develop an online courseware package, no longer than 60 minutes in length, based uponthe existing course materials for "Regulatory Commitments." This work can be divided into sub-tasks as follows:

A. Sub-Task 1 - Develop a proiect plan

A draft of this plan should address at minimum all the following sub-task. Provide options for usingadvance audio / visual technology as appropriate. Since this training could be relied upon as a quick,just-in-time refresher training, small, high impact modules about 10 minutes in length or recordings canbe considered as an option for this courseware. A final plan should be issued after incorporatingsuggestions and comments from NRC Project Officers, if any.

B. Sub-Task 2 - Draft a story board

Issue to comments and identify number of iteration required to resolve all comments

C. Sub-Task 3 - Final Story board

This will incorporate all comment and confirm final design and associated schedule.

D. Sub-Task 4 - Develop draft online courseware modules for comments

NRC will conduct test and provide feedback.

E. Sub-Task 5 - Deliver final courseware

Obtain final acceptance form NRC project officials. Final courseware package must have a quiz andan option to allow for the course content to be printed.

All terms and conditions, including but not limited to: personnel qualifications, labor categories, and labor rates, havealready been negotiated and established under the Basic, Indefinite Delivery/Indefinite Quantity (IDIQ) Contract,NRC-HQ-12-C-38-0079.

DELIVERABLE SCHEDULE

The deliverable schedule detailed in "Section A.2" represents the Government's best estimate of the time required tocomplete the individual sub-tasks. The final deliverable must be completed no later than January 30, 2013, the lastdate of the period of performance for this Task Order. The deliverable dates for each individual Sub-Task will befinalized and agreed upon in the Final Project Plan (Sub-Task 1).

A.4 BRANDING (AUG 2011)

The Contractor is required to use the official NRC branding logo or seal on any publications, presentations,products, or materials funded under this contract, to the extent practical, in order to provide NRC recognition for itsinvolvement in and contribution to the project. If the work performed is funded entirely with NRC funds, then thecontractor must acknowledge that information in its documentation/presentation.

A.5 TASK/DELIVERY ORDER PERIOD OF PERFORMANCE (AUG 2011)

This order shall commence on the date of award and will expire on January 30, 2013.

A.6 ELECTRONIC PAYMENT (AUG 2011)

The Debt Collection Improvement Act of 1996 requires that all payments except IRS tax refunds be made byElectronic Funds Transfer. Payment shall be made in accordance with FAR 52.232-33, entitled "Payment byElectronic Funds- Central Contractor Registration".

To receive payment, the contractor shall prepare invoices in accordance with NRC's Billing Instructions. Claimsshall be submitted on the payee's letterhead, invoice, or on the Government's Standard Form 1034, "Public Voucherfor Purchases and Services Other than Personal," and Standard Form 1035, "Public Voucher for Purchases Otherthan Personal - Continuation Sheet." The preferred method of submitting invoices is electronically to the Department

A.7 BILLING INSTRUCTIONS FOR FIXED-PRICE TYPE CONTRACTS (JULY 2011)

General: During performance and through final payment of this contract, the contractor is responsible for theaccuracy and completeness of data within the Central Contractor Registration (CCR) database and for any liabilityresulting from the Government's reliance on inaccurate or incomplete CCR data.

The contractor shall prepare invoices/vouchers for payment of deliverables identified in the contract, in the mannerdescribed herein. FAILURE TO SUBMIT INVOICESN/OUCHERS IN ACCORDANCE WITH THESEINSTRUCTIONS MAY RESULT IN REJECTION OF THE INVOICENOUCHER AS IMPROPER.

Standard Forms: Payment requests for completed work, in accordance with the contract, shall be submitted onthe payee's letterhead, invoice/voucher, or on the Government's Standard Form 1034, "Public Voucher for Purchasesand Services Other than Personal," and Standard Form 1035, "Public Voucher for Purchases Other thanPersonal--Continuation Sheet."

Purchase of Capital Property: ($50,000 or more with life of one year or longer)

Contractors must report to the Contracting Officer, electronically, any capital property acquired with contract fundshaving an initial cost of $50,000 or more, in accordance with procedures set forth in NRC Management Directive (MD)13.1, IV, C - "Reporting Requirements" (revised 2/16/2011).

Agency Payment Office: Payment will continue to be made by the office designated in the contract in Block 12 ofStandard Form 26, Block 25 of Standard Form 33, or Block 18a of Standard Form 1449, whichever is applicable.

Frequency: The contractor shall submit invoices/vouchers for payment once each month, unless otherwiseauthorized by the Contracting Officer.

Format: InvoicesNouchers shall be submitted in the format depicted on the attached sample form entitled"InvoiceNoucher for Purchases and Services Other Than Personal". Alternate formats are permissible only if they

Task Order Contracts: The contractor must submit a separate invoice/voucher for each individual task order withpricing information. This includes items discussed in paragraphs (a) through (p) of the attached instructions. Inaddition, the invoice/voucher must specify the contract number, and the NRC-assigned task/delivery order number.Final vouchers/invoices shall be marked "FINAL INVOICE" or "FINAL VOUCHER".

Currency: InvoicesNouchers must be expressed in U.S. Dollars.

Supersession: These instructions supersede previous Billing Instructions for Fixed-Price Type Contracts (June2008).

Before a new training project can begin, identification of the training need, quantification of the training, identification ofrequired resources, and commitments by the customer and service organizations should be established. The first partof this questionnaire is a preliminary assessment to be discussed by HRTD and the requesting office.

Is Training the Answer?

Often, when change or growth is required in the knowledge, skill or attitudes of employees, a training or educationalprogram becomes necessary. However, there are times when, on careful examination of the situation, the needcannot be clearly satisfied with an instructional answer. The perceived "training need" could be more related topersonnel matters, a communication failure, a procedural matter (inadequate directions) or external influences.

Actual training needs typically arise from changes in job requirements; new employees; low performance levels; newequipment or new procedures to be learned; professional development for individuals; and/or training mandated byregulations.

Review your need. If training is required, answer the following questions:

In September of 2011, the Office of Inspector General (OIG) concluded an audit of NRR's use of licenseecommitments. The audit found that NRR and other agency personnel did not use commitments consistently oralways appropriately. OIG recommended that training be developed and implemented to instruct all impacted agencypersonnel on the proper use and definition of commitments.

The desired training will instruct agency personnel on the proper identification and use of regulatory commitmentsmade by licensees to the NRC. Emphasis will be placed determining the types of actions that are appropriate forcharacterization as regulatory commitments. The training will also identify the potential for NRC staff to use actions,proposed as regulatory commitments, in such a manner that that they are required to be elevated and controlled aslegal obligations.

The objective of the training is to establish and maintain a consistent understanding of all NRC staff involved in

reviewing, utilizing, inspecting and managing regulatory commitments.

2. What has triggered the request? (Identify the need for the training.)

On September 19, 2011, OIG issued Report OIG-1 1-A-17, "Audit of NRC's Management of Licensee Commitments"(ADAMS Accession No. ML 11264A129). The OIG audit found that the definition and use of commitments is notconsistently understood throughout the agency. The audit determined that this lack of consistency resulted from alack of training and could potentially result in the misapplication of regulatory commitments by NRC staff. Therefore,theOIG audit included a recommendation that training be developed and provided to all agency staff involved in reviewingcommitments.

NRR responded to the OIG audit report on October 18, 2011 (ADAMS Accession No. ML1 12700129). NRR'sproposed corrective actions included the implementation of a training module on the use of licensee commitments.

3. What is the knowledge/skill gap requiring training?

Licensee commitments are reviewed, used, inspected and managed by NRR, OGC, OE and Regional staff. The OIGaudit report determined that agency staff in these organizations did not consistently understand the legal status ofregulatory commitments or the enforcement actions allowed to be taken with regard to commitments. The OIG auditalso identified an inconsistency in the NRC staffs understanding of the implications associated with relying onregulatory commitments as the basis for regulatory decisions.

4. What should the level of knowledge of the audience(s) be upon completion of the training? This should be just

the essential need-to-know versus nice-to-know knowledge/skills/attitudes.

Upon completion .of the training, NRC staff must understand the following:

* Regulatory commitments are not legal obligations and the NRC has no regulatory authority to pursueenforcement actions such as a Notice of Violation to a licensee for failing to comply with a commitment.

* NRC staff must elevate and control actions, proposed as licensee commitments, to a legal obligation (forexample: a rule or operating license condition) if they are used to support a finding of public health and safety inan NRC Safety Evaluation.

- Licensee proposed commitments that have been elevated to operating license conditions by the NRC staffmust be inspected and viewed from an enforcement perspective as a legal obligation that cannot be unilaterallychanged or deleted by the licensee.

- Regulatory commitments are not appropriate to communicate a method of achieving compliance with aregulatory requirement. Commitments can only be used to communicate the schedule for achieving compliancewith a regulatory requirement.

What is the current level of knowledge of the audience?

The OIG audit report found that the knowledge level of the NRC staff is mixed. Specifically, the audit found that only52% of NRC staff interviewed correctly understood a commitment to be a low-level promise between NRC and thelicensees (pg. 13 of report). In addition, 27% of NRC staff interviewed incorrectly indicated that regulatory decisionscan be based on commitments (pg. 14 of report).

5. Can the need be partially met by a means other than training?

No. Office Instructions (UC-105 and UC-101) and NRC endorsed NEI guidance (NEI 99-04) have been in place formany years that describe the NRC policy regarding regulatory commitments. However, these documents also coverthe details of multiple aspects of commitment management primarily focused on NRR project manager responsibilities.However, licensee commitments are reviewed, used and inspected by a broad spectrum ofNRR, OGC, OE and Regional staff, many of whom lack an understanding of the fundamental NRC policies governingthe use of commitments. In addition, many NRC staff outside of DORL may not interact with regulatory commitmentsin the course of their duties for months or years.Therefore, training that provides a concise review of the fundamental policy aspects of regulatory commitments isrequired on a regular, periodic basis for the NRC staff described above.

6. Does existing training satisfy any of the need?

No. At present, there is no official training beyond DORL specific project manager qualification documents that aregeared toward self-study. These documents are not an adequate venue to provide the targeted sub-set ofinformation needed to effectively equip the various NRC staff that review and make decisions regarding licenseecommitments on an infrequent basis.

7. Identify who needs the training:

Position Title(s): Region Inspectors; Region Resident Inspectors; Region ProjectEngineers; OGC attorneys; all NRR technical reviewers; NRR DORL project managers; NRR DPR projectmanagers; NRR DLR project managers; OE specialists.
