Responsibility for heading up the Company Secretarial Team. In addition, providing global legal advice and support to 3 distinct areas:-

1. CO-SEC AND FINANCE

Managing refinancing for whole Group, with multiple international banks (total amount exceeding £100m).

Responsibility for provision of Executive Share Plan. Negotiation of multiple ISDA Agreements. Negotiation of multiple EMIR (trade reporting) Agreements. Putting in place franchise arrangements for all global trading entities.

2. OPERATIONS, INNOVATION AND SUPPLY CHAIN MANAGEMENT

Renegotiation of core indirect supply Agreements. Support and co-ordination on territory product recalls. Providing legal support for global promotional events. Providing support to the Corporate, Social Responsibility Team.

Negotiation of about 30 strategic global technology contracts (including hardware, software, telecoms, cloud and outsourcing).

Providing specialist data protection advice to all the business entities globally. Support on technology audits. Presentation to Legal Group on Agile contracting.

BARCLAYS September 2014 to October 2015Senior Legal Counsel

Giving advice to Sourcing on end-to-end general commercial, outsource and technology projects, including large-scale international managed services, transitional services agreements, software licensing, IT hardware, software and cloud purchasing, professional services contracts and outsource agreements.

Negotiating a £250m p/a ground-breaking global outsource deal. Providing legal support on the TSA and Operational Service Agreement for a complex

international disposal of £50m. Supervising a team of 5 lawyers and trainees.

TRAVELEX February 2014 to August 2014Head of Legal for EMEIA

As Head of Legal for EMEIA, the responsibilities included managing the team of 5 lawyers plus providing legal, commercial and compliance advice to the major business areas. These business areas were: retail (bureaux de change), the ATM international roll out programme, providing foreign currency outsourcing services to major clients (travel companies, banks, supermarkets etc), rollout of business in new territories and support to the Group Procurement function.

The role included:-

Being responsible for all day to day running of the EMEIA Legal Team. Being an active part of the Global Legal Leadership Team and helping to develop the

strategy and structure for the Legal Team globally. Being responsible for all external legal instructions and spend, especially internationally. Liaising with and providing support to HR, Risk, Compliance, Company Secretarial and

Audit on Employment Law Data Protection, Code of Conduct, whistleblowing, anti-bribery and corruption, theft/fraud, anti-money laundering, KYC and health and safety.

Creating a Global Competition Law Programme (review, planning, implementing processes/documentation and providing extensive training to the business).

Creating and implementing significant change management programmes within the Legal Department, to improve performance.

Negotiating and managing the most complex, largest outsource contract Travelex have undertaken and also negotiating the most business critical insource agreement.

WOLSELEY PLC January 2013 to January 2014Head of Legal UK

Wolseley is the global market leader in the supply of building materials. It is a FTSE 100 company, which turned over £1.8 billion in the UK last year and £18 billion globally.

In addition to general management of the Legal Department, Co-Sec and Debt Collection, responsibilities included:-

Major change management programmes for compliance and risk. Compliance covered implementing programmes for competition law and

fraud/bribery/corruption. Risk involved supporting the product integrity programme for the Sourcing Team (for

both the products themselves and the suppliers background, ie financial status/code of conduct/ethical sourcing/environmental commitment etc).

In addition, providing legal advice on employment issues, property issues (lease renewals, rent reviews, acquisitions and disposals) and intellectual property issues.

Providing advice on pure corporate legal matters, for example, a €40 million restructuring and sale in Northern Europe. Also providing support to Tax, Insurance and Risk Management departments.

A major project to create a global contract improvement programme. This project covered all of Wolseley’s territories worldwide, namely the USA, Canada, the UK, France, Scandinavia and Central Europe. It meant extensive liaison with the Heads of Legal and Sourcing for all these territories and ensuring that they developed and implemented significant change management processes.

Negotiation of a managed service for voice and data for all of the UK branches. This project was the most significant IT and Telco project within the company and of crucial strategic significance to the UK business.

Other clients have included:-

AMERICAN EXPRESS

Provided legal and commercial advice directly to the Procurement Team on a very large, complex, high profile technology outsource. At that time it was the largest ever BPO undertaken by Amex in Europe. Heading up the project team of thirty. Pre-negotiation preparation, document production, risk management, review of existing third party arrangements plus presentation of contract structure and risks to senior management.

BUPA

Managing a team of ten solicitors. Own work encompassed general commercial for Sourcing, with an emphasis on IP and technology contracts, advising on property acquisitions/disposals/disputes and all relevant healthcare legislation.

KLEINWORT BENSON

Providing legal and regulatory advice on the new MiFID legislation. In particular, negotiating four major IT and BPO outsource contracts by the legislation implementation date to ensure that they were best practice from legal, commercial and regulatory perspectives.
