Preamble:

1. The AUTHORS OF THE TRUST are desirous of founding aTRUST for public charitable purposes as hereinafter stated; and

2. In furtherance thereof the authors propose to create anIrrevocable Trust and the Trustees have agreed to become theFIRST TRUSTEES of these presents as is testified by their beingparties to and executing these presents;

NOW THE DECLARATION OF TRUST WITNESSETH AS FOLLOWS:

1. Declaration andname of the Trust

The name of the TRUST shall be "BRAHMI EDUCATIONALAND CULTURAL TRUST" HEREINAFTER referred to as "the Trust",

"Trust Fund" shall mean the Trust property which shall initiallybe the sum of Rs.1000/- (Rupees one thousand only) and shallinclude all accretions thereto and any other property andinvestment of any kind whatsoever into which the same or partthereof may be converted, invested from time to time and allother properties movable or immovable which come into handsof the Trustees by virtue of these presents or by operation oflaw or otherwise howsoever in relation to these presents

The" Trustees shall hold and stand possessed of the Trust Fundupon Trust for the Trust Purposes/;f --The administration of the Trust hereby constituted and theentire control, regulation and management of the Trust Fundand application of the Trust Fund and its income thereofsubject to this Deed of Trust shall vest in the Trustees and theTrustees shall have uncontrolled discretion in the managementof the Trust. The Trustees may administer the Trust by asimple majority in a meeting and the quorum shall be at leasttwo Trustees present and vote. The Trustees may frame theirown Rules or Bye-laws in this behalf;

Without prejudice to the generality of the foregoing powers ofvesting, management and control the Trustees shall have andexercise all or any the following powers considered necessaryor desirable for giving effect to the Trust Purposes, TheTrustees are hereby empowered to co-opt additional Trusteesof their choice not exceeding 10 persons at any time. Trusteesmay further decide to fill-up casual vacancies occurring due todeath, resignation, prolonged illness and unwillingness or suchother reasons, by co-option by the remaining Trustees. At no

time the number of Trustees shall be less than three.

The chairman of the trust shall be Dr. K. RANGACHAFt! thesecretary of the trust shall be Dr. CHANNA RAJU and thetreasurer of the trust shall be Mr.T.M.NARAYANASWAMY.Should the office of the Chairman, Secretary or Treasurer fallvacant due to resignation, death or other causes referred to inthese presents, the trustees shall elect the successors to theabove said office/s at its immediate meeting or at the meetingheld as soon as practicable.

The Trustees may frame Rules, Bye-laws for the purposes ofeffective management of the Trust Fund and to carryout any ofthe deliberations of the Trustees.

Without Prejudice to the generality of the foregoing powers ofthe management and control, the Trustees shall have and mayexercise all or any of the following powers as may beconsidered necessary and desirable for the effective fulfillmentof the Trust Purposes: -,

(a) To receive donations, grant, advance, lease from anyperson, individuals, joint family firms, companies,corporations, financial institutions, Banks, Charitableinstitutions, Government - State or Central or local bodiesor any agencies or Societies.

(b) To accept gifts of properties-movable or immovable, fromany persons and other institutions, Trusts, RegisteredBodies, etc,. Whatsoever;

(c) To purchase, take on hire or acquire by gift or otherwise orlease the land or other proper|es-movable or immovable,or such terms and conditions as the Trustees may deemfit, whether free of any liability or with conditions orotherwise as the Trustees consider necessary or desirableto enter into any contracts, agreements, or arrangementswith any party, societies and Government or otherauthorities State-Central, Municipal-Local or other statutoryor Non-Statutory bodies for obtaining concessions,privileges, or other benefits which may be conducive togive effect to the objects of the Trust or any of them and toobtain and carry agreements arid arrangements;

5 (d) To deal with' '^dispose-off sell/ mortgage, create charge,lease, hire, invest, transpose, advance, loan againstadequate security and generally deal with things Trust mayconsider necessary and desirable.

(e) The funds of the Trust shall be invested in the modesspecified under the provisions of section 13 (1) (d) readwith section 13 (5) of the income tax act, 1961 and inaccordance with the provisions of the Indian Trust Act,1982. ;!

I(f) To open and close accounts-.;Savings Bank, Current or

Fixed Deposits with Bank/s, as decided by the Trustees.Such accounts shall be operated jointly by two Trusteesone whom shall be the office bearer of the Trust i.e. theChairman, Secretary or the Treasurer.

(g) It shall be the responsibility of the Treasurer to maintainproper accounts of the Trust and get it audited by aChartered Accountant as determined by the Trust in itsmeeting and place the audited Statement of Accountsalong with the income and Expenditure account andBalance Sheet within a period of 6 months from the closeof the accounting year and get it approved by the Trust.

(h) To manage the Trust Fund and to collect and recoverinterest and income thereof and to meet and pay theexpenses of such collections or other out-goings, if any;

(i) To pay or utilize the balance of such interest or income oreven the corpus of the Trust Fund or any part thereof forthe Trust Purposes.

(j) To maintain and act as Trustees or appoint Trustees forProvident Funds, Pension Funds or any other Fund for thesupport of relief or maintain once of any employees orclass of employees (either full time or part time) of theTrust or their dependents.

(k) To institute, defend, compound or abandon any legalproceedings by or against the Trust or its officers orotherwise concerning the affairs of the Trust and also tocompound and allow time for payment or satisfaction ofany debt due to and all claims or demand made-by oragainst the Trust, or engage lawyers, Advocates, Auditorsfor the said purposes;

(I) To enter into any compromise and to refer matters toPage8of19

(m) To receive any money and to grant receipts and dischargetherefor;

(n) To borrow or otherwise raise any money with or withoutsecurity and upon terms and conditions as the Trusteesmay deem fit from individuals, Firms, Companies, Banksand other Financial Institutions, Societies;

(o) To delegate to any persons all or any of the foregoingpowers conferred on the Trustees in so far as they maylawfully do so, subject however to the Trustees retainingthe ultimate control and discretion over the delegatesaction and conduct;

(p) To transfer any funds or property of the Trust to any otherpublic Charitable Trust, the objects or purposes whereofare similar to those of 'The Trust";

(q) To do such acts as the Trustees deem necessary thatwould directly or indirectly further and achieve any of thepurposes of the Trust. I

The powers enumerated in thej above sections shall beexercised by the Board of Trustee^ subject to their satisfyingthe conditions laid down under Sections 2(13)11,12, 12(A),13and/or 80-G of the Income Tax Act 1961 (43 of 1961) asamended from time to time so that the Income of the Trust willbe exempted from Income Tax for each and every assessmentyear. ALL THE ACTIVITIES OF THE TRUST SHALL BE

9. Trustees hay incur The Trustees may incur expenses and meet costs as may benecessary for the due and efficient performance of the Trust ormanagement of the Trust affairs and the Trust propertiessubject to the Rules or Bye-laws framed by the Trustees in thisbehalf as amended from time to time. Trustees are indemnifiedfor all bonafide actions done in good faith taken in furtheranceof the Trust objectives.

10. Income to? be The income and the property of the Trust howsoever derivedshall be applied solely towards the promotion of the objects ofthe Trust and no portion thereof shall be transferred directly orindirectly by way of dividend, bonus, gift or otherwise to theTrustees or the patrons of the trust. THE SERVICES OF THETRUSTEES IS PURELY FROM THE SERVICE MOTIVE ANDNO MEMBER SHALL RECEIVE ANY REMUNERATIONEITHER DIRECTLY OR INDIRECTLY IN CASH, MATERIALOR KIND FOR ANY OF THE SERVICES RENDERED TO THETRUST. No Trustees -shall be appointed to any salaried officeof the Trust.

It shall be lawful for the Trustees to make donations to or giveaid from the income or corpus of the Trust Fund to any otherCharitable Institutions. Societies or Organizations orCharitable Trusts in India recognized by the Commissioners of

income-Tax for the purposes of Section BBB of the Income-Tax Act, 1961, which may have been established or which mayhereafter be established for th$ like charitable purposesmentioned in the SCHEDULE of this Deed.

The Trustees may join hands and pool the resources of theTrust with other persons including Government or Quasi-Government authorities or Agencies or Trustees of other Trustsor Societies and their resources fot the promotion of all or anyof the Trust Purposes. The Trustees may acquire either orlease or purchase and run the institutions on commonunderstanding or by agreement with other educationalinstitutions or other institutions whose objects would be of thelike nature.

i) The number of Trustees shall not be less than 3 at anytime and shall not be more than 10

ii) A Trustee may relinquish his office by giving clear 30days notice in writing to the Chairman or the Secretaryand upon the expiry of such period, he shall cease tobe a Trustee. This however shall not absolve suchTrustees from the responsibilities for his acts done priorto such date.

iii) Minimum three Trustees may constitute a Board whenthe number of members is reduced. However, suchmembers shall constitute Board only for a period ofTHREE months from the date of such reduction ofstrength of the Board to Three. Within this period the

members shall have the right to co-opt one or moremembers of the Board of Trustees and fill up thevacancy in the Board and increase the number.A Trustee shall automatically cease to be a Trustee if :-

a. He is declared to be of unsound mind;b. He is adjudged as insolvent;c. He is convicted of any offence involving moral

turpitude;Any vacancy occurs shail be filled up by the remainingTrustees by way of Co-option;

The Trustees shall have power to appoint additionalTrustees by such number limited herein above.

The Board of Trustees shall have powers to make rulesfor admission of associate members, life members orpersons with such designation as they may deem fit onsuch terms and conditions and vary the terms andconditions and rules governing such admission. Anysuch admitted person by the Board shall not have theright to interfere in the Management of the Trust.

The member of the board of Trustees other than theAUTHOR TRUSTEES may be removed (for reasons tobe recorded) in good faith, provided at least a majorityof two-thirds of the members of the Board of Trusteesas constituted from time to time give their consent to theremoval of such member. Trustees to be removed shall be given an opportunity toexplain why he/they should not be removed from theposition from the Trustee/s. The decision of the two-thirds majority thereafter shall be final and binding onall.

Subject to the initial appointment of Chairman, Secretary andTreasurer, the Trustees shall elect the successors of the aboveOffice Bearers at its meeting. In the absence of the chairman inany meeting or in the event of his inability, disability orunwillingness to act as chairman, the Trustees present mayelect one among themselves to preside over the meeting.

The Trustees shall hold meetings at least once in quarter or atsuch shorter interval as the Trustees may decide.

The secretary shall convene with in 10 days a meetingspecifying the matters to be considered when a requisition ofthe meeting by one-third of the members of the Board ofTrustees is deposited-with or served on the secretary.

Notice of the meeting containing 'the general purpose of themeeting and the agenda of the businesses to be considered atthe said meeting shall be sent to each of the Trustees by thesecretary well in advance not less than 2 days prior to the saidmeeting. However, emergency meetings may be called at shortnotice if all the Trustees agree. ij

a) All decisions of the Trustees shall be taken at a meeting bymajority vote and if there be equal votes on any issue, thesame may be decided by the casting vote of the chairman ofthe meeting at his/her discretion.

b) The Trustees may transact urgent business of the Trust bymeans of Resolutions circulated to all the Trustees, and votedupon favorably by a majority of them. However, any matterrelating to investment of Trust Fund, Sale of any property orBorrowing any money with the Security of Trust Fund shall betaken out only at the meeting of the Trustees.

It shall be the responsibility of the Secretary to provide andwrite or get written the MINUTES BOOK in which theproceedings of the meeting shall be entered and signed by thechairman of the meeting. The authentication of the proceedingsby the chairman shall be conclusive of the evidence of thecontents thereof;

The Trust Fund shall be applied for achieving Trust objectivesirrespective of the caste, community, creed, sex, race, andreligion of the beneficiary. No part of the Trust Fund whethercorpus of Income thereof shall be applied for any purposeoutside India.

Any of the terms of this Trust other than the provisions of classNo. 4 (b) and of the SCHEDULE hereto may be varied,extended, amended from time to time by means of a resolutionpassed by two-thirds majority at a meeting of the Trustees

followed by instrument in writing under the hand of the AuthorTrustees and with the prior approval of the commissioner ofIncome Tax. No amendments to the memorandum ofassociations and Rules and Regulations shall be made whichmay prove to be repugnant to the provision of sections 2-13 ofIncome Tax Act, 1961.

PROVIDED that no such amendment shall be valid if it has theeffect directly or indirectly of allowing the Trust Fund to beapplied for the purposes derogatory to the Trust purpose setoutin the SCHEDULE.

The Trustees may, if they are of the opinion that the Trust is tobe dissolved, by means of a resolution adopted with themajority of two-thirds members present passed at a meeting ofthe Trustees and followed by a instrument in writing signed byall ,the Trustees for the time being dissolve the Trust and if,after all the debit and liabilities of the Trust are paid-for orprovided, there shall remain assets, the same shall betransferred to some other organizations or associations orcharitable Trust having similar airri.s and objects which in theopinion of the Trustees are similar to all or any of the Trustpurposes setout in the SCHEDULE'hereto.

1. EDUCATION:

(a) To establish, maintain educational institutions and/or contribute financially orin kind) to the establishment, maintenance of any EDUCATIONALINSTITUTIONS FOR THE PROMOTION OF MOST ECONOMICALLYBACKWARD SECTIONS OF THE SOCIETY IRRESPECTIVE OF CASTE,CREED AND RELIGION.

(b) To establish, maintain homes for children and/or contribute financially or inkind to the establishment, maintenance of any HOMES FOR CHILDREN OFMOST ECONOMICALLY BACKWARD AND NEGLECTED SECTIONS OFTHE SOCIETY irrespective of caste, creed and religion.

(c) To establish, maintain institutions and/or contribute financially or in kind tothe establishment, maintenance of any institutions for SPREADINGLITERACY AMONG RURAL AND WEAKER URBAN SOCIETIES.

(d) To construct, maintain and/or contribute to the construction andmaintenance of SCHOOLS, COLLEGES AND HOSTELS FOR STUDENTSand allied buildings etc., not involving any objectives of profit,

(e) To promote or assist in the promotion and PROPAGATION OF FINE ARTS,LITERATURE, SPORTS, SPECIAL ACTIVITIES in furtherance of the above

(f) To establish or assist in the establishment and maintenance of LIBRARIESAND PUBLISH BOOKS AND JOURNALS, PERIODICALS OR OTHERPUBLICATIONS TO SPREAD LITERACY among rural and weaker urbansocieties. ;

(g) To establish or assist in the establishment and maintenance ofestablishments to SPREAD SCIENTIFIC, TECHNICAL, INDUSTRIAL ANDCOMMERCIAL, SPIRITUAL, CULTURAL, LITERACY KNOWLEDGE infurtherance of the above objects.

(h) To make donations or extend monetary aid in cash or kind tochildren/organisations for PROMOTION OF BASIC AND HIGHEREDUCATION.

2. MEDICAL

(a) To construct, equip and maintain clinics, hospitals and dispensaries, nursinghomes, sanatoria, HOME FOR THE AGED AND CONVALESCENT forupliftment of economically weak sections.

(b) To make donations or extend monetary aid in cash or kind to medicalinstitutions like hospitals, dispensaries, homes for the aged andconvalescent, and sanitaria or any other institutions which are not run forprofit for treatment of disease of any type, PROMOTION AND SPREAD OFPUBLIC HEALTH, SANITATION, ENVIRONMENTAL IMPROVEMENT,PREVENTION OF POLLUTION etc..

(c) To provide assistance in cash or kind for the MEDIQAL TREATMENT OFDESERVING PERSONS.

jWHEREAS on the 25th day of September, 1999, Smt. B. Uma Maheshwari and Dr. ChannaRaju executed a deed of trust under the name and style of "BRAHMI EDUCATIONALAND CULTURAL TRUST" (NO : 136/1999-2000) with several charitable objectives.

WHEREAS certain amendments are required to be carried out in the above said deed of trustdated 25th September 1999, hereinafter referred to as the 'Original Deed of Trust', in orderto conform to several governing provisions under the Indian Income Tax Act, 1961.

WHEREAS at a meeting of the Board of Trustees held on 15th October, 2000, it was decidedand resolved to carry out the requisite amendments stated hereunder by authorizing Dr.Channa Raju to execute an amended deed of trust.

NOW THEREFORE THIS DEED OF AMENDMENT TO THE DEED OF TRUSTDATED 25™ SEPTEMBER, 1999 WITNESSETH AS FOLLOWS :

I. In clause 8(e) of the Original Deed of Trust the words "section 13(5)" shall be sosubstituted and amended to be to be read as "Section 11 (5)".

Clause 4(c) of the Original Deed of Trust shallamended to be read as ;

be deleted to be substituted and

"The accounts of the trust shall be maintained regularly which shall be duly auditedby a Chartered Accountant. The accounts of the trust shall be annually closed on the31st of March of every year for the purpose of the audit as stated hereinabove".

In clause 21 of the Original Deed of Trust the words " No Amendments to thememorandum;? of associations and Rules and Regulations shall be made which mayprove to be repugnant to the provision of section 2-13 of the Income Tax Act, 1961"shall be substituted and amended to the read as

"No amendments to the Trust deed shall be made which may prove to be repugnantto the provisions of the sections 2(15), 11,12,13 & 80G of the Income-tax Act, 1961,as amended from time to time. FURTHER NO AMENDMENT SHALL BECARRIED OUT WITHOUT THE PRIOR APPROVAL OF THE COMMISSIONEROF INCOME*TAX having jurisdiction over the trust".

Clause 22 oft the Original Deed of Trust shall be deleted to be substituted by thefollowing new clause

"In the event of dissolution or winding up of the Trust, the assets remaining as on thedate of dissolution shall under no circumstances be distributed among the Trustees ofthe Managing Committee/Governing body but the same shall be transferred toanother Charitable Trust/Society whose objects are similar to those of this Trusts andwhich enjoys recognition u/s 80G of the Income Tax Act, 1961, as amended fromtime to time".

Saving the specific amendments mentioned hereinabove to the Original Deed of Trust dated25th September, 1999 all other terms, conditions,, recitals and covenants contained in the saidOriginal Deed of Trust shall remain unaltered.
