1. Welcome

Wendy St. Denis, President, called the meeting to order at 9:30 am and welcomed all members of the Skate Ontario Board of Directors, and current and incoming Board Members to the meeting. And continued:

I am also pleased to have our new employees, Scott Rachuk and Cindy Wrong at the meeting. I would like to extend a warm welcome to our incoming Eastern Ontario Section Chair, Glenda Cartwright. This year we will say goodbye to Janet Balkwill. Janet has worked diligently to ensure that we have moved forward as an organization. Janet’s expertise in governance will be valuable as we evaluate our structure and ensure we meet the requirements of the Ministry and Sport Recognition in our position of being a council.

Susanne Morgan will not be returning as the Programs Coordinator. Susanne has agreed to work with The Skate Ontario Organizational Working Committee in the capacity of volunteerism.

Cindy Wrong, will you please record the minutes of today’s meeting? Thank you.

I would like to thank all of the Directors and Committee Chairs for their support and commitment this year. As we all know, Tracey McCague-McElrea’s absence today and going forward will be difficult. Tracey was employed by Skate Ontario both full and part-time since 1989 and she held a wealth of information that no one else possesses. Her connections and partnerships were strong and it will be a challenge to replace her expertise. Please join me in wishing her success in all her future endeavors.

6. Minutes of the 2014 Skate Ontario AGM

The minutes of the 2014 Skate Ontario Annual General Meeting, held June 21, 2014, had been circulated following that meeting and as well as distributed in the meeting package. W. St. Denis inquired if there were any errors or omissions.

7. President’s Remar ks

2014-2015 was a very busy year for Skate Ontario. The usual Planning Meeting took place for the balance of the day following the 2014 Annual General Meeting as well as the following day. An extra meeting was held on August 25 and one of the items on that agenda included approval of the 2014- 2015 budget. The budget included the addition of a full-time Technical Director and Administrative Assistant as well as dollars to work on strategic planning. It was agreed to search for a facilitator for a Skate Ontario strategic planning session. Tracey McCague-McElrea was contracted on a full-time basis this year but it was acknowledged that Tracey was being tasked with more work than one could possibly do. To alleviate this two new staff positions were created to provide support for the programming which includes the Ontario High Performance Sports Initiative (OHPSI), Sport Priority Funding (SPF), Community Funding Grant (CanSkate Kits), Ontario Trillium Funding (Club Consultations) and Quest for Gold (Q4G) as well as any other funding we may secure throughout the year. An agreement was signed with Skate Canada for office space in the Toronto office free of charge until March 31, 2016. The Technical Director is sharing office space with Monica Lockie at the National Performance Centre.

In December Scott Rachuk, Technical Director and Cindy Wrong, Operations Coordinator were hired with full-time contracts until March 31, 2015. New full-time contracts were signed as we committed to ensuring we have Skate Ontario staff developing and implementing our programs and necessary support services for these initiatives. Tracey did an excellent job of training both Scott and Cindy. Both Scott and Cindy are working daily to ensure Skate Ontario programs and initiatives are moving forward. Sincere thanks to Tracey, Scott, and Cindy for your dedication to skating in Ontario.

On May 20th Tracey handed in her letter of resignation. I reluctantly accepted her resignation knowing her wealth of information from working on a part and full-time basis with Skate Ontario since 1989 will be very difficult for us to replicate. She has a strong passion for skating and that kind of dedication and knowledge base will be sorely missed. Skate Ontario Competitions:

Skate Ontario had a year of many firsts and a highlight was the inaugural Super Series with the final taking place at Autumn Skate on October 2-5, 2014 in conjunction with Autumn Skate. Skaters from Ontario embraced this new concept and the final was very successful with some events running as stand-alone events and others integrated into Autumn Skate entries due to slightly lower finalists competing. Super Series skaters who placed first won $500, second place received $300, and third place $200 along with a certificate indicating they were the Ontario Super Series Champions.

The Skate Ontario Championships were hosted by Central Ontario Section as an expanded competition to include many more skaters. This was a huge success from both an athlete development perspective and financially to the Section LOC and to Skate Ontario. A huge thanks you to Susan who jumped in with both feet to coordinate the Skate Ontario Super Series. Her attention to detail also was very helpful and certainly lessened my load with the organization of the Skate Ontario Championships.

Public Relations Social media continues to be our best communications tool. Sean was continually posting to Facebook and Twitter. He was very helpful in assisting Susan with searching for scores of athletes who registered for the Super Series. Sean’s coverage of the national championships was exceptional as was the time spent at the Skate Ontario Championships trying to cover two rinks and medal presentations all at the same time. Sean was quick to post items on the Skate Ontario website as requested.

Technical Committee Under the excellent leadership of Marion Dyke this committee in its second year was more active with conference calls in September, January, and April. At the January meeting the committee agreed to form several sub committees being Hot Shots, Super Series, SO Championships, Pre-Juv and Juv. Categories, and Adult. This committee is very active and provides good input for decision making at the Board Executive level to insure we are offering superior programming and events to our athletes and officials.

Ontario Athletes: Ontario athletes brought home 12 of the 23 Canadian gold medals at senior and junior international events this year. If you add Meagan Duhamel and Eric Radford who are truly Ontario athletes, who train in Quebec, that number jumps to 18 of the 23 gold medals! Ontario picked up 6 of 10 silver and 3 of 8 bronze medals. It was great to watch our “graduates” of the OHPSI program Nam Nguyen and Gabrielle Daleman win senior gold at the Canadian Championships this year! In the junior ranks Mary Orr and Phelan Simpson took the gold medal and Antony Cheng achieved silver. At the novice level Ontario had Olivia Boys-Eddy and Mackenzie Boys-Eddy achieve silver while Conrad Orzel was third and Ellie Fisher and Parker Brown also achieved bronze. Pre Novice saw Stephen Gogolev amaze the audience achieving a gold medal with Hannah Dawson and Daniel Villeneuve also bringing home a gold medal. Synchro Canadians saw NEXXICE senior win gold with NEXXICE junior and open achieving silver wins. Bronze medals went to the

Ilderton Silver Blades in Intermediate and NEXXICE in novice.

A highlight this season was our Canada Winter Games team where all of the 16-member team won a medal! Stephen Gogolev was the youngest athlete at the games and we all know he skated to a gold medal performance! These results certainly helped Team Ontario achieve the Canada Games flag for Ontario! Ontario has now won the flag 21 out of 25 times!

NEXXICE (Sr) had a very successful season topping it off with gold at the ISU World Synchronized Skating Championships in Hamilton. I was thrilled to be in attendance of a sea of red and white supporters and the energy in the arena! There is nothing that compares to the excitement generated at a Synchro event!

Ontario Sport & Recreation Communities Fund (OSRCF) CanSkate Kits – This project supplied a CanSkate Kit to every club in Ontario in fall of 2014 with a few larger clubs receiving two kits. A few other clubs requested a second kit, which they paid for. This project met some stumbling blocks mostly due to the Skate Canada’s decision to re-brand the CanSkate program. This delayed ordering and delivery of the kits to the clubs. Many clubs expressed their thanks for this initiative. The Skate Ontario logo is now in every club in Ontario to assist with our visibility. Club Consultations – This project has been slow to move along with a committee having been formed and having two face-to-face meetings last year. Plans are now taking place to get this project underway and we have received an extension to our completion date.

Skate Ontario Meetings A meeting on August 25, 2014 took place to discuss several items but the most pressing was to approve

the budget. Following a meeting on July 24th that included Tracey, Janet and Paul with the Ministry of Tourism, Culture & Sport consultant, Barbara Lyon-Stewart, it was determined that we needed to reassess how the Base Funding was being used. It was noted that we needed to begin work on a strategic plan and governance in view of conflict of interest concerns and our compliancy issues. Highlights of the budget included discontinuation of section disbursements as the funding was to be used for province wide programming. The budget included dollars to hire a full-time Technical Director and Administrative Assistant and to set aside dollars to work on strategic planning. The Skate Ontario Board of Directors held a meeting with Skate Canada staff on October 3. Topics of discussion included program alignment (with SO and SC) and strategic planning.

Following that meeting the SO Board continued to meet and continued meeting the following day. Items discussed included the Community Funding Grant, Ontario Trillium Foundation Grant, Boot and Blade Project, Quest for Gold, Skate Ontario Championships, Canada Winter Games, posting of the Technical Director and Administrative Assistant positions, SO Governance and Strategic Planning and the OHPSI program. I was tasked with securing Rose Mercier to facilitate a planning session on November 28, 2014.

The Skate Ontario Planning Workshop, with Rose Mercier as the facilitator, took place on November

28th. The objectives of this workshop were to consider the future structure of Skate Ontario and to

engage in strategic planning as part of the integrated Sectional strategic planning initiative supported

by Skate Ontario. At the conclusion of the meeting there was general consensus that a more inclusive conversation was needed. Following that meeting a Skate Ontario Strategic Planning Session was held on February 21, 2015. Tony Nash facilitated the session with the SO Board of Directors, Committee Chairs, Tracey and Scott as well as five to six representatives from the four Sections. Also in attendance and making presentations was Andrew Moss, CSIO-OHPSI; Dan Thompson, Skate Canada; Bethany Tory, Skate Canada; and Barbara Lyon-Stewart, Ministry of Tourism, Culture & Sport.

The immediate action plan coming out of this session was to prepare an information piece for the four Section AGM’s and to set up a way for members to comment or ask questions. In addition, it was agreed to form an Ontario Section Organizational Working Committee. Timelines for identifying the members of the working group were determined.

The March 15th meeting included further discussion regarding strategic planning. Discussion regarding the PSO and NSO Base Funding Program Terms and Conditions took place to ensure all SO Board members understood the compliancy issues surrounding our designated status of being a Council. It was agreed that Skate Ontario and the four sections must show positive movement and the intent to comply with all the terms and conditions. The meeting on May 27 included approval of the confirmed Skate Ontario Organizational Working committee list as well as approval of Margo Crawford’s proposed Statement of Work and to proceed to contract (Business Sherpa Group) to provide the immediate and ongoing Strategic HR/organizational support for Skate Ontario Sections Organizational Review. This standing committee will have up to one year to do the work necessary to develop a plan for how Ontario delivers skating programs to all its members and stakeholders. Once the plan is developed the Skate Ontario Board of Directors will be tasked with reviewing and approving the plan. I can’t stress enough how critical this work and the decisions coming out of the work will be as we move towards a new funding model for 2016-2017 and forward from the Ministry of Tourism, Culture and Sport. In closing I would like to thank Tracey, Scott, and Cindy for all your work this year to develop, implement and support our programs in Ontario. There were more board meetings this year to try and get through the many issues that Ontario skating is facing. It was a tough year and I am pleased to hand over the reins to Gloria to continue working on a plan for a better Ontario.

As Gloria Brighten assumes the role of Skate Ontario President, I know it’s going to be a challenge as Skate Ontario works towards compliancy issues with the Sport Recognition Policy and development of a strategic plan and risk management policies. Given our current structure Skate Ontario must also revise its constitution and by-laws. This is a great deal of work to do in a very short timeframe and we

will all need to support Gloria as we move forward as an organization that is committed to providing the best for our athletes, officials, coaches, volunteers and stakeholders.

12. Appointment of the Technical Committee Chair

W. St. Denis requested that the motion be put forward to appoint Marion Dyke as Technical Committee Chair for a two-year term 2015-2017. Completing the second of a two-year term is Susan Fisher, Competition Coordinator and Sean McKinnon, Public Relations Coordinator.

13. Proposed Amendment to the Amendment and Amendment to the By-Laws

W. St. Denis requested that the Board refer to the Skate Ontario 2015-2016 Constitution Amendments document that was emailed to all Board Members along with the AGM Agenda. Wendy read the rationale, but not the entire amendment. Rationale: The position of Treasurer is being moved from the Past President to an elected/appointed Officer position.

Treasurer: The Treasurer shall oversee the accurate record of books and accounts in which shall be recorded all receipts and disbursements of Skate Ontario and under the direction of the Board, shall direct the deposit of money, the safekeeping of securities and the disbursement of the funds of Skate Ontario.

S/he shall report the financial position on a regular basis to the Executive Committee and at the meetings

TASK: To review and approve the 2014-15 Audited Financial Statement. P. Cotter reviewed the 2014-15 Audited Financial Statement and was pleased to report that the Final Audit is the same as the initial report, with the exception of one adjustment. BDO requested that the three computers purchased in 2014 be reversed as an expense and capitalized. This adjustment resulted in a slightly higher profit. P. Cotter expressed thanks to C. Wrong for all her assistance and to BDO for preparing the audit and getting it to Skate Ontario in time for the AGM.

16. Appointment of the Auditor for 2015-2016

W. St. Denis requested that this item be deferred and that Skate Ontario put out a tender for audit services. Once this process is complete, the recommended auditor will be presented to the Skate Ontario Executive Committee for approval. This is due to the move of the bookkeeping function to the Skate Ontario Operations Coordinator at the Toronto Office. P. Cotter has agreed to begin a search for a Toronto Auditor.

President’s Annual Report 2015 - 2016 2015-16 was a busy and challenging year for Skate Ontario in which we met many of our 2015-16 strategic objectives, carried out innovative athlete and club development initiatives, and facilitated the development and work of the Ontario Sections Working Committee leading to the pivotal vote on the organization of skating in Ontario to be decided at the 2016 Ice Summit. This year we welcomed two new employees, Sarah Smith, who joined us in February 2016, as Director of Administration, and Elisabeth Bonaldi, who replaced Cindy Wrong, as Operations Coordinator in January 2016. I would like to take this opportunity to thank our 2015-16 staff, Scott Rachuk, Technical Director, Sarah Smith, Director of Administration, and both Cindy Wrong and Elisabeth Bonaldi, Operations Coordinators, for their dedication, knowledge, loyalty, and passion for Skate Ontario and the sport of figure skating. I would also like to thank Janet Balkwill, who stepped in after the May 2015 resignation of the then Executive Director, to help Skate Ontario transition to our present staff structure. Skate Ontario is stronger for Janet’s wisdom, efforts, and dedication to our athletes, organization, and sport. Skate Ontario Competitions The second annual Skate Ontario Super Series Final was held in conjunction with the 2015 Autumn Skate in Ottawa on October 2-4, 2015. I would like to take this opportunity to thank Skate Canada Eastern Ontario, the Gloucester Skating Club, and the Local Organizing Committee for creating a wonderful competitive experience for our finalists. The Super Series continues to evolve as an innovative development opportunity for our athletes. The 2016 Skate Ontario Championships, hosted by Skate Canada Northern Ontario, were held in Sudbury, March 18-20, 2016. The competition was a success from an athlete development perspective and made a modest profit. I would like to thank Skate Canada Northern Ontario for providing such a warm and welcoming environment for the athletes, coaches, and officials. Details on these events may be found in the report from the Coordinator of the Competitions Committee, Susan Fisher. I would like to take this opportunity to thank Susan for her dedication and expertise in coordinating and facilitating our competitions. She is an amazing and dedicated volunteer, balancing many demands on her time and expertise superbly. Susan was also instrumental in developing the Skate Ontario Concussion Policy, competition announcements, and hosting agreements. Public Relations Facebook, Twitter, and our Skate Ontario website continue to be Skate Ontario’s most effective communication tools. Sean McKinnon, Public Relations Coordinator, will discuss in detail our usage statistics in his report. We are privileged to have Sean as our Public Relations and media guru. Accredited as a Skate Ontario photographer at both National and Provincial events, Sean’s amazing photographs of Ontario athletes are a pivotal part of the Skate Ontario media presence. Sean also maintains all our social media; posts competition results, and is truly the online voice of Skate Ontario. Sean, on behalf of staff,

Technical Committee The Technical Committee under the stewardship of Chair, Marion Dyke continues to provide excellent advice and recommendations to Skate Ontario. A full report of the Technical Committee activities is contained in this annual report. I would like to take this opportunity to thank Marion and her committee for their support, knowledge, and expertise. Marion and her committee have been instrumental in developing and facilitating the 2017 Skate Ontario Adult Invitational Competition, a new Skate Ontario initiative. The inaugural event will take place March 31-April 2, 2017 at the Fort Erie Leisureplex. Ontario Athletes Our athletes continue to impress with Ontario athletes bringing home 18 international medals this year, with 8 gold, 3 silver and 7 bronze stellar performances. Congratulations to all athletes! It was exciting to be an Ontario supporter at Nationals and Challenge this year. Ontario athletes captured over 50% of the national medals including Gold in Senior Men, Patrick Chan, Senior Women, Alaine Chartrand, Senior Dance, Kaitlyn Weaver/ Andrew Poje, Junior Pair, Hope McLean/Trennt Michaud, Junior Dance, Mackenzie Bent/Dmitre Razgulajevs, Novice Men, Stephen Gogolev, Novice Women, Aurora Cotop, Novice Pair, Jamie Knoblauch/Cody Wong, Novice Dance, Olivia Han/Grayson Lochhead, and Pre-Novice Dance, Natalie D’Alessandro/Bruce Waddell. Congratulations to all medalists at Nationals and at Challenge! At Synchronized Nationals, Ontario teams captured six medals, including Gold for Nexxice Junior. Congratulations to Nexxice Senior for their Bronze Medal finish at the Grand Prix Final and to Meraki for their Bronze finish at the Mozart Cup. Ontario High Performance Sport Initiative (OHPSI) and Quest For Gold Full reports on both the OHPSI and Quest for Gold programs are contained in this booklet. Skate Ontario would like to thank the Canadian Sport Institute, Ontario (CSIO) and the Quest for Gold Ministry Consultant, Scott Cooper, for their support and guidance. Ontario Club Consultation Project Funded by the Ontario Trillium Foundation, the Skate Ontario Club Consultation Program is focused on delivering innovative and pertinent workshops to Ontario clubs. The project is well on its way, with over one half of the proposed workshops completed and over 100 clubs participating. The feedback from clubs and participants has been very positive. I would like to take this opportunity to thank our project co-coordinators, Darlene Joseph and Paul MacIntosh, our group of expert consultants, and staff; Sarah, Scott, and Elisabeth who have given so much of their time and effort to ensure the success of this program. Objective #4: Evaluation of options and recommendation for new options for organizational structure

After an extensive Board review with input and a unanimous acceptance of the January 2016 Ontario Sections Working Committee Report, the recommendation went forward to Skate Canada and the Sections that the five skating organizations in Ontario amalgamate to form a strong united PSO and single Skate Canada Ontario Section using the framework provided by the Working Committee report. The onus then moved to the Sections to internally consider and communicate the Working Committee proposal as well as develop an implementation strategy.

Objective #5: Implementation of the recommended framework

The amendment to amalgamate the four Ontario Sections into one Ontario Section by April 2017 was submitted by the Central Ontario Section Board of Directors to Skate Canada in February 2016

The membership of Skate Canada will vote on the amendment in St. John’s, Newfoundland on May 28, 2016

Skate Ontario anticipating a possible positive vote has: o Hired independent consultants Business Sherpa Group to develop the Mandate, Terms of

The Ripple Effect Skating Gala Responses to our posts on social media continue to demonstrate that photos are integral to fostering engagement with our community. People are far more likely to like, comment on, share or retweet posts that include photos. Timeliness is also important. Same-day coverage of events, particularly where there is no live-stream, generates far more interest than posts that follow the event by more than a few days. By far, the most growth in our social media accounts occurs when we are onsite at events and providing photos and updates. We have been receiving more requests for live-streaming of our events, particularly for the Skate Ontario Championships in Sudbury. I believe this is partly because this event was live-streamed the last time it was hosted in NOS, and partly because more people chose to stay home because of the distance involved, and they expected/wanted to be able to view the event online. Live-streaming is becoming commonplace enough that it is now expected that it be offered at major events, and Skate Ontario should be looking at ways to provide this service for the Skate Ontario Championships, and possibly the Super Series Final.

Improvements to our website in 2015-2016 included a new Governance page that helps bring us into compliance with Ministry PSO reporting requirements by publishing our Constitution, Policy Manual, Strategic Plan, Annual Reports, Financial Statements and our Budget. Also new in 2015-2016 were our Club Consultation Program pages, and the Skate Ontario Development Program page, as well as updates to our Terms of Reference page. Statistics from our ISP show a modest 3% increase in hits, but a decrease in the number of visits of about 30% (however, the 2014-2015 numbers appear to be an outlier, and the visitor story from Google Analytics is much more positive, see below).

The statistics provided by Google provide a clearer picture of how our web-site is accessed, although they only allow us to look at the past 60 days of data.

In this span, we averaged about 275 “Unique Visits” per day (a 275% increase over last year in roughly the same time period), and each visitor looked at an average 3.04 pages/visit (and increase of 43%). The picture here shows a spike of about 3500 unique visitors on March 19, during the Skate Ontario Championships. Also compared to last year, the bounce rate dropped from 56.72% to 34.59% (where bounce rate measures those who only visited one page on our site before navigating away), and the average amount of time spent on our site by each visitor more than doubled (from 1:32 to 3:32), which means people are staying on our site longer, and visiting more pages. This is despite the fact that I spent less time on the website this year, and did not update it as frequently with fresh content, in part because maintaining the website is much more time consuming that using our social media accounts.

Facebook The 2015-2016 season saw tremendous growth in our Facebook social media presence, increasing the number of “Likes” on our Skate Ontario Facebook page by over 61%!

We achieved steady growth through 2015, and saw large jumps in the number of followers in January (during our coverage of CTNSC16), February (during our coverage of Synchro Nationals), and in March (during our coverage of the Skate Ontario Championships).

Facebook is our primary tool for engagement with the skating community. Our Facebook followers are mostly female (87%) but are well represented in all age groups.

Facebook (continued) We engage with the skating community by posting or sharing news, photos, and stories to our page that are of interest to our followers, and in return they “Like”, “Comment”, “Share”, and “Click”, which in turn are measured by “Reach” (how many people have seen our posts). Here are our top posts (by Post Click) for the past 90 days:

Skate Niagara photos were very popular, but I was surprised and pleased to see a huge engagement with the coverage and photos from the OUA Championships. This is an event that we haven’t previously covered, but clearly there is an audience that we can serve here. In our busiest time of year (Jan-Mar), we were averaging close to 5K people reached per day while covering events, including almost 20K for our posts on February 13 during the Ontario Regional Synchronized Skating Championships!

Twitter Our social media growth continued on Twitter in 2015-2016 also with over 16% growth in “Followers”.

Our followers are less predominantly female (74%) than on Facebook (87%), though this is an increase from 65% female followers in 2014-2015.

Twitter is the most casual of our web presences. All of our Facebook posts are cross-posted to Twitter. We also retweet news and stories from third-parties that would be of interest to our skating community audience. Our most popular tweet in 2015-2016 was a set of photos from the COS Summer Skate in Thornhill showing Nam Nguyen in an outstanding Free Skate. This tweet was favourited and retweeted over 100 times and was viewed by over 40,000 people!

Competitions Coordinator Annual Report 2015 – 2016

The following report will outline the achievements as well as the recommendations arising from the 2015-2016 Skate Ontario competitions. Skate Ontario Competition Agreements The following Skate Ontario documents were revised and approved by the Skate Ontario Board.

1. Skate Ontario Competition Policies were incorporated into the two following documents. a. Hosting Agreement between Skate Ontario and Eastern Ontario for the 2015 Super Series

Final. b. Hosting Agreement between Skate Ontario and Northern Ontario for the 2016 Skate

Ontario Championships. 2. 2015 Skate Ontario Super Series Announcement. 3. Skate Ontario Concussion Policy.

2015 Skate Ontario Super Series The process for running the 2015 Skate Ontario Super Series went smoothly. The skaters registered online using the web-based software EmailMeForm. The number of fields was reduced, the skater’s email address was entered twice and the Pay Pal option was included. Much easier registration process! The following chart provides the number of entries in each event in the competition, the withdrawals and the number of entries in the Series Finals at 2015 Autumn Skate in Ottawa. It also notes those who received bursaries but did not skate because of international assignments or a cancelled event.

The Super Series Finals Event at Autumn Skate was again very successful. All Sections were represented on the officials’ panel. The LOC was very accommodating and the Technical Representative, Rhonda Vanderveen, was once again very helpful and efficient. The bursary cheques were enclosed in an elegant black portfolio tied with red ribbon, very similar to the previous year. The “popups” enhanced the presentation area. Members of the Skate Ontario Board presented the bursaries.

Issues Raised During the 2015 Super Series

1. One parent attempted to switch one of a skater’s competition selections after poor marks. 2. One skater was notified of her inability to represent Skate Ontario due to her representing Russia

at a previous event. She was given a refund. 3. One skater was able to register for both singles and pairs, making one payment of $50.

Instructions will be clarified on the 2016 Super Series Announcement.

4. One junior skater registered the first day and withdrew on the second, having decided to retire from skating. It was decided to give her a refund.

Issues Raised During the 2015 Super Series Final

1. The skater placing first in the Junior Ladies event was given two bonuses on her short program report card. This was noted in an inquiry ten days later from the parents of the skater placing second. It appeared that the technical panel awarded one bonus and the computer software awarded one bonus as well. Since only one bonus is allowed, the second-place skater’s marks became comparable to the first-place skater. It was decided to award a first-place bursary to the second-place skater. Recommendation: A process for handling inquiries should be put into writing to help guide the decision-making.

2. Eight of the SOSS Novice finalists ended up in the top 15 group of skaters at the 2015 Canadian Figure Skating Championships. Aurora Crop placed first and Natalie D’Alessandro was third.

2016 Skate Ontario Championships The 2016 Skate Ontario Championships were held at the Countryside Sports Complex in Sudbury, March 18 to 20, 2016. Announcement

1. The Announcement was posted online in early November on the Skate Ontario website after being scrutinized carefully by several members of the Technical Committee followed by the members of the Skate Ontario Board before posting. Key information as to the Pre-Juvenile Dance selections and sequences for the 2015/16 season were posted earlier on the Skate Ontario website.

2. The Technical Committee recommended a date of November 1, 2015 be used as a test requirement date to enter the Pre-Juvenile/Juvenile events. The Skate Ontario Board unanimously agreed upon that date. Although this information was stated in the announcement, it was also posted separately on the Skate Ontario Website.

3. Recommendations from 2015 were implemented: a) Further clarification regarding the number of possible wildcard entries from each Section was included in the announcement.

c) Registration information was included in the announcement rather than at a later date. Skate Ontario Competition Coordinator’s Responsibilities In early February, the SCNO Event Chair requested a list of the Competition Coordinator’s responsibilities for the competition. A list was started but unfortunately illness intervened. At the 2016 Championship in Sudbury, officials from SCWO were discussing decisions to be made for the 2017 SO Championships to take place in their Section. The following list was sent to the Laurie Goulet and Elizabeth Mannell who were working on the facility selection. The Competition Coordinator drafts the announcement, drafts the hosting agreement, drafts an ice schedule, liaises with the LOC Chair, receives copies of minutes, invites out-of-section officials, liaises with the Technical Representative re officials and schedule, receives a copy of all SO registration, runs the Wildcard process, liaises with the Registrars, liaises with the Chief Data Specialist, orders medals from Skate Ontario, liaises with the LOC Chair about medal presentations, requests a draft budget from the LOC

to submit to the SO Board and outlines SO Board responsibilities (Travel and hotel bookings, lanyards with credentials, meeting room, sponsors). SO Championship Officials

1. There was representation from all the Sections. WO (8); EO (3); NO (12); CO (9) 2. Very few technical officials had conflicts.

Registration Form

1. A Registration Form was designed last year for the Sections’ registration purposes. A turn-around time of 48 hours was requested. These forms were sent out to the Section Registrars again this year.

2. A column was added to include the Partner’s Club. Registrars were reminded to record the technical marks for their wildcard entries. Registrars understood that they were to adjust the form to add more wildcard entries if necessary.

Schedule

1. The Ice schedule was difficult to set for this competition last year due to larger events, multiple entries, many possible conflicts, multi-part events in same arena, WO entries coming in later and most of all, only one Zamboni for both ice surfaces. All conflicts were avoided. Consequently it was decided to use the same schedule. There were no issues.

Multiple Entries

1. There were multiple entries registered in almost every event. The only exceptions were the STAR 5 events. The STAR 5 events should be spaced out carefully throughout the ice schedule to help resolve the conflict issues.

Wildcards

1. The wildcard process worked very well. The final qualifying competition was held by WO Section and their entries were submitted within 6 hours! This allowed the wildcard process to begin immediately. The process continued to run smoothly due to the efficiency of the Section Registrars.

2. As well, the Chief Data Specialist was very accommodating when notified of yet another wildcard entry. All spots for which there were wildcards were filled.

Alternates

1. Most Alternates were also listed as possible wildcards. Only one alternate’s name was submitted. 2. Recommendation: The data specialists must be notified ahead of time that there will be wildcard

and alternate late entries right up until the day before the competition starts. Comparison - 2015/2016 Registration Entries There were approximately 20 more entries in 2015 than in 2016. The main difference being that there were 14 Juvenile dance entries in 2015 and 5 in 2016. In addition, there were 8 more entries in STAR5 Boys’ events in 2015.

Medals

1. We ordered 45 Gold, 45 Silver and 37 Bronze medals. Four extra were added for each type of medal in case of ties. Sufficient number of medals to cover three years were ordered last year. Recommendation: A count should be made to ensure that we have enough for next year’s competition.

2. Six generic medals were available for presentation to the single competitors in one pair and two dance events. The announcing team participated in the medal presentations and Skate Ontario board members presented the medals. Sean McKinnon was present taking pictures at the medal presentations as well as throughout the whole competition.

3. The LOC retained unused medals to return to the Skate Ontario office. The cost to their committee was $920.00 including the generic medals.

Event location The event location was very suitable. Knowing the arena well, I was impressed at how much time and effort the arena staff had put into presenting the arena at its best. The ice was great and the Zamboni driver kept to schedule. There was lots of room on the officials’ stand for them to move around. The officials’ off-ice area had adequate room for both food and papers. We received many compliments from parents and officials. They enjoyed the number of viewing areas overlooking both rinks. As well, they appreciated the very large space designated for registration, medal presentation, vendors and the seating areas. Hospitality The LOC was very organized in all areas. The food was plentiful. The officials enjoyed staying at the hotel and appreciated the breakfast that was served in a ballroom each morning. LOC also hosted a hospitality evening on the Saturday at the hotel for Skate Ontario guests and officials. They also arranged for a room to be free on Friday evening for officials to use to get together. Financial Result While increasing the numbers in so many events brings in more registration monies, the expenses were high. The financial results were a pleasant surprise. There was a profit to SCNO and Skate Ontario of $3,518.14. This was a real achievement due to the high travel costs for officials. While SCNO struggles with this problem at all their invitationals, the need for flights and their costs might be a surprise to other sections. The flight costs for our Thunder Bay officials were the highest, flights from Toronto the lowest. Michelle Ross at the SCNO office did an outstanding job of keeping track of all expenses, watching for seat sales and managing hotel bookings. Using as many available local judges as possible also helped to keep the costs down.

2017 Skate Ontario Adult Championships The inaugural 2017 Skate Ontario Adult Championships will be held in Fort Erie. The organization of this competition has been spearheaded by Marion Dyke with considerable enthusiasm. We are fortunate in that our invitations to Fred Saretz to act as the Technical Representative and Laurie Goulet as Assistant Technical Representative were accepted. Technical Committee Annual Report 2015 – 2016 This was a year of change for Skate Ontario but it was a year of great stability for the Technical Committee. I would like to express a sincere thank you to committee members Scott Rachuk, Patricia Glenwright, Greg Rochefort, Julia Mullins, John Briscoe, Darlene Joseph, Paul MacIntosh, Alison Purkiss, Susan Fisher and Gloria Brighten. We thoroughly appreciated the administrative support of Cindy Wrong, Elisabeth Bonaldi and Sarah Smith. Thank you. The Skate Ontario Strategic Planning Meeting facilitated by Elaine Maxwell on September 25 – 27, 2015 provided an important roadmap for events and programming in Ontario for the skating season. Athlete Training Workshops under the leadership of Technical Director, Scott Rachuk, took place throughout the season and provided enhanced training opportunities for our competitive athletes from Juvenile to Senior. Development Days, Monitoring & Training Days, Simulation Days and a Performance Camp were attended by a total of 527 participants. We are very grateful to the Province of Ontario OHPSI grant which provided much of the funding for these programs. Skate Ontario and the Skate Canada National Performance Centre collaborated on a Coaches and Officials Development Program which was attended by a total of 562 participants during the season. The purpose of this program was to provide education, encourage networking and allow coaches and officials to learn from each other and share ideas. The second annual Skate Ontario Super Series (SOSS) was held in the summer of 2015. Skaters from Pre Novice, Novice, Junior and Senior entered competitions in four disciplines Women, Men, Pairs and Dance. A total of 120 skaters participated. Sixty-seven (67) top finishers competed in the Super Series Final which was held in Ottawa in conjunction with Autumn Skate, October 2-4, 2015. Programs were noticeably stronger than the previous year. Bursaries were awarded for the top three placements in each category and a total of $13,500 was awarded directly to our skaters. Ontario skaters benefit tremendously from competing head to head with the best in the province at this time in the season and it is proving to be excellent preparation for the qualifying season which begins in November. The 2016 Skate Ontario Super Series will include all levels from Juvenile to Junior in Women, Men, Pairs and Dance. The addition of Juvenile categories is new for the 2016 Super Series. The 2016 Skate Ontario Super Series will not have Senior categories as there are fewer athletes at this level, and we believe the new Skate Canada Summer Series will be a better avenue for this group. The Final for SOSS 2016 will be held in conjunction with Octoberfest in Barrie, October 12-16, 2016. All skaters who participate in the Skate Ontario Super Series will be invited to attend a seminar with a focus on performance and physical literacy. The top three in each event from the Super Series Final will be awarded a place at the seminar at no fee. The bursary program will be suspended for this year as a result of a change in provincial OHPSI funding. This summer Skate Canada is introducing a Summer Series for all competitors from Pre-Novice to Senior. It is similar in structure to the Skate Ontario Super Series. Series will receive a bye through Sectionals into Challenge, plus they will be invited to a seminar arranged by Skate Canada. We encourage our Ontario athletes to enter both the Skate Ontario Super Series and the Skate Canada Summer Series. They complement each other and provide opportunities to compare scores and compete against the best in the series final. Technical Director, Scott Rachuk, has written an excellent summary of both Super Series events which is posted on the Skate Ontario website under ‘Events’. Of the 248 competitors that attended the 2016 Canadian Tire National Skating Championships, January 18-24, 2016 in Halifax, 98 were from Ontario. Of a possible 36 medals, 19 were won by athletes from Ontario including national champions Patrick Chan, Alaine Chartrand, Kaitlyn Weaver and Andrew Poje. The Skate Canada Synchronized Skating Championships were held in Waterloo, February 19-21, 2016. A total of 47 teams (over 900 skaters) attended from across the country and 20 teams were from Ontario. Ontario won 6 of a possible 15 medals for the competition, including a gold for Nexxice Junior. We were thrilled to be able to send ten skaters, eight coaches and one official to the competition ‘Coupe du Printemps’ in Luxemburg, March 11-13, 2016. They were joined by three additional skaters from Central Ontario who were afforded the opportunity by the section. These 13 up-and-coming Novice, Junior and Senior high-performance athletes competed in five different categories and brought home seven medals including 2 gold, 1 silver and 4 bronze. The Skate Ontario Championships held in Sudbury, March 18-20, 2016 were attended by 357 skaters in Singles, Pairs, Dance and Triathlon categories from STAR 5 to Gold. The top Pre-Juvenile and Juvenile athletes competed for the Ontario Championship titles. The Ontario Regional Synchronized Championships had a whopping total of 109 teams which represents approximately 2,100 athletes from Beginner to Senior and Adult. A Synchronized Skating team has an average of 16 skaters plus 4 alternates on a team. Programs that work well for other disciplines are not directly transferrable to synchronized skating. There are seven National Teams in Canada – 3 Senior and 4 Junior. Four of these teams, 2 Senior and 2 Junior, are based in Ontario. We would like to raise the awareness and profile of synchronized skating in Ontario and encourage enhanced participation at the highest levels. Technical Director, Scott Rachuk will be meeting with our elite synchro coaches in the spring and summer to develop a list of priorities and opportunities with which Skate Ontario can assist. Plans are well underway for our newest venture, an ‘active for life’ invitational competition for adults. The Skate Ontario Adult Invitational Competition will be held in Fort Erie, just 25 minutes from Niagara Falls, March 31 – April 2, 2017. It will be open to adult skaters from everywhere – not only from Ontario but from all of Canada and from other countries. All disciplines will be offered – women, men, pairs, dance, solo dance, interpretive and synchronized skating. It has been developed in full co-operation with Skate Canada. It promises to be a destination adult event with technical and social programming that will make it the highlight of the adult season. As we head into the Skate Canada Ice Summit in St. John’s at the end of May, we are preparing to make a decision that will profoundly affect the way in which skating is administered in Ontario. No matter what happens, we embrace the change that will result, respect the work of the past and present and look forward to enhanced opportunities for skating excellence in Ontario in the future. OHPSI Programs and Support The OHPSI 2015-16 season had a focus on development and support to the High Performance Development athletes, schools and clubs in the province, plus support in the areas of health and wellness. Following is a breakdown of the programming and the objectives for the year. Health and Wellness Support: For the first time, all of the athletes on the OHPSI Tier 1 and 2 list were given a Healthy Athlete Assessment from the staff at CSIO. This assessment created the baseline health of the athletes as it related to the sport of figure skating. Any health concerns regarding the individual athletes were supported with follow up tests and a one on one consultation of the results. In addition to the Healthy Athlete Assessments, the athletes were fitness tested throughout the year, and had access to all of the health professionals at CSIO if there were any health concerns at any point in the season. Direct to Athlete Support: All of the tier 1 and 2 athletes were supported financially in this program with direct to athlete funding that helped offset some of the day to day expenses of the sport. Each tier 1 athlete received $3,000.00, while each tier 2 athlete received $2,000.00 to put toward their training expenses for a total of $39,000.00. Club and School Support: The clubs and schools that are the daily training environments for the OHPSI athletes were invested in this year to help enhance the training environment for the athletes within those programs. A total of $51,000.00 was invested in sport science, technology and fitness within the OHPSI programs. Monitoring and Training days: During the months of October through to December, a series of monitoring and training sessions were set up at the National Performance Centre at York University. The sessions were set up for the OHPSI athletes to have access to ISU judges, technical specialists and performance experts to work with them and their coaches in areas that were designed for their specific training, in a one on one environment. Development Days: The development day sessions were opportunities to bring the athletes of Ontario together to develop a Team Ontario environment, in which they worked both on ice and off ice in group situations. There were three development days for the athletes skating in Novice to Senior, and three days for Juvenile to Pre-Novice athletes. All of the sessions were held at the National Performance Centre at York University and were open to singles, pair and dance athletes. International Event: The OHPSI program supported an international opportunity for the singles athletes at the Novice level. A committee comprised of Mike Slipchuk (Skate Canada High Performance Director), Andre Bourgeois (Skate Canada NextGen Director) and Scott Rachuk (Skate Ontario Technical Director), selected six women and four men to participate in the Coupe du Printemps in Luxembourg, Luxembourg. Also attending the event were eight coaches and one ISU judge from Ontario. The funding support for this program was $25,000.00 for the team. Pre-Season Simulation: In June of 2015, Skate Ontario ran a pre-season simulation for the athletes with the potential to compete at the Jr Grand Prix level. The simulation was set up with ISU judges and technical specialists to help determine if the programs and program content was applicable for the level they were trying to attain. Mike Slipchuk attended this simulation, as it was his first opportunity to see the Ontario athletes prior to

the competitive season. The simulation was a tremendous learning situation for all involved as it allowed the athletes and coaches the opportunity to ask questions regarding new rule changes and allowed the athletes the chance to get some valuable mileage on their performance expectations. OHPSI Successes: ISU Jr Grand Prix Series, Jr Worlds and Youth Olympic Games:

1. All Tier 1 athletes competed in the Jr Grand Prix Series 2. Three medals and seven top eight finishes in 2015 in the Jr Grand Prix Series 3. Four athletes attended the ISU Jr World Championships 4. One athlete attending the IOC Youth Olympic Games 5. Canadian Champions in Jr Pair and Dance in 2016

Quest for Gold Annual Report 2015 - 2016 Skate Ontario is very grateful to the Ministry of Tourism, Culture and Sport (MTCS) who provide the Quest for Gold program for our athletes. The program was once again managed by Scott Cooper of MTCS. These grants are important in that they allow for increased training and competitive opportunities for the selected athletes. The MTCS provided 18.5 cards for Skate Ontario athletes and an additional 16 national cards to our Ontario National Team athletes. Between 2010-2014 the Quest for Gold program has seen $904,648.00 dispersed to figure skating in the form of 80 National Cards and 91 Ontario Cards. In 2015-2016 an additional $197,500.00 was awarded to the 16 National Cards and 18.5 Ontario Cards, for a combined total of $1,102,148.00 since beginning in 2010. The allocation of the 18.5 Skate Ontario Quest for Gold cards was based on the following:

1. Ontario skaters named to the 2015-2016 OHPSI Tier 1

2. Medalists at the 2015 Canadian Championships in Junior and Novice

3. Athletes receiving Junior international assignments

4. Ontario skaters named to the 2015-2016 OHPSI Tier 2

5. Ontario skaters named to the Skate Canada Development Camp

Note Junior age eligibility: in order to receive Quest for Gold funding as a Junior competitor, skaters must meet the ISU Junior age eligibility according to rule 108 #2 which states:

a) In international Junior competitions and ISU Junior Championships, a Junior is a skater who has met the following requirements before July 1 preceding these events:

I. Has reached at least the age of thirteen (13)

II. Has not reached the age of nineteen (19) for females and males in singles events

III. Has not reached the age of nineteen (19) for women and twenty-one (21) for men in pair skating and ice dancing events. (note this rule has been deleted for domestic events for pairs)

Ontario Trillium Foundation –

Skate Ontario Club Consultation Program

Annual Report 2015-2016

Skate Ontario was awarded a grant from the Ontario Trillium Foundation (OTF) in 2014 for the amount of

$318,600. After many months of planning the Skate Ontario Club Consultation took shape and has

developed into a series of one day workshops, conducted on weekends and some weeknights throughout

Ontario. Each workshop is structured with four presentations, presented by two expert club consultants.

At each workshop, it is required that the club consultants present the new STAR 1-5 program and the Safe

Sport presentations. We feel these presentations are essential for every club and coach to receive this

information. The remaining two presentations are chosen by the local club, out of a total of five

presentation options.

The Skate Ontario Club Consultation Program is also focused on providing ideas and processes to start or

rejuvenate old or new programs in clubs, such as synchronized skating and CanPower Skate. In addition,

the clubs are benefitting from the Club Consultation Program workshop, as our expert consultants are

providing advice on current club challenges such as recruiting and retaining participants, reducing costs

for members and formalizing administration processes. Other topics that are included in these workshops

are effective ice usage at multiple levels, team effective coaching, identifying potential, coach contracts,

club harmony and conflict resolution. All of the topics covered are essential for all clubs of any size in

Ontario. Thus far, clubs are very appreciative of receiving the new STAR 1-5 programming information in

advance of the implementation date of September 2017, along with the advice from the expert

consultants in preparation for the upcoming 2016-2017 skating season.

The funding provided for this program is $318,600, which is to be spent over the course of two years. Due

to the change in the ‘re-set’ of the financial schedule with OTF, the one year funds of $151,800 were to

be spent by April 26, 2016, to go along with the progress report, which was submitted. As of April 26,

2016, $118,600 was spent, with the remaining $200,000 to be carried over to year two. The completion

date of the program is December 27, 2016.

As of the end of May, the Club Consultation program has reached over 161 clubs and 410 club members

at 11 locations. There are still seven more locations to be reached in the coming months.

with the unique needs and challenges these clubs are facing. Three locations have been determined in

Ontario as Toronto, Ottawa and Waterloo/Hamilton.

It has been a pleasure working with the project coordinators at each location, the club consultants and

meeting new people in the skating community.

a) Head Office: The Head Office of Skate Ontario shall be in the Municipality of Metropolitan Toronto, in the Judicial District of York and the Province of Ontario, and at such a place therein as the Board of Directors may from time to time by resolution determine.

b) Seal: the seal, as impression whereof is stamped in the margin hereof, shall be the corporate seal of Skate Ontario.

ARTICLE 2: Purpose of the Corporation

a) To improve, encourage and advance the sport of skating on ice (herein after referred to “figure skating”) in all aspects

b) To co-ordinate the activities of the Northern Ontario Section, the Western Ontario Section, the Central Ontario Section and the Eastern Ontario Section of Skate Canada within the Province of Ontario, and provide to the same, to individual and club members of Skate Canada and the general public, with respect to figure skating, technical, educational, administrative and management services.

c) To publish and disseminate information concerning figure skating d) To administer the finances of the sport of figure skating at the Provincial level e) To raise, use, invest and re-invest money to support the activities of the Corporation

(herein referred to Skate Ontario); provided, however that no property, funds or income of Skate Ontario shall ensure to the private profit of any member of the Board of Skate Ontario

f) For the further attainment of the above objects, to acquire, accept, solicit or receive any gift of real or personal property, either as an annual or other contribution or as an addition to the fund or funds of Skate Ontario

g) To co-operate with Skate Canada and its members and h) Generally, to take all steps necessary or desirable to improve, encourage and advance

figure skating in the Province of Ontario ARTICLE 3: Special Provisions

a) That the corporation shall be carried on without the purpose of gain for its members, and any profits or other accretions to the corporation shall be used in promoting its objects

b) That the Directors shall serve as such without remuneration, and no Director shall directly or indirectly receive any profit from his position as such; provided that a Director may be paid reasonable expenses incurred by him in the performance of his duties

c) That upon the dissolution of the corporation and after the payment of all debts and liabilities, its remaining property shall be distributed or disposed of to Skate Canada solely for the work carried on by it in the Province of Ontario.

BY-LAWS (1) DEFINITIONS

(a) The By-laws, appended to this Constitution, shall describe the organization and functions of the Corporation and the means by which members may elect or appoint Board of Directors and control the property and activities of the Corporation.

(b) The Officers and Directors of the corporation shall be the President, the Past

President and the Chairs of the four Ontario, Skate Canada member Sections.

(c) Any By-law contrary to the By-laws, rules and regulations of Skate Canada and those of the Sections shall be invalid.

(2) MEMBERSHIP: Subject to the letters patent of incorporation, By-laws, rules and

regulations of Skate Canada, Skate Ontario shall consist of the four Skate Canada member Sections as defined by Skate Canada in its rulebook as the Northern Ontario Section, the Western Ontario Section, the Central Ontario Section and the Eastern Ontario Section. Member Sections shall be represented by their duly elected respective Chair as a Director on the Skate Ontario Board of Directors.

. (3) COMPLAINTS, SUSPENSIONS AND EXPULSION POLICY: For the purposes

of these By-laws and for the purpose of the Official Rules of the Association, the Skate Canada Rule Book Section 1204 will apply.

(4) MEMBERSHIP HARASSMENT POLICY: For the purpose of these By-laws, and

for the purpose of the Official Rules of the Association, the Skate Canada Rule Book Section 1204 will apply.

(5) MANAGEMENT OF SKATE ONTARIO: The affairs of Skate Ontario shall be

managed by a Board of Directors. The Executive Committee shall be composed of an elected President, the Past President and the four (4) Ontario Section Chairpersons, who shall be confirmed at the Annual General Meeting. In addition, there shall be committees whose Chairs are to be appointed/elected by the Executive Committee.

(6) BY-LAWS OF SKATE ONTARIO Except in the case of a conflict with a provincial

statute governing Skate Ontario, the By-laws governing Skate Canada and in particular By-law 1503, apply to, and govern the activities of Skate Ontario.

The Skate Ontario By-laws contain Skate Canada By-laws. When the Skate Canada By-laws are amended in accordance with its By-law 1600, Skate Ontario will automatically update its By-laws to reflect these changes.

(7) ANNUAL GENERAL MEETING (a) NOTICE OF MEETING: The Annual Meeting of the Board and member Sections

shall be held at such place within Ontario as the Board of Directors of Skate Ontario may determine for the purpose of hearing and receiving the reports and statements of the members and committees; election of the President, confirmation of the Section chairs as Directors; appointment /election of the Committee Chairs; the appointment of the auditor of Skate Ontario and authorizing their remuneration; and, for the transaction of such other business as may properly be brought before the meeting. Official notice of such meeting including the date, location and agenda

including all business to be transacted and nominations shall be sent in writing to the Sections, the Auditor and the Skate Ontario Board members, no later than four weeks (28 days) prior to the meeting date.

(b) WHEN: The Board of Directors of Skate Ontario shall set the date of the Annual

General Meeting. It shall be held before the last day of June in each year. (c) QUORUM: Four (4) Directors present in person or represented by a proxy, and each

who is entitled to vote thereat shall constitute a quorum for the transaction of business at any meeting of members.

(d) PLACE: Annual General Meetings may be held at any place within Ontario.

. (e) VOTES TO GOVERN:

(i) SKATE ONTARIO BOARD OF DIRECTORS: All Members of the Executive Committee of the Board of Directors of Skate Ontario shall be entitled to one vote at an Annual General or Special General Meeting.

(ii) VOTING:

Voting shall be by a show of hands, or by ballot, at the discretion of the President. A vote by a ballot shall be taken if so requested.

(iii) DETERMINING A MAJORITY VOTE:

Abstaining voters are not counted in determining a majority. A tie vote is defeated.

A simple majority of the votes cast by the members present and carrying voting rights shall determine the questions in meetings except where the vote or consent of a greater number of members is required by or pursuant to the Act or these By-laws and Rules.

The President may only vote in order to break a tie and therefore pass a motion, or to create a tie and therefore defeat a motion.

(iv) PROXIES:

Every member, entitled to vote at meetings of members, and not attending a meeting, may appoint a proxy by instrument in writing, who need not be a member, to attend, and act at the meeting in the same manner, to the same extent and with the same power as if the member were present at the meeting.

The instrument appointing a proxy may be in such form as the Directors may from time to time prescribe, and shall be handed to the secretary of the meeting, before any vote is cast under its authority.

(f) ATTENDANCE AT MEETINGS: The only persons entitled to attend a meeting of

members shall be those entitled to vote thereat; the Auditor of Skate Ontario, and others who although also not entitled to vote, are entitled or required under any provision of the Corporations Act or By-laws of Skate Ontario to be present at the meeting. Any other person may be admitted only on the invitation of the Chairman of the meeting or with the consent of the meeting.

(g) ORDER OF BUSINESS: The order of business at the Annual General Meeting of members shall include: (1) Reading of Notice of Meeting (2) Report as to Quorum (3) Minutes of preceding Annual Meeting (4) Reports (5) Confirmation of the actions taken by the Board of Directors (6) Confirmation of Directors (7) Election of President (8) Appointment/election of Committee Chairs (9) Proposed amendments to the By-laws (10) Awarding of Competitions and the next Annual General Meeting (11) Confirmation of contract positions (12) Report from Auditor (13) Appointment of Auditor (14) New Business

The agenda and order of business shall be set by the President.

(h) RECORD OF PROCEEDINGS: A complete record of proceedings of the Annual General Meeting shall be taken by the Secretary/Past President and distributed to the members of the Board within 60 days of that meeting for review. The minutes of the Annual General Meeting shall also be included in the Annual General Report. Subject to the provisions of the Corporations Act, a copy of the financial statement and minutes of the Annual General Meeting, committee reports and a copy of the auditor's report shall be furnished to every member annually and/or on demand.

(i) APPOINTMENT OF AUDITOR: Each Annual General Meeting shall appoint an

Auditor, who shall examine and audit the accounts and report thereon to the next Annual General Meeting.

(8) SPECIAL GENERAL MEETINGS:

(a) A Special General Meeting may be called at any time by any two members of the Executive Committee or the President, to be held at such time and at such place as may be determined by the Board or the person(s) calling the meeting.

(b) Written notice of such a meeting, including the date, location, and agenda shall be

sent to the Members of the Board no later than three weeks (21 days) prior to the meeting date. At such meetings, any business may be transacted and must be duly noted by minutes, which shall be distributed to the members of the Board within 60 days of that meeting.

(9) OFFICERS AND DIRECTORS OF SKATE ONTARIO: Skate Ontario shall abide

by the By-laws governing Skate Canada Officers and Directors (By-law 1402) as applicable, except as follows:

(a) COMPOSITION: The affairs of Skate Ontario shall be managed or the management

shall be supervised by its Board of Directors. Until changed by special resolution, the number of the Directors of Skate Ontario shall be six (6) including the President, the Past President and the four (4) Section Chairs. The Directors shall abide by the By-laws governing Skate Canada as applicable. Directors will remain in office until the close of the Annual or Special General Meeting at which the new Board is appointed and elected.

(i) The composition of the Executive Committee of the Skate Ontario Board of

Directors shall include the following positions:

President (elected for a two-year term for a maximum of two terms)

Past President

Four (4) Chairs of those Skate Canada Sections established in the Province of Ontario, who shall represent their respective Section Board of Directors as well as the member clubs within their Section and who will be confirmed annually as a Director. If applicable, at the first meeting following the Annual General Meeting where the new Board of Directors is elected/appointed, the President in consultation with the Board of Directors shall appoint any Directors as Officers as required.

(b) QUALIFICATIONS: The President and each Director shall meet the requirements as stated in By-law 9 (a). In addition, if the President or a Director becomes mentally incompetent person, s/he thereupon shall cease to be a Director or Officer. The Board of Directors shall be eligible persons and members of a Skate Ontario Section and Associate Members of Skate Canada in good standing. No paid employee of Skate Canada, except as provided in Rule 1402(2) (b) and 2104 (2) (a) (iii), shall hold office on the Board of Directors of Skate Ontario.

(i) The Officers and Directors shall be paid no remuneration for attending meetings of

the Board of Directors or work done on behalf of Skate Ontario. They shall however be entitled to be paid such sums in respect of their out-of-pocket expenses incurred in attending Board or Members' meetings or otherwise in respect of the performance by them of their duties as the Board may from time to time determine and the letter patent of incorporation of Skate Ontario and the rules of Skate Canada permit.

(ii) All Board members shall be of legal age of majority.

(c) DUTIES AND RESPONSIBILITIES OF OFFICERS AND DIRECTORS: The

duties and responsibilities of the Officers and Directors listed above shall be included in the By-laws; and/or in the Terms of Reference of Skate Ontario, which may be changed by separate resolution as required from time to time.

(d) OFFICERS:

(i) President: The President shall act as the Chairman of the Board and shall preside over all meetings of the Board of Directors. The President shall ensure the execution of decisions made by the Board of Directors, sign all documents which require signature, shall fulfill all duties inherent to the office and shall have such other powers and duties as may be assigned by the Board of Directors. The President as Chairman of the Board shall ensure that the policies of the Board of Directors shall be implemented in the management of the organization. The President will be an ex-officio member of each committee.

(ii) Past President: Shall be a Past President of the Skate Ontario Board, and

may serve until a new President is elected. The Past President shall serve as a resource for all Board members as well as serving as Secretary of the organization.

Secretary: the Secretary shall give or cause to be given, all notices required to be given to members, directors, auditors and members of the committees

(iii) Vice President: During the absence or inability of the President, his/her duties may be performed and powers may be exercised by the Vice-President, A Vice-President shall also perform such duties and exercise such powers as the President may from time to time delegate to him/her or the Board may prescribe.

(iv) Treasurer: The Treasurer shall oversee the accurate record of books and

accounts in which shall be recorded all receipts and disbursements of Skate Ontario and under the direction of the Board, shall direct the deposit of money, the safekeeping of securities and the disbursement of the funds of Skate Ontario. S/he shall report the financial position on a regular basis to the Executive Committee and at the meetings or on demand to the Board as a whole.

(e) POWERS OF THE SKATE ONTARIO BOARD OF DIRECTORS:

(i) OFFICERS AND DIRECTORS: Skate Ontario shall abide by the By-laws

governing Skate Canada Officers and Directors (Skate Canada By-law 1402) as applicable.

(ii) COMMITTEES: The Board of Directors of Skate Ontario may from time to time

establish, constitute, or dissolve such committees, as it may consider desirable.

(iii) DELEGATION OF POWERS: The President or Board of Directors may delegate

such duties and authorities as may be deemed expedient. The duties of Officers and Directors shall be identified and further defined in the Terms of Reference, which may be changed by separate resolution as required from time to time.

(f) TERM OF OFFICE: The new Board of Directors shall take office immediately

following the Annual General Meeting.

(g) NOMINATIONS FOR VACANCIES: Nominations for the President shall be made in writing, and shall be valid only if a letter of acceptance is received from the nominee prior to the election. Nominations may be made by any member of the Board of Directors and should be received by the Past President who shall act as the Chair of the Nominating Committee, no later than 35 days prior to the Annual or Special General Meeting at which the elections are to be held.

(i) Each Section shall be entitled to nominate one (1) person annually to be appointed

as a Director of Skate Ontario, each of whom shall be the Chairperson of the Board of Directors of such nominating Section. Such appointments will be confirmed at the Annual General Meeting.

(ii) In addition, each Board member shall be entitled to nominate one or more individuals to one or more positions as Committee Chairs, and if qualified, Committee Chairs may be re-appointed in subsequent years. The Terms of Reference for Committee Chairs and Committee Members will be defined in a separate document.

(iii) All nominations for Committee Chairs shall be submitted to the Chair of the

Nominating Committee (Past President) in writing no later than 35 days prior to the Annual General or Special General Meeting called for that purpose, and will be valid only if a letter of acceptance is received from the nominee prior to the election. The

names of the nominees should be included in the Notice of Meeting. A person can be nominated for more than one position.

(10) ORDER OF ELECTIONS/APPOINTMENTS:

During the Annual General/Special General Meeting (i) The Section Chairs will be confirmed as Directors (ii) The Section Chairs will elect the President (iii) The Past President will be confirmed (iv) The Board of Directors will elect/appoint the Committee Chairs nominated for

appointment

(11) BOARD OF DIRECTORS MEETINGS: Meetings of the Board of Directors shall be held at the call of the President, or in their absence the alternate to the President, at such time and place as Board members shall decide is most convenient

(a) QUORUM: A quorum for the Board of Directors shall consist of four (4) Directors

present in person. (b) MAJORITY OF VOTES: At all meetings of the Board of Directors, every question

shall be decided by a simple majority of the votes cast on the question by those present and entitled to vote. This shall include matters relating to the By-laws. Each Director shall have one vote. The President may only vote in order to break a tie and therefore pass a motion, or create a tie, which would therefore defeat a motion.

(c) RESOLUTIONS: A resolution, duly moved and seconded, may be voted by mail,

e-mail, fax, or telephone ballot at the discretion of the President. (d) MEETINGS: Telephone conference calls may be used in lieu of a face-to-face

Board of Directors or Standing Committee meetings. Votes conducted by e-mail may also be used as necessary, and as decided by the President.

(e) MINUTES: Meeting minutes shall be taken by the Secretary or designate and shall

be distributed to the members of the Board within 60 days of that meeting.

(f) PROXIES: Every member, entitled to vote at meetings of members, and not attending a meeting, may appoint a proxy by instrument in writing, who need not be a member, to attend, and act at the meeting in the same manner, to the same extent and with the same power as if the member were present at the meeting.

The instrument appointing a proxy may be in such form as the Directors may from time to time prescribe, and shall be handed to the secretary of the meeting, before any vote is cast under its authority. (12) REMOVAL OF OFFICERS AND COMMITTEE CHAIRS: The Board of Directors, may by resolution, passed by a majority of votes cast at a Special General Meeting, which notice specifies the intention to pass such a resolution, remove any Officer or Committee Chair before the expiration of their term of office; and may, by a majority of the votes cast at that meeting, appoint another person in their stead for the remainder of the term of office.

(13) CASUAL VACANCIES: Any casual vacancy occurring on the Skate Ontario

Board of Directors or Committee Chairs may be filled for the remainder of that

term of office, by appointment, by the remaining Directors at a Special General meeting of the Skate Ontario Board of Directors called for that purpose, if constituting a quorum; otherwise, such vacancies shall be filled at the next Annual General Meeting.

(14) COMMITTEES: The Executive Committee may assign specific areas of

responsibility to committees or individuals. These portfolios shall be established by and are responsible to the Executive Committee. The committee chairs or individuals responsible for specific portfolios shall be appointed for a two-year term by the Executive Committee. Terms of reference for committees, committee chairs and/or individual portfolios shall be established by the Executive Committee and may be changed from time to time by a special resolution.

(15) AMENDMENTS TO THE SKATE ONTARIO BY-LAWS: (a) Any By-law may be amended or new By-law enacted, by consent of a simple

majority vote of the Board of Directors at an Annual General Meeting. Any such changes would come into effect at the close of that meeting. Amendments should be submitted to the Secretary of the Board at least 60 days in advance of the meeting and shall be included with the official notice for that meeting. The Ontario Sections should be advised and shall indicate their approval through their respective Section Chair. Any amendment to an amendment must be submitted to the Secretary at least 35 days prior to the meeting called for that purpose.

(b) The Board of Directors may by consent of a simple majority, suspend, amend, or

enact any By-law and shall be in effect only until the next Annual General Meeting at which time it will be presented for confirmation. Unless confirmed the amendment (s) shall cease to have effect and shall not be re-enacted again until at least the end of the next fiscal year.

(16) FINANCES: (a) FISCAL YEAR: The fiscal year of Skate Ontario shall close on March 31 of each

year.

(b) AUDITED FINANCIAL STATEMENT: An audited financial statement signed by the Skate Ontario President and Past President, and a copy of the auditor’s report shall be available to every member annually and/or on demand. Each Annual General Meeting shall appoint an auditor and fix their remuneration. The appointed auditor shall examine and audit the accounts and report thereon to the next Annual General Meeting.

(c) FINANCE POLICY: A finance policy will be adopted by a separate resolution. The

policy shall include the principles that will outline: i. All disbursements, except for petty cash, shall be made by pre-numbered

cheques; ii. there shall be a detailed accounting of all monies where a cash advance

has been drawn; iii. that any investments be deemed to be guaranteed.

(d) BANKING ARRANGEMENTS: The signing authorities for financial matters shall

be the President, Treasurer, Executive Director, and Operations Coordinator. The banking business of Skate Ontario or any part thereof shall be transacted with such

bank, trust company, or other firm or corporation carrying on a banking business as the Board of Directors may designate.

(e) AUDITORS: Auditors for the financial statement and Skate Ontario accounts shall

be recommended by the Board of Directors and approved at the Annual General Meeting.

(17) RULES OF ORDER: The rules contained in “Roberts Rules of Order” shall

govern the Corporation in all cases to which they are applicable and in which they are inconsistent with the By-laws or the Rules of this Corporation.

(18) PROTECTION AND INDEMNITY:

(a) No director, officer, member, employee or agent of the Corporation is liable for the acts, receipts, neglect or defaults of any other director, officer, member, employee or agent, or for joining in any receipts or other acts for conformity, or for any loss or expense happening to the Corporation through the insufficiency or deficiency of title to any property acquired by order of the Board of Directors for or on behalf of the Corporation or for the insufficiency or deficiency of any security in or upon which any of the moneys of the Corporation are invested, or for any loss or damage arising from the bankruptcy, insolvency or tortious act of any person with whom any of the moneys, securities or effects of the Corporation are deposited, or for any loss occasioned by any error of judgment or oversight on his or her part, or for any other loss, damage, or misfortune whatsoever, which happens in the execution of the duties of their office or in relation thereto, providing:

(i) they acted honestly and in good faith with a view to the best interests of the

Corporation; and (ii) in the case of a criminal or administrative action or proceeding that is enforced by

a monetary penalty, they had reasonable grounds for believing that their conduct was lawful.

(b) Every director, officer, member, employee, or agent of the Corporation and their

heirs, executors and administrators, and estate and effects respectively, shall, from time to time and at all times, be indemnified and saved harmless out of the funds of the Corporation from and against:

(i) all costs charges and expenses whatsoever which such director, officer, member,

employee or agent sustains or incurs in or about any action, suit or proceeding which is brought, commenced or prosecuted against them or in respect of any act, deed, matter or thing whatsoever, made, done or permitted by them, in or about the execution of the duties of their office;

(ii) all other costs, charges and expenses which they sustain or incur in or about or in

relation to the affairs of the Corporation, except such costs, charges or expenses as are occasioned by his or her own willful neglect or default, or charges for their own account.

(19) CONTRACT POSITIONS FOR AGENTS AND ATTORNEYS: The Board of

Directors shall have power, from time to time, to appoint agents or attorneys, or retain on a fee for service basis, a person or persons, in or out of Ontario, with specific expertise to perform certain and specific duties for Skate Ontario, with such powers of management or otherwise (including the delegate) as may be
