Setting the Journey

Vision Statement

Encouraging Churches to

Director’s Letter to

the Association 2014 proved to be a great, but very taxing year. Finishing the pregnan-cy center building and launching that ministry in March created a few challenging moments. Dealing with insurance companies, dealing with beginning a new corporation, and then creation of a new ministry and how it will relate to our present. I would like to say that everything was smooth sailing, but that is far from the truth. But while we struggled at times getting everything in order, God began to work through this min-istry to see ladies find Hope. Since our last Annual Meeting the Board of the Pregnancy Center hired Missy Hibbard to lead this work. We are so thankful for her and the work she and her volunteers have done this year. If you would like to be a volunteer in the Pregnancy Ministry,

please contact Missy. I believe that in 2015 Craig Mayes Baptist Association will see the greatest Kingdom work accomplished than any other year. I am thankful for the 64 years of our associa-tion and camp ministries and the first year of Northeastern Oklahoma Hope Pregnancy Center. Thank you to each of our 44 churches. Board of Actions for 2013, Bro. Zach pointed out that on page 15 in the pro-gram book, that the motion made to vote on the new Articles of Incorporation be tabled at this time. It has to be brought to the Annual Meeting for ratifica-tion. We are working very hard to get the NEOHPC its own 501©(3). We are having a lawyer go through all the wording and he recommended that we hold off. We are having more than one lawyer read over all the paper work in-volved. This comes from the Executive Committee. Motion to accept the Board of Actions for 2013, motion carried. New Business: 2014 regular CMBA Board Meetings are to be held on the following dates: May 5th at the CMBA office September 8th at the CMBA office November 17th at the CMBA office February 8th, 2015 Green Country Baptist Assembly. This motion to accept these dates was made by the Executive Committee, no second is needed. There was no discussion. Motion carried. Promotions: Bro. John Parker shared of all the exciting things going on at the camp. The camp is growing and is now able to house more students for summer camps. It is also in the position to have banquets because of the new dining hall. They are looking to be able to have men’s retreat as well. No report for the ladies retreat. Hope Pregnancy Center is soon to open. Lisa Cowan shared that a doctor in the area is going to loan us a sonogram machine until the new one arrives. It should arrive within the next 6 to 8 weeks. Bro. Zach Cowan had the new Moderator, Dr. Mike Cox, dismiss us in prayer. The 64th Annual Meeting adjourned!

The 64th annual meeting of the Craig-Mayes Baptist Association was held Sun-day, February 9, 2014, at the Green Country Baptist Assembly , 136 S Garrison , Disney, Oklahoma 74340. Rev. Zach Cowan called the meeting to order at 3:57 p.m. Bro. Mike Cox read scripture and opened in prayer. Bro. Steve Mowery seated the messengers. A motion made by Bro. Mike Cox to approve the Agenda for the 64th Annual Meeting. Second was made by Bro. Dan Lewis. Motion carried. Executive Committee recommended that the 65th Annual Meeting be held at the Green Country Baptist Assembly on February the 8th 2015. This comes from the Executive Committee which, therefore, does not need a second. Motion carried. Bro. John Parker nominated Dr. Mike Cox of FBC Pryor to be the Moderator/President of the Board for 2015. Bro. Tyson Wynn made a motion that nomina-tions cease and be elected by acclamation. Bro. Dan Lewis seconded the mo-tion. Motion carried.

Bro. Jerry Cowan nominated Bro. Kenny Stacy to be Vice Moderator/Vice Presi-dent of the Board. Bro. Tyson Wynn made a motion that nominations cease and be elected by acclamation. Bro. Dan Lewis seconded the motion. Motion car-ried. Bro. Chris Schultz nominated Dr. Dan Lewis to continue to be the treasurer. Bro. Tyson Wynn made a motion that he be elected by acclamation. Jeane Wynn seconded the motion. Motion carried.

Bro. Roy Shoop nominated Bro. Steve Mowery to continue as the Clerk. Bro. Tyson Wynn made a motion that he be elected by acclamation. Bro. Dan Lewis seconded the motion. Motion carried. Board of Actions for 2013: The Motion to accept the Nominating Committee report does not need a second because it does come from a committee. There was no discussion and the mo-tion carried. Treasurer report for 2013 and 2014 budget was presented by the Executive Board, therefore it needs no second. There was no discussion and the motion carried.

section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.

Bylaws

Article I: Corporate Officers Section 1: Members. The Corporate Officers of Craig-Mayes Baptist Association, a corporation will be the Moderator/President, Vice Moderator/Vice President, Clerk/Secretary, and Treasurer. Section 2: Duties. The Officers will be empowered by the Association in its Annual Meetings, or by the Associational Board, to execute all legal papers necessary and any action on behalf of Association, and to purchase and sell properties in behalf of the Association. Article II: Committees and Councils Section 1: Members. All Committees and Councils will be defined in the Policy and Procedure Manual of the Association. Section 2: Accountability.

A. All Committees and Councils will report to the Association at the Annual Meeting. B. All Committees and Councils making recommendations must first do so to the

Executive Board only after meeting with one-half of the elected committee mem-bers.

C. If one-half of the committee cannot be obtained, the chair of any Committee or Council or his/her representative can bring the item to the Executive Board and the Executive Board can choose to deal with the Item.

D. Ad-hoc Committees may be appointed by the Moderator as deemed necessary. Article III: The Executive Committee Section 1: Members. The Association will have an Executive Committee composed of Moderator/President, Vice Moderator/Vice President, Clerk/Secretary, and Treasurer. Section 2: Duties.

A. The Executive Committee will act with such powers and to perform such acts of duties on behalf of the Association as the Executive Committee may see fit, so far as may be consistent with these Constitution and Bylaws, or as instructed by the Executive Board or Annual Meeting, to the extent authorized by law.

B. The Executive Committee shall be the Corporate Officers and Trustees of the Cor-poration. The Officers may not enter into any contract or execute and deliver any instrument in the name of and on behalf of the Association and such authority may be general or confined to a specific instance, unless so authorized by the Executive Board or Annual Meeting.

C. The Committee will be charged with the administration of the budget when adopt-ed. They shall have the right to retain all or any part of any securities or properties acquired by it in whatever manner, and to invest any funds held by it, according to the judgement of the Executive Committee, without being restricted to the class of investments which is or may be permitted by law.

D. In case a vacancy on the Executive Committee should exist between the Annual

Meetings, the Nominating Committee will recommend a replacement to the Exec-utive Board.

Article IV: Amendments The Bylaws may be amended upon recommendation at an Executive Board Meeting and voted on

Article VI: Association Executive Board Section 1: Membership. The Executive Board of this Association shall include the following members: Director of Missions, Associational Administrative Staff, Elected officers of the Association, Pastor and Ministerial Staff of the churches and two (2) lay members elected by each church. A maximum of six (6) representatives from any one church including Associational elected officers. Section 2: Duties. The duties of the Associational Executive Board will be to transact all business of the Association between annual meetings, to monitor all monies of the Association, and to make a full written report of all business transactions to the Association at its Annual meeting. Section 3: Quorum. A quorum for transaction business will consist of ten (10) elected board members participating after proper notification of the Association. Proper notification will consist of dates published in the Annual report and a reminder notice to the elected board members one week before the meeting. Article VII: Procedure of Meetings: All business of this Association will be conducted with Robert’s Rules of Order (revised) as its standard of business procedure. As needed the Moderator may appoint a Parliamentarian to inter-pret rules. Article VIII: Petitions and Dismissals: Section 1: Petitions. Churches desir ing membership with this body will petition by letter to the Associational Office four (4) months prior to the Annual meeting of the Association. The Credentials Committee will investigate the petition and report it’s findings to the Executive Board Meeting. Upon Approval of the Executive Board the petitioning church will be presented to the Annual Meeting for the first of two affirmative votes at two Annual meetings. Following the first vote during the “Watch Care” year the petitioning church may have one (1) staff member and one (1) layperson on the Executive Board. Section 2: Dismissals. Upon recommendation of the Credentials Committee and majority vote of the Executive Board a Church may be put on probation for one year. At the end of one year a church may be dismissed after a majority vote of the Execu- tive Board who will then present their recommendation to the Annual Meeting require- ing a sixty (60) percent vote to dismiss the Church. Any Church that has withdrawn or asked to withdraw from the Association shall request membership following Article VIII, Section 1. Article IX: Amendments This Constitution may be amended by a two-thirds majority vote of messengers at any Annual Meeting, provided that a) notice of the proposed amendments shall be sent to each associational church, the director of missions, and the executive committee no later than 45 days prior to the date of the annual meeting or b) the proposed amendment(s) come as a recommendation from the executive board, having received a 60% majority vote in favor of recommendation. Amendments to the Constitution proposed by duly elected messenger(s) at the Annual Meeting shall be automatically referred to the Executive Board to be reported on at the next Annual Meet-ing. Article X: Dissolution Upon the dissolution of this corporation, assets shall be distributed for one or more exempt pur-poses within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding

Constitution and Bylaws Craig-Mayes Baptist Association, Inc.

Article 1: Name This Association shall be known as Craig-Mayes Baptist Association, Inc., which shall at all times be operated and conducted as a non-profit charitable, religious, educational and scientific corporation, organized under the laws of the State of Oklahoma, Title 18, O.S.A.§1001 et seq. Article II: Purposes Section 1: General. The purposes of the corporation shall be char itable, religious, educational, and scientific under section 501 (c)(3) of the Internal Revenue Code or corresponding section of any future federal tax code. Section 2. Specific. Affirming that each church is to fulfill the Great Command - ment and Commission, Craig-Mayes Baptist Association exists for the purpose of enablingchurches to discover and achieve their unique mission. Article III: Membership This Association will be composed of Southern Baptist Churches spiritually led to cooperate, and affirmed by participating churches. Said churches to be guided by the Baptist Faith and Message. Article IV: Leadership Section 1. : Officers of the Association. The elected officers of this Association shall be: Moderator/President, Vice Moderator/Vice President, Clerk/Secretary, and Treasurer. These officers will be elected at the Annual Meeting of the Association by nomination from the floor, and by a majority of those Messengers present, and voting. The Moderator/President and Vice moderator/Vice President shall not succeed the office more than once. Each will take office at the end of the Annual Meeting. Section 2: Administrative Leadership. The administrative leader of this Associa- tion shall be the Director of Missions/Executive Director, and any such ministry person- nel as deemed necessary. The Executive Director shall be a member of all committees, councils, and boards. Article V: Annual Meeting Section 1: Meetings. The Annual Meeting will be at such time and place voted on by the previous Annual Meeting. The Executive Board may alter the time and place with 60 percent vote at a called board meeting. Section 2: Messengers. Each church is entitled to six (6) messengers for the fir st one hundred in membership. One additional messenger for each one hundred (100) in membership or fraction thereof, provided that no church have more than ten (10) messengers. Names of the messengers must be provided by the start of the opening session. Section 3: Annual Reports. Each church is r equested to provide an annual repor t to the Association, giving the names of the Associational Board members, Statistics, and any other information of value to the Association. Upon failure to report to the Association, the Executive Committee and/or the Executive Director will confer with the church leadership. If the church fails to report for three consecutive years, the Credentials Committee will make suitable recommendation.

May 5, 2014: Motion made to approve Tyson Wynn to be temporary clerk for today’s meeting. Seconded and approved. Motion made to correct Davies Vanpool’s name. Motion seconded and approved. Motion made to correct designation of 50123 to 501©(3) in annual meeting minutes. Seconded and approved. Financial report approved as printed - seconded and approved. Kevin Lancaster moved that purpose statement revision be postponed to next meeting; seconded and approved. Tyson Wynn moved to postpone consideration of proposed Amended and Restated Articles of Incorporation to next meeting; unanimously approved. Casey Whiteis moved that NEOHPC designated fund be established as printed; unani- mously approved. Lee Norman moved that NEOHPC budget revision be approved as printed; unanimously approved. Tyson Wynn moved that consideration of proposed revision to CMBA Employee Policies and Procedures manual be postponed to next regular business meeting; seconded and approved. September 8, 2014 Motion by Kenny Stacy to approve Purpose Statement to our Articles of Incorporation as written. Motion passed. Motion by Kenny Stacy to approve the Amended and Restated Articles of Incorporation. Motion seconded and passed.

Motion made by Kenny Stacy to remove Steve Mowery as Clerk and add the person to be voted on as new CMBA Clerk later in this meeting. Motion seconded and approved. Executive Committee moved to amend the CMBA Policies and Procedures. Motion carried. Kenny Stacy moved to accept Mark Hester as the new CMBA Clerk. Motion passed. Meeting was adjourned per approved agenda and Steve Holland closed in prayer.

Motion made by Kenny Stacy to allow Pregnancy Center Board to pursue their own 501© 3. Seconded and approved. Motion made by Dan Lewis to approve new Pregnancy Center Board members. Motion seconded and carried. Motion made by Dan Lewis to amend Robert Sanders from trustees for GCC and replacing him with Kenny Stacy. Motion seconded and approved. Motion by Kenny Stacy to approved Bro. Bruce Mason 2014 housing allowance of $27,000. Motion seconded and was carried. Motion by Kenny Stacy to table budget approval to November 25.
