Official Rules

THE SCANSOURCE CLOUD SERVICES PROMOTION (THE “PROMOTION”) IS OPEN

ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF

COLUMBIA WHO AT THE TIME OF ENTRY ARE: (1) 21 YEARS OF AGE OR OLDER;

(2) REGISTERED RESELLERS, INTEGRATORS OR SERVICE PROVIDERS OF

SCANSOURCE, INC. (“SCANSOURCE” OR “SPONSOR”); AND (3) IN GOOD FINANCIAL

STANDING WITH SCANSOURCE. THE PROMOTION IS ALSO OPEN TO BUSINESS

ENTITIES DOMICILED IN THE 50 UNITED STATES AND THE DISTRICT OF

COLUMBIA WHICH AT THE TIME OF ENTRY ARE REGISTERED RESELLERS,

INTEGRATORS OR SERVICE PROVIDERS OF SCANSOURCE AND ARE IN GOOD

FINANCIAL STANDING WITH SCANSOURCE. DISTRIBUTORS, MANUFACTURERS

AND OTHER COMPETITORS OF SCANSOURCE, AS THOSE TERMS ARE DEFINED OR

INTERPRETED BY SCANSOURCE IN ITS SOLE DISCRETION, ARE NOT ELIGIBLE TO

PARTICIPATE IN THE PROMOTION.

VOID IN PUERTO RICO, U.S. VIRGIN ISLANDS, U.S. TERRITORIES AND

POSSESSIONS AND WHERE PROHIBITED OR RESTRICTED BY LAW.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS

PROMOTION.

1. PROMOTION PERIOD:

The Promotion begins September 14, 2015 at 12:01:01 a.m. and ends September 30, 2015 at

11:59:59 p.m. (PT) (the “Promotion Period”).

2. HOW TO ENTER:

Enter the Promotion the following ways:

(a) To enter the Promotion, sign up for Intermedia or request a quote for Carrier Services

by visiting http://www.scansourceservices.com/en/promotions during the Promotion Period. All

required information on the registration form must be fully completed to register, and only one

registration will be accepted per person/business entity. Eligible participants will receive one (1)

entry upon registering for the Promotion.

(b) To enter the Promotion without purchasing qualifying products, signing up for

Intermedia or requesting a quote for Carrier services, hand-print name, address, city, state, zip,

day and evening phone numbers and the words ScanSource Cloud Services Promotion on a 3"x

5" card, and mail in a stamped envelope to: ScanSource Cloud Promotion, ScanSource, 6 Logue

Court, Greenville, SC 29615. Mail-in entries must be received by September 30, 2015.

Participants may enter as often as they wish; however, only one mail-in entry per stamped

envelope will be accepted. No copies or mechanical reproductions of entries will be accepted.

Neither Sponsor nor any of its employees, representatives or agencies, are responsible for lost,

late, damaged, delayed, destroyed, misdirected, postage-due, incomplete, or illegible entries.

Entrants need not be present to win. Once submitted, entries become the exclusive property of

Sponsor and will not be returned.

For a copy of these Official Rules, send a self-addressed, stamped envelope to: Bryan Gaines,

ScanSource, 6 Logue Court, Greenville, SC 29615 by October 1, 2015. (Vermont residents may

omit return postage).

3. ELIGIBILITY:

The Promotion is open only to legal residents of the 50 United States and the District of

Columbia who at time of entry are: (i) 21 years of age or older; (ii) are registered resellers,

integrators or service providers of ScanSource; and (iii) in good financial standing with

ScanSource. The Promotion is also open to business entities domiciled in the 50 United States

and the District of Columbia which at time of entry, are registered resellers, integrators or service

providers of ScanSource and are in good financial standing with ScanSource. Distributors,

manufacturers and other competitors of ScanSource, as those terms are defined or interpreted by

ScanSource in its sole discretion, are not eligible to participate in the Promotion. Employees of

ScanSource Avaya and their parents, affiliates, subsidiaries, and other affiliated companies,

agents, advertising and promotional agencies, and their immediate family members or persons

residing in the same household of such employees, are not eligible to enter or win.

4. SELECTION OF WINNERS/ODDS OF WINNING PRIZE:

Sponsor will select winner(s) in a random drawing on or about October 1, 2015 in Greenville,

South Carolina. Limit one (1) prize per person/business entity. Odds of winning depend on the

number of eligible entries received. Participants agree to be bound by these Official Rules and

by the decisions of the judges, which are final and binding in all respects. Winners will be

notified by e-mail, telephone, or facsimile. The authorized officer(s) of a winning business

entity may designate an individual recipient of the prize by specifying such individual in writing

prior to acceptance of the prize.

Winners must comply with all of the terms and conditions of these Official Rules and winning is

contingent upon fulfilling all requirements. Winner(s) may be required to sign and return an

Affidavit of Eligibility and Release within 14 days of notification in order to receive the prize(s).

In the event of non-compliance with these requirements, the prize will be forfeited and an

alternate winner will be selected. If prize/prize notification is returned as undeliverable, the prize

will be forfeited and an alternate winner will be selected. Unclaimed prizes may not be awarded.

In the event of a dispute as to the identity of a winner based on an e-mail address, the winning

entry will be deemed to be the authorized account holder of the e-mail address submitted at time

of entry. For purposes hereof, an "authorized account holder" is the natural person who is

assigned to an e-mail address by an Internet access provider, on-line service provider or other

organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail

addresses for the domain associated with the submitted e-mail address.

5. PRIZES:

Sponsor will award one (1) Grand Prize and (1) Runner Up Prize. Grand Prize Winner will be

able to choose one (1) of the following: one (1) Apple Watch Sport (ARV $399), one (1)

Samsung Gear 2 Smartwatch with heartrate monitor (ARV $300), one (1) Yeti Tundra 65 Chest

Cooler (ARV $399), or one (1) Tory Burch purse (ARV $395). Runner Up Prize winner will

receive a $100 Visa Gift Card. Prizes are non-transferable. Prize delivery date will be based on

product availability at time of the prize is selected. All taxes or expenses, including, without

limitation, sales tax, luxury tax and any other costs incurred in claiming or using any of the

prizes, are the sole responsibility of the prize winner. No prize substitution or cash equivalent of

prize, except at Sponsor’s sole discretion, and then only for a prize of equal or greater value.

Any difference between the actual value of any prize and the approximate retail value set forth in

these Official Rules may not be claimed and will not be awarded.

6. GENERAL CONDITIONS:

(a) This Promotion is subject to all federal, state and local laws and regulations. The

laws of the United States of America shall be deemed to govern the Promotion.

(b) Acceptance of prize shall constitute and signify the winner’s agreement and consent

that Sponsor may use his/her name address (city and state only), likeness, and/or prize

information for promotional purposes without further compensation, where legal. (Tennessee

residents need not consent to, or sign any, publicity release.)

(c) Participants, by participating, release and agree to hold harmless ScanSource, Avaya

and their parents, affiliates, subsidiary companies, advertising and promotion agencies and their

respective directors, officers, employees, representatives and agents from any and all liability for

any injuries, losses, tax liabilities or damages of any kind to person, including death, and

property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or

misuse of any prize, participation in any Promotion related activity, or participation in the

Promotion.

(d) Sponsor and its parents, affiliates, subsidiary companies, advertising and promotion

agencies and contest administrators and their respective directors, officers, employees,

representatives and agents are not responsible for any typographical or other error in the printing

of the Promotion, administration of the Promotion or in the announcement of the prizes. Sponsor

reserves the right to modify the Promotion rules, terms and conditions without materially

affecting the terms and conditions of the Promotion.

(e) Except where prohibited, participants agree that: (1) any and all disputes, claims, and

causes of action arising out of or connected with the Promotion, or any prize awarded, or the

determination of the winner(s) shall be resolved individually, without resort to any form of class

action, and exclusively under the laws of the State of South Carolina and through the courts of

Greenville County, South Carolina; (2) any and all claims, judgments and awards shall be limited

to actual out-of-pocket costs incurred, including costs associated with entering the Promotion but

in no event attorneys' fees; and (3) under no circumstances will participants be permitted to

obtain awards for and participants hereby waive all rights to claim punitive damages, incidental

damages, consequential damages or any other damages, other than for actual out-of-pocket

expenses, and any and all rights to have damages multiplied or otherwise increased.

Without limiting the foregoing, all prizes are provided “as is” without warranty of any kind,

either express or implied, including but not limited to, the implied warranties of merchantability,

fitness for a particular purpose, or non-infringement.

(f) If for any reason the Promotion is not capable of running as planned due to infection

by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any

other causes beyond the control of Sponsor which corrupt or affect the administration, security,

fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right at its sole

discretion, to disqualify any individual who tampers with the entry process, and to cancel,

terminate, modify or suspend the Promotion. In such event, Sponsor may award prizes in a

random drawing from all eligible entries received up to the date of cancellation or suspension.

(g) Sponsor assumes no responsibility for any error, omission, interruption, deletion,

defect, delay in operation or transmission, communications line failure, theft or destruction or

unauthorized access to, or alteration of, registrations or entries. Sponsor is not responsible for

any problems or technical malfunction of any telephone network or telephone lines, computer

on-line systems, servers, or providers, computer equipment, software, failure of any registration,

e-mail or entry to be received by Sponsor on account of technical problems, human error or

traffic congestion on the Internet or at any Web site, or any combination thereof, including any

injury or damage to a participant's or any other person's computer relating to or resulting from

participation in the Promotion or downloading any materials in the Promotion.

(h) WARNING: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER PERSON

TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE

OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL

LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE

RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) TO

THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING SEEKING CRIMINAL

PROSECUTION.

7. WHO WON: To receive the a list of winners by mail, send a written request,

accompanied by a self- addressed, stamped envelope, to: ScanSource Cloud Services Promotion

Winners, 6 Logue Court, Greenville, SC 29615, by October 10, 2015.

8. SPONSOR:

The Sponsor of this Promotion is ScanSource, Inc., 6 Logue Court, Greenville, SC 29615. The

administrator/operator of this Promotion is Sponsor.
