Raghu Marwah, Partner represented RNM at the said Conference. There he gave a presentation on “Key Strategic Issues faced when negotiating / considering a Joint Venture in India” to the M&A Practice Group which was much appreciated. Special emphasis was laid on the recent policy changes in the REIT’s sector, which offers huge upside to Foreign Investors. On the sidelines of the Conference meetings were also held with the representative of the South African National Association of Automotive Component & Allied Manufacturers (NAACAM) to explore business opportunities for India Inc. looking to go global in the Auto component space. A very kind invitation was also received to attend the South African Automotive Week (SAAW) in Johannesburg from the Executive Director of the NAACAM, however, due to prior engagements RNM was unable to attend the same. Back home, the Indian economy is improving with media reports that during the July- September 2014 quarter, companies have received fresh orders worth ~USD 11.2 Bn, up 45% QoQ and the highest in the past four quarters. According to India Ratings, the government’s decision to deregulate diesel prices is likely to improve India’s finances as the oil subsidy will come down by USD 2.5 Bn. The S&P BSE Sensex in the meantime has hit all time highs during October 2014, with a YTD returns of 31.62%. China's economy grew 7.3% YoY between July-September 2014, slightly above expectations. However, it slowed from 7.5% YoY in Q2CY2014, the weakest in nearly 6 years. The Ministry of Corporate Affairs ('MCA') has extended the validity of CLSS Scheme to November 15, 2014. MCA has clarified that for those companies who have filed their financial statements or annual returns after April 1, 2014, but before the announcement of the CLSS scheme, the directors will also get immunity with regard to disqualification. The Committee for Capacity Building of CA Firms and Small & Medium Practitioners of Institute of Chartered Accountants of India (ICAI) has initiated the Revision of Minimum Recommended Scale of Fees for the professional assignment done by its members. The CBDT has extended the “due-date” for furnishing return of income from 30th September, 2014 to 30th November, 2014 for the assessment year 2014-15 for all purposes of the Act, in case of an assessee, who, (i) is required to file his return of income by 30th September, 2014 and (ii) is also required to get his accounts audited under section 44AB of the Act or is a working

Providing Buses for Dropping Client’s staff at Door Step are ‘Tour Operator Services’ Providing buses to clients for dropping of staff is covered under Tour Operator Services; and further renting of hired cabs amounts to 'rent-a-cab operator services' and liable to service tax accordingly [Source: Friends Tour & Travels v. Imparting training to students in Nautical Science and Marine Engineering was liable to service tax Service Tax : Imparting training to students in Nautical Science and Marine Engineering and conducting short term courses like Oil Pollution and Response Course, Fire Prevention and Fire Fighting Course, Personal Survival Technique Course, Tanker Familiarization Course, Personal Safety and Social Responsibility Course for sea men and students is liable to service tax under Commercial Training or Coaching Services [Source: Academy of Maritime Education & Training Trust v. Comm. of Ser. Tax, Chennai [2014] 48 taxmann.com 272 (Madras)] Input service credit was available even when service provider had deposited the service tax belatedly Cenvat Credit : Cenvat credit of input service is available after payment of value of input service (along with tax) and there is no requirement that service tax should have been deposited by service provider before availment of credit; if service provider has not deposited service tax, revenue's remedy lies at end of service provider [Source: General Manager, BSNL v. No input credit if supplier had confirmed non-delivery of goods even when assessee had made payments by cheques Cenvat Credit : Even if assessee had made payments by cheque, if supplier and transporter had specifically deposed that there was no actual delivery of inputs to assessee, credit taken by assessee is liable to be reversed with penalty and extended period of limitation is available for such fraud. No suppression of facts if nature of input services couldn’t be disclosed in excise return in absence of any column Cenvat Credit : In absence of any column in returns requiring nature of input or input services to be disclosed, non-disclosure of same cannot attribute any malafide to assessee and, therefore, extended period of limitation cannot be invoked [Source: Ultra Tech Cement Ltd. v. Comm. of Cent. Ex., Jaipur-II [2014] 48 taxmann.com 99 (New Delhi - CESTAT)]

Sum collected for various services couldn’t be considered as inclusive of ST; CESTAT denied benefit of cum-duty Service Tax : Activity of receiving goods, warehousing them, receiving dispatch orders, arranging dispatch, maintaining records of incoming shipments and deliveries, etc. amounts to Clearing and

Tribunal had rightly directed full pre-deposit of ST as assessee failed to deposit ST collected from customers: HC Service Tax : Where service tax has been collected from customers, assessee could be directed to make full pre-deposit of service tax while waiving pre-deposit of interest and penalty [Source: Om Sakthi Travels (P.) COMPANY LAW UPDATES Circular/Notification/Guidance Amendment of Companies (Corporate Social Responsibility Policy) Rules, 2014 In exercise of the powers conferred under Section 135 and sub-sections (1) and (2) of Section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules to amend the Companies (Corporate Social Responsibility Policy) Rules, 2014, namely:— 1. (1) These rules may be called the Companies (Corporate Social Responsibility Policy) Amendment Rules, 2014. (2) They shall come into force on the date of their publication in the Official Gazette. 2. In the Companies (Corporate Social Responsibility Policy) Rules, 2014, in rule 4, in sub-rule (6), after the words “but such expenditure” the words and comma “including expenditure on administrative overheads,” shall be inserted. Clarification with regard to provisions of Corporate Social Responsibility (CSR) under section 135 of the Companies Act, 2013. In continuation of the General Circular No. 21 of 2014 dated 18.06.2014, the following clarifications are hereby issued: (i) Rule 4(6) of the Companies (Corporate Social Responsibility Policy) Rules, 2014 as notified on 27.02.2014 has been amended by notification dated 12.09.2014; and (ii) Consequently, clarification (iv) in General Circular No. 21 of 2014 dated 18.06.2014, stands omitted. Amendment of Companies (Appointment and Qualification of Directors) Rules, 2014 In exercise of the powers conferred by second proviso to sub section (1), sub section (4) and clause (f) of sub section (6) of section 149, sub sections (3) and (4) of section 150, section 151, sub section (5) of section 152, section 153, section 154, section 157, section 160, sub section (1) of section 168 and section 469 of the Companies Act, 2013, the Central Government hereby makes the following rules to amend the Companies (Appointment and Qualification of Directors) Rules, 2014, namely:— 1. (1) These rules may be called the Companies (Appointment and Qualification of Directors) Amendment Rules, 2014. (2) They shall come into force on the date of their publication in the Official Gazette. [Source: Notification No. G.S.R. ….. (E) dated 18th September, 2014] Constitution of National Advisory Committee on Accounting Standards In exercise of the powers conferred by sub-section (1) of section 210A of the Companies Act, 1956 (1 of 1956), the Central Government hereby constitutes an Advisory Committtee to be called the National Advisory Committee on Accounting Standards to advise the Central Government on the formulation and laying down of accounting policies and accounting standards for adoption by companies or class of companies under the said Act. The Chairperson and members shall hold office for a period of one year from the date of publication of the notification in the Official Gazzete or till the constitution of National Financial Reporting Authority under section 132 of the Companies Act 2013 (18 of 2013) whichever is earlier. RBI UPDATES Circular/Notification/Guidance External Commercial Borrowings (ECB) in Indian Rupees 1. With a view to providing greater flexibility for structuring of ECB arrangements, it has been decided

that recognised non-resident ECB lenders may extend loans in Indian Rupees subject to the following conditions:

a. The lender should mobilise Indian Rupees through swaps undertaken with an Authorised Dealer Category-I bank in India.

b. The ECB contract should comply with all other conditions applicable to the automatic and approval routes as the case may be.

c. The all-in-cost of such ECBs should be commensurate with prevailing market conditions. 2. For the purpose of executing swaps for ECBs denominated in Indian Rupees, the recognised ECB

lender, if it desires, may set up a representative office in India following the prescribed laid down process

3. It may be noted that the hedging arrangement for ECBs denominated in Indian Rupees extended by non-resident equity-holders shall continue to be governed by the provisions of AP (DIR Series) Circular No. 63 dated December 29, 2011.

(DIR Series) Circular No.25 dated 3rd September, 2014] Foreign Direct Investment (FDI) in India - Issue of equity shares under the FDI Scheme against legitimate dues The extant guidelines for issue of shares/convertible debentures under the automatic route have been reviewed in consultation with the Government of India and, accordingly, it has been decided to permit issue of equity shares against any other funds payable by the investee company, remittance of which does not require prior permission of the Government of India or Reserve Bank of India under FEMA, 1999 or any rules/ regulations framed or directions issued thereunder, provided that:

(i) The equity shares shall be issued in accordance with the extant FDI guidelines on sectoral caps, pricing guidelines etc. as amended by Reserve bank of India, from time to time; Explanation: Issue of shares/convertible debentures that require Government approval in terms of paragraph 3 of Schedule 1 of FEMA 20 or import dues deemed as ECB or trade credit or payable against import of second hand machinery shall continue to be dealt in accordance with extant guidelines;

(ii) The issue of equity shares under this provision shall be subject to tax laws as applicable to the funds payable and the conversion to equity should be net of applicable taxes.
