IntroductionThe City of Salmon Arm (City) will accept Proposals from qualified consultants for the supply anddelivery of a Council Remuneration and Management/Exempt Staff Salary and Benefit Review for theCity.

Proponents that submit a Proposal shall prepare a Proposal that meets the minimum requirements, and

may choose, in addition, to also include terms that exceed the minimum requirements.The City as part of fulfilling its mandate of providing effective and efficient services to the citizens ofSalmon Arm, has requested that a comparative analysis be undertaken of the City’s Council andmanagement/exempt staff related salary and benefit provisions.

Customer ProfileThe City is situated on Shuswap Lake in the central interior of British Columbia. A location and area mapis outlined on Appendix A and B respectively, and are attached hereto and forming part of this Requestfor Proposal (RFP). The City has an estimated year round population base of 17,000 spread out of 18,000+hectares. The City has approximately one hundred (100) full time staff with forty-five (45) seasonal andpart time. The City operates from three (3) main locations: City Hall, Fire Hall No. 3 and Public Works.Satellite operations are located at the Shuswap (Salmon Arm) Regional Airport, RCMP Detachment,SASCU Recreation Centre, Shaw Centre, Water Treatment Plant and the Water Pollution Control Centre.

Project OverviewThe City of Salmon Arm requires the services of a management consultant with experience regardingmunicipal organizations and service delivery to undertake a review of the City of Salmon Arm’s Councilremuneration and management/exempt staff related salary and benefit provisions. This review will be acomparison of Council remuneration and management/exempt salary and benefits in comparativeBritish Columbia municipalities. A report is required that includes a comparative analysis of salary levelswith options and recommendations.

BackgroundThere are currently seven (7) members of Council and fifteen (15) management/exempt staff at the City.Detailed organizational charts showing the reporting structure will be made available to the successful

proponent.

Scope of WorkAn introductory meeting with the Chief Administrative Officer will be held with the successfulProponent to review the contemplated scope of work. Review the background documentation providedand request and review any other information or documentation considered pertinent by the proponent.

•  Provide comparisons to the pay/benefit structures in comparator municipalities. Makerecommendations for changes to the current Council and management/exempt staff salary andbenefit structure which would promote cost control, internal equity, and ability to retain andattract qualified staff.

•  Submit a draft report for review and consultation with the Chief Administrative Officer.Consider input from staff and make any appropriate changes to the report.

•  Present the final comprehensive report to City Council and respond to questions from Councilregarding the report.

Note: The Comparator Municipalities have been preselected and are attached on Schedule 5 attachedhereto and forming part of the RFP.

Project CostsLabour and Cost SummaryProvide a detailed summary of all labour and costs on an itemized basis. The final total must be inclusiveof all travel and accommodation costs, taxes, disbursements and any other applicable fees and charges, if

applicable.

The City has a budget of $10,000.00 for this project.

Proposal Preparation and SubmissionProponents must conform to the instructions given within this RFP regarding the preparation and

submission of Proposals.One (1) copy of the Proposal and any other information that the Proponent feels is appropriate enclosedin a sealed, return-addressed envelope (in accordance with Schedule 5 of this RFP), clearly marked withthe Proposal Name, should be submitted to the City, and it is the sole responsibility of the Proponent todeliver the Proposal to the City before the Closing Date, Friday April 11, 2014.

Faxed Proposals will not be accepted.

Proposal Format 

All Proposals should be arranged as follows:

Title Page:

Reflect the RFP name, closing date and time, Proponent’s name, address, telephone and facsimile

number, email address and contact person.

Letter of Introduction:

A Summary introducing the Proponent and signed by persons authorized to commit and bind theProponent to statements made in response to this RFP.

Table of Contents:

Include page numbers.

Executive Summary:

A short one (1) or two (2) page summary of the key features of the proposal.

Company Profile:

A short overview of the Proponent, its history and its future. An outline of the scope of services theProponent provides.

Project Experience:

An overview of projects of similar scope that the Proponent has completed.

Implementation Plan:

Your schedule and delivery timeline plan.

Required Proponent Response:

Responses to this RFP, together with any and all other options or alternatives offered. Within this section,the Proponent must include price schedules and Proponent Commitment Forms, General Terms and

Conditions contained in the Schedules attached hereto and forming part of this RFP. Include in thissection, all other contractual documents that form part of the Proponent’s response.

Proponent Forms – Confirmation and Declaration Proponents must complete the Schedule 1 – Proponent Confirmation Form and Schedule 2 - ProponentDeclaration Form attached hereto and forming part of this RFP and return them to the City as soon as theProponent has determined that it will be responding to this RFP.

Any subsequent information regarding the RFP will be directed only to those Proponents who haveregistered their intention to submit a Proposal through a Proponent Confirmation Form.

Note: Schedule 4 – General Terms and Conditions attached hereto and forming a part of this RFP is anintegral component of the RFP and must be reviewed signed and submitted with the Proponent’sProposal by any Proponent intending on submitting a Proposal.

Evaluation of ProposalsEvaluation ProcessThe City, through the development and distribution of this RFP document, is requesting that allinterested Proponents submit sealed Proposals for the supply and delivery of a Council Remunerationand Management/Exempt Staff Salary and Benefit Review.

All Proposals will be opened and evaluated by the Chief Administrative Officer. A short list of qualifiedProponents may be established. This list will be comprised of Proponents who are deemed to be fullycapable of fulfilling the needs of the City, and whose Proposals offer, or appear to offer, the mostfavorable terms and the best value to the City.

The City may pursue negotiations with selected Proponent to ensure that the proposed services meet theneeds of the City, in search of the best possible value and Contract for the City.

The City requires that any representative put forward as an authorized representative for the Proponent

to negotiate changes to the Proponent’s RFP submission, have the capacity and legal corporate authorityto negotiate changes, and to bind the Proponent to changes throughout the duration of the Contractresulting from this RFP process.

Upon completion of the negotiation process, it is the intention of the City to award a Contract to a specificProponent for the supply and delivery of a Council Remuneration and Management/Exempt Staff Salaryand Benefit Review.

The Contract governing the award shall be comprised of this RFP document, the successful Proponent’sresponse (i.e. Proposal) to this RFP document, and any and all correspondence documenting changes to,or modifications of, the successful Proponent’s Proposal.

Proponents should be aware that all Proposals will be evaluated in light of the following general criteria,which is not listed in order of importance. This list is not exhaustive. The City may take other factorsinto account that in their sole discretion are relevant to the best fulfillment of any Contract which mayresult from the RFP process.

•  Proposal is received before the RFP Closing Date and according to the RFP requirements;• 

Reputation, knowledge and experience of the Proponent;•  Understanding of, and support for, the City’s objectives as outlined in this RFP;•  Long term financial stability of Proponent;•  Quality of service;•  Knowledge and experience of local government;•  Professional reputation and management; and•  Best value to the City based on quality, service, price and any criteria set out herein based solely

on the City’s assessment of the Proposal.

Guidelines or policies that may be applicable shall not give rise to legal rights on the part of anyProponent or others against the City and shall in no case create any liability on the part of the City.

Proponents are notified that the lowest or any Proposal may not necessarily be accepted, and the Cityreserves the right to reject any and all Proposals at any time without further explanation or to accept anyProposal considered advantageous to the City. Acceptance of any Proposal is contingent on funds beingapproved by Council or such other municipal bodies and/or departments responsible, and the Contractaward being made by the City. Proposals which contain qualifying conditions or otherwise fail toconform to these RFP documents may be disqualified or rejected. The City may waive anynoncompliance with the RFP documents, of anything required by or under the terms and conditions ofthis RFP, and may at its sole discretion elect to retain for consideration Proposals which are non-conforming because they do not contain the content or form required by the RFP documents, or becausethey have not complied with the process for submission set out herein.

Closing DateSealed Proposals, signed by the Proponent’s authorized representative, will be received by the City untilthe Closing Date, Friday April 11, 2014.

Faxed Proposals will not be accepted.

Confidentiality of ProposalsThe City is bound by the provisions of the Freedom of Information and Protection of Privacy Act (Act).  AllProponents submitting a Proposal pursuant to this RFP are advised that such submissions will be treated

as public documents and the contents of the same may be disclosed upon written request, pursuant to theAct.

Schedule 4General Terms and Conditions

Definitions and Interpretations1. In these General Terms and Conditions:

(a) "Contract" has the meaning set out in Section 2;(b) “City” means the City of Salmon Arm;(c) “Proponent” means a Organization whose Proposal has been accepted by the City and

who is supplying the Council Remuneration and Management/Exempt Staff Salary andBenefit Review under the Contract; and

(e) “Purchase Price” means the price quoted by the Proponent and accepted by the City,unless otherwise agreed by the parties in writing, and includes all taxes, duties, freightcharges and other charges except PST and GST.

2. The Contract may be modified only by express and specific written Contract. In the event of aconflict between the provisions of any documents listed below, then the documents shall governand take precedence in the following order:(a) the General Terms and Conditions;(b) the RFP;(c) the Proposal; and(c) other terms, if any, that are agreed to by the parties in writing.

Time3.  Time is of the essence in this RFP or any Contract arising from this RFP.

Payment

4. Invoices must include the Proponent's name, address and telephone number, the City's purchaseorder number, the Proponent's invoice number, the Proponent's GST registration number or anindication that it is not applicable if the Proponent is a small trader, the quantity, tax (if any) andthe complete purchase price calculations, including extensions and discounts.

5. The City will pay the invoice, in the amount as the City determines is correct less any deductionsfor setoffs or holdbacks permitted by the Contract including, without limitation, within 30 daysof the receipt of the invoice, unless the parties have agreed in writing to other payment terms.The payment by the City of any invoice will not bind the City with respect to any subsequentpayment or final payment and will not mean that the City has accepted that requirements of theContract, or that the Proponent is in any manner released from its obligation to comply with theContract.

6. Unless otherwise provided, all dollar amounts referred to in the Contract are in lawful money ofCanada.

Acceptance of Proposal7.  The City reserves the right to accept, amend or reject any or all Proposals received. The City is under

no obligation to proceed with the RFP and, should it decide to abandon same, it may do so, at anytime , or enter into any discussions or negotiations with any party for the provision of such services.Proposals, which contain qualifying conditions or otherwise fail to confirm to these RFP documentsmay be disqualified or rejected.

Acceptance Period for Proposals8.  All Proposals received as a result of this RFP must be open for acceptance for a period of ninety [90]

days from the Closing Date.

Proposal Commitment9.  The RFP and the Proposal of the successful Proponent will become part of any Contract awarded as a

result of this RFP. Each Proponent must confirm their understanding and agreement to this generalcondition and will, by signing Schedule 3 - Proponent Commitment Form.

Proposals10.  Proposals may be withdrawn by written notice only, provided such notice is received by the City

prior to the time set for the opening of the Proposals.

11.  Proposals should be prepared simply and economically. Proponents may include any additionaldata or information deemed pertinent. All material contained in the Proposal must be clearly legible.

12.  All prices and notations must be typewritten or written in ink. No erasures are permitted. Mistakesmust be crossed out and corrections typewritten or written in ink adjacent thereto, and initialed inink by the proper signing officer of the Proponent.

13.  Proposals shall be based on material contained in this RFP. The Proponent shall disregard any draftmaterial and/or any oral representations.

Request for Proposal Document14.  All information submitted in response to this RFP becomes the property of the City and will not be

returned.

15.  Any dispute arising under this RFP or any Contract resulting from this RFP shall be resolvedaccording to the laws of the Province of British Columbia.

16.  Any Proponent who finds any uncertainties, discrepancies, errors or omissions within any part of thisRFP shall notify the City in writing addressed to the City of Salmon Arm (Attention: Carl Bannister,Chief Administrative Officer) at Box 40 Salmon Arm, BC V1E 4N2. Such notification does not

obligate the City to make changes, but if the City deems that changes are desirable all Proponentsregistered will be notified in writing.

Contract17.  The City may, by notice of default to the successful Proponent, terminate the whole or any part of the

Contract if the successful Proponent fails to make delivery of the RFP, or to perform any otherprovisions of the Contract, within the time specified.

18.  In the event that City terminates the Contract in whole or in part as noted in the above paragraph, theCity may procure the RFP similar to those so terminated from other parties.

19.  The City reserves the right to give fourteen (14) days notice to the successful Proponent to cancel allor part of the Contract in the event of a failure on the part of the successful Proponent to meet the

terms and conditions of the Contract.20.  The successful Proponent shall keep all directly or indirectly related RFP information under its

personal control. The successful Proponent shall not, without the consent in writing from the City,assign or transfer the Contract or any part thereof.

No Binding Contract21.  This RFP is simply an invitation for Proposals (including prices and terms) for the convenience of all

parties. It is not a tender and no obligations of any kind will arise from this RFP or the submission ofProposals. Submission of a Proposal and its subsequent receipt by the City does not represent acommitment on the part of the City to proceed further in negotiating with the Proponent.

22.  The City may, after reviewing the Proposals received, enter into discussions with one (1) or more ofthe Proponents, without such discussions in any way creating a binding contract between the Cityand any such Proponent.

23.  A Proposal will be an offer to the City which the City may accept at any time by signing a PurchaseOrder with the Proposal attached and delivering it to the Proponent. A Proposal is not accepted bythe City unless and until both the authorized signatory and the purchasing representative of the Cityhas signed Purchase Order and the Proposal on behalf of the City. Delivery of the signed Proposal bythe City may be by fax or email.

No Assignment of Proposal24.  The Proponent will not assign its Proposal or any rights in respect of the same to any other party.

Such an assignment or purported assignment will immediately invalidate the submissions.

Proposal Preparation Cost25.  The Proponent acknowledges and agrees that the City will not be responsible for any costs, expenses,

losses, damages (including damages for loss of anticipated profit) or liabilities incurred by theProponent as a result of, or arising out of, submitting a Proposal for the proposed Contract, or due tothe City’s acceptance or non-acceptance of their Proposal, or any breach by the City of the bid

Contract between the City and each of the Proponents arising out of any Contract award not made inaccordance with the express or implied terms of the RFP documents.

26.  The Proponent will assume all costs incurred in providing responses to this RFP and for providingany additional information required by the City to facilitate the evaluation process. The City reservesthe right to discontinue the RFP process at any time, and makes no commitments, implied orotherwise, that this process will result in a business transaction with one (1) or more Proponents.

Proponent’s Qualifications27.  By submitting a Proposal, a Proponent represents that it has the expertise, qualifications, resources,

and relevant experience.

Valid Authority

28. 

All submissions must be signed by the Proponent and witnessed. Any Corporate Proponent mustensure that it’s authorized signatory or signatories sign the Proposal and that the Corporate is sealaffixed.

Liability for Errors29.  While the City has used considerable efforts to ensure an accurate representation of information in

this RFP, the information contained in this RFP is supplied solely as a guideline for Proponents. Theinformation is not guaranteed or warranted to be accurate by the City, nor is it necessarilycomprehensive or exhaustive. Nothing in this RFP is intended to relieve the Proponent from formingtheir own opinions and conclusions with respect to the matters addressed in this RFP.

Insurance30.  The successful Proponent shall at its own expense carry general liability insurance that insures the

Proponent's legal liability for error, omission or negligent act, to the extent of $2,000,000.00 for eachoccurrence. The general liability insurance policies shall be available for inspection by the City at alltimes upon request. If the City, because of its particular circumstances or otherwise, desires to obtainfurther insurance to protect it against any risk beyond the coverage provided by such policies, theProponent will cooperate with the City to obtain such insurance at the City's expense.

Additional Services and Extra Costs31.  If the Proponent is required to perform additional services beyond the scope of the agreed upon

terms, all requests for increasing the Council Remuneration and Management/Exempt Staff Salaryand Benefit Review Contract value and for change orders shall be supported with written detail and

submitted to the City for written approval prior to any action taken. In no case, shall the City beobligated in any way to pay any additional costs for any reason without prior written approval fromthe City.

Proponent Acknowledgement32.  The Proponent hereby acknowledges having examined this RFP and having full knowledge of the

terms and conditions contained herein.

Default and Termination34. In the event the Proponent does not fulfill the Contract at the date specified in the Contract, or

otherwise fails to comply with the requirements of the Contract, then:

(a) the City reserves the right to terminate the Contract, in whole or in part, and in the eventof such termination no payment will be owing by the City on account of the Contract andthe Proponent will be liable for any and all expenses or loss resulting from such failure ordelay and will return all monies paid by the City; or

35. If the Proponent becomes insolvent or makes an assignment for the benefit of creditors or areceiver or trustee is appointed for the property of the Proponent, then the City may, at its

election, and without prejudice to its rights at law or in equity, terminate the Contract. Worker’s Compensation Board Requirements36. The successful Proponent must provide their Worker's Compensation Board Registration

Number and a Letter of Good Standing should the scope of services include any on-site work. 

Safety37. The Proponent shall provide the City with the Proponent's Workers Compensation Board

registration number and a letter from the Workers Compensation Board confirming the supplieris registered in good standing with the Workers Compensation Board and that all assessmentshave been paid to the date thereof prior to the City having any obligation to pay monies underthe Contract.

Confidentiality of Information38. All information contained in this RFP is strictly confidential and must only be used by theProponent for the purposes of responding to the City with respect to this RFP. No portion of thisdocument is to be copied, distributed or used, in whole or in part, without the express writtenpermission of the City, and you agree to return this complete document in its entirety uponrequest. Please return this document if you are not in agreement with these terms.

 Waiver39. Any failure of the City at any time or from time to time to enforce or require the strict keeping or

performance of any of the terms and conditions contained in the Contract shall not constitute awaiver of the terms and conditions and shall not affect or impair the terms or conditions in anyway or the City's right at any time to avail itself of any remedies as the City may have for anybreach or breaches of the terms and conditions.

Applicable Law 40. The Contract shall be governed by and construed in accordance with the laws of the Province of

British Columbia. The City and the Proponent accept the jurisdiction of the Courts of BritishColumbia and agree that any action under the Contract shall be brought in such courts.

Notices 41. Any notice, report or other document that either party may be required or may wish to give to

the other must be in writing, unless otherwise expressly provided for, and will be deemed to bevalidly given to and received by the addressee:

(a)  by hand, on delivery;(b)  by facsimile, on transmission; or(c)  by mail, five (5) calendar days after posting.

The address for the City of Salmon Arm (Attention: Carl Bannister, Chief Administrative Officer)at Box 40 Salmon Arm, BC V1E 4N2 and to the successful Proponent at the address set forth inthe Proponent’s Proposal. In addition, the City may give notice to the Proponent by email at theProponent's email address as outlined in Schedule 1 the RFP, which email will be deemed to bevalidly given and received by the Proponent on transmission. The Proponent may not givenotice to the City by email.

Merger and Survival42. The representations, agreements, covenants and obligations set out in the Contract, shall survive

the payment of the Purchase Price.

Entire Contract 43. The Contract, including any other documents expressly included by reference in the Contract,

contains the entire agreement of the parties regarding the provision and no understandings oragreements, oral or otherwise, exist between the parties except as expressly set out in the

Contract.
