PRICES LIST PRICES, TERMS AND CONDITIONS contained herein supersede any and all prices, terms and conditions shown in previous lists. PRICES ARE SUBJECT TO CHANGE WITHOUT NOTICE. Errors and omissions are subject to correction. All prices shown, unless otherwise indicated, are list prices and subject to the discount agreed upon at the time of ordering. Prices are subject to all applicablesales taxes, unless otherwise indicated.

CREDITCredit will be extended only to established and approved accounts. Accounts will only be established for those companies who intend to purchase on an ongoing, regular basis. All other purchases will be C.O.D. Normal credit checks take approximately one week. Purchases made during this time will be C.O.D., or one week will be added to your lead time.

PAYMENT TERMSTerms of payment for established credit accounts are: Net 30 Days from date of invoice unless otherwise stipulated in writing by Vinyl Window Designs Ltd. (VWD) 2 1/2% interest per month (31.2% per annum) will be charged on all accounts over 30 days.

FAILURE TO FULFILL TERMSShould the Purchaser at any time fail to fulfill the terms of payment described under PAYMENT TERMS, or any special payment arrangements, VWD may defer further shipments until such payments are made, or at its option, cancel any unshipped orders or back orders without prejudice to any right VWD may have against the Purchaser. VWD also reserves the right to ask for and demand from the Purchaser, satisfactory security for the due performance of the Purchaser's obligations.

ORDERS FOR CUSTOM SIZE PRODUCTS ARE NON-CANCELABLE ONCE FABRICATION HAS BEGUN.

WARRANTY AND SERVICE A warranty is something that is purchased along with product. Please note that no warranty applies until the product has been paid for in full. See the written warranty in force at the time of ordering. GLASS BREAKAGE OF ANY KIND IS NOT COVERED BY THE VWD WARRANTY.

While VWD warrants its products, it cannot warrant installation by others. The VWD warranty will be voided by any installation which does not comply fully with VWD’s installation instructions. Any warrantyproblems must be reported by the selling dealer within the warranty period and on VWD’s Service Request form. Warranty work will be rectified by replacement or repairs as per the warranty in force.

A fee of $65.00/hr. will be charged for any inspection determined not to be the responsibility of VWD. Standard payment terms will apply.

PRODUCT CHANGESVWD products are constantly being improved. We reserve the right to change specifications and designs without notice. Vinyl Window DesignsLtd assumes no responsibility for your use of or reliance upon outdated printed matter and specifications.

SHIPPINGAll prices shown are FOB VWD’s plant in Woodbridge, Ontario, unless otherwise arranged. When shipping instructions have not been specified,VWD reserves the right to select the route and method of shipment. Under no circumstances can shipments be sent by common carrier on a prepaid basis. Customers must establish their own “Collect” credit arrangements with carriers servicing their routes. All common carrier shipments, either by the Purchaser's request or VWD's option, are at the consignee's risk of breakage and/or damage. Therefore all claims for breakage and/or damage are between the carrier and the consignee. All common carrier shipments must be crated. A nominal charge will be applied for this service. (See packaging charges - this section.) When arrangements have been made to pick up products from our warehouse, customers are requested to have their trucks properly equipped with ropes and cardboard, as well as a glass rack. Our staff has been instructed to be as helpful as possible at all times. We do, however, reserve the right to refuse to load customer's vehicles that are not properly equipped.

TIMES FOR PICK UPAll pick-ups must be made between the hours of 7:30 am and 4:00 p.m. Monday to Friday, unless specific arrangements are made with the shipping department. All products, either picked-up or delivered, must be thoroughly inspected before signing our shipping order. Your signature indicates acceptance of the product and will exempt VWD fromany further liability with regards to broken glass, paint scratches, screen tears etc, unless such is noted on the shipping order. All repair work will be done at current prices.

CLAIMSShortages must be reported to our office, along with all pertinent documents at time of delivery. Claims for breakage of goods delivered by common carrier must be placed against the carrier, with written noticegiven to our head office within three (3) working days.

GENERAL TERMS AND CONDITIONS

RETURNSProducts cannot be returned for any reason without written prior authorization and a copy of the VWD “return authorization form” (R.A.F). Customers bringing back product without the proper R.A.F will not have said product taken back, nor signed for, by any VWD personnel, therefore, no credit will be issued. Custom size windows and doors manufactured to the customer’s specifications are non-returnable unless a fabrication error or other warranty claim has necessitated a replacement.

PACKAGING CHARGESVWD works with its customers to provide a variety of packaging options. Please consult the shipping department regarding any special packaging requirements and to receive a quote on packaging.

SHOP DRAWINGSShop Drawings, samples or special engineering work are not included in the enclosed price list, but will be charged for on a per job basis by quotation in writing, unless otherwise specified.

QUALITY STANDARDSAll VWD products are manufactured to standard commercial tolerances and will include, at times, slight imperfections in paint, glass and other materials as well as manufacturing tolerances. Any claims arising from such imperfections or tolerances will be judged against Government and C.S.A published specifications and accepted or denied on the basis of such specifications. VWD will at no time be held responsible for claims arising between the Purchaser and his Customer.

ORDERS BY TELEPHONEAll orders taken over the telephone will be sent to the Purchaser to be confirmed. The Purchaser must then sendl the order back to the VWD office before it will be processed. If a Purchaser wishes to continue ordering by phone, they will assume all responsibility for order accuracy.

SAMPLESWe encourage our dealers to purchase sample windows. As an added incentive we offer an additional 20% discount on sample windows. Hand samples & cross sections are made available at a nominal cost of$75.00 net. Showroom stands are offered by VWD complete with VWD signage at a cost of $400.00 net

PRICING OF WINDOWS

1. Round up both height and width to the next inch.

2. Multiply height and width and divide by 144 to get the square feet of the window.

3. Round up the square feet to the next square foot.

For example:

Required Size 29 1/8” x 46 1/4”

Multiply 29.125 x 46.25 = 1347.03 sq inches.

Divide by 144 for sq ft = 9.3544 sq ft.

Round to next even ft = 10 sq ft

If the resulting Sq Ft is in a range for the particular window (The above example is located in the “at least 10 to less than 11” sq ft range.) then the higher size of the range is used to calculate all square footage options and extras.

In this case, it would be 10 sq ft.

PRICING OF SPECIAL SIZE PATIO DOORSSpecial Sizes for Patio Doors are priced by quotation only.

UNAVOIDABLE DELAYSVWD shall not be responsible for any damages resulting from or delay due to strikes, fires, accidents, force majeure, inability to procure materials or other causes beyond it’s control and any such delay shall not be grounds for cancellation of any contract by the customer.

COLLECTION COSTSIn the event that credit has been extended and payment has not been received within 30 DAYS after the term indicated on our Order-Invoice, collection costs may be assessed byVWD. By accepting any or all merchandise described in the Order-Invoice, the buyer has agreed to assume any collection costs actually incurred as a result of the buyer’s default. Such charges will then become a part of the original billing.

DEPOSITSIt is expressly agreed that VWD will remain the owner of the merchandise sold until full payment of the purchase price. In the event that the customer fails to accept delivery of the merchandise hereby ordered, then VWD shall have the right to retain any deposit paid by the Purchaser as damages, without prejudice to VWD’s rights to claim such further damages as it may have suffered in the circumstances, or at it’s option, claim the entire amount of the purchase price.

Windows - Undersize and Oversize Product Requests

This VWD price list contains detailed size limits on all products. Limitations are based on the following criteria.

1. Can the product be produced on line?

2. Is the product of a size which can be safely handled.

It is often possible to produce a product "off line" which means it is made in our shapes department. Requests for products to be made off line should be made through the VWD Customer Service Department and will require approval of both engineering and production. Where approved, and because of the extra labour content, there will be an additional charge for production. There are sizes which can not be made at all or should not be made due to the potential danger of handling these products and the resulting potential liabilities. VWD will not make any non-standard product which we believe would create this kind of liability. Because all products manufactured by VWD may incur an implied warranty or liability in the field, for reasons not limited to safety and warranty liability, we reserve the right to refuse to manufacture any product.

Please inquire regarding the cost for "off line" production for each individual request as the cost will vary depending on the difficulty of manufacturing the product.

WARRANTY & SERVICE WORKPLEASE READ THE WRITTEN WARRANTY IN FORCE.

Vinyl Window Designs takes pride in producing quality products and supporting our dealers with post-

sales service.

Vinyl Window Designs is responsible for replacing, free of charge, any material which is defective, or

which does not conform to product specifications. It is most important that all products be thoroughly

inspected and checked for quality and conformance to your Vinyl Window Designs order prior to

acceptance from Vinyl Window Designs and subsequent installation in your customer’s home.

The dealer is responsible for proper installation in the customer’s home. This installation should be done

in a professional and workmanlike manner and includes the application of perimeter insulation and

caulking to ensure a weathertight and watertight installation. It is the dealer’s responsibility to make on-

site adjustments. Vinyl Window Designs recommends adherence to all applicable building codes and

regulations as well as installation guidelines per CSA A440.4.

The dealer is responsible for ensuring that he or his salesperson is fully familiar with the characteristics

of Vinyl Window Design's products, so that in presenting his sales proposal to a potential buyer, he does

not exaggerate or make misleading statements on the construction, performance or material content of

the product.

The dealer is responsible for fully checking any service inquiry reported to him prior to reporting a service

request to Vinyl Window Design. The examination of the inquiry may involve an on-site inspection of the

product and installation. Should the inspection reveal that a minor adjustment to the product is required,

or that the installation is at fault, the dealer is responsible for making the necessary correction. Where the

problem is one of faulty workmanship or material, that is not apparent at the time of acceptance of the

product, it is Vinyl Window Designs' responsibility to take corrective action, as it deems necessary, under

the terms of warranty.

Service work will only be carried out upon receipt of a proper service request form that is 100% complete,

with all the information required. In order to minimize the cost of service calls, and to elliminate those

service requests which are not the responsibility of Vinyl Window Designs, a fee of $65.00/hr will be

enforced for any service calls where the problem is installation or product adjustment and is not deemed

the responsibility of Vinyl Window Designs.

Warranty service will not be carried out where an account is not adhering to our payment terms.

GLASS BREAKAGE OF ANY KIND IS NOT COVERED UNDER WARRANTY.
