QUALITY Price / sqm

We are at your disposal for any request regarding your project. From WINGS colours or Pantore references, your rug can be made in 8-15 weeks according to the mode of transport. From other colours, it will be done in14 to 18 weeks.

A sketch with our standard designs and our colours from the pompoms box can be supplied unpon request. You can also design your own custom colour rug on our website www.toulemondebochart.frWe can produce a sample within 4 to 5 weeks. It will be charged and the cost will be deducted from the order.

All customs are bound to a 50% deposit and the production starts upon receipt of this deposit. Minimum sqm is required for custom size rugs and custom color rugs.

For all rugs in non-regular shape (square, round, rectangular), a pattern or a sketch with precise details will be required.

FOR SIZES GREATER THAN 250 CM WIDTH, A SHIPMENT BY CHARTER IS REQUIRED. WE WILL ADD AN EXTRA COST (7% OF THE RETAIL PRICE EXCL VAT) AND 150€ NET FOR EXTRA PACKING.

GENERAL SALES CONDITIONS - MARCH 2021

Prices:Depending on what is indicated, prices correspond to a part, a m2 or a ml. They are expressed in euros. The tolerance for the indicated measurements is +/- 5%. Prices may be changed without notice (in particular in the event of an increase in the cost of raw materials or changes in the exchange rate). Quotation validity: 3 monthsItems are invoiced on the basis of the price existing at the time the order is approved.

Payment terms:All first orders shall be paid in the form of a proforma invoice. Subsequent orders shall be settled within 30 days net.Any extension in payment times shall give rise to the automatic application of penalties equal to five times the legal interest rate and a flat rate compensation of €100 for collection costs payable the day after the payment date.

Property reservation clause:The parties explicitly agree that the legal ownership of the goods sold shall only be transferred to the customer on the date the latter has fully paid the price (Articles 2329 to 2372 of the Civil Code).

Deliveries:Products are delivered on the basis of a packaging or sales unit according to the transportation price. Unless otherwise agreed in writing between the parties, delivery times are given as an indication. The delivery time only begins from the date the order is confirmed by Toulemonde Bochart and, as applicable, the date the deposit provided for in the order is paid. Unless otherwise indicated, all the part numbers of items listed under the applicable price are in principle available and deliverable quickly: * while stocks last. Given the range of the Toulemonde Bochart Collection, it is recommended to check the availability or delivery time of the order with its departments.

Transportation:Transportation conditions (except special deliveries) :- Western Europe: goods are shipped in accordance with the DAP, FCA or EXW incoterm. All orders under 400€ will be charged of 40€ for transport.- Major Export: goods are shipped in accordance with the DAP, FCA or EXW incoterm.For large sized coverings and carpets (greater than 250 cm width), price upon request.Any items missing or damaged on delivery shall be specifically signed for as such on the carrier receipt and reported to our sales department. This information is essential for obtaining legal recourse with the carrier and its insurance company.Any claim relating to the delivered goods shall be made to us at within 8 days of receipt the latest. We accept no liability for any claims made after this time.All accepted returns shall be handed over to our carrier in packaging consistent with the original packaging. No credit shall be given for returned goods that are unauthorised or incorrectly packaged.

Management of customers accounts:For each new customer, an initial setting up order of €1,000 euros excluding tax is required. This order shall be shipped after payment of the proforma invoice.Any customer account not registering an annual turnover of €2,000 excluding tax shall be closed the following year. It shall then be subject to the conditions for a new customer.

Goods distribution procedure:Goods shall be sold retail by the Customer either in its retail shops or through its own website, with the Customer providing for its own deliveries to its customers. All other goods distribution procedures, in particular selling exclusively through the internet via a virtual shop with Toulemonde Bochart logistics, shall be subject to a specific contract between the parties at specific applicable prices.

WARRANTY EXCLUSION AND LIABILITY LIMITATION:

GOODS AND SERVICES ARE PROVIDED WITH NO WARRANTY OF ANY TYPE.A - TOULEMONDE BOCHART MAY UNDER NO CIRCUMSTANCES BE HELD LIABLE, AS FAR AS THE CUSTOMER OR ANY OTHER PERSON IS CONCERNED, FOR ANY INDIRECT, SPECIFIC, ACCIDENTAL OR CONSEQUENTIAL DAMAGE IN THE EXTRA-CONTRACTUAL, CONTRACTUAL OR OTHER FIELD. IN ADDITION, THE PARTIES EXPLICITY AGREE THAT LOSS OF ORDERS, LOSS OF CUSTOMERS, OPERATING LOSSES AND DAMAGE TO REPUTATION, IN PARTICULAR, SHALL BE CONSIDERED AS INDIRECT DAMAGE. ANY ACTION TAKEN AGAINST THE CUSTOMER BY A THIRD PARTY SHALL BE CONSIDERED AS AN INDIRECT PREJUDICE AND AS SUCH SHALL NOT GIVE RISE TO COMPENSATION.

B - TOULEMONDE BOCHART'S LIABILITY MAY UNDER NO CIRCUMSTANCES EXCEED THE AMOUNT PAID BY THE CUSTOMER EVEN IF TOULEMONDE BOCHART HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

INTELLECTUAL PROPERTY: Toulemonde Bochart's designs and creations shall remain its property given the contract between the parties involves no transfer of intellectual property regarding products, creations, designs, models or brands. The Customer is under no circumstances authorised to reproduce or manufacture Toulemonde Bochart's products, designs, models or brands. Unless first authorised in writing by Toulemonde Bochart, the Customer is required to exclusively use the credits and photographs of goods previously provided by Toulemonde Bochart for any reproduction or communication to the public of Toulemonde Bochart brands as well as for any photographs and displaying of goods carried out by the Customer itself (including in its catalogues and on its

Unless otherwise specifically agreed, all orders shall automatically entail the purchasing Customer's full and entire agreement with these general conditions of sale, regardless of its own purchasing conditions.In the event of a dispute, the Corbeil Commercial Court shall have sole jurisdiction.
