I. INTRODUCTION, PURPOSE AND INVITATION Reserve Bank of India (RBI), Department of Communication, hereinafter referred to as

the Bank, having its office at Shahid Bhagat Singh Marg, Fort, Mumbai-400001

invites proposals from interested entities for rendering teleconferencing and

transcription services in connection with the Banks events organized from time to

time. Interested vendors with impeccable record, meeting the eligibility criteria may

submit their proposals, complete in all respects, in sealed cover super scribing

Proposal for rendering teleconferencing and transcription services in RBI to the Chief General Manager, Reserve Bank of India, Department of Communication,

12th Floor, Central Office Building, Shahid Bhagat Singh Marg, Mumbai - 400001 on or

before February 22, 2019.

Filled-in proposals with all credentials and other documents in support of the eligibility

criteria must be submitted before the date and time stated above. Incomplete

proposals and proposals received after the last date and time of submission will not be

accepted.

III. SCOPE OF WORK: a) The vendor shall provide the desired teleconferencing and transcription services to

the satisfaction of the Bank at a frequency to be specified by the Bank.

b) The vendor shall provide any or all of the following services as and when called

upon by the Bank:

i. Service for teleconferencing over telephone lines.

ii. Transcription of audio recordings within 48 hrs of conclusion of the event.

iii. Express transcription of audio recordings within 24 hours from the time of

conclusion of the event.

iv. Providing audio link, the list of participants to the Reserve Bank of India within

four hours from the time of conclusion of the event.

v. Providing the audio recording of the event in a pen drive to the Reserve Bank

within 24 hours from the time of conclusion of the event.

vi. Hosting the event in vendors server for 48 hours after conclusion of the event

or for specified number of days as may be decided by the Bank.

vii. Providing the service of a person in RBI premises on the day of conferencing.

viii. Providing teleconferencing services for at least six times in a year.

ix. Providing services of a remote host/operator who will coordinate the

teleconferencing event.

x. Other services relating to teleconferencing on mutually acceptable terms

IV. ELIGIBILITY CRITERIA a) The bidder should have sufficient knowledge, expertise, competency and

appropriate human and other resources and should have five years of

experience in providing teleconferencing and transcription services involving

domestic and International participants.

b) The bidder shall submit the details in Annex I, II, III, IV, V and VI; duly

stamped and signed by the authorised signatory of the entity.

V. TERMS AND CONDITIONS a) The agreement with the Bank will be valid for a period of three years, subject to

annual review on the basis of past performance.

b) The Bank reserves the right to:

(i) Accept or reject any or all the proposals.

(ii) Cancel/withdraw the RFP process at any stage without assigning any

reasons thereof.

(iii) To reissue the RFP, if cancelled.

(iv) Delete/amend/add any clause(s) in the RFP at any time, without assigning

any reason and shall not be held liable for any losses or damages caused

by such amendment/modification.

(v) Seek additional documents, if required. Any such request will be sent by the

Bank to the email id as per Annex II of this RFP.

c) The Bank shall pay a minimum sum as quoted by the entity and as accepted by

the Bank per occasion (billing would however be on the basis of above plus

actual call charges) for rendering service agreed herein above.

d) The equipment for teleconferencing shall ordinarily be provided by the Bank.

However, the Bank reserves the right to call for such equipment from vendor as

and when required.

e) The vendor shall have the ability to provide service to the Bank with minimum

time lag.

f) The decision on whether to cover a particular function in the Bank through the

selected vendor would solely lie with the Bank. The Bank may at its discretion

get the work done through a third party as per requirement.

g) The vendor shall ensure availability of a person at RBI premises with sufficient

experience and technical skills for covering the events.

h) In case the vendor shuts any of its offices, the same shall be informed to the

Bank immediately.

i) Any change of address of the vendor including the registered office should be

promptly notified to the bank.

j) The Banks dealing with the vendor shall be on a principal to principal basis and

the Bank shall have no liability to pay any suppliers for anything done/not done

or any act of omission/commission by the vendor.

k) The vendor shall indemnify the Bank against any action or proceedings brought

against the Bank by act of commission/omission or negligence on its part or on

the part of its employees/agents in the performance of the said services. The

vendor shall be liable for any of its or its employees/agents actions that are

detrimental to the interest of the Bank and the quantum of damages for the

same will be decided by the Bank and will be final and binding on the vendor.

l) Any request for clarifications on any Clause of the RFP must be sent in writing

via regular mail to the address as mentioned in Sl.No 7 of schedule of RFP or

by email to [email protected] and [email protected] on or before

February 15, 2019.

m) The selection of the vendor by the Bank does not guarantee any minimum

business nor does it tantamount to an assurance by the Bank for the purpose

of awarding any assignment or such other matter. Further, selection of the

vendor shall not prejudice the Banks right to avail the services from any other

vendor(s)/service providers.

n) Quotations will be obtained from the vendor on an annual basis for regular

events that are conducted on regular frequencies. For functions that are

adhoc/not regular, quotations will be obtained prior to the event.

o) The Bank reserves the right to cancel any agreement entered with the vendor at

any time by giving one month notice.

p) Each page of the tender/proposal submitted to the bank should be stamped and

initialed by the authorized signatory of the vendor.

q) The Bank will not make advance payment to vendor for setting up equipment

and preliminary arrangements etc.

r) The vendor shall not assign the work in whole or in part, to any other vendor,

even to its own subsidiary or parent agency, to perform its obligations under the

work order, without the written consent of the bank.

s) The vendor should have adequate human and other resources to handle events

involving use of high-end equipment.

t) That for all intents and purposes, the vendor shall be the Employer within the

meaning of all labour legislations in respect of manpower employed and

deployed by him in connection with the work specified in para III above. The

vendor shall comply with the statutory requirements in respect of labour laws

wherever applicable while engaging the personnel for carrying out the aforesaid

work. The persons deployed by the vendor shall not have any claims of master

and servant relationship against the bank.

u) The Bank shall deduct income tax at source while making payment as per the

provisions of the Income Tax Act, 1961.

v) The vendor shall be ready to accept payments through Electronic clearing

system.

w) The RFP document is neither an offer letter nor a legal contract but only an

invitation for the request for proposal (RFP). No contractual obligation on behalf

of the Bank whatsoever shall arise from this RFP process unless and until a

formal contract is signed and executed by duly authorized officers of the Bank

and the vendor.

VI. SUBMISSION OF TENDERS-INSTRUCTIONS TO BIDDERS

a) Language: The proposals shall be submitted in ENGLISH. The proposals submitted in languages other than English, a translated version in English is

required to be submitted. In case of dispute, the English version will prevail.

b) Proposals shall be prepared in indelible ink. It shall contain no interlineations or overwriting, except as necessary to correct errors made by the vendor. Any

such corrections must be authenticated by the persons or person who sign(s)

the proposal.

c) Every page of the proposal shall be authenticated with the seal of the bidder and signature of a person duly authorized by the bidder.

d) Agencies shall bear all costs associated with the preparation and submission of their proposals. The Bank is not bound to accept any or all proposals and

reserves the right to annul the selection process without assigning any

reason(s), at any stage of the RFP process without incurring any liability or

obligations on the Bank. The Bank also reserves the right to re-issue the RFP,

if the Bank decides so.

e) Document Fees: The RFP document fees shall be NIL.

f) Sealed Envelope: The tender documents may be submitted in sealed cover superscribed Proposal for rendering teleconferencing and transcription services in RBI. The envelope should be submitted before 4:00 pm on February 22, 2019 to The Chief General Manager, Department of Communication,

12th Floor, Central Office Building, Reserve Bank of India, Mumbai.

g) Deficiency in Service / Penalty: i) In case it is observed by the Bank that the work performed by the vendor is not

as per the required standard or specified quality, the vendor will be served with

written notice to that effect calling upon to improve its performance within

stipulated time. If the vendors performance is still not satisfactory, the Bank

retains the right not to award any work thereafter, at its own discretion.

ii) The Bank shall have the right to terminate the agreement of the defaulting

vendor, if it deems necessary.

h) Non-Disclosure clause: i) The vendor should treat all documents, information, data and communication of

and with the Bank as privileged and confidential and would be bound by the

terms and conditions of the Non-Disclosure clause.

ii) The vendor shall abide by the Non-Disclosure clause. The vendor shall not,

without the Banks prior written consent, disclose any audio, video recordings

or information to any other party including media specification, plan, sample or

information or data or drawings /designs furnished by or on behalf of the Bank

to any person other than a person employed by the vendor in the performance

of the work.

iii) Disclosure to any such person employed by the vendor shall be made in utmost

confidence and should extend only so far as may be necessary and relevant for

the purpose of such performance and shall be subject to the terms and

conditions of the Non-Disclosure clause.

i) Intellectual Property Rights

a) The selected bidder will ensure that there is no violation of Intellectual

Property Rights or any other law in force while rendering the services. The

selected bidder shall, at its own cost and expenses, defend and indemnify the

Reserve Bank against all third-party claims including those of infringement of

Intellectual Property Rights, including patent, trademark, copyright, trade secret

or industrial design rights, arising from the use of products or any part thereof in

India or internationally. The selected bidder shall expeditiously meet any such

claims and shall have full rights to defend itself therefrom. If the Reserve Bank

is required to pay compensation to a third party resulting from such

infringement, the vendor shall fully reimburse the Reserve Bank therefor,

including all expenses and court and legal fees. The vendor shall also

indemnify the Bank in respect of any third party claim in respect of any

Intellectual Property Rights (IPR) violations alleged or raised on account of the

services rendered by the vendor to the Bank.

b) The vendor shall also be liable to indemnify the Reserve Bank, at its own

cost and expenses, against all losses/damages, which the Reserve Bank may

suffer on account of violation by the vendor of any or all national/international

trade laws, norms, standards, procedures, etc.

j) Force Majeure i) Neither party shall be responsible for any failure to perform due to unforeseen

circumstances or due to causes beyond the defaulting partys control even after

exertion of best of efforts to prevent such failure, which may include but not be

limited to, acts of God, war, riots, embargoes, strikes, lockouts, acts of any

government authority, delay in obtaining licenses or rejection of proposal under the

statutes, fire or floods.

k) Special conditions a) In case the date fixed for opening of proposals is subsequently declared as

holiday, the revised date will be notified. However, in absence of such

notification, the proposals will be opened on next working day with the time and

venue remaining unaltered.

l) Other Conditions: i) If deemed necessary, the Bank may seek clarifications through email id

provided in the Annex II of this RFP on any aspect from the vendor. However,

that would not entitle the vendor to change or cause any change in the

substantive part of the documents submitted.

ii) Proposals once submitted cannot be withdrawn or altered by the vendor and

the same will be treated as final.

iii) The Bank reserves the right to select or reject any proposal without assigning

any reason thereof.

iv) Bills/licenses submitted by the vendor may be checked by the Bank at any point

of time.

m) Guidelines of Sexual Harassment Act 2013: i) The vendor shall be solely responsible for full compliance with the provisions of

The sexual harassment of women at workplace (Prevention, prohibition and

redressal) act, 2013 and for educating its employees about the same. In case

of any complaint of sexual harassment within the premises of the bank is

received against the employee of the vendor or the bank the same will be

referred to the Internal Complaints Committee of the bank constituted under the

said act.

ii) The vendor shall be responsible to pay any monetary compensation to the

victim in case the incident involves the employees of the vendor, for instance

any monetary relief to Bank's employee, if sexual violence by the employee of

the vendor is proved.

iii) The vendor shall provide a complete and updated list of its employees who are

deployed within the Bank's premises.

n) Dispute Resolution: All disputes and differences of any kind under this RFP and agreement shall be

referred to the sole arbitrator i.e. Chief General Manager,

Department of Communication, Central Office, Reserve Bank of India, Mumbai

and the decision of the authority, in writing, shall be final and binding on the

Service Provider. However, for any dispute/issue, not settled through

arbitration, the legal jurisdiction shall be Mumbai only. Alternate settlement

modes can be used for settling any legal dispute with mutual consent only.

(VII) EVALUATION PROCESS

i) All proposals received will be scrutinized to assess their eligibility based on the

eligibility criteria. The proposals which do not meet the eligibility criteria will be

rejected, forthwith, or at any stage of detection.

ii) If deemed necessary, the Bank may seek clarifications on any aspect from the

bidder. However, that would not entitle the bidder to alter or cause any change

in the material information of the proposal already submitted.

iii) The evaluation process will be done by the Bank, on the basis of examination

of documents, certificates, declarations etc. submitted by the vendor as

required.

iv) Final selection will be made on the basis of marks obtained in the matrix for

financial quote provided for the purpose (Annex V). Bidder obtaining the

highest marks in the matrix and satisfying other eligibility criteria will be

awarded the contract.

1 View Question and Answer feature- This should allow viewing the participants connected in the conference call along with their company name. It should also allow chatting with the operator who is managing the conference and prioritize the question queue.

2 Post a question feature- This should allow collection of questions from the participants well in advance by publishing it on the Banks website. Company should have the capability to provide an admin access to RBI to view all questions posted till the time of the call.

3 Registration feature- A feature to allow participants to register for the conference calls in advance and links to their calendar like a meeting invite. Once registered, participants can then join to the conference call instantly using the dial in details received from the registration process without going through an operator.

4 Redundancy and Network backup: Numbers from 2 or more service providers for conference call redundancy and network back up.

5 Open Ports for upto 2000 participants for the conference call.

6 Onsite Support- For every event of Reserve Bank, providing a person for onsite technical support, inspection of Phone line, instruments and coordination during the conference call.

on the same. You shall be required to enter details pertaining to your firm and

choose username and password.

e) On successful submission of registration form, you will receive a confirmation

email stating that your online registration has been completed and you will get

a unique vendor number. Kindly note the same for future correspondence with

MSTC LTD.

f) On completion of registration, Login as vendor by going on the portal of RBI

only and map your DSC. You shall be required to have Class III signing type as

well as encryption type DSC (DSC related information is given below**).

g) Once the above steps are completed, before the event of RBI, you have to do

certain browser settings. The details of which are attached. You can also follow

h) After Browser settings are completed, download the NIT from the link

download NIT available in your login and study all the information carefully

and proceed accordingly.
