A) That it is an Agency of the Executive Branch of the State, pursuant to the provisions of Article 22 Section XIII and Article 42 of the Public Administration Code of Yucatan; 4 and 5 of the Rules of the Public Administration Code of Yucatan.

B) That Ing. David Jesus Alpizar Carrillo, in his capacity as Official of the Secretary of Economic Development ofthe Executive Government Branch of the State of Yucatan, has the power to enter into this Contract in accordance with Article 11, Paragraph A, Section XII, Paragraph B, Sections III, VI, XI and XIV and Article 475, Section IX of the Regulations of the Public Administration Code of Yucatan, and .evidences his capacity pursuant to an appouttrrient granted in his favor by tiie Constitutional Governor of the State, Licenciado Rolando Rodrigo Zapata Bello, on October 1, 2012,

C) That it requires professional support and consulting services for the Office of the Secretary for the attraction of Foreign mvestment to the State of Yucatan, as well as the representation and promotion ofthe State in the Industrial sectors of the United States of America, by virtue of the fact that the related activities are not the same or equivalent to those carried out by the budgeted or core personnel.

D) That in order to carry out this transaction it has the budged availability for the execution of this contract, aôrdiuig to the following budgeted items: a) 12.01.01.11.02.0L333I.02695, for attorney's fees; and b) 12; 01.01.11.02.01.3811.02695, for travel and transportation expenses.

F) That its Official is not under any irnr^diment for the acquisition of the rendering of services, the subject of this contract, by virtue of not being subject to the matters referred to in Article 27 ofthe Law of Acquisitions, Leases and Rendering of Services Related to Personal Property of the State.

G) That based on Article 11, Paragraph B, Section VII, 485 Sections I , II and VII ofthe Regulations of the Public Administration Code of Yucatan the responsible party for follow up, surveillance and control of the performance of the obligations and objectives contained in this Contract, is the General Director of Investment and Trade Development of the Ministry of Economic Development of the Executive Branch of the State of Yucatan,

H) That, it was adjudicated directly under Article 25 of the Acquisitions Law of Leases and Rendering of Services Related to Personal Property of the State arid the other applicable norms, with the prior authorization of the Committee for Acquisitions, Leases and Rendering of Services Related to Personal Property of the Agencies and Entities of ihe Public Administration of the State of Yucatan, as set forth in the Instrument with respect to said Committee, which is attached hereto.

A) That it is a limited liability company, legally established under the laws of the United States of America, named "The MRB Group, LLC**, as evidenced by the document attached to this Contract.

B) That Mr. Ralph Alfons Biedermann, has the necessary representative capacity to enter into this Contract, as such is evidenced with the document mentioned hi the prior paragraph. That said appointment and powers have not been revoked or limited in any manner, therefore he has the capacity to bind his principal pursuant to this instrument.

Main Street, McAUen, Texas, 78501, who does perfectly speak, read and write the Spanish language, and who will inform Mr. Ralph Alfons Biedermann of the contents and scope of this legal document.

E) That its principal has the capacity, experience, means and resources necessary to render in fevorof SEFOE, the services for which it was contracted.

F) That it Indicates as its domicile to hear and receive notices related to this contract the property located at 12.833 Atkinson Road, Lake Bluff, IL 60044.

Now therefore, both parties agree to execute this Independent Professional Services Contract, in accordance with the following:

ARTICLES

FtRST^ PURPOSE; Under the terms of this instrument the appearing parties execute this Independent Professional Services Contract, for the purpose of having the Service Provider support and advise the Office ofthe Secretary of Economic Development of the Executive Branch of the (^vemment of the Slate of Yucatan, in its activities for the attraction of foreign investment for the State.

SECOND.- RENDERING OF SER VICES: The SERVICE PROVIDER is obligated and agrees to grant the following services:

I . Represent and promote the State of Yucatan before the diverse industrial sectors in the United States of America;

I I . Arrange for SEFOE, work meetings and business visits with companies interested in Carrying out new investment projects, for the purpose of promoting Yucatan as the best mvestroueht option; and

I I I . Develop and report on a continuous follow up with the contacted companies. IV. As well as any other service that is required in relation to the purpose of such.

THIRD.- CONSIDERATION: SEFOE and the SERVICE PROVIDER agree that the first shall pay the second with respect to the concept of fees and travel and transportation expenses, the total amount of $780,000,00 Mexican Currency (IT IS: SEVEN HUNDRED EIGHTY THOUSAND PESOS MEXICAN CURRENCY), which second party shall issue the corresponding receipt for the fees, and/or invoice and/or tax receipt in favor of the Department of Administration and Finances, which document shall fulfill the tax requirements established by the current tax legislation, and such receipts shall serve as the most effective document legally applicable, which amount shall be payable within thirty (30) days after the month the services were provided.

For said effect, the SERVICE PROVIDER shall submit to SEFOE the receipt for fees and/or invoice and/or the corresponding tax receipt, which shall be issued with the following information:

FOURTH.- MANNER AND PLACE OFPAYMENT OF FEES: The amounts correspxmtfng to the concept of fees for the services contracted will be covered in national currency and shall be paid in the follo wing manner:

For the issuance ofthe amounts for travel and trarrspoTtation expenses in relation to the above clause, the SERVICE PROVIDER will have to receive prior aiôrizatiott from the Secretary of the Offices of SEFOE, which authorization may be made in writing and sent via courier or by email where such approval is approved- In the event of not having such approval, if the SERVICE PROVIDER generated or incurred any expense, it shall not be entitled to a reimbursement and/or refund of said travel and transportation expense.

BOTH PARTIES agree, that in the event that the SERVICE PROVIDER shall require in the same month an amount higher than that established in the above clause, the SERVICE PROVIDER shall have to justify in writing the reasons for such increase, and SEFOE shall authorize such in writing or via email, and in the absence of such authorization i f the SERVICE PROVIDER generated or incurred any expense for such, it shall not be entitled to a reimbursement and/or refund of said travel arid transportation expense.

the SERVICE PROVIDER acknowledges hereby that the expenses provided by SEFOE for compliance ofthe purpose of this contract, shall be in accordance with that established by SEFOE's corresponding standards, that is, by means of the "Guidelines for the Assignment of Commissions, Expenses and National and Foreign Travel."

SEVENTH: THE DELIVERABLES OR REPORTS; The SERVICE PROVIDER undertakes and agrees to deliver to SEFOE within the first 10 business days of the corresponding month, a report of its activities related to the period immediately preceding, which report shall be presented to the General Director of the Investment and Trade Development of the SEFOE, the Department of Economic Development. Said report will be provided in the following manner:

I . The bimonthly report describing the activities carried out that comply with the objectives of SEFOE in promoting the State of Yucatan.

EIGHTH.- SERVICE PROVIDER'S OBLIGATIONS: The SERVICE PROVIDER covenants and agrees by way of enunciation and not a limitation thereof to the following:

I . Deliver its reports and bimonthly lists in a tirnely manner and form; IL Request authorization from the Secretary of SEFOE to carry out any business trip; IIL Deliver proof of the expenses (travel and transportation expenses) of each trip previously

authorized by the Secretary of SEFOE. IV. Any other matter that is contemplated in this contract, or that, was entrusted subsequent to it to

the execution of this contract, as long as it was stated and agreed to by the in writing,

ELEVENTH.- CONFIDENTIALITY: The SERVICE PROVIDER covenants and agrees riot to transfer partially or totally the rights arid obligations arising from this contract, nor to divulge or disclose the information or documents that SEFOE riiay provide for the entrusted activity, or give information to persons other than those indicated by SEFOE, being directly responsible for the damages and losses caused to SEFOE and/or third parties by negligence, irialpractice, or bad faith in the rendering of the services which it is obligated to carry out.

SEFOE agrees to provide all the resources necessary for the SERVICE PROVIDER'S personnel, as well as their supervisors, to perform the service contracted, with the right to make iwomiriendations or mdications that it deems necessary for the better performance of the services.

TVVTXFTH.- RELATIONSHIP BETWEEN THE PARTIES: The SERVICE PROVIDER acknowledges that it executes this contract as a r^fesspnal services provider independent from SEFOE, and by virtue of such, for no reason or under any circumstance shall it be considered as an officer, representative, agent, worker or clerk of SEFOE, and accordingly, it has no power and/or authority to celebrate any contract, incur in debt, obligation or liability on behalf of SEFOE.

Likewise, it is expressly agreed by the parties that when the SERVICE PROVIDER relies on support staff in the exercise of its activities, canying out the activities assigned to it, such personnel will depend solely and exclusively on it, without establishing a labor relationship or any other type of relationship with said personnel and the SEFOE, the SERVICE PROVIDER being liable for all responsibilities arising from the use of the services of the supporting personnel, not assigned to it by SEFOE, which entity shall at no time may be considered as a substitute or jointly liable employer.

By virtue of the foregoing, the SERVICE PROVIDER will pay the compensation and will keep under its responsibility all the personnel recruited in order to accomplish its purposes, and agrees to hold SEFOE tree and harmless from any claims that might be made by private third parties or authorities regarding the performance of the contracted services.

By virtue ofthe foregoing, the SERVICE PROVIDER agrees to at all times look out for the interests of SEFOE, as well as to conduct itself in an honest and responsible manner during the r^rforrnance of its services,

THIRTEENTH^ EARLY TERMINATION: SEFOE may terminate this contract at any time without the need to justify this determination and without any liability, by a fifteen (15) calendar day prior written notice to the SERVICE PROVIDER, from the date that SEFOE determines for such termmation. Such ternimation does not relieve the parties from their obligations and/or rights.

FOURTEENTH.- TERMINATION: If one or more of the causes and/or events de;scribed w the following article occur, SEFOE may then terminate this contract without judicial intervention and without any liability, upon prior written notice to the SERVICE PROVIDER, within a term of 2 days from the date that SEFOE determines for such termination and without prejudice to the other legal actions to which it is entitled to carry out to safeguard its interests,

FIFTEENTH.- CAUSES FOR TERMINATION: SEFOE may terminate this contract, without liability to it in the following cases, which are set forth by way of enunciation and not in limitation thereof:

a) If the SERVICE PROVIDER breaches any ofthe terms and conditions established in mis contract.

b) If Ihe SERVICE PROVIDER does not carry put die services contracted at the times and places agreed upon.

c) If the:SERVTCE PROVIDER unjustifiably suspends the services for which it was contracted.

d) If the SERVICE PROVIDER does not deliver the expected deliverables ofthe contracted services in a timely forth and njanner.

e) When the various applicable provisions so indicate.

SIXTEENTH.- ASSIGNMENT OF RIGHTS: The SERVICE PROVIDER may not assign or transfer its rights and obligations under this contract without the prior written authorization of SEFOE..

SEVENTEENTH.^ EXPERT TRANSLATOR: The SERVICE PROVIDER since he does not understand the Spanish language 100% since it is not Ms native language, designates Mr. Daniel Cavazos as Translator, who is a person in whom he trusts.

Mr. Daniel Cavazos accepts said designation to be the Translator, since he speaks, reads and writes perfectly the Spanish language, and who is committed to faithfully carry out the entrusted position, and who wUl inform Mr. Ralph Alfons Biedermann of the contents and legal extent of this legal document.

SEFOE has no objection to the designation of Mr. Daniel Cavazos, as trustworthy translator for Mr. Ralph Alfons Biedermann,

EIGHTEENTH.- MODIFICA TIONS; This contract may be modified or amended by mutual agreement of the parties, and said modifications or amendments shal l be valid only when they have been done in writing and signed by the parties, therefore any such agreement done in an oral fashion will lack any legal validity.

NINETEENTH.- NOTIFICATIONSr The notifications that BOTH PARTIES should or wish to give each other in accordance to this Contract, shall be done in writing and/or certified mail with return receipt or by any other means that ensures that the interested party will receive the notification in question, at the following domiciles:
