 Item 2.02         Results of Operations and Financial Condition 

On April 25, 2017, Realty Income Corporation (the “Company”) issued a press release setting forth its results of operations forthe quarter ended March 31, 2017.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein byreference.  This information, including the information contained in the press release, shall not be deemed “filed” for purposes ofSection 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and is not incorporated by reference into anyof the Company’s filings, whether made before or after the date hereof, regardless of any general incorporation language in any suchfiling.

Thecalculationtodeterminenetincomeforarealestatecompanyincludesimpairments,gainsonpropertysalesand/orfairvalueadjustmentsoninterestrateswaps.Theseitemscanvaryfromquartertoquarterandcansignificantlyimpactnetincomeandperiodtoperiodcomparisons.Funds From Operations Available to Common Stockholders (FFO)FFOforthequarterendedMarch31,2017increased9.7%to$187.2million,ascomparedto$170.6millionforthesamequarterin2016.FFOpershareforthequarterendedMarch31,2017increased4.4%to$0.71,ascomparedto$0.68forthesamequarterin2016.Adjusted Funds From Operations Available to Common Stockholders (AFFO)AFFOforthequarterendedMarch31,2017increased14.4%to$201.3million,ascomparedto$175.9millionforthesamequarterin2016.AFFOpershareforthequarterendedMarch31,2017increased8.6%to$0.76,ascomparedto$0.70forthesamequarterin2016.The company considers FFO and AFFO to be appropriate supplemental measures of a Real Estate Investment Trust’s (REIT’s) operatingperformance. The properties are leased under long-term, net leaseagreementswithaweightedaverageremainingleasetermof9.7years.Portfolio Management ActivitiesThe company’s portfolio of commercial real estate, owned primarily under 10- to 20-year net leases, continues to perform well and providesdependablerentalrevenuesupportingthepaymentofmonthlydividends.AsofMarch31,2017,portfoliooccupancywas98.3%with83propertiesavailableforleaseoutofatotalof4,980propertiesintheportfolio,ascomparedto98.3%asofDecember31,2016,and97.8%asofMarch31,2016. Economic occupancy, or occupancy as measured by rental revenue, was 99.0% as of March 31, 2017, as compared to 98.9% as ofDecember31,2016,and98.8%asofMarch31,2016.Since December 31, 2016, when the company reported 84 properties available for lease, the company had 60 lease expirations, re-leased 49propertiesandsold12vacantpropertiesduringthequarterendedMarch31,2017.Ofthe49propertiesre-leasedduringthefirstquarterof2017,46propertieswerere-leasedtothesametenantsandthreewerere-leasedtonewtenantsafteraperiodofvacancy.Theannualnewrentonthesere-leases was $8,007,000, as compared to the previous annual rent of $7,731,000 on the same properties, representing a rent recapture rate of103.6%onthepropertiesre-leasedduringthequarterendedMarch31,2017.Rent IncreasesDuring the quarter ended March 31, 2017, same store rents on 4,322 properties under lease increased 1.6%to $250.2 million, as compared to$246.2millionforthesamequarterin2016.Investments in Real EstateDuring the quarter ended March 31, 2017, Realty Income invested $370.7 million in 60 new properties and properties under development orexpansion,locatedin18states.Thesepropertiesare100%leasedwithaweightedaverageleasetermofapproximately16.4yearsandaninitialaveragecashleaseyieldof6.1%.Thetenantsoccupyingthenewpropertiesoperatein13industries,andthepropertytypesare98.7%retailand1.3%industrial,basedonrentalrevenue.
