GENERAL TERMS & CONDITIONS

1. The details of Systems / Equipments are as under.

Category One – Installation of main security gadgets (a) Burglar Alarm System Multi Zone Microprocessor (expandable to 24 Zones) based,

Automatic Security Alarm Panel with IP CMS connectivity with GSM & PSTN Dialer, (b) CCTV system – HD/NVR/Pentabid DVR, Cameras (Analogue, HD & IP) (c) Automatic Fire Detection and Alarm System– Conventional and Addressable with accessories (d) Fire cum burglar Alarm System (integrated) (e) ATM DVRs, Pinhole Cameras (f) CCTV system for Cash Vans

Category Two Installation of other security gadgets (g) Cash Cabin Door Alarm (h) Auto Dialers (i) Time Locks (Manual, Electronics) (j) Metal Detectors (Hand held and Door Frame Metal Detectors) (k) Cash Van Alarm (l) Access Control System (Biometrics, Proximity)

Category Three– AMC/CAMC of above items

2. All documents attached with the RFP, including specifications are necessary for considering any offer as complete offer. It is therefore important that RFP Acceptance Letter Appendix ‘A’ which is a written undertaking that all the terms and condition of the RFP are understood and accepted should be signed and submitted along with the offer.

3. The Offer must be submitted along with methodology of support to meet the requirements, staffing plan, repairing facilities, repairing mechanism, maintenance strategy, support mechanism and all documents as specified in the RFP. Incomplete/conditional offers, offers not conforming fully to RFP requirements or with vague replies will not be considered.

4. Full name and status of the Authorized Signatory signing the Offer documents must be clearly mentioned in the Offer/bid documents. The Vendor applying against the subject RFP are informed that all relevant details with reference to the RFP stipulations are clearly responded. In case any of the RFP stipulations are not clearly stated to/ replied to by any of the bidders, no repeat no clarifications will be sought from the concerned bidder and its offer will be rejected out-rightly.

5. Bidder shall keep the offer open for a minimum period of 180 days from the date of opening of the Bids within which period the Bidders cannot withdraw their offers including the period being extended further, if so required, by mutual agreement. Any contravention of the above conditions will make the bidder liable for forfeiture of their Earnest Money Deposit.

6. AIM OF EMPANELMENT To create and have a pool of readily available Vendors for provision on Rent, Supply, Installation & AMC/ CAMC of Security & Fire Safety Equipments/ Gadgets for Branches/ ATMs/ Administrative Offices etc at competitive rates without loss of time and are also able to provide after sales service to ensure all time serviceability of the security equipments.

Empanelment shall be done for support of all equipments / items specified in Para.1a to 1f above or similar solutions. Bids submitted for support of individual equipments item/ items shall not be entertained.

7. SCOPE OF THE WORK Supply, Installation, Maintenance and also Provision on rent (OPEX model) of Security Gadgets like Burglar Alarm System, Fire Alarm, Auto-dialers, CCTV surveillance system, GPS tracking device etc. in the branches/offices of the Bank all over its operational area mentioned above. The Empanelment by the Bank should in no way be construed as work order. Work order for supply/ installation/maintenance shall be placed by the bank as per requirement, as and when it arises. After evaluation of price bids received for CapEx and OpEx model, bank shall explore better options and may follow any or both options as per need of the bank.

8. EARNEST MONEY DEPOSIT a. The bidder shall have to deposit earnest money in the form of TDR of Rs.2,00,000/- (Rupees Two Lakhs

Only). It should be valid for six months from the last date of proposal submission. The offer without Earnest Money Deposit, as specified above would be considered as non-responsive, incomplete and shall be outrightly rejected. b. The EMD shall be released/ returned to all the bidders except successful bidders after finalization of empanelment process. In case of successful bidders the EMD shall be released after receipt of requisite Performance Guarantee. In case of un-successful bidders, EMD shall be returned by registered post or to any representative from the firm on production of authority letter, signed by authorized signatory Specified in the Bid Document. Proper receipt on letter head signed by the Authorized Signatory & specifying the authorization letter shall be enclosed with such authorization letter. c. The EMD submitted to the Bank may be invoked and amount forfeited in case the bidder backs out from the offers made by it under empanelment process after being declared as successful Vendor.

d. If any firm is exempted by the competent Govt Authorities to submit EMD/cost, notarized copy of these sanctions issued by such authority clearly in the name of the firm shall be enclosed. In case any financial limit is specified in the sanction, the Firm shall submit an undertaking that the sanction is still valid as the limit is not exhausted.

9. PRE-QUALIFICATION CRITERIA Qualification criteria given below specify minimum mandatory qualification criteria in various areas to ensure that the bidder has necessary experience, expertise, financial strength and skilled human resource to provide quality service to the Bank:

I. The Bidder should be a financially strong profitable company/ firm/ proprietorship involved in supply, installation & maintenance of Burglar Alarms, Fire Alarm Systems and CCTV systems etc and should have made net profit in the last three financial years i.e. 2016-17, 2017-18, 2018-19 and should furnish the documents like audited balance sheet. In case balance sheet for the year 2018-19 is not yet audited, provisional balance sheet may be furnished.

II. Should have a turnover of Minimum Rs. 50 Lakh per year on account of similar services, in last 3 years (furnish balance sheets).

III. Should have GST Registration.

IV. Should submit Bank Solvency Certificate of minimum Rs. 10 Lakhs to establish the financial soundness of the bidder. (The Solvency Certificate shall be issued by any scheduled or commercial Bank, addressed to “The General Manager, Prathama UP Gramin Bank, Moradabad, clearly specifying the RFP Number in the Subject Line or Matter). Solvency Certificate if not submitted as specified here would be considered as non-responsive and incomplete.

V. Should have been offering services to Public Sector/ Regional Rural Banks for the past 5 years in respect of main equipments (para 1a to 1c) as on 01.04.2019. Please attach valid proof.

VI. Should be on the panel of minimum 2 Public Sector Banks (PSBs) / Regional Rural Banks (RRBs) on 01.04.2019 for supply, installation and maintenance of main equipments (para 1a to 1c). Please attach valid proof.

VII. Should have current /valid AMC on 01.04.2019 with minimum 2 PSBs/ RRBs for Similar Services (AMC of all main equipments i.e. para1a to 1c) and should have undertaken AMC for at least 100 branches of one or more public sector/ regional rural banks during each of the last three years i.e. fy 2016-17, 2017-18 and 2018-19. Out of which more than 50 branches shall be rural branches of one or more banks. Details are to be submitted with proof as per Appendix ‘B’.

VIII. Should have undertaken Installation of minimum 50 Units each of first three equipments (para 1a to 1c) in past three years 01.04.2016 to 31.03.2019 in one or more PSBs/RRBs. Details are to be submitted with proof as per Appendix’B’.

IX. Should have registered office or effective infrastructure or workshop for undertaking repair of equipments in the state of UP, preferably in the bank’s operational area, equipped with requisite spare parts & adequate trained manpower for providing flawless day to day maintenance services. The details of the infrastructure available for after sale services to be enclosed with the technical bid. Please attach valid proof. X. Should be an income tax assesses and should have filed IT return for the last three Assessment Years, with valid PAN/TAN. Should be following all statutory guidelines of Taxation. XI. Should be Original Equipment Manufacturers (OEMs) and/or authorized dealer of the OEM, capable of providing integrated solution of supply, installation, after sale services and maintenance of the system provided. If not OEM, a letter of authorization from OEM is to be submitted as per Appendix ‘C’. XII. A Satisfactory Service Certificate in respect of security systems i.e. Fire Alarms, Microprocessor Based Burglar Alarms and CCTV cameras installed by the bidders is to be obtained from 02 most recent clients (Public Sector/ Regional Rural Banks) & attached in original with the technical bid. Satisfactory Service Certificate should have not been obtained earlier than 01 Apr 2019.

Documentary proofs are required to be submitted alongwith technical bid in respect of every qualification criteria, in case of non submission or submission of defective proof, bid shall be rejected. Additional qualifications like ISO or other quality certifications may give additional weightage to the bidder in the empanelment process. Bidders shall provide complete details about themselves as per Appendix ‘D’ by attaching necessary papers in the same order in which they are mentioned in the Appendix D. All the above criterias are mandatory unless relaxed by the Chairman Prathama UP Gramin Bank. Indicative QRs, Technical and other Specification of various Items of all Categories shall be as specified in Annexure ‘E’ for reference. (These are the minimum specification required. Any equipment / solution of same or superior QRs/ solution with same or better output shall be accepted for technical scrutiny). The bidders will be considered for empanelment only if they meet all conditions specified in this RFP and screening being done by the Bank.

10. SERVICES FROM VENDORS a. AMC or CAMC of items After successful empanelment of Vendors, Branches shall be distributed amongst the empanelled Vendors. The Vendors shall take over AMC or CAMC, as the case may be. The bank will ascertain the ground/ field requirement and may award CAMC or AMC to the empanelled vendor. AMC /CAMC will be decided during finalization of processes as specified under:- b. General aspects (AMC /CAMC) Site response time: The AMC Vendor shall turn up for attending the problem within a period of 48 hours

from the time of registration of the complaint, failing which may attract penalty and shall repair / replace/

provide solution within a period of three working days from the date of registering of the complaint. This would not include bank holidays. In case the equipment could not be brought into working conditions within the time specified above or equipment is required to be taken to the workshop for major repairs, the Vendor shall provide a substitute so that the working of the system should continue, failing which may attract penalty.

c. Preventive Maintenance visit by AMC Vendor:- At least one mandatory Preventive Maintenance visit shall be arranged by AMC provider once in each quarter even if there is no complaint from the branch. Details of the visit shall be recorded in the Security Equipment Register and a copy in detail shall be forwarded to the concerned RO. d. Procedure for ‘On Call Visits’,

• whenever required by branches to attend any complaint or repairs:

• The branch will be making the telephone calls to register the complaint (on telephone number of the AMC provider or by email).

• While registering the complaint, a complaint number shall be generated, by service provider, with date and time and inform branch as well as concerned RO.

• Likely time of deputing the technician shall be informed to the branch by the Vendor.

• When the technician from the AMC provider visits the branch / repairs the system, he shall make entry against the complaint in the register with details of the defect, its rectification as well as present status.

• The Officer in charge of the branch shall endorse his remarks against rectification of each and every complaint.

• Maintenance/ Repair log for each equipment shall be recorded and shall be kept updated in the register

e. Service Reports: The repair shall be carried out at the branch itself. In case equipment is required to be taken to the workshop for repairs, the substitute / stand by system shall be provided by the AMC provider. Service report shall be duly completed after the closure of the complaint which shall be signed by the technician and officer in charge of the branch/ office.

• First copy shall be handed over to the Branch.

• Second copy shall be sent to the RO by the Vendor.

• Third copy may be retained by the AMC provider as record.

• Consolidated summary of branch visits shall be sent once in a quarter to HO, e.g. first week of July, October, January and April. This shall include details of Preventive Maintenance visits, on call visits and also the repair work done by the technician.

f. All services and repairs shall be carried out by the Vendor as part of CAMC. No extra cost will be paid, other than CAMC rates. CAMC will cover replacement of every component excluding HDD, and Batteries. (Expendable Items). Every time the technician visits, he shall clean, check, service and repair all components for its serviceability.

g. In case the equipment is replaced with new one, irrespective of reasons and through any of the suppliers during the currency of the CAMC, the CAMC of the old/ unserviceable item will be ceased. The part replaced shall be taken by the CAMC vendors as per buy-back system to be finalized. h. The Vendor who is undertaking the AMC/ CAMC and the Vendor who had supplied / installed CCTV system during warranty, shall have the system of HDD cloning or shall get the HDD cloned, without loss of any data, so that on requirement, entire HDD can be duplicated for investigation within a short time span. Vendors to provide details of their key personnel as per Appendix ‘F’.

11. OTHER CONDITIONS a. All entries in the offer form should be legible and filled clearly. b. If the space for furnishing information is insufficient, a separate sheet duly signed by the authorized signatory may be attached. c. The cuttings, if any, in the Technical Bid/ Application must be initialed & sealed (with name) by the person authorized to sign the bids. d. No costs incurred by the applicant in applying, in providing necessary clarifications or attending discussions, conferences or site visits will be reimbursed by the Bank. e. The evaluation will be based on the details furnished and inspection of works, eligibility criteria. Decision of the Bank regarding selection / rejection for empanelment will be final and binding and no further correspondence will be entertained. The empanelled vendors will only be informed by post /email.

f. If information and details furnished by applicants are found to be false at any time in future or any information withheld, which comes to the notice of the Bank at a later date, the empanelment of such applicant will be cancelled immediately.

g. The Offers received after due date and time on account of any reason shall be returned unopened.

h. The applicant should not have been blacklisted by any Bank/ Institution in past 10 years or services

terminated due to poor performance. An undertaking stating that the company/ firm has not been blacklisted or depanelled due to poor performance in past ten years should be submitted along with technical bid.

i. Bank will be considering factors like equal opportunities, level of service and other aspects which are in the interest of the Bank in addition to the price factor, and shall reserve the right of awarding the job in each case for each category j. The bank reserves the right without assigning any reasons whatsoever, to:

i) Accept or reject the application either in whole or in part.

ii) Reject any or all the applications partially or wholly.

iii) Cancel or withdraw this RFP at any stage.

iv) Accept or reject any deviation from these conditions. 12. CONTRACT

a. The successful bidders who are selected for empanelment will be allotted with specific branches / ATMs for providing CAMC or AMC as the case may be, by the bank. This is in addition to the new Installation during the Empanelment period.

b. The bidder shall sign the contract / agreement as per terms and conditions specified in the RFP. The format of Agreement will be provided after finalization of empanelment.

c. If the Vendor fails to perform any of the obligations and/or the Bank is dissatisfied with the services, the Bank shall terminate the services of the vendor and forfeit the PG along with a notice of winding up. In such case the vendor shall move out from all our premises within a period of one month of written notice. Bank shall not be liable for any cost, damages, expenses or any loss whatsoever that the Vendor may suffer on being served with the winding up notice.

13. Undertaking The bidders shall submit an undertaking on the letter head of firm/Company, signed by authorized signatory with Name, Designation and Office Seal and shall be as per Appendix ‘G’ 14. No Commitment to Accept Lowest or Any Other Offer BANK shall be under no obligation to accept lowest or any offer received in response to this notice and shall be entitled to reject any or all offers at any stage without assigning any reason whatsoever.

15. PERFORMANCE BANK GUARANTEE (PBG)

a. The successful bidders shall be required to deposit a Performance Bank Guarantee worth Rs 2,00,000/- (Rs. Two Lakh only) from a Nationalised Bank as Performance Security after empanelment.

b. Once the PBGs are submitted the EMD will be returned on submission of Authority Letter & Pre-receipt Challan from Authorized Signatory.

c. Failure on the part of the vendor to deposit the PBG within stipulated time will make the Empanelment Null and Void.

d. The validity of PBG will be up to 60 months from the date of agreement.

e. If the bidder fails or neglects any of his obligations under the contract it shall be lawful for the Bank to forfeit either whole or any part of performance security furnished by the bidder as compensation for any loss resulting from such failure.

f. The PBG shall be forfeited in case contractor fails to perform his duties to the satisfaction of the Bank.

g. Where the Currency of Warranty of any item/ equipments is in force, even after the expiry of Empanelment, the PBG shall be returned only after completion of Warranty Period.

h. The Vendor will have to furnish the PBG on the Performa as provided by Appendix’H’. 16. PENALTY a. In case the Vendor is not able to provide proper support during Empanelment/ CAMC, Penalty clause shall be applicable as per details given below. The penalty will be levied over and above other related recoveries if any.

Nature of Default Observed/Caused/Reported etc Penalty to be imposed

Failure to depute the engineer/ technician to the branch within 48 hours from the date of registering of the complaint. This would not include bank holidays

` 100/- per day (for the

period after 48 hours)

Failure to repair the system/ provide suitable substitute within three working days from the time of lodging the complaint, whether the repair is of minor/ major nature. This would not include bank holidays

` 200/- per day

(After first three days till closure of the complaint)

b. If the system is not made serviceable / or not provided suitable substitute after 5 Bank working days, or above instances are repeated by the Vendor, Bank may consider to impose further penalty like;

i.Reduction of Branches / Sites for support with one month’s notice ii.Termination of the Contract and forfeiture the PBGs iii.De-panelment, iv.Black listing / Letter to IBA

(Penalty specified above shall be imposed by Head Office after receiving complaints from ROs)

c. The Bank reserves, the right to encash /seize the PBGs deposited by the Vendors in case any deviation is found in the terms and conditions specified in the RFP/ Contract. The Bank shall give the reasons in writing to the Vendor pointing out the deviations while forfeiting the Performance Bank Guarantee.

d. In case of any occurrence of defaults specified above at any Branch/ ATM, concerned branch can take up case with RO for imposing penalty. The RO shall refer the issue to the General Manager, GAD at Head Office.

e. Liquidated Damages:- (Other than AMC/ CAMC): If the Vendor fails to deliver any or all the goods or perform the services within the time period(s) specified in the contract, Bank shall, without prejudice to its other remedies under the contract, deduct from the contract price, as liquidated damages, a sum equivalent to 0.5%( half percent) of the price of the delayed goods or unperformed services for each week of delay or part thereof until actual delivery or performance, up to a maximum deduction of 10% (ten percent) of the delayed goods or services. Once the maximum is reached, the Bank may consider termination of the contract, if the same have not been terminated already.

17. BID SYSTEM - TWO BID SYSTEM:- The bidders shall be shortlisted for empanelment by following two bid system i.e. Technical bid and Price bid. The price bid shall be opened after completion of general, technical and factual evaluation, only in respect of those bidders who qualify for further process, however, all bidders shall submit indicative price bids in a separate sealed envelope alongwith technical bid. Documents specified in the RFP shall compulsorily be submitted along with Technical Bid and shall be flagged properly. The bidders shall submit their indicative price bids as per Price Bid formats. Bidders to note that:

a. No separate sheets or any other conditions shall be accepted.

b. Only the rates shall be mentioned against each item.

d. The AMC / CAMC rates once finalized will be valid till completion of the contract

The bidder shall not offer any price quotes / rates of any equipment / item / AMC anywhere in the Technical Bid. However, they can submit copy of previous invoices with regard to documentation of experience. If any price quote /rate is find in technical bid of any bidder such bidder shall stand disqualified without any information.

18. EVALUATION PROCESS. a. Stage I (General Evaluation)

The applications incomplete in any respect or not accompanied by the mandatory documents i.e. documents/ certificates / Chalans / receipts/ documentary proofs as mentioned above or without cost of application and EMD shall be rejected.

b. Stage II (Evaluation of technical bid) Offers/bids will be evaluated against the stipulated minimum eligibility criteria based purely on the valid proofs of documents submitted with technical bids by the vendors. Facts mentioned without valid documentary proofs shall not be considered. Offers complying with the eligibility criteria shall be selected in technical evaluation. Evaluation will be done by a Committee of Officers of the bank based on the criterion mentioned in this document. c. Stage III (Factual Evaluation) The Committee, may evaluate/verify the performance of the bidders at any of their existing clients which may include obtaining references /or visiting the clients and the quality of services rendered by the bidders etc. Bidders to submit details of two recent clients for reference/visit as per Appendix ‘I‘. The Committee or any team/ officer so detailed, may also visit the office / premises / repair Infrastructure / workshop /factory etc of the bidders to ascertain the facts being specified in the Bid/ Application. Shortlisted bidders/ applicants, after technical evaluation, will be asked to display their products, gadgets, in our Head Office Complex on the specified date and time. Security gadgets found suitable in the demonstration and approved by the Committee, shall be shortlisted for further process. d. Stage IV (Evaluation of price bid) The price bids of only those bidders who qualify in the general, technical and factual evaluation will be opened. Vendors will have to submit separate price bids as per Appendix ‘J’, ‘K’ & ‘L’. Bids found vague shall be rejected. The bank reserves the right to split the work order among required number of the vendors at the sole discretion of the Bank provided bidders match the price of L1. In case L2 bidder does not match the price of L1 bidder, the Bank will have an option to make the offer to L3 bidder and so on until suitable vendors as per need of the bank are empanelled by the bank. The bank reserves the right to finalise L1 rates by adopting consolidated/ equipment wise/ item wise quotes. Utilization of the services of the vendors among the empanelled vendors is at the sole discretion of the bank depending on the requirement, areas/ regions, branch expansion plan etc. e. Price bids for OPEX model Price bid for provision of equipments on rent is also to be submitted by the bidders as per Appendix ‘M1 AND M2’. The price bid shall be for the entire package as mentioned in the Appendix. Price bid for AMC/comprehensive AMC of the existing CCTV systems is also to be given on Appendix ‘N’. After finalization of empanelment, existing old systems of the bank will be offered for buy back and work of installation on rent (OPEX) shall be allotted to those vendors only who offer/ agree to the best buy back price of the old systems. 19. PAYMENT TERMS

a. In the event of installation, payment will be released by the Branch after verification of successful Installation / activation & working of all equipments specified in the work-order after fifteen days from the date of activation.

b. In the case of AMC, payment will be made on half yearly basis by Branches/ offices. Fifty percent of the charges will be paid after completion of first maintenance visit and remaining fifty percent after completion of fourth visit.

c. Tax shall be deducted at source (TDS) as per the provisions of the Income Tax Department by the Bank while making payment and a certificate to this effect shall be provided by the Bank.

20. ARBITRATION:- In the event of there being any dispute or difference arising between the parties the same shall be referred to the Chairman Prathama UP Gramin bank whose decision shall be final and binding on both the parties. However, if the parties are still not satisfied, the matter shall be referred to the sole Arbitrator mutually agreed by the parties. The Arbitration shall be conducted in accordance with the provisions of the Arbitration and Conciliations Act, 1996 or any statutory modifications or re-enactment thereof and the rules made there under and for the time being in force shall apply to the Arbitration proceedings under this clause. The award of the Arbitrator shall be final and binding on the parties. The venue of the Arbitration shall be Moradabad. The fees, if any, of the Arbitrator shall, if required to be paid before the award is made and published, be shared equally by each of the parties. Arbitration) shall be in the discretion of the Arbitrator who may direct by whom and in what manner, such costs or any part thereof shall be paid and may fix or settle the amount of costs to be so paid.

21. JURISDICTION OF COURT: The courts situated at Moradabad shall alone have jurisdiction to decide any dispute arising out of or in respect of the contract or any term thereof.

22. INDEMNITY: a. The Vendor shall keep the Bank indemnified against claims, if any, of the workmen of the vendor and all costs and expenses as may be incurred by the Bank in connection with any claim that may be made by any workmen.

b. The Vendor shall indemnify the bank against any loss/ damages that the Bank may incur owing to any act or omission by the Vendor, its employees or any of the person deputed by the Vendor at the Bank premises.

23. AMENDMENTS IN THE RFP CONDITIONS: a. At any time prior to the last date for bid-submission, the Bank may, for any reason, whether at its own initiative or in response to clarification(s) requested by a prospective bidder, modify the RFP contents by amendment. Amendment will be published on Bank’s website only and will be binding on all bidders.

b. In order to provide prospective bidders, reasonable time to take the amendment into account for preparation of their bid, the Bank may, at its discretion, extend the last date for bid-submission.

c. Further, the Bank reserves the right to scrap the RFP or drop the empanelment process at any stage without assigning any reason.

1. As specified in the RFP, we are requiring security services i.e. Supply / Installation and Maintenance Support for three major Equipments / Category:

2. The solution being offered shall accommodate all these three aspects.

3. CCTV Surveillance equipments solutions should be catering for the latest compression techniques and storage solutions for increasing demand higher storage at affordable cost without compromising the picture quality and networking capabilities for central monitoring and analytics.

4. Alarm Systems shall be intelligent enough to self diagnose periodically and also should be able to isolate faulty components / zones and resume functioning. 6. This bank guarantee shall remain in operation from the date of issue and we shall not revoke this guarantee during the currency except with your previous consent in writing. You may enforce your rights pursuant to this guarantee in any court or tribunal in accordance with laws of India.

We (the issuing bank) further agree with you, that you shall have the fullest liberty without our consent and without affecting in any manner our obligation hereunder to very any of the terms and conditions of the said RFP or to extend time of performance by the said Bidder from time to time or to postpone for any time or from time to any of the power exercisable by you against the said Bidder and to forbear or enforce any of the terms and conditions relating to the said RFP and we shall not be relieved from our liability by reason of any such variation or extension being granted to the said Bidder or for any forbearance, act or omission on your part or any indulgence by you to the said Bidder.

8. The bank guarantee shall not in any way be affected by your taking or giving up any securities from the Bidder or any other person, firm or company on its behalf or by the winding up, dissolution, insolvency or as the case may be of the Bidder.
