INTRODUCTION This Services Manual has been drafted by Contecon Guayaquil S.A. hereinafter CGSA, on the basis of the

Public Service Concession Contract at the Container and Multipurpose Terminal of the Port of Guayaquil

(TCM) with the Guayaquil Port Authority, signed on May 31, 2007, which CGSA takes on to provide Port

services that were being provided in this Terminal by various port operators and complementary

services companies.

The present document will be of public knowledge and will establish the procedures according to which

customers will be able to access services that are provided in the Port Terminal, since it does not replace

or reform operating regulations of the Port Authority of Guayaquil.

This manual is intended to provide more information to customers and users of the Simon Bolivar Port

of Guayaquil, to ensure its efficient use of infrastructure and a harmonious and sustainable

development during the concession period.

The document indicates the procedures to be applied by CGSA without prejudice to legal attributions,

regulations, and other legal provisions issued by the Port, Maritime and River Transport Authority

(SPTMF), Guayaquil Port Authority (APG), and National Customs Service of Ecuador (SENAE) and other

Government Administrative organs, being able to be modified at all times, in order to take into account

the evolution of the needs in the margin of future development.

CGSA and customers shall respect the procedures established in this document without prejudice to

compliance with current legislation.

CHAPTER I GLOSSARY OF TERMS OF DEFINITIONS

▪ SHIP AGENT: It is the natural or legal person who represents the shipowner in administrative,

commercial, and operational management, as well as in all formalities related to the arrival and stay

of the ship, accepting on behalf of the shipowner the rights and obligations that derive from these

efforts.

▪ AISV: Authorization document of entry for export loads. ▪ STORAGE: Refers to the permanence and custody within the Terminal, yards, warehouses or any

other premises or facility, including special holds intended for refrigerated cargo or dangerous

goods, cargo or containers with import, export or other cargo, subject to destination including all

the resources and activities that are necessary in the provision of such services.

▪ NON-CONTAINERIZED GENERAL CARGO STORAGE IN WAREHOUSES: This is understood as the

storage of non-containerized cargo in warehouses.

▪ NON-CONTAINERIZED GENERAL CARGO STORAGE IN SPECIAL WAREHOUSES: This is understood

as the storage of non-containerized cargo in special holds intended for refrigerated cargo or

dangerous goods.

▪ NON-CONTAINERIZED GENERAL CARGO STORAGE IN YARDS: This is understood as the storage of

non-containerized cargo in shipyards.

▪ CONTAINER STORAGE: Container cargo storage shall be understood as such.

▪ MOORAGE: It shall refer to the operation of securing the ship to the springs of the Terminals through spies, strips, lines, chains, or cables, including all land resources and activities necessary for the provision of such services.

▪ SHIPOWNER: It is the natural or legal person who, as a carrier owns or does not own the vessel,

carries out the navigation of a vessel at its own risk.

▪ GUAYAQUIL PORT AUTHORITY or APG: It is the public law port entity, legal entity with its own

equity and funds, owner of the port and of the facilities that are granted in concession. It is the

granting entity and will exercise control of the Concession.

▪ NATIONAL PORT AUTHORITY: The Undersecretariat of Ports and Maritime and River Transport is

considered as such. A state agency under the Ministry of Public Works, Land Transport, and Ports.

Indirectly, this organism will also be referred to as APN.

▪ GOVERNMENT AUTHORITY: Any agency or authority that forms part of the central or institutional

public administration of the executive function shall be understood as such.

▪ SHIP OR VESSEL: Self-propelled or unloaded vessel, intended for the transportation of cargo and

people. All references in this manual to a vessel or vessels, a ship or ships, shall include, without

exception, their owner, shipowner, charterer and/or agent.

▪ LINE SHIP: Is one that sails under a determined and cyclical route of stopovers operated by a

Shipping Agency and which maintains a frequent regular service to or from the seaport (CGSA). A

ship with same Shipping Agency will also be considered under this denomination, as Replacement

of the holder to cover itinerary for any justified reason.

▪ PROJECT CARGO SHIP: (Loading, unloading, stowing, re-loading and/or reeling) one or more

packages defined as Project Cargo.

▪ CUSTOMS AUTHORITY: This shall refer to the National Customs Service of Ecuador, which for this

purpose will be the highest authority in customs matters within the country, or the entity that legally

replaces it in its functions.

▪ PORT CAPTAIN (PORT CAPTAINCY): It is the Maritime Authority, whose functions are determined

in the Code of Maritime Police.

▪ TO LOAD: This shall refer to taking cargo or a container from its place of Storage, transferring it and

placing it on a land transportation medium, including all the resources and activities necessary for

the provision of said service.

▪ GENERAL CARGO: One that is presented in a solid state and which, when packed or unpacked, can

be treated as a unit, whose shape, dimension, and weight should not exceed 2 cubic meters or 2

tons (per unit) and allows treatment as conventional cargo with equipment and basic port structure.

▪ UNCONVENTIONAL GENERAL CARGO: One that is presented in solid state and that, being packaged

or unpacked, can be treated as a unit, whose shape, size, and weight exceeds 2 cubic meters or 2

tons (per unit) and does not allow treatment as a conventional cargo with equipment and basic port

structure.

▪ SOLID BULK CARGO: Cargo that is not transported in sacks, boxes, or other packing, loaded without

brand or account, such as: grains, seeds, minerals, and others.

▪ LIQUID BULK CARGO: It consists in cargo that is transported in a liquid state, without packaging, in

ship tanks and in other places.

▪ PROJECT CARGO: Consists of any cargo whose individual weight exceeds 30 metric tons or

dimensions exceed the dimensions of an ISO container of 20, 40 or 45 feet. Those goods that,

because of their value or risk, involve the adoption of special methods and precautions for loading,

unloading, handling and storage, are also considered as Project Cargo.

▪ SUBJECT TO WEIGHING CARGO: Import and export cargo that competent authorities have to

receive weighing service during their entry, stay, and/or exit from port facilities.

▪ VGM CERTIFICATION: It is the document required by the International Maritime Organization

(IMO), under an amendment to the International Convention for the Safety of Life at Sea (SOLAS),

which requires that the gross mass of a full container be verified before the Container is loaded onto

the ship. The requirement of this document is regulated by SPTM through resolution MTOP-SPTM-

2016-088-R of June 16, 2016.

▪ CGSA: Refers to CONTECON GUAYAQUIL S. A., Port of Guayaquil concession operator. ▪ CONCESSION: It is the modality of delegation to the private initiative that is exercised by a port

entity, through the granting of rights to private juridical persons to occupy and exploit in a private

and temporary form and in conditions of regulated exclusivity, if appropriate, according to the

provisions of article 47 of Modernization Law, for a port or land or water zone and facilities in port

areas and their quarantine or quarantine areas, with the purpose of rehabilitating, improving and/or

expanding granted areas and facilities used for the provision of port or port-related services by

delegation of the port entity. In the case of the Port Authority of Guayaquil, it has granted its port

facilities under concession for a period of twenty (20) years.

▪ CONTRACT: This will be understood as the bilateral legal instrument by which APG delegates to

Concessionaire under Concession modality, the management of areas, infrastructures, facilities, and

equipment included in the scope of the Concession, under the concession of Public Service at the

Terminals and to receive due income or compensation.

▪ CUSTOMERS: It is the natural person or legal entity that, due to its activity and by disposition of the

current laws and regulations, requires the rendering or use of Basic Services and Special Services

delegated to the Concessionaire by APG, during the term of the Contract and in the terms set forth

therein.

▪ CONTAINER: It is a cargo container for maritime or fluvial transportation, land transportation, and

multimodal transportation. These are watertight units that protect goods from weather and are

manufactured in accordance to ISO (International Organization for Standardization) standards.

▪ CROSS DOCKING: Merchandise unloading from a truck or incoming vehicle to load it in another

vehicle or truck to the dock.

▪ CUSTODY: It is the action of monitoring and preserving cargo during its stay at the terminal,

according to current regulations.

▪ DISMOUNT: It shall refer to loosening mooring strips, spies, ropes, or cables intended to secure a

ship to CGSA docks, including all land resources and activities necessary for the provision of such

services.

▪ UNLOAD: Taking cargo or container from land transportation means, transferring it and placing it

in its place of storage, including all the resources and activities necessary for the provision of said

services.

▪ LANDING: It shall refer to the transfer of cargo or containers from the deck or warehouse of a ship

to the docks, and shall include all the resources and activities necessary for the provision of such

services.

▪ UNLOADING: This is understood as the disarrangement of cargo or containers inside the warehouse

of a ship or its deck, including all the resources and activities necessary for the provision of such

services.

▪ DISPATCH: It shall refer to the issuance, verification, and control of documents which record the

delivery of cargo to the consignee or its representative, including administration and management,

packing control in the case of general cargo or control of seals and condition of the container if it is

cargo in containers, and all resources and activities necessary for the provision of such services.

▪ UNLASHING: It refers to the release of cargo or containers, the elements that secure it to the ship

and will include all resources and activities necessary for the provision of such services.

▪ DOLLAR OF THE UNITED STATES OF AMERICA: It is the official currency issued by the United States

of America, of legal tender and free circulation in the Republic of Ecuador.

▪ EIR: Equipment Interchange Receipt; exchange document for reception and dispatching of

containers, in which physical observations (damages or dents), if any, are detailed.

▪ SHIPMENT: It refers to the transfer of cargo or containers from Terminals to the interior of the

warehouse or deck of the ship, including all resources and activities necessary for the provision of

said services.

▪ STOWAGE: This is understood as the arrangement of cargo or container inside the warehouse of a

ship or its deck, including all the resources and activities necessary for the provision of such services.

▪ E.T.A. (Estimated Time of Arrival): Estimated time of arrival of the ship to a sea buoy. ▪ E.T.B (Estimated time of berthing): Estimated time of arrival of the ship to docks. ▪ FORCE MAJEURE: Defined as actions or situations that prevent normal port operations such as

natural phenomena, war conflicts, major accidents, strikes, or national emergencies qualified as

such by Guayaquil Port Authority.

▪ LIST OF RATES OR CONCESSION RATES LIST: This is considered to be the set of rates that the

concessionaire will charge for services provided by the Concession and which will remain publicly

known at all times. In it will be contained in Basic Rates and Special Rates.

▪ ARRIVAL AT DOCK: This denomination is given at the time when a vessel during a docking maneuver

to the dock designated for this purpose has secured the first mooring strip to said dock.

▪ HANDLING: It is the movement of goods within the port area without including transportation

services. ▪ PONTOON HANDLING: Movement of pontoons at any request other than from stowage. This

service is provided at the request of the Shipowner or its representative.

▪ CARGO MANIFEST: Physical or electronic document containing information on the means of

transportation, number of bundles, weight, and generic identification of the merchandise

comprising the cargo, which must be submitted to SENAE, international carriers or their transport

operator at the entrance or exit of the country.

▪ PORT SERVICES MANUAL: This shall be understood as the manual prepared by the Concessionaire,

according to Chapter VI, paragraph forty four and to Section Three of the Rules for the Use of

Terminals.

▪ INDICATORS VERIFICATION MANUAL: It refers to the manual that establishes the procedures to be

used to determine quality indicators of services in CGSA, hereinafter "Indicators", the manual

attached to the Concession Contract as Annex F.

▪ HAZARDOUS GOODS DIRECT EXITS: Are classified as: IMO 1 (Explosives); IMO 5.2 (organic

peroxides); IMO 6.2 (infectious substances) and IMO 7 (Radioactive Materials).

▪ REEFER MONITORING: Consists in monitoring the temperature of reefers according to instructions

from the customer.

▪ MTOP: Ministry of Transportation and Public Works.

▪ DOCK: Any facility, wall, mooring, or docking and mooring facilities for ships or vessels and spaces

therein assigned for loading and unloading operations.

▪ CARGO NUMBER: It is a unique identification number of import cargo, which helps general

monitoring of goods in SENAE Information System. It is constituted by MRN, BL Master sequential

number, and in the case of BL Children, the BL House sequential number is added.

▪ PORT OPERATOR: This is considered to be the private legal entity that provides port services by

delegation and authorization of a Port Authority. Its categorization, registration and qualification

requirements are established by Port Services Regulation (RSP), issued by the Under-Secretariat for

Ports and Maritime and River Transportation.

▪ OPB – VESSEL PORT OPERATOR: It is the port operator whose specialized technical services are

provided directly to ships, helping access, permanence, and exit from a port service area or public

or private port terminals.

▪ OPC – CARGO PORT OPERATOR: It is the one that provides services that allow management and

execution of specialized technical activities for the transfer of cargo that are carried out on board

ships or inside a port area. OPCs will have specialized machinery, equipment, tools, and safety

equipment for their workers, who in turn shall be duly trained and specialized for their operation.

▪ OPP – PASSENGER PORT OPERATOR: One whose services allow the management and execution of

specialized technical activities for the embarkation and disembarkation of passengers, in a port

terminal that meets special conditions for the purpose and for ships specialized people

transportation.

▪ OPSC – RELATED SERVICES PORT OPERATOR: One that provides specialized technical services and

additional support to the ship, cargo, or passengers.

▪ CONTAINER CAPACITY AND INSPECTION OPERATION: It shall refer to the set of port activities,

emptying and filling, unloading and stowing, cracking/unlatching of general cargo in containers,

required by SENAE or PNA, to account for, verify, inspect, and/or recognize contained cargo, the

container, or seals.

INSPECTIONS REQUESTED BY ANTINARCOTICS POLICE (PNA), WHICH CAN BE SCHEDULED OR PRE-

SHIPMENT: Pre-Shipment Anti-Narcotic inspections are conducted at the dock prior to shipment, in the

presence of the shipping agency's representative.

PNA must proceed with load blocking of cargo in CGSA information system, once the blockade

has been made for the cases of the duly programmed inspections, notification of the operation

to the customer and shipping agency is sent electronically; Notification is sent only to the

shipping agency when Pre-Shipment inspections take place.

To carry out the inspection operation programmed by PNA, the customer must previously pay due

amounts in the Billing Department.

Once the inspection of cargo by PNA is completed, it is its responsibility to unlock shipment in CGSA

information system.

INSPECTIONS REQUESTED BY THE CUSTOMS AUTHORITY, WHICH MAY BE PHYSICAL OR BY NON-

INTRUSIVE EQUIPMENT (X-RAY): For physical or non-intrusive (X-ray) inspections requested by

Customs Authority, formal notification will be made by this entity, both to carry out the operation and

to authorize shipment of the units. If goods have not been inspected and CGSA has not received due

authorization, either electronically or in writing, they will not be considered for shipment.

To carry out the inspection operation requested by Customs Authority, the customer must previously

pay due amounts in the Billing Department.

▪ GENERAL CARGO CAPACITY OR INSPECTION OPERATION: It shall refer to the set of port activities

and positioning of general cargo, which at the request of Customs Authority or PNA, are required

to account for, verify, inspect, and/or recognize contained cargo or packaging.

▪ PORT OPERATION: These are activities related to entry, stay, and departure of ships and with the

movement of cargo to or from ships or in the interior of land or aquatic spaces of CGSA port site.

▪ VEHICLE WEIGHING: This refers to all activities of weighing, by means of Roman or other properly

calibrated scale, of trucks or other transportation vehicle, with or without load, and the issuance of

documents that record or certify registered weight, including administration and management, and

shall include all resources and activities necessary for the provision of such services.

▪ GATE PASS: Sole qualifying document for the withdrawal of import cargo. ▪ PERSON: (I) natural person (ii) legal entity or association, including, without limitation, any

company, corporation, partnership, joint venture, voluntary association, trust or de facto

corporation (iii) government (including any organ, or institution that is a political or administrative

subdivision thereof).

▪ OPERATION PERMIT: According to Resolution No. MTOP-SPTM-2016-0060-R of March 30, 2016,

this is the one granted by Port Entities or delegates to port operators, duly enrolled in SPTMF, that

have complied with the foregoing Resolution, so that they can provide services for those who are

qualified.

▪ PNA: This refers to the National Antinarcotics Police ▪ EMPTY CONTAINER PRE-WARNING: Notification prior to the date of entry, which must be made by

the shipping line or agency to CGSA, of empty export containers related to a booking, which it will

sent for operations planned in the terminal.

▪ PORT: It is the set of works and infrastructure, facilities, accesses, equipment, and other facilities

located on the coast, located in specific coastal marine areas, whose purpose is the reception,

shelter, attention, operation, and dispatch of naval vessels and artifacts, as well as the reception,

operation, storage, treatment, mobilization, and dispatch of national and foreign merchandise

arriving by land or sea.

▪ PORTING: Any such transportation or transportation, including any collection or removal, stowage

or storage in patios or warehouses, of cargo or container made inside the Terminals, including all

the resources and activities necessary for the provision of said service shall be understood.

▪ ELECTRONIC COLLECTION OF SERVICES PROVIDED BY CGSA: Electronic collection process,

implemented in accordance with the Second General Disposition of Resolution No. SENAE-DGN-

2015-0941-RE of National Customs Service of Ecuador, which states: "To optimize the payment

process for all services, settlement of payment shall be generated through the transactional switch

provided by SENAE, for which temporary deposits shall be subject to guidelines, which are set out

for the purpose". It is important to point out that Contecon Guayaquil S.A., National Customs Service

of Ecuador, Banred, and duly authorized make part of the process. Therefore, customers and users

of CGSA must make payments for port services and temporary storage using the process of

Electronic Collection in duly authorized Financial Institutions. ▪ RECEPTION: It will refer to the issuance, verification, execution of cargo slips, control of documents

that record the loading of cargo or containers, including administration and management, packing

control in the case of general cargo, and the elaboration of EQUIPMENT INTERCHANGE RECEIPT

(EIR), control of seals and condition of containers in the case of cargo in containers, and all the

resources and activities necessary for the provision of such services. As well as the issuance of

relevant documentation that establishes conditions of reception of cargo or containers.

▪ PORT AREA: Set of land and aquatic spaces that are in a specifically defined port jurisdiction, in

which infrastructures, facilities, and equipment of the port are located. It shall include, in any case,

the outer line of the dykes, accesses, and external areas determined for the movement and

maneuvers of ships and barges, as well as all land spaces arranged for various services to cargo,

passengers, and other complementary and related activities.

▪ APG SERVICE REGULATIONS: It is the equivalent to Port Operations Regulation of the Port of

Guayaquil.

▪ S3: Services Request information systems, computer tool for consultation and management of

users/customers of CGSA requirements.

▪ SERVICES: Set of activities assumed and provided by Concessionaire by delegation of APG in the

conditions established in the Contract. These relate to Basic Services and Special Services.

▪ BASIC SERVICES: These are mandatory services that are regulated through the setting of Maximum

Rates by APG.

▪ DISINFECTION SERVICES: It is the service provided by CONTECON GUAYAQUIL S.A., pursuant to resolution No. 0145 of June 18, 2015, issued by the Ecuadorian Agency for Agro Quality Assurance- AGROCALIDAD.

▪ SPECIAL SERVICES: any given service, other than Basic Services, provided by the Concessionaire and

whose Maximum Rates must be registered with APG.

▪ SPTMF: Undersecretariat of Ports and Maritime and River Transport. ▪ TERMINALS: CONTAINER AND MULTIPURPOSE TERMINALS or TCM: It will mean the Concession

Area, along with the infrastructure, equipment, and other assets identified in Number Four of the

Investment and Management Project as a Concession Area. For the purposes of the Contract,

Container and Multipurpose Terminals are considered as independent operating units.

▪ CUT OFF TERMINAL: Is the date and time stipulated by competent authorities so that export cargo

of a ship is inside the port enclosure; it must be authorized for shipment by authorities (SENAE and

PNA) and CGSA Billing area. The Terminal Cut Off is different from the Cut Off that establishes

shipping lines or services.

▪ TEU: It shall mean the unit equivalent to a container of twenty (20) feet in length.

▪ OCCUPATION TIME: Regarding any ship, it will mean the period in which such a ship remains in

CGSA, which begins at the time that such a ship ties its first spy when docking at CGSA and ends

when the ship releases its last spy at the moment of unlashing at CGSA.

▪ MAXIMUM OCUPATION TIME: It refers to, in respect of any ship receiving Cargo Transfer

Services in CGSA, the Maximum Occupancy Time with respect to such vessel, calculated in

accordance with the formula set out in the Indicator Verification Manual.

▪ TON: One metric ton. ▪ TONNAGE: Total weight in tons, related to the Load Transfer.

▪ GROSS REGISTRATION TONNAGE: When in regards of any vessel, it shall mean the volume,

expressed in Registration or Arching Tons of one hundred cubic feet, of all interior spaces of the

ship, vessel or naval device, including all spaces below the arching deck and enclosed spaces in

on said cover, permanently.

▪ TRANSFER: This is considered to be the operation of landing and embarkation of goods that

arrive at port and leave it by sea, without leaving the port area. The operation of direct transfer

of cargo from one ship to another is considered as such.

▪ CARGO TRANSFER or “Ship to gate”: It will refer to the list of activities in Stevedoring; Lash or

Unlashing; Board Landing; Portage; Loading or Unloading to land means of transportation;

Reception and Dispatch, execution of cargo slab, control of seals and will include all resources

and activities necessary for the provision of such services; It being understood that in the case

of storage, these services will include only the days of collection from free rates, as set forth in

shipment (export) or for landing (import).

In addition, in the case of containers that receive deconsolidation or consolidation (a), dispatch

included in this service will be only with respect to empty deconsolidation container and will

not include the dispatch of contained cargo and (b) that reception included in this service will

be only with respect to empty container of consolidation and will not include the reception of

general cargo contained therein.

▪ ON BOARD LASHING: It shall refer to the holding of cargo or containers on the ship and shall

include all necessary resources and activities which according to international industry

standards should be provided by the CGSA in the provision of such services.

▪ FINAL SUGGESTION ENTRY (UIS): It is the date and time that CGSA recommends that the ship's

containerized export cargo be within the facilities with necessary time for shipment in order to

comply with controls established by competent authorities before Terminal Cut Off.

▪ DOCK DEPARTURE: It is the moment at which a ship, during the maneuver of unloading of spring

loosens the last tie strip.

For other services to the ship, to be provided by OPB or OPSC, CGSA will use and authorize the rendering of services of those companies that are authorized by APG and other control entities in port activities.

CHAPTER III GENERAL PROVISIONS

Shipping line and/or its representative should consider the following provisions.

SHIP AND/OR ITS REPRESENTATIVE OBLIGATIONS

1. The customer shall comply with all legal and regulatory provisions governing maritime/port

activity, especially those contained in the Maritime Police Code in matters related to navigation,

and shall be especially responsible for the following:

I. Maintain adequate lighting and safe access to the ship.

II. Provide a minimum crew size in order to remain alert and respond to any emergency

situation, as well as an optimal and safe port operation.

III. All crew members must submit to Health and Safety Terminal procedures;

2. The ship's captain must be in command of the ship for as long as it is held at docks or piers at

the Container Terminal, being responsible for its own safety. The captain of the ship will be

responsible for any loss and/or damage that may arise from failed navigation.

The Manual considers the following provisions.

LIABILITY INSURANCE

Shipping Line must contract and maintain third-party liability insurance against third parties, including

hull and machinery insurance, environmental damages related to their ships. Terminal may require a

copy of said insurance policy or in the absence of an insurance certificate, confirming that these

insurance requirements have been fulfilled. CONTECON will not be allowed to berth those ships that

have not complied with insurance requirements described herein.

CONTAINER SHIP The Concessionaire shall only be liable for loss of or damage to any container ship including its gear and all other equipment to the extent the same is caused by its negligence or willful misconduct and when it has been determined by the competent authority.

CONTAINERS The Concessionaire shall only be liable for loss of or damage of a container to the extent the same is caused by its negligence or willful misconduct, and when it has been determined by the competent authority.

CARGO The Concessionaire is responsible for loss of or damage to the cargo stored in the Terminal up to the amount declared to the competent customs authority, as determined by the actual customs Law based on the civil and contractual liability of the Concessionaire.

DELAY If the Concessionaire is found liable for operational delays or fails to adhere to timeframes set to provide services, Concessionaire´s liability shall not exceed in whatever circumstances the amount of the services provided to the cargo or the container ship.

INDEMNITY

If the User causes any damage or loss to the facilities, goods or cargo under responsibility of the Concessionaire,

the User shall indemnify the Terminal´s concessionaire against any and all liabilities incurred by the Concessionaire,

its employees, agents, insurers or re-insurers in the execution of its concession agreement and if as a result of said

claim the Concessionaire has been declared responsible for loss of or damages to the facilities, goods or stores cargo.

EXCLUSIONS OF LIABILITY It is express set, as demanded in the concession agreement subscribed between APG and CONTECON, that in no

case APG shall be responsible for any consequence derived from this Services Manual or any other similar issued

by the Concessionaire or any commercial agreement set between Contecon and its customers.

COMPENSATION

Shipping line will be responsible for any damage incurred at the Terminal (including its dock, port,

fenders, mooring bollards, gantry cranes, as well as other infrastructure and equipment), its customers

(including other users, container ships, and third parties) its employees, agents, insurers or reinsurers

as a result, in connection or caused during mooring or unmooring maneuvers, for reasons of

incompetence or negligence of the Captain, crew and/or pilot in charge of the ship belonging to the

Shipping Line, or as a result improper docking of the vessel along the dock, or as a result of failure of

the machine or failure of a tugboat, in which case it shall compensate the Terminal Operator against all

claims, suits, losses, costs, and expenses that may arise as a result of any of the acts mentioned above.

It is express set, as demanded in the concession agreement subscribed between APG and CONTECON, that in no case APG shall be responsible for any consequence derived from this Services Manual or any other similar issued by the Concessionaire or any commercial agreement set between Contecon and its customers.

SCHEDULES

Services offered will be provided according to own procedures defined by CGSA from Monday thru

Sunday, including public holidays, at established shifts which are published on a daily basis on the

website.

VESSEL-RELATED BASIC PROVISIONS

Ships or boats that require the use of the services provided on berths, must be properly represented

according to the law.

The representatives of ships must formalize the request for services in accordance with procedures

established by CGSA.

Representatives of ships, will have the right to request docking for their ships, corresponding to CGSA

the docking assignment.

Scheduling of ship docking in the port may be altered for reasons of national defense or security,

decreed by competent authority or operational convenience of CGSA.

Cargo mobilization work on berths will be provided in the terms defined by CGSA.

ABOUT VESSEL SERVICES

It is the Shipping Agent or duly accredited representative, who is responsible for making the mooring

request for ships of its representation.

The shipping agent must communicate E.T.A. for their ships that will arrive at the port at least five days

in advance and must be updated until 24 hours before their arrival to sea buoy where they must deliver

the final time of arrival for dock assignment.

Commercial vessels, smaller vessels, or other vessels, tied to another vessel, shall be considered as being

moored at dock.

Berths are assigned by CGSA 24 hours before the arrival of the ship to sea buoy and reserves the right

to make changes until the passage or departure of the mooring zone, applying priority of allocation of

springs described in this document.

In case of disputes regarding the time of arrival at sea buoy, Shipping Agents shall be required to present

an APG certificate attesting due time of arrival at sea buoy.

Mooring priority will be those ships with which CGSA maintains a permanent contract/agreement of

weekly, monthly, or annual calls as the case may be. Volumes of cargo, number of landings, and

permanent itineraries will be taken into account for the subscription of the contracts/agreements and

the assignment of priorities.

CONTECON GUAYAQUIL may refuse to accept damaged or non-compliant containers/merchandise.

CGSA may refuse to handle containers or cargo that exceeds allowable weight (SWL) of Port Operator's

loading equipment. The customer will be responsible for any damage to persons, goods, terminal

equipment, and/or third party products, caused by a defective weight declaration or false information.

DOCK ALLOCATION PRIORITIES

Docks 1, 1A, 1B, 1C y 2

1. Ships with dock reservation contract/agreement.

2. Full container carrier ships.

3. Multipurpose vessels that transfer containers and general cargo.

4. Ships that transfer perishable products.

Docks 3, 4, 5 y 6

1. Ships with dock reservation contract/agreement.

2. Ships that transfer perishable products.

3. Multipurpose vessels that transfer containers and general cargo.

The following vessels will have preference for dock assignment:

1. Ships on official visit.

2. Passenger ships/cruisers.

For mooring maneuvers, current Safety Matrix issued by SPTMF will be applied.

The mooring quay will be abandoned in the event of unexpected adverse events, which may jeopardize

safety of persons, port facilities, other ships docked at the berth, or goods and the environment.

When a ship is carrying out transfer operations at a given dock and must leave it for reasons of national

defense or security, it shall maintain its berthing priority when the reasons for its unmooring disappear,

except by mutual agreement between the shipowner or its representative and CGSA to decide

something different.

Non-priority vessels may opt for other CGSA docks, which may be assigned conditionally, which must

be accepted at defined start and end times, the vessel will be subject, within that period and when

agreed by the parties, in exchange for docking or berthing port front, or leaving to anchor, for which the

costs of these operations will be borne by the shipowner or its local shipping agency.

Notwithstanding the foregoing provisions, a vessel that delays berthing at the assigned dock considering

a 4-hour wait from the announcement of arrival at dock, and there is a need to allocate that dock to

another vessel, docking at dock.

When for reasons not attributable to CGSA (lack of cargo, lack of documentation, among others) the

ship does not operate for more than 4 hours, CGSA may request its unlashing and/or change of dock,

by its own means or assisted by tugs, associated costs (including fines by Authorities) being for such

operation on behalf of the respective owner or his local agent. If, in the opinion of the customer, the

reasons are attributable to CGSA, it may submit due claim in accordance with CGSA Claims Manual.

Likewise, uncoupling of a ship shall be requested when it needs to certify the conditions of its

warehouses by competent organisms, and those are not accepted. Once the conditions of holds have

been certified and authorized to be shipped by competent agencies, the first available dock will be

reassigned.

Likewise, unloading or change of dock will be requested for technical damages of the ship, by its own

means or assisted by tugs, being the costs associated to such operation to be borne by the respective

shipowner or its local agent.

In case of refusal by these, CGSA reserves the right to take necessary actions to comply with this

provision.

In cases of increase of cargo transfer, additional shifts shall be granted as deemed necessary, provided

that the Ship Agencies request it 24 hours before the end of scheduled operations, backing up with a

verifiable record of such increase. Such requirement may be granted at the same dock or at another

alternative. When third parties are affected by this situation, they will be notified in a timely manner of

such decision made to involved parties.

Shifts will not be assigned for supply operations to ships in case they affect work programs of these or

other ships.

When a vessel is assigned to a dock and for reasons beyond CGSA management, the vessel will have the

last priority at the time of its new request. CGSA will consider valid cancellations made by the customer,

at least twenty-four (24) hours in advance of scheduled shift for operations.

Berth request must be notified through CGSA website, through Online Services Center's docking request

option.

VESSEL OPERATION PLANNING

CGSA will process docking request according to previously established priority, carrying out assistance

programs for which it will require, prior to the execution of activities, the following information:

− General characteristics of the vessel

− General plan of the ship

− Load Manifest

− List of dangerous goods and/or special cargo

− List of containers

− Stowage plan

− Packing List

− Others, which will be required at specific request.

Note

IMO Import Cargo: If the customer does not provide the listing and manifest of dangerous goods, the

customer will be responsible for all consequences that may arise due to lack of information.

In order to verify information about ships, what Lloyd's Register of Shipping indicates will be taken into

account; if the background is not in that register, it will request a certificate of tonnage of the ship.

After docking request is processed, CGSA will coordinate service internally, planning all activities

involved and then informing its customers about operational processes and estimation of operating

time.

In task planning, CGSA will allocate resources and elements available, for purposes of serving the load,

such as:

− Stacking areas

− Consolidation and deconsolidation of containers areas

− Inspection/capacity of containers areas

− Electrical connections for refrigerated containers

− Equipment and personnel qualified for operations

The allocation of resources will be such as to meet minimum gross transferability of cargo mentioned

in the Concession Agreement which is referenced in this manual.

VGM CERTIFICATION

CGSA will comply with weighing provisions of cargo issued by due control authorities.

The responsibility for obtaining and documenting verified gross mass of a full container (or

containerized cargo) rests with the shipper, the shipping company shall provide this information before

or at the time the container is delivered to the terminal. The shipper is responsible for any loss or

damage arising from an erroneous verification of the gross mass of a container (or containerized cargo).

In case the Terminal Operator identifies a doubt as to the gross mass of a full container when weighing

the container, the weight obtained by the Terminal Operator shall be used for the planning of the ship's

stowage. The shipping company acknowledges that if it fails to provide a verified gross mass as required

by SOLAS regulations, the Terminal Operator may refuse entry of the container subject to regulations

of local port authority. In the event that the Terminal Operator is the official source designated by the

local authority for the gross mass verification, or hired to obtain weight verification of the container,

there must be a cost that affected parties must consign by said services.

Regulation VI/5 SOLAS does not allow a container to be filled with a weight greater than the maximum gross mass indicated on the Safety Approval Plate under the IMO's Container Safety Convention (CSC), as amended. The terminal shall not embark a container with a gross mass exceeding its maximum permissible gross mass. When it comes to the container tare, CGSA will apply weights defined by ISO CODES. Customers who require services described in this manual will be subject to rules, deadlines, and rates detailed therein. In CGSA the decimal metric system (Anglo-Saxon system) will be used, except for services maintained by other units. Example: 1,000.00. The metric ton is applied whenever the volumetric weight of the load does not exceed its real weight, in these cases the values will be per cubic meter.

TERMINAL CUT OFF (TCO)

The Terminal cut off is established depending on the estimated time of arrival of the ship (E.T.A), the

type of ship and shipment start time.

Reefer Vessels: TCO is 8 hours before shipment of the first container.

Other Vessels: El TCO, is 12 hours before shipment of the first container.

These deadlines may exceptionally be amended following coordination with competent authorities.

Containers that enter after established TCO will not be considered for shipping schedule unless the

following three conditions are met:

1. The request for Late Arrival has been requested and authorized with a minimum of 2 hours prior

to TCO.

2. Entrance up to a maximum of 4 hours after TCO.

3. They are authorized by National Anti-Narcotics Police.

Notwithstanding the foregoing, it should be noted that the authorization of the Late Arrival does not

guarantee the loading of cargo.

ABOUT ACCESS CONTROL GATES

All filled/empty containers, merchandise, heavy goods vehicles, and others that perform some traffic

within the port facilities, must comply with the rules and procedures and control register established by

CGSA, during the entry and exit of the terminal, with Security in the port facility. It is important to point

out that CGSA has state-of-the-art computer systems which allow these entries and exit registers to be

automated, agile, and secure.

By MTOP provision, heavy transportation vehicles must comply with provisions of the Organic Law of

Land Transportation Transit and Road Safety.

ENTRY

Export cargo

For the entry of Export Cargo, carrier must present the following documents at the access control

rooms:

− AISV issued by exporter on CGSA website, depending on the type of cargo to be exported.

− Driver's License

− Customs document authorizing entry of cargo.

− In case of refrigerated load, temperature chart of the container must be disclosed.

In the case of entry of dangerous cargo that does not have the corresponding labeling (IMO) or is

incomplete, the shipping company will be notified to Shipping Agency and CGSA will proceed to grant

the corresponding service.

The customer will be responsible for any accident or damage caused by omission or falsification of

information regarding the nature of dangerous cargo.

Export cargo receipts are registered in the computer system of Customs Authority.

If all the above requirements have been fulfilled CGSA by internal security regulations, will seal all

containers at entrance.

Empty shipping containers

For the entry of Empty Containers, the following must be met:

− Empty containers must be pre-warned by due shipping line or agency.

− EIR of the Deposit which must indicate the number of the container and the physical

observations/conditions if any.

− Driver's License

If all the above requirements have been fulfilled CGSA by internal security regulations, will seal all

containers at entrance.

Empty containers for storage

For the entry of empty Containers (deposit), the following must be met:

− EIR of the temporary warehouse from which the full container was removed, which must

indicate the number of the container, ship, trip and the physical observations/conditions of the

container if any.

− Letter of departure from the shipping line or agency with current date.

− Driver's license.

In this case CGSA security seal will be placed once the physical inspection of the container inside the

Port Facility has been carried out.

Empty containers for consolidation

The following must be fulfilled in order for empty containers to enter the terminal for Consolidation

purposes:

− Empty containers must be pre-warned by due shipping line or agency.

− Empty containers must be associated with a consolidation booking.

− EIR of the Deposit, which must indicate the number of container and the physical observations/conditions

if any.

− Driver's License

Containers must be completely empty without any material (absorbents, airbags, curtains, corrugated

paper, etc.) inside the container.

If all the above requirements have been fulfilled, CGSA by internal security regulations, will seal all

containers at entrance.

Note: All materials used by duly authorized companies to work inside the terminal as service providers

for consolidation, must be previously submitted to controls of authorities and inspections of in terminal

security area.

EXIT

Import Cargo

For the departure of import cargo, the transporter must present the following documents at the

access control rooms:

− Valid Door Pass, which is delivered in CGSA billing windows and represents the only document

that authorizes the removal of cargo.

− Credential issued by CGSA.

All import cargo output is registered in the Customs Authority's computer system.

Empty containers

Prior to the departure of empty containers, the line or shipping agency shall obtain due authorization

of withdrawal in CGSA billing department, having presented the following documents:

− List of empty containers that will be removed.

− List of carriers and vehicles that will make the withdrawal.

− Authorization of departure from Customs Authority, which can be requested by the Shipping

Agency prior to the arrival of the ship.

For the departure of import empty containers, the transporter must present the following at access

checkpoints:

− Code of withdrawal authorization issued by CGSA.

− The carrier and the vehicle must be registered in CGSA.

CGSA has properly automated access lanes through the use of self-service Kiosks in H Street, in order to

maximize operational and service efficiency, which are adapted to the needs of customers and users to

carry out transactions with greater speed and safety.

They are properly integrated with CGSA's computer systems and meet the highest quality standards.

For the use of Kiosks, CGSA will provide users with electronic identification devices (TAGs), subject to

commercial and security policies required in the process.

ABOUT BILLING

Services rendered by CGSA will be paid in dollars of the United States of America, for which a physical

or electronic invoice shall be issued for customers, in which the taxes allowed and required by law shall

also be charged.

The services provided must be paid within the terms to be agreed between CGSA and customers and

must be paid through an Electronic Collection process within duly authorized Financial Institutions.

The Electronic Collection of Securities, establishes that payments for services will be made through

settlements registered in the National Customs Service of Ecuador (Ecuapass) information system, for

which there are two types:

• • Settlement by Invoice: It will be generated during the billing process and its numbering will

be recorded on the issued sales receipt. The number of this settlement is as follows: Start with

9025 which is the CGAP code in Ecuapass (single code) and the full 15 digit invoice number

(Example: 9025XXXXXXXXXXXXXXXX)

• • Early Payment Settlement: It will be generated by the user or customer in our Service Request

System - S3, when payment must be made in advance (before the invoice is issued) or when a

rotating fund is generated. The number of this settlement consists of the following: Start with

9025 which is the CGAP code in Ecuapass (single code), followed by a number consisting of 9

characters, the last one being the letter "A" (Example: 9025XXXXXXXXA)

For the correct use and processing of Electronic Collection, due manuals and instructions are

published in website www.cgsa.com.ec

If there are settlements pending payment or compensation, this will cause automatic blocking in CGSA

billing system, which will not allow continuing with Import or Export procedures. Any overdue invoices

will be considered unpaid, and in this case CGSA may suspend services to the client until the amounts

owed are settled.

Failure to pay invoices within the established term, will accrue the maximum legal interest for delay

allowed by the Central Bank, in accordance with the law in the matter.

CGSA will be able to request customers with credit, a bank guarantee with demand payment according

to the monthly invoicing amount, which guarantees the payment of default invoices for services

rendered.

Regarding invoicing of loose and general cargo (including oversized cargo), the unit of weight or volume

shall be metric tons or cubic meters, whichever unit is adopted. The fractions on measures smaller than

the unit will be rounded to the ton for the units of weight, and the cubic meter for the units of volume.

The same criteria will be applied for units of time for which the minimum to consider is 1 hour.

For the collection of services, CGSA may perform measurements to goods, where the volume is not

indicated or not duly registered in cargo manifest.

Requirements to Withdraw Import Cargo

For Import procedures CGSA will require the following documentation/information in customer service

stations in the Billing Department:

− Cargo Number duly authorized by SENAE.

− For proceedings requiring SENAE authorizations through administrative acts, a copy of the

document must be presented.

− Letter of Authorization of Exit (CAS) (Electronic or Manual).

− Copy of Bill of Lading (BL), only in cases of General Cargo and Loose Cargo.

− Information of the transportation company or the name of the driver and license plate of the

vehicle that will make the withdrawal, for due issuance of a gate pass. This information will be

printed on the Gate Pass and is validated in the access checkpoints before entry.

The Gate Pass will only be delivered to the Customs Agent/Assistant or person authorized by the

importer to perform procedures.

CGSA will only admit carriers and transportation companies that have previously been registered once

they have met all requirements set out by the "Port Security Manual for the Issuance of Credentials and

Provisional Permits", which for the effect CGSA shall issue and publish in its website.

To dispatch of goods as containerized or loose cargo, CGSA has the scheduled delivery service that

allows for the allocation of shifts to properly deliver goods, taking into account the following aspects:

− Depending on availability, the customer may choose the shift that it may consider convenient

to withdraw merchandise.

− The shift, with its minimum and maximum time to enter CGSA, is detailed in the Gate Pass, in

order for the customer to exactly know the schedule in which to be served.

− In case a customer misses a turn, i.e. does not reach the maximum allowed and detailed time

in the Gate Pass, depending on availability, it can request a reassignment of shift for the same

day at access control rooms (Pre -Gate), or otherwise should request a new gate pass.

In case of Direct Customs Clearance (DD) or Early Dispatches (DA), verifications that the due customs

procedure is duly authorized will take place and the operation shall be scheduled at the Customer

Services Department.

Exports:

For export formalities CGSA will require the following documents/information at Billing Department

Stations or by e-mail in order to authorize the shipment of goods:

− Number of booking or containers to be loaded.

− Payment made for the shipment of the goods, maximum 12 hours before the berth of the ship.

− For proceedings requiring SENAE authorizations through administrative acts, a copy of the

document must be presented.

Note: All merchandise must be duly authorized by SENAE and PNA for shipment.

Transshipment:

For Transshipment procedures, CGSA will require the following documentation/information in Billing

Department service stations or by email, in order to authorize the shipment of goods:

− Number of booking or containers to be loaded.

− DAS - Transshipment as appropriate.

− Payment made for shipment of the goods, maximum 12 hours before the berth of the ship.

FORCE MAJEURE

No party shall be held liable against the other for any loss or damage of cargo, container, or ship, for

the delay or breach of its obligations in accordance with these General Conditions, to the extent that

said delay or breach is due to any accident, flood, gravity, storm, typhoon, earthquake, epidemic,

pandemic, enforcement of any law, court order, rule or regulation of any governmental authority or

other dependency, acts of any governmental or supranational authority, war or emergency National,

riot, civil commotion, acts of terrorism, fire, explosion, heat or cold (including heat inside the load itself

and accidental exposure to natural or artificial light) criminal acts and computer viruses and other events

not foreseen within the reasonable control of one of the parties. Likewise with regard to labor strikes,

strikes, and other labor disputes of a general nature that directly affect the normal and regular activity

of the concessionaire, only when these are the product of the causes detailed above. On the other hand,

specific strikes in the concessionaire's activities or services, work suspensions of the concessionaire's

personnel or the personnel of port operators contracted by him or his subcontractors are not

considered as force majeure.

CONFIDENTIALITY

The parties undertake to maintain confidentiality of all information of a technical, commercial, or

financial nature, including studies, reports, records, analyzes, data, books, and any other documentation

supplied to them, and shall not divulge them in any way whatsoever whether for the purpose of

obtaining financial assistance for the Concessionaire or complying with the contracts it maintains for

such purposes, for the purpose of meeting its obligations established in this Agreement; Or where such

disclosure is required pursuant to laws or legitimate orders of Ecuadorian Authorities or relevant

Government Entities. This obligation shall extend to all personnel, executives, agents, shareholders, and

consultants of each of the parties, even if they lose such quality, answering the pertinent part for the

breaches of those who correspond to him.

ABOUT PRODUCTIVITY Productivity in dock operations corresponds to the volume of cargo transferred (shipped and landed)

per unit time of the ship docked at the pier (Occupation Time).

Productivity is expressed in containers or in tons, according to analysis, per hour and per ship.

Productivity per Ship is the volume of cargo transferred, by type of ship analyzed, divided by Time of

Occupation, discounting the non-operating time due to causes other than the Concessionaire and

determined for each ship that transfers cargo.

Table No. 1 establishes the minimum requirements and at the bottom of the table, the definitions of

each ship that is controlled.

Observations to table: (1) Minimum Productivity per ship will be required for operations of more than 150 containers. (2) Full Container Ship: defined as that ship in which 90% of the total transferred cargo is in containers, with less than 250 containers transferred. (3) Full Container Ship 250: defined as that ship in which 90% or more of the total transferred cargo is in containers, with 250 or more containers transferred. (4) Reefer Ship: is defined as that ship in which 90% of the total shipped cargo, corresponds to banana cargo, in boxes or pallets. (5) Other Ships: defined as those ships that are not Full Container or Reefer Ships. (6) Minimum Productivity per ship will be required for operations of more than 500 tons.

ABOUT USED RESOURCES

▪ For the services provided by CGSA, the following resources will be available.

▪ Supervisors specialized in the coordination of operations of general cargo, cargo in containers,

etc.

▪ Specialized equipment operators (Gantry Cranes, Mobile Cranes, Container Cranes, Forklifts,

Terminal Trucks, etc.).

▪ Stevedoring crews for operations that make up the different services.

▪ Accessories and the appropriate tools for operations in various types of cargo.

▪ Proper infrastructure for the operation and storage of cargo.

CRUISE SHIPS RECEPTION The following are applicable conditions in serving cruise ships within the Port Facility:

1. CGSA plans the "Long Range Schedule" based on itineraries published online or through the

information received by Shipping Agencies where it must indicate: name of the cruise ship, Tour

Operator (s), date/time of Arrival and departure.

2. The docking request process for this type of ship is carried out as described in this Manual in

Chapter III – Ship Reception.

3. The planning of operation of the ship is done as follows:

CGSA informs the Ministry of Tourism of Ecuador of the arrival of the ship to arrange for a preparatory

meeting for all entities involved in the operation: Shipping Agencies and Tour Operators, in order to

agree:

a. Entities that will participate in the welcome reception.

b. Time of arrival for operators, tour buses, entities, craftsmen, and dance groups.

The Shipping Agency must communicate five days before the arrival of the vessel, via email, to

Operations Management, Port Security, and CGSA Billing, listing:

a. Passengers and/or crew.

b. Passengers and/or crew for boarding and landing.

c. Time of arrival of passengers and/or boarding and landing crew

d. Reconfirm time of arrival and departure.

e. Request to use "Tourist Terminal" building for Anti-Narcotics Inspections, luggage check,

boarding or landing of passengers in the ship.

f. Perform internal bus requirements for the mobilization of passengers and/or independent crew from the side of the ship to the main entrance door to the Port Facility or vice versa.

The Tourist Operator along with the Tourist Transportation Company are responsible for complying

with the Permits and Registration of Tourist Land Transport issued by the Ministry of Tourism of

Ecuador; 48 hours before the arrival of the ship, they must request the permits to enter the Port Facility

and pay the Infrastructure use rate via email, to the Directorate of Operations and Port Security.

4. Execution of berthing operations of the ship.

5. CGSA performs Performance Evaluation Meeting (internal control).

S3 Service Request System is the IT tool that provides the possibility of consulting and managing requirements according to competencies of each user in an agile way through the internet, which is available on our website www.cgsa.com.ec

The customer must request the creation of the Company Administrator using the forms established by Contecon Guayaquil S. A. according to the profile of each user. Persons whether they are natural or legal, will have two types of users to access S3:

• Company Administrator: Legal Representative.

• Company Operator: Agent in company, qualified to make requests.

The Company Administrator may create, update, or disable Operator Users, assigning roles according to their profile and the functions that are granted to the employee to access services.

CHAPTER IV BASIC SERVICES DESCRIPTION

This chapter describes the services associated with the operation, indicating activities and resources

used.

CONTAINER CONSOLIDATION AND DESCONSOLIDATION (CFS)

Container consolidation service consists of arranging operational actions and resources necessary for

the filling, stowage, and cracking of any type of cargo in a container, and will include the issuance of

documents that record the operation, this service generally consists in:

▪ Have an area within the port to carry out these operations

▪ Receive cargo in the established area, prior to beginning the operation, provided that it has

complied with legal formalities.

▪ Include staff and equipment to fill the container

Container deconsolidation service consists of all the activities of unlatching, unloading, and emptying of

any type of cargo that is inside a container, and will include the issuance of documents that record the

operation, this service generally consists in:

▪ Have an area within the port to carry out these operations.

▪ Regarding deconsolidated goods, in case of direct delivery, cargo can be delivered on the

consignee's truck platform, or in case of indirect delivery, the goods will enter the warehouse

for storage.

▪ The container will be received in the established area, prior to beginning the operation,

provided it has complied with legal formalities.

▪ Must include sufficient personnel and equipment to empty the container

▪ Cutting/removing security seals from containers.

REEFER CONTAINER CONNECTION AND ENERGY (REEFERS) (TRF)

This service consists in the connection and disconnection of refrigerated containers to a source of

energy, electricity supply, and monitoring, including the issuance of documents that record the

operation, its management, and all the resources and activities necessary in the provision of such

services. This supply may be suspended or restricted in cases of force majeure or for qualified reasons.

OPERATION FOR CAPACITY OR INSPECTION OF CONTAINER (AFC) Set of port activities, and of emptying and filling, and stevedoring and stowage of the general cargo in a containers, which at the request of SENAE, the shipper or consignee, antinarcotics police, Ministry of Agriculture or other user, are required to account, verify, inspect and/or recognize the contained cargo or container, including fractional cargo or banana exports.

CAPACITY VERIFICATION OR MERCHANDISE INSPECTION OPERATIONS (AFG)

This service consists in providing necessary aid for the physical inspection of merchandise prepared by

competent Authorities and includes equipment, personnel, and areas necessary to carry out such

operation.

It applies for the following types of cargo: general cargo (AFG), or containerized cargo (AFC)

For the latter, it includes the opening of the container, partial or total deconsolidation, consolidation

and sealing of the container.

VEHICLE WEIGHING (TPE) This will be understood as the whole of the activities of weighing, by means of a properly calibrated

scale, of trucks or other transportation vehicle, with or without load, and the issuance of documents

that record or certify the registered weight, including management, and shall include all resources and

activities necessary in the provision of such services.

GENERAL CARGO PORTING (TPG) Any cargo transfer (non-containerized) carried out inside the Terminals shall be understood as such.

It is the action of taking general cargo from a land transportation mean, transferring it and placing it in

its place of storage or collection including all resources necessary in the provision of such services.

GENERAL CARGO CLEARANCE SERVICE

It means taking general cargo from its place of storage or warehouse to move it and place it on a land

transportation mean, including all resources necessary in the provision of such services. The securing or

cracking of loads on the means of transportation will be the responsibility of the carrier designated by

the final customer.

CGSA will receive or deliver cargo at the place of storage, where it will issue the document of transfer

of responsibilities denominated act of delivery/reception, in which it will proceed to indicate the state

of the cargo at the moment of exchange.

Any general cargo received for both export and import must be labeled with sufficient information for

proper storage in accordance with international standards.

RDC CONTAINER RECEPTION AND CLEARANCE

CONTAINER RECEPTION SERVICE

It is the action of taking ISO containers from land transportation mean, transferring it and placing it in

its place of storage or collection including all resources necessary in the provision of such services.

CONTAINER CLEARANCE SERVICE

It refers to taking ISO containers, from its place of storage or warehouse to transfer and place it on a

land transportation mean including all resources necessary in the provision of such services. The

assurance or cracking of containers on the means of transportation shall be the responsibility of the

carrier designated by the final customer.

CGSA will receive or deliver containers through authorized warehouses, where it will issue the

document of transfer of responsibilities denominated EIR, in which it will proceed to indicate the state

of the unit at the moment of exchange.

No hazardous cargo will be allowed to enter port facilities, which, if manifested as such in the system,

does not carry due labeling (one per side of the container).

If it is found that any of these containers has a label missing, CGSA will inform the Shipping Agency and

send it directly to the inspection area. The shipping agency or the customer will pay for label placement

service.

CONTAINER STEVEDORING (REE)

DOCK STEVEDORING

This service consists in a set of operational activities and resources necessary in the rearrangement of

cargo that for operational reasons is necessary to mobilize from the interior of a ship to the dock and

later from the dock to the ship. This service will vary according to the loading conditions, i.e. full or

empty containers; whose final landing is not the Port of Guayaquil, the issuance of documents that

record the new location or stowage plans, including management; and shall include all resources and

activities necessary in the provision of such services.

ON BOARD STEVEDORING

This service consists in a set of operational activities and resources necessary in the rearrangement of

cargo that for operational reasons becomes necessary to mobilize on board a ship. This service will vary

according to loading conditions, i.e. full or empty containers.

STORAGE SERVICE (TAC, AG1, AG2, AG3) Storage is classified for cargo in containers (TAC), general cargo in yards (AG1), not containerized general

cargo in warehouses (AG2), not containerized general cargo in special warehouses (AG3).

This consists in a cargo depot that is the service of storage and custody that is provided for cargo that is

located in the places of deposit set by CGSA until its delivery to the consignees or those who represent

them, and by the storage, service that consists in the care of cargo during the time it remains under

CGSA custody.

CGSA will be responsible for the custody of the cargo, according to legislation in force from the moment

it is received and until delivery to the consignee or its representative.

As a consequence of the above, cargo will be received by CGSA and delivered by the carrier, its agents

or representatives, under conditions such that at first glance do not show damage or deterioration in

its packaging or that evidence alteration or damage in contents.

CGSA may repair packages in bad condition, on the account and order of the shipowner or its

representative or the consignee, and carry out, if necessary, repackaging in bags or other properly

sealed containers, making sure that marks and other signs that identify the package are visible to the

naked eye.

It constitutes merchandise of withdrawal or direct shipment that is considered as dangerous and whose

storage is prohibited by competent authorities, in addition to what is set forth in laws and regulations

in force, that by its condition of risk, the storage inside port facilities is prohibited and also that Customs

authority orders to withdraw immediatly.

Dangerous goods (IMO) will not be unloaded if the consignee or its representative have not previously

fulfilled all requirements demanded by pertinent authorities.

CGSA will determine the place where cargo should be stored and will not have responsibility when, due

to lack or insufficient information and/or labeling (for IMO cargo), it causes damage to persons, facilities,

or other loads; in which case the consignee/shipper/shipping lines/Consolidating/deconsolidating

and/or the representative shall assume all responsibility and costs that may generate.

CGSA reserves the right to apply the corresponding legal actions.

The maximum term for cargo to remain in the temporary warehouse shall be that established in customs

legislation.

For the withdrawal of cargo, the customs agent or his duly accredited representative must submit due

customs documents authorized by Customs Authority to CGSA.

BANANO CARGO TRANSFER TTB (GATE TO SHIP)

It is the set of activities that includes the unloading from means of land transportation, reception,

preparation for shipment, porting, loading, stowage, and cracking corresponding to banana cargo for

export that is not mobilized in containers.

In relation to banana export logistics, an operation is established based on a pre-shipment project aimed

at improving the operation at the docks and reducing risks.

Thus, any cargo will go through a previous storage process or, in absence of one, through a process of

cross docking in the warehouse area.

Banana cargo entering the terminal in boxes, must pass through a palletising service, which is excluded

from the gate to ship service.

CGSA receives orders of daily work from exporters until 11hrs for shipments that begin at 3pm, 6pm,

and until 3pm for shipments starting at 08hrs, 1pm the following day.

GENERAL CARGO TRANSFER TTG (SHIP TO GATE) It is the set of activities of stowage, unloading, embarking or disembarkation, internal transport,

storage, issuance of documents of reception or dispatch of general cargo, including their management,

and will include all resources and activities necessary in the provision of such services.

FULL CONTAINER TRANSFER TTC (SHIP TO GATE) It is the set of activities of stowage, unloading, packing, internal transport, storage, issuance of

documents of receipt or dispatch of full containers, including their management, and include all

resources and activities necessary in the provision of such services.

Notwithstanding the above, CGSA can deliver a smaller offer of services as the defined as the set of

activities in transfer ship to gate, with a rate also smaller than the one corresponding to a full service.

EMPTY CONTAINER TRANSFER TTV (SHIP TO GATE) It is the set of activities of stowage, unloading, embarking or disembarking, internal transport, storage,

issuance of documents of receipt or dispatch of empty containers, including their management, and

include all resources and activities necessary in the provision of such services.

INTERNAL TRANSPORT OR PORTEAGE (TPC) Any transportation, including collection or unpacking, stowage or unloading in yards or warehouses, of

general cargo (TPG) or container cargo (TPC) carried out inside the Terminal, including all resources and

activities necessary in the provision of such services.

TOWAGE RESOURCE USAGE (TMR) This service consists in making tugboat operators, infrastructure, and facilities available in the provision

of their services to ships arriving at the terminal.

Tugboats will exclusively use the docks enabled for this purpose, for their permanence in the Terminal.

VESSEL DOCK USAGE (TMN) This service consists in the use of docks, front deck, and facilities in a CGSA site in order to serve a ship,

vessel, or naval device requested by Shipowners, Ship Agents, or their representatives.

CHAPTER V SPECIAL SERVICES DESCRIPTION

MOORING AND DISARMING TO LAND TRANSPORTION MEANS (SO OR 0003): It consists in the

provision of trained personnel with necessary safety elements in accordance with CGSA safety standards

and lightweight tools for tying, loading and unloading cargo from its means of transportation. It does

not include the provision of materials.

EMPTY CONTAINER STORAGE (SS C 0001): It consists in the permanence of cargo under the custody of

CGSA, when it provides the service within facilities for this purpose. CGSA will be responsible for the

custody of empty containers, according to in force legislation from the moment it is received and until

its delivery in the same way to the Consignee or its representative.

TRANSFER CONTAINER STORAGE (SS C 0001): It consists in the permanence of cargo under the custody

of CGSA, when it provides the service within its premises for this purpose. CGSA will be responsible for

the custody of transshipment containers, in accordance with in force legislation from the moment it is

received and until its delivery in the same way to the carrier or its representative.

NON CONVENTIONAL GENERAL CARGO STORAGE IN SHIPYARDS (SS N 0001): It consists in the

permanence and custody of general non conventional cargo in yards. CGSA will be responsible for the

custody of said cargo, according to in force legislation from the moment it is received and until its

delivery in the same way, to the Consignee or its representative.

NON CONVENTIONAL GENERAL CARGO STORAGE IN WAREHOUSES (SS N 0002): It consists in the

permanence and custody of general non-conventional cargo in warehouses according to requirement

according to type of cargo. CGSA will be responsible for the custody of said cargo, according to the

legislation in force from the moment it is received and until its delivery in the same way, to the

Consignee or its representative.

NON CONVENTIONAL GENERAL CARGO STORAGE IN SPECIAL WAREHOUSES (SS N 0003): It consists in

the permanence and custody of general non-conventional cargo in special warehouses according to

requirement according to type of cargo: special, refrigerated, or dangerous. CGSA will be responsible

for the custody of said cargo, according to in force legislation from the moment it is received and until

its delivery in the same way, to the Consignee or its representative.

CONTAINER STORAGE IN SPECIAL SHIPYARDS (SS C 0003): It consists in the permanence of cargo under

the custody of CGSA, when it provides such service in special premises/ yards (conditioned to dangerous

cargo, protected from thermal actions, special custodies).

VEHICLE STORAGE (SS V 0001): It consists in the permanence and custody of vehicles. CGSA will be

responsible for the custody of such vehicles, according to in force legislation from the moment it is

received and until its delivery in the same way to the Consignee or its representative.

CONTAINER RENTAL (SS C 0004): This service consists in coordination of logistics for the provision of

equipment according to customer requirement.

SEAL PLACING (SI C 0001): This service consists in the placement of seals in containers and their

registration and report to the customer. It does not include seal provision.

ELECTRONIC LOCK PLACING/WITHDRAWING (SI C 0005): This service consists in the coordination of

logistics for the provision of equipment and personnel in placing or removing electronic locks by the

supplier.

CLIP ON or GEN SET UNIT CONNECTION/DISCONNECTION (SO C 0004): This service consists in the

connection or disconnection of refrigeration or energy supply units to reefers. The service includes the

use of a forklift. In the case of connection the unit must be in CGSA upon arrival of the container and in

case of disconnection the unit will be delivered to the owner who will have to remove it from the

Terminal.

ON BOARD REEFER CONNECTION/DISCONNECTION (SO C 0001): This service consists in the connection

and disconnection of reefers that need energy supply on board ships, according to instructions given by

the line. It includes the coordination of specialized personnel for connection or disconnection.

FRESH WATER NETWORK CONNECTION (SR OR 0004): This service consists in connecting hoses,

couplets, meters, etc., to allow for the supply of fresh water to ships.

CLASSIFICATION (SI OR 0003): This service consists in the segregation, classification, and labeling of

packages according to customer request at the time of unloading, loading, or storing, consolidating,

deconsolidating, verifying capacity, inspection, or any operation that may require it.

UNPALLETING (SO OR 0006): It consists in the disassembly of pallets (fractionation) going from a unit

of greater cargo to a smaller one.

WAGON DECONSOLIDATION (SW OR 0001): This service consists of all activities of unlashing,

stevedoring and emptying of any type of cargo that is inside a wagon and will include the issuance of

documents that register the operation.

AUTOMATED CONTAINER DISINFECTION (SO C 0005): It shall refer to the unit price, expressed in United States dollars per unit that the concessionaire may charge in the event of fumigation of containers for the use of specialized fumigation equipment, trained technical personnel, materials, cleaning, and treatment of chemical wastes in the operation.

BOARDING, LANDING, AND PASSENGER TRAFFIC (ST P 0001): This service consists in the operation of

embarkation, disembarkation, and passengers transit to and from the ship and also include facilities for

the transfer of luggage of passengers and crew, security guard;, operation area and space for buses on

the side of the ship. This service includes personnel and area-separation equipment.

Notwithstanding the responsibilities of shipping agents and tour operators hired by the shipowner or

its agents, CGSA shall give priority to ships and tourist vessels that require dock services within facilities.

To this end, it shall provide all facilities and services available to vessels and their shipping agents, as

well as to duly accredited tour operators by the shipping agent on behalf of the shipowner and shall

provide for adequate services to passengers, their safety, development of tourism sector activities

within the Terminal, for which it may carry out relevant trade and management agreements.

Services provided to passengers embarking or disembarking in connection with tourist circuits will be

foreseen and aided.

IMO CARGO CONTAINER LABELING/UNLABELING (SI C 0002): It consists in the placing of due labels

according to IMO code or their removal when it does not correspond. It will not include the provision

of materials.

OUT OF STANDARD (SP C 0006): This is an additional percentage value that applies to the operation of

non-ISO and/or deformed containers that the concessionaire may charge customers. It includes the use

of non-conventional equipment and/or occupies a greater volume than that of the nominal of the

equipment.

VEHICLE INVENTORY (SI V 0002): This service consists in the realization of a detailed and specific

inventory of physical conditions of vehicles at the express request of a given customer. This service will

be requested in working hours. Towards this end, CGSA will issue an original inventory certificate and

copy.

CONTAINER CLEANING (SO C 0003): This service consists in providing personnel and materials for

sweeping, cleaning, and waste collection activities in a container.

PONTOON OPERATION/ WAREHOUSE COVERS (SH OR 0001): This refers to movement of pontoons or

warehouse tops by a request other than stowage. This service is provided at the request of the

Shipowner or its representative.

CONTAINER HANDLING IN TERMINAL (SH C 0001): It shall refer to taking cargo from its storage location

and moving it or placing it on land transportation. This service does not include porting.

BUNDLE MEASUREMENT (SI OR 0002): This service consists in providing necessary personnel to carry

out measurements to the packing of cargo; for this, CGSA will issue a certification of its measurements.

This service will not include cargo mobilization if there is one.

FRACTIONED NON CONVENTIONAL CARGO CAPACITY AND INSPECTION OPERATIONS (SI N 0001): This

service consists of providing personnel and equipment necessary in the physical inspection of non-

conventional cargo by cargo owners, their representatives, or corresponding authorities.

VEHICLE CAPACITY AND INSPECTION OPERATIONS (SI V 0001): This service consists in providing

personnel and equipment necessary in the physical inspection of vehicles by cargo owners, their

representatives, or corresponding authorities.

BANANA CARGO INSPECTION OPERATION (SO B 0001): This service consists in providing necessary

facilities in the physical inspection of banana cargo by owners or their representatives.

GRANTING CERTIFICATES AND/OR COPIES (SO OR 0004): This service consists in the provision of

additional information required or requested by authorized parties in the form of reports, facts,

certificates, standard, or personalized electronic messages, images, and simple or legalized copies.

PALLETIZING (SO OR 0002): This service consists in assembling (palletizing) pallets for cargo units that

are smaller than conventional, to tie them, also considering the placement of corners, ribbons, staples,

and any other elements necessary for the proper consistency of the pallet, not including the provision

of materials.

NON CONVENTIONAL GENERAL CARGO PORTING (SO B 0003): Any transportation of non-conventional

general cargo carried out inside the Terminal, including all resources and activities necessary in the

provision of said service, shall be understood as such.

CONTAINER WEIGHING (SO C 0005): This service consists in obtaining the weight of a container and the

issuance of documents that record or certify said weight.

GENERAL CARGO WEIGHING (SO OR 0007): This service consists in obtaining the weight of loose cargo

and the issuance of documents that record or certify such registered weight.

PLANNING FOR PROJECT OPERATIONS (SO OR 0001): This service consists in defining, evaluating,

planning the operation, use of special communication means, analysis, and contracting of additional

insurance coverage to mitigate such risks on a case-by-case basis. The service will be provided with

security elements from the Terminal and specialized personnel. The use of high lift cranes and special

maneuvers are also included.

CARGO PORTING (Banana) (SO B 0002): It consists of any transportation of storage bananas that are

stored in warehouses or containers in the Terminal.

REEFER PRE-COOLING (REEFERS) (SO C 0002): It consists in the connection, pre-cooling and monitoring

of reefers.

SEAL PROVISION AND PLACING (SI C 0003): This service consists in the provision and placement of seals

in containers.

EQUIPMENT SUPPLY (SR OR 0003): This service consists in leasing equipment upon customer request,

which includes specialized personnel for handling. It will be billed according to the capacity of the

equipment and the time of use.

MATERIAL SUPPLY (SR OR 0008): This service consists of providing materials upon customer request or

when the operation demands so.

PERSONNEL SUPPLY (SR OR 0002-0): It consists in the provision of personnel to perform a specific task

within the Terminal, whatever the reason may be.

PERSONNEL SUPPLY (TECHNICAL) (SR OR 0002-1): It consists in the provision of specialized technical

personnel to perform a specific task within the Terminal, regardless of the reason.

REEFER INSPECTION PTI (SI C 0004): This service consists in the inspection of containers before they are

consolidated by technical staff and equipment, ensuring that the unit is in good condition, whenever

requested in advance, by the line or agency.

NON CONVENTIONAL GENERAL CARGO RECEPTION OR DISPATCH (SH N 0001): This service consists in

the reception or dispatch of general non-conventional cargo.

VEHICLE RECEPTION OR DISPATCH (FROM/TO CARGO SHIPS) (SH V 0001): This service consists in the

reception or dispatch of vehicles in the Terminal.

LOOSE CARGO RESTOWAGE IN WAREHOUSE (ST G 0003): It consists in a set of activities in the

rearrangement of cargo mobilizing it inside the warehouse.

LOOSE CARGO RESTOWAGE VIA DOCKS (ST G 0004): This service consists in a set of operational

activities and resources that are necessary in the rearrangement of loose cargo that for operational

reasons is necessary to mobilize from the interior of the ship to the dock and later from the dock to the

ship.

VEHICLE RESTOWAGE (ST V 0002): Mobilization via dock: This service consists in a set of operational

activities and resources necessary in the rearrangement of vehicles that for operational reasons is

necessary to mobilize from the interior of the ship to the dock and later from the dock to the ship.

VARIOUS PROPS SERVICE (SR OR 0001): This service consists in the leasing of equipment and/or special

materials requested by the customer.

SHIP CRANE CARGO TESTING SERVICE (SI C 0006): This service consists in the coordination of logistics

in the provision of equipment to carry out tests on ship cranes.

FRESH WATER SUPPLY (SR OR 0004): It consists in the supply of fresh water to a ship, which will be

provided with equipment and personnel of its own. The supply may be suspended or limited in cases of

force majeure or for qualified reasons.

CONTAINER TRANSFER (ST C 0003): This service consists in operations in two ways: untying, stowing,

landing/embarkation, porting, unloading/loading, and storage of transshipment containers that will

then be re-embarked on a new means of transportation. The concessionaire must know the condition

of transfer of the unit prior to unloading it.

GENERAL CARGO TRANSFER (ST G 0002): This service consists in the operation of: untying/cracking,

unloading/stowage, landing/embarkation, porting, unloading/loading, and storage of unmoved cargo

in a container with transfer condition, which will then be re-embarked on a new means of

transportation. The concessionaire must know the condition of transfer of the unit prior to unloading

it.

GENERAL CARGO TRANSFER (SHIP TO YARD OR YARD TO SHIP) (ST G 0001-0): This service consists in

the operation of cracking or detaching, stowing or disembarking, loading or unloading, porting, and

striking, of cargo not mobilized in containers.

GENERAL CARGO TRANSFER (HOOK TO HOOK) (ST G 0001-1): This service consists in the operation of

cracking or unlatching, stowing or disembarking, loading or unloading of cargo in containers.

NON CONVENTIONAL GENERAL CARGO TRANSFER (HOOK TO HOOK) (ST G 0001): This service consists

in the operation of cracking or unlatching, stowing or disembarking, loading or unloading, and cargo

striping that is presented in solid state and which, when packed or unpacked, can be treated as a unit;

dimension and weight shall exceed 2 cubic meters or 2 tons (per unit).

VEHICLE CARRIER TRANSFER (RO/RO) (ST V 0001): This service consists in the operation of cracking or

detaching, stowing or disembarking, loading or unloading, porting, and striking of vehicles.

NON CONVENTIONAL GENERAL CARGO TRANSFER (SHIP TO GATE OR GATE TO SHIP) (ST N 0001): This

service consists in the operation of cracking or detaching, stowing or disembarking, loading or

unloading, porting, reception and dispatch of cargo that is in the solid state and can be treated as a unit,

whose shape, size and weight are 2 cubic meters or 2 tons (per unit).

NON CONVENTIONAL GENERAL CARGO TRANSFER (SHIP TO YARD OR YARD TO SHIP) (ST N 0002): This

service consists in the operation of cracking or detaching, stowing or disembarking, loading or

unloading, porting, and striping, of non-conventional general cargo.

TRANSFER NON CONVENTIONAL GENERAL CARGO TRANSFER (ST N 0003): This service consists in the

operation of cracking or detaching, stowing or disembarking, loading or unloading, porting, and striping,

of non-conventional general cargo in transshipment. The concessionaire must know the condition of

transfer before its discharge.

FULL CONTAINER TRANSFER (SHIP TO YARD or YARD TO SHIP) (ST C 0001): It is the set of activities that

include lashing/unlashing, stowage/disembarking, loading/unloading, porting, loading slab, seal control,

including management for the provision of such services.

EMPTY CONTAINER TRANSFER (SHIP TO YARD or YARD TO SHIP) (ST C 0002): It is the set of activities

that include lashing/unlashing, stowage/disembarking, loading/unloading, porting, loading slab, seal

control, including management for the provision of such services.

UNIT TRANSFER (SO OR 0005): This service includes the transfer of units (full or empty) and/or cargo

from the port to a specific location or vice versa.

NON CONVENTIONAL GENERAL CARGO LASHING (SV OR 0001): This service consists in breaking the

general unconventional load to special units open top, flat rack, including the materials necessary for

such operation.

EMERGENCY BATCH USE (SS C 0002-0): This service consists in providing emergency batches to

receive cargo residues at the request of the shipowner, shipping agent, customs agent, shipper, or cargo

consignee. The service includes receiving the container with filtration, placing it on the pan to contain

filtration, and then discard it as determined and in accordance with environmental and safety standards.

IMO CARGO EMERGENCY BATCH USE (SS C 0002-1): This service consists in providing an emergency

tank to receive IMO cargo residues at the request of the shipowner, shipping agent, customs agent,

shipper, or cargo consignee. The service includes receiving the container with filtration, placing it on the

pan to contain filtration, and then discard it as determined and in accordance with environmental and

safety standards.

USE OF INFRASTRUCTURE FOR SHIP-FEEDING LAND VEHICLES (SP OR 0001): This service consists in an

authorization to enter facilities for vehicles and/or machinery not owned by CGSA that need to enter

and supply ships.

CHAPTER VI SERVICE PROGRAMMING

1. Services provided by CGSA must be requested by an authorized person, according to

competence, in the Customer Service department.

2. CGSA may require a specific application form according to the nature of each service.

3. The application must include at least the following information:

a. Required type of service.

b. Customer name

c. Ship name and trip or ship reference

d. Cargo Type (Containerized, Loose, General or Bulk)

e. Number of granted by Customs Authority (for import cargo)

f. Container Number (if applicable)

4. Application must be submitted in a timely manner, in accordance with the policy established by

CGSA for each service and the office hours in the Customer Service department, from Monday to Friday from 8:30 a.m. to 5:30 p.m.

About processing applications

a. CGSA will serve requests sequentially, according to their date and time of reception.

b. Service requirement will be programmed and coordinated according to Terminal policies.

c. Services to the customers will inform the user which request has been processed and will indicate the estimated time of completion for the operation.
