ARTICLE XIX. VACANCIES in Office
Section3. In the event of a vacancy in the officer of trustee between conventions, the board of trustees International Council the board of trustees and affected Governors may shall may elect a qualified member of a club to fill such office, who shall serve only until the next annual convention, except that in any year in which no annual convention is held, the International Council shall elect a qualified member of a club to serve for one year until his/her successor is duly elected.PASSED as revised
DISCUSSION Items
• Why ‘may’ instead of ‘shall’?–Each word has different
implications–“Shall” = mandate–“May” = option–Some vacancies occur very late in
the year
DISCUSSION Items
• Why ‘board of trustees and affected Governors’ instead of ‘International Council’?– Position: Board of Trustees more familiar with
Trustee duties and requirements– Position: affected District Governors should be
part of process to represent District interests– Language Concern: limitation of candidate pool
to members of affected Districts only
