The Parsippany-Troy Hills Board of Education held its Regular Meeting on Thursday,
May 28, 2020 at the Calabria Educational Center, 292 Parsippany Road, Parsippany, NJ
07054.
Special Note: As a result of the limitations placed on public assemblies due to COVID-19
related restrictions, this meeting was conducted via Zoom. The district website contained
information on public participation.

President Mr. Neglia called the meeting to order at 6:00 p.m.
MEETING NOTICE MEETING NOTICE
Mr. Neglia stated that in compliance with Chapter 231, Public Law 1975 entitled Open Public
Meetings Act, adequate notice of this meeting has been provided as specified in the Act. A meeting
notice was published in the Daily Record on January 8, 2020 and on the district website
http://www.pthsd.k12.nj.us. Additionally, the Notice of Meeting was posted at the Municipal
building and a copy of the Notice was filed with the Township Clerk on May 15, 2020. This is an
official meeting.

Mrs. Cogan informed the Board that the legislative committee meeting minutes are available for
everyone. They will be put in the Board packets. The agenda has links to all the laws and
everything discussed.

Dr. Sargent presented Superintendent Bulletin Number 18
I’m excited about a few items on tonight’s Bulletin. Ms. Carly Stout, currently the Assistant
Principal at PHHS, is presented for your approval as the Principal of Brooklawn Middle School.
I’m especially appreciative of the thoughtful parents, teachers, and administrators who served on
our Interview Committee – and we had a very savvy Board President rounding out our group.
Dr. Betz will take on the leadership at Northvail School and Mr. Martens will transition to Troy
Hills School, all as of July 1. These transfers were previously approved at an earlier Board
meeting. We have extremely smart and dedicated principals leading our schools, and I’m really
pleased for these school communities.

We also have a Resolution supporting a Dual Enrollment agreement with NJIT for our high school
students whereby they can receive college credit at a significantly reduced tuition rate for particular
math, science, and STEM classes at our high schools.
I know many in our community have been monitoring the Governor’s messaging about graduation
ceremonies. There is nothing to share at this point as we’re awaiting clarification from the NJ
Department of Education on a few particulars.
Finally, I met this afternoon with creators of Parsippany College Connect. These are all Parsippany
High School alumni who are seniors at their respective colleges. This is an online platform for
tracking information voluntarily supplied by PTHS students about the college they are attending,
areas of study, etc. I’m excited to support their work and promote this opportunity with our high
school students and teachers.
For your consideration we have Bulletin items 1-63 with Addendum items 64-66 and Read-Ins
Mr. Berrios asked if there had been any input from the town as to the graduations and what they
would like to see from the district.
Dr. Sargent responded that graduation is a school district function governed by the school district.
The mayor fully supports whatever the district’s decision is. When the decision has been
communicated to the Board and to the families the township will be told as well.
Mrs. Tedesco presented the Secretary’s Report
Tonight’s Secretary’s Report has the regular business motions and the approval of the 2020-2021
business related appointments and contracts.

2. Travel and Work Related Expenses TRAVEL &
EXPENSES
WHEREAS, N.J.A.C. 6A:23B-1.1 et. seq. requires that each Board of
Education adopt a formal policy and procedures relating to travel and
expense reimbursement for its employees and Board members; and
WHEREAS, N.J.A.C. 6A:23B-1.1 et. seq. requires that each Board of Education adopt a
formal policy and procedures relating to travel and expense reimbursement for its employees
and Board members; and
WHEREAS, the Parsippany-Troy Hills Board of Education (the “Board”) adopted a Travel
Expense Reimbursement Policy that addresses the reimbursement of travel-related expenses
by Board members and employees of the District; and
WHEREAS, the Board has considered all other relevant guidelines and
circulars associated with the adoption of its Travel Expense Reimbursement Policy; and
WHEREAS, the Board has determined that the travel listed in this
Resolution is educationally necessary and fiscally prudent; and3
WHEREAS, the Board has concluded that the travel and expense
reimbursements listed in this Resolution are directly related to and within the scope of the
employee’s current responsibilities; and
WHEREAS, the Board has determined that the travel and expense
reimbursements listed in this Resolution are for travel that promotes the delivery of
instruction or furthers the efficient operation of the school district; and
WHEREAS, the Board has concluded that the travel and expense
reimbursements listed in this Resolution are in compliance with State travel reimbursement
guidelines as established by the Department of Treasury and incorporated herein;
THEREFORE; BE IT RESOLVED, Pursuant to N.J.A.C. 6A:23B and
Board Policy and upon the recommendation of the Superintendent, that the Parsippany-Troy
Hills Board of Education, in the County of Morris, New Jersey, approve the travel requests

21.Payment of Bills PAYMENT
OF BILLS
BE IT RESOLVED, that the Board of Education approve the
payment of current bills for May 28, 2020, for the 2019-2020
school year in the amount of $7,503,442.65.
23. Designation of Public Agency Compliance Officer DESIGNATION OF
P.A.C.O.
WHEREAS, in accordance with N.J,.A.C. the State of New
Jersey Division of Contract Compliance and Equal Employment
Opportunity requires that each public agency annually designate
an officer or employee to serve as its public agency compliance
officer; and
WHEREAS, the public agency compliance officer is responsible
for administering contracting procedures pertaining to equal
employment opportunity regarding both The Public Agency and
the service providers. The service providers shall include but
shall not be limited to goods and services vendors, professional
service vendors, and construction contractors; and
WHEREAS, the Board of Education has determined that the
Board Secretary can effectively and appropriately perform the
duties of the public agency compliance officer;
RESOLVED, that the Parsippany-Troy Hills School District
Board of Education, in the County of Morris, New Jersey hereby
designate the Board Secretary as the Public Agency Compliance
Officer for N.J.A.C. 17:27-3.2.
24. Qualified Purchasing Agent QUALIFIED
PURCHASING AGENT
WHEREAS, the Public School Contracts Law, N.J.S.A.
18A:18A-3 authorizes a local board of education to increase
their bid threshold up to the limit set by the Department of the
Treasury provided that the local board of education appoints an
individual who possesses a Qualified Purchasing Agent
certificate to negotiate and award said contracts; and
WHEREAS, the Department of the Treasury has set the
maximum total sum of the bidding threshold for local boards of
education with a Qualified Purchasing Agent at $40,000.00; and

WHEREAS, the Parsippany-Troy Hills Board of Education (the
“Board”) has determined that Robin C. Tedesco possesses the
requisite certificate of Qualified Purchasing Agent issued by the
Director of the Division of Local Government Services in
accordance with N.J.S.A. 40A:11-9 and N.J.A.C. 5:32-4.1 et
seq.; and
WHEREAS, the Board has determined that the efficient
provision of services to the District will be best served by
appointing Robin C. Tedesco as the District’s Qualified
Purchasing Agent and increasing the threshold amount that the
Board may negotiate and award contracts without public
advertising for bids.
NOW, THEREFORE, BE IT RESOLVED that the Parsippany-
Troy Hills Board of Education (the “Board) hereby appoints
Robin C. Tedesco as the Board’s Qualified Purchasing Agent
and delegates to Mrs. Tedesco, in accordance with the
provisions of N.J.S.A. 18A:18A-3, the authority to negotiate and
award contracts on behalf of the Board when the total sum of the
contract does not exceed the Board’s bid threshold; and
BE IT FURTHER RESOLVED, that the Board hereby sets it bid
threshold amount for the 2020-2021 school year at $40,000; and
BE IT FURTHER RESOLVED, that Robin C. Tedesco is
hereby authorized to take those ministerial actions as are
necessary to effectuate the provisions of this resolution.

WHEREAS, the Parsippany-Troy Hills Board of Education (the
“Board”) has determined that it is necessary to retain the services
of a health insurance consultant to assist with the procurement,
analysis, and management of the Board’s vision, prescription,

Alliance Insurance Fund (“SAIF”) following a detailed analysis;

designate a Risk Management Consultant to perform various
professional services as detailed in the Bylaws and Risk

BE IT HEREBY RESOLVED, that the Board of Education of
the Parsippany-Troy Hills School District hereby approves the
terms of the Memorandum of Understanding (“MOU”) between
the District and New Jersey Institute of Technology (“NJIT”),
under which district students may enroll in a joint admission
program with NJIT allowing students to enroll in, and receive
credit for, college credit courses at NJIT while enrolled in the
District; and
BE IT FURTHER RESOLVED, that the Administration is
hereby authorized to take such other and further actions as are
required to effectuate the terms of the MOU; and
BE IT FURTHER RESOLVED, that, upon review and approval
by the Board Attorney, the Superintendent of Schools is hereby
authorized to execute the ensuing contract with NJIT to
effectuate the terms of the MOU.

RESOLUTION OF THE PARSIPPANY-TROY HILLS
BOARD OF EDUCATION REGARDING THE SUB-
LEASE OF CERTAIN PREMISES IDENTIFIED AS LOT
2, BLOCK 483 and THE EXTENSION OF A LEASE
BETWEEN THE PARSIPPANY-TROY HILLS BOARD
OF EDUCATION AND THE PARSIPPANY-TROY HILLS
TOWNSHIP FOR PREMISES IDENTIFIED AS LOT 3,
BLOCK 388
WHEREAS, the Board of Education of Parsippany-Troy Hills
School District (the “Board”) in the County of Morris is the
owner of certain premises located within the Township of
Parsippany (“Township”) designated as Lot 2 in Block 483 on
the Tax Map of the Township (the “Premises”); and

WHEREAS, pursuant to the authority vested to the Board by
virtue of N.J.S.A. 18A:20-8.2, the Board previously declared a
portion of the Premises unnecessary for school purposes and
entered into a long-term lease for a portion of the Premises with
the Parsippany Rescue and Recovery Unit Association, Inc.
(“Rescue Squad”) on or about January 1, 2006; and
WHEREAS, the Township seeks to construct, operate and
maintain a public safety communications system, including a
tower, antennae, cable and related structures on a portion of the
Premises subject to the lease between the Board and the Rescue
Squad for the health, safety and welfare of the citizens of
Parsippany through a sublease between the Township and the
Rescue Squad; and
WHEREAS, the Board and the Rescue Squad are desirous of
permitting said use through a sublease between the Rescue
Squad and the Township subject to the Board’s approval to be
provided through a Landlord’s Consent Agreement; and
WHEREAS, the Board and the Township entered a lease for
certain premises identified as Lot 3 in Block 388 of the Tax Map
of the Township located at 292 Parsippany Road, Parsippany,
New Jersey (the “CEC Lease”) on or about May 11, 2006 which
lease term was to expire on April 30, 2031; and
WHEREAS, as part of the good and valuable consideration for
the Board’s signature on the Landlord’s Consent Agreement, the
Township has agreed to extend the terms of the lease for the
CEC Building through December 31, 2045 on the same terms
and conditions as previously negotiated;
NOW THEREFORE BE IT RESOLVED, that the Board of
Education of Parsippany-Troy Hills School District (“Board”)
hereby approves the Amendment to the Lease Agreement
between the Township of Parsippany and the Board dated May
11, 2006, in the form presented to the Board and on file in the
office of the Business Administrator, which extends the term of
the CEC Lease through December 31, 2045, subject to the terms
and conditions of that Amendment; and
BE IT FURTHER RESOLVED, that the Board hereby
approves the execution of, the Landlord Consent Agreement
between the Board and the Rescue Squad, in the form presented
to the Board and on file in the office of the Business
Administrator to permit the Township to erect the necessary
public safety equipment on the Premises; and

RESOLUTION OF THE BOARD OF EDUCATION OF

THE COUNTY OF MORRIS, NEW JERSEY AWARDING
A QUOTE FOR TAX-EXEMPT LEASE PURCHASE
FINANCINGS FOR THE ACQUISITION OF
TRANSPORTATION & MAINTENANCE VEHICLES
AND EQUIPMENT AND THE ACQUISITION OF
VARIOUS TECHNOLOGY EQUIPMENT
WHEREAS, The Board of Education of the Township of
Parsippany-Troy Hills in the County of Morris, New Jersey (the
"Board") sought quotes for the lease purchase financing of
transportation and maintenance vehicles and equipment in the
amount of $475,000 and the acquisition of various technology
equipment including Chromebooks and iPads in the amount of
$525,000 (collectively, the “Project”); and
WHEREAS, the Board intends to finance such acquisition
through a 5-year tax-exempt, lease purchase financing in an
amount not to exceed $475,000 for the transportation and
maintenance vehicles and equipment and a 3-year tax-exempt,
lease purchase financing in an amount not to exceed $525,000
for the various technology equipment including Chromebooks
and iPads (collectively, the “Lease Purchase Financing”); and
WHEREAS, on May 22, 2020, the Board received quotes for
such Lease Purchase Financing and now seeks to award the
Lease Purchase Financing to entity offering the lowest quote.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD
OF EDUCATION OF THE TOWNSHIP OF PARSIPPANY-
TROY HILLS IN THE COUNTY OF MORRIS, NEW
JERSEY, as follows:
SECTION 1. The Board hereby awards the Lease Purchase
Financing to JP Morgan Chase Bank, NA pursuant to its quote
submitted on May 22, 2020, which proposal offered an interest
rate of 1.197% for the Lease Purchase Financing.

SECTION 2. In consultation with Bond Counsel, the Board
President, the Board Vice President, the Superintendent and the
Business Administrator/Board Secretary are each hereby
authorized and directed to execute all documents including, but
not limited to, a lease purchase agreement, an escrow agreement,
as applicable, and all closing documents in connection with each
Lease Purchase Financing and are hereby authorized to take any
other action necessary therefor or incidental thereto.
SECTION 3. The Board hereby covenants that it will comply
with any conditions subsequently imposed by the Internal
Revenue Code of 1986, as amended (the "Code"), in order to
preserve the exemption from taxation of interest on the Lease
Purchase Financing, including, if necessary, the requirement to
rebate all net investment earnings on the gross proceeds above
the yield on the Lease Purchase Financing. The Lease Purchase
Financing will be designated as "qualified tax-exempt
obligations" for purposes of section 265(b)(3)(B)(ii) of the
Code.
SECTION 4. This resolution shall take effect immediately upon
its adoption.
