Pursuant to Section 139(5) read with Section 142 of the Companies Act, 2013, the Auditors of a Government Company are appointed or reappointed by the Comptroller and Auditor General (C&AG) of India and their remuneration is to be fixed by the Company in the Annual General Meeting. ITEM NO. 3 Pursuant to provision of section 149, 150, 152 and any other applicable provisions of the Companies Act, 2013 and the Rules made there under (including any statutory modification(s) or re-enactment thereof) read with Schedule IV to the Companies Act, 2013, and pursuant to Article 125 of Article of Association of the Company, approval of RBI via letter dated 27th October, 2017 and on approval of ACC vide note dated 30th January, 2018, Mr. Vishnu R. Dusad (Director Identification Number 00008412), was appointed as an Additional Director (Independent) of the Company by the Board of Directors for a period 3 (three) consecutive years, for a term upto 29th January, 2021.
Mr. Vishnu R. Dusad is one of the main founders of Nucleus Software Exports Ltd. and has served as a Director since the inception of the Company. Mr. Dusad completed his Bachelor’s Degree in Technology from the Indian Institute of Technology (IIT), Delhi and has been associated with the development of the software industry in India since 1983 as an entrepreneur. Mr. Dusad has enriched Nucleus with his technology background and 28 years of valuable professional experience in the exciting space of BFSI IT Solutions. He has a deep commitment to making a difference in the lives of fellow Nucleites, and through Nucleus, to the world around. His success in concluding business deals for implementing Nucleus Products globally owes much to a deep sensitivity to cross- cultural nuances. His experience encompasses areas of software development, creation of strategic alliances, business development, and strategic planning. Vishnu R. Dusad is a member of various government, industry bodies, and academia and has been proactively involved in talks on various industry issues and initiatives. He is Co-Chair of FICCI Indo-Australian Joint Business Committee and executive Committee member of Indo Japan Partnership forum. Over the last 27 years, his experience encompasses areas of product development, creation of strategic alliances, business development and strategic planning.
His association would be of immense benefit to the Company. Accordingly, it is proposed to appoint Mr. Vishnu R. Dusad as an Independent Director.

Satish (Director Identification Number 00194258), was appointed as an Additional Director (Independent) of the Company by the Board of Directors for a period 3 (three) consecutive years, for a term upto 29th January, 2021.
Mr. P. Satish has 33 years of experience in the financial sector, with RBI, NABARD and microfinance sector, before joining Sa-Dhan as its Executive Director in March, 2015. Sa-Dhan, is an all-India Association of community development finance institutions, including all MFIs. It is the RBI recognized Self-Regulatory Organization for MFIs. Shri Satish was earlier the Chief General Manager heading the Micro Credit Innovations Department of the National Bank for Agriculture and Rural Development (NABARD). Prior to this, he headed its Maharashtra Regional Office at Pune. He also worked as a Faculty Member at Bankers’ Institute of Rural Development (BIRD), Lucknow. He is a gold medallist in Economics from Osmania University, Hyderabad and has an MBA (Finance) from the same university. He has an MS in Economics from University of Illinois at Urbana-Champaign, USA. He completed his Ph. D in Economics from Punjab University, Chandigarh in the area of Agricultural Credit Markets in Punjab. He was a Director on the Board of Multi-Commodity Exchange of India Ltd (MCX) for three terms and was also on the Boards of MITCON Consultants Ltd. and NABARD Financial Services Ltd (NABFINS).
His association would be of immense benefit to the Company. Accordingly, it is proposed to appoint Mr. P. Satish as an Independent Director.

She was the country’s first woman finance secretary and is widely known for her numbercrunching ability. The deceptively mild-mannered, retired IAS officer of the Madhya Pradesh cadre is reputed to have been a tough negotiator and played a significant role at the finance ministry while reining in profligate ministries and departments during North Block’s austerity drive.
Her association would be of immense benefit to the Company. Accordingly, it is proposed to appoint Ms. SushamaNath as an Independent Director.
