Date & time of Submission of tender

The sealed tender document should be dropped in the special tender box allotted for the above works & kept in the office of the President, MMC , ZRTI, Bhusawal, C.Rly on 19/07/2019 upto 15.00 hours only

Date & Time of Opening of tender

The tender box will be sealed at 15.00 hrs. on 19/07/2019 and opened on 15.15 hours on same day in presence of tenderer(s)/representatives. If holiday is declared on the date of opening, the tenders will be opened on next working day at same time.

Earnest Money Deposit

Earnest Money may be submitted either : a) In cash with MMC ZRTI Bhusawal and production of money receipt to that

effect. b) Demand Draft drawn in favour of President, MMC, ZRTI-Bhusawal, issued

by Scheduled/Nationalized bank. Tenders unaccompanied with requisite Earnest money or received in any other form than those mentioned vide (a) or (b) above, shall be summarily rejected. Tenderer should also write his name and mobile number on back side of DD.

Joint Venture or Consortium

Joint Venture or Consortium are not applicable to participate in this tender.

Eligibility Conditions for Tenderers

As per Regulat ions for Tender and contract (Part-I) in Tender Document.

Security Deposit

The successful bidder shall have to submit a Security Deposit in Cash with President MMC ZRTI Bhusawal or in the form of DD in favour of the President MMC ZRTI Bhusawal issued by Nationalized/Scheduled Bank equivalent to 10% of the contract value before signing the contract agreement. The EMD can be adjusted against the Security Deposit.

Pre Bid Meeting At 15:00 Hrs on 12/07/2019 in the office of President,MMC-ZRTI,Bhusawal.

PART-I

REGULATIONS FOR TENDER AND CONTRACT FOR THE GUIDANCE OF MESS REPRESENTATIVES & CONTRACTORS FOR THIS WORK.

MEANING OF TERMS

1.1 These Regulations for Tenders and Contracts shall be read in conjunction with the General Conditions of Contract which are referred to herein and shall be subject to modifications additions or suppression by special conditions of contract and/or special specifications, if any, annexed to the Tender Forms.

(i) MMC shall mean “Mess Management Committee for assistance to ZRTI Trainees”

hereinafter referred as MMC. MMC provides catering services to the trainees of ZRTI/BSL. President of MMC (i.e. Principal/ZRTI/BSL) will be the officer looking after the affairs the MMC under this contract. In his absence Vice President (i.e. Vice Principal/ZRTI/BSL) will act on his behalf.

(ii) ZRTI Mess shall mean the place of messing arrangements for the Trainee/Trainees;

presently located at Zonal Railway Training Institute, Near RPD, Bhusawal – 425203. (iii) ZRTI stands for Zonal Railway Training Institute, which is Training Institute under

Central Railway/Ministry of Railways. (iv) Trainee(s) shall mean the Trainee/Trainees or the Guest staying in the hostel with

proper permission of the Principal or his representative. (v) Catering Superintendent shall mean MMC‟s representative who is posted in the

mess of ZRTI to oversee the smooth working of mess. (vi) Contractor shall mean the tenderer, who has been awarded the work of providing

the services in the Mess by the MMC/ZRTI. (vii) Supervisor/Assistant supervisor shall mean the competent and authorized person

of the contractor who will do day to day supervision of the work in the Mess & will be available ROUND THE CLOCK, who is authorized to take decisions in the absence of contractor.

(viii) President MMC – Principal, Zonal Railway Training Institute, Bhusawal is the Patron

of MMC. (ix) Vice President MMC – Vice-Principal, ZRTI Bhusawal (x) Secretary MMC – Any officer nominated by the President of MMC. (xi) MMC representative for the purpose of inspection – Any person Nominated by

the President of MMC.

(xii) “Tenderer” shall mean the person/the firm/co-operative or company whether

incorporated or not who tenders for the works with a view to execute the works on contract with the MMC and shall include their personal representatives, successors and permitted assignees.

(xiii) “Limited Tenders” shall mean tenders invited from all or some Contractors on the

approved or select list of Contractors with the MMC. (xiv) “Open Tenders” shall mean the tenders invited in open and public manner and

with adequate notice. (xv) “Works” shall mean the works contemplated in the drawings and schedules set forth

in the tender forms and required to be executed according the specifications. (xvi) “Specifications” shall mean the specifications for Materials and works of the MMC

as specified in Schedule & Scope of Work issued under the authority of the President, MMC ZRTI Bhusawal or as amplified, added to or superseded by special specifications if any, appended to the Tender Forms.

(xvii) “Schedule of Rates of the “MMC” shall mean the schedule of Rates issued under

the authority of the President, MMC ZRTI Bhusawal from time to time. (xviii) “Drawings” shall mean the maps, drawings, plans and tracings or prints thereof

annexed to the Tender Forms. 1.2 Singular and Plural:- Words importing the singular number shall also include the plural

and vice versa where the context requires. 1.3 Headings & marginal headings:- The headings and marginal headings in these

general condition are solely for the purpose of facilitating reference and shall not be deemed to be part thereof or be taken into consideration in the interpretation or construction thereof or the contract.

2. ELIGIBILITY OF BIDDERS AND BID EVALUATION

2.1 Qualification Criteria 2.1.1 Eligible Applicant

(A) The Bids for this contract will be considered only from those Bidders [proprietorship firms, partnership firms, companies, corporations] who meet requisite eligibility criteria in their individual capacity.

(B) Joint Venture or Consortium, Railway Employees are not allowed to participate in this tender.

C) (a) A Bidder shall submit only one bid in the particular Bidding process. No Bidder can be a sub-contractor while submitting a bid individually.

b) Any Central government department/ Ministry of Railways must not have banned business with the Bidder (Proprietor or any member of firm) as on the date of Bid submission.

c) If the bidder (any member of proprietorship firm) must not have suffered

bankruptcy/ insolvency during the last 5 years. The Bidder should submit an undertaking to this effect as part of the bid.

d) Bidders must not have a conflict of interest. Following shall be considered as

conflict of interest in this bidding process :

(i) If a Bidder or her associates/affiliates (inclusive of parent firms) has been engaged by the Employer (Railways) to provide consulting services for the preparation related to procurement or on implementation of the project,

(ii) If a Bidder lends, or temporarily seconds its personnel to firms or organizations

which are engaged in consulting services for the preparation related to procurement for an implementation of the project, if the personnel would be involved in any capacity on the same project.”

e) If the bidder or any of its constituents has changed its name or created a new

business entity as covered by the definition of “Allied Firm”, consequent to having been banned business dealings or suspended business dealings.

2.1.2 Disqualification of Bidders:

Employment / Partnership etc. of Retired Railway Employees (i) Should a Bidder be a retired Manager of the Gazetted rank or any other Gazetted

Officer working before his/her retirement, whether in the executive or administrative capacity or whether holding a pensionable post or not, in any department of any of the railways owned and administered by the President of India for the time being, or

(ii) Should a Bidder being partnership firm have as one of its partners a retired Manager or retired Gazetted Officer as aforesaid, or

(iii) Should a Bidder being an incorporated company have any such retired Manager or

retired officer as one of its Directors or

( iv) Should a Bidder have in h i s /her employment any retired Manager or retired

Gazetted Officer as aforesaid, then, the full information as to the date of retirement of such Manager or Gazetted Officer from the said service and in case where such Manager or Officer had not retired from Government service at least one year prior to the date of submission of the Bid as to whether permission for taking such contract, or;

if the contractor be a partnership firm or an incorporated company, to become a partner or Director as the case may be, or to take the employment under the contractor, has been obtained by the Bidder or the Manager or Officer, as the case may be from the President of India or any officer, duly authorised by his/her in this behalf, shall be clearly stated in writing at the time of submitting the Bid.

Bids without the information above referred to or a statement to the effect that no such retired Manager or retired Gazetted Officer is so associated with the Bidder, as the case may be, shall be rejected.

Should a Bidder or contractor being an individual have a relative(s) or in the case of partnership firm or company of contractors one or more of his/her shareholder(s) or a relative(s) of the shareholder(s) employed in gazette capacity in any department of Indian Railway, the authority inviting bids shall be informed of the fact at the time of submission of Bid, failing which the bid may be disqualified/rejected or if such fact subsequently comes to light, the contract may be rescinded for suppression of facts.

(v) If the bidder or any of its constituents has been levied with a penalty for violation of

labour laws for three times in the last two years (from the date of opening of tender) by the appropriate enforcing agency like the Labour Commissioner etc.

(vi) The contractor shall be disqualified from participating in the bidding, if any previous

contract of the bidder or any of its constituents had been terminated on punitive measure within the previous 2 years from date of submission of bids.

(vii) The contractor shall be disqualified from participating in the bidding, if the bidder or any

of its constituents has been imposed a penalty equivalent to the maximum penalty that can be imposed under a previous contract, such a figure being specified, with in the previous 2 years from date of submission of bids. (Period of 2 years shall be reckoned from the date on which the total accrued amount of penalties has reached the maximum penalty that can be imposed under the contract, as specified by the Competent Authority)

The declaration to this effect shall be furnished by the contractor as a part of his bid document. A format in this regard shall be made a part of the tender document. In case this declaration is found to be false, process for „banning of business‟ against the bidder/contractor shall be initiated as per extent rules.

2.2: Bid Evaluation System:

Evaluation of the bids shall be done as per the following system –

2.2.1: Two Bid System / Two Packet System: With a view to assess the bids technically without being influenced by the financial bids, 'Two Packets System of Bidding' shall be adopted. In this system, the Bidders shall submit their quotations/ offers in two separate sealed envelopes; One envelope containing the Technical Bid (First packet) and the other envelope containing the Financial Bid (Second packet). “Technical Bid” or” Financial Bid” should be mentioned clearly on concerned envelops/packets separately, and both the packets(Technical Bid & Financial Bid) should be submitted altogether in one big packet/envelop within stipulated date and time.

The first packet shall be with the objective of scrutinizing the capability, financial strength, experience etc. of the bidders. If the technical offers are found acceptable by meeting the minimum qualifying technical criteria, the second packet shall be opened and the bids shall be processed for finalization in the normal manner (eligible lowest bidder). Those bidders who do not meet this criterion shall not be considered for opening their financial bids. However, if on the basis of information contained in the first packet, the Tender Committee needs clarification regarding processes, specifications etc.; communication can be initiated with the bidders. In seeking clarifications, all communications with bidders shall be properly recorded so that an audit trail is maintained. Clarifications shall be confined to the documents/information already submitted by the bidder.

2.3:Minimum Eligibility Criteria 2.3.1: Work Experience:

The bidder should have satisfactorily completed in the last three previous financial years and the current financial year upto the date of opening of the tender, one similar single service contract for a minimum of 35% of advertised value of the bid.

Completed service contract includes on-going service contract subject to payment of bills amounting to at least 35% of the advertised value of the bid.

Similar service contract means: any contract work that involves/involved supply of labours for running of mess of Government or Govt. aided Institute, any PSU or semi Govt. institutions/Training Centers/Office Canteens/Rest Houses etc. for at least 01 years in previous or running contract. On-going service contracts which have completed one year contract period on or before the date of opening of this tender are also eligible to fulfil work experience, subject to payment of bills amounting to at least 35% of the advertised value of the bid .

To this effect ,the bidder shall submit details of work executed by them in the prescribed format along with bid for the service contracts to be considered for qualification of work experience criteria clearly indicating the nature/scope of contract, actual completion cost and actual date of completion for such contract.

In addition to the above, bidder should submit copies of respective contracts along with documentary evidence in respect of satisfactory execution of each of those contracts , in the form of copies of any of the document ( Indicating respective contract number, type and quality of services ), such as:

(a) Satisfactorily completion/performance report,or

(b) Proof of release of performance security after completion of the contract, or

(c) Proof of settlement/release of final payment against the contract, or

(d) Any other documentary evidence that can substantiate the satisfactory execution of each of the contract cited above.

Certificate should be issued by the competent authority. Work experience certificate from private individual shall not be accepted.

Certificate from public listed company/private company/Trusts having annual turnover of Rs 500 crore and above subject to the same being issued from their Head office by a person of the company duly enclosing his authorisation by the Management for issuing such credentials.

2.3.2: Financial Standing: The Bidders will be qualified only if they have minimum financial capabilities as below –

(i) Annual and Aggregate Turnover: The bidder should have an aggregate financial turnover not less than 1.5 times the advertised Bid value during the last three previous financial years and in the current financial year up to the date of opening of the tender . The audited balance sheet reflecting financial turnover certified by chartered accountant with his/her stamp, signature and membership number shall be considered.

Following documents will be relied upon for working out the total contractual amount received by the tenderer to evaluate credentials.

(a) Attested copy of Annual Income Tax returns filed with Income Tax Dept for the last

three years and Attested copy of Audited balance sheet duly certified by the Chartered Accountant for the last three years.

(b) Attested Certificates from Employer/Clients about contractual payment received for the work done for the period of previous three years.

(ii)Liquidity: The bidder should have access to or has available liquid assets, lines of credit

and other financial means to meet cash flow that is valued at 5% of the estimated bid value net of applicant‟s commitments for other contracts. The audited balance sheet and/or banking reference certified by chartered accountant with her stamp, signature and membership number shall be submitted by the bidder along with bid. Banking reference should contain in clear terms the amount that bank will be in a position to lend for this work to the applicant. In case the Net Current Assets (as seen from the Balance Sheets) are negative, only the Banking references will be considered. Otherwise the aggregate of the Net Current Assets and submitted Banking references will be considered for working out the Liquidity.

The banking reference should be from a Scheduled Bank in India and it should not be more than 3 months old as on date of submission of bids. Tenderers may carefully note that their contract Agreement for this work is liable to be terminated at any time, in case the documents furnished by them are found to be untrue/ misleading or any adverse point comes to light subsequently. The Decision of President , MMC ZRTI BSL in this regard shall be final and binding upon the contractor.

2.3.3: Score/s on Technical Credentials: Each bidder shall be assigned score for their technical bid. The score of technical bid should be more than or equal to minimum qualifying marks as mentioned in bid document (Annexure-I). The system of assigning score shall be as per the bid document.

2.3.4: Other Criteria:

(a) Residential address/Registered Shop address/Udyog Adhar Registered address of bidder should not be more than 200 KM away from ZRTI- Bhusawal. Attested Xerox copy of valid Certificate to this effect should be submitted along with the tender form.

(b) “Valid Shop Act Registration issued by municipal authority/ Permission Certificate issued by other local authority/Udyog Adhar Registration” or valid proof of having Shop in the name of tenderer. The purpose of shop Act Registration or proof of shop is to verify the existence of a registered shop only irrespective of the type of commodity in the shop.

(c) Tenderer should have valid PAN card. (d) Tenderer should have valid Adhar Card.

(e) Tenderer should have valid GSTIN Registration 2.3.5: Documents to be attached with Tender Form(Technical Bid):

a) Original Earnest Money documents and cost of tender form. b) Copy of PAN card. c) Copy of Adhar Card. d) Copy of GSTIN Registration. e) Copy of Experience Certificate with Tender Form. f) Copies of documents as mentioned in tender Document regarding fulfilling the eligibility

criteria. g) Copy of “Valid Shop Act Registration issued by municipal authority/ Permission

Certificate issued by other local authority” or valid proof of having Shop in the name of tenderer.

h) All the details asked in relevant annexures. i) All additional documents/Certificates/Annexures should be attached with technical bid

only and no any document should be attached with Financial bid. The Financial bid should be submitted in a separate envelop.

j) All the relevant documents submitted should be in single name i.e. clear title. k) “Technical Bid” or “Financial Bid” should be clearly quoted on concerned envelops

along with name of the bidder.

2.4: Evaluation of Technical Bid

(i) The bidder shall submit along with the Bid document, documents in support of their claim to fulfill the minimum eligibility criteria as mentioned in the bid.

(ii) Each bidder shall be assigned score for their technical bid. The score of technical bid should be more than or equal to minimum qualifying marks as mentioned in bid document (Annexure-I). The system of assigning score shall be as per the bid document.

(iii) Each page of the copy of documents / certificates in support of credentials, submitted by the bidder, shouldl be self-attested by the bidder or authorized representative of the bidding firm. Self-attestation shall include signature, stamp and date (on each page). Only, those documents will be considered for evaluating bid, which are duly self-attested as above.

(iv) The bidders shall submit an affidavit on a stamp paper to the effect that all the documents submitted by him/ her along with his/her bid are true. This shall be mandatory in all bids. The bid shall be summarily rejected if the bidder fails to submit this undertaking along with the bid.

2.5: Evaluation of Financial Bid Financial Bid of only those tenderers will be opened who fulfills the technical credential. After opening the financial bid, the tender committee shall verify the credentials of the bidder who is declared as the lowest bidder (L1) for their authenticity. In case the credentials of L1 are not found to be in order, her bid shall be treated as technically unresponsive and thus invalid. The process shall be repeated for the next higher bidder till the valid L1 is established and lowest financial bid will be considered subject to minimum workable cost to perform the work.

If any document (or copy thereof) submitted by a bidder is found to be false / forged:

(a) The bidder / each partner / member of the bidding firm shall be liable to legal actions apart from punitive actions, as decided by President,MMC-ZRTI,Bhusawal. In such an eventuality, the bid (bid) shall also be summarily rejected.

(b) If the contract has already been awarded, or Letter of Acceptance (LOA) has been

issued and in the event of any failure to comply with the above, the contract shall be terminated, irrespective of the stage of progress in execution of the work. In such an eventuality, Security Deposit (SD), and partial / full payments otherwise due to the contractor, in respect of the partial / full work executed by the contractor, shall be forfeited by the MMC.

(c) Other punitive actions, like banning the bidder and partners / members of the biding firm for future dealings with MMC-ZRTI,Bhusawal and/or Central Railway/ Indian Railways may also be taken by the President-MMC,ZRTI-Bhusawal..

The financial proposal shall be evaluated to determine the lowest bidder. In case, the evaluated financial offers of two or more technically qualified bidders are Lowest and same, then the Bid of the bidder who is technically more sound (having scored higher marks in evaluation of technical bid) shall be considered as the lowest. If the marks in the evaluation of technical bids of the lowest bidders are also found to be equal, then the bid of the bidder with the higher cumulative annual financial turnover over the last three years and the current financial year shall be considered as the lowest.

2.6: Minimum Workable Cost: Minimum workable cost will be equal to sum of wages of minimum number of labourers required as per Annexure-XI including EPF,ESI provisions at the rate applicable on the date of opening of tender in Central Government for Zone-III region( as per latest known Circular/Order as on date of opening of Tender) for one year, and the cost of minimum Sanitary material and labour uniforms mentioned in annexure – IX for one year.However, the cost of minimum Sanitary material and labour uniforms mentioned in annexure -IX has been worked out and will be counted as Rs.6,37,567/- (Rs.Six lakh Thirty seven Thousand Five Hundred Sixty Seven Only) for One year contract. It is the average rates collected from different shops in Bbusawl local market during preparation of Tender Estimate. For the purpose of minimum wages, the wages rates published by Ministry of labour Employment,Office of the Chief labour Commissioner(C ) New Delhi for employees employed in Cleaning , Loading/Unloading and/or Construction or Maintenance of Roads or Runways or in building operations will be considered for similar category(Skilled(Clerical)/ Semi Skilled/Unskilled category) of Labourers. 3.Negotiation:- In case the administration decides to negotiate with the lowest or any other tenderer for any reason, the original offer will still be binding in case nothing materialized out of the negotiation. 4.Price Variation Clause: Price Variation will not be applicable during 1 years contract period. However, Price variation will be applicable in case of extension of contract period as specified in Special Conditions of the contract. 5.Laws Governing the Contract: This Tender will not be dealt as a railway tender or government tender. This contract will be treated as a private contract and accordingly Government rules/railway rules will not be applicable for this contract. However, the laws of the Union of India, which are mandatory for the time being in force shall automatically be applicable.The tenderer shall be solely responsible for compliance to the provisions of various Labour and Industrial laws, such as: wages, allowance and insurance etc. relating to personnel deployed by the contractor or for any accident caused to them and the Mess Management Committee shall not be liable to bear any expense in this regard. The Agency shall make payment of wages to workers engaged by it by the stipulated date irrespective of any delay in settlement of its bill by the Mess Management Committee for whatsoever reason. The contractor shall specifically ensure compliance of various Laws /Acts, including but not limited to with the following and their re-enactments /amendments /modifications.

6. Tender For Work: Supply of labourers for providing ancillary Services of Cooking & Serving Cooked food to trainees and cleaning of Utensils, Equipment, Furniture & premises of “Annapurna” Mess run by Mess Management Committee at ZRTI Bhusawal for a period of One year. 7.Tender Form:- Tender Forms shall embody the contents of the contract documents either directly or by reference and shall be as per specimen form. Tender Forms shall be issued on payment of the prescribed fees to the appropriate contractors.

8.Omissions & Discrepancies: - If any discrepancy noticed in tender form or doubt felt in the meaning, tenderer should at once notify the authority inviting tenders who may send a written instruction/clarification to all tenderers. It shall be understood that every endeavor has been made to avoid any error which can materially affect the basis of the tender and the successful tenderer shall take upon himself and provide for the risk of any error which may subsequently be discovered and shall make no subsequent claim on account thereof. 9. Earnest Money:- (a) The tenderer shall be required to deposit earnest money with the tender for the due

performance with the stipulation to keep the offer open till such date as specified in the tender, under the conditions of tender. This earnest money shall be applicable for all modes of tendering.

(b) It shall be understood that the tender documents have been sold/issued to the tenderer

and the tenderer is permitted to tender in consideration of stipulation on his part, that after submitting his tender he will not reside from his offer or modify the terms and conditions thereof in a manner not acceptable to the MMC. If the tenderer fails to observe or comply with the said stipulation, the aforesaid amount shall be liable to be forfeited by the MMC.

(c) If the tender is accepted, the earnest money mentioned in sub clause (a) above will be

retained as part security for the due and faithful fulfillment of the contract in terms of Clause 9 of the General Conditions of Contract.

(d) The Earnest Money of other Tenderers shall, save as herein before provided, be

returned to them, but the MMC shall not be responsible for any loss or depreciation that may happen there to while in their possession, nor be liable to pay interest thereon.

(e) The Earnest Money should be in cash or in the form of demand drafts executed by State

Bank of India or any of the Nationalized Banks or by a Scheduled Bank. 10. Care in Submission of Tenders: (a) Before submitting a tender, the tenderer will be deemed to have satisfied himself by

actual inspection of the site and locality of the works, that all conditions liable to be encountered during the execution of the works are taken into account and that the rates he enters in the tender forms are adequate and all inclusive to accord with the provisions of the General Conditions of Contract for the completion of works to the entire satisfaction of the MMC.

(b) When work is tendered for by a firm or company of contractors, the tender shall be signed by the individual legally authorized to enter into commitments on their behalf.

(c) The MMC shall not bound by any power of attorney granted by the tenderer or by changes in the composition of the firm made subsequent to the execution of the contract.

It may, however, recognize such power of attorney and changes after obtaining proper legal advice, the cost of which will be chargeable to the contractor.

11.Right of MMC to deal with Tenders:- The MMC reserves the right of not to invite tenders for any of MMC work or works or to invite open or limited tenders and when tenders are called to accept a tender in whole or in part or reject any tender or all tenders without assigning reasons for any such action. 12.Execution of Contract Agreement:- The successful Bidder whose tender will be accepted shall be required to appear in person at the office of the President MMC ZRTI Bhusawal or if a firm or corporation, a duly authorized representative shall so appear and execute the contract agreement within 15 days after notice that the contract has been awarded to him. Failure to do so shall constitute a breach of the agreement affected by the acceptance of the tender in which case the full value of the earnest money accompanying the tender shall stand forfeited without prejudice to any other rights or remedies. In the event of any tenderer whose tender is accepted shall refuse to execute the contract agreement as herein before provided, the MMC may determine that such tenderer has abandoned the contract and there upon his tender and acceptance thereof shall be treated as cancelled and the MMC shall be entitled to forfeit the full amount of the Earnest Money and to recover the damages for such default. 13.Form of Contract Agreement: Every contract shall be complete in respect of the agreement, it shall so constitute. The contract agreement shall be signed in 3 copies by the competent authority and the contractor and one copy given to the contractor, one(Orignal) will be retained with President-MMC and one copy given to catering supervisor of Mess ZRTI-Bhuswal for execution of work.

PART II

GENERAL CONDITIONS OF CONTRACT GENERAL OBLIGATIONS:

1. Execution, Co-relation and intent of contract Documents:- The contract documents be signed by the President, MMC ZRTI Bhusawal and the Contractor. The contract documents are complementary, and what is called for by anyone shall be as binding as if called for by all, the intention of the documents is to include all labour and materials and equipment necessary for the proper execution of work. Materials or work not covered by or properly inferable from any heading or class of the specifications shall not be supplied by the MMC to the contractors unless distinctly specified in the contract documents. Materials or works described in words which so applied have a well known technical or trade meaning shall be held to refer to such recognized standards.

2. Communications to be in writing:- All notices, communications, reference and

complaints made by the MMC's Representative or the Contractor inter-se concerning the works shall be in writing and any notice, communication, reference or complaint other than in writing shall not be entertained.

3. Service of Notices on Contractors:- The Contractor shall furnish to the MMC the name,

designation and address of his authorized agent and all complaints, notices, communications and references shall be deemed to have been duly given to the Contractor if delivered to the Contractor or his authorised agent or left at or posted to the address so given and shall be deemed to have been so given in the case of posting on day on which they would have reached such address in the ordinary course of post or on the day on which they were so delivered or left. In the case of contract by partners, any change in the constitution of the firm shall be forthwith notified by the Contractor to the MMC.

4. Occupation and use of land:- No land belonging to or in the possession of the MMC/ZRTI-

Bhusawal shall be occupied by the Contractor without the permission of the MMC. The Contractor shall not use, or allow to be used; the site for any purposes other than that of executing the works. Whenever non-railway bodies/persons are permitted to use ZRTI-Mess premises with competent authority‟s approval, conservancy charges as applicable from time to time may be levied.

5. Assignment or subletting of contract:- The Contractor shall not assign or sublet the

contract or any part thereof or allow any person to become interested therein any manner whatsoever without the special permission in writing of the MMC. Any breach of this condition shall entitle the MMC to rescind the contract under clause 39/40 of these conditions and also render the contractor liable for payment to the MMC in respect of any loss or damage arising or ensuing from such cancellation. Provided always that execution of the details of the work by petty contractor under the direct and personal supervision of the Contractor or his agent shall not be deemed to be sub-letting under this clause. The permitted subletting of work by the Contractor shall not establish any contractual relationship between the sub-contractor and the MMC, and shall not relieve the Contractor of any responsibility under the Contract.

6. Representation on Works:- The Contractor shall, when he is not personally present on the site of the works place and keep a responsible agent at the works during working hours who shall on receiving reasonable notice, present himself to the MMC Officials/Representatives and orders given by the MMC representative to the agent shall be deemed to have the same force as if they had been given to the Contractor. Before absenting himself, the Contractor shall furnish the name and address of his agent for the purpose of this clause and failure on the part of the Contractor to comply with this provision at any time will entitle the MMC to rescind the contract under clause 39/40 of these conditions.

7. Excavated material:- The Contractor shall not sell or otherwise dispose of or remove

except for the purpose of this contract, any substances or materials which may be obtained from any excavation made for the purpose of the works or any building or produced upon the site at the time of delivery of the possession thereof but all the substances, materials, buildings and produce shall be the property of the MMC provided that the Contractor may, with the permission of the President, MMC ZRTI Bhusawal, use the same for the purpose of the works either free of cost or pay the cost of the same at such rates as may be determined by the President, MMC ZRTI Bhusawal. Any substance/belongings of trainees left behind in the mess should be deposited to the Catering Supervisor of MMC for further disposal.

8. Indemnity by Contractors: -The Contractor shall indemnify and save harmless the MMC

from and against all actions, suit proceedings losses, costs, damages, charges, claims and demands of every nature and description brought or recovered against the MMC by reason of any act or omission of the Contractor, his agents or employees, in the execution of the works or in his guarding of the same. All sums payable by way of compensation under any of these conditions shall be considered as reasonable compensation to be applied to the actual loss or damage sustained, and whether or not any damage shall have been sustained.

9. Security Deposit: - a. Security Deposit should be 10% of the contract value.The Earnest Money deposited by the

Contractor with the tender will be retained by the MMC as part of security deposit for the due and faithful fulfillment of the contract by the contractor. The balance amount of security deposit should be deposited by the Contractor in cash or Demand Draft issued by a Nationalized/Scheduled Bank in the name of the President, MMC ZRTI BSL within stipulated period.

b. Security Deposit shall be returned to the contractor after the expiry of the contract period in all the cases other than detained by MMC for recovery of any due claim and after passing the final bill based on No Claim Certificate with the approval of the Competent Authority.

c. The Competent Authority shall normally be the authority who is competent to sign the contract. The certificate, inter-alia, should mention that the work has been completed in all respects and that all the contractual obligations have been fulfilled by the contractor and that there is no due from the contractor to MMC against the contract concerned. Before releasing the SD, an unconditional and unequivocal no claim certificate from the contractor concerned should be obtained.

d. No interest will be payable upon the Earnest Money and Security Deposit or amounts payable to the Contractor under the Contract.

Note- After the work is physically completed, security deposit collected from the contractor can be returned to him by cheque.

10. Force Majeure Clause:- If at any time, during the continuance of this contract, the

performance in whole or in part by either party of any obligation under this contract shall be prevented or delayed by reason of any war, hostility, acts of public enemy, civil commotion, sabotage, serious loss or damage by fire, explosions, epidemics, strikes, lockouts or acts of God(hereinafter, referred to events) provided, notice of the happening of any such event is given by either party to the other within 30 days from the date of occurrence thereof, neither party shall by reason of such event, be entitled to terminate this contract nor shall either party have any claim for damages against the other in respect of such non-performance of delay in performance, and works under the contract shall be resumed as soon as practicable after such event has come to an end or ceased to exist, and the decision of the MMC as to whether the works have been so resumed or not shall be final and conclusive, PROVIDED FURTHER that if the performance in whole or in part of any obligation under this contract is prevented or delayed by reason of any such event for a period exceeding 120 days, either party may at its option terminate the contract by giving notice to the other party.

11.(1) Illegal Gratification:- Any bribe, commission, gift or advantage given, promised or

offered by or on behalf of the Contractor or his partner, agent or servant or, anyone on his behalf, to any officer or member of the MMC, or to any person on his behalf in relation to obtaining or execution of this or any other contract with the MMC shall, in addition to any criminal liability which he may incur, subject contractor to the rescission of the contract and all other contracts with the MMC and to the payment of any loss or damage resulting from such decision and the MMC shall be entitled to deduct the amounts so payable from any moneys due to the Contractor(s) under this contract or any other contracts with the MMC.

(2)The Contractor shall not lend or borrow from or have or enter into any monitory dealings

or transactions either directly or indirectly with any employee of the MMC and if he shall do so, the MMC/ZRTI-Bhusawal shall be entitled forthwith to rescind the contract and all other contracts with the MMC. Any question or dispute as to the commission or any such offence or compensation payable to the MMC under this clause shall be settled by the MMC-President , in such a manner as he shall consider fit and sufficient and his decision shall be final and conclusive. In the event of rescission of the contract under this clause, the Contractor will not be paid any compensation whatsoever except payments for the work done up to the date of rescission.

EXECUTION OF WORKS

12.(1)Contractor's understanding:- It is understood and agreed that the Contractor has, by careful examination, satisfied himself as to the nature and location of the work, the conformation of the ground, the character, quality and quantity of the work , the character of equipment and facilities needed preliminary to and during the progress of the works, the general and local conditions, the labour conditions prevailing therein and all other matters which can in any way affect the works under the contract.

(2)Commencement of works:- The Contractor shall commence the works within 15 days after the receipt by him of an order in writing to this effect from the MMC and shall proceed with the same with due expedition and without delay.

(3)Accepted programme of work:- The Contractor who has been awarded the work shall as soon as possible shall submit the details of labour and supervisors, plant and machinery that he intends to utilize (from time to time) for execution of the work within stipulated time period . The programme of work amended as necessary by discussions with the MMC, shall be treated as the agreed programme of the work for the purpose of this contract and the contractor shall endeavor to fulfill this programme of work. The progress of work will be watched accordingly the liquidated damages will be with reference to the overall completion date. Nothing stated herein shall preclude the contractor in achieving earlier completion of item or whole of the works than indicated in the programme.

13.(1)Compliance of MMC’s Instructions:- The President, MMC ZRTI BSL shall direct or

order in which the several parts of the works shall be executed and the Contractor shall execute without delay all orders given by the President, MMC ZRTI BSL from time to time. The Contractor shall not be relieved thereby from responsibility for the due performance of the works in all respects.

(2) Alterations to be authorized:-No alterations in or additions to or omissions or

abandonment of any part of the works shall be deemed authorised, except under instructions from the President, MMC ZRTI BSL, and the contractor shall be responsible to obtain such instructions in each and every case in writing from the President, MMC ZRTI BSL.

14.Damage to Railway property or private life or property:- The Contractor shall be

responsible for all risk to the work and for trespass and shall make good at his own expense all loss or damage whether to the works themselves or to any other property of the MMC or the lives, persons or property of others from whatsoever cause in connection with the works until they are taken over by the MMC and this although all reasonable and proper precautions may have been taken by the Contractor, and in case the MMC shall be called upon to make good any costs, loss or damages or to pay any compensation, including that payable under the provisions of the Workmen's Compensation Act or any statutory amendments thereof to any person or persons sustaining damages as aforesaid by reason of any act, or any negligence or omissions on the part of the Contractor the amount of any costs or charges including costs and charges in connection with legal proceedings, which the MMC may incur in reference thereto, shall be charged to the Contractor. The MMC shall have the power and right to pay or to defend or compromise any claim of threatened legal proceedings or in anticipation of legal proceedings being instituted Consequent on the action or default of the Contractor, to take such steps as may be considered necessary or desirable to ward off or mitigate the effect of such proceedings, charging to Contractor, as aforesaid, any sum or sums of money which may be paid and any expenses whether for reinstatement or otherwise which may be incurred and the propriety of any such payment, defense or compromise, and the incurring of any such expenses shall not be called in question by the Contractor.

15. Provision of efficient and competent staff:- The Contractor shall place and keep on the works at all times efficient and competent staff and to give the necessary directions to his workmen and to see that they execute their work in sound and proper manner and shall employ only such supervisors, workmen and labourers in or about the execution of any of these works as are careful and adequate skilled in the various trades and callings. The Contractor shall at once remove from the works any supervisor, workman or labourer who shall be objected to by the MMC and if and whenever required by the MMC, he shall submit a correct return showing the names of all staff and workmen employed by him. In the event of the MMC being of the opinion that the Contractor is not employing on the works a sufficient number of staff and workmen as is necessary for the proper completion of the works within the time prescribed, the Contractor shall forthwith on receiving intimation to this effect take on the additional number of staff and labour specified by the MMC within seven days of being so required and failure on the part of the Contractor to comply with such instructions will entitle the MMC to rescind the contract .

16. Facilities for Inspection:- The Contractor shall afford the President, MMC ZRTI BSL

and the MMC's Representative every facility for entering in and upon every portion of the work at all hours for the purpose of inspection.

17. Supply of Water: The water will be supplied by Railway on behalf of the MMC. In case

of scarcity in supply of water or any other failure of MMC/Railway, the contractor‟s staff will communicate and cooperate as and when required.

18 Safety of Public:- The Contractor shall be responsible to take all precautions to ensure

the safety of the public whether on public or Railway property and shall post such look out men as may in the opinion of the MMC be required to comply with regulations pertaining to the work.

19. Suspension of works:- The Contractor shall on the order of the MMC, suspend the

progress of the works or any part thereof for such time or times and in such manner as the President, MMC ZRTI BSL may consider necessary and shall during such suspension properly protect and secure the work so far as is necessary in the opinion of the President, MMC ZRTI BSL. If such suspension is:-

(a) Provided for in the contract, or (b) Necessary for the proper execution of the works or by the reason of weather Conditions or by some default on the part of the Contractor, and or (c) Necessary for the safety of the works or any part thereof.

VARIATIONS IN EXTENT OF CONTRACT 20. Modification to contract to be in writing:- In the event of any of the provisions of the

contract requiring to be modified after the contract documents have been signed, the modifications shall be made in writing and signed by the MMC and the Contractor and no work shall proceed under such modifications until this has been done. Any verbal or written arrangement abandoning, modifying, extending, reducing or supplementing the contract or any of the terms thereof shall be deemed conditional and shall not be binding on the MMC unless and until the same is incorporated in a formal instrument and signed by the President, MMC ZRTI BSL and the Contractor, and till then the MMC shall have the right to repudiate such arrangements.

21.(1) Powers of modification to contract:- The President, MMC ZRTI BSL shall be

entitled by order in writing to enlarge or extend, diminish or reduce the works or make any alterations in their design, character position, site, quantities, dimensions or in the method of their execution or in the combination and use of materials for the execution thereof or to order any additional work to be done or any works not to be done and the contractor will not be entitled, to any compensation for any increase/reduction in the quantities of work but will be paid only for the actual amount of work done and for approved materials supplied against a specific order.

(2)Unless otherwise specified in the special conditions of the contract, the accepted

variation in quantity of each individual item of the contract would be up to 25% of the quantity originally contracted, except in case of foundation work. The contractor shall be bound to carry out the work at the agreed rates and shall not be entitled to any claim or any compensation whatsoever up to the limit of 25% variation in quantity of individual item of works.

(3)Valuation of variations:- The enlargements, extensions, diminution, reduction,

alterations or additions referred to in sub-clause (2) of this clause shall in no degree affect the validity of the contract but shall be performed by the Contractor as provided therein and be subject to the same conditions, stipulations and obligations as if they had been originally and expressively included and provided for in the specifications and drawings and the amounts to be paid therefore shall be calculated in accordance with the accepted schedule of rates. Any extra items/quantities of work falling outside the purview of the provisions of sub-clause (2) above shall be paid for at the rates decided by the president MMC.

22. CLAIMS : (1) Monthly Statement of Claims:- The Contractor shall prepare and furnish to the MMC

once in every month an account giving full and detailed particulars of all claims for any additional expenses to which the Contractor may consider himself entitled to and of all extra or additional works ordered by the MMC which he has executed during the preceding month and no claim for payment for and such work will be considered which has not been included in such particulars.

(2)Signing of "No Claim" Certificate:- The Contractor shall not be entitled to make any

claim whatsoever against the MMC under or by virtue of or arising out of this contract, nor shall the MMC entertain or consider any such claim, if made by the Contractor, after he shall have signed a "No Claim" Certificate in favour of the MMC-ZRTI/Bhusawal in such form as shall be required by the MMC after the works are finally measured up. The Contactor shall be debarred from disputing the correctness of the items covered by "No Claim" Certificate or demanding a clearance to arbitration in respect thereof.

23. MEASUREMENTS, CERTIFICATES AND PAYMENTS (a) Rounding off amounts:- The total amount due on each certificate shall be rounded off

to the nearest rupee i.e. sum less than 50 paise shall be omitted and sums of 50 paise and above up to Re.1 /- will be reckoned as Re. 1/-.

(b) Manner of payment:- Payment of contractor will be done on monthly basis after

submission of Bill for payment within Ist 10 days of the following (next ) calendar month and subject to fulfillment of necessary conditions. Unless otherwise specified payments to the Contractor will be made by cheque.

(c) If the contractor pays GST on account of this contract/work, and submits its proof to this

office, the same will be reimbursed by Mess Management Committee, ZRTI/Bhusawal to the contractor.

24. Certificate of completion of works:- As soon as in the opinion of the President, MMC

ZRTI BSL, the work has been completed and has satisfactorily passed any final test or tests that may be prescribed, the President, MMC ZRTI BSL shall issue on demand of the contractor a certificate of completion duly indicating the date of completion in respect of the work and the period of maintenance of the work shall commence from the date of completion mentioned in such certificate.

25.(1) Final Payment:- On the basis of certificate of completion in respect of the works

adjustment shall be made and the balance of account based on the President, MMC ZRTI BSL or the MMC's representative's certified measurements of the total quantity of work executed by the Contractor up to the date of completion and on the accepted schedule or rates and for extra works on rates determined under Clause of these conditions shall be paid to the Contractor subject to any deduction which may be made under these presents and further subject to the Contractor having delivered to the MMC either a full account in detail of all claims he may have on the MMC in respect of the works or having delivered "No Claim" Certificate and the MMC having after the receipt of such account given a certificate in writing that such claims are correct, that the whole of the works to be done under the provisions of the Contracts have been completed, that they have been inspected by him since their completion and found to be in good and substantial order, that all properties, works and things, removed, disturbed or injured in consequence of the works have been properly replaced and made good and all expenses and demands incurred by or made upon the MMC for or in the respect of damage or loss by from or in consequence of the works, have been satisfied agreeably and in conformity with the contract.

(2) Post Payment Audit:- It is an agreed term of contract that the MMC reserves the right to carry out a post-payment audit of the works and the final bill including all supporting vouchers, abstracts, etc., and to make a claim on the contractor for the refund any excess amount paid to him if as a result of such examination any over-payment to him is discovered to have been made in respect of any works done or alleged to have been done by him under the contract.

26.Withholding and lien in respect of sums claimed:- Whenever any claim or claims for

payment of a sum of money arises out of or under the contract against the contractor, the MMC shall be entitled to withhold and also have a lien to retain such sum or sums in whole or in part from the security deposit , if any, deposited by the contractor and for the purpose aforesaid, the MMC shall be entitled to withhold the said cash security deposit or the security if any, furnished as the case may be and also have a lien over the same pending finalization or adjudication of any such claim. In the event of the security being insufficient to cover the claimed amount or amounts or if no security has been taken from

the contractor, the MMC shall be entitled to withhold and have a lien to the extent of the such claimed amount or amounts referred to supra, from any sum or sums found payable or which at any time thereafter may become payable to the contractor under the same contract or any other contract with this or any other MMC or any Department of the Central Government pending finalization or adjudication of any such claim.

It is an agreed term of the contract that the sum of money or moneys so withheld or retained under the lien referred to above, by the MMC will be kept withheld or retained as such by the MMC till the claim arising out of or under the contract is determined by the arbitrator or by the competent court as the case may be and that the contractor will have no claim for interest or damages whatsoever on any account in respect of such withholding or retention under the lien referred to supra and duly notified as such to the contractor.

26-A : Lien in respect of claims in Other Contracts:- Any sum of money due and payable to the contractor (including the Security Deposit

returnable to him) under the contract may be withheld or retained by way of lien by the MMC, ZRTI/Bhusawal, against any claim in respect of payment of a sum of money arising out of or under any other contract made by the Contractor with Mess management Committee, ZRTI/Bhusawal.

27. Signature on Receipts for Amounts:- Every receipt for money which may become

payable or for any security which may become transferable to the Contractors under these presents, shall, if signed in the partnership name by anyone of the partners of a Contractor's firm be a good and sufficient discharge to the MMC in respect of the moneys or security purported to be acknowledged thereby and in the event of death of any of the Contractor, partners during the pendency of the contract it is hereby expressly agreed that every receipt by anyone of the surviving Contractor partners shall if so signed as aforesaid be good and sufficient discharge as aforesaid provided that nothing in this clause contained shall be deemed to prejudice or effect any claim which the MMC may hereafter have against the legal representative of any contractor partner so dying for or in respect to any breach of any of the conditions of the contract, provided also that nothing in this clause contained shall be deemed to prejudice or effect the respective rights or obligations of the Contractor partners and of the legal representatives of any deceased Contractor partners inters.

28. Wages to Labourer: - The Contractor shall be responsible to ensure compliance with

the provision of the Minimum Wages Act, 1948. If, in compliance with the terms of the contract, the Contractor supplied any labourer to be used wholly or partly under the direct orders and control of the MMC whether in connection with any work being executed by the Contractor or otherwise for the purpose of the MMC such labourer shall, for the purpose of this clause, still be deemed to be persons employed by the Contractor.

If any moneys shall, as a result of any claim or application made under the said Act be

directed to be paid by the MMC, such money shall be deemed to be moneys payable to the MMC by the Contractor and on failure by the Contractor to repay the MMC any moneys paid by it as aforesaid within seven days after the same shall have been demanded, the MMC shall be entitled to recover the same form any moneys due or accruing to the contractor under this or any other Contract with the MMC.

29. Payment of Revised Minimum Wages: (i) Contractor must be aware of the Minimum Wages rates revised time to time by Ministry

of Labour & Employment(Central Circle), and should comply the payment accordingly through crossed bank cheques or through ECS payment/net banking.

(ii) The contractor shall also ensure that each and every worker is covered under the time being provision of EPF ACT and SEI Act. EPF and ESIC contribution in respect of all employees shall be paid and ensured by the contractor.

(iii) The contractor shall submit a written copy of proof of compliance of the above mentioned provisions (i) and (ii) along with monthly bill for payment failing which the bill for payment may be detained.

(iv)The MMC shall be entitled to deduct from any moneys due to the contractor (whether under this contract or any other contract), all moneys paid or payable by the MMC by way of compensation of aforesaid or for costs of expenses in connection with any claim thereto and the decision of the President, MMC ZRTI BSL upon any question arising out of the effect or force of this clause shall be final and binding upon the Contractor.

(v) The contractor will issue monthly pay sheets to all his workers and a copy of the same should be submitted to MMC,ZRTI/Bhusawal along with next month‟s bill for payment.

30. Provisions of Contract labour (Regulation and Abolition) Act, 1970- (a) The Contractor shall comply with the provision of the contract labour (Regulation and

Abolition) Act, 1970 and the Contract labour (Regulation and Abolition) Central Rules 1971 as modified from time to time, wherever applicable and shall also indemnify the MMC /ZRTI from and against any claims under the aforesaid Act and the Rules.

(b) In respect of all labour directly or indirectly employed in the work for performance of the contractor's part of the contract, the Contractor shall comply with or cause to be complied with the provisions of the aforesaid Act and Rules wherever applicable.

(c ) In every case in which, by virtue of the provisions of the aforesaid Act or the Rules, the MMC is obliged to pay any amount of wages to a workman employed by the Contractor in execution of the work or to incur any expenditure on account of the Contingent, liability of the MMC due to the contractor's failure to fulfill his statutory obligations under the aforesaid Act or the rules, the MMC will recover from the Contractor, the amount of wages so paid or the amount of expenditure so incurred and without prejudice to the rights of the MMC.

The MMC shall be at liberty to recover such amount or part thereof by deducting it from the security deposit and/or from any sum due by the MMC to the contractor whether under the contract or otherwise. The MMC shall not be bound to contest any claim made against it under relevant sections of the aforesaid Act except on the written request of the Contractor and upon his giving to the MMC full security for all costs for which the MMC might become liable in contesting such claim. The decision of the President, MMC ZRTI BSL regarding the amount actually recoverable from the contractor as stated above shall be final and binding on the Contractor.

31. Reporting of Accidents of Labourer:- The Contractor shall be responsible for the safety of all workers deployed by him on the works and shall report serious accidents to any of them however and wherever occurring on the works to the MMC or the MMC Representative and shall make every arrangements to render all possible assistance. Tenderer is also required to provide a First Aid Box in the mess and maintain the minimum First Aid material and medicines as mentioned in Annexure No-XVI at his own cost. .

32.Provision of Workmen’s Compensation Act:- In every case in which by virtue of the

provisions of relevant Section of the Workmen's Compensation Act 1923, MMC is obliged to pay compensation to a workman directly or through employed by the Contractor in executing the work, MMC will recover from the Contractor the amount of the compensation so paid, and, without prejudice to the rights of MMC under relevant Section of the said Act, MMC shall be at liberty to recover such amount or any part thereof by deducting it from the security deposit or from any sum due by MMC to the Contractor whether under these conditions or otherwise, MMC shall not be bound to contest any claim made against it under relevant Section of the said Act except on the written request of the Contractor and upon his giving to MMC full security for all costs for which MMC might become liable in consequence of contesting such claim.

33. MMC not to provide quarters for Contractor’s labourer: - No quarters shall normally

be provided by the MMC for the accommodation of the Contractor or any of his staff employed on the work. In exceptional cases where accommodation is provided to the Contractor at the Railway's discretion, recoveries shall be made at such rates as may be fixed by the Railway for the full rent of the buildings and equipments therein as well as charges for electric current, water supply and conservancy.

34. Compliance to rules for employment of labour: - The Contractor(s) shall conform to

all laws, bye-laws rules and regulations for the time being in force pertaining to the employment of local or imported labour and shall take all necessary precautions to ensure and preserve the health and safety of all staff employed directly or through petty Contractors or Sub-Contractors on the works.

35. Preservation of peace: - The Contractor shall take requisite precautions and use his

best endeavors to prevent any riotous or unlawful behavior by or amongst his workers and for the preservation of peace and protection of the inhabitants and security of property in the neighborhood of the works. In the event of the MMC requiring the maintenance of a special Police Force at or in the vicinity of the site during the tenure of works, the expenses thereof shall be borne by the Contractor and if paid by the MMC shall be recoverable from the Contractor.

36. Sanitary arrangements: - The Contractor shall obey all sanitary rules and carry out all

sanitary measures that may from time to time be prescribed by the medical authority through MMC and permit inspection of all sanitary arrangements at all times by the President, MMC ZRTI BSL, the MMC's Representative or the Medical Staff. If the Contractor fails to make the adequate sanitary arrangements, these will be provided by the MMC/Railway and the cost therefore recovered from the Contractor. The minimum extent sanitary materials given in the Annexure- IX should be arranged by the contractor.

37. Outbreak of infectious disease: - The Contractor shall remove from his camp such

labour and their families as refuse protective inoculation and vaccination when called upon to do so by the President, MMC ZRTI or his representative on the advice of the Medical Authority.

38. Medical Certificate of fitness for labour:- It is agreed that the contractor shall not

employ a person for the purpose of execution of work under the contract unless a medical certificate of fitness in the prescribed format granted to him by a surgeon of Railway Hospital Bhusawal certifying that he is fit to work as an adults is obtained and kept in the custody of the contractor or a person nominated by him in this behalf and the person carries with him, while at work. Cost of medical fitness examination shall be borne by the contractor. Validity of medical certificate of fitness will be one year.

DETERMINATION OF CONTRACT:

39.(1) Right of MMC to determine the contract:- The MMC shall be entitled to determine and terminate the contract at any time. Notice in writing from the MMC of such determination and the reasons therefore shall be conclusive evidence thereof.

(2) Payment on determination of contract: - Should the contract be determined under

sub clause (1) of this clause and the Contractor claims payment for expenditure incurred by him in the expectation of completing the whole of the work, the MMC shall admit and consider such claims as are deemed reasonable and are supported by vouchers to the satisfaction of the MMC. The MMC's decision on the necessity and propriety of such expenditure shall be final and conclusive.

(3) The Contractor shall have no claim to any payment of compensation or otherwise,

howsoever on account of any profit or advantage which he might have derived from the execution of the work in full but which he did not derive in consequence of determination of contract.

40. Determination of contract owing to default of contractor:-

Due to non compliance of any stipulated contract condition on the part of contractor or violation of any time being rule regulation of government or any competent authority, MMC may issue a 7 days advance notice for termination of contract and on non response or non satisfactory reply/response of contractor, a 48 hrs notice will be issued before terminating the contract.

41. Termination/surrendering of Contract with advance notice:

a) This contract may be terminated at any time by the contractor by giving 60 days‟ advance notice in writing duly indicating the reasons thereof ( and should be beyond control of the contractor), and the same should be acceptable to the authority executing the contract i.e. President, MMC/ZRTI/BSL and the contractor.

b) This contract may be terminated at any time by the President, Mess Management Committee/ZRTI-Bhusawal by giving two month‟s advance notice in writing without assigning the reasons thereof, if deemed necessary to safeguard the interest of MMC and the same should be acceptable to the contractor .

In case of abovementioned situations (a) & (b), the security deposit of the contractor will be refunded after deducting the MMC dues if any

42. SETTLEMENT OF DISPUTES – ARBITRATION (a) Except as otherwise provided elsewhere in the contract, if any dispute, difference,

question of disagreement or matter whatsoever, shall before/after completion or abandonment of work hereafter arises between the parties, as to the meaning, operation or effect of the contract or out of or relating to the contract or breach thereof, shall be referred to a sole arbitrator to be appointed by the General Manager, Central Railway, C.S.M.T. The arbitrator/arbitrators/ umpires so appointed as the case may be, shall give the awards on all matter referred to arbitrator indicating therein break-up of the sums awarded separately on each individual items of dispute. The award given by the arbitrator so appointed shall be binding on both parties. It will not be open to the parties to challenge the jurisdiction of the arbitrator after the award has been made.

(b)The venue of arbitration would be within the geographical limits of the ZRTI Bhusawal .

(c) Cost of arbitration shall be borne by both the parties equally.

(d) Any time being change/changes in Indian Arbitration & conciliation Act 1996/ Indian

Arbitration & conciliation Act 2015(Amended) or any statutory modification thereof for the time being in force shall automatically be applicable.

(e) Obligation During Pendency of Arbitration - Work under the contract shall, unless

otherwise directed by the President, MMC ZRTI BSL, continue during the arbitration proceedings, and no payment due or payable by the MMC shall be withheld on account of such proceedings, provided, however, it shall be open for Arbitral Tribunal to consider and decide whether or not such work should continue during arbitration proceedings.

43. Jurisdiction of courts – The Bidding Process and contract shall be governed by, and

construed in accordance with, the laws of India and the Courts located at Bhusawal shall have exclusive jurisdiction over all disputes arising under, pursuant to and/ or in connection with the tender and the contract.

44. Death of contractor: (a) If the tenderer(s) expires after the submission of his / their tender or after the acceptance

of his their tender, the MMC, ZRTI Bhusawal shall deem such tender cancelled. If a partner of a firm expires after the submission of their tender or after the acceptance of their tender, the MMC, ZRTI Bhusawal shall deem such tender as cancelled, unless the firm retains its character.

(b) In the event of death of contractor during the currency of contract, the legal heirs and/or

successors of the contractor may be allowed to continue the contract for the unexpired period of the contract and indemnify the mess committee from all the obligations under this contract.

Part-III: SPECIAL CONDITIONS OF THE CONTRACT 45. Allotment of contract to Eligible L-1 Bidder: The contract will be awarded to eligible L-1 bidder subject to fulfillment of tender conditions. Contract rate will be applicable for complete period of contract and no escalation will be paid on accepted rate except as provided in tender clause. Therefore, the tenderer should quote taking into consideration future increment in minimum wages as well. After issuance of Letter of Acceptance, the tenderer( contractor) should ensure to fulfill all the necessary conditions of starting the contract activities such as Biometric attendance system, police verification, adhar card, Pan Card, Bank Account details and medical fitness examination of labours before commencing the contract, failing which the LOA will be canceled and EMD shall be forfeited. 46 Contractor’s employees – (i) For the purpose of executing this contract, the Contractor shall engage sufficient number

of employees. Before submitting bid document, the contractor should visit the site of work i.e. “Annapurna Mess”, ZRTI/Bhusawal to identify and analyze the entire scope of work of mess activities and for planning of worker to be deployed. However the number of employees deployed will not be less than the number mentioned in Annexure-XI . The employees shall be of good health, good personal hygiene, character, well behaved, obedient and skillful in their work. The contractor shall ensure that they observe cleanliness and are properly dressed in clean uniform. For rendering efficient service timely, contractor shall at all times keep and make available sufficient number of workers including stand by.

(ii) Child labours, women labours and worker above 60 year age are not permitted in this work.

(iii) The contractor will be required to get verification from local police of all his workers deployed in the mess. The cost of this will be borne by contractor.

(iv) The contractor shall provide to the MMC a list of workers with complete details including their local/permanent address, contact details, photographs, police verification, Adhar card/pan card, bank account details etc.

(v) The contractor will not change staff without approval of the MMC to ensure consistency in service. The Contractor shall remove any employee who in the opinion of the MMC is guilty of misconduct, or is in any manner unfit or unsuitable for service. The Contractor shall be solely responsible for the remuneration and other dues of his employees as also for omissions/commissions done by them.

(vi) Proper Identity card will be issued by the contractor to his staff duly countersigned by President/MMC/ZRTI/BSL or any other authority nominated by him.

(vii) Uniform for the contractor‟s staff – The contractor‟s staff will wear properly cleaned and ironed uniform as approved by the MMC. Uniform will be supplied by the contractor at the rate of minimum two sets per year as per the following details.

(a) Cook and helpers: Proper uniform (colour and design to be approved by the MMC) and in addition Protective apron and suitable plastic or similar cap.

(b) Asst. Supervisor /Data Entry Operator/Food Dispensers/Counter vendors: Shirt, pants, belt, socks & shoes (colour and design to be approved by the MMC). Vendor should wear polythene hand gears during serving the cooked food.

(c) Cleaners : Shirt, pants, belt, socks & shoes. A separate colored cloth should be provided to Cleaners.

(viii) The work involved is purely on contract basis and persons engaged by the contractor shall not be/deemed to be an employee of the Railway/Mess Management Committee, ZRTI/Bhusawal.

47.(A) The Asst.supervisor of the contractor shall meet following basic requirements

(i) He should be minimum 12th pass. (ii) He should be able to speak Hindi and to understand simple English. In addition to

this, knowledge of Marathi is preferable. (iii) He should have capacity to manage the employees and the services in this contract

and to deal with the Trainees. (iv) He should be able to maintain records as required. (v) He should be sensible, have presentable manners and etiquettes to deal with the

Trainees coming from different parts of the country.

(B). Eligibility /Minimum Essential Qualification of the workers required and functions to be performed by them:

Note: The Labourers already working in the Mess of ZRTI-Bhusawal from one year or more will be exempted from above requirement of qualification if engaged by the contractor for the same work on the risk and responsibility of contractor.

48. Maintenance of Attendance Record: In addition to manual attendance record, the contractor may maintain a proper Biometric attendance record of all workmen and the same shall be checked and verified by Mess Management Committee/ Catering Supervisor. A copy of computerized attendance sheet prepared through Biometric system shall be submitted every month along with the bill for payment. The payment shall be made strictly on satisfactory work and on the basis of daily attendance of mess staff. The cost of procurement and installation/maintenance of Biometric equipment shall be borne by the contractor. In case of failure in biometric attendance, a fine of Rs. 250/-Per day/per occasion may be imposed. 49. Insurance of Workers: The contractor shall, at his own expense, take workmen‟s compensation insurance. For this purpose, Tenderer Should have EPF, ESI and other statutory registration timely. 50..Do’s and Don’ts for personal hygiene The mess is primarily for the Trainees and it is important that the service personnel are well mannered, courteous, presentable, neat and clean. It should be ensured that: (i) All the staff has short nails and short hair (ii) Should have regular bath and wear clean uniform and rubber shoes/leather

shoes/sandals. The uniform should be clean without stains. The socks, which they will be wearing, should be washed on regular basis.

(iii) Kitchen staff should wear headgear and apron while working in kitchen and cooking area. Service staff should wear prescribed uniform.

(iv) Should not sneeze in kitchen or serving area, if required should quickly move away to a corner area with nose covered with personal handkerchief and immediately wash hands with soap.

(v) After going to the toilet, wash hand with soap. (vi) No staff should eat in dining hall. (vii) In case of spread of any disease they should wear necessary protection such as

masks, covers or any other protection measures advised by doctors. (viii) The labour working for cleaning shall not be utilized for food handling(cooking or

dispensing) 51. Safety – The safety of men, material and equipment at all places including kitchen and

dining hall will be the responsibility of the contractor. MMC will not be held responsible for any claims/compensation due to any accident.

52. Checklist of work - The contractor shall prepare a checklist in prescribed format on

weekly basis as well as daily basis for the proper supervision over maintenance of catering services as given in Annexure - XI and get verified by the Catering supervisor/s.

53. Serving of Food – The mode of serving will be from counter inclusive of limited items

and subsequent services of unlimited items. Prepared food is required to be served piping hot in casseroles or bain-marie or other suitable utensils as the case may be in neat and hygienic manner. There should be proper supervision by a supervisor of the service to direct and control the refilling of the utensils/bain-marie, serving of Rotis / Poori, water as this is one of the very important aspects of the meal.

54.Timing of serving of the food – The Contractor has to serve the meals in a stipulated

span of time as detailed below.

Note: There may be minor changes in the timing occasionally for which advanced intimation will be given to the contractor. There may be few Trainees who may take meals after the scheduled time. Meals will be kept in Tiffin with crockery on the table as per prior intimation by the Catering Supervisor. On special occasions, staggering of timings will be done.

55. Cleanliness of the Kitchen, utensils and crockery: Contractor will have to arrange to wash utensil timely and store them in hygienic condition

and wipe them with the help of clean cloth. Brushes, detergents for the cleaning of the utensil and crockery etc. will be arranged by the contractor. The cleaning and mopping of the kitchen, store, dining hall and related areas will be the responsibility of the contractor. The detergent(s) required for washing of crockery and liquid soap on wash basins for washing hands for trainees shall also be arranged by the contractor. Minimum extent of cleaning material is given in Annexure- IX.

56.General Precautions for cooking helpers for ensuring cleanliness – Some important

instructions are listed below: (i) All food grains should be cleaned and washed if required before use. (ii) All vegetables and fruits should be washed before serving. (iii) All the chopped vegetables should be kept covered. (iv) Dal should be soaked for required duration before cooking and the water should be

thrown. (v) All cooked and uncooked food should be kept covered. (vi) All the refrigerators should be thoroughly cleaned once a fortnight with soap &

warm water and then with sanitizer. (vii) No opened tins should be kept in refrigerator as it is likely to cause food poisoning. (viii) No stale food should be served. Hot food should be served hot and cold food

should be served cold. (ix) Garbage bins should be cleaned after every service. The waste food is required to

be fed to biogas plant without any spillage in the adjoining area. Food or waste from the vegetables and fruits or any other material, which is not to be fed to bio gas plant is to be disposed of promptly in the municipal designated disposable bin area outside the mess in the manner as per the requirements of Municipality, or as per the directions of the President,MMC-ZRTI-Bhusawal.

(x) Deep freezers/Refrigerators should not be used to store ground masalas (like Ginger, garlic, chili paste for more than twelve hours). Due care is required to be taken to prepare fresh paste every day.

57. One room/shed would be provided for the use of contractor‟s staff with the basic

purpose of keeping the minimum necessary belongings of employees required for morning preparation timely. Contractor should ensure that they keep surrounding neat and clean, maintain the decorum and do not create the nuisance.

58. Maintenance and breakage of cutlery and crockery: The Contractor shall be

handed over all crockery, cutlery, glass, cooking utensils and other articles necessary and suitable for running the services. For damage due to normal wear due to usage MMC shall replace/replenish such of the articles from time to time when considered necessary. For damage due to negligence from contractor‟s labour, contractor should replace such articles at his own cost. However breakage up to 2% per month for breakable item in handling will be accepted. No such tolerance is available for metal/unbreakable crockery and cooking utensils except for normal wear and tear. However for the replacement of such items at the cost of contractor, the decision of MMC will be final. Contractor will be responsible for returning the unserviceable item of utensils/cutlery due to usage/accidental breakage for speedy replacement.

59.Equipments and facilities provided by the MMC/ Railway –

(i) Electric Equipments - The Dining Hall is fitted with lights, fans, exhaust system and Insect Catchers, which should be operated by contractor as per requirement.

(ii) Electric Power -The charges for electricity consumed for lights and fans and the kitchen equipments will be free of cost to the contractor but proper care shall be taken by Contractor to ensure that the fans, lights & equipments are used with due economy and are switched off whenever not required or used only to the minimum extent necessary, so as to avoid wasteful consumption of electricity.

(iii) Water Supply - The supply of water for the use of the services will be free of cost to the contractor but proper care shall be exercised by the Contractor to ensure that water is used with utmost economy.

(iv) Furniture - Dining tables and chairs are provided by the MMC and are kept for use in the dining hall. The parts of furniture including the top, is to be cleaned regularly after every service, the entire furniture shall be cleaned/ washed once in a month. However the dusting and wiping is to be done daily.

60. Absenteeism of staff and unsatisfactory services- The Contractor has to provide sufficient staff, i.e. Cook & Helpers, service personnel. The number of and type of staff as committed by the contractor in his tender shall have to be maintained. Suitable penalty as mentioned hereunder in the tender clause 64 will be levied in the event of failure.

61. Damage to the premises, fittings and fixtures – The Contractor shall be responsible

for safety to the Dining Hall/Kitchen/Rooms etc. during the course of work or to the fittings, fixtures, furniture, or other equipment. When such damage is in the opinion of the MMC; caused due to negligence or carelessness or any fault on contractors part or that of his employees and he shall be liable to pay to the MMC such amount in respect of such damage as may be assessed by the MMC. MMC will have the right to deduct such amounts from the contractor‟s bills duly informing the contractor about it.

62.Complaints and improvements – The contract is for Ancillary services of Cooking ,

serving cooked food to trainees & cleaning of utensils/equipments/furniture‟s and mess premises and their satisfaction with the level of service is important. The day to day functioning of the services including the detailed menu shall be decided by a mess committee in its quarterly meetings, in which Trainee/Trainees also participate.

A register for the feedback shall be kept with the CS/MMC. The entries made in the same shall be noted by contractor regularly. The contractor shall carry out such improvements as may be necessary, for ensuring satisfactory service and shall take due notice of complaints made by the occupants either directly to him or through MMC.

63. Extension of contract period: Temporary extension of contract may be granted for a short period after completion of

One years contract period with the mutual consent of both the parties in case of delay in finalization of fresh tender.

63(a) Price Variation during extension of Contract Period: Price Variation will not be

applicable during one years of original contract period. However, Price variation will be applicable in case of extension of contract period as under: Difference of minimum wagse (including EPF & ESIC) for minimum number of required labourers as per Annexure-XI of Tender Document, between the revised minimum labour wages rates applicable on the date of opening and date of extension of contract, and similarly applicable at each substantial revision of wages during the extended period of contract.

63(b) Price Variation with variation in number of trainees present in ZRTI-Bhusawal and entitled for messing facility: The contract is awarded for deployment of labours for providing messing facilities as

mentioned in the scope of work for approximately 1200 number of trainees . However, variation may occur in the number of trainees. “In case of increase or

decrease of trainees up to 25%, no variation required in minimum required number of mess labours. If the number of trainees increases or decreases more than 25%, one unskilled labour will be allowed for increase or decrease for further increase or decrease of per 100 number of trainees or part thereof. And accordingly, the amount equal to minimum wages for such increased or decreased number of labours will be paid or deducted as the case may be from subsequent payments to the contractor. Such variation of trainees and labours will be dealt on monthly basis.

The contractor will be intimated in advance about the probability of increase or

decrease in the number of trainees. However, in case of slight increase or decrease, in the number of trainees, decision of President,MMC-ZRTI-Bhusawal will be final in this regard.

64 . Penalty

i) In case the ancillary services are found to be unsatisfactory based on the regular feedback of the Trainees or if found by MMC officials or their representative, MMC will have the right to impose suitable penalty for each such lapse. The penalty amount will be deducted from the coming running bill.

ii)In case of any failure by contractor to serve food in time MMC has full powers to engage labour from outside and contractor will have to pay a penalty up to Rs.10,000/- (Ten thousand only) per occasion not served over and above the penalties levied in any other clause of the Agreement. Decision whether contractor would be able to serve in time will be taken by MMC keeping in view the situation.

iii) In case the serving and helping staff deployed is less than the specified number in Annexure-XI , penalty will be imposed @ the rate specified below:-

a) Shortage of Food dispenser/ counter vendor or cleaner staff: - Rs 500.00 (Rs. Five hundred) per day per person .

c) Shortage of Cook / Assistant Supervisor/Data Entry Operator:- Rs 1000.00 (Rs One Thousand) per day per person.

Number of Staff deployed would be calculated based on actual head count available in the mess/Kitchen (excluding rest, leave, change over etc.).

65. If the tenderer has any doubt about the meaning or implication of any condition or terms in this tender, he is advised to have the doubt or the ambiguity clarified before submitting the tender. No such doubt or any clarification sought after submission of the tender will be entertained and the tender may not be considered.

1. I/We___________________________________________________ have read the various conditions to tender attached hereto and agree to abide by the said conditions. I/We also agree to keep this Tender open for acceptance for a period of 90 days from the date fixed for opening the same and in default thereof. TENDER FORMS (SECOND SHEET)

Instructions to tenders and conditions of tender: 1. Tenders containing erasures and / or alterations of tender documents are liable to be

rejected. Any correction made by tender(s) in his their entries must be self attested. 2. The works are required to be completed within a period of one year from the date of issue

of acceptance letter. 3. Earnest Money: (a) The tender must be accompanied by a sum of Rs.2,03,130.00 as earnest money deposited

in cash or Demand Draft issued by a Nationalized or Scheduled Bank in the name of the President, MMC, ZRTI - Bhusawal, failing which the tender will not be considered. Name and mobile number should be written on back side of DD if attached as EMD.

(b) The Tenderer(s) shall keep the offer open for a minimum period of 90 days from the date of opening of the Tender. It is understood that the tender documents has been sold/issued to the Tenderer(s) and the Tenderer(s), is / are permitted to tender in consideration of the stipulation on his / their part that after submitting his / their tender subject to the period being extended further if required by mutual agreement from time to time, he will not reside from his offer or modify the terms and conditions thereof in a manner not acceptable to the President, MMC ZRTI Bhusawal , Should the tenderer fail to observe or comply with the foregoing stipulation, the amount deposited as Earnest Money for the due performance of the above stipulation, shall be forfeited by the MMC.

(c) If the tender is accepted, the amount of Earnest Money will be retained and adjusted as security Deposit for the due and faithful fulfillment of the contract. This amount of Security Deposit shall be forfeited if the tenderer(s)/Contractor(s) fail to execute the Agreement Bond within stipulated days after receipt of notice issued by MMC that such documents are ready or to commence the work within stipulated days after receipt of order to that effect.

(d) The Earnest Money of the unsuccessful tenderer(s) will, save as here-in-before provided, be returned to the unsuccessful tender(s) within a reasonable time but the MMC shall not be responsible for any loss or depreciation that may happen to the security for the due performance of the stipulation to keep the offer open for the period specified in the tender documents or to the Earnest Money while in their possession nor be liable to pay interest thereon.

4 . Rights of the MMC to deal with tender: - The authority for the acceptance of the tender

will rest with the President, MMC ZRTI Bhusawal. It shall not be obligatory on the said authority to accept the lowest tender or any other tender and no tenderers(s) shall demand neither any explanation for the cause of rejection of his /their tender nor the MMC to assign reasons for declining to consider or reject any particular tender or tenders.

5. If the tenderer(s) deliberately gives / give wrong information in his / their tender or creates /

create circumstances for the acceptance of his / their tender, the MMC reserves the right to reject such tender at any stage.

6. If the tenderer(s) expires after the submission of his / their tender or after the acceptance of his their tender, the MMC, ZRTI Bhusawal shall deem such tender cancelled. If a partner of a firm expires after the submission of their tender or after the acceptance of their tender, the MMC, ZRTI Bhusawal shall deem such tender as cancelled, unless the firm retains its character.

7. Tenderer’s Credentials: - Documents testifying tenderer‟s previous experience, Credential and financial status should be produced along with the tender or when desired by competent authority of the MMC for which he/they should submit following documents. (i) His capacity to carry out the works satisfactorily. (ii) His financial status supported by Bank reference and other documents. (iii) Certificates duly attested and testimonials regarding contracting experience for the type

of job for which tender is invited with list of works carried out in the past. 8. Tender must be enclosed in a sealed cover, superscripted “Tender No. MMC/S&C/2019-20

and must be sent by registered post to the address of President, MMC C/o Principal, ZRTI, Bhusawal, Central Railway so as to reach his office not later than 15 :00 Hours on the date of opening i.e.19.07.2019. or deposited in the special box allotted for the purpose in the office of Principal, ZRTI, Bhusawal, Central Railway. This Special box will be sealed at 15.00 hours on 19.07.2019. The tender will be opened at 15.15 Hours on the same day. The tender papers will not be sold after 17.00 hours on 18.07.2019.

9. Non-compliance with any of the conditions set forth therein above is liable to result in the

tender being rejected. 10. Execution of Contract Documents: -The successful Tenderer(s) shall be required to

execute an agreement with the President Mess Management Committee ZRTI, Bhusawal, MMC/ZRTI-Bhusawal for carrying out the work according to General conditions of Contract, Special conditions/specifications annexed to the tender and specification for work and materials of MMC/ZRTI-Bhusawal as amended/corrected up to correction slip mentioned in tender form.

11. Partnership deeds, Power of Attorney etc: - The tenderer shall clearly specify whether the tender is submitted on his own or on behalf of a partnership concern. If the tender is submitted on behalf of a partnership concern, he should submit the certified copy of partnership deed along with the tender and authorization to sign the tender documents on behalf of partnership firm. If these documents are not enclosed along with tender documents, the tender will be treated as having been submitted by individual signing the tender documents. The MMC/ZRTI-Bhusawal will not be bound by any power of attorney granted by the tenderer or by changes in the composition of the firm made subsequent to the execution of the contract. It may, however recognize such power of attorney and changes after obtaining proper legal advice, the cost of which will be chargeable to the contractor.

12.The tenderer whether sole proprietor, a limited company or a partnership firm if they want to act through agent or individual partner(s) should submit along with the tender or at a later stage, a power of attorney duly stamped and authenticated by a Notary Public or by Magistrate in favour of the specific person whether he/they be partner(s) of the firm or any other person specifically authorizing him/them to submit the tender, sign the agreement, receive money, witness measurements, sign measurement books, compromise, settle, relinquish any claim(s) preferred by the firm and sign "No Claim Certificate" and refer all or any disputes to arbitration.

MEDICAL FITNES OF THE STAFF

Employees of the contractor will be examined by CMS/Railway Hospital Bhusawal and certify their fitness for the work to be done. The certificate to be submitted with the MMC. This examination should be carried out at the time of start of the contract or joining of any new employee at contractor‟s cost. In case MMC or their representative feel the need for any detailed examination of the contractor‟s staff, based on the symptoms, contractor will arrange for the required examination and medical tests at his cost and submit the report to the MMC to satisfy him about the good health of the employee.

ANNEXURE -VIII SCHEDULE OF WORK FOR CLEANING

ANNNEXURE -XXI Contractor’s Agreement

I offer to do the work at the rates entered in the schedule of rates on which I have

signed. I agree that no work under this contract shall be assigned are sublet without the previous written approval of the Mess Management Committee, ZRTI/Bhusawal.

I agree that my work may be stopped at any time by the Mess Management

Committee, ZRTI/Bhusawal giving me or my Representative 7 days notice in writing. I shall have no further claim against the Mess Management Committee, ZRTI/Bhusawal and I agree that any dispute arises and matters connected with this agreement, the same shall be referred to a person to be nominated in this behalf by the Patron of the Mess Management Committee, ZRTI/Bhusawal whose decision in writing shall be final and binding on both parties. I agree that any claim have to be met shall be made within 7 days from the receipt of the notice. Any claims made after more than 7 days shall be deemed to have waived by me. ANNNEXURE -XXII

INDEMNITY BOND This deed of Indemnity made this __________day of ____________year_______by M/s_________________ a company registered under Indian Companies Act of 1956/Registered with Directorate of Industries concern/small (Address)_________________________herein after referred to as the Indemnifiers (which expression shall unless repugnant to the context meaning thereof be deeded to include their successors/ executors and assigns) in favour of the President, Mess Management Committee, ZRTI/Bhusawal (which expression shall unless repugnant to the context of meaning thereof include his successors and assigns in office). Where as the indemnifier have entered into a contract with the President, Mess Management Committee, ZRTI/Bhusawal according to details given by the indemnifiers in their offer issued by the President, Mess Management Committee, ZRTI/Bhusawal which together with the documents mentioned therein constitute and said contract is that the Administration in the manner and under the circumstances hereinafter provided.

I. The indemnifiers hereby agree and undertake that they will be indemnify the said messing arrangement of ancillary services of Cooking & serving cooked food to trainees and cleaning of Utensils, Equipment, Furniture & premises of “Annapurna” Mess run by MMC at ZRTI BSL for the period of ONE year in trust for the purpose of undergoing and completing the work and returning the same to the President, Mess Management Committee, ZRTI/Bhusawal and strictly according to the terms of the contract in the respect.

II. The indemnifiers hereby agree and undertake that they will be responsible for the safe custody and

protection of the equipment‟s, premises, accessories and also for any loss or damage to the fittings or other parts of the equipment, premise, accessories while in their custody arising from whatever cause will they are returned to the President, Mess Management Committee, ZRTI/Bhusawal after repairs according to the terms of the contract in that respect.

III. The indemnifiers hereby agree and undertake that they shall indemnify the President, Mess

Management Committee, ZRTI/Bhusawal against all loss or damage referred to in item No.II above, reimburse to the President, Mess Management Committee, ZRTI/Bhusawal the cost of the equipment‟s etc. and also make good any loss or damage caused as a result thereof.

IV. The indemnifiers further agree that if any amount become payable by the indemnifiers to the

President, Mess Management Committee, ZRTI/Bhusawal under this Indemnity Bond then without prejudice to any other remedies available to the Mess Management Committee the said President, Mess Management Committee, ZRTI/Bhusawal shall be entitled to recover the same by way of deductions from any sum due to or any sum which at any time hereinafter may become due to referred or any other contract.

V. This indemnity Bond is executed by the undersigned for Rs.______against the articles covered in

General Notes:

1. Rates quoted above should be inclusive of all taxes (except GST), transportation, uniforms, and hand wash liquid soap, all cleaning agents to be used for utensils, kitchen, dining and other area of mess. No extra payment will be given on any account.

2. If the Contractor pay GST on account of this contract & submits its proof, the reimbursement of the same will be done by MMC, ZRTI/BSL.

3. Rates will be applicable for complete period of the contract. No escalation will be paid on accepted rate except as provided in tender condition.

4 Offer Rate should be quoted in figures as well as in words. Conditional offers shall not be accepted.

5. Entire tender form should be filled in by blue or black ball point pen. Use of whitener or alteration is not permitted.
