Highlights Q2 2015 Odfjell Drilling Ltd. Group
• Operating revenue of USD 286 million compared to USD 272 million in Q2 2014.
• Negative EBITDA of USD 156 million compared to positive EBITDA of USD 91 million in Q2 2014.
• Negative EBITDA margin of 54 % compared to positive 33 % in Q2 2014.
• EBITDA in Q2 2015 is negatively impacted by the impairment write-down on the two drillships,
Deepsea Metro I and Deepsea Metro II, of which USD 210 million represents the Group’s 40%
share, and USD 35 million represents an impairment write-down of the remaining investment in
Deep Sea Metro Ltd. and;
o EBITDA, adjusted for the loss from the impairment write-down in joint ventures, in Q2
2015 is USD 89 million.
o EBITDA margin, adjusted for the loss from the impairment write-down in joint ventures,
in Q2 2015 is 31 %.
• The Group’s contract backlog is USD 4.2 billion, whereof USD 2.2 billion is firm backlog. The
comparable figure at the end of Q2 2014 was USD 4.4 billion, whereof USD 2.8 billion was firm
backlog.

• Operating revenue of USD 209 million compared to USD 184 million in Q2 2014.
• EBITDA of USD 95 million compared to USD 83 million in Q2 2014.
• EBITDA margin of 46 % compared to 45 % in Q2 2014.
• Deepsea Aberdeen commenced drilling operations on 21 April 2015.

Financial review – operation (Comparable figures for last comparable period in brackets)
Consolidated group financials
Profit & loss Q2 2015
Operating revenue for Q2 2015 was USD 286 million (USD 272 million), an increase of USD 14 million, or
5 %.
The currency effect is having a negative impact on the operating revenue compared to Q2 2014. There
has been a strengthening of the USD towards NOK in the period of almost 25 % compared with Q2 2014.
Approximately one third of the operating revenue is in NOK.
Operating revenue increased this quarter mainly due to a net positive effect from the commencement
of Deepsea Aberdeen, higher financial utilization on the wholly-owned mobile drilling unit Deepsea
Atlantic and a higher day rate and financial utilisation on Deepsea Stavanger compared to Q2 2014. The
increased operating revenue from the MODU segment is partly offset by a further reduction of the
Drilling & Technology and Well Services activity in Norway and in the UK this quarter compared to Q2
2014.
EBITDA in Q2 2015 was negative at USD 156 million (positive USD 91 million), a net decrease of USD 247
million. The decrease in EBITDA is primarily explained by the negative results from investments in joint
ventures, following the impairment write-down on the two drillships owned by Deep Sea Metro Ltd.,
Deepsea Metro I and Deepsea Metro II, where Odfjell Drilling’s share of the impairment write-down is
USD 98 million and USD 112, respectively. In addition, Odfjell Drilling has made an impairment write-
down of its remaining investment in Deep Sea Metro Ltd. of USD 35 million. The decrease in EBITDA is
further affected by the lower activity in the Well Services segment but partly offset by a higher EBITDA
in the MODU segment for reasons explained above.
EBITDA in Q2 2015, adjusted for the loss from the impairment write-down in the Deep Sea Metro Ltd.
joint venture, was USD 89 million, a decrease of USD 2 million compared to Q2 2014. The EBITDA margin,
adjusted for the loss from the impairment write-down in the Deep Sea Metro Ltd., joint venture, was
31 %.

Operating- and personnel expenses have decreased as a result of reduced manning in combination with
the strengthening of the USD towards NOK in the period.
EBIT in Q2 2015 was negative at USD 203 million (positive at USD 51 million), a decrease of USD 254
million.
EBIT in Q2 2015, adjusted for the impairment write-down mentioned above, was USD 42 million, a
reduction of USD 9 million compared to Q2 2014.
Net financial items in Q2 2015 were negative at USD 13 million compared to negative USD 18 million in
Q2 2014.
Income tax expense in Q2 2015 was USD 8 million (USD 4 million), an increase of USD 4 million. The
increase is mainly explained by higher withholding taxes in various tax jurisdictions in addition to
increased tax payables.
Net profit in Q2 2015 was negative at USD 224 million (positive at USD 29 million), a decrease of USD
253 million compared to Q2 2014. Net profit in Q2 2015 adjusted for the impairment write-down
mentioned above, was USD 21 million, a reduction of USD 8 million compared to Q2 2014.
Operating revenue YTD 2015 was USD 526 million (USD 546 million), a decrease of USD 20 million. The
decrease in operating revenue from 2014 is mainly explained by the reduction of the Drilling &
Technology and Well Services activity in Norway and in the UK compared to 2014.
EBITDA YTD 2015 was negative at USD 85 million (positive USD 165 million), a decrease of USD 250
million. The decrease in EBITDA is mainly due to the negative results from investments in joint ventures
and the impairment write-down of joint venture investments.
EBIT YTD 2015 was negative with USD 169 million (positive USD 87 million), a decrease of USD 256
explained above.
Net financial items YTD 2015 were negative with USD 24 million (negative USD 28 million), a decrease of
USD 4 million mainly due to net currency gain offset by an increase in net interest expenses.
Income tax expense YTD 2015 was USD 14 million (USD 8 million), an increase of USD 6 million.
Balance sheet
Total assets as per 30 June 2015 amounted to USD 2,852 million compared to USD 3,093 million as at 31
December 2014, a decrease of USD 241 million. The decrease in total assets is mainly explained by the
impairment write-down of the investment in Deep Sea Metro Ltd.
Equity as at 30 June 2015 amounted to USD 900 million compared to USD 1,116 million as at 31
December 2014, a decrease of USD 216 million. The reduction in equity in Q2 2015 is explained by the
net profit in the period whereof the impairment write-down of the investment in Deep Sea Metro Ltd. is
partly offset by positive results from the Group`s operations.
The equity ratio is 32 % as per 30 June 2015 compared to 36 % at year end 2014.

Net interest bearing debt as per 30 June 2015 amounted to USD 1,494 million compared to USD 1,513
million as at 31 December 2014, a decrease of USD 19 million, mainly due to net repayment of interest
bearing debt during the period.
The Group has received consent from its lenders to reduce the equity ratio financial covenant from 35 %
to 28 % for all of the Group’s debt facilities for a period until and including the financial quarter ending
on 31 December 2016.
As per 30 June 2015, Odfjell Rig II Ltd., a subsidiary of Odfjell Drilling Ltd. and owner of the mobile
drilling unit Deepsea Bergen, was in breach of the minimum rig value covenant in its loan agreement.
According to the loan agreement there is a redemption period of 60 days to comply with the covenant
requirement. As per the reporting date of Q2 2015, Odfjell Rig II Ltd. is again compliant with the
minimum rig value covenant.
The Odfjell Drilling Group is compliant with all other financial covenants as per 30 June 2015.
Cash flow
Net cash flow from operating activities in Q2 2015 was positive at USD 56 million. During Q2 2015 the
net working capital increased by USD 12 million. In addition the Group paid USD 17 million in interest
and USD 12 million in income tax during Q2 2015.
Net cash flow from investing activities in Q2 2015 was negative at USD 18 million. The net investments
in Q2 2015 relate mainly to the mobile drilling unit Deepsea Aberdeen which was delivered in November
2014 and commenced drilling operations on 21 April 2015.
Net cash flow from financing activities in Q2 2015 was negative USD 77 million, being instalments on
existing credit facilities.
Cash flow YTD 2015 from operating activities was positive at USD 102 million. Net working capital
increased by USD 19 million. In addition the Group paid USD 25 million in interest and USD 32 million in
income tax.
Net cash flow from investing activities YTD 2015 was negative USD 80 million mainly related to
investment in the new drilling unit Deepsea Aberdeen.
Net cash flow from financing activities YTD 2015 was negative USD 3 million and comprised instalments
on existing credit facilities of USD 112 million and utilisation of the revolving credit facility of USD 110
million.
At 30 June 2015 the cash and cash equivalents amounted to USD 212 million. There has been a total
positive net change in cash and cash equivalents of USD 21 million since 31 December 2014. The Group
seeks to maintain a sufficient liquidity position through initiated cost reductions, efficiency
improvement programs and a focus on capital discipline.

Events in the reporting period YTD 2015
Lenders’ consent to reduce equity ratio financial covenant
The Group has received consent from its lenders to reduce the equity ratio financial covenant of the
Odfjell Drilling Group from 35 % to 28 % for all of the Odfjell Drilling Group’s debt facilities for a period
until and including the financial quarter ending on 31 December 2016. As a condition, the Group shall
not declare, make or pay any dividend or buy back any shares in this period.
Impairment write-down of investment in Deep Sea Metro Ltd.
Following impairment assessments made in Q2 2015 of the two drillships, Deepsea Metro I and Deepsea
Metro II, owned by Deep Sea Metro Ltd., of which the Odfjell Drilling Group owns 40%, each of the
drillships have been written down to USD 400 million to reflect what is assessed to be the recoverable
amount. In addition, Odfjell Drilling has made an impairment write-down on its remaining investment in
Deep Sea Metro Ltd with the result the Odfjell Drilling Group’s book value of the investment in Deep Sea
Metro Ltd is set to zero at 30 June 2015.
Deep Sea Metro Ltd.’s ability to secure additional funding going forward in combination with a
challenging ultra deepwater market have been important factors for Odfjell Drilling in reaching the
decision to write down its position in Deep Sea Metro Ltd. As a separate factor Chloe Marine
Corporation Ltd., the owner of Deepsea Metro II, has received default notices under the 1st
priority bank
facility and the 2nd
lien bond loan as a result of Chloe’s breach of the minimum liquidity financial
covenant and the vessel is now being marketed for sale.
Dividend and share buy-back program suspended
In February 2015, the Board decided to suspend the annual dividend for the financial year 2014 due to
the significant weakening of market fundamentals and the re-contracting risk in the Company’s MODU
segment. The Board also decided to suspend the share buy-back program for the same reasons.
Cost reduction programs
The Group has implemented a series of measures to reduce cost levels throughout the organisation. The
Group is in the process of optimising its support functions in order to provide more efficient support
services. In Q1 2015 about 60 employees were laid off. Further downsizing of the onshore organisation
will continue throughout 2015 to reduce future cost levels and other cost savings initiatives are in the
process of implementation. A reorganisation of operational and technical support services has also been
initiated to increase efficiency and operational performance.

Events after the reporting period
Out-of-court settlement
In August Odfjell Drilling and Island Drilling Company ASA made an out-of-court settlement of NOK 85
million for the unpaid receivables of NOK 111 million. As per 30 June 2015 Odfjell Drilling has recorded
NOK 26 million as loss on trade receivables.
Segments
Mobile Offshore Drilling Units (MODU)
Operating revenue for the MODU segment in Q2 2015 was USD 209 million (USD 184 million), an
increase of USD 25 million, or 14%. Higher revenues are mainly related to Deepsea Aberdeen’s contract
commencement during the quarter, the increased day rate on Deepsea Stavanger and increased
financial utilization of Deepsea Atlantic compared to Q2 2014 where in Deepsea Atlantic performed its
special survey. This was partly offset by reduced revenues from Deepsea Metro I and Deepsea Metro II
in the period. Deepsea Metro I was idle in Q2 2015 while Deepsea Metro II ended its contract in Brazil in
mid May 2015.
EBITDA for the MODU segment in Q2 2015 was USD 95 million (USD 83 million), an increase of USD 12
million, or 15 %. The increase is mainly related to the same factors that contributed to higher operating
revenues this quarter compared to Q2 2014.
EBIT for the MODU segment in Q2 2015 was negative at USD 159 million (positive USD 45 million), a
decrease of USD 204 million. The decrease is mainly explained by the impairment write-down of
Deepsea Metro I and Deepsea Metro II where Odfjell Drilling’s share is USD 98 million and USD 112
million respectively. Adjusted for the impairment write-down of the drillships, the EBIT in Q2 2015 was
USD 51 million. EBIT adjusted for the impairment write-down improved due to the same reasons
mentioned for EBITDA.
Operating revenue for the MODU segment YTD 2015 was USD 375 million (USD 364 million), an increase
of USD 11 million, or 3 %. Higher revenues are mainly related to the Deepsea Aberdeen’s
commencement during Q2 2015, the increased day rate for Deepsea Stavanger and increased financial
utilization of Deepsea Atlantic. This was partly offset by reduced revenues from Deepsea Metro I and
Deepsea Metro II in the period. Deepsea Metro I has been idle in the period while Deepsea Metro II
ended its contract in Brazil in mid May 2015.

EBITDA for the MODU segment YTD 2015 was USD 173 million (USD 156 million), an increase of USD 17
million, or 11 %. The increase is mainly related to the same factors that contributed to higher operating
revenues in this period compared to YTD 2014.
EBIT for the MODU segment YTD 2015 was negative with USD 115 million (positive with USD 81 million),
a decrease of USD 196 million, mainly explained by the impairment write-down recognised for Deepsea
Metro I and Deepsea Metro II of USD 210 million and partly offset by the increased EBITDA for the
period.
MODU - Financial utilisation
The financial utilisation for each of the Group’s wholly or partly owned mobile offshore drilling units was
as follows:
- Deepsea Aberdeen commenced on its contract 21 April 2015
- Deepsea Metro I has been free of charter since December 2014.
- Deepsea Metro II completed its contract mid May 2015.
Financial utilization is measured on a monthly basis and comprises the actual recognised revenue
(encompassing different hourly day rates) for all hours in a month, expressed as a percentage of the full
day rate for all hours in a month. Financial utilization is only measured for periods on charter.
Events in the reporting period
Deepsea Aberdeen – commencement of operations
Deepsea Aberdeen commenced drilling operations under its 7-year contract with BP on the Quad 204
field development project, West of Shetland, UK, on 21 April 2015.
Deepsea Metro II – completed its contract with Petrobras in Brazil
Deepsea Metro II completed its contract with Petrobras in Brazil mid May 2015 and is currently stacked
in Curacao.
Deepsea Metro I – new employment secured in Vietnam
Deepsea Metro I secured new employment with VietGazprom in Vietnam. The area of operation is in
blocks 130 and 131 offshore Vietnam. The contract has a duration of approximately 20 weeks and an
estimated contract value of USD 40 million. The contract also includes options for two well testing

periods of an estimated duration of 90 days each.
Deepsea Atlantic – secured long-term contract on the Johan Sverdrup field
Deepsea Atlantic secured a contract with Statoil for marine drilling services on the Johan Sverdrup field
for a period of three years plus 6x6 months options. Planned start-up of drilling operations is March
2016. The contract value over the firm period is estimated at USD 330 million (NOK 2.56 billion).
Estimated contract value of the optional periods is in the range of USD 370 million to USD 470 million
(NOK 2.85 – 3.65 billion).
Events after the reporting period
Deepsea Metro II – default under its debt facilities
In July, Chloe Marine Corporation Ltd., (“Chloe”), the owner of Deepsea Metro II, received default
notices from the lenders under the 1st
priority bank facility and the 2nd
lien bond. Chloe has, in
cooperation with its lenders, started a sales process whereby a broker has been mandated to conduct
the sale
Deepsea Atlantic – ended its contract with Statoil on the Gullfaks field
Deepsea Atlantic ended its contract with Statoil in the Gullfaks field on the Norwegian Continental Shelf
on 19 August. The rig will be hot-stacked, on a temporary basis, as the company continues to market the
rig in the short-term, while preparing to be mobilised for the new Johan Sverdrup contract with Statoil
scheduled for March 2016.
Deepsea Metro I – contract commencement VietGazprom in Vietnam
On 9 August Deepsea Metro I commenced drilling operations under its contract with VietGazprom in
Vietnam.
Deepsea Bergen – upcoming Special Periodic Survey (SPS)
Deepsea Bergen is expected to start on its 5 year SPS in the first half of September 2015. The rig will
undertake the SPS at Aibel Haugesund situated on the West coast of Norway. The SPS project budget is
USD 53 million in addition to a 6 week expected off-hire period.

Drilling & Technology segment
Operating revenue for the Drilling & Technology segment in Q2 2015 was USD 51 million (USD 81
million), a decrease of USD 30 million, or 37 %. The decrease in revenue was primarily attributable to a
reduction of the number of strings in operation (especially on the UK side, Talisman, Taqa and Snorre A
in Norway) in the North Sea and reduced activity for the engineering services in this quarter compared
to Q2 2014. The strengthening of the USD towards NOK in the period also had a negative impact on the
operating revenue compared to Q2 2014.
EBITDA for the Drilling & Technology segment in Q2 2015 was negative USD 3 million (negative USD 1
million), a reduction of USD 2 million. EBIT for the Drilling & Technology segment in Q2 2015 was
negative USD 5 million (negative USD 4 million), a reduction of USD 1 million. The reduction in both
EBITDA an EBIT is mainly explained by loss on receivables accounted for in Q2 2015 but partly offset by
workforce and cost reductions compared to Q2 2014.
Operating revenue for the Drilling & Technology segment YTD 2015 was USD 105 (USD 159 million), a
decrease of USD 54 million, or 34 %. The decrease in revenue was primarily attributable to a reduction
of the number of strings in operation in the North Sea and reduced activity for the engineering services
in the period. The strengthening of the USD towards NOK also had a negative impact on the operating
revenue compared to YTD 2014.
EBITDA for the Drilling & Technology segment YTD 2015 was negative USD 6 million (negative USD 3
million), an increase of USD 3 million. EBIT for the Drilling & Technology segment YTD 2015 was negative
USD 9 million, (negative USD 6 million). The increased EBITDA and EBIT is explained in the quarterly
comment for the Drilling & Technology segment above.
Events in the reporting period YTD 2015
Downsizing of the engineering capacity
During 2015 approximately 60 employees in the Technology business area were made redundant
following the downsizing as communicated in the Q4 2014 report.
Johan Sverdrup contract
Odfjell Drilling secured a contract with Statoil for the platform drilling services on the Johan Sverdrup
platform, including assistance during the engineering, construction and commissioning phase of the
Johan Sverdrup field development project. The firm contact period is 4 years plus 3 x 2 year options.

Drilling commencement is expected during the fourth quarter of 2018 and the estimated contract value
is USD 240 million (NOK 1.85 billion) including the pre-drilling assistance and the optional periods.
Events after the reporting period
Loss on receivables
In August Odfjell Drilling and Island Drilling Company ASA made an out-of-court settlement of NOK 85
million based on the arbitration and the counterclaim case for the unpaid receivables of NOK 111 million.
As per 30.06.2015 Odfjell Drilling has recorded NOK 26 million as loss on trade receivables.
Well Services segment
Operating revenue for the Well Services segment in Q2 2015 was USD 38 million (USD 50 million), a
decrease of USD 12 million, or 24 %. The decrease in revenue for the Well Services segment was
primarily caused by lower activity in Norway, Romania and the UK. Operating revenue has also
decreased due to increased competition in the well services market leading to idle equipment and
pressure on rental prices. The strengthening of the USD towards NOK and other currencies in the period
also had a negative impact on the operating revenue compared to Q2 2014.
EBITDA for the Well Services segment in Q2 2015 was USD 16 million (USD 20 million), a decrease of
USD 4 million, or 20 %. EBITDA margin for the Well Services segment in Q2 2015 was 42 % compared to
41 % for Q2 2014.
EBIT for the Well Services segment in Q2 2015 was USD 7 million (USD 12 million), a decrease of USD 5
million, or 42%. The decrease in both EBITDA and EBIT was mainly attributable to the same reasons as
the decrease in operating revenues but is partly offset by reduced cost. Well Services continued to
reduce its cost base during Q2 2015.
Operating revenue for the Well Services segment YTD 2015 was USD 78 million (USD 103 million), a
decrease of USD 25 million, or 24 %. The decrease in YTD 2015 revenue is explained by the same factors
as for Q2 2015.
EBITDA for the Well Services segment YTD 2015 was USD 32 million (USD 44 million), a decrease of USD
12 million, or 28 %. EBITDA margin for the Well Services segment YTD 2015 was 41 % compared to 43 %
for YTD 2014.

EBIT for the Well Services segment YTD 2015 was USD 14 million (USD 27 million), a decrease of USD 13
million, or 48 %. The decrease in both EBITDA and EBIT were mainly attributable to the same reasons as
the decrease in operating revenues.
Events in the reporting period YTD 2015
Downsizing of the capacity
Due to the current market situation and a reduction of rigs in operation in Norway, Well Services has
reduced both offshore and onshore personnel in the quarter by approximately 30 employees.
Outlook
The drilling market has continued weakening during 2015 and we expect a further weakening into 2016.
The soft market is due to continued delivery of newbuilds and oil companies’ decreased E&P spending
resulting in an increasing number of stacked units and continued downward pressure on day rates.
Odfjell Drilling owns a modern fleet of 6G ultra deepwater (UDW) and harsh environment (HE) drilling
units and a 3G midwater semi-submersible. Two of these units are exposed to re-contracting risk in the
current or near term drilling market.
The competition for securing employment is fierce and reduction in day rates alone does not clear the
market. We believe the bifurcation between modern drilling units and older units will continue and this
is in favour of our fleet. A substantial number of older units have already been scrapped and an
increasing number of idle units coming up for re-classification will add to this number. Within the next
few years we believe that the increased scrapping in combination with required exploration and
development drilling will bring the market back to balance and subsequent improved day rates.
Well Services has maintained its activity level on the Norwegian Continental Shelf (NCS) compared to
the level entering into 2015. Despite fierce competition also outside the NCS, Well Services has
maintained its activity level and margins in this quarter. Our equipment pool of remote operated tools
and increased focus on well intervention services has strengthened our competitive advantage in a
market with reduced overall activity.
The slowdown in the North Sea activity level has led to continued low activity level for development and
upgrade projects. To meet this challenge the Group has reorganised its engineering services to increase
efficiency and reduce its cost base.
The Group has implemented a series of measures to reduce cost levels throughout the organisation. Due
to continued weakening market conditions further cost cuts and efficiency improvement programs will
be implemented.
In the longer term, we are of the opinion that the oil industry’s demand for drilling services will continue
to be supported by the need for reserves replacement and by continued spending on exploration and
field-development in the main offshore regions. The Group’s business segments will all benefit and will
be well positioned for taking advantage of such future market improvements.

Risks and uncertainties
Factors that, in the Group’s view, could cause actual results to differ materially from the outlook
contained in this report are the following: volatile oil and gas prices, competition within the oil and gas
services industry, changes in client’s spending budgets, the developments in the financial markets and
within the Group and a successful outcome of the challenges from the tax authorities.
The market outlook and contract situation for the Group’s mobile offshore drilling units may also affect
the liquidity risk and covenant risk since reduced revenues from drilling operations directly affect the
operating results and cash flow from operations. The Group seek to mitigate the risk by the initiated
cost reduction and efficiency improvement programs, a focus on capital discipline and continuously
seeking possibilities to optimize financing for the Group as a whole.
The market conditions also affect the risk of the investment in the Deep Sea Metro Ltd. Group
significantly with regards to maintaining continuous operations. Deepsea Metro II is currently marketed
for sale after defaulting on its debt facilities. Deepsea Metro I has commenced operations in Vietnam
with a duration that employs this vessel throughout 2015 with further options thereafter that could
extend the contract to the middle of 2016. There is uncertainty related to re-contracting Deepsea Metro
I in the current market environment and the Deep Sea Metro Group may need further injections of
equity or alternative funding depending on contract backlog.
The Group has in second quarter acquired the remaining 50% share in Odfjell Drilling Brasil BV (the
former Odfjell Galvão BV) from Galvão Oil and Gas for no consideration. The Group`s total net exposure
in the UDW newbuild program in Brazil remains at approximately USD 10 million.
