United Airlines Management and Administrative 401(k) Plan April 24, 2015 Dear Plan Participant: This notice is being provided to you in connection with the Proxy Statement of United Continental Holdings, Inc. (“UAL”) for UAL’s Annual Meeting of Stockholders that will take place on June 10, 2015. The purpose of this letter is to provide you with important information concerning your voting rights as a participant who holds shares of UAL common stock as of the close of business on April 13, 2015 in an account under the United Airlines Flight Attendant 401(k) Plan, the United Airlines Ground Employee 401(k) Plan, or the United Airlines Management and Administrative 401(k) Plan (each a “Plan” and collectively, the “Plans”). As a Plan participant, you have the right (as described below) to direct Evercore Trust Company, N.A. (“Evercore”), as trustee to the Plans, how to vote those shares of UAL common stock held in your Plan account on the matters brought before stockholders at the annual meeting. A complete description of these matters and other important information is included in the Proxy Statement. You should read the Proxy Statement carefully. AFTER REVIEWING THE PROXY MATERIALS, YOU CAN VOTE BY INTERNET OR BY TELEPHONE 24 HOURS A DAY, 7 DAYS A WEEK. You can also request a Proxy/Voting Instruction Card by following the instructions on your meeting notice and admission ticket. If you plan to request a Proxy/Voting Instruction Card, please make sure that you mark, sign and date it prior to returning it. YOUR RESPONSE IS REQUIRED BY 5:00 AM, CENTRAL TIME, ON MONDAY, JUNE 8, 2015.

VOTING INSTRUCTIONS Evercore, as trustee to the Plans, is responsible for voting the UAL common stock held by the Plans at the annual meeting of stockholders of UAL. You have the right to instruct Evercore with respect to the voting of the shares of UAL common stock held in your Plan account as of the close of business on April 13, 2015. Evercore will vote these shares in accordance with your directions. Subject to the requirements of the Employee Retirement Income Security Act of 1974, as amended (“ERISA”), and pursuant to the provisions of the Plans, Evercore will vote those shares of UAL common stock for which participants and beneficiaries do not furnish timely voting directions, as well as those shares where no choice is specified, in the same proportion as those shares for which timely instructions are received from participants.

VOTING PROCEDURES

After you have read this letter and the Proxy Statement, please follow the instructions online and submit your voting instructions by Internet, telephone, or U.S. Mail.

If you vote by U.S. Mail, please mark, date and sign your name as it appears on the Proxy/Voting Instruction Card and place it in the postage pre-paid return envelope so that it will be received by Evercore no later than 5:00 AM, Central Time, on Monday, June 8, 2015.

You may vote by Internet or telephone anytime prior to the cutoff at 5:00 AM, Central Time, on Monday, June 8, 2015.

CHANGING OR REVOKING YOUR VOTE If you decide to change your vote after you have submitted your Proxy/Voting Instruction Card, you must obtain a new Proxy/Voting Instruction Card by contacting Evercore as described below. By properly completing and timely returning a new Proxy/Voting Instruction Card, your previously submitted vote will be automatically revoked. If you voted by Internet or telephone, voting again will automatically revoke your previous Internet or telephonic vote.

VOTING DEADLINE In order to be assured that your voting instructions to Evercore will be followed, your voting instructions must be received by 5:00 AM, Central Time, on Monday, June 8, 2015. Voting instructions received after this deadline will not be tabulated.

CONFIDENTIALITY Your voting instructions to Evercore are strictly confidential. Evercore will not disclose how you voted or if you voted, unless required to do so by law. You should feel free to instruct Evercore to vote in the manner you think best.

CONCLUSION We encourage you to exercise your rights under the Plans to direct Evercore with respect to voting the UAL shares held under your Plan account. Please review the enclosed documents carefully before deciding how to direct the vote of your shares. Because the shares in the Plans are registered in the name of Evercore as trustee, you will not be able to vote your shares in the Plans in person at the annual meeting on June 10, 2015.
