Vice PresidentWilliam Graf is a registed Civil Engineer in California and is Vice President of Engineering at ImageCat Inc. in Long Beach, California, where he is one of the principal developers of the SeismiCat seismic risk managment system. Bill has 34 years of experience in seismic and other natural hazard and risk analyses for individual buildings, building portfolios, and lifeline structures. Mr. Graf analyzes risks to buildings subject to earthquake or other loads, and develops seismic strengthening alternatives where needed. Clients include lenders, building owners, property insurers, government agencies, issuance brokers, municipal bond rating agencies and bond insurers. Prior to joining ImageCat, Bill managed of earthquake risk services at URS Corporation in Los Angeles. Bill is currently involved in revisions to ASTM E2026 and E2557, the national standards for seismic risk assessments used in real estate property transfer due diligence.

Co-Founder, Executive Director Nils Kok is co-founder and executive director of the Global Real Estate Sustainability Benchmark (GRESB); a premier investor-led initiative to assess the environmental and social performance of the global real estate investment industry. He also holds a position as a visiting scholar at the Goldman School of Public Policy at the University of California at Berkeley, and as an associate professor in Finance and Real Estate at Maastricht University, the Netherlands. President Mychele is a 26-year veteran of the commercial real estate investment community and a pioneer in EPA’s ENERGY STAR and USGBC’s LEED for Existing Buildings: Operations & Maintenance rating system. As the founder of LORD Green Real Estate Strategies, Inc., Mychele brings a practical approach to greening existing real estate through LEED consulting and development of green practices and strategies for office and non-office property types. Mychele has presented at a number of industry events and is an accomplished author. Her publications include the USGBC’s Green Office Guide: Integrating LEED into Your Leasing Process, a handbook to guide tenants through the process of greening their office space, and ASHRAE’s Energy Efficiency Guide for Existing Commercial Buildings, a decision-maker’s guide to improving energy efficiency in existing buildings. She is a member of the GRESB Advisory Benchmarking Committee, a full member of the Urban Land Institute and ULI’s Responsible Property Investment Council, an active member of the U.S. Green Building Council and a LEED AP O+M. She has served as Chair of BOMA’s Energy & Environment Committee and was honored as a “Sustainability Visionary” with the 2008 BOMA International Chairman’s Award. Helen Gurfel Greenprint

Executive Director Helen Gurfel is the executive director of the Urban Land Institute (ULI) Greenprint Center for Building Performance. Greenprint is an alliance of leading real estate owners, investors, and strategic partners committed to improving the environmental performance of the global real estate industry. As the executive director, she is responsible for the overall management and growth of the center.

Helen was most recently a director of GE Capital Real Estate’s global sustainability group, where she spearheaded a number of initiatives, including development of sustainability programs for GE’s portfolios in France, Canada, and the U.K., establishment of a rooftop solar program to deploy solar installations across properties in North America and the U.K., and incorporation of innovative technologies into GE-owned properties. She was also a member of GE Capital Real Estate’s global valuation team and GE Energy Financial Services’ portfolio management team. Previously, she was a principal consultant at PricewaterhouseCoopers. Helen received a B.S. in chemical engineering from Columbia University, an MBA from the Wharton School, and a master’s in international studies from the Lauder Institute at the University of Pennsylvania.

Regional Director of Energy ServicesDavid McDougall is EnerNOC’s Eastern Regional Director of Energy Services. He is responsible for the delivery of all Energy Services for the Eastern Region which include all levels of Commissioning from Retro-Commissioning (RCx), New Building commissioning (Cx) and On-going commissioning, ASHRAE audits, strategic energy plans, and design reviews.

Mr. McDougall is seasoned energy and management professional with 25 years’ experience and a strong background in energy efficiency and facility operations. Partner Jonathan Spergel is a partner with Manko, Gold, Katcher & Fox LLP in Bala Cynwyd, Pennsylvania, the environmental and energy law firm with which he started his legal career in 1993. He handles a wide variety of environmental legal issues, including the environmental aspects of commercial transactions and brownfields sites, environmental insurance procurement and coverage issues, public funding opportunities, regulatory compliance counseling, and litigation for commercial, industrial, residential, and individual clients. From September 2001 to February 2003, Jonathan served as general counsel of O’Neill Properties, a regional real estate development company focusing on the redevelopment of brownfields. Principal ConsultantGordon Shepperd is a co-founder and Principal of Apollo BBC, and regularly provides his expertise and services to clients nationwide.

Mr. Shepperd draws on his past experience in forensic investigation to provide expert building enclosure analysis, quality assurance during construction, and recommendations for windows, walls, and roof systems. He performs building enclosure assessments of new and historic buildings, with a focus on weather barriers, moisture migration through assemblies, and performance testing. His experience analyzing failures encompasses insulated enclosure assemblies, and cladding including stone, metal, stucco, EIFS, and masonry.

His approach to assessments takes into consideration the original design intent, construction methods, and includes performance testing services to determine the causes of failure. His repair recommendations range from localized repairs, removal and replacement of the existing system, to upgrading to a superior system. NAREIM’s Members often compete with each other. Federal and state antitrust laws prohibit anticompetitive actions, and penalties for violations are severe.

These Policy Guidelines supplement NAREIM’s more comprehensive Antitrust Compliance Policy, which is accessible on NAREIM’s website, www.nareim.org.

Members attending NAREIM meetings may not discuss, formally or informally, their specific business practices concerning fees (especially present or future fees) that they charge, or are intending to charge, to any specific customers or clients, including but not limited to: commission rates and the structuring of commissions; methods used to calculate asset management fees and fees charged for asset management; pricing methods and policies; sales promotions; incentives to customers; costs, or any other matter relating to or affecting prices charged, or to be charged, to specific customers or clients.

Additionally the following topics may not be discussed at NAREIM meetings:

1. Allocating business among real estate investment managers, rigging bids or fixing or capping offering prices for properties; stabilizing or reducing the prices Members will pay for third party services, or fixing, stabilizing or reducing the compensation of professionals employed by Members.

2. Controlling or limiting investments, restricting or allocating supply, dividing or otherwise allocating investments according to customers, territories or products, or specifying a “preferred” level of compensation, or compensation formula, that should be adopted by all industry participants.

Remember that mere participation in a discussion or even attendance at a NAREIM meeting where illegal topics are discussed can make you a conspirator in the illegal conduct even if you do not say a word, participate in the discussion, or agree with anything.

Illegal discussions can occur at NAREIM meetings, but also during informal conversations over cocktails or on the golf course. The same rules apply in these cases as well.

These Guidelines are designed to assist NAREIM’s Members to avoid inadvertently creating antitrust risks while participating in NARIEM meetings and programs. Antitrust issues can be complex and violations have very serious consequences. These Guidelines are not intended to provide all the answers, nor do they define the outer limits of conduct that may be permissible under the antitrust laws.
