Regulation 10(11) of the NEPRA Licensing (Application & Modification Procedure)

MODIFICATION GENERATION LICENCE

WPGL/05/2006

In exercise of the Powers conferred upon the National Electric Power Regulatory Authority (NEPRA) under Section-26 of the Regulation of Generation, Transmission and Distribution of Electric Power Act 1997, the Authority hereby modifies the Generation Licence granted to HYDROCHINA Dawood Power (Pvt.) Limite (formerly Dawood Power (Private) Limited (No. WPGU05/2006 dated December 29, 2006 and expiring on June 29, 2028), to the extent of changes mentioned as here under:-

(i). Name of the Licensee in the Original Face Sheet is changed to HYDROCHINA Dawood Power (Private) Limited;

(ii). The Installed Capacity mentioned on the Face Sheet may be read as 49.50 MW instead of 50.00MW;

(iii). The Expiry Date of the Generation Licence in the Original Face Sheet is changed to June 29, 2034;

(iv). Changes in Articles of the Generation Licence as Revised Articles of Generation Licence;

(v). Changes in Schedule-I attached as Revised Schedule-I; and (vi). Changes in Schedule-II attached as Revised Schedule-II.

Article-1 Definitions

1.1 In this Licence

(a) "Act" means "the Regulation of Generation, Transmission and

Distribution of Electric Power Act, 1997 (XL of 1997)";

(b) "Authority" means "the National Electric Power Regulatory Authority

constituted under section 3 of the Act";

(c) "CPPA" means "the Central Power Purchasing Agency of NTDC" or

any other entity created for the like purpose;

(d) "Licensee" means "Hydrochina Dawood Power (Pvt.) Limited";

(e) "NTDC" means "the National Transmission and Despatch Company";

(f) "Policy" means "the Policy for Development of Renewable Energy for

Power Generation, 2006 of Government of Pakistan" as amended

from time to time;

(g) "Power Purchaser" means "the CPPA of NTDC" purchasing power on

behalf of XW-DISCOs;

(h) "Rules" mean "the National Electric Power Regulatory Authority

Licensing (Generation) Rules, 2000";

(i) "Wind Farm" means "a cluster of wind turbines in the same location

used for production of electric power";

the distribution of electric power".

1.2 Words and expressions used but not defined herein bear the meaning given

thereto in the Act or in the Rules.

Article-2 Application of Rules

This Licence is issued subject to the provisions of the Rules, as amended

from time to time.

Article-3 Generation Facilities

3.1 The location, size (capacity in MW), technology, interconnection

arrangements, technical limits, technical and functional specifications and other

details specific to the Wind Farm of the Licensee are set out in Schedule-I to this

Licence.

3.2 The net capacity of the Wind Farm of the Licensee is set out in Schedule-II

hereto.

3.3 The Licensee shall provide the final arrangement, technical and financial

specifications and other specific details pertaining to its Wind Farm before its

commissioning.

Article-4 Term of Licence

4.1 The Licence is granted for a term of twenty (20) years after the Commercial

Operation Date (COD).

4.2 Unless suspended or revoked earlier, the Licensee may within ninety (90)

days prior to the expiry of the term of the Licence,

Modification Procedures) Regulations, 1999 as amended or replaced from time to

time.

Article-5 Licence fee

After the grant of the Generation Licence, the Licensee shall pay to the

Authority the Licence fee, in the amount and manner and at the time set out in the

National Electric Power Regulatory Authority (Fees) Rules, 2002.

Article-6 Tariff

The Licensee shall charge only such tariff which has been determined,

approved or specified by the Authority in terms of Rule-6 of the Rules.

Article-7

Competitive Trading Arrangement

7.1 The Licensee shall participate in such manner as may be directed by the

Authority from time to time for development of a Competitive Trading Arrangement.

The Licensee shall in good faith work towards implementation and operation of the

aforesaid Competitive Trading Arrangement in the manner and time period

specified by the Authority. Provided that, any such participation shall be subject to

any contract entered between the Licensee and another party with the approval of

the Authority.

7.2 Any variation or modification in the above-mentioned contracts for allowing

the parties thereto to participate wholly or partially in the Competitive Trading

Arrangement shall be subject to mutual agreement of the parties thereto and such

terms and conditions as may be approved by the Author y.

Article-8 Maintenance of Records

For the purpose of sub-rule (1) of Rule 19 of the Rules, copies of records

and data shall be retained in standard and electronic form and all such records and

data shall, subject to just claims of confidentiality, be accessible by authorized

officers of the Authority.

Article-9 Compliance with Performance Standards

The Licensee shall comply with the relevant provisions of the National

Electric Power Regulatory Authority Performance (Generation) Rules 2009 as

amended from time to time.

Article-10 Compliance with Environmental Standards

The Licensee shall comply with the environmental standards as may be

prescribed by the relevant competent authority from time to time.

Article-11 Power off take Point and Voltage

The Licensee shall deliver power at the outgoing bus of its 132 KV grid

station. The up-gradation (step up) of generation voltage up to 132 KV will be the

responsibility of the Licensee.

Article-12 Performance Data of Wind Farm

The Licensee shall install monitoring mast with properly calibrated automatic

computerized wind speed recording meters at the same height as that of the wind

turbine generators and a compatible communication/SCADA system both at its

Wind Farm and control room of the Power Purchaw-- ansmission of wind

speed and power output data to the control room of the Power Purchaser for record

of data.

Article-13 Provision of Information

13.1 The obligation of the Licensee to provide information to the Authority shall be

in accordance with Section 44 of the Act.

13.2 The Licensee shall in addition to 13.1 above, supply information to NTDC

regarding Wind data specific to the Licensee's site and other related information on

a regular basis and in a manner required by NTDC.

13.3 The Licensee shall be subject to such penalties as may be specified in the

relevant rules made by the Authority for failure to furnish such information as may

be required from time to time by the Authority and which is or ought to be or has

been in the control or possession of the Licensee.

Article-14 Emissions Trading /Carbon Credits

The Licensee shall process and obtain emissions/Carbon Credits

expeditiously and credit the proceeds to the Power Purchaser as per prevailing

Policy issued by the Government on the subject.

Article-15 Design & Manufacturing Standards

Wind Turbine Generation system shall be designed, manufactured and tested

according to the latest IEC standards or oth r equivalent standards. All plant and

equipment shall be un-used and brand new.

Article-16 Power Curve

The power curve for the individual Wind Turbine provided by the

manufacturer and as mentioned in this Generation Licence shall form the basis in

determining the cumulative Power Curve of Wind Farm/Complex.

INTERCONNECTION ARRANGEMENT FOR DISPERSAL OF POWER FROM

THE WIND FARM

The power generated by the Licensee/ HYDROCHINA Dawood Power

(Pvt.) Limited (HDPPL) from its Wind Farm shall be dispersed to the load center at

132 KV voltage level.

(2). The dispersal of power for the proposed wind farm of HDPPL will

consisting of the following:

(a). 132kV D/C from Gharo cluster to Thatta (55 km) using Rail

conductor constructed with the first wind farm in Gharo cluster.

(b). 220/132KV NTDC-Gharo substation at suitable location in Gharo

cluster that may be constructed in stages for 132KV and 220KV

levels depending on the respective quantum of wind power going to

be added in this cluster.

(c). 220/132KV NTDC-Jhampir substation at suitable location in Jhampir

cluster;

(d). A 120KM long 220KV double circuit from NTDC-Gharo to T. M.

Khan Road 220KV in Hyderabad ,looping in-out at NTDC-Jhampir

220KV substation;

(e). HYDROCHINA Dawood Wind Farm would be connected by looping

in-out one circuit of 132 KV double circuit of emanating from

Bhanbore sub cluster of wind farms to Gharo 220/132KV substatio ------------„N

Determination of the Authority In the Matter of Licensee Proposed Modification of

HYDROCHINA Dawood Power (Pvt.) Limited

June 19, 2013 Application No. LAG-86

(A). Background

(i). NEPRA granted a Generation Licence (No. WPGL/05/2006, dated

December 29, 2006) to HYDROCHINA Dawood Power (Pvt.) Limited (HCDPPL) for

its 50.00 MW Wind Farm (WF) proposed to be located at Near Port Qasim-

Bhambore, Gharo Creek, District Thatta in the Province of Sindh.

(ii). The sponsors of the project (i.e. The First Dawood Group) envisaged

installing forty (40x1.25 MW) Suzlon Wind Turbine Generators (WTGs). Despite

hectic efforts of the sponsors, the project could not be implemented. Later on, the

original sponsors (i.e. The First Dawood Group) sold their equity stake in the project

to Hydrochina international Engineering Company Limited (HCI).

(iii). After the acquisition of the project, the new sponsors of the project

decided to implement the project with some other WTG manufacturer/supplier

which required modification in the already granted Generation Licence.

(B). Communication of Licensee Proposed Modification

(i). HCDPPL in accordance with Regulation-10 of the National Electric

Power Regulatory Authority Licensing (Application & Modification Procedure)

Regulations, 1999 (the Regulations), communicated a Licensee Proposed

Modification (LPM) to the Authority oft,O.ctoter 08, 2012.

(ii). HCDPPL in the "Text of the proposed Modification" & "Reason in

Support of Modification" statements informed that initially the project was envisaged

to be set up by installing Suzlon (1.25 MW) Wind Turbine Generators (WTGs)

however, the plan could not be materialized. Now HCI has acquired 93.33% shares

of the project. The new sponsors now intends to implement the project with

GoldWind (1.50 MW) WTGs.

(iii). Regarding the "Impact on Tariff', HCDPPL submitted that the company

obtained a Cost Plus Tariff vide determination of the Authority No. NEPRA/R/TRF-

111/DPPL-2008/1357-59, dated December 6, 2008. However, now the company is

planning to adopt Upfront Tariff for Wind Power Plants with all the assumptions and

conditions as announced by the Authority vide its determination dated October 6,

2011. About the "Quality of Service (QoS)" and "Performance", HCDPPL submitted

that the proposed modification will have better impact on the QoS and its

performance under the granted Generation Licence.

(C). Processing of LPM

(i). The Authority in Regulatory Meeting (RM-12-663), held on December

04, 2012 considered the communicated LPM of HCDPPL and admitted the same

for further processing. A Notice about the Communicated LPM was published in the

Newspapers of December 07, 2012, seeking comments from general public and

other stakeholders in favor or against the proposed LPM.

(ii). Apart from the notice in the press, separate notices were also sent to

experts, government ministries and representative organizations etc. inviting their

views and comments.

(D). Comments of Stakeholders

(i). In response to the above published notice of LPM in the press and

subsequent correspondences made with other stakeholders, NEPRA received

comments from five (05) stakeholders including Ministry of Water and Power

(MoW&P), Central Power Purchasing Agency (CPPA) of National Transmission and

Desptach Company Limited (taiTD"Olto cents of Karachi Shipyard and

Engineering Works Limited (KSY&EWL), Securities and Exchange Commission of

Pakistan (SECP) and Board of Investment (Bol) of Prime Minister's Secretariat.

(ii). The salient points of the comments offered by the above mentioned

stakeholders are summarized in the following paragraphs: -

(a). MoW&P in its comments submitted that the modification entails

changes in the technical specification of machinery etc. It does

not define a change of name. In such a case, this is to be treated

as a new entity for issue of a new Generation Licence. This

aspect may also be legally checked. Further the proposed

replaced turbine has a reduced net capacity than the already

installed turbine, which also needs to be scrutinized/inspected;

(b). CPPA expressed that due to the change in technology, the

modification is logical and understandable therefore, the same is

supported. HDCPPL did not mention type of WTG, while CPPA

support the Type-III and Type-IV WTG. CPPA would like to

highlight that HDDPL needs to ensure that their proposed plant

duly complies with the provisions of the Grid Code, approved by

NEPRA, as amended in April 2010 for Grid Integration of Wind

Power Plants, already enforced within the National Grid;

(c). KSY&EWL in its comments remarked that it does not have any

comments to offer in support or in position of the proposal;

(d). SECP remarked that the company was registered on December

28, 2004 at Karachi. The authorized share capital of the

Company is Rs. 5,000,000 and the paid up capital is Rs.

5,000,000. The Company is regular in filing of its statutory

returns;

(e). Bol supported the LPM of subject to ensuring of all the codal

(iii). The perspective of HCDPPL on the aforesaid position of CPPA was

sought. In its rejoinder, HCDPPL stated that type-III WTGs would be deployed for

the project which are acceptable to CPPA. Further, HCDPPL also confirmed that

the proposed WTG would fully comply with the Grid Code Criteria. Regarding, the

comments of MoW&P, it was submitted that the legal entity remains the same and

only the name of the legal entity has been changed. Approval for such change was

obtained from SECP. About the issue of the reduction in the capacity of HCDPPL, a

minor reduction of 0.5 MW Gross ISO has taken place due to the change in

technology of the power plant and AEDB & NTDC are in full cognizance of the

same. While recommending HCDPPL for the grant of the upfront wind tariff, AEDB

has also certified to NEPRA that the plant, machinery & turbines are new and of

acceptable quality and internationally certified. In view of the satisfactory response

of the HCDPPL, the Authority considered it appropriate to process the

communicated LPM further.

(E). Approval of LPM

(i). The Economic Growth of any Country is directly linked with the

availability of reliable, secure and cheaper supply of electricity. The existing energy

mix of the country is heavily skewed towards costlier thermal power plants, mainly

operating on imported furnace oil.

(ii). The continuously increasing trend in fuel prices is not only causing

severe pressure on the precious foreign exchange reserves of the country but is

also resulting in higher consumer end prices. In view of this, the Authority considers

it imperative that all the indigenous resources including Renewable Energy (RE),

should be explored and their development is encouraged for achieving sustainable

development.

(iii). In consideration of the above, the Authority had earlier granted a

Generation Licence (No. WPGL/05/2006, dated December 29, 2006) to HCDPPL

for an installed capacity of 50.00 MW, to be implemented with WTGs of Suzlon.

However, the project could not be implemented as sponsors could not finalize the

deal of supply of the WTGs with Suzlon. After the acquisition of the project by HCI,

the new sponsors have decided to ca pe11111?-; roject with new WTG (i.e. Gold

Wind /1.50 MW). Alternate Energy Development Board (AEDB), which had issued

the Letter of Intent (Lol) for the project has already given its consent to implement

the project with the proposed WTG technology of Gold Wind.

(iv). In view of the above, the Authority considers that the request of

HCDPPL to implement the project with WTGs of Gold wind is worth considering.

Accordingly, the Authority hereby approves the communicated LPM in the

Generation Licence of HCDPPL. The already granted Generation Licence (No.

WPGU05/2006, dated December 29, 2006) in the name of HCDPPL is hereby

modified. The Face Sheet indicating the required changes alongwith Revised

Schedule-I & II of the Generation Licence are attached as Annexure to this

determination. The grant of such a Licensee Proposed Modification would be

subject to the provisions contained in the NEPRA Act and relevant rules framed

there under.
