Pre-Bid meeting for the above work was conducted at 03.00 PM on 13-05-2015 in the chamber of the

Chief Engineer, TTD, Tirupati. The following representative of the firms and officials were attended.

The details of the queries raised by the firms (i) M/s Welspun Renewables Energy Pvt. Ltd., Chennai, (ii)

M/s SunEdison Solar Power India Pvt. Ltd., Chennai, (iii) M/s First Solar Power India Pvt. Ltd., Hyderabad and (iv)

M/s.Greenko, Hyderabad are discussed during the meeting and the clarifications proposed for queries are

hereunder furnished.

The operation & maintenance of

plant under BOOT basis is revised

to 15 years. As such the solar

power project developer shall

build the plant, own, operate &

maintain the project for 15 years

from the date of commissioning

on BOOT basis and transfer the

plant.

The tender conditions holds good

to take up the solar power project

on BOOT basis for 15 years of

O&M after build & commissioning

of the plant.

However any other action by the

developer, other than establishing

solar power project and related

works, is strictly prohibited.

Accordingly the same will be

included in the agreement.

3 2 TTD will permit the agency to set up a

solar Power Project in its land at

Kosuvaripalli, Near Thamballapalli,

Chitoor District, Andhra Pradesh,

without any transfer of right on the

land. TTD will permit the agency to

setup the Solar Power plants in the

proposed land without involving any

transfer of right to the property.

1)     The land owned by TTD can

be leased to project developer on

long term basis for the entire

useful life of the project.

2) Land allotted shall have

deemed approval of mortagaging /

creation of charge in favour of

project lender/lenders.

3) Under the A.P. solar policy,

2015, there shall be 100%

exemption on the registration fee,

stamp duty for execution of lease

deed of allotted land in favour of

the project developer.

3 4 The agency shall carry out the

construction of the project on Build,

Own, Operate, and Transfer (BOOT)

basis. The operating agency shall

design and construct the facility,

arrange finance, operate and maintain

the facility for 10 years period from

the date of commissioning of the

project and hand over to TTD in good

operating condition at the end of 10th

year. The agency shall transfer the

entire assets to TTD after completion

of operating lease period in good

working condition.

1) Andhra Pradesh enjoy almost

300+ sunny days in an year with

long sun shine hours.

10 General We would like to again stress the

importance of installing 10 MW

solar plant with single axis trackers

as mentioned in the TTD tender

documents. The Solar plant with

single axis trackers can

significantly reduce the cost of

power generated vis a vis of the

power generated from fixed tilt

solar plants. Hence it will be

beneficial for TTD in the long run

especially after the completion of

the BOOT period. Hence TTD

should insist on the construction of

a solar plant with single axis

trackers only as specificed on the

original tender documents.

11 1 1.1.3 The Solar power plant to be selected

will be for aggregate capacity of 10

MWp. However, the selection of solar

power plant would be technology

agnostic within the technology

mentioned above. Crystalline silicon

or thin film or CPV, with single

operational technologies can be used,

to minimize the technology risk and to

achieve the timely commissioning of

stations nearer to the proposed

solar power project site at

Kosuvaripalli. One is at

Kosuvaripalli about 4.5 KM away

from the site and the other is at

Mudivedu about 5.5 KM away

from the site.

Necessary inter-connection lines

at 33 KV level to any one or both

of the sub-stations or to any other

sub-stations of APSPDCL as per

feasibility and necessity to be

provided by the developer

including procuring of land for

right of way, at his own cost for

evacuation of power. These lines

shall also be maintained by the

developer till the end of the BOOT

period.

Necessary approvals shall be

obtained by developer only. TTD

will extend necessary co-

operation in this regard.14 1 1.8 33/11 kV Substation Kosuvaripalli is

about 4km from the site. The agency

has to provide necessary connection

line from the site to this point (or) to

any other point as decided by the

APSPDCL.

As per the current norms of APSPDCL

10MW capacity is not permitted at

33/11KV sub-station and would be

required to be connected at 33KV level

of 132/33KV sub-station. We request

TTD to confirm if the evacuation permit

is obtained and if not will TTD facilitate

in getting the concerned evacuation

feasibility permit from APSPDCL.

(iv) The company should have

designed, supplied, erected,

commissioned of SPV-based grid

connected/ interactive power plants

cumulative installed capacity of 10

MWp or above (at one or more

projects), during last 5 years (i.e.,

2010-11 to 2014-15). In the case of

consortium, the lead member shall

fulfill this criterion.

(v) The company shall be an

EPC/BOLT/BOOT Contractor with

capability of executing turnkey

solution for engineering, procurement,

supply, installation, testing and

commissioning of large scale grid

connected solar PV-based power

plants having executed at least one

project (under one contract) rated

minimum 5.0 MWp which has been

running successfully for a period of

minimum one year during the last five

(5) years as on the date of opening of

bids.In the case of consortium, the

lead member shall fulfil this criterion.

22 3 16 The interconnection line from Project

switchyard to the Location has to be

constructed and maintained by the

agency at his cost. The entire cost of

transmission, construction of lines,

metering equipment, losses,

supervision charges etc., from the

Project up to the Interconnection

Point shall be borne by the agency

and shall not be reimbursed by TTD.

It is the responsibility of agency to

identify suitable interconnection point

for evacuation of power generation

After construction of the power line

the same shall be under the

concerned Discom / Clarification

required regarding interconnection

(a) From the date of commissioning,

the Agency shall guarantee to deliver

16.00 lakh units of power (kWh)

annually for each one mega watt

capacity installed under the project,

excepting incidents of Acts of GOD or

force majeure.

(b) In case of failure to deliver the

power guaranteed on annual basis

except for reasons contributory to Act

of GOD and / or Force majeure, the

rate of compensation would be the

cost of power per unit purchased by

TTD from AP Transco/SPDCL less

the rate fixed with the operating

agency.

(c) In the event of Solar P.V. Power

Plant become non-functional within 10

years, the Agency shall compensate

for the loss of the generation based

on the guaranteed generation of

16.00 lakh kWh of power annually for

each one MW capacity installed under

this project. The rate of compensation

will be the max. cost of power per

kWh chargeable by the AP Transco/

APSPDCL less the rate fixed with the

operating agency.

1) We understand this clause as

16Lakh units per MW (AC) of

installed capacity for first year from

the date of commissioning.

2) As the clause is not complete

we would like to propose the

following.

3) Bidder to propose the first year

generation assuming the weather

data for the plant and buyer to buy

the entire energy generated from

the solar project.

4) Further the quantum of energy

generated to be reduced at a rate

of 1% year on year from second

year and the same may be

considered for minimum assured

weather corrected generation.

kWh chargeable by the AP Transco/

APSPDCL less the rate fixed with the

operating agency.

3) Thus there has to be range of

energy generation availability at

project end based on realistic CUF

/ Insolation level.

contour map for arriving at the

TTDs find that amount is due from

TTD is entitled to recover the said due

amount by adjusting from the bill

documents. Authorised Representative at this stage may

also ask the Bidders to furnish the audited balance sheet of

the previous month along with complete Bank Statement

starting from Bid submission date till date along with a copy

of the documents submitted with ROC which became due

during this period. If at this stage it is found that the

documents furn ished by the Bidders are false / misleading

or misrepresented in any way then the relevant provisions

contained in this Bid document will be applicable.

EMD of all Bidders who don’t qualify for

opening of Financial Bids i.e. who are non-

responsive as applicable will be returned

Bids, meeting the Technical eligibility

specified in this tender shall be treated as

technically responsive and the

corresponding Bidder shall be considered

as the Qualified Bidders.

The agency shall carry out the construction

of the project on Build, Own, Operate, and

Transfer (BOOT) basis. The operating

agency shall design and construct the

facility, arrange finance, operate and

maintain the facility for 15 years period

from the date of commissioning of the

project and hand over to TTD in good

operating condition at the end of 15th year

BOOT period. The agency shall transfer

the entire assets to TTD after completion

of operating lease period in good working

condition

TRANSFER after Lease period: After

successful completion of specified BOOT

period, the agency shall transfer the plant

in satisfactory working condition at a book

price of Rs 1.00 lakh per MWp. TTD will

only pay Rs. 1.00 lakh per MWp at the end

of 15th year BOOT period as transfer

value to the operating agency. The

transfer value will be on proportionate

basis based on the installed capacity of the

Plant.

Bids that are incomplete, which do not substantially meet the

requirements prescribed in this Bid document, will be liable

for rejection by Authorised Representative. Bids not

waiver on the part of Authorised Representative of the

desired by the TTD at mutually agreed

rates between the TTD and the operating

agency. However, TTD will have every

right to entrust the operation and

maintenance work to any other agency

8.       TTD shall be authorised to deduct any tax as applicable from the bidders payment. Deduction of all statutory and necessary Tax

from each bill will be made as per Government Orders prevailing at the time of payment. Necessary tax deduction certificate will be issued

on demand by the Company.

4.       Amount shall be quoted for supply of power at Interconnection point in INR / kWh up to two decimal places.

5.       The unit (kWh) rate quoted is inclusive of all taxes, statutories, levies, octroi, duties etc., of Govt. of AP as well as Govt. of India

prevailing from time to time. No extra taxes, duties etc., will be paid apart from the rate quoted.

6.       In the event of any discrepancy between the values entered in figures and in words, the values entered in words shall be considered.

7.       The tariff quoted shall be exclusive of wheeling charges, banking charges & cross subsidy charges, but inclusive of energy losses

upto metering points at APSPDCL substation and CSS (cross subsidy charges) if any, will be borne by TTD.

1.       The bidder has to quote uniform rate for electrical energy generation on unit basis for the entire BOOT period and no escalation of

rate will be permitted under whatsoever reason.

2.       The rate quoted shall be in accordance with specifications and various terms & conditions mentioned in the tender document read

with approved Pre-Bid meeting minutes & Corrigendum issued.

The Bidder has to quote uniform power unit (kWh) rate

including all taxes for the entire BOOT period and no
