The Mentor Exempted Village Board of Education held its Regular Meeting on Wednesday, May 24, 2017 at 7:02 p.m., at Paradigm, 6465 Center Street, Mentor, Ohio. Members present: Mrs. Mary L. Bryner, Mrs. Virginia E. Jeschelnig, Ms. Sally S. Miller, and Mr. Thomas V. Tuttle. Mr. William J. Shaw was absent. Mrs. Jeschelnig led the assembled in the Pledge of Allegiance. Mrs. Jeschelnig called for a moment of silence in memory of Mentor employees, Timothy Young, Brentmoor Elementary School Custodian, who passed away April 24, 2017 and Camille Zaller, Mentor High School Custodian, who passed away May 14, 2017. Mr. Tuttle moved, seconded by Ms. Miller, to approve the minutes of the special meeting held April 11, 2017, the regular meeting held April 11, 2017, and the special meetings held April 28, May 2, May 3, May 16, and May 17, 1017. Roll Call: Ayes: Mr. Tuttle, Ms. Miller, Mrs. Bryner, Mrs. Jeschelnig.

At this time, Mrs. Jeschelnig stated that there would be a hearing of the public on agenda items only. At this time Mrs. Cynthia Langelier, Mentor High School Teacher and President Mentor Teachers Associations addressed the Board regarding the MTA contract negotiations and recognized Superintendent Mr. Matthew J. Miller’s positive impact upon the school district. Mrs. Bryner moved, seconded by Ms. Miller that the Board of Education approve the consent agenda as presented by the Superintendent. Approval of the Resolution accepting the Memorial Middle School Auditorium Lighting Project be approved. The successful bid was submitted by V.L. Chapman Electric, Inc.:

WHEREAS, it has been determined through the Five-Year Permanent Improvement
Plan that the auditorium lights at Memorial Middle School will be replaced; and, WHEREAS, on May 17, 2017, sealed bids for the Memorial Middle School
Auditorium Lighting Project were publicly opened; and, WHEREAS, the Director of Business Operations received an analysis of the low bid
from ThenDesign Architecture, Ltd. concluding that the low bid submitted by V.L. Chapman Electric, Inc. was responsive and responsible; and
WHEREAS, the Director of Business Operations has determined that the lowest responsive and responsible bid does not exceed the project estimates;
NOW, THEREFORE, BE IT RESOLVED that in accordance with Ohio Revised Code 3313.46 the Board of Education accepts the lowest responsive and responsible bid for the Memorial Middle School Auditorium Lighting Project as follows: V.L. Chapman Electric, Inc. Contract “A” Base Bid $77, 620.00 Total $77,620.00 BE IT FURTHER RESOLVED that the Chief Financial Officer be authorized and directed to execute any and all contracts and documents necessary for the Memorial Middle School Auditorium Lighting Project. Approval of Change Order #1 in the deduct amount of $10,200.00 for the District Wide Paving Project Bid by Chagrin Valley Paving be approved. The original contract was $277,600.00 so the final contract amount will be $267,400.00. Roll Call: Ayes: Mrs. Bryner, Ms. Miller, Mr. Tuttle, Mrs. Jeschelnig. Dominic Shelley Raymond Wank At this time Mrs. Jen Skulski, Director/Business Operations, and Mrs. Jeschelnig recognized Mentor Schools employee Ginni Vaccaro, named Ohio’s Manager of the Year by the Ohio School Nutrition Association. Mr. William J. Shaw entered the meeting at 7:48 p.m. At this time Mr. William Porter, Mr. Doug Baker, Shore Middle School Principal, and Mrs. Jeschelnig recognized Shore Middle School teacher Megan LaGanke, recipient of the 2017 Outstanding Middle School Classroom Teacher Award by the Greater Cleveland Council of Teachers of Mathematics. Mr. Tuttle moved, seconded by Mr. Shaw that the Board of Education approve the resolution to Accept and Approve the Mentor High School Graduating Class of 2017.
WHEREAS, the High School Principal has certified that members of the 2017 graduating class of Mentor High School (see Attachment A) have or will have completed all requirements set forth for high school graduation by the State of Ohio, including passing all proficiency examinations on or before the date set for graduation; and WHEREAS, the High School Principal has certified that members of the 2017 graduating class of Mentor High School have or will have completed all requirements set forth for high school graduation by the Board on or before the date set for graduation. NOW, THEREFORE, BE IT RESOLVED THAT:
1. The students of the 2017 graduating class of Mentor High School who have or will have met all requirements for high school graduation as set forth by the State of Ohio and the Board shall be graduated, subject to the completion of all graduation requirements.
2. Pursuant to Ohio Revised Code 3313.61 and Board Policy 6.15 (“Graduation/Diploma Requirements”), the Board President, Chief Financial Officer of the Board, Superintendent, and High School Principal shall sign the diplomas of the students of the 2017 graduating class of Mentor High School and such diplomas shall bear the date of their issue.
3. The diplomas of the 2017 graduating class of Mentor High School shall be paid for from the general fund.

New Policy 9.45 “Crowdfunding” New Policy 9.47 “Student Meal Charges” Revised Policy 8.10 “Purchases”
New Policy 9.45 “Crowdfunding” Crowdfunding is the practice of funding a project, cause, or purchase through the solicitation of monetary donations from the public at large over the internet. The following rules and procedures apply when crowdfunding is used for the intended purpose of providing a benefit to the District, its students, or its employees acting in their capacity as employees. Failure to comply with this Board Policy may result in the cancellation of the crowdfunding practice, rejection of the crowdfunded donation(s), civil prosecution, and/or the implementation of professional discipline, including termination. Approval of Crowdfunding Solicitations Crowdfunding solicitations must receive the prior written approval of the District Superintendent. Pre-approval may be granted upon the submission of the following information to the District Superintendent:
1. A copy of the actual crowdfunding solicitation intended to be used. 2. The name of the crowdfunding platform (website) to be used, and a copy
of the platform’s pricing and fee structure. 3. The beginning and ending dates during which crowdfunding shall occur,
or the dollar amount that, if reached, will result in the closure of the crowdfunding campaign.
4. The name, address, telephone number, and personal email address forevery individual who will administrate the crowdfunding campaign.
5. A statement of the purpose for which the crowdfunding campaign is undertaken, including an identification of the specific goods or services that the employee desires for the Board to purchase with the donated money.
6. A statement describing the contingency plan for use of crowdfunded moneys, if the money raised through crowdfunding is insufficient to purchase the desired goods or services.
Acceptance of Money, Goods, and Services All money, goods, and services obtained through crowdfunding and received by the District or intended to benefit the District, its students, or employees acting in their capacity as employees, shall become the property of the District, if authorized by the Board of Education. No money, goods, or services derived from crowdfunding sources shall be permitted for use in the District by students or employees unless and until their acceptance has been authorized by the Board of Education. Receipt of Money, Goods, and Services The District Treasurer shall be the custodian of all money and goods received from crowdfunding sources. All money and goods shall be inventoried, and all money shall be deposited into the appropriate District fund upon authorization from the Board of Education. Use of District Resources and Intellectual Property District-owned technology, District-operated websites, and District-supplied email accounts shall not be used to engage in crowdfunding activities without the prior written approval of the District Superintendent. District-supplied email accounts shall not be targeted for crowdfunding solicitations.

Crowdfunding solicitations shall not use the District’s name, logo, motto, mascot, or associated identifying marks or colors, or any District-owned intellectual property without the prior written consent of the District Superintendent. Compliance with Law and District Board Policy Crowdfunding must comply with all duly adopted policies of the Board, and all applicable state and federal laws, as well as all local ordinances and regulations. Crowdfunding campaigns must comply with all applicable IRS regulations. Ethical Limitations District employees shall not use crowdfunding to knowingly solicit or accept any compensation to perform their required official duties or to supplement their compensation as employees of the District. Student Confidentiality Crowdfunding solicitations shall not use personally identifiable student information as defined under FERPA, information from a student’s Section 504 Plan, student information covered by the IDEA, or directory information as that term is defined under District Board Policy, without the prior written approval of the District Superintendent. New Policy 9.47 “Student Meal Charges” The Board desires to allow children to receive the nutrition they need to stay focused during the school day, minimize identification of children with insufficient funds to pay for school meals, and maintain the financial integrity of the District’s food service account. This policy sets forth how the District will handle situations where children eligible to receive free or reduced price meals do not have money in their account or in hand to cover the cost of their meal at the time of service. Students may charge any combination of meals up to a negative balance of $ 10.00. When a negative balance of $10.00 is reached, the parents/guardians/custodians of the student will be contacted by the District and an alternative meal and milk will be provided to the student until the entire negative balance is paid in full. With the exception of milk, students may only purchase snack or a la carte items with cash if they have a positive account balance. The District shall communicate regularly with the parents of students regarding collection of a negative meal balance of $ 10.00 or more in accordance with current accounts receivable administrative guidelines. If a negative balance remains unpaid for four weeks or more, the Board reserves the right to take legal action to collect on the debt. This policy is to be provided in writing to all households at the start of each school year and to households transferring to the District during the school year. A copy of this policy shall also be provided to all District staff responsible for its enforcement. Revised Policy 8.10 “Purchases” Upon adoption by the Board of an annual appropriation resolution, the Board, by general resolution, may dispense with the adoption of resolutions authorizing the purchase or sale of property, except real estate. Solicitation of Bids or Quotations For those instances in which Ohio law does not establish a specific bid procedure, and the purchase item is not through a cooperative purchasing program, the originator of the purchase order should, when possible, seek at least three (3) price quotations on the item or items before the purchase. When the Board determines to build, repair, enlarge, improve, or demolish any school building, the cost of which will exceed $25,000 the Board shall follow the bid procedure set forth in O.R.C. §3313.46. Beginning March 16, 2017, when the Board determines to build, repair, enlarge, improve, or demolish any school building, the cost of which will exceed $50,000.00, the Board shall follow the competitive bidding procedure set forth in O.R.C. §3313.46. Such procedure shall be followed except in cases of urgent necessity, or for the security and protection of school property, or as otherwise provided by law. In

awarding the bid, the Board shall accept the bid which is the lowest responsive and responsible. All orders or contracts are to be awarded to the lowest responsive and responsible bidder in accordance with O.R.C. §9.312. For a bidder to be deemed responsive, the bidder’s proposal should respond to bid specifications in all material aspects and contain no irregularities or deviations from the specifications which would affect the amount of the bid or otherwise give the bidder a competitive advantage. In determining whether a bidder may be deemed responsible, the Board shall request evidence from the bidder concerning:
A. the experience of the bidder with the service or material being bid;
B. the financial condition of the bidder;
C. the conduct and performance of the bidder on previous contracts (with the District or other agencies);
D. the facilities of the bidder;
E. the management skills of the bidder; and,
F. the ability of the bidder to execute the contract properly.
In situations in which the Board has resolved to award a bid to the lowest responsive and responsible bidder, and the apparent low bidder(s) do/does not meet the considerations specified above, the Board shall so notify the bidder(s) in writing, by certified mail, prior to awarding the contract to the next lowest bidder. School Bus Purchases Contracts for the purchase of all school buses and other equipment used in transporting children to and from school must be by competitive bid, pursuant to O.R.C. §3327.08. All bids shall state: “The buses, prior to delivery, will comply with the safety rules of the department of public safety adopted pursuant to O.R.C. §4511.76 and all other pertinent provisions of law.” Cooperative Purchasing The Board hereby authorizes the administration to cooperate with other public entities in taking bids and letting contracts for cooperative purchasing, when authorized by law. All cooperative buying ventures must be submitted to the Board for approval and authorization. Purchase from the State The Board may determine to purchase some of the same supplies and services as are purchased by or for State agencies in accordance with O.R.C. §125.04. If the Board desires to participate in such purchases it will comply with the Department of Administrative Services requirements. Rejection of Bids or Quotations The Board reserves the right to reject any or all bids and if it desires to subsequently re-bid the contract. The bid procedures set forth in this Policy do not apply to the following situations:
1. The acquisition of educational materials used in teaching; 2. If the Board determines and declares by resolution adopted by two-thirds
of all its members that any item is available and can be acquired only from a single source.
3. If the Board declares by resolution adopted by two-thirds of all its members that these procedures do not apply to any installation, modification, or remodeling involved in any energy conservation measure undertaken through an installment payment contract pursuant to O.R.C. §3313.372 or 133.06.
4. The acquisition of computer software for instructional purposes and computer hardware for instructional purposes pursuant to O.R.C. §3313.37.

5. Other situations allowed by Ohio Revised Code. Purchase Order Procedures For District Managed Funds Requests for purchase orders from those outside of the Administrative staff must submit such a request to their principal or supervisor for pre-approval. Administrators and Supervisors submit requests for a purchase order to Chief Financial Officer’s office. The person receiving the purchase order shall review it. If it is approved, it shall be forwarded to the Chief Financial Officer or other authorized administrator. The Chief Financial Officer or designee approves and completes the pre-numbered purchase order. All purchase orders are to be numbered consecutively. The Chief Financial Officer certifies and encumbers the funds, posts the purchase order and distributes the document. The originator of the purchase order verifies receipt, compares it with the purchase order, and submits itemized shipping invoice to the Chief Financial Officer or designee as correct and proper for payment. Chief Financial Officer or designee compares the billing and shipping invoices to the purchase order for costs and adjustments. Chief Financial Officer issues a check for payment. All disbursements made by check require at least the Chief Financial Officer’s signature. In the interests of economy, fairness, and efficiency in its business dealings, the Board requires that items commonly used in the various schools or units thereof, be standardized where consistency with educational goals can be maintained. 2. Eight (8) hour workday 3. 260 day contract: All exempt employees will have a 260 day contract. Due to the imperfect and changing
calendar, the number of contract days may vary by a couple of days. 4. Separate Salary Schedules
Effective August 1, 2017, the base salary as applied to all salary schedules shall include a 2.0% increase. Step increases will be determined by the evaluator’s rating and are not guaranteed to be automatic in subsequent years. Effective August 1, 2018, the base salary as applied to all salary schedules shall include a 2.0% increase. 5. Retirement Incentive
Effective September 1, 2013, 2% for each year of Mentor service with a minimum of 30% and a maximum of 60% for retirement incentive. The incentive is calculated based on the highest contract salary occurring during the previous three years in the Mentor Schools. In addition, if retirement occurs before the end of the contract year, the incentive is calculated based on the highest salary occurring during the previous three years.
6. Term Life Insurance
$55,000. Upon retirement or resignation, term life insurance can be converted to individual whole life. Information provided upon separation of employment.
7. Reduction in Force No reduction in force with administrative assistant classification position in the event of any
changes in the Administrative Organizational Chart. 8. Insurance Contributions Effective January 1, 2014, each exempt employee shall pay, via payroll deduction, Fifteen
Percent (15%) of single or family health insurance premium. If the exempt employee had Ninety-Five Percent (95%) or above attendance rate in 2016-
2017 contract year, the amount of increase of an employee’s annual premium contribution during 2017-2018 over 2016-2017 will not exceed the additional monies that the employee receives in 2017-2018 over 2016-2017 as a result of the increase in base compensation. Personal leave, vacation, in-service time, up to three (3) days of bereavement sick days, and long-term absences approved by management shall not be counted against the Ninety-Five Percent (95%) attendance standard. Percent (95%) attendance standard, she/he will be required to pay the full Fifteen Percent (15%) insurance premium contribution with no offset.
The same formula shall be applied to the 2018-2019 contract year based on the 2017-2018
attendance. The same formula shall be applied to the 2019-2020 contract year based on the 2018-2019 attendance.
9. Personal Leave All twelve-month positions shall have the option of converting up to four (4) unused
personal leave days to vacation days after one or more years of service as an exempt employee in the Mentor Public Schools.
10. Severance Benefits
Severance benefits shall be calculated by multiplying the retiree’s daily rate of contracted pay at the time of retirement by 40% of the total number of accumulated, unused sick leave days, or a minimum of 50 full days paid. A minimum of five (5) years Mentor service is necessary for receiving a severance payment.
RESOLUTION ACCEPTING THE NEGOTIATED AGREEMENT WITH MENTOR TEACHERS ASSOCIATION WHEREAS, Ohio Revised Code Section 3313.17 permits the Board to enter into contracts, including those contracts collectively bargained pursuant to Chapter 4117 of the Ohio Revised Code; WHEREAS, the Board has engaged in collective bargaining with the Mentor Teachers Association during which the parties have come to an agreement; and WHEREAS, Section 4117.09 requires a collective bargaining agreement to be reduced to writing and executed by all parties. NOW, THEREFORE, BE IT RESOLVED by the Board: SECTION 1. That the proposed revisions to the prior Negotiated Agreement between
the Board and the Mentor Teachers Association, attached hereto as Exhibit “A” and incorporated herein fully as if by reference, are hereby accepted and approved for execution on behalf of the Board.
SECTION 2. This Resolution shall take effect and be in force from and after the
earliest period allowed by law. BE IT FURTHER RESOLVED that this Board so charges the Treasurer with carrying out any functions necessary to implement this action.
All formal actions of this Board concerning and relating to the adoption of this Resolution were adopted in an open meeting of this Board, and all deliberations of this Board and of any of its committees that resulted in such formal action, were in meetings open to the public, in compliance with all legal requirements including Section 121.22 of the Ohio Revised Code, unless a lawful exception applies. The motion carried. 2017-5-105 Mrs. Bryner moved, seconded by Mr. Shaw that the Board of Education approve the resolution authorizing the sale of surplus equipment by public auction. WHEREAS, this Board is the owner of certain surplus equipment consisting of four 71 passenger buses and one 16 passenger school bus (the “Property”); and WHEREAS, this Board intends to offer the Property for sale at public auction in accordance with Section 3313.41 of the Revised Code. NOW, THEREFORE, BE IT RESOLVED by the Board of Education of the Mentor Exempted Village School District, Counties of Lake and Geauga, State of Ohio, that: Section 1. Need for and Value of the Property. This Board finds, determines and declares that the Property (i) is no longer needed for any school purpose and (ii) exceeds $10,000 in value. Section 2. Authorization of the Sale of the Property. This Board hereby approves and authorizes the sale of the Property by public auction in accordance with Section 3313.41(A) of the Revised Code, in bulk, in lots or by the piece, or some combination thereof, subject to the terms and conditions of the sale provided for in this Resolution, to the highest bidder after giving at least thirty (30) days’ notice of the public auction by publication in a newspaper of general circulation in the School District or by posting notices in five of the most public places in the School District. Section 3. Terms and Conditions of the Sale. The sale of the Property shall be upon the following terms and conditions and such other conditions of sale for the Property that are consistent with this Resolution and in the best interests of this Board and the School District as may be determined by the Treasurer: a. The auction shall be conducted on a date as
determined by the Treasurer, and the Treasurer may conduct one or more separate auctions on separate dates.
b. The sale shall not be final until the successful bidder’s bid and offer to purchase is accepted in writing by the Treasurer on behalf of the Board, and the Treasurer may accept the highest bid without further approval of this Board, provided that the Treasurer may also reject a bid if the Treasurer determines that the bid is not in the best interest of the Board.

c. At the time of the completion of the auction, the highest bidder shall deliver to this Board a security deposit in the form and amount as determined by the Treasurer for faithful performance should the bid be accepted. The deposit shall be applied to the purchase price in the event the bid is accepted.
d. Final payment for the Property, which shall be the difference between the security deposited and the amount of the bid, shall be made in the form as determined by the Treasurer, at the time of transfer of title.
e. In the event that the sale of any piece or lot of the Property is not consummated pursuant to the public auction for any reason (which shall include a rejection of a bid), the Treasurer is hereby authorized to sell such remaining Property in a private sale on such terms as the Treasurer shall determine and for the best price so obtainable.
Section 4. Approval and Execution of Related Documents. The President or Vice-President, Superintendent and Treasurer of this Board, or such other School District officials as shall be designated by those officials, as appropriate, are each authorized and directed to sign any certificates or documents, and to take such other actions as are desirable, advisable, necessary or appropriate, including but not limited to the procurement of surveys, appraisals, title searches and lot split approvals, to consummate the transactions contemplated by this Resolution. Section 5. Compliance with Open Meeting Requirements. This Board finds and determines that all formal actions of this Board and any of its committees concerning and relating to the adoption of this Resolution were adopted in an open meeting of this Board or committees, and that all deliberations of this Board and any of its committees that resulted in those formal actions were in meetings open to the public, in compliance with the law. Section 6. Prior Acts Ratified and Confirmed. Any actions previously taken by School District officials or agents of this Board in furtherance of the matters set forth in this Resolution are hereby approved, ratified and confirmed. Section 7. Captions and Headings. The captions and headings in this Resolution are solely for convenience of reference and in no way define, limit or describe the scope or intent of any Sections, subsections, paragraphs, subparagraphs or clauses hereof. Reference to a Section means a section of this Resolution unless otherwise indicated. Section 8. Effective Date. This Resolution shall be in full force and effect from and immediately upon its adoption. Roll Call: Ayes: Mrs. Bryner, Mr. Shaw, Ms. Miller, Mr. Tuttle, Mrs. Jeschelnig. The motion carried. 2017-5-106 Mrs. Jeschelnig announced there was no unfinished business. At this time Mrs. Jeschelnig announced that the Board of Education would conduct a hearing of the public, an opportunity for anyone to speak to the Board on any subject. Ms. Cindy Langelier, speaking as a resident taxpayer, expressed her concerns about the Superintendent search process and requested the Board take stakeholder comments into serious consideration. Mrs. Bryner moved, seconded by Ms. Miller that the Board of Education recess to executive session in accordance with Ohio Revised Code 121.22 to discuss the Superintendent’s evaluation, employee negotiations, and employment of a public official.
