MAURY COUNTY BOARD OF EDUCATION ZONING & FACILITIES COMMITTEE MINUTES

HORACE O. PORTER SCHOOL AT COLLEGE HILL 6:00 P.M., July 14, 2016

I. The Zoning & Facilities Committee Meeting was called to order by Mr. Moore at 6.03 p.m. with the following eight (8) Board Members present: Mr. David Moore, Mr. Wayne Lindsey, Mr. Denny Beaver, Mr. Jerry Lassiter, Mr. James Pennings, Ms. Carey Powers, Mr. Tommy Dudley and Mr. James Morrison. Mr. David Bates arrived at 6:24 p.m., Ms. Jyuana Martin arrived at 6:40 p.m. and Ms. Kristin Parker arrived at 7:35 p.m.

II. Mr. Moore made the following changes to the Zoning & Facilities Agenda:

A. Add Bid #17-010 – Boiler Replacement – WES, SFUS, MPES under Item VIIIB. Item X. Relocation Plan for Alternative School/Central Office to Northfield was removed from

the agenda C. Item V. Construction Administration/Architectural Services for Central High School would

have no attachment, only a verbal report

Mr. Pennings moved with a second by Mr. Dudley to adopt the agenda. Motion carried with all eight members voting aye.

III. Mr. Dudley moved with a second by Ms. Powers to approve the June 9, 2016 Zoning & FacilitiesMinutes. Motion carried with all eight members voting aye. (See Attachment 1)

IV. Capital Projects Report:

A. An attachment was provided by Mr. Dwain Hibdon for Architect’s Final Report. (SeeAttachment 2)

B. Mr. Jamie Spencer with Hewlett Spencer presented the Hewlett Spencer/Bell & Associates Report for the Committee to review. (See Attachment 3)

C. Mr. John Thyen with Trane presented the Trane Report for the Committee to review. (See Attachment 4)

1. Mr. Owen Nevader from Trane presented a proposal to conduct interviews and siteaudits to provide a plan for addressing the mechanical, electrical and plumbing itemsaddressed in the facilities condition assessment provided by EMG with no financialcommitment to Maury County Public Schools. All nine Committee Members agreedto allow Trane to move ahead with their proposal. (See Attachment 5)

D. Mr. Stan Breeden, Assistant Director of Operations, presented the Project Cost Report for the Committee to review. (See Attachment 6)

V. Mr. Breeden discussed the construction administration/architectural services for the Central High

School completion since the contract with S.S.O.E. was not renewed. A motion was made by Mr. Moore and seconded by Mr. Pennings to allow Hewlett Spencer to handle architectural services that may be needed as the Central High School project is being completed as long as those services follow all change order requirements, using remaining funds allocated in the Architectural Services portion of the Fund 177 Construction of Central High School and recommend the Committee’s approval to the full Board for approval. Motion carried with all ten (10) members voting aye.

VI. Mr. Dave Hall, Construction Manager, presented Bid #16-091 – Locksets System-wide in the amount $412,564.32 from Isenhour Door Products, Inc. in order to re-key all interior doors system-wide and to include either a 10% or 15% contingency for additional doors that may not have been included in the original door count using funds available in Fund 141 Capital Projects funds. Mr. Lindsey moved with a second by Mr. Beaver to approve Bid #16-091 – Locksets System-wide in the amount $412,564.32 from Isenhour Door Products, Inc. and to include a contingency in the amount of $60,435.68 for a grand total amount of $473,000. in order to re-key all interior doors system-wide using funds available in Fund 141 Capital Projects and recommend the Committee’s approval to the full Board for approval. Motion carried with all ten (10) members voting aye. (See Attachment 8)

VII. Mr. Breeden presented Bid #17-001 – RFP for Construction Management Services from Hewlett Spencer, LLC for upcoming project(s). After discussion, Mr. Bates moved with a second by Mr. Dudley to approve the proposal from Hewlett Spencer, LLC and recommend the Committee’s approval to the full Board for approval with the following conditions:

1. The contract is not a long term obligation 2. The Board has the option to use Hewlett Spencer, LLC on a case-by-case basis 3. All associated costs with each project must be approved by the Board 4. Each project is subject to Board approval

Motion carried with all nine (9) members voting aye and Mr. Pennings voting no. (See Attachment 9)

VIII. Mr. Breeden presented Bid #17-010 – Boiler Replacement – WES, SFUS. MPES from Trane using

US Communities Cooperative Purchasing Contract in the grand total amount of $472,866.00 using funds available in Fund 141 Capital Projects funds. Mr. Breeden discussed the need for an additional boiler replacement at Culleoka Unit school and that there would be funds available as savings on the Project Cost Report as the actual cost of some projects were below the estimated cost originally listed on the report. Mr. Dudley moved with a second by Mr. Bates to approve the boiler replacement at Woodard Elementary School in the amount of $116,337.00, Santa Fe Unit School in the amount of $144,425.00, Mt. Pleasant Elementary School in the amount of $212,104.00 and using savings on the Project Cost Report, include the boiler replacement at Culleoka Unit School in the amount of $235,494.00 for a grand total amount of $708,360.00 and recommend the Committees approval to the full Board for approval. Motion carried with all eleven members voting aye. (See Attachment 9b)

IX. Mr. Moore requested a ten-minute break at 7:40 p.m.

X. Dr. Jesse B. Register, Director of the Center for Improvement of Educational Systems at Belmont University, presented a proposal of a Ten Year Facility Plan which will provide a full, detailed, priority ranked ten-year facility plan for the school system. Dr. Register’s services are provided at no cost to the district however additional consultants may be used for work at the discretion of the District and Center at a cost not to exceed $30,000.00. Mr. Lindsey moved with a second by Mr. Bates to accept the Memorandum of Understanding from Dr. Register in the amount not to exceed $30,000.00 and recommend the Committees approval to the full Board for approval. Motion carried with all eleven members voting aye. (See Attachment 10)

XI. Mr. Breeden presented the following Facility Donations as an FYI:

A. Yard work at Highland Park Elementary School by Grace Church of the Nazarene. (See Attachment 12)

XII. Mr. Moore recommended postponing discussion of Capital Planning until Trane’s Audit of MEPRecommendation from Facilities Condition Assessment and Dr. Register’s Ten Year Facility Planreports are complete and recommendation submitted to the Board for review.

XIII. A motion was made by Mr. Dudley and seconded by Mr. Pennings to adjourn the meeting. Motioncarried with all eleven members voting aye. The Committee Meeting was adjourned at 8:35 p.m.

Bid #17-009 – Weekly Mat Cleaning Service – System-wide

I hereby recommend approval of contracting the services of Aramark Uniform Services to

perform weekly mat cleaning at school facilities system-wide in the amount of $358.56 per week

for a grand total annual amount of $18,645.12 using state-wide contract #34899 SWC364. The

funds are available in in Fund 141 Operation of Plant funds.

1.0 SCOPE:

1.1 This procedure outlines the process for request and approval of construction/alterations of facilities to MCPS property by a non-contracted third party.

2.0 RESPONSIBILITY:

5.0 PROCEDURE:

5.1 A proposal with the project description must be submitted to the MCPS Operations Department for review. The proposal must include the following:

5.1.1 Letter from the building principal or assistant principals, where there is no principal, requesting alteration to facility or campus, and describing the proposed use of new structure or alteration to existing structure to include:

5.1.1.1 A drawing of the proposed structure or modification with overall dimensions and site location map,

5.1.1.2 Purpose of the project,

5.1.1.3 Timeline of the project,

5.1.1.4 Financing of the construction,

5.1.1.5 Maintenance plan for the finished project, and a

5.1.1.6 Certificate of Incorporation of the group, if applicable.

5.2 The proposal is reviewed for utility conflicts, and their effect on MCPS systems to ensure that the project meets overall goals of school system and future plans for the site.

5.2.1 If proposal does not include 5.1.1.1 through 5.1.1.6, and/or there are utility conflicts, and/or it does not meet overall goals of MCPS and/or future plans for the site the proposal is returned to the requestor with an explanation.

5.3 Proposal is approved by the Operations Department. Project recommendation letter from the Assistant Superintendent of Operations or Construction Manager is attached to the packet and presented to the School Board.

5.3.1 If the proposal is accepted, then a “Conditional Approval” is issued by the Operations Department. A “Conditional Approval” is not issued in every case. The issuance of a “Conditional Approval” depends on the scope of the project and the level of complexity and may not be required when all of the following requirements can be met. The third party may proceed in obtaining the following requirements:

5.3.1.1 Plans must be designed by a licensed architect or engineer, if building will be used for graded activities or construction cost will be greater than $10,000, or if the area will exceed 5,000 square feet.

5.3.1.2 Operations Department is provided a copy of any and all plans.

5.3.1.3 Building design must follow Tennessee Fire Regulations, Building Codes and Disabilities Act guidelines (ramps, door sizes, etc.).

5.3.1.4 Building space will be adequate to the number of people it will serve, and for the types of activities.

5.3.1.5 If the construction or modification is not performed by a licensed contractor then the parties performing the work are required to

sign a waiver (ref. indemnifying and holding MCPS harmless and provide a copy of an adequate insurance policy, adequacy to be determined by the Operations Department, that covers damages to existing structures, accidents and personal injuries during construction and/or;

5.3.1.6 Construction must be performed by licensed and insured contractor

for projects of $25,000 or greater.

5.3.2 If the proposal is not accepted, it is returned to requestor with explanation.

5.4 Requirements are met and proposal goes on for final review by the Operations Department.

5.4.1 When required, the proposed project is submitted by the designer to the

Tennessee State Fire Marshall or other governing agencies for review and approval.

5.4.2 Once approved, the third party may obtain a building permit and a “Final

Approval and Notice to Proceed” is issued by the Operations Department.

5.4.3 If requirements are not met, proposal goes back to requestor for revisions.

5.5 An agreement between MCPS and the proposing group is signed.

5.5.1 If disapproved, proposal goes back to group for revisions and notification is made to level supervisor.

5.6 Upon completion, structure must pass Fire Safety Inspection and any other

building inspections required from the city or county. It is the responsibility of the third party to ensure compliance.

NOTE: In the event that a Third Party has begun construction on a project and

is unable to complete the project for any reason within the time frame agreed upon, or does not meet the requirements as per approved design, MCPS Operations Department possesses the right to remove, demolish, or take any other action the Operations Department deems appropriate.

WAIVER, RELEASE, ASSUMPTION OF RISK, AND INDEMNIFICATION (To be used in conjunction with FAC-P004)

In consideration of me being permitted to participate in any way with the “Activities” involved in construction or modification as detailed in the Maury County Public Schools (Hereinafter “MCPS”) Procedure on property owned, leased, or under general supervision of MCPS, I agree:

1. I understand the nature/dangers of any activities surrounding or having to do with

the construction/modification and believe that I am qualified to participate in such Activity. I further acknowledge that I am aware the activities will be conducted on grounds open to the students and employees of MCPS during the Activity. I further agree/warrant that if at any time I believe conditions to be unsafe, I will immediately cease further participation in the Activity.

2. I FULLY UNDERSTAND that: (a) Construction Type Activities surrounding the

construction/modification of facilities on MCPS property may involve risks and dangers of SERIOUS BODILY INJURY, INCLUDING PERMANENT DISABILITY, PARALYSIS AND DEATH (“Risks”); (b) these Risks and dangers may be caused by my own actions, or inaction’s, the actions or inaction’s of others participating in the Activity, the condition in which the Activity takes place. Or THE NEGLIGENCE OF THE “RELEASEES” NAMED BELOW; (c) there may be other risks and social and economic losses either not known to me or not readily foreseeable at this time; and I FULLY ACCEPT AND ASSUME ALL SUCH RISKS AND ALL RESPONSIBILITY FOR LOSSES, COSTS, AND DAMAGES, INCLUDING PROPERTY DAMAGE, PERSONAL INJURY AND DEATH incurred as a result of my Participation in the Activity.

3. I HEREBY RELEASE, DISCHARGE, COVENANT NOT TO SUE, AND AGREE TO

INDEMNIFY AND SAVE AND HOLD HARMLESS THE MAURY COUNTY PUBLIC SCHOOLS, their unions, clubs (sports and otherwise), respective administrators, board members, faculty, agents, officers, volunteers, and employees, other participants, and if applicable, any county employees, sponsors or advertisers.(each considered one of the “Releasees” herein) from all liability, claims demands, losses, or damages on my account caused or alleged to be caused in whole or in part by the negligence of the “Releasees” or otherwise, including negligent rescue operations and further agree that if, despite this release, I or anyone on my behalf makes a claim against any of the Releasees named above, I WILL INDEMNIFY, SAVE AND HOLD HARMLESS EACH OF THE RELEASEES FROM ANY LITIGATION EXPENSES, ATTORNEY FEES, LOSS LIABILITY, DAMAGE OR COSTS ANY MAY INCUR AS THE RESULT OF ANY SUCH CLAIM.

KEY CONTROL PROCEDURES Maury County Public Schools

1.0 Purpose 1.1 The purpose of these procedures is to help protect the life, property, and security of

Maury County Public Schools (herein referred to MCPS) and all its occupants.

1.2 It shall serve as the framework by which all keys and access credentials will be managed, issued, duplicated, stored, controlled, returned, replaced, and accounted for by the Key Control Authority (KCA).

2.0 Enforcement

2.1. All keys remain the property of MCPS.

2.2. Keys that are no longer required for authorized purposes shall be returned to the Key Control

Authority for the facility.

2.3. No person or department shall knowingly receive, borrow, or possess any key for any space

without receiving permission from a person duly authorized to give permission to possess such

key.

2.4. No person shall knowingly alter, duplicate, copy, or make a facsimile of any key to a lock of a

facility building or property without receiving permission from the KCA.

2.5. To enforce effective key control, administrators may choose to impose a deposit for each key

issued.

2.6. Keyholders shall use assigned keys for access to authorized locks only.

2.7. Keyholders shall take measures to protect and safeguard any facility keys issued to them or in

their name.

2.8. Keyholders shall not loan their facility key(s).

2.9. Keyholders shall not use their key(s) to grant access to non-authorized individuals.

2.10. Keyholders shall not attempt in any manner to duplicate or alter facility keys in their

possession.

2.11. Keyholders shall immediately report any lost, missing, stolen or damaged keys.

2.12. Persons entering locked buildings or spaces are responsible for re-securing all doors and shall

not prop open any doors.

2.13. Individuals shall not store keys in desk drawers or other unsecured areas.

2.14. Violations of any of these enforcement policies may result in disciplinary action up to and

including dismissal.

3.0. Key Control Procedures

3.1. Key Control Authority—“KCA”

3.1.1. Each MCPS Facility shall appoint a Key Control Authority with power and authority to:

3.1.2. Appoint or become a Key Control Manager to:

3.1.3. Implement, execute and enforce the key control policies and procedures.

3.1.4. Issue and return pre-assigned keys to that facility with proper documentation,

authorization, and transaction receipts.

3.2. Storage

3.2.1. Keys, credentials, and key records shall be stored in a secure condition (data) or location

(physical items) protected by lock and key or vault.

3.2.1.1. Keys shall be stored in a locked cabinet or container, in a secured area.

3.2.1.2. Key rings issued for temporary use shall be of a tamper resistant design so that

keys cannot be removed from the ring prior to return.

3.2.2. Keys stored in a non-centralized location:

3.2.2.1 Sequence locks release one key upon the insertion and trapping of another.

3.2.2.1.1 Allows remote issuance of master keys.

3.2.2.1.2 Permits fewer master keys to be issued on a permanent basis.

3.2.2.2. Emergency key storage boxes (Knox, Supra type).

3.2.2.2.1. Subject to local regulations and to protect against theft or

duplication, no master keys should be stored in these types of

containers.

3.2.2.3. Computerized key cabinets with access control and audit capability may be used

in remote locations for temporary key issuance.

3.2.3 Key records shall be stored in a secure location protected against fire and theft:

3.2.3.1 Bitting lists.

3.2.3.2 Authorization forms.

3.2.3.3 Key issuance and return records.

3.2.3.4. Data files shall be password protected and encrypted.

computerized format.

4.1 The manual format shall use card and index files to easily access, maintain, and cross-reference

information on:

4.1.1. Keys:

4.1.1.1. Blind code numbers.

4.1.1.2. Standard Key Coding Symbols (“SKCS”).

4.1.1.3. Key identity: serial, inventory, or sequence number.

4.1.1.4. Individuals with authority to issue for each key.

4.1.1.5. Temporary issue keys and key rings.

4.1.2. Keyholders:

4.1.2.1 Name, address, ID #, telephone, key deposit.

5.0. Procedures

5.1. Identifying Keys and Keying

5.1.1. All keys should only be marked with a blind code number that does not in any way

reflect its usage or level.

5.1.2. The use of standard key coding to mark cylinders or keys is not recommended.

5.1.3. Keys should not be marked M, MK, GMK, or GGMK to indicate level of keying.

5.1.4. All issued keys should contain an inventory or serial number that reflects the total

of keys issued and provides a unique identifier for every copy.

5.1.5. Keys should not be stamped with bittings.

5.2. Issuing Keys

5.2.1. All key orders should be properly authorized by an authorized signer, in addition to the

keyholder, before issuing.

5.2.1.1. Each key can have its own appropriate level of authorization.

5.2.1.1.1. Higher level keys may require higher levels of authorization.

5.2.2. Issue the proper level key to each individual granting only the appropriate level of

access.

5.2.3. Issue keys by need, not desire.

5.2.4. Require signature(s) on keyholder agreement:

5.2.4.1. Signature of keyholder.

5.2.4.2. Signature of authorizer.

5.2.5. Require photo ID.

5.2.6. Keys shall be issued by duration of need, not by term of employment.

5.2.7. Signature required by keyholder and authorizer.

5.2.8. Keys must be personally picked up, not mailed.

5.2.8.1. If necessary, keys may be delivered by courier or other return-receipt-required

certified carrier.

5.2.9. Keys shall be individually serialized or numbered.

5.2.9.1. Keys shall be identified by blind code numbers and serialized number.

5.2.10. Individuals may be issued only one copy of each keyset.

5.2.10.1. Exception for approved multiple key holders.

5.2.11. The KCA shall establish key issuance authorization levels determined by the type of key.

The general rule shall be that an authorizer may only approve keys for spaces directly

under his/her control. In some cases, more than one authorizer may be required.

5.2.11.1. Types of keys:

5.2.11.1.1. Change keys.

5.2.11.1.2. Master keys.

5.2.11.1.3. Grand master keys.

5.2.11.1.4. Top master key.

5.2.11.1.5. Entrance key.

5.2.11.1.6. Control keys.

5.2.11.1.7. Mechanical/Maintenance keys.

5.2.11.1.8. SKD/Security keys.

5.2.12. Facility shall use standardized key deposits varying by keyholder type and by level of

key. For example, the deposit for a master key should be greater than that of a change

key.

5.2.13. Keys may not be duplicated or issued except through the KCA or authorized facility

locksmith.

5.2.14. Keys shall only be issued by a designated individual.

5.2.14.1. Exception: electronic key cabinets with audit control or sequence locks.

5.2.15. All keys should be tracked with a return due date and time, especially temporary issue

keys.

5.2.16. Shift keys or rings shall be returned at the end of every work shift.

5.2.17. Shift key rings shall be sealed and tamper evident.

5.3. Returning Keys

5.3.1. All keys shall be returned to the issuing department by the authorized keyholder.

5.3.1.1. When keys are returned, any key deposit will be refunded and a key return

receipt shall be issued to the keyholder.

5.3.2. Found keys must be turned into the KCA.

5.3.3. Final paychecks, records, and/or transcripts may be held pending return of key(s).

5.4. Non-returned key procedure

5.4.1. A fee for lost or stolen keys shall be established.

5.4.1.1. In the event that facility keys are lost or stolen, it shall be standard procedure to

re-combinate immediately any cylinders accessible by the lost key(s).

5.4.1.2. All re-keying charges must be paid by department, individual, or company

responsible for losing the key.

5.4.1.3. Rekeying charges shall be determined by the number of locks operated by the

lost or stolen key(s).

5.4.1.4. If any individual has two or more separate incidents of lost, stolen, or non-

returned key violations within a one-year period, key privileges may be revoked.

5.5. Administration of the Master Key System

5.5.1. Update the key schedule and bitting lists as new codes and bittings are issued and used.

5.5.1.1. Send periodic updates to the cylinder manufacturer if factory control over the

key system will continue.

5.5.2. Cross keyed conditions should be minimized or avoided.

5.5.2.1. When cross keying is unavoidable, all cross keyed conditions should be fully

recorded.

5.6. Audits

5.6.1. Keyholder:

5.6.1.1. On at least an annual basis, the responsible department will determine that the

proper accountability of keys is being maintained by conducting random key

checks that sample the keys being carried by at least 25% of all departmental

keyholders.

5.6.2. Key System:

5.6.2.1. It is recommended that, under normal circumstances, all keys and cylinders

should be changed, or at least evaluated for change, at intervals not exceeding

five years.

5.6.2.2. Perform periodic audits of key cutters to determine if unauthorized duplicate

keys can be obtained.

5.6.3. Reports shall be periodically generated and distributed by department with a written

response required to confirm the accuracy of the information being held.

5.7. Transfer/Temporary use

5.7.1. Keys shall not be transferred from one individual to another without proper

authorization and record keeping from the KCA.

6.0 Servicing

6.1. Cutting keys:

6.1.1. Only a MCPS-approved locksmith shall be permitted to cut keys.

6.1.2. All facility keys shall be cut on factory approved code cutting machines, not on

duplicating machines that trace from one key to another. Duplicating machines are less

accurate and can transfer wear or inaccuracy that worsens through generations of keys.

6.2. Pinning/re-combinating cylinders:

6.2.1. Shall only be performed by MCPS-approved locksmith department.

6.2.2. Shall be on the facility’s key system unless approved by.

6.2.2.1. Combinate to all appropriate levels of keying unless pre-approved.

6.2.2.2. SKD combinations must be pre-approved.

6.3. Installing locks:

6.3.1. Shall only be performed by facility-approved locksmith department.

6.3.2. Shall be on facility’s key system unless approved by.

6.4. Preventative maintenance shall be performed regularly to ensure proper operation of keys

and locks and to maintain security.

6.4.1. Worn keys shall be replaced to avoid breakage.

6.4.2. Worn or poorly functioning cylinders shall be replaced to maintain proper security.

Our facilities assessment company, EMG, recommended several civil engineering studies at various schools for site drainage and storm drainage problems. Culleoka, Highland Park, Woodard, Riverside and SHES required a "site drainage" study. Marvin Wright, MPES & SHHS required a "storm drainage" study.

Engineering services fall under professional services and do not required us to go out for bid. We interviewed several civil engineering companies and are recommending Civil Site Design Group out of Nashville, TN. The total for the 8 studies is $60,000 + $6,100 (reimbursable items) = $66,100 .

I recommend approving funds for $66, 100 to Civil Site Design Group for these 8 studies.

VI. REUSE OF DOCUMENTS: All documents including Drawings and Specifications prepared by CSDG pursuant to this Agreement are instruments of service in respect to the Project. They are not intended or represented to be suitable for reuse by CLIENT or others on extensions of the Project or on any other project. Any reuse without written verification or adaptation by CSDG for the specific purpose intended will be at CLIENT's sole risk and without liability or legal exposure to CSDG; and CLIENT shall indemnify and hold harmless CSDG from all claims, damages, losses and expenses including attorney' s fees arising out of or resulting therefrom. Any such verification or adaptation will entitle CSDG to further compensation at rates to be agreed upon by CLIENT and CSDG.

VII . ACCESS TO THE SITE/JOBSITE SAFETY: Unless otherwise stated, CSDG will have access to the site for activities necessary for the performance of the services. Neither the professional activities of the Consultant, nor the presence of the Consultant or its employees and sub consultants at a construction/project site, shall relieve the General Contractor of its obligations, duties and responsibilities including, but not limited to, construction means, methods, sequence, techniques or procedures necessary for performing, superintending and coordinating the Work in accordance with the contract documents and any health or safety precautions required by any regulatory agencies. The Consultant and its personnel have no authority to exercise any control over any construction contractor or its employees in connection with their work or any health or safety programs or procedures. The Client agrees that the General Contractor shall be solely responsible for jobsite safety, and warrants that this intent shall be carried out in the Client' s contract with the General Contractor. The Client also agrees that the Client, the Consultant and the Consultant's sub consultants shall be indemnified by the General Contractor and shall be made additional insureds under the General Contractor' s policies of general liability insurance.

VIII. INDEMNIFICATIONS: If any claim is brought against either the CLIENT or CSDG by any third party, relating in whole or in part to the negligence of the CLIENT or CSDG, each party shall indemnify the other against any loss or judgment, including attorneys ' fees and costs, to the extent that such loss or expense is caused by the party's negligence.

IX. INSURANCE: CSDG shall secure and endeavor to maintain such insurance as will protect CSDG from claims of negligence, bodily injury, death, or property damage which may arise from the performance of services under this Agreement.

X. RISK ALLOCATION: In recognition of the relative risks, rewards and benefits of the project to both the CLIENT and CSDG, the risks have been allocated such that the CLIENT agrees that, to the fullest extent permitted by law, CSDG's total liability to the CLIENT for any and all injuries, claims, losses, expenses, damages, or claim expenses arising out of this agreement from cause or causes, shall not exceed the amount of our fee or Fifty Thousand ($50,000) dollars, whichever is greater. This limitation shall apply regardless of the cause of action or legal theory pied or asserted.

XL DISPUTES RESOLUTION: It is agreed by both parties that all unsettled claims, counterclaims, disputes or other matters in question arising out of or related to this Agreement shall first be attempted to be resolved by mediation. This provision can be waived by the mutual consent of the parties or by either party if its rights would be irrevocably prejudiced by a delay in initiating arbitration or the right to file a lawsuit.

XII. OPINIONS OF CONSTRUCTION COST: Any opinion of probable construction cost prepared by CSDG represents CSDG's judgment as design professionals and is supplied for general guidance of the CLIENT. Since CSDG has no control over the construction marketplace, CSDG does not guarantee the accuracy of such opinions as compared to contractor bids or actual cost to CLIENT.

XIII. GOVERNING LAW: Unless otherwise specified within this Agreement, this Agreement shall be governed by the Law of the State of Tennessee.

Note that these hourly rates are subject to change on January 1st of each year. Projects that are subject to hourly rate fees shall use the hourly rates that are in effect at the time that the work is performed .

Outside services contracted for a specific project, such as professional and technical consultants, laboratory testing , reproduction , photography, etc., will be invoiced at the amount of the subcontractor's statement plus 15 percent.

Other expenses wh ich are properly chargeable to the work will be invoiced as follows :

a. Travel by company or private vehicle at the current IRS reimbursable rate.

b. In-house printing, reproduction , and photography charges at commercial rates .

II. COMPENSATION: The compensation to be paid to CSDG for providing the requested services shall be:

If the client determines that any of these items are necessary, we are glad to revise this proposal to include them or provide them on a time required I hourly rate basis.

IV. PAYMENTS: Billings for services rendered will be made monthly and payment is due within thirty (30) days of receipt of invoice. Unless special arrangements are made, a finance charge of I Y2% per month will be added to unpaid balances more than thirty (30) days old. In the event it becomes necessary to employ an attorney to enforce collection of fees for services performed, Client shall be liable for reasonable attorney' s fees , costs and expenses incurred by CSDG.

V. TERMINATION: The obligation to provide further services under this Agreement may be terminated without cause by either party upon ten (I 0) days written notice. On termination by either CLIENT or CSDG, CLIENT shall pay CSDG with respect to any services performed to the date of termination (including all reimbursable expenses incurred).

VI. REUSE OF DOCUMENTS: All documents including Drawings and Specifications prepared by CSDG pursuant to this Agreement are instruments of service in respect to the Project. They are not intended or represented to be suitable for reuse by CLIENT or others on extensions of the Project or on any other project. Any reuse without written verification or adaptation by CSDG for the specific purpose intended will be at CLIENT's sole risk and without liability or legal exposure to CSDG; and CLIENT shall indemnify and hold harmless CSDG from all claims, damages, losses and expenses including attorney's fees arising out of or resulting therefrom. Any such verification or adaptation will entitle CSDG to further compensation at rates to be agreed upon by CLIENT and CSDG.

VII. ACCESS TO THE SITE/JOBSITE SAFETY: Unless otherwise stated, CSDG will have access to the site for activities necessary for the performance of the services. Neither the professional activities of the Consultant, nor the presence of the Consultant or its employees and sub consultants at a construction/project site, shall relieve the General Contractor of its obligations, duties and responsibilities including, but not limited to, construction means, methods, sequence, techniques or procedures necessary for performing, superintending and coordinating the Work in accordance with the contract documents and any health or safety precautions required by any regulatory agencies. The Consultant and its personnel have no authority to exercise any control over any construction contractor or its employees in connection with their work or any health or safety programs or procedures. The Client agrees that the General Contractor shall be solely responsible for jobsite safety, and warrants that this intent shall be carried out in the Client's contract with the General Contractor. The Client also agrees that the Client, the Consultant and the Consultant's sub consultants shall be indemnified by the General Contractor and shall be made additional insureds under the General Contractor's policies of general liability insurance.

VIII. INDEMNIFICATIONS: If any claim is brought against either the CLIENT or CSDG by any third party, relating in whole or in part to the negligence of the CLIENT or CSDG, each party shall indemnify the other against any loss or judgment, including attorneys ' fees and costs, to the extent that such loss or expense is caused by the party's negligence.

IX. INSURANCE: CSDG shall secure and endeavor to maintain such insurance as will protect CSDG from claims of negligence, bodily injury, death, or property damage which may arise from the performance of services under this Agreement.

X. RISK ALLOCATION: In recognition of the relative risks, rewards and benefits of the project to both the CLIENT and CSDG, the risks have been allocated such that the CLIENT agrees that, to the fullest extent permitted by law, CSDG's total liability to the CLIENT for any and all injuries, claims, losses, expenses, damages, or claim expenses arising out of this agreement from cause or causes, shall not exceed the amount of our fee or Fifty Thousand ($50,000) dollars, whichever is greater. This limitation shall apply regardless of the cause of action or legal theory pled or asserted.

XI. DISPUTES RESOLUTION: It is agreed by both parties that all unsettled claims, counterclaims, disputes or other matters in question arising out of or related to this Agreement shall first be attempted to be resolved by mediation. This provision can be waived by the mutual consent of the parties or by either party if its rights would be irrevocably prejudiced by a delay in initiating arbitration or the right to file a lawsuit.

XII. OPINIONS OF CONSTRUCTION COST: Any opinion of probable construction cost prepared by CSDG represents CSDG's judgment as design professionals and is supplied for general guidance of the CLIENT. Since CSDG has no control over the construction marketplace, CSDG does not guarantee the accuracy of such opinions as compared to contractor bids or actual cost to CLIENT.

XIII. GOVERNING LAW: Unless otherwise specified within this Agreement, this Agreement shall be governed by the Law of the State of Tennessee.

IX. INSURANCE: CSDG shall secure and endeavor to maintain such insurance as will protect CSDG from claims of negligence, bodily injury, death, or property damage which may arise from the performance of services under this Agreement.

X. RISK ALLOCATION: In recognition of the relative risks, rewards and benefits of the project to both the CLIENT and CSDG, the risks have been allocated such that the CLIENT agrees that, to the fullest extent permitted by law, CSDG's total liability to the CLIENT for any and all injuries, claims, losses, expenses, damages, or claim expenses arising out of this agreement from cause or causes, shall not exceed the amount of our fee or Fifty Thousand ($50,000) dollars, whichever is greater. This limitation shall apply regardless of the cause of action or legal theory pied or asserted.

XI. DISPUTES RESOLUTION: It is agreed by both parties that all unsettled claims, counterclaims, disputes or other matters in question arising out of or related to this Agreement shall first be attempted to be resolved by mediation. This provision can be waived by the mutual consent of the parties or by either party if its rights would be irrevocably prejudiced by a delay in initiating arbitration or the right to file a lawsuit.

XII. OPINIONS OF CONSTRUCTION COST: Any opinion of probable construction cost prepared by CSDG represents CSDG's judgment as design professionals and is supplied for general guidance of the CLIENT. Since CSDG has no control over the construction marketplace, CSDG does not guarantee the accuracy of such opinions as compared to contractor bids or actual cost to CLIENT.

XIII. GOVERNING LAW: Unless otherwise specified within this Agreement, this Agreement shall be governed by the Law of the State of Tennessee.

IV. PAYMENTS: Billings for services rendered will be made monthly and payment is due within thirty (30) days of receipt of invoice. Unless special arrangements are made, a finance charge of 1 Y2% per month will be added to unpaid balances more than thirty (30) days old. In the event it becomes necessary to employ an attorney to enforce collection of fees for services performed, Client shall be liable for reasonable attorney's fees, costs and expenses incurred by CSDG.

V. TERMINATION: The obligation to provide further services under this Agreement may be terminated without cause by either party upon ten (10) days written notice. On termination by either CLIENT or CSDG, CLIENT shall pay CSDG with respect to any services performed to the date of termination (including all reimbursable expenses incurred).

VI. REUSE OF DOCUMENTS: All documents including Drawings and Specifications prepared by CSDG pursuant to this Agreement are instruments of service in respect to the Project. They are not intended or represented to be suitable for reuse by CLIENT or others on extensions of the Project or on any other project. Any reuse without written verification or adaptation by CSDG for the specific purpose intended will be at CLIENT's sole risk and without liability or legal exposure to CSDG; and CLIENT shall indemnify and hold harmless CSDG from all claims, damages, losses and expenses including attorney's fees arising out of or resulting therefrom. Any such verification or adaptation will entitle CSDG to further compensation at rates to be agreed upon by CLIENT and CSDG.

VII. ACCESS TO THE SITE/JOBSITE SAFETY: Unless otherwise stated, CSDG will have access to the site for activities necessary for the performance of the services. Neither the professional activities of the Consultant, nor the presence of the Consultant or its employees and sub consultants at a construction/project site, shall relieve the General Contractor of its obligations, duties and responsibilities including, but not limited to, construction means, methods, sequence, techniques or procedures necessary for performing, superintending and coordinating the Work in accordance with the contract documents and any health or safety precautions required by any regulatory agencies. The Consultant and its personnel have no authority to exercise any control over any construction contractor or its employees in connection with their work or any health or safety programs or procedures. The Client agrees that the General Contractor shall be solely responsible for jobsite safety, and warrants that this intent shall be carried out in the Client' s contract with the General Contractor. The Client also agrees that the Client, the Consultant and the Consultant's sub consultants shall be indemnified by the General Contractor and shall be made additional insureds under the General Contractor's policies of general liability insurance.

VIII. INDEMNIFICATIONS: If any claim is brought against either the CLIENT or CSDG by any third party, relating in whole or in part to the negligence of the CLIENT or CSDG, each party shall indemnify the other against any loss or judgment, including attorneys' fees and costs, to the extent that such loss or expense is caused by the party's negligence.

IV. PAYMENTS: Billings for services rendered will be made monthly and payment is due within thirty (30) days of receipt of invoice. Unless special arrangements are made, a finance charge of 1 Y2% per month will be added to unpaid balances more than thirty (30) days old. In the event it becomes necessary to employ an attorney to enforce collection of fees for services performed, Client shall be liable for reasonable attorney's fees, costs and expenses incurred by CSDG.

V. TERMINATION: The obligation to provide further services under this Agreement may be terminated without cause by either party upon ten (10) days written notice. On termination by either CLIENT or CSDG, CLIENT shall pay CSDG with respect to any services performed to the date of termination (including all reimbursable expenses incurred).

VI. REUSE OF DOCUMENTS: All documents including Drawings and Specifications prepared by CSDG pursuant to this Agreement are instruments of service in respect to the Project. They are not intended or represented to be suitable for reuse by CLIENT or others on extensions of the Project or on any other project. Any reuse without written verification or adaptation by CSDG for the specific purpose intended will be at CLIENT's sole risk and without liability or legal exposure to CSDG; and CLIENT shall indemnify and hold harmless CSDG from all claims, damages, losses and expenses including attorney' s fees arising out of or resulting therefrom. Any such verification or adaptation will entitle CSDG to further compensation at rates to be agreed upon by CLIENT and CSDG.

VII. ACCESS TO THE SITE/JOBSITE SAFETY: Unless otherwise stated, CSDG will have access to the site for activities necessary for the performance of the services. Neither the professional activities of the Consultant, nor the presence of the Consultant or its employees and sub consultants at a construction/project site, shall relieve the General Contractor of its obligations, duties and responsibilities including, but not limited to, construction means, methods, sequence, techniques or procedures necessary for performing, superintending and coordinating the Work in accordance with the contract documents and any health or safety precautions required by any regulatory agencies. The Consultant and its personnel have no authority to exercise any control over any construction contractor or its employees in connection with their work or any health or safety programs or procedures. The Client agrees that the General Contractor shall be solely responsible for jobsite safety, and warrants that this intent shall be carried out in the Client's contract with the General Contractor. The Client also agrees that the Client, the Consultant and the Consultant's sub consultants shall be indemnified by the General Contractor and shall be made additional insureds under the General Contractor' s policies of general liability insurance.

VIII. INDEMNIFICATIONS: If any claim is brought against either the CLIENT or CSDG by any third party, relating in whole or in part to the negligence of the CLIENT or CSDG, each party shall indemnify the other against any loss or judgment, including attorneys ' fees and costs, to the extent that such loss or expense is caused by the party's negligence.

IX. INSURANCE: CSDG shall secure and endeavor to maintain such insurance as will protect CSDG from claims of negligence, bodily injury, death, or property damage which may arise from the performance of services under this Agreement.

X. RISK ALLOCATION: In recognition of the relative risks, rewards and benefits of the project to both the CLIENT and CSDG, the risks have been allocated such that the CLIENT agrees that, to the fullest extent permitted by law, CSDG's total liability to the CLIENT for any and all injuries, claims, losses, expenses, damages, or claim expenses arising out of this agreement from cause or causes, shall not exceed the amount of our fee or Fifty Thousand ($50,000) dollars, whichever is greater. This limitation shall apply regardless of the cause of action or legal theory pied or asserted.

XI. DISPUTES RESOLUTION: It is agreed by both parties that all unsettled claims, counterclaims, disputes or other matters in question arising out of or related to this Agreement shall first be attempted to be resolved by mediation. This provision can be waived by the mutual consent of the parties or by either party if its rights would be irrevocably prejudiced by a delay in initiating arbitration or the right to file a lawsuit.

XII. OPINIONS OF CONSTRUCTION COST: Any opinion of probable construction cost prepared by CSDG represents CSDG's judgment as design professionals and is supplied for general guidance of the CLIENT. Since CSDG has no control over the construction marketplace, CSDG does not guarantee the accuracy of such opinions as compared to contractor bids or actual cost to CLIENT.

XIII. GOVERNING LAW: Unless otherwise specified within this Agreement, this Agreement shall be governed by the Law of the State of Tennessee.

Note that these hourly rates are subject to change on January 1st of each year. Projects that are subject to hourly rate fees shall use the hourly rates that are in effect at the time that the work is performed.

Outside services contracted for a specific project, such as professional and technical consultants, laboratory testing, reproduction , photography, etc., will be invoiced at the amount of the subcontractor's statement plus 15 percent.

Other expenses which are properly chargeable to the work will be invoiced as follows :

a. Travel by company or private vehicle at the current IRS reimbursable rate.

b. In-house printing, reproduction, and photography charges at commercial rates.

c. Travel and living expenses for all personnel when required to be away from headquarters in connection with the work at cost.

Statements will be issued on a monthly basis .
