    DevelopmentMarketeering Group’s development department is designed to be an all inclusive in-house resource to accomplish all of the neededwork to ensure the functionality of our clients’ web properties. The products and services offered in this department are as follows:

    Existing Website AquisitionThe extent of 

      Website Rework will be determined by the strategic plan, and is limited to the hours allotted in the selected package. If  you also purchase either of Marketeering Group’s Website Packages, any completed Website Rework hours listed in the setup section of their package will be applied as a credit toward the website rebuild, and shall be used either for creative direction or  research and development at no additional expense up to the hours allotted in the package’s setup.

    ● The client will provide all hosting and content management system logins.

    ● Website Rework will be subject to the hours allotted in their package setup section. The specific changes will be outlined in the Strategic Plan.● Standard security and SEO updates will included but are not limited to malware security, site uptime monitoring, backups, 

    standard website updates, as well as installation of verification certificates, tracking codes, and SEO plugins.○ All security and SEO updates are subject to the client’s CMS compatibility with Marketeering Group’s standard core 

    competence, as well as access given by the client.

    Website Wordpress Redesign Package The scope of the Website Redesign Package is as follows:

    ● The client must have an existing website with suitable content, which shall be determined and confirmed by the Marketeering Group team prior to the purchase of this service.

    ● Website redesigns will be limited to only Wordpress sites.● Special functionality including but not limited to e-commerce, forums, social networking, client portals or remarketing will be 

    billed as add on services.

    ● Websites will only be built on, and remain on Marketeering Group’s servers for the extent of the relationship with the client.● Content migration including pages, posts, images and any other features will be limited to 4 hours, prior to styling.● Themes (if applicable): The website will be developed from a theme purchased for no more than $80, which is included in 

    the website fee. Marketeering Group will suggest themes options to the client.○ Should the cost of a theme exceed $80, the client agrees to be billed the difference in cost (plus credit card 

    processing fees, if applicable). If the client wishes to change the theme after the original theme is chosen and purchased, the client agree to pay the total cost of the new theme.

    ○ The client consents to relinquish discretionary design decisions to the developer in order to maintain the core functionality of the platform as well as responsiveness for all devices.

    ● Deadlines of Completion: The goal for completion of the website will be mutually determined at (or shortly after) signing by the development team and client. The completion of the website is not directly dependent on the beginning date of the contract.

    ● Up to 1 hour consultation to establish goals and value proposition.○ Goals consist of no more than 3 desired actions your desired clients or customers will achieve through a website 

    visitation.○ Value proposition shall ideally include a concise articulation of the following (should another format of value proposition be advised, it will be reflected in your Strategic Plan):

    ■ Headline, which shall describe the end benefit of what the client is offering to their customers.■ A Subheadline or Paragraph: A detailed explanation of what the client offers, to whom and why.■ Bullet points of the primary benefits and/or features■ A visual element (Video or Photo) designed to enhance the message of the value proposition.

    ● Up to 1 hours of design consultation.○ Design work required as a result of the design consultation will be pulled from the client’s allotted design and 

    development retainer. Additional consultation and design work beyond the retainer allotment will be billed at an hourly rate as listed on the Marketeering Group website.

    Development Drafts: Marketeering Group will produce 3 official drafts for the client:● The first draft includes application of the design elements from the Website Development Survey, and does not require all 

    content or functionality. Its purpose is to refine the aesthetic look and feel of the website to ensure it is what the client 

    envisions. It should be focused on general layout, colors, background, and fonts. This draft will be considered complete upon initial client review (in person OR remotely), whereby the client provides design feedback to enable a 2nd draft. During this first draft meeting, live changes may be made to the site. The client and Marketeering Group’s developer must create a documented list of change requests within one business day the end of that meeting. Agreement on that list constitutes the completion of the 1st draft.

    ● The second draft of the website will include review of the requested design changes from the 1st draft. It shall also be used to produce a complete set of additional design changes, should any exist at the time of the 2nd meeting. The second meeting will also include a review of the content and functionality of the website, including the functionality of any additional add- ons you purchased (or authorized) in the building of your website. The second draft will be considered complete once the client agrees that the list of the changes originally requested after the first draft have been completed, and a second mutually agreed upon list of changes had been created and agreed upon by the client within one business day of the end of  the 2 nd meeting.

    ● The third draft will be considered complete once the second round of design and functionality changes agreed upon have been completed to client functionality changes agr. At this point any additional changes the client may wish for must fall within1.5 hours of time to complete. Should the time required to complete any design or functionality changes past this point exceed 1.5 hours, the client will be billed at an hourly rate as marked on our website to complete them.

    New Wordpress Website Package If the client elects to purchase a New Wordpress Website Package, the scope of the project shall be as follows with the exception of  any add ons purchased by the client that go above and beyond that which is outlined below.

    ● New websites will be limited to only Wordpress.● Special functionality including but not limited to e-commerce, forums, social networking, client portals or remarketing will be 

    billed as add on services.● New websites will only be built on, and remain on Marketeering Group’s servers for the extent of the relationship with the 

    client.● Up to 2 hour consultation to establish goals and value proposition.

    ○ Goals consist of no more than 3 desired actions your desired clients or customers will achieve through a website visitation.

    ○ Value proposition shall ideally include a concise articulation of the following (should another format of value proposition be advised, it will be reflected in your Strategic Plan):

    service/product pages.○ Limited to 2 hours of revisions and editing.○ Additional revisions or content will be billed at the add-on rates as listed on the Marketeering Group website.

    Additional New Content If the website requires new content, such as new pages or sections of the website, you may:

    ● Provide Marketeering Group with a page content outline or unedited content to be converted into useable copy by an editor. This is limited to 1,000 words in the standard web development package. Once the content piece is used, the client will get an additional 2 hours, which can be used for editing and optimizing existing content. After 2 hours a hourly bill will be clocked to the client's account.

    ● Repurpose one or more content marketing pieces  .● Purchase additional content at the add-on rates listed on our website.● Produce the content on your own time. Note that this may delay the launch of the website.

    Photo ContentShould you need additional photos (beyond those attained in the included photo shoots) for the launch of the new/redesigned website, you may either purchase an additional photo shoot, or purchase stock photos. Either option is an additional expense to the Website Development fee.

    Special FunctionalityFor ANY special functionality, including but not limited to booking systems, email -to-  download, password protected or site membership login system, etc., a 2-

     

    hour limit for research and development(R&D) is included in the setup fee. Based on findings from R&D, additional flat fees and/or labor costs may apply for implementation of the special functionality.

    Product/Reporting:● Reporting on the progress of a Website Wordpress Redesign will be done via email between Marketeering Group’s 

    developer and the client.● Progress of the development drafts will be noted in Marketeering Group’s

      Project Management  system for the client to access.

    ● Approval and installation of all  new content  ,   photo content  , and   special functionality  will be confirmed with the client over  

    email, and if billable, added to the client’s invoice.

    Limitations:● Copying a perfect replica of your current website may require additional fees for plugins and/or labor, depending on the 

    scope of the project. Waiver of this service is available, but will not result in any discount in website fees.● Updates to Content Management Systems other than Wordpress are subject to the Research & Development limitations.● Marketeering Group is not liable for any delay in website launch due to lack of access to website, hosting, registrar or other  

    necessary logins, whether by fault of the client or their existing or previous providers and/or contractors.● The delivery times on the website by Marketeering Group are an estimate. Any reasonable or unforeseen delay in the 

    completion of the development of the website will not be penalized or deducted from the amount owed to Marketeering Group upon final completion, as long as Website Development terms are met.

    Hosting and Technical Support Marketeering Group offers free entry level hosting to its active clients, as well as tech support for any client hosted on Marketeering Group

     

    ’ 

    s servers to ensure the perpetual proper functionality of their site. Proper functionality will be defined as:● Functioning within the parameters of the website when it was launched and/or when Marketeering Group took over the 

    account, OR● Functioning according to the most recent requested update or change.

    Registration and DNS management: Marketeering Group can register domains on your behalf. Client domains registered to Marketeering Group’s Registrar accounts are not owned by Marketeering Group, and domain registration renewals will be added to your monthly bill as they become due each 

    year. In the event that you discontinue services with Marketeering Group in total, the domain will be transferred to a registrar selected by the client and DNS will be pointed to a new location, if required.

    Hosting Standard Security Protocol:Marketeering Group’s standards shall be fluid and dynamic based on the demands of our clients and the industry. These standards will be updated on the Website Development page of the Marketeering Group website.

    Malware removal is provided to client sites, and in the event a site is compromised, Marketeering Group will provide immediate attention to the site’s health, as soon as the compromise is brought to our attention - whether via our monitoring systems, or contact from the client, whichever comes first. Security breaches include and are not limited to: SQL, file injection, corrupted files and data breach. In the event of data breach, see our Liabilities  Section.

    Additional Security:SSL certificates are required for all e-commerce sites and are available to our clients. The full additional expense of installation and licensing (see the Website Development page of the Marketeering Group’s website for current pricing) is passed on to the client. 

     Additional security for SSL includes, but is not limited to:● Site Firewall● Server Firewall● Server Monitoring

    Email Management:  All clients who take advantage of Marketeering Group’s

      Hosting and Tech Support   have the option to have Marketeering Group manage the hosting of their email.

    Product/Reporting:● A log of all hosting and technical support issues related to the client will be recorded either via email or Marketeering 

    Group’s Project Management system.● Server logs are accessible upon special request.● Email traces may or may not be available upon request, depending on the client’s mail configuration.

    ● Additional reporting is available through the use of Marketing Consultation.

    Limitations:● Liabilities of hosting are laid out in the Terms and Conditions.● Access to technical support is limited to Marketeering Group’s hours of operation.● All technical support requests that do not immediately impact the client’s website uptime or core functionality will be served 

    in order that the request was received.● The client waives the right to access the Cpanel, FTP, or Wordpress Administrator login, to comply with Marketeering 

    Group’s Standard Security Protocol.● If the client takes advantage of Email Management, Marketeering Group may advise on the configuration of their email client 

    up to the extent of the client’s Marketing Consultation time - this service is not covered by Hosting and Technical Support  .● Marketeering Group’s technical support does not include anything other than domain management (when granted access), 

    hosting, and security of the website.

    Design and Development RetainerYou will have access to our digital design services for the purpose of website updates or the design of fliers, advertisements, social media ads, and other materials for printing. Availability of this service is determined by your service package. Design work beyond your included monthly retainer hours is billed at the hourly rate listed on Marketeering Group’s website.

    Use: The printing and distribution of the digital design pieces is up to your discretion, unless it is for use on social media or your  website (distributed upon client request). Marketeering Group retains the right to apply these hours on a discretionary basis to accomplish miscellaneous campaigns as needed to support the overall marketing strategy.

    Graphic Design:The client may request any product that can be designed in Adobe Photoshop, InDesign, or Illustrator, if providing clear creative 

    direction.

    Basic Website Updates:Includes Wordpress edits, or work in html or CSS.

    Research and Development:Should you request a project that the Marketeering Group developers are unable to accomplish under their current skill or knowledge, you may dedicate your monthly Design and Development hours for researching the solution or ways to develop your desired functionality. The number of available hours for this is noted in your service package.

    Advanced Updates: For any new plugin or additional functionality you request to add to your site,

      Development  will utilize your Design and Development allotment of hours in order to build a custom quote as an add-on.

    Product/Reporting:

    ● Graphic Design requests will be considered complete when delivered to you via email, dropbox, Google Drive or any other  means of digital transmission.

    ● All requests will be logged in Marketeering Group’s Project Management system.

    Limitations:● We provide digital proofs of your design requests.● Actual print production of design(s) is billed directly to the client via the third party printer. If utilizing our relationship with 

     Abracadabra Printing, discounts are available.● Exceeding the retainer limit in your package will automatically initiate hourly billing at the current price listed on the 

    Marketeering Group website. However, Marketeering Group shall provide client with timely advance notice if the scope of  work in any particular month is likely to exceed the retainer limit.

    ● Design and Development does not include creative direction outside of the allotment of Marketing Consultation time.● Website updates cannot include the implementation of new functionality.● Research and Development shall not exceed 50% of the client’s Design and Development Retainer.

    MultiMedia ProductionIn setup and as earned in your package, we will schedule and perform a Photo and/or Video shoot to capture images and/or video of  your business and services or products. Additional hours needed in commute (outside the city of Seattle) or in additional shoot time will be billed according to the rate established on the add-on menu at   marketeeringgroup.com . All images, videos and other content created by Marketeering Group for you shall be considered work-for-hire and you will own all such content.

    Use: Images and videos will be used on an ongoing basis for social media and blogging, as well as for the initial design of the website. Marketeering Group is authorized to use all images and videos taken to be included in Marketeering Group’s portfolio and promotional projects, with appropriate copyright attribution to you (the client).

    Video Shoot: A video shoot shall be defined as an on-location shoot up to two hours, with up to 4 editing hours, including revisions.

    Photo Shoot: A photo shoot includes up to one hour of on-location photography, with up to 2 hours for editing.

    Enhanced Media Production: For additional editing or enhanced production, including but not limited to multi-photographer shoots, additional equipment, scripting, modeling and motion graphics, services and pricing will be available on the Marketeering Group website.

    Descriptions and Distribution:

    Product/Reporting:● All videos will either be posted on your YouTube Page or delivered directly to you.● Photos will be made available either through cloud storage, or your website’s backend.

    Limitations:● Marketeering Group will dedicate 2 hours of photo editing and up to 4 hours of video editing.● The finished product is dependent on your approval (non- approval does not equal incomplete work).● The client will verify an understanding of what is included in their shoots, as well as the available add-ons as outlined in the 

    MultiMedia pre-production plan.● No photo or video shoot will occur without the client’s verification of the pre-production plan.● If the client is unhappy with the results of a shoot after verifying the pre-production plan, and deems the photos or videos 

    unusable, the client may purchase an add-on shoot based on the pricing listed on Marketeering Group’s website.

    Content Marketing:Marketeering Group will provide ongoing content marketing services as well as optional content marketing work. All content created by Marketeering Group shall be considered work-for-hire shall belong to the client, with the exception of the terms of use outlined in the Terms and Conditions  .

    Content Marketing Pieces:Content Marketing Pieces  include any combination of Internal (on-site) Blog Posts, External (off-site) Blog Posts, On-Site Static Content, and General Off-site Content. Marketeering Group will produce the Content Marketing Pieces in the frequency allotted in your selected package. The particular type of Content Marketing Pieces will be determined by the Strategic Plan and may be overridden at the discretion of the analyst performing the SEO WARS, or by a mutual decision with the client in a Marketing 

    Consultation. Each Content Marketing Piece will be between 300 and 600 words, depending on the goal of the piece.●   Internal Blog Posts:   These   Content Marketing Pieces  will be posted on the client’s blog and be comprised of topics approved in the strategic plan, on a case-by-case basis as requested by the client, or under advisement from the analyst performing your SEO WARS 

    ●   External Blog Posts:   These   Content Marketing Pieces   will be posted on other websites for the purpose of link building, and/or awareness. Pieces written for this purpose are determined by the strategy for 

      OffSite SEO WARS. Approval of  content is dependant on the nature of the post and where it is placed.

    ●   On-Site Static Content:   These   Content Marketing Pieces   will be applied to building out static pages of your website. Its purpose shall be determined by either the Strategic Plan, OnSite SEO WARS, or Marketing Consultation with the client.

    ●   General Off-Site Content:   These   Content Marketing Pieces   cover up to 600 words of unique descriptions for directories or  any other purpose that enhances your visibility and reputation as it appears on any other property than your website. The specifics will be determined by the

      OffSite SEO Wars  , the   Strategic Plan ,   Marketing Consultation or by request from other  departments within Marketeering Group.

    ●   Internal Blog Posts will be posted as a draft on your site, with an attached draft and notification sent to you via email. If no corrections are made or requested, the blog post will publish after 5 days.

    ● Additional blog posts and blog rewrites (if completed monthly post(s) are deemed undesired for publication) are billed at add-on rates posted on our website.

    ● Marketeering Group may repurpose up to half of required blog posts for the purpose of off  -site or on-site content marketing for SEO purposes, if strategy dictates.

    Email Marketing:

    Marketeering Group can 

    draft 

    optional emails each month (amount based on your package) in your Mailchimp account. We will transfer your existing list to Mailchimp, if necessary. Only after client approval will the campaign be sent. All drafted emails count against the amount included in the client’s package, whether or not they are sent.

    Product/Reporting:● On request, Marketeering Group will supply a report on the open rate, click throughs, unsubscribes and other data of the 

    emails sent, and provide you with recommended actions to improve the effectiveness of future email campaigns based on such data.

    Limitations:● Client must request each email’s creation, and must supply topics/information to be included for each campaign.● Client approval is required before any email is sent.● Special request is necessary for third party or other email marketing providers (not Mailchimp), and the client is responsible 

    for all associated fees.● Marketeering Group is not required to build lists of any particular size on behalf of the client. Mailchimp fees apply to client 

    lists over 2,000 contacts, and are the client’s responsibility.● Additional email campaigns (beyond your package limit) are billed at add

     

    -on rates posted on our website.

    Social Media Marketing:Marketeering Group will setup up any non-existing social media accounts in the client's selected campaign. There are extended Social Media Packages and add- ons available, should you wish to utilize them for the added fee, as noted on our website.

    Posting:You will receive monthly check-ins with a social media specialist to discuss ideas, campaigns, specialized posts, and any questions. Marketeering Group will produce and distribute regular posts of original content in one of the following ways:

    ● Monthly scheduling of posts to be distributed to Facebook, Twitter, Google+ and Linkedin (if selected).● Posting and organic build out of Pinterest Profiles.

    Conversion Campaigns:Marketeering Group will work with you to plan posts on Facebook that are specifically designed to accomplish a conversion or goal for the given period. These posts will be boosted with a discretionary budget (included in the regular retainer). The client may pay for  an additional conversion budget to extend the effect of the campaign.

    ● Note: We may apply these campaigns to different networks by request of the client or changes in the strategy.

    Social Outreach & Engagement:Marketeering Group will utilize the social properties dictated by the

      Strategic Plan, Marketing Consultation, or Off-Site SEO WARS   to network with a client’s peers, influencers, community, clients or potential clients for the promotion of content, to build awareness and followers, or to solicit direct connections.

    Product/Reporting:● Marketeering Group offers its clients access to real time reporting via a private login through third party systems.● Requests for further reporting may be made, and will count against your 

      Marketing Consultation retainer. Simple questions 

    or requests for clarifications may be made over the phone or email, and do not affect Consultation 

    hours.

    Limitations:● Our social media services are designed to maximize exposure, and compliment blogging & SEO efforts. Setup of  

    non- 

    preexisting social profiles and accounts may require client action.● We aim to complete all set up by service start date, but cannot guarantee it.● We are not liable to post on profiles where logins or access has not been provided or is revoked. Posting on every social 

    network may vary depending on technical issues or client’s ability to provide logins to existing sites. Failure to post on a network due to one of these issues does not constitute failure to produce the required content. The posts outlined in each package are a minimum.

    ● Marketeering Group may post the same content on different social networks, and reserves the right to grant additional posts at it’s own discretion.

    ● Clients may request up to 1 month of posts in advance for approval at the beginning of the contract, to ensure posting quality.

    ○ Should a client dislike a post, they reserve the right to take down the post, and request an in 

    person review of their  social media messaging.● Should the client discontinue one or more social networks for posting, package pricing will not be affected.● Should a client request additional social networks for posting (outside of Marketeering Group’s list for that package), it/these 

    will be billed as an add-  on service subject to currently published add-on rates on the Marketeering Group website.○ Should a client wish to switch social networks in their service package with one that is not included, that switch is 

    subject to approval by Marketeering Group management, and is dependent on API compatibility.

    Search Engine Optimization & Management:The purpose of your SEO campaign is to increase the total visibility of your brand online to prospective clients or customers. Specific goals are subject to your 

      Strategic Plan.   All packages contain a regular schedule of site check -ins called   Work and Review  Sets(WARS) , which are designed to analyze problems and opportunities and assign a work set to address issues and take advantage of opportunities. The details of each review and work set vary, depending on the client’s industry, goals, and competition.

    Work And Review Sets (WARS):Each regularly scheduled Work And Review Set will address and/or implement the necessary combination of the following techniques, practices, technologies, or coding to accomplish your individual goals. These include but are not limited to the practices listed below. Marketeering Group will, by default, alternate the work and review set types on an equal basis, so long as the individual 

    strategy or client access limitations do not dictate otherwise or restrict the regular alternation between the two Work and Review Set types.● On- Site SEO: An On-Site Search Engine Optimization(SEO) Work and Review Set (WARS) consists of up to an hour of  

    analysis of site structure, content and user experience, and up to three hours of implementation of the needs either  discovered during the WARS analysis or issues previously outlined in your Strategic Plan  or Marketing Consultation.

    ● Off-site SEO: An Off-Site Search Engine Optimization(SEO) 

    Work and Review Set (WARS) consists of up to an hour of  analysis of traffic sources, links, total visibility of your website and various other digital properties, and the sources of your  and your competitors’ domain authority and traffic. Additionally, it includes up to three hours of implementation of the needs either discovered during the WARS analysis or strategies previously outlined in your 

      Strategic Plan   or   Marketing  Consultation,  including but not limited to   link building and distribution of content.

    Reporting:● Marketeering Group offers its clients access to real time reporting via a private login through third party systems.● A Monthly Custom Report will be provided to clients on the Standard or Premium packages.● Requests for further reporting may be made, and will count against your 

      Marketing Consultation retainer. Simple questions 

    or requests for clarification may be made over the phone or email, and do not count against allotted consultation hours.

    Limitations:● Our efforts do not guarantee the control or quality of user reviews that are posted on external/directory websites.● We will regularly monitor website results and make adjustments to improve your ranking, but we cannot guarantee your  

    page ranking; it is affected by competition and the algorithms of every unique search engine.

    Digital Ad ManagementMarketeering Group will manage a budget of up to $1,000 per month on your behalf for any advertising requested. Beyond $1,000, we charge a 15% management fee. These services can be used for Google AdWords and other online advertising, or for print media advertising.

    Reporting:● Marketeering Group offers its clients access to real time reporting via a private login through third party systems.● Requests for further reporting may be made, and will be counted against your Marketing Consultation retainer. Simple 

    questions or requests for clarifications may be made over the phone or email.

    Limitations:● This services is not included in every package.● You must approve the designated budget in writing.● Your advertising budget will be billed directly to your credit card, in your own Adwords or other advertising account.● Marketeering Group will add a 15% management fee to your monthly bill for every dollar above $1,000.● Marketeering Group may advise on other ad purchases outside of digital advertising, but will not place purchase orders for  

    print, radio, TV, or any other non- 

    digital medium.○ Should such advice extend beyond the allotted Marketing Consultation retainer, fees may apply.

    Marketing ConsultationMarketeering Group offers a budget of consulting hours in each package to discuss (in person or over the phone) strategy, ideas, new technologies, and possibilities for further growing your visibility using your existing services, or by taking advantage of add-on or  third party services.

    Special Reporting: Requests for special reporting outside of verbal explanations of the real-time reporting systems will count against your monthly Marketing Consultation  allotment.

    Limitations:● Consultation hours included in your selected package do not roll over each month.

    ● Parties available for consultation include the Marketeering Group team members assigned to your account, and their direct supervisors.

    Terms and Conditions Beginning of Services:The Client and Marketeering Group shall mutually agree on a start date for monthly services and payments, provided that the start date is no later than 6 weeks after signing of the contract. Services rendered and payments required are not dependent on the launch date of the website if that service is utilized.

    Length:The client agrees to six consecutive months of uninterrupted services to commence on the chosen start date as indicated on page 1. 

     A hold period of no more than three months can be requested and granted pending negotiation with Marketeering Group. After the initial six months, services will continue on a monthly basis where cancellation of services are subject to our cancellation policy (see below).

    Payment:The client agrees to pay Marketeering Group for the package of services as they are explained in this agreement. The service retainer will be billed monthly and will be paid in advance. All packages sold at a value less than $500 per month, must be set to bill via credit card. All setup and website fees are due on signing.

    ● Non Payment: Payment more than 30 days late will result in suspension of all services until payment is made, and a 2% late fee for every 30 days payment is late. Invoices in excess of 60 days past due will be sent to collections, and the entire account (including website hosting) will be suspended until payment is made in full. A client may not take advantage of our  hiatus options listed in the cancellation policy if payments are more than 30 days overdue.

    ● Reimbursements: For additional fees, Marketeering Group will bill flat cost, plus credit card processing if the client pays by credit card.

    Onboarding:The onboarding process will be completed once Marketeering Group has received all passwords, logins, and credentials requested in the onboarding email. It is the client’s responsibility to provide Marketeering Group with all requested information. Any work not 

    accomplished due to client delays in delivering requested information will not result in a refund, nor will such delays lead to postponement of the agreed-upon service charges beginning and recurring on the agreed upon date. Likewise, there will not be a refund, or postponement of said service charges due to a delay to launch the website (Exception: Website launch delays which are solely within the control of Marketeering Group).

    Amendments: Any amendments or adjustments to the services as outlined on the service page must be mutually agreed upon in writing between client and Marketeering Group. Marketeering Group retains the right to make adjustments to the implementation and micro focus of  all services for the purposes of maintaining the client’s market competitiveness. These changes will not revoke any services or  necessary reporting associated with it. Marketeering Group will notify the client of the changes in advance by email.

    Reporting:Marketeering Group allows real time access to its work completed, and analytics across several platforms. Those logins will be provided to the client upon setup.

    Liability:●   General Liability: The Client agrees not to hold Marketeering Group liable for any legal or financial responsibility or loss of  

    business that may occur in the event of illegal hacking, software or hardware malfunctions, or other circumstances beyond the control of the Marketeering Group. Marketeering Group shall indemnify and hold the client harmless from any actual damages resulting from Marketeering Group’s negligence or wrongful act or omission. Marketeering Group represents that the services shall be performed in accordance with generally accepted industry standards for similar services.

    ●   Hosting Liability: Should the client choose to host with Marketeering Group, they agree to release Marketeering Group from liability of financial loss caused by server malfunctions, malware, hacking, or any other possible loss or corruption of  data caused by anything other than illegal actions by Marketeering Group or its employees.

    ●   Privacy: Marketeering Group will not share or sell any proprietary information about the client to any person or company for  any reason. Marketeering Group is authorized, however, to use examples and images of the work completed on behalf of  the client in its portfolio and marketing materials.

    Ownership of Digital Content and Intellectual Property:The client will retain ownership of all digital content and intellectual property created or stored by Marketeering Group on the client’s behalf. Upon any termination of services, the client shall have returned or, at client’s request, destroyed any client materials in Marketeering Group’s possession. Equipment and software is the sole property of Marketeering Group, unless otherwise noted.

    Limitations:Marketeering Group agrees only to provide the services as outlined in this contract. Any requests for work above and beyond this agreement will be billed at current rates, and may be refused. All services and published add-on services are for current clients who are contracted on a Marketing Package only, and cannot be used for third parties, resellers or clients of clients.

    Early Cancellation & Discontinuation:Early Cancellation has an associated fee of 50% of the value remaining in the contract. The client waives all rights to demand any refunds in the case of cancellation or discontinuation, unless such cancellation is for Cause (as defined below).

    Cancellation Policy:The following options exist for clients who wish to discontinue or hold services after or during their 6-month contract period:

    Indefinite hiatus with hosting continued:● Costs $25/month to cover hosting and tech support, plus incidental add-on services.● No cancellation or reactivation fee, if initiated after the 6-month contracted period.● Up to 1 hour of design & development (Additional work will be billed at the hourly rates posted on Marketeering Group’s 

    website).● Logins kept on file in case of emergency.

    Indefinite hiatus for a non 

    -hosted client:● Costs $10/month for tech support (Wordpress sites only), plus incidental add-on services.● No cancellation or reactivation fee, if initiated after the 6-month contracted period.

    ● Design and development services are billed at the hourly rates posted on the Marketeering Group website.● Logins kept on file in case of emergency.

    Total cancellation for a hosted client:● Requires notice of 30 days from next billing date.● $150 cancellation fee (Includes setup of new hosting, plus site & email migration).● All files will be available to client via FTP transfer within 30 days.● All client passwords and logins on file will be provided within 30 days.● All SEO and analytic tools are shut down after 30 days.● All accounts removed from our system and logins deleted from our databases within 30 days after provision to client.● No add on services will be made available to the client.● If client wishes to restart service, current setup fees apply and packages will be available at our current rates only.

    Total cancellation for a non- 

    hosted client:● Requires notice of 30 days from next billing date.● $100 cancellation fee.● All files will be available to client via FTP transfer within 30 days.

    ● All passwords and logins on file for the client will be provided within 30 days.● All SEO and analytic tools are shut down after 30 days.● All accounts removed from our system and logins deleted from our databases within 30 days after provision to client.● No add on services will be made available to the client.● If client wishes to restart service, current setup fees apply and packages will be available at our current rates only.

    Breach of Contract:Notwithstanding any of the foregoing, the client shall have the right to terminate this Agreement for Cause, which is defined as Marketeering Group’s breach of any of its obligations of this Agreement after written notice by client describing the purported breach, 

     AND Marketeering Group’s failure to cure such breach to client’s reasonable satisfaction within five business days of such notice. Furthermore, (i) the client shall have no further obligation for any further payments under this Agreement; and (ii) Marketeering Group shall provide reasonable assistance to help migrate client’s website and services to minimize potential disruptions to client’s business.
