    RESOLUTION _____

    A RESOLUTION OF THE BOARD OF SUPERVISORS OF THE TOWNSHIPOF LOWER MAKEFIELD, COUNTY OF BUCKS, COMMONWEALTH OF

    PENNSYLVANIA RESOLVING THAT TOWNSHIP WILL WORK TO ENSURE

    CONSISTENT ELECTRICAL POWER SERVICE IN LOWER MAKEFIELDTOWNSHIP

    WHEREAS, the Board of Supervisors of the Township of Lower Makefield has

    determined that PECO Energy, an Exelon Company, has failed to deliver consistent

    electrical power service to residences and business of Lower Makefield Township; and

    WHEREAS, Many Lower Makefield Residents and businesses have experienced

    less than 99% uptime over the past 5 years; and

    WHEREAS, the Board of Supervisors have determined that frequent electric

    power outages have had a significant negative economic and social impact on our

    Township; and

    WHEREAS, the Board of Supervisors have determined that slow response byPECO Energy has reduced public safety and caused significant costs to the Township;

    and

    WHEREAS, the Board of Supervisors understands that power outages are caused

    by a multitude of factors including vegetation, weather events, equipment issues, wildlifeand public damage, but finds that many issues are a result of an inadequate electrical

    transmission infrastructure and outage restoration response within Lower Makefield

    Township; and

    WHEREAS, the Pennsylvania Public Utilities Commission has determined in a

    review of the worst performing circuit data, that PECO should analyze the 14 circuits in

    Bucks County that contributed a high number of outages of a duration greater than 72hours; and

    WHEREAS, the Board of Supervisors recognizes the work of many in the

    community to develop a constructive dialogue with PECO Energy, an Exelon Company;

    and

    WHEREAS, the Board of Supervisors will no longer accept poor uptime

    performance by PECO Energy, an Exelon Company.

    NOW THEREFORE, the Board of Supervisors does hereby resolve the

    following:

    1. In so far as is practicable, the Township shall make every reasonable effort toenforce Chapter 175 of the Township Code

    iito ensure all recent and future

    repairs to our utility infrastructure are permitted and inspected.

    2. The Board of Supervisors will request comprehensive outage data from PECO

    Energy for a representative sample of 375 household and business addresses.

    Data shall be collected for the five (5) previous years. Future data will be

    requested each quarter until such time as every household and business in the

    representative sample receives a minimum up time and full functionalelectrical service 99.5% during the prior 24 calendar months.

    3.

    The Board of Supervisors will work with the Bucks County Commissioners,and the Bucks County Association of Township Officials (BCATO) to pursueadditional solutions to resolve inconsistent power service.

    4. The Board of Supervisors will work with our State Senator and StateRepresentative to lobby for comprehensive electrical utility service levelagreements with penalties for non-performance.

    5. The Board of Supervisors will publicly oppose any future merger requests byExelon Corporation with the Pennsylvania Public Utilities Commission and

    Federal Energy Regulatory Commission until such time as every householdand business in the representative sample receives a minimum up time and full

    functional electrical service 99.5% during the prior 24 calendar months.

    6.

    The Board of Supervisors will appoint a five member Citizens EnergyCommission to monitor compliance with this Resolution. Citizens Energy

    Commission members shall have voting power and shall select a Chairperson.

    The duties of the Citizens Energy Commission are as follows: a) review the

    outage data provided by PECO to the Board of Supervisors and report on theperformance of PECO before the Board of Supervisors on quarterly basis; b)

    attend Exelon Shareholder Meetings and Earnings Calls to ask about efforts to

    ensure that Lower Makefield receives consistent electrical power service; andc) vote to recommend that the Township and its controlled funds votes for or

    against the current Exelon Corporation Board of Directors.

    7. This Resolution shall become effective immediately.RESOLVED, this __thday of _____ 2014.
