Message from the President

Welcome to the Annual Report 2015.

It’s been a busy time.

We have opened up our office in Toronto, Canada, to support the North American pre-launch and we are very excited about entering these markets.

Following our strategy to be open and compliant with regulations and best practice in every country in which we operate, we achieved membership of the DSA in Canada in a record breaking seven weeks. We also had a positive appraisal from the Competition Bureau in Canada, the first for a business with our kinds of products.

Both of these achievements are testimony to the way we do business and how the back office supports you, the Members.

We attended the WFDSA XIV Conference in Rio de Janeiro, Brazil, in November. We were

a Gold Sponsor of the event and proudly flew the LEO flag. Many veterans of the industry were astonished with what we have achieved in such a short period of time.

LEO CAFE has opened in Shanghai. The first of many we have planned across the world. It’s our flagship property demonstrating what you can own through the franchise programme.

We held an open day at our Global Headquarters in Oxfordshire and the many Members who came to celebrate with us were able to try out the new multi-media facility, recording their testimonials. We hope to see more of you during the course of this year.

In summary, we are gearing up, building the infrastructure and support that you need to take your business Global in the coming year. Together we will make history!

Learning Enterprises Organisation Ltd (LEO) came into being to harness the power of three global trends: eLearning, Direct Selling and Entrepreneurship.

eLearning is currently the most rapidly growing area of online content sales. In 2014 it was a $56.2 billion industry and is going to double in 2015.1

In 2013, the top buying countries were the US, China, South Korea, Japan, India, and the UK. By 2018, the top buying countries will be the US, China, South Korea, India, Brazil, and Japan, respectively. 2

Direct Selling is well established in developed markets and is attracting huge interest and growth in developing countries. In 2012 it is estimated that worldwide sales accounted for more than US$169 Billion through the activities of more than 89.7 million independent sales representatives. Direct selling provides important benefits to individuals who

desire an opportunity to earn an income and build a business of their own. 3

Entrepreneurship. In a 2011 survey, 88% of young Americans said that entrepreneurship education is vitally important, given the new economy. 4

Entrepreneurs are now numbering almost 400 Million in 54 countries, according to GEM 2011 Global Report, 19-Jan-2012. They also reported that “entrepreneurs exhibit more work-life balance satisfaction than people not involved in entrepreneurial activities.” 5

eLearning is changing the world we live in.

Anybody connected to the internet has access to a potentially unlimited source of training and educational information content that is diversifying and growing exponentially.

eLearning is the perfect product for Direct Selling, since it can be delivered immediately to students online, to their fixed and mobile devices.

Social media and community enable us to complete the missing link, required to make eLearning the new learning paradigm, by creating a ‘feedback loop’ and ‘tribe’.

Learning Enterprises Organisation Ltd (LEO) is a global, Entrepreneurship training and education company using personal recommendation to introduce Members to its products and services.

The products start with a core product line, used by many of our Members, designed to help people to start their own businesses. Our range, however, extends ultimately to every eLearning product, which we feel will be of value to our customers in order to achieve their Entrepreneurship goals.

LEO’s e-learning is further enhanced and enriched

by live seminars and one to one tutoring.

The business works in partnership with independent Members, eliminating the need for web based or other advertising to bring its products to consumers and end users. Members have the opportunity to be generously rewarded for product sales generated by their efforts.

Through its rapidly expanding network of Members, LEO is perfectly positioned to create an ‘entrepreneurship’ learning community and this critical value-add gives us a unique advantage and business driver.

eLearning, and relationship marketing is the perfect combination and, through LEO, will bring relationship marketing into the 21st Century, with a

valuable, ethical, and world changing product.

The product theme chosen by LEO - ‘entrepreneurship’ - makes this even more exciting, since this directly affects the prosperity and success of individuals, groups, companies, regions and nations.

In LEO, we really do have an opportunity to deliver, as our Latin name, Humanitas Meritus, translates, “Service-to-Mankind” and in doing so, to change the world we live in.

To address these three barriers LEO has developed an entrepreneurship programme under three headings: “Learn – Earn – Own”.

“Learn – Earn – Own”

OWN

Aimed at solving the final piece of the entrepreneurship puzzle. Through the LEO community, start-up businesses will receive community support and a sales advantage from already converted LEO devotees.

Additionally, a ground- breaking programme called LEO Ownership has been developed in which the company gives Members who opt-in the opportunity to participate in exciting property development projects.

Through the LEO programme Members:

w Learn the skills of entrepreneurship.

w Earn whilst they develop business skills and experience by selling LEO endorsed products.

w Own, through franchise and property ownership programmes.

EARN

Those who have developed their entrepreneurial skills in the Learn step have the opportunity to set up their own business promoting the ‘Learn portfolio’.

LEO provides a personal website, web shop and back office system to support Members as they develop their LEO business. The system addresses all aspects of the business and conforms to local legal and regulatory requirements.

LEARN

Aimed at addressing the lack of knowledge and comprising eLearning, eTutoring, live seminars and technology products focused on entrepreneurship.

LEO Products

The main focus of LEO is its eLearning products and tools. eLearning is the fastest growing area of digital content sales on the internet and is making learning resources available to many people who have not had access to them before. This growing access to eLearning is enabling societies to improve levels of education, skills and thus income.

eLearning is the perfect product for the direct selling industry:

1. Participants in the direct selling industry have always been the greatest advocates, and consumers, of on-going adult education

2. Those who work in the direct selling industry improve their success by improving their level of knowledge and their skill base

3. As a product which can be delivered online, and easily translated into any language, eLearning is the most scalable product, and therefore suitable for a global market with no logistical issues

4. The appeal of eLearning products is universal, from developed to developing countries, cross border, cross culture, from top to bottom of society, everybody has the potential to improve their lives by increasing their knowledge

LEO offers the following categories of products

Technology

Electronic products that support the development of entrepreneurship beyond education, like smartphones, tablets, memory cards, and similar devices to carry and deliver training material.

Modular training courses provided through interactive online applications to allow self-paced, step by step education in entrepreneurship. Courses address both hard and soft skills appropriate to entrepreneurship and can be accessed whenever needed.

eLearning

A virtual classroom that brings together tutors and students from around the world, covering the practical aspects of running a business, allowing group interaction with the subject tutor.

eTutoring

Classroom based training sessions and auditorium lectures on specific subjects relating to entrepreneurship. Guest speakers, expert in their subjects, are brought in from all over the world to address key issues and share their advice and experiences to invited audiences.

Live Seminar

The educational products that LEO offers were developed and are delivered by entrepreneurs and educational experts. They fall into 4 broad categories:

Over 10,000 members received "Live Seminar” training products in Egypt, UAE, Slovenia, Canada, Turkey, UK, India, Pakistan, Thailand, Hong Kong and China.

LEO CAFE helps Members build their direct selling network and gives an opportunity for ownership through a LEO CAFE franchise.

As a franchise it allows entrepreneurs to run and own their own business; a business with a distinct, premium,

brand; one that sets itself apart from other cafés and as such offers an excellent revenue opportunity. Franchisees get everything they need to start up a business of their own, including a global Member base already familiar with the brand.

PROSPECTIVE

LEO Compliance and Openness

In 2013 LEO became a prospective member of the Direct Selling Association in the United Kingdom and followed that up in 2014 with membership of the Direct Selling Association in Canada.

In 2014 we received a positive opinion from the Competition Bureau in Canada, an independent law enforcement agency that ensures that businesses operating in Canada and Canadian consumers prosper in a competitive and innovative marketplace.

LEO founders and management see it as a CORE VALUE to be good corporate citizens. We aim to adhere to the HIGHEST COMPLIANCE STANDARDS in each country we operate and if that’s not high enough, to raise the bar. As a company we aim to work with and JOIN DSAs wherever possible in countries in which we operate. We also aim to make every attempt to ESTABLISH A DSA (where practical) in countries where one does not exist.

History of LEO

Founded in 2012 by Dan Andersson and Atif Kamran who between them have over 35 years experience in the Direct Selling industry including experience of building Global organisations of up to 20 million Members. Dan and Atif have attracted a core team of experienced multinational corporate executives who are currently building LEO on five continents.

The company has also recruited highly motivated and skilled field sales leaders, as well as corporate managers and established local offices,

all in order to create a scalable model of high-touch market presence.

Since it was launched the company has seen an exponential growth in its member base and has achieved a large number of significant strategic milestones:

w Implementation of its business building IT platform (including back office functionality for all LEO Members)

w Creation of a market leading suite of products – with world class partners

w Delivery of robust payment solutions – in and out

w Development of a truly remarkable direct selling marketing plan – including income streams that are available nowhere else in the industry.

LEO Global Events

Global Launch 20 Dec 2012

LEO gained permission to stage its Global launch event on the Giza Plateau in front of the Sphinx and the Pyramids in Egypt. This was a significant recognition of the credibility of the organisation and its business model, as no other similar company has gained this license.

2,500 attendees, representing 43 countries, were proud to take part in an event to be remembered for the rest of their lives.

Global Leaders’ Summit May 2013

This was the first Global Leaders Summit where LEO launched the concept of property ownership through

LEO Ownership programme. Our President Dan Andersson introduced the idea of LEO Tower for the very first time to the audience of global leaders.

Hong Kong office opens August 2013

LEO launched Asia Pacific business and established regional HQ in Hong Kong. LEO Tower Ownership platform was launched which was warm welcomes by our enthusiastic members.

First Anniversary 20 Dec 2013

LEO’s 1st Birthday and Global Leaders’ Summit took place in Bangkok Thailand on 20.12.2013. Over 500 members from around the world attended the event and Live Seminar the next day. LEO launched the new proper projects, LEO Haciendas in Spain and LEO Village in Portugal, under the umbrella of Ownership

LEO Cultural Exchange August 2014

LEO believes in “Diversity is empowering”. The theme of this event was Cultural Exchange.

Over 3000 people from Asia, Europe, Africa and North American continents joined this event and shared their culture with one and another. A Live Seminar was also organised where world class trainers presented in front of an excited audience ready to learn skills to excel in their lives.

Toronto office opens September 2014

400 Members from 12 countries: Canada, US and as far away as China attended the opening of the first office on the American continent. The President of the Canadian DSA was present to share in the celebrations following LEO’s qualification for membership, which had been made in record time.

LEO Projections

LEO generates revenue from three sources:

1. Product sales

2. Dividends and growth from the LEO Ownership programmes

3. Partnerships and affiliations with service providers

LEO Members benefit from being part of LEO through:

1. Being part of a community of like-minded people

2. Being supported and being able to earn whilst learning

3. By gaining access to franchise opportunities as well as additional support to set up their own business

LEO provides a range of products with which Members can network.

Generous bonuses are offered to Members on all their own product sales; on sales made by Members they have introduced; and on the sales of the wider network built by them; and even, when qualified, on Global sales.

Any LEO customer may choose to enjoy the benefits of becoming a LEO Member and thus to put what they have learned into practice selling LEO products and building a network.

Our Team

“If there is anything that sums me up”, Dan says, “it is that I passionately believe in the potential inside people. Anything that someone else has done, you can do also. In fundamental terms there is no difference between you and other people – the hardware is all the same – the only thing you need is a key to unlock that latent potential.”

In many ways Dan’s career has been a quest to find a platform to act as a catalyst for this vision of personal and professional development. As a by product of this search he has gained European and Global direct selling executive experience; he was a management and training consultant to Fortune 500 companies; is an experienced Master Practitioner trainer and facilitator of NLP™; and has outstanding training and public speaking skills.

Together with his friend and partner Atif Kamran he launched LEO to be everything that he had learned and everything he had never found.

“Entrepreneurship is the key.” Dan, self-employed since 21 years old, explains. “By being in business for yourself you learn everything you need to be successful. It is more fun, more fulfilling and more rewarding.”

‘Most businesses fail’, is an adage as old as civilization. LEO was designed to be an entrepreneurship hothousing environment. Through championing e-learning and training products, LEO Members learn all the skills they need to be successful at their dream business.

Through the Business Ownership Award programme and with LEO as a Global partner and mentor, the business model virtually guarantees success.

Dan’s most relevant experience is probably when he was a training consultant, starting out of nowhere building a consultancy contributing to some of Europe’s most successful companies. Clients included Toyota, DHL, Phillips, Digital Equipment, some of the largest retailers in the UK, banks, professional service firms, and a whole cross section of modern and traditional business.

After being a successful consultant he found himself back in Direct Selling when a UK Telecoms company asked him to join them as European Sales Director. After that he joined one of the largest Chinese companies in the world and ended up as one of six Vice Presidents.

Dan was responsible for 24 countries in Europe, as well as Israel, Canada and USA.

He was headhunted to join an entrepreneurial start-up, and from a base of 300 distributors, during the time when he was President, the business grew to 13 million accounts through an innovative hybrid of social networking and direct selling. In early 2012, he elected to pursue his own vision.

LEO is that vision.When he is not travelling the world supporting the emerging Global business, he is a happily married family man with two sons under the age of ten.

Occasionally he finds time to enjoy a couple of classic cars.

Atif lives in London, UK. He is fluent in four languages and has a wealth of international business experience.

Born in Pakistan, he has lived and/or worked in the UK, Dubai, Bangladesh, China, Germany, Turkey, Africa, Middle East as well as most countries in Eastern Europe.

“Whilst I am very proud to be born in Pakistan, I truly see myself as a citizen of the world.” says Atif. “In fact, this is one of my passions that drive me in LEO, that we can create a truly multinational and multicultural business. The world needs a business that connects people and unites them in entrepreneurship.”

Prior to LEO, Atif was involved with a business that created a social community with millions of Members all over the world, but especially in South Asia.

He was one of the top field leaders of that business and broke records in every category. Before that he worked as European Training Manager for the number one Chinese direct selling company globally. He travelled across Europe and supported and trained tens of thousands of distributors.

Atif has over 10 years’ experience in Direct Selling, having worked as a successful field leader as well as on the corporate side. This unique blend of experience enables him to understand business needs on both sides.

“I believe in training and professional development.” says Atif. “I started my career as a computer engineer. Today I am a co-founder of a company that has the potential to touch millions of people all over the world. I go on stage in front of thousands, I manage IT implementation, and I support sales leaders in four different continents. Yet when I left my job as an engineer, my family were concerned that I was leaving a ‘real’ job. But I knew I had the potential to be more.”

Atif’s role in LEO is Global Marketing Director. As a co-founder of the business with Dan Andersson, he is corporate through and through, but his real passion is to lead the field sales force.

He drives recruitment, field communication, training, motivation, sales incentives, events, tools and systems.

“I believe that there is a Lion inside everyone. You just have to unleash that potential inside you, to achieve success beyond your wildest imagination.” says Atif.

Board of Directors

HANS PASVEERAfter completing his studies in the Netherlands Sport Academy, Hans enlisted for service with the Royal Dutch Navy, and gave 12 years of service in the Helicopter Division, travelling the world serving on ships.

In 2000, Hans started working in the Direct Selling industry, as a distributor. He has successfully built and led networks in four companies. His success in the Direct Selling business enabled Hans to diversify his interests, and establish his own business.He incorporated Sauna City Europe in 2006, which builds Saunas and Spas for the commercial market across Western Europe.

As a successful entrepreneur Hans has diversified his business portfolio into Sauna City Technics, established in 2010, which is a factory for making gas Sauna heaters, exporting to Russia, Eastern and Western Europe. In 2011, Hans spotted another commercial opportunity, and incorporated another company Liberdada Nv, which exports car tyres from Europe to South America. In 2012, Hans became one of the first distributors in LEO, and rapidly became a pivotal contributor to the company and, in December 2012, he was asked to join the board especially to represent LEO Members.

GRAHAM KENT GLOBAL OPERATIONSDIRECTOR

Formerly with the British Army, Graham has worked for a number of companies in the Direct Selling industry, travelling extensively around the world.

Based in the UK office, his remit is to run the operations that make the LEO machine work seamlessly; from the launch of a market; through establishing offices; to managing ongoing Customer Support, Logistics and supporting projects.

Graham also drives our applications for DSA membership in the countries in which LEO operates, and ensures that the operational processes and procedures continue to meet DSA, local and international compliance requirements.

FRANCIS TING GENERAL MANAGER - ASIA PACIFIC REGION

Francis is LEO’s General Manager of the Asia Pacific region, based in the Hong Kong office. Francis is enjoying the challenging position, giving him the opportunity to utilise his professional abilities and experience.

Before joining LEO, he had eight years experience with Global Direct Selling companies operating in Europe.

As a senior executive he was responsible for many markets as diverse as Bulgaria, Romania, Hungary and Italy.

SOHAIL RAMZAN GLOBAL IT DIRECTOR

Sohail holds a Master’s Degree in Business Administration with Majors in Management Information System. He is also a certified Project Management Professional (PMP) from Project Management Institute USA. (PMI USA). Sohail holds an impressive track record of successfully and effectively managing IT departments including all aspects relating to HR, infrastructure/technology, software needs analysis, development, implementation, configuration and change management as well as systems support and maintenance.

As a PMP Certified Professional Project Manager, he established a Project Management Office (PMO) at one of the leading Oracle Certified Partner Companies in Pakistan. His recent project with USAID has given him exposure to work with international funding agencies and global project execution models.

He has provided IT consultancy and Project Management Services to diversified industries such as Aviation, Oil and Energy sector, Utilities sector, Trading companies, Textile industry, Law enforcement agencies, International funding agencies and of course to the Direct Selling Industry.

GÜNTER STALLECKER A Law Graduate from University of Heidelberg he worked from 1990 until 2012 as Head of Legal Department for a German mail order company (turnover €1.6 billion).

Alongside this, Mr Stallecker has been developing his private legal practice, which in 2012 he devoted his attention to full time.

Günter advises companies in Corporate and Commercial Law, with particular specialisations in the field of Mergers and Acquisitions, and Direct Marketing.

He has also been working on projects with S and A Global Legal Services, alongside fellow LEO Director, Mr Avinash Sondhi, in the field of Mergers and Acquisitions.

AVINASH SONDHI Born in India, a Law Graduate from Oxford, residing in France, with a legal practice with offices in India, Germany, France and the Netherlands, Mr Sondhi is a true multinational business man.

With extensive success in Mergers and Acquisitions, he took an early interest in LEO, especially with its potential in India. He came onboard as an investor and director, both on the Global company board as well as the India company in which he is the Managing Director.

BERNARD LANDI [FCCA]

As a professional accountant of many years standing, Bernard has been made a Fellow of the Association of Chartered Certified Accountants. He has held numerous Finance positions with multi-national corporations including Dun and Bradstreet, prior to starting his own private practice in 1996.

Landi Accounting now has a wide portfolio of clients, with the majority being in the Advertising and Direct Marketing sectors. Within this sector they have clients in Media, Advertising, Public Relations, Online and Digital Media Agencies. Most clients are international, with many having links in the USA and Asia. For most of his larger clients, Bernard acts as their Finance Director.

Summary

LEO offers individuals the opportunity to be part of a new paradigm in both direct selling and education. Our business should not be thought of simply as eLearning – just as the computer and the internet have revolutionised every aspect of our lives, make no mistake, they will transform the way in which we learn. The only surprise is possibly that it hasn’t happened sooner, and it is down to a few key factors.

First, the learning needs to be in a bandwidth-sensitive architecture where it is easy to find, easy to pick up, leave and come back to. We have a world-class solution for this, which has taken years to develop with millions of pounds invested.

Second, there must be a community, a network, and feedback. Just learning online is too isolating which makes eLearning and relationship marketing a perfect synergy with a natural community and feedback element.

Third, an efficient virtual distribution network is needed to promote eLearning products and opportunities across the world. If relationship marketing did not exist before LEO, then you’d have to create it!

Live to the Power of You

In summary, this is the business that relationship marketers and aspiring entrepreneurs have been waiting for. It is a legacy business, where participants can not only achieve massive success for themselves, but in doing so, they can be truly proud of what their business achieves and the benefit of their product referrals to customers.
