► Advising on the initial public offerings (IPO) in Hong Kong.
► Advising on IPO structure and corporate/asset reorganization including legal due diligence, strategies, pre-IPO investments, legal opinions on laws and regulations and post-IPO regulatory compliance.
► Advising on equity fund raisings on secondary market in form of shares, convertible instruments, warrants etc.
► Advising on issues of different types of bonds including dim sum bonds, bonds of investment grade, high-yield bonds and green bonds.
Mergers and Acquisitions (M&A)
► Advising on domestic and cross-border public and private M&As.
► Advising on equity and loan transfers, asset acquisitions, privatization, takeovers, tender offers, acquisition by auctions and issues concerning market entry, carve-outs of selected business segments, corporate governance, employee incentive schemes, employee transition, taxation optimization, disclosure, foreign exchange settlement, etc.
Energy, Infrastructure and Projects
► Advising on energy, infrastructures, projects, project finance and its related transactions.
► Advising state-owned enterprises with extensive experience in matters concerning development, acquisitions, government regulations, sales & purchases, finances, constructions and operations of large-scale infrastructure projects comprising of oil & gas, power stations, refineries, terminals and public utilities including cross border tunnels, bridges and tolled highways.
Dispute Resolution
► Advising on cross-border complex disputes, including complex commercial litigation, international arbitration and enforcement actions, particularly those involving multiple jurisdictions.
► Advising on technology and e-commerce contentious matters including cybersecurity, personal data protection and financial technology.
Compliance and Investigations
► Conducting pre-acquisition due diligence, post-acquisition risk assessment and integration to reduce the risk of successor-liability issues.
► Advising on compliance policies to prevent bribery, corruption and other nefarious conduct.
► Advising on compliance and regulatory issues and conducting internal investigations.
► Advising on government investigations and liaising with governmental and regulatory authorities.
► Advising on remediation measures and conducting compliance training.
Restructuring and Insolvency
► Advising a comprehensive range of stakeholders, including enterprises under crisis, creditors, investors, contributors and relevant government authorities on the rescue and/or asset exit.
► Advising on debt structuring, re-financing framework and arrangements, disposals of assets and introduction of angel investors.
► Representing investors and contributors in defending allegations and legal actions arising from reorganization and restructuring.
