Italian Part of EP444122 Assignment from G.Booth et al to Swanwell Limited Onward Assignments to Renewable Energy, and to FLS

We refer to your letter dated April 12, 2002 for which we thank you.

After reviewing of the present case, we noted that the Italian Part of the above Patent has been filed on July 18, 1995 in the name of the first applicant (Booth et aL ) notwithstanding the fact that Assignment agreement was executed on October 10, 1991 i.e. well before the date of granting of the same patent on April 19, 1995.

In that situation, the registered owners (the inventors) of the Italian Patent were not intitled to request the nationalization in Italy of the above European Patent.

Therefore, the Italian PTO would not now accept to record the assignment from Booth et al. to Swanwell, on the basis of the assignment deed attached to your letter.

In view of the above, our advice is to record an assignment deed from G.Booth et al. to Swanwell Limited (similar to that attacched to your letter) having effect from a date subsequent the filing date of the national patent (after July 18, 1995).

We also inform you that in order to comply with all the formal requirements:

Each Deed has to be signed in original by both parties Assignor and Assignee, notarized and legalized by Apostille.

A consideration must be indicated in the Deeds.

To that end, a Declaration of Value (herewith enclosed) can be attached to each deed.

This is required for the purpose of the fiscal registration of the deed with the Italian Tax Register Office before recordal with the Italian Patent and Trademark Office.

A tax of3% of the consideration indicated has to be paid when registering the deed with the Italian Tax Register Office.

The tax, at present, is however not less than 130,00 Euros up to about 4130,00 Euros as a value of consideration.

Please note that in case the parties involved are residing in the UE and are both subject to the VAT and they have already paid this tax in their country, they may insert this clause in the deed and subsequently pay only the fix tax, i.e. 130,00 Euros.

Before recordal the deed has to be sworn translated into Italian.

Furthermore, a Power of Attorney simply signed by the legal representative of the Assignee FLS milj0 a/s (name and capacity of the signatory person are to be indicated) is required.

We wish to bring to your attention that any deed coming from a foreign country must be filed before an Italian Notary.

The Notary, has, in turn, to certify that the notarization and the legalization made abroad are true and he will have the duty to register the deed at the Italian Tax Register Office for the purpose of the fiscal registration.

Once the deed is registered at the Tax Register Office, the Notary will issue a true copy of the recorded original document for filing at the Italian Patent & Trademark Office.

Hereto our schedule of charges for recordal of assignment, licences and mergers. \/vTe wish to underline that in order to favour our clients we have simply added the costs of the Notary, without charging any additional attorney fees for the extra work the new procedure will involve.

Thank you for your letter of 19th April 2002 regarding the above.

Upon review of the contents of your letter, we still have several queries, as follows:

1. Is it possible to record the transfer of ownership from Gerry Booth, Stewart Donnelly and Brian Lindley to FLS milj0 a/s in one stage, through the filing of simply one recordal application, or is it necessary for each assignment to be the subject of a separate recordal application?

2. Given that a fresh assignment is required in respect of the transfer of ownership from Gerry Booth et al to Swanwell Limited, would it be more convenient to simply prepare one confirmatory assignment from Gerry Booth et al to FLS milj0 a/s, or would this effect the validity of the assignment recordal application and/or the patent concerned?

3. Whilst you have indicated the costs involved in your standard assignment recordal procedure, we require a specific figure covering the costs that you will in fact incur in recording the transfer of ownership to FLS milj0 als .

I write further to my letter of 1 i h April 2002 regarding the above. I have now received responses from all foreign attorneys concerned, and my comments regarding progressing recordal are set out below.

Cost of Assignment Recordal

A more accurate indication of the costs involved in recording FLS milj0 a/s as proprietor of all patents in question is as follows:

I understand that you have already paid to us on account the sum of £5000. If we are to proceed with the recordal exercise, we therefore require a further £4000 from you.

If you would like to proceed immediately in certain countries taking your charges up to £5000, please let me know, failing which I shall take no further action until I receive the remaining £4000 on account.

Country by Country Requirements

I have set out below a brief description of each individual country requirements for pursuing the assignment recordal exercise.

Australia:

• It is possible to proceed via the filing of only one recordal application. • In order to proceed, we require a counter-signed copy of the assignment document

between RER and FLS milj0.

Austria:

• Again, only one recordal application need be filed. • To proceed, we require a confirmatory assignment document between Gerry Booth et

al and FLS milj0.

Belgium:

• Three recordal applications must be filed in order to reflect the complete chain of title in Belgium.

• We require confirmatory assignment documents for each transaction in order to proceed.

Canada:

• Again, three recordal applications are required in Canada. • However, since we can proceed on the basis of copies of the assignments already

executed, we simply require a counter-signed copy of the assignment between RER and FLS milj0.

France:

• Three recordal applications are required for France. • We cannot use copies of the original assignments executed, and hence confmnatory

assignment documents are required for each transaction.

Germany:

• Only one recordal application is required in order to record FLS miljo as proprietor of the German patent.

• To proceed, we require a counter-signed copy of the assignment between RER and FLS milj0, and a Power of Attorney signed on behalf of FLS milj0.

Italy:

• It is possible to proceed in Italy via the filing of just one recordal application. • In order to proceed, we require a confirmatory assignment document between Gerry

Booth et al and FLS milj0 als, together with a Power of Attorney signed on behalf of FLS milj0.

Luxembourg:

• Three assignment recordal applications must be filed in Luxembourg. • Confirmatory assignment documents are required for each transaction.

Netherlands:

• Again three recordal applications must be filed. • Confirmatory assignments for each transaction are also required.

Spain:

• It is possible to proceed via the filing of merely one recordal application. • However, we require a confirmatory assignment document between Gerry Booth et al

and FLS milj0 als, together with a Power of Attorney from FLS milj0.

Sweden:

• Again, only one recordal application need be filed in Sweden. • We do, however, require a confirmatory assignment document between Gerry Booth

et al and FLS milj0, and a Power of Attorney from FLS milj0.

USA:

• Three recordal applications must be filed in the USA to reflect the complete chain of title.

• Since we can use copies of the original assignments executed, in order to proceed we simply require a counter-signed copy of the assignment between RER and FLS milj0.

Further Instructions

Please let me know whether you wish to utilise the £5000 already paid to us to progress recordal in certain of the countries above - if so, please identify the countries in which you wish to proceed immediately.

In particular, I feel that it may be worthwhile using the money on account to attend to preparation of the necessary confmnatory assignment documentation.

if you wish to proceed with recordal in those countries in which confirmatory assignment documentation is not required, please return to me the counter-signed assignment between RER and FLS milj0, which was enclosed with my letter of lih April 2002.
