INTRODUCTIONThe Malaysian Oil & Gas Services Council or MOGSC was formed on 1st December 2003, as an initiative to establish an association driven and promoted by the services sector of the Malaysian Oil & Gas Industry.
MOGSC is now the premier business forum representing the interests of Oil & Gas Service Providers and our membership of almost 547 companies represent all sectors within the industry. MOGSC’s key mission is to promote the capabilities of the Malaysian Service Providers and showcase Malaysia as the regional hub for the Oil & Gas Industry.

Minutes of the 11th Annual General Meeting (“AGM”) Held on Monday, 21st April, 2014 at 3.00 pm at Sime Darby Convention Centre, 1A Jalan Bukit Kiara 1, 60000 Kuala Lumpur.

Cik Raihanah Hamzah, Manager of MOGSC, welcomed and thanked the members for taking time to attend the 11th Annual General Meeting. She explained that all member representatives present had been issued with green cards during registration and this card was to be used during the show of hands and to qualify the members in ballotingforthe2014-2016ExecutiveCommittees(EXCO)Election.
CikRaihanahHamzahproceededtointroducethe2012-2014EXCOlineupandEXCOMemberspresenttothemembers and conveyed the apologies of the absent members, Ir. Ahmad Nazari Ashari and Encik Zamani Abd Ghani.

ShetheninvitedthePresident,EncikSofiyanYahya,togivehisopeningaddressbeforeproceedingtothebusinessof the meeting.
Uponconcludingtheopeningaddress,thePresidentpresentedatokenofappreciationtocurrentEXCOMembersfor all their hard work during their tenure and thanked the Secretariat, Working Groups and Resource team who had contributed and served MOGSC unceasingly.
Onconfirmationthatthenoticeofmeetinghadbeendulyandproperlysentandtherebeingarequisitequorumpresent, the President called the meeting to order at 3.10 pm. with 226 registered members present.
1.0 NOTICE OF THE MEETING

2.0 CONFIRMATION OF THE MINUTES OF THE 10TH ANNUAL GENERAL MEETING HELD ON 23rd APRIL 2013
Therebeingnoquestionsraisedbythemembers,upontheproposalofDatukKamaruddinTaibofDNVGL which was duly seconded by Puan Linda Zain of Eversendai Oil & Gas (M) Sdn. Bhd., the minutes of the meeting was received.
3.0 CONFIRMATION OF THE EXCO REPORT FOR THE 2013/2014 SESSION
Themeetingwaspresentedwithanaudiovisualpresentationoftheactivitiesforthesession2013/2014.
TheHonorarySecretaryinvitedthemeetingtoraiseanyquestionswhichtheymayhaveonthereport.
EncikHjAzdibinAbassofOctagonPetroleumTechnologySdn.Bhd.,notedthatthereportdidnotelaborate on the outcome of seminars, industry activities and proposals submitted.
The Honorary Secretary explained that the report presented is a brief summary of all activities. Detailed reporting would not be appropriate due to the limitations on the number of pages in the printed Annual Report. Nevertheless, the Secretariat would be glad to oblige should any member require any further information or outcomes of the stipulated activities.

3.0 CONFIRMATION OF THE EXCO REPORT FOR THE 2013/2014 SESSION (CONT’D.)
EncikHjAzdibinAbassofOctagonPetroleumTechnologySdn.Bhd.,addedthatoneoftheobjectivesof MOGSCwastopromotelocalservicesoverseas.HeclaimedthattherewasaMATRADEgrantofRM100,000.00.
Encik Megat Zariman of Bumi Armada Bhd., explained that there were numerous engagements with MATRADE and foreign companies to promote business opportunities and provide guidance for local companies to extend their business entry overseas.
TheHonorarySecretaryaddedthattherequirementisthatthecompaniesapplyforthegrantsdirectlyand not MOGSC.
As there were no further questions raised, upon the proposal of Dato’ Haji Zainal of HG Solution Sdn. Bhd. which was duly seconded by Encik Mohamed Siraj Abdul Razack of Petrofac E&C Sdn. Bhd., the MOGSCEXCOreportontheworkingsoftheSocietyfor2013/2014wasreceived.
4.0 CONFIRMATION OF THE AUDITED FINANCIAL STATEMENTS AND THE AUDITOR’S REPORT FOR THE YEAR ENDED 31st DECEMBER 2013
TheTreasurerpresentedthefinancialstatementsandhighlightedthefollowing:-
(a) Adjustments have been made on the income statement to correct income received in advance in respect of 2013 and expenses of 2012 which were incorrectly taken up in the 2012 financial statements
(b) TotalrevenuestoodatRM1,293,184
(c) Fees received from members, which comprised entrance fees (RM100,000) and subscription fees (RM462,600)
(d) Other Income of RM319,957
(e) Surplus stood at RM100,212 and there is no tax payable
(f) Cash and bank balances stood at RM987,787 of which RM500,000 have been placed in a fixed deposit account
(g) TotalAssetsstoodatRM1,313,964
TheTreasurer urged themembers topay their subscriptionswith chequepayments andhave them sent toMOGSCofficeinsteadofbankingitintoMOGSCbankaccountasthishasresultedinbankreconciliation issues. TheTreasurertheninvitedthememberstoraiseanyquestionswhichtheymayhaveontheaforementioned financialstatements.

EncikHj.AzdibinAbassofOctagonPetroleumTechnologySdn.Bhd.,enquiredonagrantfromPETRONAS.
TheTreasurerexplainedthatthegrantofRM300,000fromPETRONASwasnotutilizedin2012.Insteadit wascarried forward to2013whichexplains theshiftingof theentry from thebalancesheet to theprofit &lossaccount.SheconfirmedthattherewasnograntfromPETRONASforyear2013.
EncikHj.AzdibinAbassofOctagonPetroleumTechnologySdn.Bhd.,inquiredonMOGSCdidnotreceive any grant which is indication of MOGSC recognition.
The President replied that MOGSC is recognized not based on its ability to secure grants. MOGSC is alreadyrecognizeduptoPMlevelasindustrychampion.ThefactthatMOGSCmanagetomaintainahealthy balancesheetdespiteitsmanyactivitiesandengagements,isevidenceofitsfinancialmanagementsuccess.
With no further questions raised, upon the proposal of Dato’ Haji Zainal of HG Solution Sdn. Bhd., which was duly seconded by Datuk Kamaruddin Taib of DNVGL, the Treasurer’s report and the Audited Financial Statements and the Auditor’s Report for the year ended on 31st December 2013 was received.
5.0 APPOINTMENT OF AUDITORS FOR THE ENSUING YEAR
ThePresidentinformedthatthemotiontoappointauditorsfortheensuingyearwouldbeputforthviavote of a show of hands.
Upon the proposal of Dr. Ralph Richard Klemp of Oil & Gas Skids Sdn. Bhd., which was duly seconded by EncikMuhtarHashimofPTTechnic(M)Sdn.Bhd.,themotionwasputforthtoavoteonashowofhands.
Basedonthenumberofvotes,thePresidentdeclaredthemotioncarriedandthatMessrs.RakiThomas& Ramanan be appointed auditors for the ensuing year.

6.0 THE PROPOSED AMENDMENTS TO THE CONSTITUTION
TheHonorary Secretarypresented to themembers theproposedamendments and the rationale for the proposed amendments, including the proposers and seconders of the motions.
The1st item was put forth to the meeting. Clause 2 Place of Business ItsregisteredplaceofbusinessshallbeLevel23Menara3,PETRONAS,KualaLumpurCity Centre, 50088 Kuala Lumpur or at such other place as may from time to time be decided by theExecutiveCommittee.TheregisteredplaceofbusinessoftheSocietyshallnotbechanged without the prior approval of the Registrar of Societies.
TheabovechangeistoreflectthechangeoftheregisteredaddressofMOGSC.
Themotionwasputforthtoavoteonashowofhands.
Based on the number of votes, the President declared the motion carried.
The2nd item was put forth to the meeting.
Clause 5(1) Entrance Fees, Subscriptions and Other Dues Theentrancefeesandsubscriptionspayableshallbeasfollows: Entrance fee for all members RM1,000.00 Annual subscription for all members RM1,800.00
For new members joining prior to 31st October, the annual subscription payable upon will be pro-ratedtotheremainingcalendaryearrelativetothemonthofjoining.
For new members joining after 31st October, the annual subscriptions payable upon joining will comprise of:
The annual subscription payable pro-rated to the remaining calendar year relative to the month of joining.
Theannualsubscriptionpayableforthefollowingyearafterjoining.
The above proposal is to revise the annual subscription for all members from RM1,200 to RM1,800. TherationalefortheincreaseistosustaintheindependenceofMOGSC.Furthermore,therehasnotbeenan increase in fees since 2003.
Themotionwasputforthtoavoteonashowofhands.

The3rd item was put forth to the meeting. Clause 8(11) Committee Deleted in its entirety
The Honorary Secretary explained that Clause 8(11), (12) and (13) are inter-related. The reason for the proposalisthatincarryingoutCSRworks,theaforementionedprovisionshavehindereditsprogress.Thisis because the rules required the calling of meeting and set limitations on the utilization of donations for CSR works. Themotionwasputforthtoavoteonashowofhands.
Based on the number of votes, the President declared the motion carried. The4th item was put forth to the meeting. Clause 8(12) Committee TheCommitteeshallbeallowedtoseektheapprovalofthemembersunderanExtraordinary General Meeting for any excess of expenditure over the total revenue collect for the current financialyear.TheSocietyasagoodcorporatecitizenisallowedtotakepartinCorporate Social Responsibility (CSR) activities and such CSR activities and expenditures shall be duly approvedbytheCommittee.ThemaximumdonationallowedisRM50,000.00perannum.
Encik Amir Sahudi of MIHC Services Sdn. Bhd. shared with the meeting the difficulties in disbursing donations given for a particular cause, as the rules limits the donation amount each time. He added that these funds are from external sources and would not affect the revenue of MOGSC. He related an experience with the East Coast Flood donation drive in 2013 to the meeting. Themotionwasputforthtoavoteonashowofhands.
Based on the number of votes, the President declared the motion carried.
The5th item was put forth to the meeting.
Clause 8(13) Committee In furtherance to Clause 8(11) herein and in the event the members do not approve the request for whatever reason, the Committee Members shall be jointly liable in equal proportion to reimburse the Society for such excess.

6.0 THE PROPOSED AMENDMENTS TO THE CONSTITUTION (CONT’D.)

The6th item was put forth to the meeting. Clause 10(4) Financial Provision No expenditure exceeding RM10,000.00 at any time shall be incurred without prior sanction of the Committee, and no expenditure exceeding RM50,000.00 in any one month shall be incurred without prior sanction of a general meeting with the exception of income generating activities and any expenditures relating to Corporate Social Responsibility (CSR) including donations.ThePresidenttogetherwiththeSecretaryortheTreasurermayincurexpenditure lessthanRM10,000.00atanytimeforthebenefitoftheSociety.
Encik Abd Hamid Ibrahim explained that this was to facilitate the industry events as the allowable sum is not sufficienttoorganizeandtomakeadvancepayments.
Themotionwasputforthtoavoteonashowofhands.
Based on the number of votes, the President declared the motion carried.
7.0 ELECTION OF OFFICE BEARERS FOR 2014-2016
TheHonorarySecretaryexplainedthatpriortothetablingoftheagendatoelectofficebearersforSession 2014-2016,theExecutiveCommitteewillhavetobedissolvedfortheelectiontotakeplace.
The President declared theMOGSC Executive Committee of 2012-2014 dissolved and accordingly, the committee vacated their seats.
Encik Syed Aizat, the Election Officer explained that a member from the floor will be appointed as observer, one from the Secretariat and six independent personnel will be appointed as scrutineers and vote counters.
He also highlighted the eligibility to vote, positions to be filled and how the balloting process is to be carried out.
Ms.SharonFamofTheCanadianTradeCommissionerServiceofferedtoactasanobserverfortheballoting process.

7.0 ELECTION OF OFFICE BEARERS FOR 2014-2016 (CONT’D.)
ThePresidentialcandidates,namelyEncikRamlanbinAbdulMalekofSapuraKencanaPetroleumBerhad, Encik Mohamed Siraj Abdul Razack of Petrofac E&C Sdn. Bhd., Encik Hj Azdi bin Abass of Octagon Petroleum Technology Sdn. Bhd., Ms. Fatihah Md Sharif proxy for Dato’ Md Sharif Shamsuddin of Asturi Metal Builders (M) Sdn. Bhd. and Encik Muhtar Hashim of PT Technic (M) Sdn. Bhd. were given two minutes each for campaigning purposes. TheSecretariatproceededtodistributeballotpaperstothemeeting. With that, the meeting proceeded to cast their votes and adjourned at 5.07pm with the scrutineers, vote counters and observers proceeding to the counting room..
Themeetingre-commencedat6.43pm.
Encik Syed Aizat informed that a total of 138 ballot slips were submitted and out of that, 7 were spoilt votes.

The new Executive Committee then took their place at the meeting and noted the absence of Encik Rohazlee Hashim with apologies.
Encik Ramlan bin Abdul Malek thanked the meeting for electing him as President for a new term and congratulated the successful candidates and thanked all the nominated candidates who participated in the election.
The President expressed his thanks and appreciation to Encik Sofiyan Yahya, the Past President and his committee who had served MOGSC.

8.0 ANY OTHER ORDINARY BUSINESS
The President noted that there is an item proposed by Encik Hj Azdi bin Abass for an amendment to Clause8(2)fordeliberationasfollows:-
Clause 8(2) Committee All office bearers of the Society and every officer performing executive functions in the Society shall be Malaysian citizens. In addition, the President can select up to Five (5) persons from amongst the Society members and co-opt to be Committee members. Such CommitteememberrequiresapprovalfromtheEXCO.
TheCommitteeshallifdeemsitfitandnecessaryappointqualifiedpersontobetheAdvisor orPatronoftheSociety.Thepersonappointedmustgivehisconsentinwriting.
TheimmediatePastPresidentoftheSocietyshouldautomaticallybeappointedasanadvisor oftheSocietySUBJECTtoamaximumperiodofOne(1)Term.Heshallbeinvitedtoevery Committee meeting but shall have not voting right or executive power saves for those approved and delegated by the Committee.
EncikSofiyanYahyaenquiredontherationalefortheproposal
EncikHj Azdi binAbass ofOctagon PetroleumTechnology Sdn. Bhd., explained that the prerogative on whetherthePastPresidentshouldbeinvitedtomeetingslieswiththeEXCO.
EncikSofiyanYahyaaddedthattheprovisionisnecessarytoensurecontinuityinthepursuitoftheobjectives of MOGSC and support for this motion would jeopardize MOGSC.
Mr.ChristopherThenTedLoongofPerdanaPetroleumBerhadwasof theopinion thatwhenaperson is electedhehasundertakentheobligationtocontinueservingaftertheperiodofhisofficefortheperiodas stipulatedintheRules.Therefore,whensomeonetakesupthePresidentpostheisawarethathewillalsobe the Advisor as a condition.
Therebeingnootherquestions,thePresidentproceededtoputforththemotiontoavoteonashowof hands.
Based on the number of votes, the President declared the motion not carried.
EncikNoor Hisham Yahaya of TMRConsult requested that the Executive Committee look into ensuring continuitybyensuringthatthere-electionofofficersbelimitedtonotmorethan50%ofthecomposition. Therebeingnootherbusiness,themeetingendedat7.07pm.withavoteofthankstotheChair.

1.0 INTRODUCTION The following is the Report of the Committee for the 2014/2015 session covering the period from 21st April 2014 until 29th April 2015.
MOGSC, with its expansive membership base is now the premier business forum for service providers in the Malaysian Oil & Gas Industry.
MOGSC objectives are to promote members’ interests within the Oil & Gas Industry and to support the efforts in making Malaysia the regional hub for Oil & Gas Industry.
MOGSC’s presence and visibility have continued to increase significantly across the industry through participation in various initiatives and collaborations with industry stakeholders and the government, in the interest of the industry and the national economy.
The 2014/2015 Report comprises a compilation of MOGSC activities with an increase in the level of participation and activities for the Malaysian Oil & Gas Industry.

IncollaborationwithPETRONAS’WivesandWomenEmployeesAssociation(PETRONITA),TheMalaysianOil&Gas Services Council (MOGSC) organized a fund raising Charity Golf to acquire a Mobile Clinic Van for Yayasan Semesta Berdaftar (YSB).
ThefundraisingeventmanagedtocollectatotalofRM447,750.00from27MOGSCmembercompanies,fromwhich RM 350,000.00 was allocated for the Mobile Clinic van and medical equipment.

Malaysian Oil & Gas Services Exhibition and Conference 2014 (MOGSEC 2014)
TheMalaysianOil&GasServicesExhibitionandConference2014orMOGSEC2014washeldattheKualaLumpurConvention Centre from the 23rd to 25th September 2014.
The event was launched by Dato’ IdrisMansoor, Executive Director, PETRONAS, who in his opening keynote address said that events such as MOGSEC 2014 are important in developing the local oil & gas industry by fostering closeco-operation,understandingandpartnershipsbetweenkeyplayersandtradeparticipantsfromaroundtheregion.
Later MOGSC President En Ramlan Malek said in his welcoming speech that MOGSC is hosting this exhibition with the overarching aim to further the development of the local oil & gas services industry and the individual companies under this banner.
After the opening ceremony the VIPs were taken for a tour of the exhibition.
MOGSEC 2014 was clearly a resounding success as can be seen from the statistics when MOGSEC 2014 is compared with the inaugural event MOGSEC 2012.
ThenumberoftradevisitorsforMOGSEC2014increasedby40%toalmost10,000.Thenumberofexhibitionboothsincreasedby20%.Thenumberofparticipatingcompaniesincreasedby35%tonearly500playersfromacrosstheMalaysianoil&gasindustryspectrum.Thefloorspacetakenupincreasedby25%.
In line with the government’s vision to transform Malaysia into a regional oil and gas hub by 2020, MOGSEC 2014 was aptly themed, “Showcasing Malaysia as the Region’s Oil and Gas Hub”.
TheuniqueandiconicidentityfortheMOGSECseriesisthatitistheonlyeventthatshowcasestheplayersbasedin Malaysia. MOGSEC is clearly making its mark in the regional trade calendar for the oil & gas services sector.Financially MOGSC received RM 427,671.25 nett from MOGSEC 2014.

MOGSC FLOOD RELIEF
Whenthefloodsituationbecamecritical,especiallyinthestatesofKelantanandsomepartsofPahangandPerak,MOGSClaunchedtheMOGSCFloodReliefTaskforceattheendofDecember2014.
Thefirstappealforaid,includingfoodsupplies,clothing,financial,volunteers,torches,tentsandothertypesofaid,was emailed to all MOGSC members on 30th December 2014. Appeal emails were sent out on a regular basis to continue to seek MOGSC members help and generosity.
Collection centers were organised and member companies in the logistics sector volunteered with logistics/lorries tocollectandtransportthegoodstothefloodzones.
Food and aid convoys were also organised by MOGSC member companies, using their own SUVs to send aid directly to theaffectedareas,especially themore isolatedand remotevillages.Thiswasparticularlywelcomedby the villagers as not enough aid was reaching them, while the main designated collection centers did not have sufficientSUVstododistribution.SomeMOGSCmembersconductedconvoysdailyduringtheheightofthecrisis,whiletheothersdedicatedtheirweekendsforfloodreliefwork.
MOGSC worked with other NGOs to organise rebuilding of homes. A funding drive was launched to support this initiative.
Afterthefloodsubsided,MOGSCorganisedtwotripsincollaborationwithPETRONASandothers,tohelpwithcleaning up activities. On the 16th and 17th January 2015, a bus with volunteers and equipment went to Dabong to clean up a school, which was completely buried in mud, while on the 18th January 2015, another busload of volunteersandequipmentwenttoTemerlohtocleanupanotherschool.
On26thFebruary2015anappealwaslaunchedbyemailtoMOGSCmembersforhouserebuildingforthefloodvictims,seekingvolunteersandotherassistance.ThisprogramwasorganisedincollaborationwithImaret,FreeMarket, University Malaya and Extraordinary People Impacting Community (EPIC) with a focus on house rebuilding.Theflood relief activities still continues, though the focushas changed to reflect theongoing situationon thegroundintheaffectedareas.Theremoteandisolatedareasstillneedhelp,asmuchoftheir infrastructuresuchas roads, bridges, railways, homes, schools are damaged or destroyed, thus continue to impact the lives of the villagers.Thereforethefocusisnowonhousesrebuildingandhelpingthefloodvictimspickuptheirlivestowardsnormalcy and sustainable activities.

His vast experience in investment banking, corporate finance, mergers and acquisitions started in 1980 when he worked with a leading Investment Bank inMalaysia.Thereafter,heservedasaDirectorofseveralprivateCompaniesand Companies listed on Bursa Malaysia, the Stock Exchange of India and the Nasdaq (U.S.A.). Datuk Kamaruddin is also the Chairman of GHL Systems Berhad, which has the largest installation of payment terminals in Malaysia.
In addition, he is the Chairman of Alkhair International Islamic Bank Berhad, a wholly owned subsidiary of Alkhair Investment Bank B.S.C. (c) (Kingdom of Bahrain), licensed by BankNegaraMalaysia to conduct a full range of non- Malaysian Ringgit banking activities under the Malaysia International Islamic Finance Centre (MIFC) initiative.
Datuk Kamaruddin is also the Chairman of the Board for Great Eastern TakafulBerhad,ajointventurebetweenGreatEasternHoldingsLimitedfrom SingaporeandtheMalaysianArmedForcesCo-operativeLimitedandDirectorof Great Eastern Life Assurance (Malaysia) Berhad, the largest life insurance company in Malaysia in terms of assets.
He is currently a Director of the FIDE (Financial Institution Directors’ Education) Forum, whose patron is the Governor of Bank Negara Malaysia.
