GENERAL INSTRUCTIONS FOR REGISTRATION WITH DIRECTORATE GENERAL DEFENCE PURCHASE

1. Your firm is welcome to do business with Defence Purchase Organizations. For this purpose you may get your registration with Directorate General Defence Purchase (DGDP). Following categories of firms are registered.

a. Local manufacturing firms.

b. Stockist of food grains i.e. Rice, Dalls all sorts, Sugar, Tea and Ghee/cooking oil etc. Cotton Waste, Jute goods, shoe grindery items, ferrous and non-ferrous equipment, chemicals, vehicles, spares, computers, computer parts, electrical/electronic parts, air conditioners/water cooler, fridges, plain paper copier and spares etc.

c. Local sole agent of foreign manufacturing firms/sole agent of exporter of principal manufacturer (additional instructions are given on next page).

2. Registration implies formal approval accorded to the applicant firm by DGDP on:

a. Completion of requisite preliminaries by the firm.

b. Finalization of verification process.

c. Recommendation by the concerned Inspecting Authorities in case of manufacturer / stockist.

3. Following proforma (enclosed) are required to be filled up by the applicant firm eight copies are required: a. SVA-8121 - related to details about the firm. b. SVA-8121A - concerning individuals data required to be filled up for all the Directors, Proprietors, Partners in addition to the persons authorized to sign the correspondence. 4. It is expected that your firm would have a proper office with company’s sign board suitably displayed and telephone etc for ease of establishing contact and inspection etc. 5. Incomplete documents are sent back to the firm for completion. Firms are expected to resubmit complete documents within 3 months period otherwise registration case will be considered close. 6. On submission of papers by the firm, DGDP refers the case to Inspecting Authorities who issue detailed instructions for the inspection. Following main aspects are observed by the Inspecting Authorities: a. Ownership of work premises financial capability. b. Availability of machinery / source for material and technical / skilled labour. c. Testing facilities for quality control and productions / security aspects.

3   d. Warehouse and environmental conditions / security aspects.

(Note: Inspecting authorities are ITD Directorate, S&T Directorate, Med Directorate & RV&FC, depending on the nature of stores).

7. The registration fee Rs. 7500/- (Rs seven thousand five hundred only) should be deposited into the Government Treasury / State / National Bank of Pakistan and receipted copy of challan (in original) be attached with the registration proforma. The amount should be deposited under Major Head C02501-20, Main Head-12, Sub Head-A, Miscellaneous (Code Head 1/845/30). The amount is non refundable.

GENERAL INSTRUCTIONS FOR REGISTRATION OF AGENT FIRMS

1. General: Procurement of defence stores from foreign firms “Principals” through Pakistan based firms “Agent Firms” are allowed by the Govt. Agency firms are however, required to get themselves registered with this Directorate General for carrying out any business or dealing with Procurement Directorates. 2. Basis of Registration: a. Firms are registered on the basis of agency agreement concluded with their foreign principal’s. At least one valid agency agreement is mandatory for registration. b. There is no limit on number of principals. After the initial registration, the firms may subsequently get additional principals indexed at any stage. This process is termed as “Additional Indexation”. c. Firms are responsible to provide fresh agreement/revalidation certificate before the expiry date of the agreement. Firm’s indexation is considered suspended automatically on expiry of the agreement. At least on valid agency agreement is necessary for the firm to remain on registered list of DGDP. d. It is the responsibility of the firm to inform this Directorate General immediately on cancellation of its agency agreement by the principal. Failure to do so may entail cancellation of firm’s registration. 3. Guide Line for Preparation of Documents: a. Firms are required to provide following documents after obtaining from their Principals in original:- (1) Agency Agreement (please see paragraph 3c below. Please provide 1 original 3x photocopies). (2) Sole Export Right Certificate in case principal is stockist/supplier/exporter as per specimen attached as annex ‘G’ (Page-22). (3) Original Equipment Manufacturers (OEM) Certificate: In case your principal is not the original manufacturer of store and producing the items under license of an OEM, then he must provide a certificate from respective OEM, under which the principal has been authorized to manufacture stores/products under OEM’s Trade mark. (4) ISO Certificate: Only ISO certified Principals are entertained. b. Other Documents:- Details as per Annex “A”. c. The principal and the agent firm should both sign and affix their respective seals along with designation and name on the agreement (specimen attached as Annex ‘F’ (Page- 20). The agreement should cover the points given below:-

5   (1) The agreement should be printed on the letter head pad of the principal duly mentioned phone No and email address. (2) Validity period should be clearly mentioned in the agreement. Maximum of three years validity period is allowed. (3) If should be clearly stated in the agreement whether the principal is a manufacturer or an exporter. (4) In case the principal is an exporter or Trading house then Sole Export Rights Agreement between the principal and the manufacturer should also be provided (already referred in para 3a(2) above). (5) The agent firm should be granted in Pakistan, the sole agency with exclusive rights. (6) Product/stores should be listed in the agreement showing nomenclature, type and model of each item and product being offered in the agreement. (7) Rate of commission to be paid by principal to his agent is to be indicated in the agreement as per specimen. In case, the same is not mutually agreed at the stage of registration/indexation then it needs to be mentioned that “it would be declared at the time of signing the contract” and needful, should accordingly be done at contract stage. 4. Agent commission policy is at Annex ‘H’. It should also be seen by the principals, who should sign a copy of it and affix his seal. 5. Agency agreement submitted by the agent firms is required to be authenticated by the respective Embassy in Pakistan. On completion of this condition registration/indexation letter of the firm is issued by the registration section (DGDP). 6. Agency firms are required to provide a copy of agency agreement to the concerned Procurement Directorate/Officer as and when a contract is concluded.

Anx-H POLICY REGARDING-AGENT COMMISSION

1. Salient aspects of the Agent Commission Policy are as follows:- a. Agent will be registered / indexed with the DGDP on the basis of agency agreements, any other documents indicating the terms of employment of agents, clearly indicating the rate of commission with the foreign principals duly verified by the concerned Embassy in Pakistan. b. The agent will provide their National Tax Number at the time of registration/indexation to DGDP. c. While submitting the offer, the principal will indicate the following:- (1) Ex-factory value of the stores. (2) FOB value of the stores. (3) Percentage or amount of commission/or any other fee for services etc. d. Exact amount of agent commission as well as the National Tax No. of the agent will be reflected under Agency commission clause of the contract. Maximum allowed % of agent commission is subject to following rates:-

Agent Commission will be paid by the principal through the normal banking channels in local currency, under intimation to the contracting agency, CMA(DP), SBP and CBR. f. The SBP Karachi/Rawalpindi will also inform CBR of the payments of Agent Commission made to the local agents through normal banking channels, as soon as the payment are released. g. A Certificate (as per appendix-I) duly signed by the principal and local agent will be rendered that no remuneration, in case or kind has been/will be paid by him to any individual or party other than the commission allowed to the agent mentioned in the contract. The certificate will be countersigned by the DPS concerned. h. Authorized local agents will be allowed to attend the negotiations meeting on required basis. As the case may be.

In case the contract is concluded with the OEM/Principal directly without the involvement of local agent, a certificate at Appendix-II will be obtained and attached to the contract documents. 2. All the contracting agencies will inform Central Board of Revenue Pakistan about the particulars of the contract and agency commission agreed along with the full particulars of the agents in respect of all contract with in 30 days of signing. This will apply to all contracts signed on or after 1st April 1996.

Appendix-I CERTIFICATE

It is certified that no person, firm, corporation, subsidiary or entity in Pakistan or elsewhere shall

Directly or indirectly receive any rebate, bonus, commission, gift favour in caseh or in kind other than

the commission allowed to M/s (FULL NAME, TITLE OF THE COMPANY WITH ADDRESS), against

contract No. ________________ dated __________. In case it is discovered that the contents of this

certificate have been infringed/violated by the supplier, the purchaser will have the right to cancel the

contract and /or impose a penalty equal to 25% of the contract value.

kind over and above the contracted value has neither been paid nor shall be paid to any person, firm,

corporation, subsidiary or entity in Pakistan or elsewhere directly or indirectly. In case it is discovered

assignees the purchaser will have the right to cancel the contract and /or impose a penalty equal to

25% of the contract value.
