1.1 The Grantee will provid e the following serv ices and agrees to act in com pliance w ithall state and federal statutes and administrative rules applicable to the provision ofservices pursuant to this grant agreement a stated in the attached A ppendix A.

1.2 In connection with the services described in 1.1, the Departm ent will: providecounseling, technical support by the Medical Director of the Office of Health CareRegulation and supporting staff.2- Te rm : The period of this grant agreement is July 1, 2002 through June 30, 2003; however,

it may be terminated at any time during this period by either party upon w ritten notice to theother party thirty (30) calendar days prior to the actual termination date. Upon termination,the Grantee shall be paid for work satisfactorily completed prior to the date of termination.

A p p e n d i x APhase Two of this program will be the expansion of the Save A Life F oundation,Inc. on a statewide level. This implementation will require the following:The validation national framework of BELS against the existing SALF programs.The identification of the EMS Regions to be targeted for statewide expansion andthe establishment of Regional offices within those targeted EMS Regions.The formation of a state implementation strategic planning group made up ofrepresentatives from state agencies, state associations, and interested individuals.The identification of potential state and local sponsoring organizations for the stateexpansion program in the target states.The identification of comm unity leaders. These leaders will be assisted to supportthe introduction of the SALF programs in their community schools within thetargeted EMS Region.The identification of a cadre of potential instructors from various EMS healthcareagencies for inclusion as master trainers in the expansion process.The presentation of a master trainer course to the potential instructors included inthe expansion process.The support and monitoring of the master trainers as they train the trainers for thestatewide expansion proceslThe support and monitoring of the trainers as they begin to train the participants.The collection of data on each step of the project and a process for the continuationof data collection as an on-going activity, The development of a web base datacollection system in order to streamline collection process for accredit retrieval ofthe statistics.

The process for the identification of the target EMS Regions is in the process of beingcompleted. All 11 EM S Regions have received a letter from SAL F specifying SA LF 'sintention to expand statewide. Additionally, several individuals have contacted SALF ,representing their hospital EMS department and local sponsoring agencies that areinterested in the expansion of SALF into their EMS Region . Ad ditionally, letters havebeen sent to a number of individuals within state organizations, including the IllinoisMunicipal League, to evaluate that organization's interest in participating in the formationof the statewide expansion strategic planning group.Expansion SitesDuring Phase Tw o, the EMS R egion participating in the statewide expansion process w illbe formally selected. These EM S Regions will provide a representation of highly urban to

BASIC GRANT TERMS1 . Applicable Law: This grant agreement shall be governed in all respects by the law s of theState of Illinois. If any provision of this grant agreement is in conflict with any statu te, law,rule or regulation of any governmental entity, then such provision shall be deem ed null andvoid only to the extent of said conflict and without invalidating the remaining provisions

hereof.

2. Subcontractor: The Grantee will not utilize the services of a subcontractor to fulflll anyobligations under this grant agreement without the prior written consent of the Department.The Department reserves the right to review all subcontracts.3. Audit Requirements:

3.1 Local governm ents and Non-Profit Organizations: The Grantee is responsible formeeting the audit requirements of the Fiscal Control and Internal Auditing Act andfor compliance with OM B Circular A-133 to contract with an independent accountingfirm to perform an organization-w ide audit. The G rantee will provide a copy of theaudit to the Depa rtment. The Grantee will maintain com plete records of all services,receipts, and disbursements relative to this grant ag reement, insofar as such recordssupport the audit.3.2 All Gran tees: In addition to other requirements named herein, each Gran tee shall

maintain, for a minimum of 3 years after the completion of this grant agreement,adequ ate book s, records, and supporting docum ents to verify the amou nts, recipients,and uses of all disbursements of funds passing in conjunction with this grantagreement; this grant agreement and all books, records, and supporting documentsrelated to the grant shall be available for review and audit by the Department or theAud itor General; and the Grantee ag rees to coo pera te fully w ith any audit conduc tedby the Department or the Auditor General and to provide full access to all relevantmaterials. Failure to maintain the book s, records, and supporting docu men ts requiredby this Section shall establish a presumption in favor of the Department for therecovery of any funds paid by the Department under the grant agreement for whichadequate books, records, and supporting documentation are not available to supporttheir purported disbursement.

information acquired or produced pursuant to this grant without prior review and writtenapproval by the Department.7. Health I nsura nce P ortabili ty and Accountabili ty Act (HTPAA) Com pliance: Contractorshall comply with the applicable provisions of the Health Insurance Portability andAccountability Act ("HIPAA"), including, but not limited to statute, 42 USC 132d, andapplicable regulations, 45 CFR 160 and 45 CFR 164, as may be promulgated or amendedover time.8. Co nfi de nti alit y: The Gran tee agrees to protec t from any and all disclosure ail informationwhich identifies or which could lead to the identity of recipients of services provided pursuan tto this grant. If the Gran tee re ceives a request for information w hich may identify anindividual, the Grantee shall notify the Dep artment immediately. A request for informationincludes a subpoena, court order. Freedom of Information Act request or a request from aresearcher . Any issue whether information is or may be identifiable shall be resolved by theDepartment.9. Certifications.

9.1 Th e Grantee certifies that the Gran tee has not been: (i) convicted of bribery orattempting to bribe an officer or employee of the State of Illinois; (ii) made anadmission of guilt of such conduct which is a matter of record; nor (iii) has an official,agent, or employee of the Grantee committed bribery or attempted bribery on behalfof the Grantee and pursuant to the direction or au thorization of a responsible officialof the Grantee. (30 ILCS 500/50-5)

9.2 If the Gran tee is a charitable organization subject to the Charitable Trus t Act, (760ILCS 55 et seq.\ or the Solicitation for Charity Act, (225 ILCS 460 et seq.), theGrantee certifies that all information required by the statutes referenced herein hasbeen filed with the Illinois Attorney General.9.3 The Gran tee certifies that the Gran tee has not been barred from contracting with aunit of stats or local governm ent as a result of violation ofbid -rigging or bid-ro tatingprovisions in the Criminal Code of 1961. (720 ILCS 5/33E-3, 5733E-4, 5/33E-11)9.4 The Gran tee certifies that the Gran tee is not prohibited from selling goo ds or services

9.7 The Grantee certifies compliance with all provisions of the Drug Free W orkplace Act,(30 ILCS 580 ^.vcr/.).9.8 The Grantee certifies compliance with the Davis-Bacon Act in constru ction andmodification of buildings. (40 USC 276a)9.9 The Grantee certifies that the Grantee is not debarred , suspended, propo sed fordebarment, declared ineligible, or voluntarily excluded from participation in this grantagreement by any federal department or agency. (45 CFR 76)9.10 The Grantee certifies tha t neither it nor any substantially-ow ned affiliated companyis participating or shall participate in an international boycott in violation of theprovisions of the U.S. Export Administration Act of 1979 or the regulations of the

U.S. Department of Commerce promulgated under that'Act.9.11 The Gran tee certifies that he/she has informed the Departm ent in writing if he/she w asformerly employed by that Depa rtment and has received an early retirement incentiveunder Section 14-108.3 or 16-133.3 of the Illinois Pension Code. The Grantee

acknowledges and agrees that if such early retirement incentive was received, thisgrant is not valid unless the official executing the agreement h as made the approp riatefiling with the Auditor General prior to execution.9.12 The Grantee certifies that he/she meets the requirements of 775 ILCS 5/2-105, and

11.1 The Gran tee agrees to act in conformity with Article 2 of the Illinois Hum an RightsAct (775 ILCS 5/1-101) and with 44 IIl.Admin.Code 750. APP. A.11.2 The Gra ntee agrees to comply with the Federal Civil Rights Act of 1964, the Federal

Rehabilitation Act of 1973, the American with Disabilities Act, 42 U.S.C. 12101 etseq. and Rules 28 CFR 35.130 and all other federal and State of Illinois laws,regulations or orders which prohibit discrimination because of race, color, religion,sex. national origin, ancestry, age, m arital status, or physical or mental handicap. TheGrantee certifies that he/she will provide to the Department prior to executing thegrant the most recent Equal Employment Opportunity Policy Statement, AnnualAffirmative Action Plan and Workforce Analysis Summary as required to ensurecomp liance with Federal and State civil rights and the Am ericans with Disabilities Actof 1990.12. Fiscal Responsibility

12.1 The Dep artme nt may use the Co m ptro ller's Offset System to determine if any StateAgency is attempting to collect debt from a contractor, bidder, grantee, or otherproposed contracting party. (30 ILCS 210/5)12.2 No person shall submit a bid for or enter into a contract or grant with the Departm entif that person knows or should kno w that he or she is delinquent in the payment o f anydebt to the State, unless the person has entered into a deferred payment plan to payoff the debt. For purp oses of this Section, the phrase "delinquent in the paym ent ofany deb t" shall be determined by the Debt Collection Boa rd. (30 ILCS 500/5 0-11 )12.3 Every bid submitted to, or contract or grant executed by the State shall contain a

certification by the bidder or grantee that the grantee is not barred from beingawarded a contract or grant under this Section and that the contractor or granteeacknowledges that the ^Department may declare the contract or grant void if thecertification is false.

These indemnities shall contin ue in full force and effect subsequentto and notwithstanding the termination of this contract. Grantee shall not prejudice theDepartment's right to recover against third parties for any loss, or damage to Departmentproperty, and shall at the Department's request and expense furnish reasonable assistance,including assistance in the prosecution of suit to obtain recovery. The Gran tee shall, at itsexpense, pay the co sts of defense of the Department against all claims asserted by any personthat anything provided by Grantee infringes a patent copyright, trade secret or otherintellectual property right and shall without limitation pay the costs damages and atto rney 'sfees awarded against the Department in any such action, or pay any settlement of such actionor claim. The Department assumes no liability for actions of Grantee and is unable toindemnify Grantee for claims based on this grant Any liability for damages that theDepartment might have is expressly limited by and subject to the provisions of the IllinoisCourt of Claims Act (705 ILCS 505/1) and the availability of suitable appropriations.

14. In su ra nc e: If the Grantee's cost of property and casualty insurance increases by 25% ormo re or if new state regulations impose additional co sts to the Grantee during the term of thisgrant agreement, then the Grantee may request the Department to review this grantagreement and adjust the compensation or reimbursement provisions thereof in accordancewith any agreement reached, all of which shall be subject to the limitations of theDep artmen t's appropriated funds. The Grantee agrees to comply with the requirements of theDepartment of Central Management Services promulgated in Government Contracts,Procurement, and Property management, 44 IH.Admin.Code Part 1.

15. W aiv er: No delay or omission by any party in exercising any right, pow er, or privilegehereunder shall impair such right, power or privilege, nor shall any single or partial exerciseof any such right, pow er or privilege preclude any further exercise thereof or the exercise ofany other right, power or privilege.16. A m en dm en ts: This grant agreement may not be amended without prior written approval ofboth the Grantee and the Department.17. A ssig nm ent : The Grantee understands and agrees that this grant agreement may not be sold,assigned, or transferred in any manner and that any actual or attempted sale, assignment, ortransfer without the prior written approval of the Department shall render this grant

Default: If the Grantee breaches any material term, condition, or provision of this grantagreement, the Department may. terminate the grant agreement upon 15 days prior writtennotice to the Grantee . In the event of any wron gdoing or illegal act by the Gran tee, the grantagreement is immediately terminable by the Department. This remedy shall b? in addition toany other rem edies available to the Departm ent in law or in equity. Gran tee agree s to pay allreasonable expenses incurred by the Department, including attorney fees if the Departmentprevails in an action to enforce or defend this grant agreement.21 . Further Assurances: Each party hereto agrees to do such further acts and things, and toexecu te and deliver such additional a greem ents and instruments, as any party may reasonablyrequest of the other in order to carry out the provisions and purpose s of this grant agreem entor any agreements related hereto.22 . Funds Rem aining: All funds remaining at the end of the grant agreement or at the expirationof the period of time grant funds are available for expenditure or obligation by the Grantee

shall be returned to the Department within .45 days. (30 ILCS 705/5)23 . Controlling Terms: In the event of any conflict between the Basic Grant Terms and termsof any appendix, exhibit and or other attachment or matter incorporated herein or referencedherein, the Basic Grant Terms shall be controlling.24. Headings: The headings of the sections and paragraphs are inserted for convenience onlyand shall not control or affect the m eaning or construction of any of the provisions of this

grant agreement.25 . En tir e Ag reem ent : The Grantee and the Department understand and agree that this grantagreement constitutes the entire agreement between them and that no promises, terms, orconditions not recited herein or incorporated herein including prior agreement or oraldiscussions or referenced herein shall be binding upon either the Grante e or the D epartm ent.
