Negotiating the Indonesian legal landscape has its challenges.Regulations are often implemented with little marketconsultation and material transactions regulations issued byBapepam (Indonesia’s securities regulator) affect internationalbond offerings. The rule stating that any offering that is over50% has to be approved by shareholders (who must haveseveral weeks notice of a meeting) is proving particularlyproblematic.

More bad news for bonds present themselves in Bapepam’sregulations on withholding tax, as tax treaties have been rulednot to apply to special purpose vehicles (SPVs). Rules on taxtreaties around commercial activities have been altered byIndonesia’s tax authorities, making it more difficult forcorporates to take advantage of such treaties.

Corruption in Indonesia is well documented, but thegovernment is working to eradicate this and the corruptioncommission (KPK) is feared in the business and legalcommunities.

Ensuring agreements are enforced remains a crucial issue anddrafting documents in Bahasa is a sensible option as courtswill only consider Indonesian language version of documentsin deals.

There is an increasing amount of foreign investor interest inIndonesia. The domestic economy is of particular interestacross many sectors and, although foreign ownershipregulations remain restrictive, foreign investment opportunitiesare presenting themselves.

In addition, equity capital markets are bouncing back. TheIndonesia Stock Exchange has recently said it expects 25 initialpublic offerings (IPOs) by the end of 2010, in comparison tofour during the first six months of the year and just 13 overall in2009. International debt offerings are relatively modest,however, with low market confidence. High yield has felt riskyto investors and several planned offerings have been pulled orpostponed.

M&A deals are becoming more strategic and the pathwaybetween Indonesia and China is particularly interesting as isinbound M&A into the country. Private equity deals such asCVC/Matahari are creating a stir and acting as a driver forinvestment.
