INVITATION FOR EXPRESSION OF INTEREST
It is notified for general information that the Government of Sikkim hereby invites
Expression of Interest /Tender from the interested and eligible firms/companies registered under
the law for the time being in force in Sikkim for selection and appointment of Marketing
Agents(s)/ Distributor(s) for marketing and sale of 08 (eight) Paper Lottery Schemes conducted
by the State of Sikkim under the Lotteries (Regulation) Act, 1998 and the Lotteries (Regulation)
Rules, 2010.
The terms and conditions of the tender shall be as under:-
1. The Application Form along with Tender Document containing the detailed terms and
conditions of the tender may be obtained from the Office of the Director, Sikkim State Lotteries,
Government of Sikkim, Baluwakhani, Gangtok – 737101 during office hours from 17/11/2014 to
17/12/2014 on payment of a non-refundable amount of Rs. 1,00,000/- (Rupees one lakh) only as
application fee by Demand Draft to be drawn on any Scheduled/Nationalized Bank having its
branch at Gangtok in favour of the Director, Sikkim State Lotteries, Gangtok.
2. The duly filled up Application Form along with all the requisite certificates/documents
shall be submitted in sealed cover(s) in the Office of the undersigned during office hours on or
before 17/12/2014 (till 12.00 Noon). The Applications received after 12.00 Noon on 17/12/2014
shall not be entertained.
3. The Tender Application should be accompanied by a refundable Earnest Money Deposit
(EMD) of Rs. 2.50 crore only by Demand Draft to be drawn on any Scheduled/Nationalized Bank
having its branch at Gangtok in favour of the Director, Sikkim State Lotteries, Gangtok.
4. The sealed tender documents received shall be opened on the same day i.e. 17/12/2014
(at 2.00 pm and onwards) in the presence of Bidders or their representatives who may wish to be
present.
5. The selected Marketing Agent/Distributor shall start the actual operation of lottery draws
w.e.f. 01/02/2015.
6. The tenure of contract shall be for a period of 5 (five) years from the date of execution of
Agreement which will be in line with the Model Agreement circulated by the Ministry of Home
Affairs, Government of India vide their letter No. V-17013/1/2010-CSR-I dated 28th December,
2011.

SECTION “A”
INSTRUCTIONS TO THE TENDERERS / BIDDERS
1. JOB CONTENTS:
* The Distributorship of 08 (eight) Paper lotteries of the Government of Sikkim.
*The sale of paper lottery tickets under various schemes conducted by the
Government of Sikkim.
*The guarantee of assured amount of Government revenue per draw by the
Distributor.
2. ELIGIBILITY CONDITIONS:-
(i). Technical:
(a) The tender form/documents shall be issued only to registered firms/proprietorship
concerns/companies registered/Partnership firms registered under the law for the
time being in-force in Sikkim on production of proof thereof.
(b) The tenderer should be bonafide Marketing Agent(s)/Distributor(s)/Bulk Agents
of sound financial standing having sufficient experience of at least 5 (five) years
in the lottery business. A documentary proof in this regard is to be submitted.
(c) The tenderer shall have carried out similar jobs of paper Lotteries (i.e. sale of
weekly and bumper lotteries) continuously for 2 (two) or more years in the last 05
(five) years and should have distributorship of atleast one state currently.
(d) The legal status of the tenderer, whether it is sole proprietorship, private limited
company, partnership firm or otherwise should submit documentary proof along
with the bid.
(e) Any party willing to be present in the opening of the bid documents may do so
with proper authorization letter duly issued by the authorized signatory of the
Company/Firm/Body/Individual or other Legal entities.
(f) The tenderer must be capable of commencing the operations with effect from the
date stipulated in Notice Inviting Tender.
(g) Any other terms and conditions as the State Government may deem fit and proper
to specify.
(h) The State Government reserves the right to reject all or any of the tenders
without assigning any reasons thereof.
(ii) Financial:
(a) The Firm/Company should be an Income Tax Assessee and have a valid
permanent PAN/TAN number issued by the Income Tax Department,
Government of India.
(b) The Firm/Company shall furnish Income Tax clearance certificate or return
acknowledgement copy from the Income Tax Department, Government of India
for the last 5(five) years.

(c) The Firm/Company shall furnish balance sheet for the last 5 (five) years duly
certified by a registered Chartered Accountant.
(d) The Firm/Company shall furnish clearance certificate from the other Lottery
Organizing States wherever they are having distributorship.
(e) The tenderer shall deposit earnest money as specified by the State Government.
The earnest money so deposited shall be forfeited in case the successful tenderer
fails to execute the agreement within the stipulated time.
(f) Neither the company nor its Director(s) should have been declared insolvent in
the preceding 5 (five) years from the date of application.
(g) The Firm/Company/Director(s) should not have been blacklisted by any State
Government or should not have been declared defaulter of Income Tax or other
applicable taxes, etc.
(h) The Firm/Company or Director(s) shall furnish refundable Earnest Money of Rs.
2.50 crore only by demand draft to be drawn on any Scheduled/Nationalized Bank
having its branch at Gangtok in favour of the Director, Sikkim State Lotteries at
the time of application failing which the bid shall be summarily rejected.
(i) Marketing Agents having any outstanding liabilities towards sale proceeds on
lottery, prize money or other dues towards the Government of Sikkim shall not be
allowed to participate in the bid.
(j) All statutory taxes, duties and charges including State Sales Tax and VAT
imposed by the State Government under whose jurisdiction the Sikkim State
Lottery tickets are being sold shall be borne and paid by the Distributor /
Marketing Agent.
(k) Minimum Assured Revenue to the Government should not be less than Rs. 15.00
crores (fifteen) per annum for marketing of 08 (eight) Paper lotteries schemes.
(l) The successful bidder should furnish an unconditional and irrevocable Bank
Guarantee of Rs. 20.00 (twenty) crores to the Government of Sikkim for a
Scheduled/Nationalized Bank having its Branch at GANGTOK drawn in favour
of Director, Sikkim State Lotteries, Government of Sikkim, Gangtok before the
commencement of lottery draws.
(m) The Bank Guarantee of the selected party shall be released only after 06 (six)
months beyond the entire period of distributorship as specified in the agreement
after adjusting the Government dues.
3. CONDITIONS OF CONTRACT:
(1) A separate agreement shall be executed between the State Government and the
selected Marketing Agent/Distributor with specified terms and conditions.
(2) The selected Marketing Agent/Distributor shall start the actual operation of lottery
draws w.e.f. 1st February, 2015 failing which the appointment shall stand
terminated.
(3) The tenure of the agreement shall be for a period of 5 (five) years from the date of
execution of agreement.
(4) The Firm/Company should strictly abide by the Lotteries (Regulation) Act, 1998
and Lotteries(Regulation) Rules, 2010 and other subsequent Rules and
Regulations framed by the Central/State Government from time to time while
marketing the Sikkim State lottery schemes.

(5) The Distributorship shall not be transferable under any circumstances
4. CONDITIONS FOR SELECTION:
(1) The bid shall be opened by a Committee constituted for the purpose in the
presence of the bidders or their authorized representatives who may wish to be
present.
(2) The said Committee reserves the right of selection/rejection of the bid on the
basis of requisite qualifications. In any case, the decision of the Government
shall be final and binding.
(3) The offers received after the prescribed time or without earnest money or requisite
documents shall be considered invalid. Any conditional/incomplete tender shall
be rejected.
(4) This correspondence does not entitle or confer any right of selection of the
applicant/party.
(5) Failure to meet any of the terms and conditions so prescribed in the tender
documents shall be rejected.
5. DATE AND TIME OF ISSUE OF TENDER DOCUMENTS.
The complete Tender Documents may be obtained from the Office of the
Director, Sikkim State Lotteries, Gangtok – 737101, during office working hours
from 11.00 am to 4.00 pm w.e.f. 17/11/2014 on payment of a non-refundable
amount of Rs. 1,00,000/- (Rupees One Lakh) only in the form of Demand Draft to
be drawn on any Scheduled/ Nationalized Bank having its Branch at Gangtok in
favour of the Director, Sikkim State Lotteries, Gangtok.
6. PROCEDURE & DOCUMENTS TO BE ENCLOSED.
(i) The completed bid will be received in two parts in two different sealed covers
marked as “TECHNICAL BID” and “FINANCIAL BID”. These two covers shall
be sealed and kept in another sealed cover duly superscribing “BID
DOCUMENTS FOR 08 (EIGHT) PAPER LOTTEREIS OF GOVERNMENT OF
SIKKIM” and shall be addressed to the Director, Sikkim state Lotteries,
Government of Sikkim, Gangtok with full address of the bidders.
(ii) Each and every page of the documents from section “A” to section “E” must be
signed by the bidder and should be accompanied by the following documents duly
attested by a Class-I Officer of the State/Central Government or any 1st Class
Magistrate/Notary/Other Commissioner except those documents which are
mandatory to be submitted in original.
(a) No Dues Certificate issued by the concerned Organizing State(s) in
original where the Company/firm distributes lotteries or had been
operating lotteries in the past.
(b) No Objection Certificate issued by the Organizing State(s) in original with
attested copies of valid Agreement(s) if the company/firm is currently
operating lotteries as a Distributor.
(c) Memorandum and Articles of Association of the Firm/Company (attested
copy).

(d) 04 (four) colored recent passport size photos of the Director/
Manager/Head of the Company duly attested by a Notary or Oath
Commissioner.
(e) Photocopy of Voter/ Ration Card of the Director/ Manager/ Head of the
Company duly attested by a Notary/Oath Commissioner. (attested copy).
(f) Documentary proof of registration of the company/ firm duly attested by a
Notary/ Oath Commissioner.
(g) Income tax returns for the last 5 (five) years duly certified by the Income
Tax Department.
(h) Company’s balance sheet of annual turnover for the last 5 (five) years
certified by a registered Chartered Accountant.
(i) Non-refundable application fee of Rs. 1,00,000/- (Rupees One Lakh) only
payable to ‘The Director Sikkim State Lotteries, Gangtok, Sikkim by
Demand Draft.
(j) Refundable Earnest Money Deposit of Rs. 2.50 crore by Demand Draft
drawn on any Scheduled/Nationalized Bank having its office at Gangtok,
in favour of The Director, Sikkim State Lotteries, Gangtok.
(k) Affidavit containing Power of Attorney to sign the Tender documents on
behalf of the Partnership/ Firm or Company.
(l) Details of the infrastructure along with the location and addresses of work
sites/ offices including the professionals associated with or to be
associated with the Distributorship.
(m) The Undertaking at Annexure-D should be countersigned by a Magistrate/
Notary/ Oath Commissioner.
(n) All other relevant documents as prescribed in the Tender form.
(o) The assured revenue of Government per draw by the Distributor should be
quoted both in figures and in words. There should be no overwriting.
Corrections if any should be authenticated under the full signature of the
Tenderer. In case of any discrepancy between figures and words, the
amount quoted in words shall be taken to be correct.
7. SUBMISSION OF TENDER BIDS:-
The bid should be addressed and submitted personally or by registered post/
courier to the Director, Sikkim State Lotteries, Government of Sikkim,
Baluwakhani, Gangtok – 737101 during office hours.
8. THE LAST DATE AND TIME OF RECEIPT OF TENDER.
The last date and receipt of Tenders is on or before 17/12/2014 (till 12.00 noon).
9. THE DATE AND TIME FOR THE OPENING OF TENDER
The Bids will be opened on 17/12/2014 at 2.00 PM in the office of Director,
Sikkim State Lotteries, Government of Sikkim, Baluwakhani, Gangtok-737101 by
the tender committee in the presence of the Bidders or their authorized
representatives who may wish to remain present.

10. EARNEST MONEY DEPOSIT:
(1) The completed bid documents must be accompanied by an Earnest Money
Deposit (EMD) of Rs. 2.50 crore in the form of a Demand Draft drawn on any
Scheduled/Nationalized Bank having its Branch at Gangtok in favour of the
Director, Sikkim State Lotteries, Gangtok, Sikkim.
(2) EMD shall be refunded if the firm / company is not selected.
(3) EMD shall be adjusted against their security deposit/ Bank Guarantee if the Firm/
Company is selected.
(4) No interest shall be payable on the amount of EMD for its retention by
Government of Sikkim during the bid period.
(5) EMD shall be forfeited:
(a) If the bidder withdraws the bid before completion of the entire process of
selection.
(b) If the selected bidder fails to accept the distributorship.

SECTION “B”
OTHER TERMS AND CONDITIONS OF THE CONTRACT.
1. INFORMATION ABOUT THE TENDER:
(a) The Tender Document consists of Sections ‘A’ to ‘E’ the contents of which are
given at the beginning under the heading ‘TABLE OF CONTENTS’. The
bidders are requested to carefully go through each and every Clause / Sub-clause
of the terms and conditions contained in each of the Sections of the Tender
Document.
(b) For the purpose of the Agreement to be executed, the clauses and Sub-clauses of
all the Sections namely Section ‘A’, Section ‘B’, Section ‘C’, Section ‘D’ and
Section ‘E’, shall deemed to be a part of the Agreement between the Government
of Sikkim and the successful Bidder and shall be binding on both the parties.
(c) Notwithstanding the provisions of the Agreement to be executed between the
Marketing Agent and the Government of Sikkim, any conditions subsequently
stipulated by the Government of Sikkim or the Government of India or the Court,
in pursuance and conformity with relevant laws and rules, as maybe in force from
time to time, shall be binding upon the Marketing Agent and shall be deemed to
have been incorporated in the terms and conditions, abinitio.
(d) The Director, Sikkim State Lotteries, Government of Sikkim reserves the right to
add / delete / modify any clause / sub-clause of the Tender Document as may be
required in the public interest or in compliance with the orders of Court or other
statutory authorities at any stage of the tender process.

SECTION “C”
(PROFORMA FOR BANK GUARANTEE)
This Deed of Guarantee is made on this the …….. day of ……………. in the
Calendar year 2015 by …………………….. (Name and Address of the Bank) having its
registered office at……………….., hereinafter referred to as the “BANK”, (which
expression shall unless excluded by or repugnant to the context include its successors or
assigns) in favour of the Director, Sikkim State Lotteries, Government of Sikkim,
Gangtok (which expression shall unless excluded by or repugnant to the context include
its successors or assigns).
Whereas Director, Sikkim State Lotteries, Government of Sikkim,, has accepted
the bid of ……………..(hereinafter referred to as the “Marketing Agent /Distributor”) to
be its Marketing Agent /Distributor for the sale of tickets of the 08 (eight) Paper Lottery
Schemes organized by the Government of Sikkim and an agreement to that effect was
executed on…………… and registered vide registration No……………….
And whereas the said agreement provides that the Marketing Agent/Distributor
shall furnish an unconditional and irrevocable Bank Guarantee amounting to
Rs…………… only to secure performance of obligations over the period of 5 (five) years
and 6 (six) months thereafter as per the terms and conditions of the agreement;
And whereas at the request of the Marketing Agent/Distributor, the Bank has
agreed to execute these presents.
NOW THIS DEED WITNESSE AND IT IS HEREBY AGREED AND DECLARED BY
AND BETWEEN THE PARTIES HERETO AS FOLLOWS:-
(1) That the Bank hereby agrees and undertakes that, in the opinion of the Secretary
Finance, revenue & Expenditure Department Government of Sikkim, Gangtok, if any
default is made by the Marketing Agent/ Distributor in performing any of the terms and
conditions of the Agreement, then, on notice to the Bank by the Director, Sikkim State
Lotteries, Government of Sikkim, the Bank shall merely on demand and without demur
and without reference to the Marketing Agent/Distributor immediately pay to the
Director, Sikkim State Lotteries, Government of Sikkim, in any manner in which
directed, the said amount of Government revenue involved.
(2) The parties further agree that the liability of the Bank to pay is not dependent or
conditional upon or in any manner affected by any proceeding or claim being raised by
the Director, Sikkim State Lotteries, Government of Sikkim, and may even be invoked
before any legal proceedings are taken against the Marketing Agent/Distributor.

(3) That on the receipt of the demand for payment of the amount as aforesaid will not
be opened to the Bank to challenge the said demand on any ground whatsoever, including
the reason of default, and as to the amount of guarantee or part thereof remaining payable
under the agreement, such demand of the Director, Sikkim State Lotteries, Government
of Sikkim shall be final and binding on the Bank as well as the Marketing Agent/
Distributor for the purpose of invocation of this Bank Guarantee.
When such notice is received, it shall be treated as a notice in accordance with the terms
and conditions of this Bank Guarantee.
(4) That Director, Sikkim State Lotteries Government of Sikkim,, without reference
to the Bank and also without affecting this Bank Guarantee shall have the liberty to
postpone for any time or from time to time the exercise of any of the powers and rights
conferred on the Director, Sikkim State Lotteries, Government of Sikkim, under the
agreement with the Marketing Agent/Distributor.
(5) That the right of Director, Sikkim State Lotteries, Government of Sikkim, to
recover the amount from the Bank in the manner aforesaid will not be affected or
suspended by reason of the fact that any dispute or disputes are pending before any
Officer, Tribunal or Court.
(6) That the Bank Guarantee herein contained shall not be determined or affected by the
liquidation or winding up, the dissolutions of change of constitution or insolvency of the
said Marketing Agent/Distributor but shall in all respects and for all purposes be binding
and operative until payment of all moneys due to the Director, Sikkim State Lotteries,
Government of Sikkim in respect of such liability or liabilities.
(7) That the liability of the Bank under this Bank Guarantee is restricted to Rs. 20 crores
only. The Bank Guarantee shall remain in force and until the entire period of the
Agreement and 6 months thereafter upto i.e. till……………… ………and unless any
demand or claim under this Bank Guarantee is / are made on or by the said date in terms
hereof, all the rights of the Director, Sikkim State Lotteries, Government of Sikkim,
under the said guarantee shall be forfeited and the Bank shall be relieved and discharged
from all liabilities thereunder.
Provided however, if for any reason the Director, Sikkim State Lotteries,
Government of Sikkim, makes a demand within this period to the Bank to keep the Bank
Guarantee alive for a further period, the Bank shall have no right to question such a
demand made and the same shall be final and binding upon the Bank.
(8) The Bank undertakes not to revoke the Bank Guarantee during its currency except
with the previous express consent of the Director, Sikkim State Lotteries, Government of
Sikkim.
(9) That the Bank declares that it has the power to issue this Bank Guarantee in favour of
the Marketing Agent/Distributor under its memorandum and articles of association and
the undersigned has the full powers to execute it under the Power of Attorney dated
……….. granted to him by the Bank.

(10) That the Director, Sikkim State Lotteries, Government of Sikkim, shall be the
authority to invoke the Bank Guarantee.

the time being in-force in Sikkim shall be abide by the existing rules and regulations
notified by the Government of India/Government of Sikkim and also such circulars,
orders, notifications, press released, instructions, etc. as may be issued from time to time.
2. That my/our Company/Partnership/Firm shall agree to execute and sign such
deeds, documents, agreements, bonds or undertakings as required by the Government of
Sikkim from time to time in terms of operating the Sikkim State Lotteries. My
Company/Firm shall follow and comply with such orders or instructions, be they in the
nature of penalty or otherwise in the event of committing any violation.
3. If my/our Company/Partnership/Firm is selected for distributorship of Sikkim
State Lotteries, a Central Server (or Mirror Server for Online Lottery only) shall be
installed in the office of the Director, Sikkim State Lotteries, Baluwakhani, Gangtok
before commencement of lottery draws,. I/we shall maintain a dedicated website for
Sikkim State Lotteries (this will be applicable for online lotteries only).
4. I/We shall provide our best services to earn revenue to the State of Sikkim
promoting Sikkim State Lotteries in all feasible markets. All the applicable software,
machinery and equipments so involved in the operation shall be maintained in good
working conditions at all times by regularly servicing and replacing the obsolete technical
parts.
5. That, the terms and conditions prescribed by the Government of Sikkim in the
Tender papers have been fully understood by me/my Company/Partnership/Firm.
Therefore, incase of non-selection of my Company/Partnership/Firm for the
distributorship of Sikkim State Lotteries, I/we shall not resort to legal action directly or
indirectly.
6. I/We undertake to furnish a security deposit in the form of Bank Guarantee of Rs.
20 Crores from any Scheduled/Nationalized Bank having its branch office in Sikkim, if
my/our company is selected for distributorship.
7. I/We enclose herewith D.D. No…….dated….. for Rs 1 (one) lakh (rupees one
lakh) only payable to the “Director, Sikkim State Lotteries, Government of Sikkim,
Gangtok as non-refundable application fee.

8. I/We enclose herewith D.D. No……….dated…….. for Rs. 2.50 crore in favour of
Director, Sikkim State Lotteries, Government of Sikkim, Gangtok as an Earnest Money
deposited (EMD) which shall be refunded to me if my Company/Firm is not selected.
The same may be adjusted against my/our security deposit/ Bank Guarantee if my/our
Firm/Company is selected. No interest is payable on the amount of the EMD for its
retention by Director, Sikkim State Lotteries, Government of Sikkim during the bid
period.
The EMD may be forfeited:-
(a) If I/we withdraw the bid before completion of the entire process of selection.
(b) incase of my/our selection, if I/we fail to accept the Distributorship.
9. In the event of any differences or disputes arising between our company/Firm and
the Department /Government of Sikkim, the decision of the Government shall be
accepted as final and binding.
10. I/We understand that the Government of Sikkim reserves the right to accept or
reject my/our proposal without assigning any reason thereof.
