존경하는 주주 여러분!

항상 지투알과 지투알 계열회사에 변함없는 관심과 성원으로 격려해주시는 주주 여러분께 모든 임

직원을 대표하여 깊은 감사를 드립니다.

2011년 국내 광고시장은 글로벌 금융 위기와 내수 시장의 소비여력 저하에도 불구하고, 총 광고비

가 약 9% 성장하여 9조 원을 상회하는 것으로 추정되고 있습니다. 지난해 국내 광고시장이 성장할

수 있었던 원동력은 무엇보다 디지털 미디어 광고시장의 비약적인 성장입니다. 스마트폰 이용자

2,000만 명 시대의 도래와 함께 모바일 메신저, 소셜 네트워크 서비스, 모바일앱 등 다양하고 새로

운 광고 플랫폼이 등장함에 따라 증강현실 광고와 소셜 무비 등 새로운 형태의 마케팅 툴이 활성화

된 것이 광고시장 성장을 이끌었습니다. 아울러 방송광고시장에도 많은 변화가 있었습니다. 특히 종

편사 출범 및 간접광고와 가상광고의 본격화 등으로 인한 케이블TV 시장의 확대가 지난해 방송광

고시장의 큰 성장 요인이 되었습니다.

2011년 지투알은 임직원 모두의 노력에 힘입

어 취급고 9,170억 원을 달성함으로써 전년

대비 약 17% 성장하는 성과를 거두었습니다.

이는 기존 광고주의 만족도 제고를 통해 주요

Clients를 수성하고, 신한금융지주, STX,

KB, 핵안보정상회의 등 대형 신규 광고주 개

발을 이뤄냈기에 가능했습니다.

또한, 당사 크리에이티브의 우수성도 국내외

적으로 호평을 받은 한 해였습니다. 국내 최

고 권위의 대한민국광고대상과 서울영상광

고제 TVCF 어워즈 등에서 주요 상을 휩쓴

대한항공 광고 캠페인을 비롯해 ‘3D War’

로 불리며 전자업계의 최대 관심사로 떠올랐

던 LG전자 3D 캠페인 광고의 뉴욕페스티벌

파이널리스트 수상, 소비자가 뽑은 좋은 광고

상에서 ㈜LG의 ‘사랑해요 LG’ 광고가 TV부

문 대상을 수상한 사례 등은 광고 품질을 위해

끝까지 최선을 다 하는 노력이 이뤄낸 영예스

러운 결실입니다.

Glocalization의 실질적인 원년이 될 수 있도록 모든 역량을 집중할 계획입니다. 국내 광고시장의

성장 한계를 극복하기 위해서 이제 광고대행 역량의 글로벌화는 꼭 실현해야 할 목표가 되었습니다.

지투알은 지난 수년간 글로벌 네트워크 구축에 꾸준히 투자하며, LG의 글로벌 마케팅 파트너로서

의 본격 도약을 준비해 왔습니다. 올해는 이 같은 기반을 바탕으로 글로벌 광고대행을 회사 성장의

2012년은 지난해 말 등장한 종편과 미디어렙법 통과에 따른 방송매체 대행 환경의 변화, 총선과 대

감사위원회의 감사보고서

본 감사위원회는 제28기 사업년도(2011년 1월 1일부터 2011년 12월 31일까지)의 회계 및 업무에 관한 감사를 실시하고

그 결과를 다음과 같이 보고합니다.

1. 감사방법의 개요

회계감사를 위하여 회계에 관한 장부와 관계서류를 열람하고 재무제표 및 동 부속명세서를 검토하였으며 필요하다고

인정되는 경우 대조, 실사, 입회, 조회, 기타 적절한 감사절차를 적용하였습니다.

업무감사를 위하여 이사회 및 기타 중요한 회의에 출석하고 필요하다고 인정되는 경우 이사로부터 영업에 관한 보고를

받았으며, 중요한 업무에 관한 서류를 열람하고 그 내용을 검토하는 등 적절한 방법을 사용하였습니다.

2. 대차대조표 및 손익계산서의 표시에 관한 사항

대차대조표와 손익계산서는 법령 및 정관에 따라 회사의 재산 및 손익상태를 적정하게 표시하고 있습니다.

3. 이익잉여금처분계산서에 관한 사항

이익잉여금처분계산서는 법령 및 정관에 적합하게 작성되어 있습니다.

4. 영업보고서에 관한 사항

영업보고서는 법령 및 정관에 따라 회사의 상황을 정확하게 표시하고 있습니다.

본 감사인은 첨부된 주식회사 지투알의 2011년 12월 31일과 2010년 12월 31일 현재의 재무상태표와 2011년 12월 31일

과 2010년 12월 31일로 종료되는 양 회계연도의 포괄손익계산서, 자본변동표 및 현금흐름표를 감사하였습니다. 이 재무

제표를 작성할 책임은 회사 경영자에게 있으며 본 감사인의 책임은 동 재무제표에 대하여 감사를실시하고 이를 근거로

이 재무제표에 대하여 의견을 표명하는데 있습니다.

본 감사인은 한국의 회계감사기준에 따라 감사를 실시하였습니다. 이 기준은 본 감사인이 재무제표가 중요하게 왜곡표시

되지 아니하였다는 것을 합리적으로 확신하도록 감사를 계획하고 실시할 것을 요구하고 있습니다. 감사는 재무제표상의

금액과 공시내용을 뒷받침하는 감사증거에 대하여 시사의 방법을 적용하여 검증하는 것을 포함하고 있습니다. 또한 감사

는 재무제표의 전반적인 표시내용에 대한 평가 뿐만 아니라재무제표 작성을 위해 경영자가 적용한 회계원칙과 유의적

회계추정에 대한 평가를 포함하고 있습니다. 본 감사인이 실시한 감사가 감사의견 표명을 위한 합리적인 근거를 제공하

고 있다고 본 감사인은 믿습니다.

본 감사인의 의견으로는 상기 재무제표는 주식회사 지투알의 2011년 12월 31일과 2010년 12월 31일 현재의 재무상태와

2011년 12월 31일과 2010년 12월 31일로 종료되는 양 회계연도의 재무성과 및 현금흐름의 내용을 한국채택국제회계 기

준에 따라 중요성의 관점에서 적정하게 표시하고 있습니다.



이 감사보고서는 감사보고서일(2012년 3월 8일)현재로 유효한 것입니다. 따라서 감사보고서일 이후 이 보고서를 열람하는 시점까지의 기간 사이에 첨부된 회사의 연결재무제표에 중대한 영향을 미칠 수 있는 사건이나 상황이 발생할 수도있으며 이로 인하여 이 감사보고서가 수정될 수도 있습니다.


다음은 감사의견에는 영향이 없지만 감사보고서 이용자의 합리적인 의사결정에 참고가 되는 사항입니다.

(1) 종속기업의 사업철수 및 매각결의

재무제표에 대한 주석 35에서 설명하고 있는 바와 같이, 회사는 2010년 11월 5일 이사회에서 종속기업인 주식회사 지아

웃도어와 주식회사 벅스컴애드에 대한 사업철수를 결의하였습니다. 상기 2개사에 대한 종속기업투자는 기업회계기준서

제1105호 (매각예정비유동자산과 중단영업)에 따라 매각예정비유동자산으로 분류하였습니다.

(2) 특수관계자와의 거래

재무제표에 대한 주석 34에서 설명하고 있는 바와 같이 회사는 당기 중 특수관계자와의 거래가 발생하였으며, 당기말

현재 관련 채권ㆍ채무가 존재하고 있습니다.

연결외부감사인의 감사보고서

본 감사인은 첨부된 주식회사 지투알과 그 종속기업의 2011년 12월 31일과 2010년 12월 31일 현재의 연결재무상태표와

2011년 12월 31일과 2010년 12월 31일로 종료되는 양 회계연도의 연결포괄손익계산서, 연결자본변동표 및 연결현금흐름

표를 감사하였습니다. 이 연결재무제표를 작성할 책임은 회사 경영자에게 있으며 본 감사인의 책임은 동 연결재무제표에

대하여 감사를 실시하고 이를 근거로 이 연결재무제표에 대하여 의견을 표명하는데 있습니다.

이 감사보고서는 감사보고서일(2012년 3월 8일)현재로 유효한 것입니다. 따라서 감사보고서일 이후 이 보고서를 열람하는 시점까지의 기간 사이에 첨부된 회사의 연결재무제표에 중대한 영향을 미칠 수 있는 사건이나 상황이 발생할 수도있으며 이로 인하여 이 감사보고서가 수정될 수도 있습니다.


다음은 감사의견에는 영향이 없지만 감사보고서 이용자의 합리적인 의사결정에 참고가 되는 사항입니다.

(1) 종속기업의 사업철수 결의 및 매각 등으로 인한 중단영업 표시

연결재무제표에 대한 주석 38에서 설명하고 있는 바와 같이, 회사는 2010년 11월 5일 이사회에서 종속기업인 주식회사

지아웃도어와 주식회사 벅스컴애드에 대한 사업철수를 결의하였으며, 당기 중 종속기업인 주식회사 더블유브랜드커넥션,

주식회사 탐스미디어 및 주식회사 와이즈벨을 매각 및 청산하였습니다. 따라서, 당기 및 비교표시된 전기 연결재무제표

는 기업회계기준서 제1105호(매각예정비유동자산과 중단영업)에 따라 작성되었습니다.

(2) 특수관계자와의 거래

연결재무제표에 대한 주석 37에서 설명하고 있는 바와 같이 회사는 당기 중 특수관계자와의 거래가 발생하였으며, 당기

말 현재 관련 채권ㆍ채무가 존재하고 있습니다.

To Our Shareholders (Business report)

Dear Shareholders!

On behalf of our entire staffs, I would like to express my deepest gratitude for your continued

interest and support to GIIR and GIIR’s affiliated companies.

In 2011, the domestic advertising market is estimated over 9 trillion won thanks to the 9%

growth of total advertisement spends, in spite of the global financial crisis and decline of

buying power of the market in general. The driving force of the domestic advertising market for

the last year was the remarkable growth of the digital media advertising market. The advent of

the era of 20 million smart phone users has become the base of various brand new

advertisement platforms including mobile messengers, Social Network Service, mobile apps,

etc. Therefore, new types of marketing tools, such as the AR(Augmented Reality)

advertisements and social movies, were invigorated. There were many changes in broadcasting

advertising market in 2011. The launching of the

general programming channels as well as the

expansion of cable TV market according to the

indirect and virtual advertisements had led the

broadcasting advertising market.

GIIR’s billings recorded 917 billion won, 17%

increase year-on-year in 2011 thanks to the efforts

of all executives and staffs of GIIR. It was achieved

from the fact that existing major clients were

retained by improving client’s satisfaction and

large non LG clients such as Shinhan Financial

Group, STX, KB, Nuclear Security Summit were

newly brought into the clientele.

In 2011, the superiority in creative of our company

had received favorable recognitions internationally

as well as domestically. The Korean Airline

advertisement has swept the major awards in the

Korea Advertising awards and TVCF Award 2011

and the LG Electronics 3D campaign

advertisement, which drawn the biggest attention

from the industry so called as‘3D War’has

awarded the finalist in the New York Festival, and

LG Corp.’s TV Ad called“LG, Love”won the

Grand-prix of Good Ad-Customer’s choice award.

It is the honorable fruition from the efforts to try

our best for the quality of advertisements.


Honorable shareholders!

In 2012, over the 1 trillion won of billings, GIIR will focus on the first year of the Glocalization

which is to execute globalization and localization. The globalization as an advertisement agency

is apparent matter to overcome the limitation of domestic advertisement market. GIIR steadily

invested in the building of a global network for last several years in order to leap up to the

global marketing partner for LG. Based on the groundwork, GIIR will expand and progress the

global advertisement agency as the central axis of the company’s growth this year and will take

I report the following audit result on accounting and business of the 28th fiscal year from January 1, 2011 to

December 31, 2011 as an audit Committee member of GIIR Inc.

1. Outline of the Audit Method

We inspected the accounting book and the relevant documents and investigated the financial statements and attached

specification for examination. I examined by applying the contrast, actual inspection, session, inquiry and other proper

audit procedures in case of need in executing the audit.

I received the report on the business from directors if necessary to attend the Board of Directors and other major

meetings for the business inspection, inspected the important related business documents by using the proper method

like inspection of the contents.

2. Matters on Indication of Balance Sheet and Income statement

The assets and profit and loss state of the Company are stated adequately according to law and the Articles in

the balance sheet and income statement.
